a. The tender form shall be issued and duly filled in and signed in all pages along with documents

SUBJECT: NOTICE INVITING TENDER On behalf of GM E-1 MTNL Mumbai sealed limited tenders on two bid system are invited from authorized dealers, contractors or firms having two years experience (not earlier than 01-04-2010) in repairing/maintenance of Sub Station with MTNL/BSNL/PSUS/GOVT. organizations. The work involves, Part 1. Annual maintenance of Substation and Part 2, Replacement faulty analog ammeter & volt meter with digital ammeter & volt meter and replacing of faulty LED lamps at Ghatkopar Telephone Exchange Bldg.

1. SCOPE OF WORK : -

This tender is for " Annual maintenance contract of sub station with associated various LT panels, replacing faulty analog ammeter & Volt meter with digital ammeter & Volt meter and replacing faulty LED lamps at Ghatkopar Telepohone Exchange as per APPENDIX I.

2. INFORMATION TO BE GIVEN BY THE TEDERERS:-

The tenderers must furnish full, and accurate details in respect of information asked for in Appendix - II attached to the tender. form

3. SIGNING OF TENDERS:-

i) Person or persons signing the tender shall state in what capacity he or they are signing the tender, as sole proprietor of a firm, the names of all the partners should be disclosed and the tender shall be signed by all the partners or duly constituted attorney having authority to bind all the partners in all matters as pertaining to the contract , including arbitration clause. The original or attested copy of the partnership deed should be furnish along with the tender. In case of a Limited company, the name of the director shall be mentioned and it shall be certified that the person signing the tender is empowered to do so on behalf of the company. A copy of the memorandum and articles of association of the company shall be attached to the tender. In case of Hindu undivided family the name of the family member's should be disclosed and the karta, who can behind the firm, should sign the form and indicate his status below his signature.

ii) The person signing the tender form or any documents forming the part of the tender on behalf of another or on behalf of a firm shall be responsible to produce a proper power of attorney duly executed in his favor stating that he has authority to bind such other person or the firm as the cases may be in all matters pertaining to the contract including the arbitration clauses. If the person so signing the tender fails to produce the power without prejudice to any other right of the MTNL, under the law the MTNL, Mumbai represented through the S.M.(BLDG) GKP may without prejudice to other civil and criminal remedies terminate the contract and hold the signatory liable for all costs, and damages, the power of attorney should be signed by all the partners in the case of partnership concern or the proprietor in the case of proprietor concern and by the person who by his signature can bind the company in the case of limited concern. In the case of Hindu undivided family the power of attorney should be signed by the karta, who by his signature can bind the other members of the family.

4.EARNEST MONEY DEPOSIT:

Each tender must be accompanied by Earnest Money Deposit of Rs.3400.00 (THREE THOUSAND FOUR HUNDRED ONLY) in the form of Demand draft / Pay order issued by any Nationalized/ Scheduled Bank in favor of the “Mahanagar Telphone Nigam Ltd., Mumbai”. Tenders not accompanied by earnest money deposit shall be summarily rejected The Earnest Money shall be liable for forfeiture if the tenderer after submitting his tender resells or modifies his offer and / or the terms and conditions thereof in any manner. It being understood that the tender documents have been made available to him and he is being permitted to tender in consideration of his agreement to this stipulation . The Earnest Money Deposit will be returned to all unsuccessful tenderers. as soon as practicable after decision on tender in receipt of successful tenders. EMD will be automatically adjusted towards the security deposit of successful bidder. No interest shall be payable on the amount of earnest money deposit in any case.

5. SECURITY DEPOSITS:-(Pl refer clause x of appendix vi)

a) The EMD of successful tenderer will be converted in to initial security deposit, successful tenderer shall have to deposit an additional sum limited to 5% of the contract amount (after adjustment of the EMD already paid ) towards the security deposit, by Demand draft / Pay order issued by any other nationalized Bank/Scheduled Bank in favor of MTNL, Mumbai within Seven days. Failing which the contract shall be liable to cancellation at the risk and cost of the tenderer and subject to such of the remedies as may be open to MTNL, under the terms of the contract.

b} The security deposit would be subjected to the terms and conditions given in the Appendix -VI (SN 10)to this tender and the MTNL will not be liable for the payment of any interest on the security deposit to any depreciation thereof.

c) If the successful tenderer had previously held any contract and furnished security deposits, the same shall not be adjusted against this tender and a fresh security deposit will be required to be furnished.

6:-PROCEDURE OF FILLING OF TENDER DOCUMENT.

a) 1. The tenderers should submit the tender documents including invitation of tender intact, without detaching any page or pages, excluding Appendix - VIII (financial bid) duly filled in complete and signed on each pages of Tender form.

2. Appendix VIII of tender document (financial bid) is to be filled in / signed completely submitted in separate sealed cover. 3 –Tender documents (technical bid) and document called should be in a single sealed cover super scribed technical bid. EMD should be in other cover super scribed EMD and financial bid should be in third sealed cover super scribed financial bid. .All three covers should be put in one more outer cover duly sealed and super scribing name of tender &tender no, .Name & address of the bidder on the left hand side on the lower portion of the cover.

b) i) The tenderers should fill up the relevant columns of tender quotation placed at Appendix-III in

tender document and sign the same.

ii) The copy of tender quotation viz. Appendix –III supplied along with tender document shall also

have to be filled in and signed and sent along with relevant section of tender documents.

c) The amount should be quoted in Appendix-VIII in both figures and in words. In case of any discrepancy, the amount quoted in words is considered for financial ranking.

7. SUMMERILY REJECTION OF BID:

a) If Envelops are not sealed properly.

b) Not accompanied with EMD.

c) Not accompanied the tender cost if downloaded from MTNL web site

d) If tender is not submitted as per clause 6 Sl no 3 .

e) If the firm is black listed/debarred by/from any Govt./PSU organization.

8- THE FOLLOWING DOCUMENTS MUST BE SUBMITTED ALONGWITH THE TENDER

(FOR TECHNICAL BID)

1) Service tax registration number, VAT/ TIN Reg. No., PAN No. Photo copy of income tax return filed for the Assessment year 2010-11and 2011-12 (ie financial year2009-10& 2010-11.. .

2) Bank solvency certificate from any of the Nationalized /scheduled Bank for Rs.68000/- (Rs. Sixty Eight thousand only) issued not earlier than 01-04-2012

3) Certificate of work experience relating to Repairing/ maintenance of Sub Station of any types

preferably Kirloskar make for a minimum period of two years from 01-04-2010 to 31-03-2012 duly certified by the officer not below the rank of Divl. Engr /Exe .Engr for the total amount Rs.85000/- per annum with satisfactory work completion certificate of work and amount.

4) Declaration regarding relationship as per Appendix - V 5) Questionnaire duly filled in .

6) All tender documents other than financial bid (i.e. excluding Appendix - VIII) with the signatures of Tenderers 7) Electrical license. 8) EPF/ESI Registration with latest paid up challan. 9) Office set up in Mumbai./Navi Mumbai/Thane with details such as office address. Tele No.,. Mobile No., Fax No.& Email Id (This is required to inform about payment made to ECS). 10) Financial bid as in appendix – VIII.

11) Tenderer(s) should note that different firms having common partners are not permitted to quote for more than one tender offer from any of the such firms. In case more than one offer is received

then all such additional offers, other than the lowest offer will be summarily rejected.

12) Each firm is expected to submit only one tender offer in the tender. In case more than one offer is received from the same firm, then all such additional offers other than the highest offer will be rejected.

13) In case of tenderer(s) quote a percentage figure and the amount which are not in agreement i.e. the amount calculated from percentage figure does not in the stated amount, the higher of the two amounts will be taken for evaluation of the tenders.

14) (a) Attested copies of current registration partnership deed from the register of firms and power of attorney in case of partnership firms.

Each member of the family will not be necessary to provided, no member of the family is doing any independent business separately (d) (i) Either to forward a declaration duly attested by a first class magistrate to that effect that none

of family members is doing any independent business. OR

ii) To furnish the name of family members doing separate independent business with pan number.

(e) In case of newly formed /constituted firm, PAN number shall be furnished in respect of the each partner/ person constituting the firm. (f) Tenders not accompanied by all the schedules and appendices, intact, and duly filled in and signed will be rejected.

(g)Intending tenderers are advised to go through declaration at Appendix-V carefully. No tender shall be considered if the tenderer does not furnish the declaration as per APPENDIX-V.

9. DELIVERY OF TENDER :-

The tender shall be submitted in the o/o Sr.Manager (BLDG)GKP GHATKOPAR Telephone Exchange, GHATKOPAR (West), Mumbai-400 086, in sealed cover, the outer envelope being super scribed as tender No. S.M(BLDG)/GKP/AMC/Sub Station/04/2012-2013 dated 28/06/2012. for Annual maintenance contract of sub station with associated various LT panels, replacing faulty analog ammeter & Volt meter with digital ammeter & Volt meter and replacing faulty LED lamps at Ghatkopar Telephone Exchange.

10.PRICE CLAUSE:-

a) Tenderers are request to visit the Power plant about all discrepancies and quote in the form at appendix VIII accordingly in figure and words inclusive of all taxes, duties etc except service tax & Cess. The tenders which do not comply with these instructions, are liable to be rejected. The amount of

contract shall remain fixed during the currency of contract including extended period if any.

Out station tenderers are advised to send their tender by registered post sufficiently well in advance to reach the addressee before the specified date. Tenders received after the specified date and time will be rejected. MTNL is not responsible for any Postal delay.

b) The tender forms shall be filled in by the tenderer neatly and accurately. Any alternation, eraser or overwriting will render the tender invalid. Alteration neatly carried out and duly attested over the full signature of the tenderer, however is permitted.

11-OPENING OF TENDERS ;- The tenders will be opened in the o/o Sr.Manager, (BLDG)GKP GHATKOPAR Telephone , Exchange, GHATKOPAR (West), Mumbai-400 086, at the time and date indicated in page 1. The tenderer will be at liberty to present either in person or through an authorized representative at the time of opening of tenders.

12. CORRUPT PRACTICES :-

Any bribe, commission or advantage offered or promised or on behalf of tenderer to any officer or

servant of the MTNL, Mumbai shall (in- addition) to any criminal liability, which the tenderer may incur

debar his tender form. Canvassing on the part of the tenderer will also make his tender liable to

rejection by the Sr.Manager, (BLDG)GKP GHATKOPAR Telephone Exchange, GHATKOPAR (West),

Mumbai-400 086

Tenders with condition will be summarily rejected. Tenderer having prior work experience for repairing/

maintenance of ITI/Amar Raja make Power Plant may be given preference, the successful tenderer will be advised

of the acceptance of his tender by a letter. "Acceptance of tender where acceptance of tender is communicated by the letter. The formal acceptance of tenders will be forwarded to the contractor as soon as possible, but the letter

must be acted upon immediately and agreement executed as per agreement given in Appendix - IV on a non judicial

stamp paper of Rs.100/-.

13. Technical Evaluation:-

All the documents called are to be submitted and shall be considered for technical

eligibility of the intending bidder. If any document is considered not required, the necessary

clarification for non submission to be given to the satisfaction of the tender calling authority.

Financial bids of those tenderer who qualify in technical evaluation will be opened on other

day and will be communicated to eligible bidders

14 Financial Evaluation:-

Technically eligible bidders will be considered for Financial Evaluation. Lowest financial

bidder will be eligible for award of work. If L-1 bidder fails to accept the work order or fail to

carry out the repair work, it will be awarded to L-2/L-3 bidder at the L-1 rate.

15-Forefeiture of EMD & Performance security deposit

a. EMD will be forfeited if bidder fails to submit agreement (appendix iv )and performance

security deposit/performance bank guarantee on issue of letter of offer.

b-If tenderer fails to take over the work of Repairing and servicing after issue of work

order, EMD & security deposit will be forfeited.

Details of equipment to be maintained at Ghatkopar T.E Building, L.B.S. Road, Ghatkoar(W), Mumbai-

Ensuring that H T Panel. Transformer, L T panels, capacitor panels and connection cables /

ducts, (Items as applicable to this work) constituting the substation is maintained in healthy,

clean condition.

4. Attend emergency break downs calls within 3 hours and clear the faults immediately.

5. Any modifications required i.e. old switches/capacitor panel/spares the decision is

binding on Sr. Manager (Bldg/TR)/ Dy.Manager(Bldg/PP).

2. TASK TO PERFORM WITHIN 15 DAYS

Identify a person(s) with necessary competence to be responsible for substation

maintenance.

3. Person(s) deputed for substation job should:

a) Know how to treat the person suffering from electric shock/burn etc.

b) be able to operate fire extinguisher.

c) make himself familiar with the distribution scheme, the switches controlling various loads and also its importance.

d) Clearly understand what is to be done in case of emergency. This should be done in consultation with the Engineer in charge.

4. Carry out general inspection with a view to identify shortcoming if any in the substation

installation.

5. Ensure LT/HT Panel Transformer, Capacitors, Cable Ducts Circuits Hooks are clean and in

proper operational condition.

1. Check all the switches and meters for proper operation. 2. Check operation and calibration of all the safety devices like relays and fuses. 3. Check the earthing system for the proper earth values and continuity of earthing

system. 4. Check insulation value of oil in all the equipments. 5. Carry out megger test. 6. Check power factor meter maximum demand meter for proper functioning. 7. Check the tripping of the HT panel i.e. batteries etc. for proper functioning. 8. Check all the electrical connections for proper tightness. 9. I/P and O/P terminals of transformers to be checked and tightened to avoid over

heating 10. The capacitors to be checked regularly and capacitors, de-rated below 50% to be

replaced. 11. Total Voltage Harmonics Distortion, Total Current Harmonics Distortion and

Voltage Unbalancing to be measured regularly and to maintain maximum limit of less than 5%, 20% and 1% respectively.

All results of above inspections to be recorded and brought to the notice of Engineer in charge,

specially highlighting shortcomings or necessary action.

6. TESTING

i) Oil testing : One month after initial

ii) Earthing systems check : testing at the time of iii) Relays and other protection devices : taking over for maintanance

vi) On/Off operation of all switches including cleaning and lubricating of operation of operation mechanism wherever required.

vii) Filtration of oil of transformers/HT panel/etc. shall be done as and when required, at least once during the contract period in consultation with Engineer–in-

charge.:

LOG BOOK MAINTENCNCE:

Maintain the sub-station service book as per directions of the Divisional Engineer, MTNL. This should be decided so that the data is useful.

Replacement of analog ammeter & volt meter with digital ammeter & volt meter and

The digital ammeter/volt meter and LED lamps replaced should have one year warranty.

The size of ammeter/volt meter should be such that there should not any gap in the panel after

replacing.

Replaced faulty meters should be given to SDE(Bldg)Gkp

The replaced meters should be of correct calibration and the reading should be visible properly.

The meters should be tested properly before fixing.

TERMS AND CONDITIONS OF CONTRACT

Terms and conditions governing contractors for " Annual maintenance contract for sub station with

various associated L.T panels and replacing of faulty analog ammeter/volt meter with digital ammeter/volt

meter and re[placing of faulty LED lamps at Ghatkopar Telephone Exchange as per appendix I(A)

I. DEFINITIONS :-

i) The term, " contract " shall mean and include the invitation to tender incorporating also the instructions

to tenderers , the tender, its appendices , acceptance of tender and such general and special conditions

as may be added to it.

ii) The term “contractor " shall mean and include the person or persons, firm or company with whom

the contract has been placed including heirs, executors , administrators, successor and their

permitted assignee, as the case may be.

iii) The term “contract rate “shall mean the rates of payment accepted by Sr.Manager (BLDG)GKP

MTNL, Mumbai for and on behalf of the MTNL, Mumbai.

iv) Nigam means Executive Director MTNL, Mumbai and GMs/DGMs/Sr. Managers/ Managers Deputy

Manager /Asst. Manager of GHATKOPAR Telephone Exchange or any other officer specially

authorized by ED, MTNL on his behalf.

v) Jurisdiction of Nigam, area under MTNL Mumbai which is at present bounded by sea boundaries in

the south side, Bhyandar and Thane in the north side, and area under GM Navi Mumbai.

vi) The term “service " shall mean the performance of any of the items of work and enumerated in scope

of work and service as at Appendix -I including such auxiliary, additional and incidental duties

services and operations as may be indicated by the concerned Sr.Manager(BLDG) or any person

authorized by him in his behalf.

II. OBJECT OF THE CONTRACT :-

The contractor shall render all services given in appendix – I under scope of work and services and

directed from time to time by the concerned Sr,Manager((BLDG) under DGM (GKP) or any officer acting

on his behalf.

III.a) The parties to the contract are the contractor and the MTNL Mumbai represented by the concerned

Sr,Manager( BLDG) and or/ any other persons authorized to act on his behalf.

b) The person signing the tender or any other documents forming part of the tender on behalf of any other person or a firm shall be deemed to warrant that he has authority to bind such other person or the firm as the case may be, in such matters pertaining to the contract including the arbitration clause. if on enquiry it is found that the person concerned has no authority. the MTNL Mumbai represented through

c) Notices or any other action to be taken on behalf of the MTNL, Mumbai may be given/ taken by the concerned Sr,Manager(BLDG) under DGM (GKP) or any other officer so authorized and acting on his behalf.

IV. CONSTITUTION OF CONTRACTORS :

a) Contractor shall at the time of submission of tender declare whether they are sole proprietary concern

or registered partnership firm or private limited company or a public limited company incorporated in

India or a Hindu undivided family. The composition of the partnership, names of the directors of the

companies and the name of the karta of Hindu undivided family shall so be indicated. The contractors

shall also nominate a person whose hands the active management and control of the work relating to

the contract during the tenure of contract would i.e.

The persons so nominated shall be deemed to have power of attorney to the contractor and whose acts

shall be binding on the contractors.

b) The contractor shall not during the currency of the contract , make without proper approval of the

MTNL and change in the constitution of the firm, the contractors shall notify to the MTNL the

death/registration of any of their partners/directors immediately on the occurrence of such an event.

On receipt of such notice the concerned Sr.Manager (BLDG) shall have the right to terminate the

contract.

V. SUBLETING :- The contractors shall not sublet, transfer or assign the contract or any part thereof

without the previous written approval of concerned Sr.Manager (BLDG). In the event of the contractors

contravening this condition concerned Sr.Manager (BLDG) shall be entitled to place the contract

elsewhere on the contractor's account and their risk and the contractors shall be liable for any loss or

damage which concerned Sr.Manager (BLDG) may sustain in consequence or arising out of such

replacing of the contract.

VI.RELATIONSHIPITH THIRD PARTIES :-

All transactions between the contractors and the third parties shall be carried out as between two

principles without reference in any event to the MTNL. The contractors shall also undertake to make third

parties fully aware of the position aforesaid.

VII. BRIBES, COMMISSION, CORRUPT, GIFTS ETC. :-

Any bribes, commission, gifts or advantage given promised or offered by or on behalf of the

contractors agents or servants or any one else on their behalf to any officer, servant, representative or

agent of the MTNL, or any person on his or their behalf for showing for bearing flavor or disfavors to any

person in repletion to the contract, shall subject the contractors to the cancellation of this contract or any

other contract with the MTNL and also to payment of any loss or damage resulting from such

cancellation.

VIII. CONTRACT PERIOD:- Initially the contract shall remain in force for a period of one year for Part –I

and 60 days for Part-II from the date of signing of contract (Appendix-IV) and Part –I will be extended

for one year further if the work done is found satisfactry. G.M. (E-I) reserves the right to terminate the

contract at any time during the currency without assigning any reason thereof by giving thirty days

notice in writing to the contractors at their best known place of residence/ business and the

contractors shall not be entitled to any compensation by reason of such termination.

The action of the G.M. (E-I) MTNL, Mumbai under this clause shall be final, conclusive, and

binding on the contractors and shall not be called into question.

IX. SUMMARY TERMINATION :-

a) In the event of the contractors having been adjudged insolvent or going in to liquidation or

winding up their business making arrangements with their creditors or failing to observe any of the

provision of this contract or any of the terms and conditions governing the contract, the concerned

Sr.Manager(BLDG) shall be of liberty to terminate the contract forth with without prejudice to any other

rights and remedies under the contract and to get the work done for unexpired period of the contract at

the risk and cost of contractors and to claim from the contractors any resultant loss sustained or cost

incurred.

b) The concerned Sr.Manager( BLDG) shall also have without prejudice to other rights and remedies

the right, in the event of breach by the contractor of any of the terms and conditions of the contract to

terminate the contract forthwith and to get the work done for the unexpired period of the contract at the

risk and cost of contractors and forfeit the security deposit or any part thereof for the sum or sums due

to any damages, losses, changes, expenses or cost that may be suffered or incurred by the MTNL due

to Contac tractor’s negligence or un work man like performance or the services under the contract.

SECURITY DEPOSIT a) The EMD of successful tenderers will be converted into security deposit.

The successful tenderers will have to deposit within a week of acceptance of award letter remaining

additional sum equal to 5% of contract value towards security deposit, by Demand Draft/ Pay Order

issued by any Nationalized/ scheduled Bank in favour of Mahanagar Telephone Nigam Limited,

Mumbai failing which the contract shall be liable to cancellation at the risk and cost of the tenderer and

subject to such of the remedies as may be open to the MTNL. Under the terms of the contract. If

performance bank guarantee is given EMD will be refunded.. The performance bank guarantee should

be VALID for 18 months from the date of agreement or commencement of work which ever is later.

b) The security deposit would be subject to the terms and condition given in this annexure and the

MTNL, will not be liable for payment of any interest on the security deposit or any depreciation thereof.

c) If the successful tenderer had previously held any contract and furnished security deposit the

same shall not be adjusted against this tender and a fresh security deposit will be required to be

furnished.

d) The security deposit will be refunded to the contractors on due and satisfactory performance of the

services and on completion of obligation by the contractors under the terms of the contract and on

submission of " no demand certificate " from Sr.Manager in-charge of MTNL, after expiry of the warranty

period and " no due certificate ' from the contractor subject to such deduction from the security as may be

necessary for making up of MTNL claims against the contract.

e) In the event of termination of the contract envisaged in clause VIII. The MTNL shall have the

right to forfeit the entire or any part of the amount of security deposit or to appropriate the security deposit

or any part thereof in or towards the satisfaction of any sum due to be claimed for damages, losses,

charges, expenses or costs that may be suffered or incurred by the MTNL.

f) The decision of concerned Sr.Manager (BLDG) in respect of such damages, losses charges,

and costs of expenses shall be final and binding on the contractors.

g) In the event of the security being insufficient or if the security has been wholly forfeited the

balance of the total sum recoverable as the case may be, shall be deducted from any sum then due or

which at any time thereafter become due to the contractors under this or any other contract with the

MTNL, should that sum also be not sufficient to cover the full amount, recoverable. The contractor shall

pay to MTNL on demand the remaining balance due.

XI. LIABILITY OF CONTRACTORS FOR LOSSES ETC. SUFFERED BY MTNL.

In the event of default on the part of the contractor in providing services mentioned in this

agreement efficiently and to the entire satisfaction of the MTNL, or any officer acting on his behalf, the

Sr.Manager(BLDG)GKP shall without prejudice to other rights and remedies under the agreement have

the right to recover by way of compensation from contractor a sum which will be a part of the default as

the concerned Sr,Manager (BLDG) in his absolute discretion may determine and the decision of the

concerned Sr.Manager(BLDG) on the question whether the contractors have committed such default or

have failed to perform any of such services efficiently and or liable to pay compensation and as to the

quantum of such compensation shall, subject, to approval of the ED MTNL, be final and binding on the

contractor.

XII. SET OFF :-

Any sum of money due and payable to the contractor (including security deposit refundable to them)

under this contract may be appropriated by the MTNL for the payment of sum of money arising out of

under any other contract made by the contractor with the MTNL.

XIII. VOLUME OF WORK.

a) Annual maintenance contract for sub station with various associated L.T panels and replacing of faulty analog ammeter/volt meter with digital ammeter/volt meter and re[placing of faulty LED lamps at Ghatkopar Telephone exchange as per APPENDEX I.

XIV. REMUNERATION :

a) The contractor shall be paid the remuneration in respect of the services described in Appendix I and performed by them at the contracted rate.

b) If the contractor is required to perform any service in addition to these specifically provided for the

contract and as specified in Appendix-I the contractor's remuneration for the same will be paid at the rates

as negotiated and fixed, by mutual agreement referred to arbitration under relevant section of the

contract.

c) The contractor will have the right to represent in writing to the concerned Sr.Manager(bldg) that a

particular, which is being called upon to perform, is not covered, by any of the services specifically

provided for in the contract, as the case may be is not auxiliary or incidental to such services, provided

that such representation in writing must be made with in 15 days after the date of actual performance of

such services. If no such representation in writing is received with in the said, time, the contractors right

in this regard will be deemed to have ceased.

d) The question whether a particular service is or is not covered by any services specifically described

and provided for in the contract ,or is not auxiliary or incidental to any of such services shall be decided

by the Sr.Manager(BLDG)GKP whose decision shall be final and binding on the contractors.

XV. PAYMENT :-

a) For Part-I, The payment will be made on Quarterly basis. The contractor shall submit bills in

triplicate against this contract to SDE (Bldg)GKP with monthly service report.

b) For Part-II, The total payment based on contract rate accepted by MTNL, shall be made on

satisfactory completion of work. The contractor shall submit bills in triplicate against this contract to

SDE (Bldg)GKP after satisfactory completion of work..

Details of observations checks carried out comments on performance of Sub station are to be

submitted in the service report SDE(Bldg) GKP shall determine the satisfactory operation of Sub

Station and levy penalty in case of deficiency in service by contractor.

XVI. DELAYS/ STRIKES ETC.

The contractor will be responsible for any delays which may arise because of reasons beyond his

control of which the Sr.Manage(BLDG)GKP shall be final judge. Strikes by contractor's labours or

technical personals on account of any dispute between the contractors and their labour as to wages or

otherwise will not be deemed to be a reason beyond the contractor's control and the contractors shall be

responsible for any loss or damage which the MTNL may suffer on his account.

XVII. LAWS GOVERNING THE CONTRACT.

The contract will be governed by the laws of India for the time being in force.

XVIII. ARBITRATION.

All disputes and differences arising out of or in any way touching or concerning this agreement

whatsoever (except as to any matter the decision of which is expressly provided for in the contract )

shall be no objection to any such appointment that the person appointed is an employee of the MTNL,

that he had to deal with the matters to which the contract relates and that in the course of his duties as

such employee of the MTNL, he had expressed views on all or any of the matter in dispute or difference.

the award of such arbitration shall be final and binding on the parties to the contract that in the event of

such arbitrator to whom the matter is originally referred being transferred or vacating his office or being

unable to act for any reason, the ED, MTNL, at the time of such transfer, vacation of office or inability to

act shall appoint another person to act as arbitrator in accordance.

With the terms of this contract such person shall be entitled to proceed with the reference from the

stage which it was left by his predecessor, it is also a term of this contract that no person other than a

person appointed by the chief General Manager, MTNL, Mumbai, as aforesaid should act as arbitrator

and if for any reason that is not possible, the matter is not to be referred to arbitration at all. The arbitrator

shall give reasons for his award.

Provided further that any demand for arbitration in respect of any claim(s) of the contractors, under the

contract shall be in writing and made with in one year of the date of termination or completion (expiry of

the period) of the contract and where this provision is not complied with claim(s) of the contractor shall be

deemed to have been waived and is absolutely barred and the MTNL shall be discharged and released of

liabilities under the contract. It is further if the arbitrator may, from time to time, with the consent of the

parties, enlarge the time of making and publishing the award. The venue of arbitrator shall be such place

as may be fixed by the arbitrator is his sole discretion. The arbitrator shall be deemed to have entered on

the reference on the date he issues notices to both the parties fixing the date of the first meeting. the work

under the contract shall if reasonably possible continue during the arbitration proceedings and no

payment due or payable to the contractor shall be withheld because of such proceedings. The cost of

arbitration shall be borne by the parties as per the decision of the arbitrator. The arbitrator shall give

separate award in respect of each dispute or difference referred to him. Subject as aforesaid the

arbitration act 1940, shall apply to the arbitration proceedings under this clause.

XIX. DUTIES AND RESPOSIBILITES OF THE CONTRACTORS.

1. The contractor shall carry out all items of services assigned or entrusted to him by the concerned

Sr.Manager(BLDG) an officer acting on his behalf and shall abide by all instructions issued to

him from time to time by the said officer. He shall render the services in the satisfaction of the

concerned Sr.Manager(BLDG) or an officer acting on behalf together with such auxiliary and

incidental duties, services and operations as may be indicated by the said officer's and are not

inconsistent with the terms and conditions of the contract. Remuneration for all auxiliary and

incidental duties and services not specifically provided for shall be deemed to be included in the

remuneration in the Appendix-I.

The contractor shall always be bound to act with reasonable diligence and in a business like

manner and to use such skill as he posses in the conduct of their activities.

2. The contractor shall engage competent and adequate staff/ tech to the satisfaction of the

concerned Sr.Manager(BLDG) or an officer acting on his behalf for ensuring efficient working of

Sub Station as enumerated in Appendix-I. The contractor shall be responsible for the good

conduct of his employees and shall compensate the MTNL. for losses arising from neglect,

carelessness, want of skill or misconduct of himself, his servant or agents or representatives. The

concerned Sr.Manager(BLDG) shall have the right to ask for the dismissal of any employee of

the contractor, who in his opinion, is hampering the smooth execution of the work, and his

decision regarding losses caused by the neglect and misconduct etc. of the contractor, his

servants, agents or representatives shall be final and binding on the contractors.

3. The contractor shall advise the concerned Sr.Manager(BLDG) or any officer authorized to act on his behalf the name of one or more responsible representative (s) authorized to act on their behalf in day to day working of the contract. It shall be the duty of those representatives to call at the office of the concerned Sr.Manager(BLDG) or an officer acting on his behalf and generally to remain in touch with them, to obtain and give information about performance of Substation entrusted to him.

Contractor will at his own expenses, shall arrange to provide all safety implements, tools and

accessories required in handling electrical/ electronic/ mechanical parts of the Substation during the

above contract period and also at all times and shall be sole responsible for the safety of all personnel

engaged by him execution of work under this contract.

4. The contractor shall not charge any extra amount for travelling or O.T. allowances for the persons

employed by him. He shall not be entitled to get compensation for any damage or losses that he

may suffer in the course of execution of work, he will not be entitled to get any extra amount for

the loss or deterioration of materials used by him.

5. The contractor shall be responsible for the proper preservation/ upkeep and safe custody of the

Substation handed over to him under the contract un till the work is completed in all respects

according to the terms and conditions.

The MTNL shall not be bound to contest any claims made against it under contract labour

(regulation and abolition ) act, workman compensation act, or any other similar act in respect of

contract labour. The contractor shall pay to the labour/tech/operators employed by him directly

wages not less than the fair wages if any or the minimum rates of wages. If any notified by the

government of the states in which the work is carried out or as per the provisions of the

contract labour (R&A) act and the contract labour (R&A) rules wherever applicable.

6. No child labour should be engaged by the contractor.

XX PENALTY:

In case the contractor fails to complete the work as per the time frame given in the schedule of

contract a Penalty of Rs.250/-(Rupees two hundred fifty only) per day to be imposed., If the work

remain incomplete for a period over 60 days concerned Sr.Manager(BLDG) reserves the right to get

the work done by an outside agency at the risk and cost of the contractor and to recover /adjust such

cost from the payment or security deposit of the contractor.

The maximum amount of penalty/ liquidated damages recoverable from contractor at any of above

case/cases will be limited to the quarterly bill amount for Part-I and total value of contract for Part-II.

In the event of any of the above course being adopted the contractor shall have no claim for

compensation for any loss sustained by him by reason of his having purchased or procured any

materials or entered in to any engagements or made any advance on account of or with a view to the

execution of the work of the performance thereof.

XXI LIQUIDATED DAMAGES

If the contractor fails to take over the work Substation after issue of work order, the loss as determined by

DGM(GKP) will be recovered from available deposits apart from black listing the contractor. The

decision of DGM(GKP) is final and cannot be challenged.
