3. The Consultant should have a valid registration of the firm with the Council of Architecture on the date of application.

Definition of Similar Works – Similar work means experience in successful completion of Architectural Consultancy including Designing / Detailed Engineering for construction of Office / Commercial building including interior works with or without Project Management services

Purchase preference as per the prevailing policy shall be admissible to Central Public Sector units and JV’s of the Corporation. Bidders have to comply to Service Tax registration requirement stipulated in tender documents.

7) Tenderers please note if any change / deletion is made by the Tenderer/contractor in the downloaded document and same is detected at any stage even after the award of the work, the contract will be terminated at his / their risk and cost.

In case if it is not possible to carry out the verifications on the dates given above then the verification of documents will be done on the next working day.

10. The tenderers at their own cost may visit location & familiarize themselves

regarding the scope of work and site conditions before quoting the tender. 11. Tenders shall keep the offer open for a period of Four months from the above-

specified date of opening of tender (Technical / Commercial). 12. Methodology of finalization of Tender:

a) Technical verification of the qualifying parameters would be carried out with

the originals which are to be produced by the bidder on the dates mentioned under verification of original documents as per the NIT.

b) A list of parties meeting the conditions mentioned in the NIT shall be prepared and Price-bids of only those parties meeting the parameters would be opened.

c) List of parties would be prepared in an ascending order of their quoted values in the price-bids and we would arrive at the list of L-I, L-II, L-III and so on. In case the total quoted value of two parties is same ,the parties with higher average annual turnover shall be treated as lowest tenderer.

d) The job will then be offered and the work order will be placed on the lowest bidder L-1 with or without conducting negotiations

13. “Negotiations will not be conducted with the bidders as a matter of routine.

However, Corporation reserves the right to conduct negotiations”. 14. Tenderers will have to attend the concerned office of the Corporation for

negotiations / clarifications required by IOCL in respect of their Tender quotations without any commitment on the part of the Corporation. In case of negotiations, confirmation of the negotiation should be received from the tenderer within 10 days from the date of negotiations failing which the Corporation reserves the right to reject the tender.

15. The decision of IOCL to accept or reject any offer of a party shall be final. In this

regard, no correspondence shall be entertained by IOCL. 16. In the event of the Corporation’s office remaining closed on the scheduled day of

tender closing for any unforeseen reason the tenders shall be received upto 11.00 hrs. on the next working day of the Corporation. The Corporation shall not entertain any complaint as to the fact that the tenderers were not aware of the exact next working day and it is the responsibility of the tenderers to find out from the office of the Corporation about such details.

2. Tender documents forming complete set of these tenders are enclosed herewith as

listed. All enlisted documents should form part of the contract. The tenderer should study all the documents carefully and sign on all the pages of the tender document. The tender should be submitted to the Corporation in prescribed annexure forms only. Claims for non-receipt of any documents not made well in advance of due date and time will not be entertained. The tenders will be received up to the due date & time.

3. Submit Technical Bid & Price Bid in Separate Envelopes. 4. Non – submission of all documents or incomplete submission of any document

6. The price Bid should consist of only rate schedule supplied by the corporation and no other document.

7. All the papers related to submission of IT Assessment order / Acknowledged copy

of IT Returns, Credentials of the party, experience of the party, copies of work orders, Schedule of work, Work completion certificates, to confirm the present status of these works, Photographs / Drawings for the completed works, Works in hand, Engagement availability of manpower under their command, partnership deed, Company Registration details, Articles of association, Registration with council of Architecture, Professional Bodies, Audited balance sheets, and other relevant documents shall be enclosed along with the Technical / Commercial Bid only.

8. Non – Submission of the tenders in the above manner are liable to be rejected.

Please note that Technical Bid shall be opened on the due date in the presence of intending tenderers, who desire to witness the same.

9. Parties whose technical Bids are found acceptable shall be intimated by Fax / E -

Mail / Courier / Phone, the date and time of opening Price Bids. 10. The Date and Time of opening of the price bids of the technically qualified parties

as decided by the corporation shall be final and request for change shall not be entertained.

11. Please note that unsuccessful tenderers will not be intimated after the finalisation

of tender. No correspondence shall be entertained in this regard. 12. It may be carefully noted that price bid should be enclosed in price Bid envelope

only and if any condition (s) is / are submitted with price Bid, the tender will be treated as invalid repeat invalid.

13. IOC reserves the right to verify the authenticity of the documents submitted by the

tenderers with the client for whom the work is carried out. Offers of those tenderers submitting false documents / Information will be liable for rejection.

Such tenderers may be blacklisted or holiday listed by IOC after following the appropriate procedures. In addition to verification of original documents, IOC reserves the right to verify the credentials with the client and in case of reports of unsatisfactory performance in the past, the tenderer will be technically disqualified.

14. In case IOC so desires, the tenderer has to provide facility for inspection of their

15. The tenderers are advised to visit the site and make themselves fully acquainted to the site condition, nature of work etc. at their own cost.

16. If some discrepancy is found between the rate quoted by the party in words and

figures then the rate quoted in words shall be taken as correct. 17. Corrections and Alterations

Tenderers are required to fill in the Tender Documents with all due care, avoiding cuttings / corrections / alteration / overwriting etc. in the entries, as far as possible. In case corrections / alterations become unavoidable or inevitable, the entry to be corrected, altered should be neatly cancelled or scored through by striking the entry by drawing a line through it and making the revised / corrected entry as close to the cancelled entry as possible, each such cancellation and correction / alteration being clearly and unambiguously authenticated by the Tenderer by his full signatures. Overwriting and / or erasing with or by the application of correcting / erasing fluid(s) will not be permitted and Tender shall be out rightly rejected.

PROJECT DETAILS

1. Construction of State of Art, Ultra Modern multistoried office complex on Plot No: 7,

Phase – II, in SY No. 64/2, at HI-TECH City layout, Madhapur (Village), Serilingampally Mandal, Ranga Reddy District, Andhra Pradesh. Sketch and photographs of the plot are enclosed.

The directional project cost is approx. Rs.4264.0 lacs. The indicated project cost is

inclusive of construction of two levels of Basement, which tentatively works out to approx Rs.1200 lacs. The soil investigation report is also attached and the subsoil strata is rocky in nature.

2. The plot is 1.17 Acres, or 4735 SQM, out of which an approximate area of 1530

Sqm is to be demarcated for Indian Oil State of the Art Retail Outlet (Petrol pump), the Retail Outlet is already existing at site, however the Retail Outlet can be entirely dismantled and re located to another portion of the above site based on the conceptual scheme submitted by the consultant. The job of Dismantling and shifting the Retail Outlet if required shall be carried out directly by the Engineering Department of our Secunderabad Divisional Office and does not come under the scope of this project.

3. The balance Plot area of appx. 3205 Sq Mts, after Rock cutting., grading and

leveling shall be utilized for Construction of ultra modern multi storeyed Office Building to house our A.P. State Office(APSO) / Divisional Office (DO) / Area Office (AO)., Rock cutting grading and leveling shall come under the scope of this project.

a. Although APSO/DO./AO will be accommodated in the same building, each

should be planned to have its own distinct Identity. 4. The parking shall be in two levels in basement, Parking area requirement shall be

as per Statutory Norms, likely to be approximately around 65,000 SFT.

5. The APSO/DO/AO shall accommodate approximately a total of 110 Nos officers of different grades and 80 Nos supporting staff. The number of officers and supporting staff mentioned herein are only indicative.

6. The Officers shall be accommodated in Cabins / Cubicles as per their Grade

entitlements.

7. The supporting staff shall be provided with work stations.

2 Identifying various statutory approvals required for the works as required. This shall include approvals required for various service connections viz. Electrical, Water and Sewerage etc.

3 Preparation of lay out drawings for basement and all floors depicting therein the seating arrangement for various categories of Officers/Workmen, common facilities, corridor and other facilities etc. in line with the concept note and in compliance of statutory requirements for approval of IOCL along with directional estimate. The drawings shall be submitted in a set of 3 drawings each in colour in the scale to be decided in consultation with IOCL.

4 Preparing revised drawing/details on above lines incorporating changes proposed by IOCL with elevations and perspective views, for its final approval with revised directional estimate with a set of 3 drawings each in colour in the scale to be decided in consultation with IOCL. If required, the consultant shall give presentation to IOCL’s team in Hyderabad at no extra compensation.

5 Preparation of architectural and structural drawing required for submission along with application to A.P.Industrial Infrastructre Corporation, AP Fire &Emergency Services, Civil Aviation, Urban Land Ceiling Clearance and other approvals required for commencement of work

works. The approval for National Airport Authority for constructing building of 24 Mts height has already been obtained.

8 Preparation of budgetary estimate based on drawings approved by Statutory

Authorities, concept note and type of floorings, partitions, fixed furniture, etc. to be finalized in consultation with IOCL. Budgetary estimate for chairs , canteen equipment etc. shall be given separately.

9 Incorporating comments/suggestions from IOCL and vetting of design by

competent authority/agency and revising the details furnished at Sl. No. 9 above and submitting for each package one hard copy and one soft copy of the final tender documents.

10 Getting the structural designs of the building vetted by civil/structural Engg. Deptt

of IITs, Delhi National Institute of Technology, or any other Govt./Pvt. Agency recommended by IOCL. Payment shall be made / reimbursed at actuals against documentary evidence /demand note.

11 Attending pre-bid meetings for different tender packages and providing

clarifications to the tenderers on technical matters, in consultation with IOCL. 12 Submission of micro plan/ PERT chart detailing the activities (concept to

commissioning) related to the project.

13 Obtain required statutory approvals/clearances for occupation including occupation certificate/commissioning of the building.

14 Preparing a close out report and preparation of as built drawings (3 sets in scale as decided by IOC)

15 Constant supervision of works, as per tender packages and ensuring maintenance of records and adherence to QAP. QAP shall be prepared/proposed by consultant and got approved from IndianOil.

16. Positioning of Three Resident Engineers (full time) during construction stage. The Resident Engineer shall, interalia, be responsible for:

(a) Certification of measurements/bills of the works executed by the contractors time to time

(c) To prepare drawings and rates for extra items for approval of IOCL.

(d) Any other work required in connection with proper execution of works at site.

The scope shall include issuing drawings for construction/implementation, examining details furnished by contractors/vendors before/during execution of works and suggesting changes and approval of details/drawings, providing clarifications time to time as required. No separate payment shall be considered for this scope and the same shall be deemed as included in other items covered in “Milestone based completion and payment Schedule”

SCOPE OF WORK – DAYLIGHTING & ENERGY MODELING: 1.0 Over All Scope Of Work - 1.1 The broad scope of proposed services is as follows:

• Develop baseline benchmarks as per identified performance parameters with regards to energy consumption, interior daylight quality and levels and potential of solar passive strategies.

• Identification, simulation and validation of reasonable design technologies to minimize energy consumption without sacrificing the comfort of the occupants.

• Evaluation of use of Daylighting in the building & quantifying the impacts of proposed solutions to avoid glare & discomfort & thereby ensuring good quality daylight.

2.0 Detailed Scope of Energy Modeling - 2.1 Modeling Assumptions:

• Scope would include establishing a baseline model in accordance with E.C.B.C. for energy consumption. The simulation would consider appropriate modeling assumptions, schedules for the project for various occupancies, defining equipment power densities, air changes per hour, lighting density, occupant density, building envelope parameters, etc.

2.2 Base Case Model: • Layout of the existing design, defining thermal zones within the building, reviewing

the mechanical & electrical plans and selecting an appropriate weather file. • Importing the above information to Equest/DOE2.2 and setting up the base case

with appropriate information for each zone.

• Applying modeling assumptions to various zones according to their occupancies; Carryout the simulation and check generated reports for validity.

• Carryout several iterations so as to ensure that the model accurately represents the thermal behavior of the designed case.

2.3 Energy Conservation Measures (ECMs): • Evolve alternate conservation measures in consultation with the owner & other

consultants and incorporate in the modeling to define the ‘proposed case’. Under this task, various ECMs will be identified, detailed and incorporated into the Design Case.

• Several cases (Design Case + ECM1, Design Case + ECM2, Design Case +… ECMn) will be defined and simulated. Combined ECMs based on the resultant savings from each conservation measure would be evaluated. Eventually, all ECMs that yield satisfactory results will be combined into a single case and presented as the proposed case.

3.0 Detailed Scope of Daylight Modeling - 3.1 Modeling Assumptions:

• Scope would include fenestration analysis and design with the help of software Tools to achieve diffuse sunlight penetration and provide direct line of site to occupied spaces.

3.2 Base Case Model: • Layout of the existing design, defining regularly occupied visual comfort zones

within the building, reviewing the interior layout plans and selecting an appropriate weather file.

• Importing the above information to Ecotect/Radiance and setting up the base case with appropriate information for each zone.

• Applying modeling assumptions to various zones according to their occupancies and interior finishes.

• Carryout several iterations so as to ensure that the model accurately represents the daylight behavior of the designed case.

3.3 Daylight Enhancement Strategies: • Identifying appropriate interior layout strategies to ensure optimum daylight quality

and quantity in crucial zones utilizing computer based Daylighting & Solar simulations demonstrating diurnal and seasonal performance.

• Identifying proper glazing specifications along with fenestration size and configuration to assist with solar control while optimizing Daylighting effectiveness and improving the overall energy efficiency of the project.

SCOPE OF SERVICES FOR THE CONSULTANT

I) PRELIMINARY REQUIREMENTS :

i) The Consultant shall take detailed brief of the project from the Corporation including the control layouts of the structure and other details regarding the important features to be provided in the various facilities to facilitate his work.

ii) The consultant shall submit alternative plans, elevations, perspective views

and internal layouts of the proposed Office for consideration of the Corporation. The consultant shall incorporate suggestions, modifications or alterations as desired by the Corporation in order to facilitate final selection of the layout and other details by the Corporation.

iii) The Consultant shall submit plans, elevations, sectional & perspective views

of the selected alternative in all details showing interior layout of each facility on a scale as decided by IOCL.

iv) The consultant shall submit minimum ONE prototype of the model for

the Final Layout selected by IOCL, to a suitable scale of the building including landscaping, in glass casing. No extra payment shall be made for this item by IOCL.

The modifications / suggestions made during such presentations shall be incorporated in the final drawings. The scope also includes making presentations to IOC by use of Walk throughs or still perspectives to IOCL satisfaction. The modifications / suggestions made during such presentations shall be incorporated in the final drawings. The Consultant may be required to make comprehensive presentations before officials of the Corporation at various stages to explain the concepts and detailing in order to facilitate approvals of the schemes. The Consultant shall incorporate any suggestions, modifications or alterations in the details after deliberations with the Corporation & submit revised drawings/schemes to the Corporation for final approval.

II) PREPARATION OF DETAILED BOQ, SPECIFICATIONS, DRAWINGS, PACKAGE WISE TENDER DOCUMENTS:

i) The scope of work shall include detailed structural design of the building

The Expenditure for the same shall be reimbursed by IOCL to the consultant or alternately the payment for the same shall be made directly by IOCL to these agencies.

ii) The consultant shall prepare detailed bill of quantities covering all items of

work to be carried out under various packages, detailed technical specifications and detailed cost estimates for all the tender packages including rate analysis of individual items of work and submit the same to the Corporation, The rate analysis shall be carried out based on actual market rate survey and supporting documents of rate analysis shall also be submitted to the corporation. The bill of quantities for various items shall be supported by quantity take-off sheets etc.

iii) The consultant shall prepare drawings for all items of work in all details and

calculate the bill of quantities accurately and show all construction details & elements necessary for executing the individual items of work.

iv) Execution drawings to be prepared on the scale of 1:50 or as per

requirement.

v) The consultant shall also prepare the preamble to schedule of rates detailing all works deemed to be included in the rate analysis of each item.

vi) The Consultant shall prepare construction drawings for all items of works in

all details in accordance with relevant standard codes of practice and sound engineering to enable individual contractors to complete construction without the need of any further detailing by the contractors. In other words, individual contractors will not be required to make any drawings or supply any details and all details are to be supplied by the Consultant. It is also brought to the attention of Consultant, that all construction drawings are required to be released along with the package wise tender documents and hence should be prepared in advance. However, some construction drawings may also require to be prepared by the Consultant on continuous basis during execution of interior work.

vii) The consultant shall plan, design and provide full details of all utility

services like water, electricity, sanitation scheme, fire hydrant system required as per the regulations in force. The consultant shall give complete details along with drawings for execution of work.

viii) Electrification scheme shall cover all HT & LT electrical works, substation, power connection, Switch rooms, site illumination, rising main, power/ lighting distribution up to work table, all requirements related to interior etc.

ix) Water supply scheme shall cover water connections, underground / semi

underground / above ground storage tank, pumping arrangement and pipeline connections.

x) The scope shall also include planning, designing and preparation of

detailed working drawings for site development including landscaping, surface drainages etc./ Internal roads/ Car / Scooter Parking / Communication System / Lifts / Overhead Water tank etc.

xi) The consultant shall be required to prepare PERT chart to monitor the

progress of work on fortnightly basis.

xii) Structural Stability Certificate shall be furnished by the consultant at the end of all works.

xiii) All design shall be carried out as per latest relevant IS standards.

xiv) The scope of work includes obtaining all statutory approvals from

APIIC (AP Industrial Infra structure corporation, AP Fire and Emergency Services, Civil Aviation, ULC (Urban Land Ceiling Clearance, other approvals required for commencement of work, during construction stage and obtaining occupancy certificate.

Obtaining all statutory approvals for commencement of work is in the Consultant scope. Statutory approvals for Lift, power connection, Electrical Inspector Approval, Storm Water, Sewerage, water supply, HVAC, Final clearance from AP fire and emergency services, permission from statutory authorities for rock cutting / blasting, statutory approval for bore well drilling, will be in respective contractors scope. Any approvals required from the Department of Explosives (Petroleum and Explosives Safety Organisation PESO) for Retail outlet realignment shall be in the Scope of IOCL. However Consultant to assist for giving design / technical clarifications, in case necessary to facilitate approvals. Obtaining occupancy certificate will be in consultants scope.

Payment of statutory fees regarding approvals will be made / reimbursed to consultant by IOC against documentary evidence.

xv) NOTE: Some of the Equipments / Machinery / Furniture / Fixtures of our existing AP State Office / AO/DO may have to be utilized for the proposed Office Building project based on their suitability.

III) LIST OF APPROVED MAKES:

i) The Consultant is required to recommend at least three makes for every material/ fitting proposed to be used in the work. The quality and the price of the recommended makes should be comparable to each other and be the best available in the market.

ii) The `List of Approved Makes’ is required to be finalized before proceeding with the rate analysis and detailed estimation.

IV) TENDER DOCUMENTS i) The Consultant shall prepare package wise tender documents to enable the

Corporation to invite tenders. The package wise tender document shall consist of:

a. Particular conditions of Contract. b. General Conditions of Contract.(To be supplied by IOC) c. Special Terms & Conditions of Contract. d. Technical Specifications.

e. Schedule of items & rates indicating quantities for individual items in which contractors will be required to submit their quotations.

f. Complete set of construction/ working/ shop drawings. g. Preamble to schedule of quantities. h. Any other document required to be included in the tender.

ii) While preparing the tenders, the Consultant will be required to check that all items required to be procured are included in the `List of Approved Makes’ given in the respective tenders. Items not included in the list shall be brought to the notice of the Corporation and names of recommended makes submitted for approval of the Corporation.

iii) Detailed cost estimates of each tender package (each page to be approved by

the Consultant) along with rate analysis of individual items of work duly supported by necessary documents and quantity take off sheets should be handed over to the Corporation separately.

iv) The Consultant should ensure that the quantities as executed will not vary

beyond 10% (plus minus ten percent) of the quantities as indicated in the detailed BOQ. For any variation in quantities beyond 10% in individual items of

work, detailed justifications will be required to be furnished by the Consultant for acceptance of the Corporation.

v) The works contract agreement is available with the corporation which shall be

attached with the tender.

vi) The documents shall be first submitted in the draft form. Any changes or corrections recommended by the Corporation shall be incorporated in the documents by the Consultant who shall submit the final approved tender documents. The consultant shall submit the soft copies in addition to the hard copy of all the documents/ drawings. Only one hard copy shall be required to be submitted.

vii) The Consultant shall participate and furnish technical explanation/ clarifications

to the tenderers on specific queries of the tenderers, during prebid meeting and before the last date for submission of tenders.

viii) The Consultant shall, however, not enter into discussions with the tenderers on

any matter concerning the rates/prices to be quoted by the tenderers.

ix) Number of tenders to be invited for the project will depend on break-down of the jobs and overall programming. Since this work is a specialized job and good finishing is the essence of the job. The Consultant shall recommend to the Corporation a panel of at least six reputed contractors for each package tender. The consultant shall recommend the name of the parties who had carried out similar jobs for various tender documents. The recommended name of the parties shall be based on the scrutiny of the credentials of the parties with respect to their capability of carrying out similar work and scrutiny of their organizational & financial strengths & other parameters.

V) CO-ORDINATION MEETINGS:

The following coordination meetings shall be held for effective implementation of the project:

a) There shall be regular meetings wherein representatives of the Corporation

and the consultant are present to review the progress and other aspects of the work. Till the award of work, these meetings shall be held in IOC’s office Consultant shall record minutes of such meeting and maintain them as records for future references after obtaining the Corporations approval to the same within a week.

b) After award of work fortnightly meetings shall be held at site along with

contractor’s representative to achieve desired level of coordination for project implementation & completion.

c) A monthly progress report shall be submitted to the Corporation in the last

week of every month, starting from the award of consultancy work, giving the status of each activity in all details including status of individual activities within their organization such as planning, design, detailed engineering and package wise tender preparation.

VI) QUALITY & PROGRESS OF WORK

i) The Consultant will submit detailed Reports, listing consultant's own activities and also works to be carried out by other Contractors/ Agencies for the final completion of project, utilizing appropriate Project Management Software. Such Reports shall be duly updated on a monthly basis in real time along with recommendations to crash completion periods indicating related costs, if any.

ii) To keep strict control on the quantities of work executed and while giving

decision, the Consultant shall always keep the cost factor paramount in mind, commensurate with the desired quality of work. For all decisions involving additional expenditure or deviations from contract the matter is to be placed before the Corporation and their approval obtained before giving decisions.

iii) The Consultant will be required to carry out regular safety audits at site with

a view to ensure adoption of safe construction practice by the contractor & take up with them for each case of unsafe construction practice.

iv) QAP details for use at site during execution of works.

v) Materials/ Equipments which are required to be tested at factory before despatch

to site, the same shall be witnessed, reviewed and given clearance for despatch to site by consultant.

VII) SUPERVISION OF SITE ACTIVITIES

i. The consultant shall depute minimum three site Engineers with a team of

specialists in various Disciplines (Site in charge shall have minimum 5 years building construction experience as project In-charge) the total period of construction is expected to be 24 months. Site in charge should be supplemented with experts in the field of Civil / Structural, Electrical, Mechanical, HVAC, Interior, Fire & Safety etc, as and when required as per execution schedule. Site engineers should be continuously present at site during working hours including holidays when work is in progress. Consultant to make alternate arrangements for any leave / holiday for their employees. Expert from the respective field as per the progress of various works shall also be posted as and when required in consultation with IOCL. Bio data for the site

team shall be approved by IOCL. The date of start of supervision activity will be taken from the date of commencement of work for the first work order at site. In case, there is no activity at site due to suspension of work due to any reason, supervision period will be extended accordingly without any cost to IOC.

NOTE: IN CASE THE SITE SUPERVISION EXTENDS BEYOND THE SCHEDULED COMPLETION OF THE PROJECT AS PER DETAILS GIVEN IN PARA ABOVE, THE PAYMENTS FOR THE ENGINEERS POSTED AT SITE SHALL BE AS PER THE RATES QUOTED IN PRICE BID FOR ITEM 2. HOWEVER IN CASE THE PROJECT IS COMPLETED BEFORE SCHEDULE, THEN IN SUCH A CASE PRORATA RECOVERY SHALL BE MADE FROM THE FEES PAYABLE TO THE CONSULTANT AS PER THE RATES QUOTED IN PRICE BID FOR ITEM 2 ONLY TOWARDS SUPERVISION CHARGES.

ii. Role of Consultant’s Site Engineer will be to give marking for layout of building

and various equipments, check dimensions of various structures of building, to check quality of work as per approved drawings & QAP, check all quality control records, inspection of material brought to site for execution, certify measurement of work in Measurement Book and Bills, maintaining all records as per IOC requirements, attend site meetings with contractor, to give site decisions for execution of work to contractors in writing to contractors in writing.

iii. The coordinator from consultant’s side shall be required to make at least one

site visit in a fortnight and submit report to IOCL to review the quality of work and to ensure that the actual construction is being carried out as per schedule.

VIII) COMPLETION TASKS:

i. Technical assistance will be given to the Corporation in answering any audit /

Technical enquiry which may arise with regard to any aspect of the work.

ii. Technical assistance shall be given to the Corporation in arbitration and litigation that may arise with regard to the contracts entered into between the Corporation and the contractors.

iii. It shall be responsibility of the consultant in getting the project services

connected to the local authorities mains for electricity, water and sewerage, telephone, etc. as the case may be.

iv. The Consultant shall submit all drawings, designs, specifications etc., which

have been prepared by them for any item of work for approval of the Corporation and in sufficient time to permit modification being made in the drawings etc. submitted for approval of the Corporation without affecting the overall time schedule. All drawings, designs & specification submitted for

approval shall be approved or commented upon, in writing, by the Corporation within a reasonable time from the date of receipt. If the Consultant requires early approval of any drawing, design or specification in order to avoid delay in the completion of the works, he shall advise the Corporation in writing to such effect when submitting the drawing, design & specifications. The Consultant shall make any change in the design which is necessary to make the design conform, to the provisions and intent of the agreement and give safe and trouble free installation. Approval given by the Corporation to any drawing, design or specification is only for the general arrangement and shall not relieve the Consultant of any obligations indicated in this agreement. The Consultant shall be responsible for all discrepancies, errors or omissions in the drawings, design & specifications and other particulars supplied by him, whether such particulars and drawings have been approved by the Corporation or not. Consultant shall carry out at his own expense any change in drawing, designs or specifications necessitated by reason of any discrepancy, error or omission in the drawings and particulars supplied by him. All such drawings, designs, specifications or particulars after approval by the Corporation shall be released to contractor through the Corporation after being certified by Consultant to be "Released for Construction".

v. Preparing as built drawing will be in contractors scope. The Consultant

will assist contractor in preparation of these drawings by releasing soft/ hard copy of working drawings, reviewing and offering their comments for final submission to IOCL

IX) OBLIGATIONS OF THE CORPORATION:

i) Obligations as described hereinafter, shall be discharged by Corporation within mutually agreed time schedules and free of cost to the Consultant, to whom the work is awarded

ii) Corporation shall hand over a copy of the layout for the project while awarding the work to the Consultant.

iii) Corporation shall give comments/ approval for each drawing, layout plan, within 15 days from the date of submission by the consultant.

iv) Corporation shall give comments/ approval for each tender document within 15 days from the date of submission by the consultant for preparation of final tender document.

v) Plot demarcation drawing will be given by IOC to consultant.

SPECIAL CONDITIONS

1. The Schedule of Rates shall be read with all other sections of this tender document.

2. The Bidder shall be deemed to have studied all the documents including details of works to be done within the time schedule and to have acquainted himself of the conditions

3. All items of work mentioned in the Schedule of Rates shall be carried out as per the Concept note, Scope of works, specifications, drawings and instructions of IndianOil and the rates are deemed to be inclusive of all services wherever required as called for completion of works as stipulated.

4. IndianOil reserves the right to cancel/ delete/ curtail any item or group of work, if necessary. Such a step shall not be construed as reason for changing the rates.

5. The Architect engaged for this project shall have valid registration with the Council of Architect (COA) constituted by the Government of India under the provision of Architect Act 1972 enacted by the President of India.

6. The address of the Site is as below :

Plot No: 7, Phase – II, in SY No. 64/2, at HI-TECH City layout, Madhapur (Village), Serilingampally Mandal, Ranga Reddy District, Andhra Pradesh

7. The conceptualization, planning and design work (basic & detailed) shall be carried out for the proposed facilities with due regards to social, ecological, environmental and regional aspects, sound international engineering/ architectural practices.

8. Follow-up and obtaining all approvals as per the requirements of local & statutory authorities. These include the following but will not be limited to the same.

• Building Plan Approvals/ Building Construction Approvals and all necessary required approvals.

• All other Statutory approvals.

9. Consultant shall arrange to send samples for testing to reputed labs in line with QAP.

10. IndianOil shall reimburse fees paid to various statutory authorities at actuals, on production of original receipt. IndianOil’s prior written consent to be taken before making payment to any statutory authority. In the event of statutory fee/ payment being more than Rs. 10,000.00 or so at a time, Payment can directly be arranged by IndianOil through consultant.

11. Completion Time :

• As mentioned in the payment schedule of different activities. ( Annexure- A)

• Supervision of Construction Works : Approximately 24 Man-Months From the Date of mobilization of by contractor at site.

As regards, consultancy services, the time indicated is directional and actual time shall interalia depend upon time taken by statutory authorities for approval etc. No recovery/compensation shall be applicable from consultancy fee in case of deviation from the time lines indicated. However, Price Reduction shall be applicable as stipulated for delay in completion of milestones.

12. Price Adjustment for delay in completion of Milestones : As stipulated in Mile Stone based completion and payment schedule, the corporation shall be entitled to recover from the consultant, price adjustment for delays.

In case the progress of the work is unduly and unreasonably delayed by the Consultant without sufficient cause, Corporation without prejudice to the rights under the contract reserves the right to terminate the contract wholly or partially and complete it by itself or reassign it to other agencies entirely at the risk and cost of original consultant after giving 30 days notice in writing to the Consultant.

13. Tender shall be valid for four months from the date of opening.

14. The contracted rates shall remain firm till the completion of the consultancy services in all respect and no escalation whatsoever shall be permissible on any account. The consultant shall be associated with the Corporation for the entire duration of the Project.

15. As per preliminary cost estimate, the cost of the project (excluding cost of land, payment to statutory authorities, & consultancy fees etc.) is Rs. 4273 Lacs, Tenderer is required to quote their consultancy fee as lumpsum in the Price Bid.

16. Running Payment shall be made based on milestones as covered in Annexure A. In case of some milestones viz. finalization of Tender Packages, technical

evaluation of technical bids, pro-rata payments may be considered by IOCL at its discretion.

17. During constant supervision of the work the consultant shall depute three qualified & experienced construction engineers. Additionally periodical visits of Senior Engineer/ Architect shall be made as required to ensure adherence to quality standard and time lines.

18. Consultant shall make their own arrangement for office space, telephone, fax etc.

19. Consultancy fee shall be inclusive of all taxes, duties, levies, except Service tax which shall be paid at actual.

20. The facilities shall be constructed as per enclosed concept note/ design basis.

21. The consultant is required to recommend at least three makes of every material/fittings proposed to be used in the work. The quality and the prices of the recommended makes should be comparable to each other and the best available in the market.

‘The List of Approved Makes’ is required to be finalized before proceeding with the rate analysis and detailed estimation.

22. Prior to deployment by Consultant of personnel with respect of any services covering construction supervision, inspection/testing of materials etc., the consultant shall submit the detailed Curriculum Vitae of such person proposed to be posted at site to IndianOil for concurrence & approval. The consultant shall also obtain clearance from the IndianOil for the type/ category of personnel required and approximate duration(s) of their stay. During execution of works, persons from different disciplines may be required time to time to suit requirement of on going works. Any concurrence/ approval of IndianOil does not relieve Consultant of his responsibilities and all the liabilities to this effect shall be of Consultant. The minimum qualification of the Resident Engineer shall be B.E with 3 years of site experience

23. The IndianOil and Consultant shall jointly maintain a record of all consultant’s personnel chargeable at Man-Month Rates/per visit basis deployed each day which shall be used as the basis for calculating payments due to the consultant for the

services covering construction supervision, start-up, commissioning assistance and handing over at site.

24. Should the performance of any of Consultant’s personnel be found unsatisfactory by IndianOil, the replacement of such personnel shall be carried out by the Consultant within 7 days of notification by IndianOil.

25. IndianOil shall appoint one person/ committee that would work as interface between IndianOil and consultant. All correspondence should be routed through this person/ committee.

26. It is expected to hold monthly meeting at work site and bimonthly (once every two

months) meet at IOCL's Office at Hyderabad post placement of tender package

alongwith contractor's representative to achieve desired level of co-ordination for

project implementation and completion. No extra compensation shall be

considered for expenses towards attending these meetings.

27. All original approvals are to be handed over to IOCL. IOCL shall make the necessary statutory payments. The consultant shall be required to obtain all necessary statutory approvals required for construction of building.

28. In case of contradictory conditions, the conditions / details given in the documents supersedes the conditions / details in document in following order:- NIT

29. Structural stability certificate shall be furnished by the consultant at the end of all

works.

implied including Price Reduction, whether expressed or implied, shall be limited to 20% (Twenty Percent) of the amount receivable by the Consultant under the Contract except patent liability and amount receivable from Insurance.

Neither party shall have liability for indirect damages or consequential loss including loss of profits and/ or products or revenue sustained by the other.

In the event of the Termination of the Contract by Owner for reasons attributable to Consultant, the owner will get the balance work executed by engaging another consultant at the actual Risk & Cost to the Consultant and provisions here of above on Limitation of Liability or expressed elsewhere on shall also be applicable. Money due to owner on this account shall be adjusted from the payments due to the consultant and balance money shall be claimed/ recovered from the consultant.

33. Guarantees & Liabilities

A. General

Consultant shall guarantee that the work as specified and described in this bid document and technical documents to be developed shall be in accordance with sound and established engineering practices, using national Standards and Indian Codes and Regulations, wherever applicable, for the purpose specified, free from defects/ faults and suitable for respective uses intended.

B. Engineering

In the event of faulty engineering & design i.e. error or omission in the technical services/ studies performed by the consultant, in respect of work described above, consultant shall carry out corrective technical studies and engineering as may be required without any additional cost to the owner. However, no such liability shall lie after expiry of Defect Liability Period, which is 18 Months from the date of Mechanical Completion or 12 Months from the Date of Commissioning, whichever is earlier. Security Deposit shall be valid till the defect liability period.

34. Insurance

The work shall be deemed not to be complete unless the occupancy certificate is received from statutory authorities.

OWNER and its officers, servants and agents from and against all third party claims whatsoever (including but not limited to property loss and damage, personal accident, injury or death of or to property or person of -any sub-consultant and/or the servants or agents of the CONSULTANT or any other CONSULTANT(s) and any sub-consultant and/or of the Owner), and the CONSULTANT shall at his own cost and initiative at all times up to the successful conclusion of the defect liability period specified above hereof take out. and maintain insurance policies in respect of all insurable liabilities under this clause, including, but not limited to third party insurance and liabilities under the Motor Vehicles Act, 1988; Workmen’s Compensation Act, 1923; Fatal Accidents Act, 1855; Personal Injuries (Compensation) Insurance Act, 1963, Emergency Risk Insurance Act, and/or other Industrial Legislation from time to time in force in India with insurance company(ies) approved by the OWNER, and such policy(ies) shall be of not lesser limit than the limits hereunder specified with reference in the matters hereunder specified, namely:

(a) Workmen’s Compensation Insurance - to the limit to which compensation may be payable under the laws of the Republic of India ; but not less than the limits specified below.

(b) Third Party Insurance- body injury and property damage to the limit specified below:

The limits aforesaid shall be as follows : (i) If the total contract value exceeds Rs.1(one) crore, the policy shall be for not less than Rs.10,00,000/- (Rupees ten lakhs only) for each accident. The sum assured shall not be less than Rs.20,00,000/- (Rupees twenty lakhs only) for all accidents ; and

(ii) If the total contract value does not exceed Rs.1 (one) crore, the policy shall be for not less than Rs.3,00,000/- (Rupees three lakhs only) for each accident. The sum assured shall not be less than Rs.10,00,000/- (Rupees ten lakhs only) for all accidents.

Provided that the limits specified above shall operate only as a specification of minimum limits for insurance purpose, but shall not anywise limit the consultant’s liability in terms of this clause to the limit(s) specified.

Should the CONSULTANT fail to take out and/or keep afoot insurance as provided for in the foregoing sub-clauses, the OWNER shall be entitled (but without obligation to do so) to take out and/or keep afoot such insurance at the cost and expense of the CONSULTANT and without prejudice to any other right or remedy of the OWNER in this behalf to deduct the sum(s) incurred therefore from the dues of the CONSULTANT.

35. Either party to this contract shall not disclose confidential information to any

third party without prior approval of other party.

36. Security Deposit

The security deposit for consultants for works shall be equivalent to the 10% of the consultancy fee (excluding optional items) of the work done. Out of the total Security Deposit 25% shall be paid by Demand draft in advance on acceptance of contract and balance 75% of the security deposit shall be recovered from the running bill @ 10% of the bill amount till 100% of the Security Deposit is recovered. The Earnest Money deposited by Demand draft by the consultant may be converted into part of 25% of the Security Deposit which is required to be paid immediately by the consultant on his acceptance of the work order. The conversion of Earnest Money into part Security Deposit will be made on receipt of written request from the consultant along with cash receipt.

The Security Deposit can be paid in the following manner :

a) Pay Orders or Demand Draft of Nationalised/ Schedule Banks on which no interest will be allowed

b) If the consultant desires to pay Security Deposit by way of BG, then they should submit Bank Guarantee for the entire amount of the Security Deposit work out based on work order value before commencement of work. (These BG’s should be of Nationalised/ Scheduled Banks sent directly by the Banker under their covering letter to the office of the Corporation by Regd. Post). HOWEVER, BGs WILL NOT BE ACCEPTED IF THE TOTAL AMOUNT OF THE SECURITY DEPOSIT IS LESS THAN

RS. 1.00 LAC. The BG shall be valid upto 3 months beyond the end of defect liability period.

c) The retention (Defect Liability) period for security deposit will be 18 months after the date of mechanical completion of the work or 12 months from the date of occupation certificate, which ever is later.

37. The consultant shall comply with all Government Regulations, Labour Laws, Safety

Regulations, Environmental Regulations and Protection, etc.

38. Consultant should furnish documentary proof of their being registered with

Council of Architect.

39. Design of foundation for the proposed building shall be done to have one more

floor in future to meet additional floor space requirement.

40. No extra compensation shall be considered for manhours /traveling etc. spent in

Meetings to be held at IOCL’s Hyderabad Office or Consultant’s Office or at work

site in connection with the works.

41. Canvassing:

Canvassing in connection with tenders is strictly prohibited and the tenders submitted by the consultant who resort to canvassing shall be liable to rejection.

42. Each consultant/ bidder shall give a declaration in the prescribed format annexed

to the Form of Tender that he/it/they is/are not under any blacklist declared by the OWNER or by any Department of the State or Central Government or by any other Public Sector Organisation and that there is no inquiry in respect of any corrupt or fraudulent practice pending against him/it/them. In case he/it/they are under any such list, or any inquiry is pending he/it/they shall in the declaration give full details thereof. Such declaration in respect of a partnership firm or association of persons shall cover every partner or member of the association, and in the case of Company shall cover every Director and Principal Shareholder of the Company and any Holding Company and/or Subsidiary Company(ies) if any.

43. If a consultant is on any such List or if any such inquiry is pending against

it/him/them or if the Bidder makes a false declaration, the OWNER reserves the right to reject the Bid, and if the Bid has resulted into a contract, the contract is liable to be terminated.

44. Cost of Preparation and Submission of Bids:

The consultant shall prepare the tender at his/its/their own risk and shall bear all time costs of preparing and submitting his/its/their tenders, as well as all other costs of tendering for the work and the OWNER shall take no liability for these costs.

45. Retired Company Directors:

45.1 No Director of the OWNER is allowed to tender for a period of 2 (two) years after his retirement from the employment of the OWNER, without the previous permission of the OWNER. The Contract if awarded is liable to be cancelled if the consultant is found at any time to be such a person and has not obtained the permission of the OWNER before submission of the tender. Any tender by a person aforesaid shall carry a disclosure thereof on the tender, and shall be accompanied by a copy of the document by which the requisite consent is given. Such disqualifications shall apply to every partner of a partnership firm.

45.2 The consultant is required to state whether he is a relative of any Director of

the OWNER, or whether the consultant is a firm, whether a Director of the OWNER or relative of such Director is a partner in the firm, or whether the consultant is a Company, whether a Director of the OWNER or relative of such Director is a substantial member holding more than 10% (ten percent) of the paid up capital in the Company, or a Director of the Company.

46. Information:

The information given in the Tender Documents and the plans and Drawings forming part thereof is merely intended as a general information without undertaking on the part of the OWNER as to their accuracy and without obligation relative thereto upon the OWNER. The consultants are expected to conduct their own surveys and investigations as prior to tendering.

All information disclosed to the consultants by way of the Tender Documents shall be considered confidential and shall not be disclosed to any party by the consultants except as may be necessary for carrying out the work. Where it is found that any consultant has violated and has disclosed sensitive and vital information impugning on the security of the installation/national security, necessary action, as may be called for, may be taken against the consultant concerned in addition to his being liable to be black listed and/or barred from participating in future bids.

47. The consultant shall before tendering and shall be deemed before tendering to have undertaken a thorough study of the proposed work, the job site(s) involved, the site conditions, soil conditions, the terrain, the climatic conditions, the labour, power, material and equipment availability and transport and communication facilities, the availability and transport suitability or borrow areas, the availability of land for right of way and temporary office and accommodations, quarters, and all other facts and facilities necessary or relevant for the formulation of the tender, supply of materials and the performance of the work. Without prejudice to the a foregoing, the consultants may be allowed access to any information regarding the site of the work, the investigations conducted relative thereto, such as soil investigation etc. But, these shall be only indicative in nature and the consultants are expected to collect their own data for preparation and submission of their tender. Any claim at a later date based on either incorrectness or inadequacy of the information/data made available by the OWNER/consultant to a tenderer shall not be entertained. The OWNER/Consultant shall be fully absolved of any and all liabilities in this regard.

48. All communication from the OWNER to the consultants shall be sent by speed

post/courier as may be applicable. The consultants must acknowledge each and every communication sent by the OWNER the duplicate copy or the Xerox copy of the said communication duly signed by the Consultant(s) in token of receipt. Wherever feasible, communications may he sent by Fax/E-mail also followed by confirmation copies by post.

The rates will be valid till the completion of works in all respects and no escalation

whatsoever will be entertained due to extension of time on any grounds.

49. No upward revision of rates will be accepted. If the Consultant fails to accept the work order placed at their originally quoted or subsequently negotiated rates, as the case may be IOC may initiate action to debar them from participating in future tenders which may include putting them on holiday list. Once the quotation is accepted and the work order placed on the successful tenderer, the rate shall be firm and unaltered and no escalation of what so ever nature including increase in statutory levies will be permitted.

ADDITIONAL INSTRUCTIONS TO TENDERERS/ CONSULTANTS 1. Incomplete tenders or tenders received late or tender not confirming to terms and

conditions prescribed in the tender documents are liable to be rejected.

2. The corporation reserves the right to accept any tender in whole or part and reject any tender without assigning any reason. The corporation is not bound to accept one or more tenders in part. The decision of the corporation in this regard shall be final.

3. After the placement of the order the successful tenderer shall not be allowed to sublet or assign any part of the work order without our prior written consent.

4. The successful bidder should give in writing to the corporation, the name of his authorized person who will supervise the work and shall remain at the site during execution of the job.

5. The consultant shall arrange instruments, equipments required for carrying out quality checks at site to ensure execution of works as per specifications.

6. SAFETY: All safety precautions and regulations should be strictly adhered to at no extra cost to the Corporation.

7. LABOUR LAWS-INDEMNITY BOND/ UNDERTAKING : The consultant shall give an Indemnity Bond/Undertaking to the Corporation in the prescribed form (Format ‘A’ or ‘B’ as applicable) for covering the provisions of the following statutes up to the latest amendments as applicable.

a. Minimum Wages Act, 1984. b. Equal Remuneration Act, 1978. c. Inter-state Migrant Workman (Regulation of Employment &

Conditions of Services) Act, 1979. d. Contract Labour (Regulation & Abolition) Act., 1970. e. Workmen Compensation Act, 1923. f. Employees State Insurance Act. g. Provident Fund Act.

Particulars of Registration with appropriate Government Authorities/ Statutory Bodies as mentioned above as applicable should be furnished to the corporation in receipt of the work order.

8. Provision of safety belts for personnel working on the scaffoldings is compulsory.

9. Budgetary estimate shall be based on Concept Note, approved layout drawings, detailed survey, soil investigation, consideration to statutory regulation, environmental consideration and keeping 5% towards contingencies.

10. Technical estimates shall be based on drawings approved by IOCL and statutory authorities. The format for Technical Estimates and description of various items therein shall be same as “Schedule of Rates/Price Bid for various tender packages.

4. The Consultants should study the offer documents carefully and understand the

various conditions, specifications, etc. before quoting. If there are any doubts, they should get clarifications in writing, but this shall not be justification for delay in submission of Offer or extension of opening date. Offer should be strictly in accordance with our drawings, conditions of agreement, specifications and other offer documents.

5. The Consultant should quote his fees, in all columns in Schedule of Fees. These

should be expressed both in figures and words, and where there is a difference between the two, the fees given in the words will be taken as authentic.

6. All entries in the Offer documents should be in INK/ TYPE. All corrections should

be attested under the full signature of the Consultant. Corrections where necessary, should be made by scoring out the wrong words/ figures by drawing a line across them and attesting these with full signatures. These should not be erased or over written.

7. Offers which are incomplete, conditional, received late or not conforming to the

terms and conditions prescribed in the offer document will be rejected. The Corporation is not bound to accept the lowest offer and reserves the right to reject any or every offer without assigning any reason whatsoever and/or to carry out negotiations with the Interior consultants in the manner considered suitable by the Corporation.

8. When the Consultant signing the offer is not the sole proprietor, the necessary

power of attorney authorizing him to act on behalf of the proprietor, or organization should be submitted along with the offer.

9. The consultants must distinctly understand that they will be strictly required to

conform to the conditions of this contract as contained in each of its Clauses and that the plea of "custom prevailing" will not on any account be admitted as an excuse on their part for infringement of any of the conditions.

10. After submission of offer, authorized representatives may have to attend our office for

discussions/ negotiations if any, in respect of their offers without any commitment on the part of the Corporation.

11. After communication of the Corporation's acceptance of the Consultant's Offer, if the

Consultant fails to return the duplicate copy of the work order and the Agreement duly signed in token of their acceptance within 15 days of date of work order or telegram of intent whichever is earlier, the work order will be cancelled by the Corporation, without any further reference to the consultant.

12. On acceptance of offer, the successful Consultant will have to execute an agreement

with the Corporation covering all aspects of the Contract, immediately before commencement of work. The consultant should hence acquaint themselves with the provisions of agreement before quoting.

13. The Consultant will abide by the Rules, Regulations, Bye-laws and Statutes, etc.

imposed by the Government/ Semi Government and other local governing bodies for execution of this job.

14. Any omissions/deviations noticed in the item without the prior written approval of the

Corporation, shall result in rejection of the Consultant's claim for payment for these items.

15. The offer will be valid for a period of FOUR ( 04 ) MONTHS from the date of opening

the tender which will be taken as the date of opening of techno-commercial bid in case of two bid system of tenders.

16. The Corporation reserves the right to accept any offer in whole or in part and reject

any or all offers without assigning any reasons. The Corporation reserves the right to accept more offers in part. The Corporation also reserves the right to accord purchase/ price preferences to the public enterprises and Joint ventures of the Corporation as per the prevailing policy. Decision of the Corporation in this regard will be final.

24. Quotations: 24.1 The consultant shall quote for the jobs on the basis of the items entered in the

Form of Schedule of Rates, and shall quote separately for each and every item(s) entered in the Form of Schedule of Rates.

24.2 The prices quoted shall be all inclusive as proved, for in respect of Schedule

of Rates in the General Conditions of Contract and the OWNER shall not entertain any claim(s) for enhancement of the price(s) on any account whatsoever.

25.3 The consultant shall before tendering and shall be deemed before tendering to

have undertaken a thorough study of the proposed work, the job site(s) involved, the site conditions, soil conditions, the terrain, the climatic conditions, the labour, power, material and equipment availability and transport and communication facilities, the availability and transport suitability or borrow areas, the availability of land for right of way and temporary office and accommodations, quarters, and all other facts and facilities necessary or relevant for the formulation of the tender, supply of materials and the performance of the work. Without prejudice to the a foregoing, the consultants may be allowed access to any information regarding the site of the work, the investigations conducted relative thereto, such as soil investigation etc. But, these shall be only indicative in nature and the consultants are expected to collect their own data for preparation and submission of their tender. Any claim at a later date based on either incorrectness or inadequacy of the information/data made available by the OWNER/consultant to a tenderer shall not be entertained. The OWNER/Consultant shall be fully absolved of any and all liabilities in this regard.

25.4 All communication from the OWNER to the consultants shall be sent by speed

post/courier as may be applicable. The consultants must acknowledge each and every communication sent by the OWNER the duplicate copy or the Xerox copy of the said communication duly signed by the Consultant(s) in token of receipt. Wherever feasible, communications may he sent by Fax/E-mail also followed by confirmation copies by post.

25.5 The OWNER reserves the right to consider/evaluate only substantially responsive

tenders. A substantially responsive tender is one, which, in the opinion of the OWNER (which shall be final amid binding on the Consultant(s), substantially conforms to all the terms, conditions, specifications and requirements of the Tender Document without material deviations or reservations in respect of any of the following:

(a) Scope, quality or performance of the work.

(b) OWNER’s rights or the consultants obligations under the contract as per the tender documentation.

(c) Such deviations the correction of which would affect the competitive position

of other tenders, who have submitted substantially responsive bids. (d) Any tender unaccompanied by the earnest money in a form which is not

acceptable as per the Tender Documents, or falling short of the requirement of the Tender Document, shall be liable for rejection.

25.6 Bidders are expected to bid strictly on the format and subject to the terms and

conditions specified in the Tender Documents. Any bid containing any deviation which in the sole opinion of the OWNER is material, or which in the opinion of the OWNER cannot be evaluated so as to place other bidders at a disadvantage, shall be liable to have his/its/their bid rejected.

25.7 In case any bidder considers it inevitable or unavoidable to make certain deviations

from requirements and stipulations of the Tender Document, such bidder shall bring out the same separately and prominently in a separate statement enclosed with the tender (or techno-commercial part of the tender in case of two part tenders) so as to make it prominently noticeable by the authority opening the tender. Such a statement should clearly indicate the particular page number, clause, or section of the Tender Document deviated from, the scope and extent of the deviations and explanation as to why the said deviation is considered inevitable or unavoidable in the view of the consultant.

26.0 Addenda: 26.1 Addenda to the Tender Documents may be issued prior to the date of opening of

the tender (and in the case of 2 (two) bid system, prior to the date of opening the price part of the bid) to clarify documents or to reflect modifications in the design or contract terms.

26.2 Such addendum(s) issued shall be distributed in duplicate, to each person or

Organisation to whom Tender Documents have been issued. Each recipient will retain, one signed copy of such addenda(s) for submission along with his tender and return one signed copy to the authority inviting tenders as acknowledgment of receipt of the addendum. All such addendum(s) issued shall form part of Tender Documents.

27. Corrections and Alterations:

Tenderers are required to fill in the Tender Documents with all due care, avoiding cuttings/corrections/alteration / overwriting etc. in the entries, as far as possible. In case corrections/alterations become unavoidable or inevitable, the entry to be corrected, altered should be neatly cancelled or scored through by striking the

entry by drawing a line through it and making the revised/corrected entry as close to the cancelled entry as possible, each such cancellation and correction/alteration being clearly and unambiguously authenticated by the Tenderer by his full signatures. Overwriting and/or erasing with or by the application of correcting/erasing fluid(s) will not be permitted and shall render the Tender for rejection.

28. Signing of Tender: (i) The tender shall contain the name, residence and place of business of the

person(s) making the tender and shall be signed by the tenderer with his usual signature. Partnership firms shall furnish the full names of all partners in the tender and shall annex a copy of Partnership deed to the tender. It shall be signed in the partnership name by the partners or by a duly authorised representative followed by time name and designation of the person signing. Tenders by Corporations shall be signed in the name of the Corporation by a person duly authorised to do so.

(ii) The person signing the tender shall state his capacity and also the source of his

ability to bind the tenderer. The power of attorney or authorisation or other document constituting adequate proof of the ability of the signatory to bind the tenderer shall be annexed to the tender. The OWNER may reject outright any tender unsupported by adequate proof of the signatory’s authority.

(iii) When a tenderer signs a tender in a language other than English, the total

amounts tendered should in addition be written in the same language. The signature should be attested by at least one witness.

29. Collusive or Fraudulent Tenders:

In case it appears to the OWNER, after examining the tenders received, that any 2 (two) or more tenders are collusive or otherwise manipulated to the disadvantage of the OWNER and against the spirit of ethical competition, the OWNER reserves the right to summarily reject such tenders. It shall not be incumbent on the OWNER to prove any collusion or other malpractice in this regard.

30. LABOUR LAWS-INDEMNITY BOND/ UNDERTAKING : The consultant shall give an Indemnity Bond/ Undertaking to the Corporation in the prescribed form (Format ‘A’ or ‘B’ as applicable) for covering the provisions of the following statutes up to the latest amendments as applicable.

SPECIAL TERMS AND CONDITIONS OF CONTRACT 1 Price Basis : 1.1 Validity of rates :- The quoted rates shall be valid for a period of four months

from the date of opening of Technical Bid for Corporation’s acceptances and for the successful tenderer, till completion of contract in all respects. No escalation shall be entertained at any stage of the contract.

1.2 The rates/ amount quoted for the tender items should be inclusive of all taxes,

duties, preparation and submission of all details as mentioned in the scope of work attached but excluding service tax. Service tax as applicable will be paid by IOC. The rate of present service tax is 10.30%. No other payment other than the rate/ amount quoted towards the tender will be entertained.

1.3 Once the work order is placed and the same is accepted, the rates will be valid till

the completion of works in all respects and no escalation whatsoever will be entertained due to extension of time on any grounds.

2 After the placement of the order the successful tenderer shall not be allowed to

sublet or assign any part of the work order without Corporation’s prior written consent.

3.0 COMPLETION SCHEDULE OF THE PROJECT

3.1 The project is scheduled for completion within a period of 24 months. 3.2 All required statutory approvals for commencement of work to be obtained as

mentioned in the payment schedule.( Annexure – A) 3.3 As the services are being provided for completion of all work being taken up as

part of the project, the successful Consultant shall be associated with the Corporation for the entire duration of the project which is likely to be 21 months. Each component of payment schedule is required to be completed as per the completion time in the schedule.

4.0 DELAY IN COMPLETION OF WORKS: It must be noted that time is essence of the contract and the consultant will be

required to by the time limits strictly as given in the items of ‘Milestone based completion & Payment Schedule’ of tender. Without prejudice to the rights of the Corporation under the contract, the Corporation shall be entitled to price reduction as mentioned in the payment schedule.( Annexure – A)

The site activities shall be completed within 24 months from the date of start of

work at site. In case the completion of the project is delayed for reasons not

attributable to the consultant, site supervision charges on per man-month basis as per the rates quoted in the price bid shall be payable. However, in case the project is completed before 24 months, pro-rata recovery as per the rates quoted in price bid shall be made.

This clause is not applicable for the genuine delays beyond the control of

consultant like delay in execution of work by various agencies, provided that the consultant does not fail to perform his assigned jobs on time.

5.0 ORIGINAL APPROVALS:

The original copy of all statutory approvals is to be submitted to IOCL.

6.0 SUBMISSION OF BILLS:

The bills will be submitted by consultant for items of work executed in line with payment schedule of work order.

7.0 STATUTORY RULES & REGULATIONS:

The Consultant will abide by the Rules, Regulations, Bye-laws and Statutes, etc. imposed by the Government/ Semi Government and other local governing bodies for execution of this job.

8.0 General :

Payment to the consultant can be made through Electronic Clearing System (ECS) subject to agreement by representative Banks of IOC and contractor if feasible. For this option consultant to confirm and submit details of Bank Accounts

9.0 INVALID / REJECTION OF TENDERS

9.1 A tender shall be rejected outright, if the tenderer:

1. Does not fulfill minimum qualifications parameters as prescribed in the NIT. 2. Submit the tender late, i.e. after due date & time 3. Is holiday listed or blacklisted 4. Does not submit complete tender documents. 9.2 A tender is also liable for rejection, if the tenderer: 1. Stipulates the validity period less than what is stated in the Tender form 2. Stipulates his own conditions. 3. Do not disclose the constitution of the firm as well as the schedule of rates,

annexure, specifications, etc.,

4. Do not fill in and sign the tender form as well as the schedule of rates annexures, specifications, etc.

10. USE OF WHITE / ERASING FLUID FOR CORRECTING THE RATES IS

BANNED. WHEREVER THE RATES ARE CORRECTED WITH WHITE / ERASING FLUID, THE BIDS WILL BE SUMMARILY REJECTED.

11. In case the date of issue / receipt of tender happens to be a holiday, the tender will be issued / received and opened on next working day at stipulated time

11. The conceptualization, planning and design work (basic & detailed) shall be carried out for the proposed facilities with due regards to social, ecological, environmental and regional aspects, sound international engineering/ architectural practices.

12. IndianOil shall reimburse fees paid to various statutory authorities at actuals, on

production of original receipt. IndianOil’s prior written consent to be taken before making payment to any statutory authority. In the event of statutory fee/ payment being more than Rs. 10,000.00 or so at a time, Payment can directly be arranged by IndianOil through consultant.

13. The contracted rates shall remain firm till the completion of the consultancy services in all respect and no escalation whatsoever shall be permissible on any account. The consultant shall be associated with the Corporation for the entire duration of the Project.

14. At times, Corporation may have to foreclose / suspend the work at particular site due to some unavoidable reasons. In the event of such foreclosure / suspension of work, contractor will not be have any right to ask for compensation on any ground whatsoever.

and wants to avail of the services of the consultant, who will be in position to undertake Consultancy Services for Construction of Office Tower at Bandra Kurla Complex (herein after called the "Work" which expressions shall include all amendments therein and/or modifications thereof) and has accepted the tender of the Consultant for the said work.

b) For the consideration hereinafter mentioned and so specified in Work Order No. --------

----------------dt. -------------, the consultant will upon and subject to the various conditions of the contract , tender conditions and the work order, duly perform the various obligations as per description and rates specified in the said work order.

c) Now therefore in consideration of the premises and of mutual promise and convenants

1. DEFINITIONS :

The following words and expressions shall have the meaning hereby assigned to them except where the context otherwise requires :

a) "APPROVAL" shall mean the written consent, either manuscript, typewritten or

printed statement, under signature or seal, as the case may be, of the Corporation or their authorized representative on documents, drawings or other particulars in relation to this Agreement.

b) "CONTRACT" shall mean this AGREEMENT including all exhibits hereto and all documents herein specified and amendments which the parties may hereinafter agree in writing to be made to this Agreement.

c) "PROJECT" shall mean Consultancy Services for Construction of Office Tower

at Bandra Kurla Complex, Mumbai.

d) "WORK" shall mean the responsibilities to be discharged by the Consultant for fulfilling the obligations under this Agreement.

e) "COMMENCEMENT DATE OF CONTRACT" shall mean the date on which

Letter of Intent is issued by the Corporation to the Consultant.

f) "DRAWINGS" shall mean and include Engineering drawings, sketches showing plans, sections and elevations related to the project together with modification and/or revision thereto.

g) "COMPLETION PERIOD" shall mean the period from the 'Commencement

Date of Contract' to the date of obtaining Occupancy Certificate. h) "SPECIFICATIONS" shall mean and include schedules, detailed descriptions,

statement of technical data, performance characteristics, standards as applicable and specified in the contract.

i) "TEST" shall mean such process or processes to be carried out by the

Consultant as are prescribed in the contract in order to ascertain quality, workmanship, performance and efficiency of equipment or part thereof.

j) "COMPLETION" shall mean readiness of occupancy of Office building with all

the necessary statutory approvals duly obtained.

k) "MONTH" shall mean English calendar month. l) "STANDARDS" : The goods and equipment, utilised for the works and the

works shall conform to the standards mentioned in the Technical Specifications or such other standards which ensure an equal or higher quality and when no applicable standard is mentioned, to the authoritative standard appropriate to the goods/equipment utilised in the works in India and such standard shall be the latest issued by the concerned institution.

m) "WRITING" includes matter either in whole or in part, in manuscript,

typewritten, lithographed, cyclostyled, photographed or printed under or over signature or seal as the case may be.

n) "CONTRACTOR" shall mean any third party whose services are obtained for supply and erection of units/facilities covered under Consultant's scope of work.

o) "VENDOR" shall mean any third party supplying any of the equipment/material

for setting up units/facilities covered under Consultant's scope of work.

p) The heading of the Clauses shall not affect the interpretation of construction thereof.

2. Detailed cost estimates of each work package along with rate analysis of individual

items of work duly supported by necessary documents and quantity take off sheets shall be prepared by consultant and will be handed over to the Corporation separately.

The Consultant shall furnish technical support / clarifications to Corporation in Mumbai in all packages.

3. Obligation and responsibilities of Consultant :

3.1 Perform all their functions falling within scope of this contract and ensure project completion in accordance with agreed completion schedule.

3.2 Guarantee that services as specified and described on the technical documents, and which are to be deployed, will be in accordance with the Concept Note / Design parameters given by the Corporation and based on sound engineering practices using standards, codes and regulations, as applicable, for the purpose specified, free from defects and suitable for respective uses intended.

4. Exercise cost control measures and at the same time incorporate latest

technological improvements being offered in respective fields.

5. The consultant shall be responsible for accuracy of all information generated by them.

6. Obligations of the Corporation :

6.1 Obligations as described hereinafter, shall be discharged by the Corporation within mutually agreed time schedule and free of cost to the consultant.

6.2 Corporation shall hand over a copy of the location plan required for the project

along with placement of confirmatory work order for the services under the contract.

7.1 The consultant will be associated with the Corporation till completion of all work and occupancy certificate is obtained.

7.2 The consultant must complete all the services detailed as per work order/ Scope

of work for packages will be completed in all respects within time limit . 7.3 The site visits are included for collecting information and site details required for

detailed engineering and preparation of drawings. 7.4 Without prejudice to the rights of corporation under the contract, corporation shall

be entitled to recover from the consultant, price adjustment at the rate of ½ % of the consultancy value of delayed items of ‘Milestone based completion & Payment Schedule’ beyond completion schedule per week or part thereof subject to maximum of 10% of the consultancy fees, on account of reasons attributable to the consultant.

8.0 OWNERSHIP OF PLANS :

All plans, drawings and documents shall be made the property of the Corporation and can be utilized by the Corporation for any purpose and the Consultant shall have no claim on the Corporation on this account.

9.0 USE OF CONTRACT DOCUMENTS, SPECIFICATIONS, DESIGN AND DRAWINGS:

The consultant shall not without the Corporation's prior written consent disclose the contract or any provision thereof or any specifications, plan, drawing pattern, sample or information furnished by or on behalf of Corporation in connection or to any person other than a person employed by the consultant in the performance of the contract. Disclosure to any such employed person shall be made in confidence and shall extend only so as may be necessary for the purpose of such performance. The consultant will bind such employee to secrecy of information.

The consultant shall not without Corporation's prior written consent make use of

any document or information set out above or in this contract except for the purpose of performing the contract.

10.0 PATENTS :

The consultant shall, subject to the limitations contained in this article, at all times indemnify and hold Corporation harmless from all costs, damages and expenses arising out of any claim, action or suit brought against Corporation in respect of any infringement of any patent or registered design or any similar rights resulting from the use of any technical information, data or process or design belonging to Consultant and / or furnished to Corporation and utilized by consultant in the

Project. Corporation shall promptly notify consultant in writing of any such claim preferred or any suit or action filed or brought against corporation by any person for such infringement of any patent or registered design or any such similar right held by third parties. Consultant shall take such legal action as may necessary for defending the same and legal expenses that may be incurred including Professional charges shall be paid and fully borne by consultant only.

12. FORCE MAJEURE :

12.1 Any delays in or failure of performance by a party to this agreement shall

not constitute default hereunder or give rise to any claims for damages against the said party if and to the extent caused by matters beyond the control of the said party, including, but not limited to acts of Gods, acts of State, strikes, or other concerted acts of workmen, fires, floods, explosions, riots, wars (declared or undeclared), rebellion, sabotage, extra ordinary severe weather, civil commotion and criminal acts of third persons. The party claiming the existence of Force Majeure shall within ten days notify the other party about the occurrence of Force Majeure event and provide the other details of the arising and ceasing of the impediment. At the end of the impediment, the party claiming the existence of Force Majeure shall provide the necessary documentary evidence.

12.2 Should one or both the parties be prevented from fulfilling the contractual obligations by a state of Force Majeure, lasting continuously for a period of six months, the parties shall consult each other regarding the future implementation of the contract.

12.3 The part claiming the existence of Force Majeure will continue to perform its obligations under the contract as far as is reasonably practicable and shall seek all reasonable alternative means of performance not prevented by the Force Majeure event.

12.4 No ground for exemption can be invoked, if the party claiming the existence of Force Majeure has failed to give timely notice and subsequently support it by documentary evidence.

13. WAIVER:

Any acquiescence or waiver by Corporation of any delay, breach or default committed by consultant shall not be deemed to be or considered as to appeal against corporation nor prevent corporation from exercising any of its rights under any of the provisions under this contract.

14. ASSIGNMENTS:

This agreement shall not be assignable by the consultant without written consent of the corporation.

15. TERMINATION :

In case, the progress of the work is unduly and unreasonably delayed by the Consultant without sufficient cause, Corporation without prejudice to the rights under the contract reserves the right to terminate the contract wholly or partially and complete it by itself or reassign it to other agencies entirely at the risk and cost of original consultant after giving 30 days notice in writing to the consultant.

Notwithstanding anything to the contrary herein contained, the Corporation shall be entitled to terminate Agreement forthwith by a written notice to the consultant in case the Consultant make any default on its part under any other provisions of contract and such default shall continue un remedied for 30 days after written notice thereof given to the Consultant by the Corporation.

16. GOVERNING LAW:

The parties hereto agree that their respective rights, privileges, duties and obligations under this contract to be executed shall be determined and be governed by the Laws of India.

17. JURISDICTION:

The parties hereby agree that the court in the city of Mumbai alone shall have the jurisdiction to entertain any application or other proceedings in respect of any thing arising under this agreement, any award made by the arbitrator hereunder shall be filed in the concerned court in the aforesaid city only.

18. ARBITRATION: Arbitration and alternative dispute resolution machinery will not be applicable.. Further, the reference to arbitration and alternative dispute resolution machinery provision contained in any other term & condition, which may be general or special in nature shall also stand deleted to the extent the said contents are applicable to the arbitration provisions.

iii) The obligations of the Bank to the Corporation hereunder shall be as principal to principal and shall be wholly independent of the contract and it shall not be necessary for the Corporation to proceed against the Contractor before proceeding against the Bank and the Guarantee/Undertaking herein contained shall be enforceable against the Bank notwithstanding the existence of any other Guarantee/undertaking or security for any indebtedness of the Contractor to the Corporation (including relative to the said Security Deposit) and notwithstanding that any such undertaking or security shall at the time when claim is made against the Bank or proceedings taken against the Bank hereunder, be outstanding or unrealised.

iv) The amount stated by the Corporation in any demand, claim or notice made with reference to this guarantee shall as between the Bank and the Corporation for the purpose of these presents be conclusive of the amount payable by the Bank to the Corporation hereunder.

v) The liability of the Bank to the Corporation under this Guarantee/undertaking shall remain in full force and effect notwithstanding the existence of any

difference or dispute between the Contractor and the Corporation, the Contractor and the Bank and/or the Bank and the Corporation or otherwise howsoever touching or affecting these presents for the liability of the Contractor to the Corporation, and notwithstanding the existence of any instructions or purported instructions by the Contractor or any other person to the Bank not to pay or for any cause withhold or defer payment to the Corporation under these presents, with the intent that notwithstanding the existence of such difference, dispute or instruction, the Bank shall be and remain liable to make payment to the Corporation in terms hereof.

vi) The Bank shall not revoke this undertaking during its currency except with the previous consent of the Corporation in writing and also agrees that any change in the constitution of the Contractor or the Bank or the Corporation shall not discharge the Bank’s liability hereunder.

vii) Without prejudice to any other mode of service, a demand or claim or other communication may be transmitted by fax. If transmitted by fax, the transmission shall be complete as soon as acknowledged by bank.

following during the performance of the contract. We shall a) Deploy trained and competent employees who are physically fit and are not suffering

uniforms and other paraphernalia necessary to render effectively the services required by the Corporation,

c) Be responsible and liable for payment of salaries, wages and other legal dues of our

employees for the purpose of rendering the services required by the Corporation under the above contract and shall maintain proper books of accounts, records and documents. We shall however as the employer, have the exclusive right to terminate the services of any of our employees and to substitute any person instead.

d) Comply is all respects with the provisions of all statutes, rules and regulations

applicable to us and/or our employees and in particular we shall obtain the requisite licence under the Contract Labor (regulation and Abolition) Act, 1970 and the rules made thereunder.

e) Ensure that our employees while on the premises of the Corporation or while carrying

out their obligations under the contract, observe the standards of cleanliness decorum, safety and general discipline laid down by the Corporation or its authorized agents and Corporation shall be the sole judge as to whether or not we and/or our employees have observed the same.

f) Personally and exclusively or employ sufficient supervisory personnel exclusively to

supervise the work of our employees so as to ensure that satisfaction of the Corporation.

g) Ensure that our employees will not enter or remain on the Corporation's premises

unless absolutely necessary for fulfilling our obligations under the contract.

h) Not do or suffer to be done in or about the premises of the corporation anything

whatsoever which in the opinion of the Corporation may be or become a nuisance or annoyance or danger which may adversely affect the property, reputation or interest of the Corporation.

i) Not do or suffer to be done in or about the premises of the Corporation anything

whereby any policy of insurance taken out by the Corporation's against loss or damage by fire or otherwise may become void or voidable.

j) Be liable for and make good any damage caused to the Corporation's properties or

premises or any part thereof or to any fixtures or fittings thereof or therein any act, omission, default or negligence on our part or on the part of our employees or our agents.

k) Indemnify and keep indemnified the Corporation, its officers and employees from and

against all claims, demands, actions suits and proceedings, whatsoever that may be brought or made

against the Corporation by or on behalf of any person, body, authority whosoever and whatsoever and all duties, penalties, levies, taxes, losses, damages, costs, charges and expenses and all other liabilities of whatsoever nature which the Corporation may now or hereafter be liable to pay, incur or sustain by virtue of or as a result of the performance or non- performance or observance or non-observance by us of any or the terms and conditions of the contract. Without prejudice to the Corporation's other rights, the Corporation will be entitled to deduct from any compensation or other dues payable to us, the amount payable by the Corporation as consequence of any such claims, demands, costs, charges and expenses. The Corporation shall not be responsible for death, injury or accidents to our employees which may arise, out of or in the course of their duties on or about that the Corporation's property and premises and in the event that the Corporation is made liable to pay any damage or compensation in respect of such employees, we hereby agree to pay to the Corporation such damages or compensations upon demand. The Corporation shall also not be responsible or liable for any theft, loss, damage or destruction of any property that belongs to us or our employees lying in the corporation's premises from any cause whatsoever.

2. It is hereby declared that we are, for the purposes of this contract independent

contractors and all persons employed or engaged by us in connection with our obligations under the contract shall be our employees and not of the Corporation.

3. On the expiration of the contract or any earlier determinations thereof, we shall

forthwith remove our employees who are on the Corporation's premises or any part thereof failing which, our employees, agents, servant's etc. shall be deemed to be trespassers and on their failure to leave the Corporation's premises, the Corporation

shall be entitled to remove all persons concerned ( if necessary by use of force ) from the Corporation's premises and also to prevent them (if necessary by use of force) from entering upon the Corporation's premises.

4. We hereby undertake and declare that, in the event the workmen/employees/persons

engaged by us ("the Contractors employees") to carry out the purpose hereof, attempt to claim employment with the Corporation or attempt to be declared as employees with the Corporation or attempt to become so placed, then in all such cases, we shall assist the Corporation in defending all such attempts of the Contractor's employees AND we shall bear and pay solely and absolutely all costs, charges and expenses including legal charges incurred or which may be incurred in defending all such attempts and any appeal or appeals filed by the Corporation therein or relating thereto AND we hereby indemnify forever the Corporation against all such costs, charges and expense or damages, whether recurring or not financial or otherwise, caused to or incurred by Corporation, as a result of such attempt by the Contractors employees.

5. It is hereby agree that the Corporation shall be entitled to set off any debt or sum

payable by us either directly or as a result of vicarious liability to the Corporation against any monies payable or due from the Corporation to us or against any monies lying or remaining with the Corporation and belonging to us or any of our partners or directors.

AND WHEREAS the Consultant are bound by law to comply with the provisions of various Labour Laws like Minimum Wages Act 1948, Equal Remuneration Act 1976, Inter-State Migrant Workmen (Regulation of Employment and Conditions of Service) Act 1979, Contact Labour (Regulation and Abolition) Act 1970, Workmen’s Compensation Act 1923, Employees State Insurance Act as also the Provident Fund Act providing for Provident Fund Act Scheme for labourers engaged by the Consultants but amenities and facilities to the workers under the different labour laws, not only the consultants but also the Corporation as the principal employer becomes liable for the acts of omission and commissions by the Consultants. IT IS THEREFORE THE INTENT OF THIS INDEMNITY BOND UNDERTAKING BY THE CONSULTANTS to indemnify and keep indemnified the Corporation as stated hereinafter.

1. The Consultant hereby undertake to furnish a certificate with regard to the number of labourers employed by them in the Corporation, in other organization throughout the country to the Location in-charge of the Corporation where the work is undertaken by the Consultants.

2. The Consultants hereby confirm and state that they are duly registered under Contact Labour (Regulation and Abolition) Act 1979 as amended from time to time and that they undertake to furnish a certified copy of the requisite License obtained by the Consultants from the competent authority to the corporation’s representative.

3. The Consultants hereby undertake to keep proper record of attendance of his labourers and will give opportunity to the officers of the Corporation to supervise the same and confer upon the Corporation’s representative the right to countersign the said register. The Consultants shall provide a copy of pay sheets to the Location in-charge of the Corporation and also confer the right of wages to the labourers on the spot whenever required by the Corporation.

4. The Consultants state the they are fully aware of the provisions of the Provident Fund Act, particularly with regard to the enrolment of labourers as a member of Provident Fund. The Consultants further confirm that they are aware of the provisions and that they are obliged to recover Provident Fund contribution from the eligible labourers engaged by them and after adding their own contribution, remit the same to RPFC. The consultants state and confirm that are fully aware of their obligation remit the said amounts on account of Provident Fund to the RPFC

within the prescribed period and that they have obtained a separate code number from the Regional Provident Fund Commissioner which is bearing Sanction No. dated ....……............ from ..……................. RPFC.

5. The Consultants will afford all opportunities to the Corporation whenever required to verify that the Provident Fund is actually deducted by the Consultants from the wages of the labourers and the same together with the Consultants’ contribution has been duly remitted by the Consultants to the concerned P.F. Commissioners. The Consultants also undertake to provide photocopy of the receipt issued by the concerned P.F. Commissioner for having received the P.F. contribution from the Consultants.

6. In the event the location in-charge of the Corporation is not satisfied about the payment of wages made and the recovery of P.F. etc. from the labourers employed by the Consultants, the Consultants hereby agree and authorize the consultant’s complete all their obligations.

7. Notwithstanding the provisions contained in clause 6 above , the Corporation hereby undertake and authorize the Corporation to recover dues payable by the Consultants to the labourers employed by them as also amounts on account of P.F. contributions (including the Consultants’ contribution) as also all losses, damages, costs, charges, expenses, penalties from their bills and other dues including the security amounts.

8. The Consultants hereby agree, confirm and declare that they have fully complied and will comply with the provisions of various labour laws, particularly those referred to herein above and that no violation of the provisions of various amenities and facilities to the workers under different laws has been done by them and in the events of any past or future violation of the various labour laws, the consultants shall indemnify and keep the Corporation duly indemnified against all losses, damages, costs, expenses, penalties, suits or proceeding which the Corporation may incur, suffer or be put to.

9. The consultants hereby agree that the aforesaid indemnity undertaking are in addition to and not in substitution of the terms and conditions contained in the tender documents and the work order and also the Agreement executed by the Consultants with the Corporation.

4. The Consultants state the they are fully aware of the provisions of the Provident Fund Act, and the rules made thereunder. The Consultants hereby confirm that the said act and the rules made thereunder are not applicable to them since they have not employed labourers exceeding ______ at any time and that the labourers so far employed were also not on continuous basis. in this regard that no worker employed by them is in service for circumstances none of the workers employed by them is eligible for P.F. benefits under the said Act. The Consultants therefore state that they are exempted from the purview of the said ACT and the rules made thereunder an they are therefore not required to obtain a separate code No. from the R.P.F.C.

5. The Consultants hereby undertake and agree that in event of any claim on account of P.F. liabilities arising in future, they shall keep the Corporation duly indemnified against all losses, damages, charges, expensed, penalties, suits or proceedings which the Corporation may incur, suffer or be put to on that account.

6. The Consultant hereby agree, confirm and declare that they have fully complied and will comply with the provisions of various labour laws, particularly those referred to herein above and that no violation of the provisions of various amenities and facilities to the workers under different laws has been done by them and in the events of any past or future violation of the various labour laws the consultants shall indemnify and keep the Corporation duly indemnified against all losses, damages, costs, expenses, penalties, suits or proceeding which the Corporation may incur, suffer or be put to.

7. The Consultant hereby agree that the aforesaid indemnity undertaking are in addition to and not in substitution of the terms and conditions contained in the tender documents and the work order and also the Agreement executed by the Consultants with the Corporation.

8. The Consultants hereby confirm, agree and record that these terms of undertaking and indemnity shall be irrevocable and unconditional and shall be binding on their heirs, executors, administrators and legal representatives and shall ensure for the Corporation’s benefit and for the benefit of its successors and assigns.

9. That all questions, issues , disputes and differences between the consultant and the Corporation arising under this indemnity bond/undertaking shall be referred to arbitration in the same manner as indicated in the contract dt ________ executed between the consultants and the Corporation.

16 16 Constant supervision of works, as per tender packages and ensuring maintenance of records and adherence to QAP. QAP shall be prepared/proposed by consultant and got approved from IndianOil. (1) Three Resident Engineers (full time) during construction stage. The Resident Engineer shall, interalia, be responsible for:

(a) Inspection of construction material at site and/or at the factory/godown of the manufacturer/vendor/contractor (within 100 Km from construction side)

2. Price Reduction shall be independent of other liabilities.

3. Service Tax shall be payable extra at actuals.

4. The consultant shall assist in settling disputes with the contractors answering technical queries, if any, till completion of its defect liability period at no extra cost.
