    TAEA CONSTITUTION

    Article I NameThis organization shall be known as the Tennessee Art Education Association or TAEA.

    Article II PurposeThe purpose is to advance quality visual arts education, promote professional development andinfluence the direction of art education.

    Article III MembershipArt educators and other interested persons/institutions are eligible for membership in theassociation which is professionally unified with the National Art Education Association or NAEA.The categories of membership shall correspond with those of NAEA.

    Article IV Executive Committee, Executive Board & Advisory Council

    Section 1:The Executive Committee consists of the President, President-Elect, Past-President, andSecretary.

    Section 2:The Executive Board consists of the Executive Committee, Regional Chairpersons andSecretary-Elect.

    Section 3.There shall be an Advisory Council including, but not limited to, the following positions:Treasurer, Assistant Treasurer, Publications Editor, TN DOE Representative, StandingChairpersons, and Divisional Representatives. The Advisory Council votes are submittedto the Executive Board for action.

    Section 4.The TAEA Board consists of the Executive Board and the Advisory Council.

    Section 5:All newly elected officers shall assume duties on January 1 following each election year.

    Article V ElectionsSection 1:

    A nominating committee appointed by the President will include two Past-Presidents andbe chaired by the President.

    Section 2:

    Selection by the nominating committee of at least two candidates, whenever possible, foroffices of President-Elect, Secretary-Elect, and Regional Chairpersons shall be madeprior to the State Conference.

    Section 3.All persons holding elected positions shall be TAEA/NAEA members in good standing.

    All persons holding appointed positions shall be TAEA/NAEA members in good standing.

    Section 5:The President-Elect, Secretary-Elect, and Regional Chairpersons shall be chosenby the membership through a majority of electronic, mail-in, and/or on-site votes. Theposition of President-Elect will serve one term as President and one term as Past-President sequentially. The Secretary-Elect will serve one sequential term as Secretary.

    Section 6:In the event of vacancy in any office of the association, the President may appoint, withthe approval of the executive committee, an interim officer to fill the vacancy until the nextregular election.

    Article VI Meetings

    An Executive Board/Advisory Council meeting shall be held annually. Additional board meetingsshall be held at the discretion of the President.

    Article VII Amendments

    Proposed amendments to this constitution must be submitted to the Executive Board in writing atleast twenty-four hours before Board Action. Proposed amendments approved by the ExecutiveBoard shall be published at least one month prior to the annual meeting to be reviewed by themembership. This constitution may be amended at the annual Professional Development StateConference by two-thirds majority of member votes cast electronically, by mail, and/or on-site.The voting period will end prior to the conclusion of the conference.

    Article VIII1. No part of the net earnings of the association shall insure to the benefit of any members,sponsor, donor, creator, trustee, officer, employee, or, without limitation, any other private

    individual or to benefit any corporation, any private individual, or any substantial part of theactivities of which is carrying on propaganda or otherwise attempting to influence legislation;provided, this shall not prevent payment of reasonable compensation for service actuallyrendered to or for the association and its purpose.

    2. Upon dissolution, all of the assets of the association shall be turned over to such nonprofit, tax-exempt, charitable, scientific, or educational organization exempt from federal income taxationunder section 501(c)(3) of the Internal Revenue Code or 1954 or any successor provision theretoas the final Executive Board of the association shall direct. Any assets not so disposed of shall bedisposed by the appropriate Court of the County or City in which the principal officer of thecorporation is then located exclusively for such purposes or to such organization as said Courtshall determine which are organized and operated exclusively for such purposes.

    TAEA By-Laws

    Article I MembershipSection 1. As a unified organization, state membership is based upon NAEA categories.Section 2. Honorary membership may be confirmed upon individuals chosen by the

    Executive Board for their outstanding contributions to the field of art education.

    Article II ElectionsElections shall be held every other year in accordance with TAEA Constitution.

    Article III Duties of TAEA Board PositionsThe Duties of the TAEA Board positions shall be as stated in Appendix A JobDescription.

    Article IV Rules of OrderRoberts Rules of Order Revised shall be the authority on all questions of procedure nototherwise governed in the constitution and By-Laws. The President may appoint aParliamentarian.

    Article V AmendmentsProposed amendments to these bylaws must be submitted to the Executive Board inwriting at least twenty-four hours before Board Action. Proposed amendments approvedby the Executive Board shall be published at least one month prior to the annual meetingto be reviewed by the membership.     Non Discrimination Policy:TAEA is a not-for -profit professional art education organization and does not discriminate on the

    basis of race, religion, age sex, ethnicity, disability, sexual orientation or national origin inadministering its policies, membership, events, meeting or activities.
