ANTITRUST GUIDELINES

SP meetings and discussions are, in general, to be industry-promotion, industry-issue, industry-development or technically oriented. Subject to the above and the advice of SP legal counsel, discussions may generally cover industry product developments on a generic basis, advancing “technical know-how,” improving productivity and efficiency, historical market data on a general (i.e. non-specific company) basis, and regulatory or legal industry-wide issues, policies of federal and state law enforcement bodies, and federal or state laws or pending legislation important to industry.

In view of antitrust considerations (both civil and criminal) and to avoid any possible restraints of competition, the followinglegally sensitive subjects as to a given company or its competitors must be avoided during any discussion between competitors:

(a) Future marketing plans of individual competitors should not be discussed between competitors;

(b) Any complaints or business plans relating to specific customers, specific suppliers, specific geographic markets or specificproducts, should not be discussed between competitors; agreements between competitors to allocate markets (customers or products) are illegal under antitrust laws; agreements between competitors to refuse to deal with a supplier or a customer are illegal under antitrust laws;

(c) Purchasing plans or bidding plans should not be discussed (except privately between two parties with a vertical commercial relationship such as supplier and customer);

(d) Current and future price information and pricing plans, bidding plans, refund or rebate plans, discount plans, credit plans,specific product costs, profit margin information and terms of sale should not be discussed between competitors. All of the above are elements of competition; and

(e) Any question regarding the legality of a discussion topic or business practice should be brought to the attention of SP legal counsel or a company’s individual legal counsel for legal advice.

SP continued to provide a forum for automakers and their suppliers to work together to develop projects and activities focused on environmental sustainability issues impacting the auto supply chain in 2019, including:

BIODIVERSITY WORK GROUP

Providing a forum for SP OEM / supplier members to work together to advance collaborative projects that positively impact biodiversity and local communities.

Some of the outcomes of this work group effort in 2019 include....

• Secured commitment letters from 18 SP member companies to support an SP Pollinator Initiative, resulting in 36 newly implemented or expanded pollinator projects in 2019 (including education / engagement projects).

• Developed a model for collaboration with Wildlife Habitat Council (WHC) under MOU to provide educational resources and free one-on-one technical support to SP members. Developed SP Pollinator Toolkit and quarterly webinars with support from WHC. Toolkit distributed internally.

• Engaged Pollinator Partnership to provide a list of existing pollinator initiatives SP members may be able to leverage, and hosted webinar focused on P2 Project Wingspan.

• Worked with ERA Environmental to support collection and analysis of SP member pollinator project data. Collected data on 190+ pollinator projects on ~2500 acres.

• Shared information on SP member efforts with external audiences, including through an exhibit booth at the WHC Conservation Conference and SP page in WHC’s 2020 Calendar.

EMERGING PROFESSIONALS WORK GROUP

Providing a forum for emerging professionals within SP member companies to introduce and pilot innovative associate engagement initiatives through benchmarking and collaboration with fellow, diverse industry professionals within the SP network.

Some of the outcomes of this work group effort in 2019 include....

• Developed vision, mission, and objectives as a new work group formed in 2019. • Organized a design thinking workshop to identify, develop and prioritize

actionable initiatives work group members can pilot test within their organizations.

• Entered into a one-year pilot of an SP engagement platform – Drive – supported by Wespire to introduce, pilot and track SP member engagement on key environmental sustainability issues identified by SP EP.

EHS FORUM

Providing forum to allow for deeper discussion and connections among SP members related to current and emerging EHS issues.

In 2019, the EHS Forum organized quarterly sessions on EHS issues, such as...

• January 2019. SP EHS & Sustainability Needs / Solutions. Discussion of sustainability interests and potential connections between SP members, including idea for formation of SP Emerging Professionals Work Group.

• April 2019. Engagement in Sustainability. Discussion of strategies for engaging senior leadership and suppliers in sustainability.

• July 2019. ESG Disclosure. Discussion of emerging ESG disclosure trends and expectations impacting industry, with presentation from GM and MSCI.

• October 2019. Emerging Risks. Discussion of emerging EHS risks impacting industry, with presentation from Earth & Water Group and the National Safety Council.

PRODUCT CHEMICAL COMPLIANCE PROCESS MANAGEMENT TEAM

Providing a forum to support OEM / supplier

dialogue and action on emerging product chemical

compliance process management issues and

supporting incubation of potential future global

industry solution.

Some of the outcomes of this work group effort in 2019 include....

• Developed a common NA OEM Product Chemical Compliance Process Management Questionnaire document.

• Conducted a global engagement campaign to educate and build support for a common industry effort, and received positive interest from JAMA (Japan) and CLEPA (EU) in support of working together on a coordinated global effort.

• Engaged with software vendors to explore development of a common NA online survey platform with goal of pilot testing the NA questionnaire with selected suppliers through this platform in 2020.

MATERIALS EFFICIENCY WORK GROUP

Providing a forum for SP members to work together to reduce waste, promote reuse and maximize recycling of industrial byproducts.

Some of the outcomes of this work group effort in 2019 include....

• Facilitated engagement with waste experts within SP to identify potential beneficial reuse options for F019 WWTP sludges, while continuing dialogue on potential regulatory pathways to allow for higher uses for F019 beyond landfill.

• Formed a new SP Recycled Content working group, under the Materials Efficiency umbrella, and secured support from all SP OEMs to work together toward a common vision of increasing recycled content in automotive parts.

• Conducted survey of existing recycled content initiatives and definitions. Begun a process to outline and gain buy-in on a shared vision, mission, objectives and process for OEMs and suppliers to work together through SP to increase demand for recycled content and incentivize circular initiatives.

RESPONSIBLE BATTERY WORK GROUP

Providing a forum to facilitate dialogue and action between OEMs, suppliers and end-of-life service providers on responsible management of advanced vehicle batteries, and lithium-ion in particular.

Some of the outcomes of this work group effort in 2019 include....

• Conducted global landscape assessment of 30+ initiatives focused on responsible management of lithium-ion batteries. Distributed results internally.

• Organized value chain mapping workshop to interactively map lithium-ion battery value chain, with support of The Sustainability Consortium. Distributed results internally.

• Facilitated two workshops focused on advancing pre-competitive collaboration to address lithium-ion recycling issues and identified potential areas for collaborative action. Begun collaborative process to evaluate the potential value of a common industry system for tracking / reporting on lithium-ion batteries across their lifecycle.

• Continued SP dialogue and engagement with groups like Argonne / ReCell, DOE, Battery Council International, Global Battery Alliance and Responsible Battery Coalition.

SP MEXICO PROJECT – AASA

SP’s Alianza Automotriz Para La SustentabilidadAmbiental (AASA) initiative continues to provide a forum for OEMs operating in Mexico, and their suppliers, to work together on environmental sustainability programs.

Some of the outcomes of this project in 2019 include....

• Hosted “Green Factory Tour” of the new Audi Mexico plant in San José Cholula (January2019) and invited AASA Supplier Members to participate and learn from Treasure Hunt process at GM’s Silao facility (October 2019).

• Hosted AASA member meetings at Ford Mexico (May 2019) and GM Mexico (November2019) to exchange environmental best practices, along with webinars on battery recycling(July 2019) and water mangement (October 2019).

• Continued dialogue and engagement with key governmental groups in Mexico like CONUEE, CONAGUA, Comisión Reguladora de Energía (CRE) and SEMARNAT.
