Both the seal Cover No. 1 & 2 shall be properly pinned together and submitted. Technical Bids will be opened on 15.12.2016 at 15:30 hrs., in the presence of any intending tenderers who may which to be present at the time on the date and at the place indicated. Only the sealed Cover No. 1 shall be opened first.

The offer from only those tenderers, who have submitted in Cover No. 1 their letter of Acceptance, conveying their unconditional acceptance of Air India’s standard Conditions of Contract together, with the “ Undertaking on Service tax” and receipt of Tender Fees ( non-refundable) shall be considered valid subject to their fulfilling of eligibility criteria and qualifying for empannelment. The Cover No. 2 containing the Financial Bids, of those Consultants , who qualifies as per our eligibility criteria and is empanneled after opening of their “Technical Bids”, will only be opened on 22.12.2016 at 15:30 hrs. No correspondance in this regard will be entertained.

Those tenderers who do not fulfill the above requirements of “Technical Bids”, or “Financial Bids” shall be rejected. The offers from those tenderers, who are unable to unconditionally accept Air India Standard Conditions of Contract will also be rejected.

POLCE VERIFICATION OF CONTRACT LABOUR

The Consultants who have been awarded the job through Work Order shall furnish necessary Police Clearance Certificate in respect of character and antecedents of all Engineers, Site Supervisors, Foreman, Contract Labourers engaged by them before commencing the work at site.

This will be a part of Contractual Agreement as entire Airport including Air India’s Hangar Complex and surrounding areas inside the NSCBI Airport including NTA premises have been declared as “Prohibited Area”. All such Consultants / Contractors who would be awared contracts are required to comply with the above requirements.

Consultants shall obtain such Police Clearance Certificate from Kolkata Police, available against a nominal fee per Certificate and they will submit this Certificate giving Work Order reference on it, to the Office of the Engineeer In Charge of Properties & Facilities Dept., to be forwarded to our Security Department and BCAS, along with request for issuance of Entry Passes. Further, these passes (BCAS) should be handed over to EIC, P&FD after the completion of the contract period. The usage of these BCAS passes shall be at the discretion of Air India official and Consultant shall have no say on the matter.

Consultant shall get acquainted with AAI online procedure for registration and obtaining security passes in the operational area of NSCBI Airport, Kolkata & their rates shall include additional cost of necessary fee’s to be paid to AAI & on any other regulatory bodies.

As per BCAS, Kolkata, permanent employees of the company and the casual Labours / Trainees / Contractor workers who requirew a temporary Airport Entry Pass will now be issued AEP in the form of laminated card. A fee of Rs.75/- or as applicable, in the form of demand draft in the name of BCAS(CA), payable at Kolkata, is required to be submitted along with applications for Airport Entry Pass.

After obtaining recommendation from the Security Department, these applications are required to be submitted by the applicants to BCAS office, Kolkata, for their processing and issuance.

In the event of Loss of either Temporary or Computerised Airport Entry Pass, a fee of Rs.500/- or as applicable, will be charged by BCAS authority.

ADDITIONAL CONDITIONS

1. Air India “ Conditions of Contract” are applicable for this work & are available for perusal in our website.

2. Air India’s Specification Vol. I, II & III and IS 1200 for all repair and new works are applicable for this work & IS 1200 shall be referred to for any disputes, on Mode of Measurement of all Civil and plumbing works executed at site.

3. The Consultant’s quoted percentages shall include all prevailing taxes such as Vat, Octroi, Excise duty etc. The Consultants will not be reimbursed for any compensation due to Enactment of any law, regulation etc. On any account whether the same is / or enforced by State / Central Govt. during the tenure of the contract. Any other taxes like value added Tax, Sales Tax, Works Contract Tax, Octroi, Excise Duty etc on material or on labour component or on any elements in respect of their contract shall be payable by the Consultants and Air India will not entertain any claim whatsoever in this respect, the Consultants rate should cater for the same.

4. The Consultants shall obtain requisite Insurance policies like Workmen Compensation policy and / or CAR Policy for all his workmen at site & shall cover for full period of contract and for authorised extensions, if any, and shall be valid up to Defects Liability Period of One Year.

5. The workmen Compensation plicy shall be got issued in the name of work as mentioned in the work order and shall be valid for full tenure of contract authorised extensions, if any, and shall be valid up to Defects Liability period of the contract.

6. The Consultants shall arrange & pay for all Insurance Policies for all his workman and take suitable Insurance Policies for all his workmen before physical commencement of work and shall be valid till completion of work / DLP.

ADDITIONAL CONDITIONS

7. CONTRACT LABOUR ACT :

The Consultants shall comply with all the labour rules and regulations for the time being and from time to time in force. He shall comply with the Contract Labour (Regulation & Abolition) Act 1970 and the rules framed there under and the Minimum Wages Act, 1948 and the rules framed there under. The Consultants shall comply with all the applicable laws, Ordinance, Rules & Regulations in respect of this contract and the employment of the workers, provided by him and shall obtain all such municipal and other Govt. Permits, Licences and Inspections as may be necessary and shall pay at his own cost all charges in connection there with. If Air India Ltd. is required to make any such payments initially, the same will be deducted immediately from their bills.

Consultants are advised to approach the concerned authorities directly (i.e. the Registering & Licensing Officer), so that the licensing authorities will decide as to whether the contracts are required to register with them and obtain Licences accordingly for the specific work contract and the work carried out by them for Air India, irrespective of the manner of employees working under them is more or less than 10 (Ten) under intimation to Properties & Facilities Dept., Air India.

ADDITIONAL CONDITIONS

WORKING AT HEIGHT ON FRAGILE ROOF – SAFETY INSTRUCTIONS

1. Consultants shall ensure that ladders / access stands / scaffolds etc. are made of sound material good mechanical construction and adequate strength.

2. Consultants shall ensure that scaffolds have adequate horizontal supports – it should not wobble.

3. Consultants shall ensure that nylon safety harnesses of approved quality are provided and are worn correctly and buckled up firmly.

4. Consultants shall ensure that safety harnesses are worn by the employees & are firmly anchored to a strong and rigid structural member available in the vicinity of the work spot.

5. Consultants shall ensure that the length of the lifeline / lead of the safety harness is just sufficient to allow a person to fall by not more than 2 (two) feet.

6. Consultants shall ensure that approved safety helmets are worn which must also be secured correctly and firmly under the chin.

7. Consultants shall ensure that the area below the work spot are Cordoned off and have appropriate placards displayed in the same.

8. Consultants shall ensure that all the workers do not step or attempt to cross over the naked areas after removal of sheets without safety harnesses .

9. Consultants shall ensure that workers do not get distracted by use of mobile phones etc from their job while on scaffolds/ working at heights.

10. Consultants shall ensure that stable safety nylon net is provided below the working place, i.e., under the roof trusses.

NOTICE INVITING TENDER

NAME OF WORK: Appointment of Structural cum Project Management Consultant for the work of “Replacement of Corroded

Sheets, Structural Steel members in Roofing and Cladding & allied Civil works for Air India’s New Hangar at N.S.C.B.I Airport, Kolkata.

Estimated Cost of the Main Civil Project : – Rs. 1.70 Crores.

AIR INDIA LTD. invites sealed tenders under two bid systems i.e. Technical Bid – Part A & Financial Bid – Part B for the subject work. Interested parties having their registered office,preferably in Kolkata and fulfilling other eligibility criterias as mentioned in the tender document may apply in the prescribed format given in RFQ and in annexture-I & II of the tender document.

Tender documents giving details of scope of work & other terms and conditions may be obtained on payment of Rs.525/- in cash (non-refundable) against a request on the letter head of the Company from “P&F Department” at New Technical Area, NSCBI Airport, Dum Dum, Kolkata – 700052, between 1000 hrs & 1600 hrs. (Except between 1300 hrs. & 1400 hrs.) on any working day (except Sat./Sun/Holidays) from 01.12.2016 TO 14.12.2016. The same can also be down loaded from AIL Web Site www.airindia.in. In this case a demand draft of Rs.525/- favouring Air India Ltd. payable at Kolkata may be enclosed together with the technical bids of the Tender document.

NAME OF WORK: Appointment of Structural cum Project Management Consultant for the work of “Replacement of Corroded

Sheets, Structural Steel members in Roofing and Cladding & allied Civil works for Air India’s New Hangar at N.S.C.B.I Airport, Kolkata.

(A) REQUIRED CRITERIA INFORMATION / DOCUMENTS TO BE SUBMITTED:

The following is the eligibility criteria to be satisfied by the Structural Consulting firms and all documentary evidences to substantiate the information have to be submitted along with their applications:

1. Detail particulars about the Structural Consultancy firm.

2. Detailed information such as qualification, experience etc. about Structural Consultants/Partners/Qualified Engineers with their job profile & experience, employed by the firm.

3. List of similar type of works carried out by them in last three years indicating the present status, value of works executed and also the name & address of the Organisations for whom the services were rendered along with completion certificate of the work. The Structural Consultants, who have experience in designing and execution of Replacement of Corroded Sheets & Structural Steel Members in Roofing & Cladding of Hangars and allied civil works like specialised painting of structural steel trusses, columns, purlins and other roofing & cladding members and other relevant works may be considered for empanelment. List of similar works carried out, value of such completed works & certificates for works executed / under execution for the last three years.

4. Certificate of Service Tax Registration.

6. Details of registration of Structural firm and its employees / individuals along with photocopies of registration made with “Council of Structural Engineers" or any other regulatory bodies under the provision of Structural Engineers / Consultants Act.

7. Any other relevant information like, hard copy of the company profile Colour photographs of recently executed works of similar nature & Magnitude.

8. The party is also required to submit the cash receipt of Rs.525/- (non-refundable) towards the purchase of Application / Tender Document along with credentials.

9. Registration with Govt. / semi-Govt. organisations.

10. Latest Solvency Certificate from a Nationalised Bank / Scheduled Bank. Solvency certificate should be minimum 40% of the cost of consultancy charges & validity should be of minimum one year.

11. Structural Consultants, who have successfully completed similar works during the last Five years as detailed below only shall be considered

a) Three similar completed works costing not less than the amount equal to 40% of the estimated cost.

OR

b) Two similar completed works costing not less than the amount equal to 60% of the estimated cost.

OR

c) One similar completed work costing not less than the amount equal to 80% of the estimated cost. 

12. Structural Consultants should have Annual financial turn over during last three financial years atleast 30% of the estimated cost.

(B) TERMS & CONDITIONS OF THE STRUCTURAL CONSULTANTS CUM PROJECT MANAGEMENT CONSULTANTS.

The terms & conditions of appointment of Structural Consultants-cum- Project Management Consultants are as follows:

(a) You will take instructions from the undersigned or any other officer of AIL as directed by the undersigned.

(b) You will prepare alternative plans/sketches based on the requirements intimated to you from time to time, prepare preliminary estimates for each alternative together with reports, explanatory notes and submit the same to the undersigned for approval.

(c) You will prepare drawings and give all particular required by the local Municipal Corporation, Chief Inspector of Factories, DGCA/AAI/EASA etc. and obtain their approval, if necessary, to the plans and for getting their permission carryout the works. You will prepare plans conforming to and in accordance with the rules and regulations stipulated by the Local Municipal Corporation, Factory Inspector etc. and any other local authority. In case if the designs prepared by you and rejected by the Public or Statutory Authority concerned due to breach or non-observance of the by-laws or rules or any other reasons, it will be your responsibility to prepare the amended designs , acceptable to the authorities concerned without any extra charge to Air India.

(d) You will prepare tender drawings, specifications, schedule of quantities, and give all necessary documents, additional conditions of contract etc. required for inviting tenders based on the approved plans and design. The standard condition of contract issued by BPE with amendments wherever necessary as approved by AIL will also form a part of tender.

(e) You will submit 03 sets (as required by AIL) of tender drawings and tender documents together with detailed estimates of cost based on schedule of quantities and current market rates (A certificate stating that all tender quantities of work will not vary beyond + 10% of the tender quantities (provided there is no change in scope of work) should be attached with detailed estimate. Additional copies of tender documents & drawings to be sold to the intending tenderers shall be made by AIL for sale. Tracings / Hard Copy / Autocad of all tender drawings shall be furnished by you to AIL .

(f) You will scrutinize tender quotations received from various parties, prepare comparative statement of rates quoted, evaluate tenders, hold meetings with tenderers for technical & financial bids and for any other clarifications and submit a report with recommendations for award of contract. (The report should include a certificate that the rates quoted by the tenderer, recommended for award of work, are quite competitive and reasonable).

(g) You will prepare structural drawings designs and prepare all detailed working drawings for structural, architectural, civil, plumbing, sanitary, air-conditioning, firefighting work etc. involved in the project and send five copes of all such drawings for the use of contractor and AIL and check work schedule prepared by the Contractor.

(h) You will furnish all details and particulars required for proper execution of work at site and interpret tender documents and issue instructions to contractors in writing under advice to us.

(i) You will advise on the steps to be taken to ensure that the materials used, workmanship adopted, and the work carried out are in the manner and according to the plans, specifications and instructions issued by you.

(j) As a Project Management Consultant you will provide adequate number,i.e., minimum one experienced Graduate Civil Engineer for supervising and executing the subject work on full time basis during the progress of work and if required, employing them in shift duties so as to complete the project within the stipulated time period, i.e., before the onset of monsoon in June 2017. A senior Structural Engineer will also visit the site, as & when required, for guiding the site engineer and AIL for timely execution of all works / activities covered in the subject work.

(k) You will advise from time to time regarding anticipated expenditure on the project and to ensure that the same is within the financial sanction. If in your opinion, it becomes apparent that the anticipated expenditure may exceed financial sanction, you will immediately bring the same notice of AIL and advise additional sanction amount required, if the same is absolutely necessary. You will however endeavor to restrict the expenditure within the financial sanction.

(l) You will scrutinize rates for any extra items of work involved and required to be carried out and recommend fair and reasonable rates for such extra items.

(m) You will issue re-occupation certificate after completion of all the works as specified in the tender, so as to enable user department / engineering department of AIL for safe useage of Hangar.

(n) You will render any other professional service in the capacity of Structural Consultants for the proper and satisfactory execution of work.

(o) You will get all the designs for replacement of corroded members in roofing,cladding,façades,roof gutters proof-checked from third parties, i.e., from reputed Government Engineering Colleges, Recognised Universities / IIT’s.

(p) Prepare and submit layouts and line diagrams consistent with the specifications of the tender, including designs and calculations and anyother particulars required for submission of plans, to Local Municipal Authorities, Electrical Inspector, Factory Inspector, Supply Co., and any other Government of Municipal Body for their permission and their approval (one copy of such documents to be sent to the Station Head/ P & F Dept.) to take necessary follow up action with these authorities by meeting their concerned officials to expedite and obtain their approvals, incorporate necessary changes/modifications in the plan if required by the Local Authorities to meet Local Bye Laws, Rules & Regulations and keep the Station Head/P & F Dept. informed regularly of the progress in getting the approval from the local Authorities, and send copies of approval letters to the Station Head/P & F dept. alongwith 2 copies of duly approved drawings.

(q) Prepare tender drawings, detailed specifications, mode of measurements, schedule of quantities, general and special conditions of the contract and all other necessary documents for inviting tender quotations for various works based on the approved plans and estimates.

(r) On receiving the applications from the Contractors in response to the advertisement to be inserted in the Local Press by Air India, to assist Air India in finalising a panel of selected contractors for issue of tenders for various works.

(s) Submit to the Station Head/P & F dept., tender documents which should include Schedule of Quantities with prevalent market rates, specifications, tender drawings, mode of measurement and additional/special conditions of Contract. The Quantities and rates for each item in the Schedule of Quantities should be submitted alongwith length, breadth and depth sheets (LBD sheets), analysis of rates for labour, material, tools & plants etc. elements and total estimated cost of work, for approval by Air India.

(t) On receiving approval/comments on the draft Tender Documents from Air India, Prepare final Tender Documents and issue the same in duplicate alongwith one set of tender drawings and construction schedule to selected and approved contractors at a price agreed by Air India and submit eight copies of Tender Documents with three sets of Tender Drawings to Station Head/P & F Dept.

(u) On our receiving quotations and on opening tenders in the presence of representative of Contractors and representatives of Accounts and Station Head/P & F Dept. your representative measure arithmetically various tender quotation, prepare comparative statements of rates and amounts quoted by each tenders for each item, scrutinise freak rates, evaluate tender conditions stipulated by Tenderers, meet if necessary representatives of tenderers alongwith Air India representatives so for technical evaluation and clarifications and financial negotiations and submit a Report in duplicate to the Station Head/P & F Dept. with recommendations for award of contract to the selected contractor for various works.

(v) Prepare and forward to Station Head/P & F Dept. the list of ‘valid for Construction’ working drawings, including finishes required for the total completion of the project. These working drawings will include layout plans, line diagrams conduit and cable layouts, sleeve details etc. and send working drawing to the Station Head/P & F dept. and issue five copies and of drawings to the contractor for his use and of the supervisory staff through the Station Head/P & F Dept.

(w)Check and certify fabrication drawings and any other schemes/drawings prepared by the contractor for execution of work.

(x) Interpret tender documents, specifications, mode of measurements and give detailed instructions in writing, to furnish all detailed drawings and particulars to contractors and site supervisory staff for proper and expeditious execution of work at site and send one copy to the station Head/P & F Dept. of all the instructions issued to the Contractor and site staff in writing for record.

(y) Obtain proper approval from the Station Head/P & F Dept. before changing any specifications or ordering any extra/substitute work not included in the tender, on receiving approval for such additional extra/substitute items of work, scrutinise rate for each extra/substitute item based on the rate analysis submitted by the contractor and recommend fair and reasonable rates for

approval by the authorised representatives of Station Head/P & F dept alongwith a copy of rate analysis submitted by the Contractor.

(z) Prepare a schedule for the Project by making CPM/PERT chart or BaR Chart for the complete Project and also for the various components of the Project giving dates for starting and completion of critical activities discuss the same with the Station Head/P & F Dept. for comments/approval, finalise the same and submit required number of copies, submit anticipated cash flow chart for the duration of work, follow up to ensure thatvarious activities are completed as per schedule and with in the sanctioned cost.

(aa) Conduct weekly site meeting with the representative of Station Head/P & F Dept., and User departments of Air India and associated Consultants and Contractors,coordinate various works and highlight any problems/defects in the progress of works, prepare minutes of meetings and issue the same to all concerned and advise the Station Head/P & F Dept, giving report on observations of matters concerning progress and suggest measures to be taken for proper and satisfactory execution of work. In case of any delay, report reasons for delay, corrective actions taken, likely impact on schedule and cost.

(bb) Supervise work of various contractors at site during execution as and when required and during critical stages of work and for supervision to ensure quality and workmanship and progress of various works strictly in accordance with specifications and conditions of contract, Report monthly physical and financial progress based on schedule and CPM/PERT Chart and advise and report your views on the progress of word and give reasons for delays, hold-up in the work, giving in detail corrective action to be taken to make up for the delay.

(cc) Inspect in detail all the works in progress at the critical stages, ensure quality control,workmanship and issue necessary instructions in writing to the contractors to rectify the defective works, prepare a check list of items of works to be executed and works required to be rectified on account of defective workmanship on virtual completion of all balance items and ensure rectification of works by the contractors before issuing the completion certificate to the contractor. Witness and certify precommissioning tests for plant and equipment and ensure commissioning of the system conforming to specifications and statutory provisions.

(dd) On receipt of interim as well as final bills from the contractors, carry out scrutiny of items of work executed at site and certify payments to be made to the contractor as per conditions of contract including retaining adequate sum of security deposit.

(ee) Render any other professional services and advise the Station Head/P & F Dept. in the capacity of consulting Structural Engineer for expeditious completion of the Project and coordinate with other Structural Consultants, if any, appointed by Air India for this Project.

(ff) Submit one set of all the ‘As constructed’ Autocad drawings and drawings on 50 Micron thick reproducible tracings manufactured by Techno Company or equivalent of all layout drawings schematics, wiring diagrams and other related works indicating provisions made in utility services for future expansion to the

Station Head/P & F Dept., on obtaining completion/occupation certificates, from Local Authorities.

(C) PLANNING & CONCEPT:

i) Visiting the site, discussing details with the employer and attending, necessary meetings to establish design and function criteria, design programme, development of schematic Layout/floor Plans etc.

ii) Consulting AIL Authorities as and where required in order to establish a clear basis for the scope of performance/works of the interior design.

iii) Incorporating AIL concept, employer's requirement and giving recommendations in the development of the schematic plans of all the areas stipulated above.

iv) Obtaining Employer's written approval of the schematic design/drawings.

v) Outline broad specifications and submit programme of execution by means

PERT & BAR CHART and also preliminary cost estimate for employer's suggestions, modifications, cost reductions etc. and approval.

vi) Based on approved schematic plans, development of preliminary drawings, perspectives, layouts, colour schemes, specification and other related items etc. which will identify the basis of concept and theme of the interior design and incorporate required mechanical/electrical facilities and co-ordination with supporting areas. These preliminary interior designs shall be submitted to Employers for their approval.

vii) Modifying and submitting alternative designs if called for by the employer and obtaining approval for the preliminary drawings at this stage.

viii) Giving drawings and designs to enable the owners setting up mock up room and producing samples of furniture and all other special features in order to evaluate the design and quality of interior if required by AIL.

(D) EXECUTION OF THE PROJECT:

i) Following the approval of preliminary scheme, final working drawings with details, detailed specifications and colour schemes including all Civil, Interior, Electrical, Firefighting etc. complete for all aspect of work to be prepared.

ii) The interior designers will keep in view the financial requirements of the designs as also economic.

iii) Submit and recommend to the Employers the names and sources of materials, craftsman, artists and contractors who can carry out the requirements of the working drawings and specifications for the interiors.

Prepare and submit charts and list describing the quantity and quality of materials and furnishing required for the project and to form the basis for purchasing and installation.

iv) Submission of detailed estimate supporting by detailed measurement sheets, calculations and abstracts of quantities and cost based on CPWD schedule of rates, if possible, or other approved schedule of rates as applicable to the locality and/or market rates based on detailed analysis of rates and obtaining the approval of the employer for the same.

v) Providing assistance, if required in negotiating with the contractor, suppliers or manufacturers, if any.

vi) Execution of contract /contracts with the contractor(s) and supplying to contractor(s) minimum of six copies of the working drawings, schedules, specifications, bills of quantities and other contract documents.

vii) Planning and advising on procurement of stores of special nature.

viii) Full time supervision of works to ensure adherence on the part of the contractors to detailed drawings and specifications and suggest carrying out the tests to ensure proper quality control.

ix) Recording measurements of works in AIL’s Measurement Book, checking of 100% measurements of Measurement sheets submitted by the contractor, certification of the correctness of measurements as per AIL’s standard procedures, scrutiny of running and final bills and certifying payments and settlements of contractors running account/ Final bills, including timely disposal of extra and substituted items.

x) Maintenance of liaison with local / statutory authorities.

xi) Clarifications of objections, if any, that may be raised in regard to the payments made to the contractor.

xii) Preparation of completion reports, plans and accounts in the prescribed Performa unless dispended with by the employers.

xiii) Assisting in arbitration and litigation cases that may arise out of the contracts entered into in respect of any of the work.

xiv) Maintain works account in the prescribed Performa unless dispensed with by the Employer.

xv) Exercising cost control and economy measures to ensure that approved estimates are not exceeded.

xvi) Preparing graphic and uniform design in adequate details to allow for their production requirements.

xvii) Full time Supervising, coordinating and planning of works of various agencies engaged in the works to ensure time completion.

xviii) As the subject work has to be carried out in phases, due to non availability of the Hangar at a stretch, the Structural Consultants shall provide “Suitably Designed Temporary Barricades / Curtain walls”, so as to execute the work with all full safety measures, keeping in mind that the Aircraft parked in other half of the Hangar and provide all safety measures for the staff working inside & around the Hangar.

xix) As the work is to be carried out at about 100 feet above rigid Hangar floor level the consultant shall provide designs for proper safety nets to be provided under side the trusses during the progress of work so as to prevent any fatal injuries to any workmen as well as people working in & around the Hangars an also to prevent any spillage / falling of any equipments, bolts,screws, washers or other connected materials , which may cause damage to the Aircraft and other Aircraft-repair-machinaries/equipments etc inside / outside the Hangar.

xx) You will ensure, that all your engineers, supervisors, foremans etc engaged for the subject works , shall wear all safety gadgets, harnesses, while working at heights & or underneath / outside the Hangar without fail so as to prevent any accidents at site.

xxi) You will take proper insurance policies for all your engineers, supervisors, foremans etc engaged for the subject works, like workmen compensation policies, CAR policies & any other suitable policy for working at height of 100 feet, valid for the period of contract as well as for the extended period , if any and shall submit a documentory evidence to AIL before physical commencement of the subject work.

(E) FEES:-

(a) Percentage Fees, as quoted by you, for your services will be least of the (i) estimated cost of the subject work put to civil tender or (ii) the actual cost of civil works, as executed, based on the final bills of the contractor.

(b) If the project or any part, thereof is abandoned or deferred or any part omitted by AIL during the progress of the work at any stage, fees due to you up to that stage will be paid on the basis of estimated cost or the actual cost of civil works executed , whichever is less.

(c) Fees for your services will be inclusive of all charges / taxes as applicable from time to time but excluding Service Tax & ROYALTY, paid if any, to AAI / Airport operator. The Service Tax payable as applicable and ROYALTY payments paid to Airport operator / AAI, shall be reimbursed on submission of proper documentary evidence by the consultants. However the Consultants will NOT be paid any overheads & profits over Service Tax & Royalty paid by them to the relevant authorities.

(d) In case, this Consultancy work is awarded to a purely Structural Consultants’ Firm who doesn’t have any infrastructure for “Project Management Consultancy “ , they may engage a suitable agency for “Project Management Consultancy” under them , but Air India Ltd will not bear any additional cost towards payment to that third party engaged by the Structural Consultant.

(e) In case, this Consultancy work is awarded to a purely Project Management Consultants’ Firm who doesn’t have any infrastructure for “Structural Consultancy “ , they may engage a suitable agency for “Structural Consultancy” under them , but Air India Ltd will not bear any additional cost towards payment to that third party engaged by the Project Management Consultant.

(F) MODE OF PAYMENTS:-i) On physical inspection and survey of site, understanding the

Scope of works, preparation of prlimenary drawings,Schedule of items, ascertaining quantities for each item Connected with the work, conducting meetings withVarious reputed manufacturers of sheets proposed for Roofing & cladding with design analysis, checking & Verification of designs submitted by the manufacturers of 20% ofsheets,Selection of proper Roofing & Cladding sheets Structuralwith detail Specification for fixing arrangements, obtaining Consultancy colour schemes from various manufacturers including Charges. arranging power-point presentation, suggesting for themethod of natural lighting & ventilation system, seeking details of the same from various manufacturers and recomending usage for this project with proper justifications,furnishing the alternative schematic design with plans,elevations, sufficient to explain the detailed schemes & on furnishing and obtaining approval of preliminary plans, elevations, section, Perspectives and outline specifications & on approval of the concept.

ii) On submission of the specifications and preliminary/ 10% of detailed estimates of cost with analysis of Rates for each Structuralitem of works considered in the estimate. Consultancy

iii) On approved designs/plans obtaining approval of the 10% of

detailed tender drawing other than engineering aspects Structuraletc. and floating the tenders for the works. Consultancy Charges.

iv) On detailed check and scrutiny and comparison of tendersreceived and advising there upon and on finalisation of the 10% of tenders and award of works after negotiations and obtaining - do -approval there upon and on furnishing of working drawings and other details etc.

v) During progress of the work till its satisfactory Completion. -Upto 90% proportionately to the value of Civil & other allied works of the TotalExecuted by the civil contractor as specified in the Tender. fees payable

less the amounts of payments already made.

vi) The Project Management Consultancy charges shall be paid proportionately to the quantum of work carried out by the civil contractor and as per the running bills paid to the civil contractor.

Hence, the consultants will have to arrange for Airport Entry Permits for their engineers, supervisors, foremans, and other consulting engineers who may be required to visit the site during the execution of the work, from the concerned authorities, i.e., Air India Security, AAI , BCAS & CISF etc at their own cost. However, ROYALTY payments, if any, payable to AAI, will be reimbursed by Air India whithout any overheads & Profits and on submission of proper documentory evidence towards payment of ROYALTY.

(G) ARBITRATION :-In the event of any dispute or difference arising between the parties with

regard to the interpretation of working of this agreement or the rates, liabilities ordues arising out of it or otherwise in connection with this contract, the same will bereferred to the sole arbitrator appointed by the Competent Authority. The decisiongiven by the Sole Arbitrator will be final and binding on the parties.

(H) General a) E – MAIL ID & Mobile Phone No:

It is mandatory on part of the consultant to inform E – mail ID and mobilephone no. of his/their firm or of any authorized representatives of his /their firm for effective communication while contract is on. This E – mailID & mobile phone no. shall be shall be submitted latest by date of

award of contract. b) Police Verification & Security Guidelines :

The consultants who have been awarded the subject work through Work Ordershall furnish necessary Police Clearance Certificate in respect ofcharacter and antecedents of all employees engaged by them, for getting entry permit to Air India premises before commencing the work at site. The consultant shall adhere to the rules, regulations & instructions of Security Dept. of Air India Ltd., & CISF and AAI security, as applicable at the airport premises. The consultants should also ensure that their employees do not loiter anywhere in the building other than the areas where they are authorised to work by the representatives of the Sr.AGM (P&F). Any action taken by Security Departments against the defaulters shall be Consultant’s responsibility.

c) Full time day to day supervision to be provided by your Site Engineers and will record measurement , which will be verified by engineers / officers/clerk of works of Air India Ltd and you will also prepare the certificates for payment to contractor for the executed works. You will guide Site Engineers in interpretation of specifications, mode of measurements and in fixing rates for extra items. The final bill shall also be certified by you after verifying the rates together with those of extra items if any. You shall also inspect the structure generally after completion and certify that the same has been constructed according to the details in the drawings and issue necessary safety certificate for re-occupation to the users/ occupants. of the Hangars .

d) You will co-ordinate work at various stages of the project with the Contractor appointed by AIL and hold meetings with them for that propose as and when

necessary.

e) All disputes and differences of any kind whatsoever arising out of this contract, failing amicable settlement shall be referred for settlement to “SCOPE FORUM OF CONCILIATION AND ARBITRATION” GOVT. OF INDIA and the award made in pursuance thereof shall be binding on the parties to the arbitration.

f) The Structural Consultants will be responsible for the correctness of all the designs and drawings prepared by them. All costs of repairs, rectifications, modifications etc. arising out of a faulty or incorrect design and drawings shall be charged to them. The liability of Structural Consultants/ Engineers in this respect shall not be more than the amount of their fees due under this agreement.

g) In case of willful neglect, carelessness or a similar cause on your part in properly carrying out your duties, in respect of the execution of the construction work on in case of default in performing duties with due diligence or in these is unreasonable delay in issuing necessary changes in drawings or details, then AIL will have the right to terminate your services after serving you in writing with one months prior notice. In such events you will be paid according to the services already performed

and no payment will be made in respect of incomplete work. All the drawings and designs prepared by you upto the termination of your service will be the property of AIL and AIL shall have the right to use these plans for future construction work as already planned and the responsibility for the work executed up to that stage will be with you. Such termination will not relieve you from any liability for any act or default or your part upto the date of actual termination and the AIL shall be entitles to exercise all their rights and remedies in respect of such act or default.

V Detailed check and scrutiny and comparison of tenders received and advising there upon and on finalization of the tenders and award of works after negotiations and obtaining approval there upon and furnishing of working drawings and other details etc.

Within 7 days from the date of Opening of Tenders for Civil & allied works..

VI As per “Duties & Responsibilties of Structural –cum- Project Management Consultants” in Annexture- I & IA, of the Tender documents.

From the date of comencement of consultancy services till completion of all the activities connected with the completion of project including certification of Contractor’s Running, Final Bills for payment., settlement of extra items, processing of time extension, if any, rectification of defects during the defects liability period.

This time schedule is for guidance only.

Specific time schedule may be decided for each work separately by Sr.AGM-P&F or his representative, which shall be binding and final upon the Structural-cum-Project Management Consultants.

( J ) Validity of Contract of Structural Consultants:

The Appointment of Structural cum Project Management Consultants shall be from the date of award of work and will be valid till the completion of all civil project works expected to be completed before the onset of monsoon or by 30.06.2017 or till authorised extensions if any. The Consultants shall also certify and process all Running, Final Bills of the Contractor, during progress and on completion of all civil works covered in the Scope of work of the Tender. Thereafter, if required, the Contract may be extended further on such terms & conditions as mutually agreable to both the parties.

(K) Termination Clause :

a) In case the performance of the Structural Consultants-cum-Project Management Consultant is found to be unsatisfactory, the contract will be terminated by AIL by giving one months notice. The Structural - cum-Project Management Consultants will however complete all the works, which is entrusted to them till the notice of termination, is served on them.

b) If the Consultants wants to terminate the contract / agreement, they can terminate the same by giving at least three months notice in writing.

NOTE:-

Taking into account the estimated cost of various items involved in completion of the work/ scheme, but not included in the tender schedule of quantities, on account payment may be made on the basis of the progress of services provided on these items of works, rendered during each stage mentioned above including timely disposal of contractors bills, extra items etc.

The fees payable after the completion and approved at each stage will be settled within a period not exceeding two months.

The balance of 10 per cent fees will be payable after six months of the satisfactory completion of the work or in case of any dispute raised by any contractor with regard to the execution of the work for which arbitration is sought until such time the arbitration proceedings are concluded.

The cost of the work as herein referred to means the cost of the Employer on such cases EXCLUDING the following costs :

i) Cost of Landii) Any other services, fittings and fixtures, which are not designed, planned or

supervised by the Structural Consultant.iii) Any in fructuous work of demolition etc. ordered by the Structural

Consultant.iv) Payment to local authorities for approval of plans.

(L) The Structural Consultant shall follow the time schedule for the completion of the various items of works as set out in the programme chart ( PERT) to be prepared by the Consultants in consultation with the employer and amendments to programme chart, if any.

(M) The Consultants should quote their Percentages of Individual items and for rebate offered in Figures as well as in words. If the Percentages

(O) In case, this Consultancy work is awarded to a purely Project Management Consultants’ Firm who doesn’t have any infrastructure for “Structural Consultancy “ they may engage a suitable agency for “Structural Consultancy” under them , but Air India Ltd will not bear any additional cost towards payment to that third party engaged by the Project Management Consultant.

FULL TIME SITE SUPERVISION BY THE PROJECT MANAGEMENT CONSULTANTS:

SITE ORGANISATION :

1. The site Organisation should consist of adequate number of qualified and experienced staff, fully conversant with modern methods of project management. The site Organisation should be capable ofcarrying out full-time supervision of various works involved on a day-to-day basis :

a) by examining and instructing the contractor to maintain the quality, workmanship, progress and adherence to specification to maintainstrictly in accordance with the contract conditions.

b) by monitoring so as to keep the project cost within the funds allocated to the extent possible, and inform P & F / Station Head of likely additional unforeseen items of work.

DUTIES AND RESPONSIBILITIES :

Detailed scope of services, duties and responsibilities of site staff will be as follows:

PROJECT REQUIREMENTS :

2. They shall be fully aware of all project requirements, safety requirements, contract conditions, specifications etc. forming a part of the contract documents, funds allocated for various aspects of works etc. for proper execution of the job.

CONTRACT FORMALITIES :

3. They shall instruct the contractors to comply with all contract formalities such as Bank Guarantee, Insurance Guarantee, Fire Insurance, Workmen’s Compensation Insurance, Contract Labour Act etc. as stipulated in the Contract, and advise P & F Dept./Station Head if the requirements are not fulfilled by the contractors.

SITE FACILITIES :

4. They shall hand over the site to the contractors jointly with the representative from P & F Dept./Station Head in accordance with the approved site layout plan.

5. P & F Dept. shall supply site data regarding the existing electrical power, water supply sewage and storm water drains, compressor lines etc. located in the complex properly marked on the plan, and they shall instruct the contractor to take proper timely action for diversion/removal of the same as required with the approval of the undersigned and without disrupting the existing services.

6. They shall observe the Municipal regulations regarding cutting and transplanting the trees jointly with representative of P & F Dept./Station Head while site is being cleared.

7. They shall review the water supply and power requirements of the Contractors for the duration of the Project and advise P & F Dept./Station Head on the appropriateness of these demands.

SITE OFFICE AND CONSTRUCTION MATERIAL STORAGE AREAS :

8. They shall indicate to the contractors/agencies areas for his Site Office, storage of construction materials and equipments etc. in consultation with the representatives of the P & F Dept./Station Head and representative from User Department or such other Department whose work is likely to be hampered because of locating the

above mentioned structures and storing of materials after taking into consideration the movement and run-up of aircrafts, movement of vehicles and personnel, fire fighting equipments, safety requirements etc.

SUPPLY OF CEMENT AND STEEL :

9. They shall work out the requirements of cement and categorywise requirements of steel for the project and inform the P & F Dept./Station Head. The details of requirements of steel and cement for every fortnight shall be reviewed in the light of the progress of work at site.

10. They shall keep proper day-to-day record of all materials received & consumed, at site, and review material consumption statements provided by the Contractors, and inspect contractors stores before every RA bill to keep check on the stock of materials for which the contractor may ask for advance against materials at site.

11. They shall not authorise contractor to remove and take away any material outside Air India premises, unless the same is authorised by the representative of P & F Dept./Station Head, and countersigned by the P & F Dept./Station Head.

SAFETY REQUIREMENTS :

12. They shall instruct the Contractors to comply with all safety requirements as per contract, fire regulations, regulations of Factory Inspector, Inspector of Explosives etc. and shall keep AI informed of any shortcoming notices on site.

13. They shall instruct contractor to keep his materials at a proper and safe distance from Air craft run-up and movement areas.

14. They shall instruct contractors to leave proper movement area for movement of fire fighting equipment and personnel.

15. They shall instruct contractor to keep adequate fire fighting and first-aid equipments.

stipulated in contract and report to P & F Dept./Station Head his performance in this regard.

17. In case of any accident at site they shall immediately submit a detailed report to the P & F Dept. /Station Head and to the representative of P & F Dept./Station Head to comply with statutory requirements.

FREAK RATES :

18. They shall be vigilant regarding freak rates, if any, quoted by the Contractor for any of the items in the Contract and keep proper control at site regarding the quality and quantity of such items. Generally, there should be no excess over tender quantity in the case of freak high rate item. They shall bring to the notice of P & F Dept., if quantity of any freak high rate item is likely to exceed and obtain prior approval from P & F dept. to such excess in quantity.

PROJECT SCHEDULE :

19. They shall review a time and progress PERT- CPM chart as reveived from the Contractor or prepare on their own such PERT/CPM o TQP Charts, in coordination with the representative from P & F Dept./Station Head in accordance with the contract conditions, site conditions and User’s requirements and submit the same to the P & F Dept./Station Head for approval. This chart should reflect the starting & completion dates of all activities and handover necessary copies to the representatives of P & F Dept./Station Head.

SCHEDULE OF DRAWINGS

20. Based on the PERT/CPM Chart, they shall prepare a list of drawings to be issued to the various agencies for proper completion of the Project and also indicate therein the date by which each of these drawings are required to be issued to the Contractors, depending on the programme of work, time required for approval of samples and procurements of materials etc. to enable the contractor to proceed with the work in an uninterrupted manner.

21. They shall coordinate with the structural Consultant for issue of required number of working drawings, as per the schedule prepared, nominated officer from P & F dept./Station Head, Contractors etc.

22. They shall scrutinise all the drawings well in advance with reference to the Tender specifications, contract conditions, additional/special conditions, site conditions, tender drawings etc. and bring the descrepencies/errors/deviations noticed to the Consultant’s attention before issue to the Contractors as ‘Valid for Construction’ drawings.

EXTRA/DEVIATION ITEMS :

23. They shall bring to the notice of the representative of P & F Dept./Station Head as well as consultants any deviations/extra items of work arising out of site conditions or non-availability of specified materials/changes in User’s Department requirements etc. during execution for prior approval. No such deviation/extra items should be ordered without the prior approval of the P & F Dept./Station Head.

24. They shall obtain detailed rate analysis for such deviation/extra items (approved by P & F dept./Station Head) from the Contractor, for recommendation by the Consultant.

25. They shall order the deviation/extra items for execution only on approval of the rates by the P&F dept./Station Head and if the rates recommended is not approved by the P&F dept./Station Head, then to arrange for a meeting for negotiated settlement of the rates between the Contractor, Structural Consultants and the Officer nominated by P&F dept./Station Head for such purposes.

26. They shall assist the representative / Station Head of P&F dept. for seeking approval from AAI, BCAS, CISF and other regulatory bodies in connection with this contract.

Project Execution :

27. They shall check the line out in accordance with the approved layout plan and obtain the approval of the Structural Consultants and of the representative of P&F dept. / Station Head before permitting the contractor to proceed with the work.

28. They shall check, certify the materials require for the work is approved by or Structural Engineers or P&F dept. representative before , asking the contractor toplace the order for the same.

29. They shall approve the replacement of corroded structural steel members, schedules, scaffolding, drawings, safety nets erecting schemes, and any other schemes / drawings prepared by the contractors for execution of work before such works are taken up.

30. They shall approve all structural steel work at site including type & size of weldings etc, scaffolding, laying of structural steel members, methods of placing etc. all temporary and permanent structures, ask contractors to carry out tests where required, on materials required to be used in the works, and scrutinize all test reports.

They shall issue necessary instructions in writing to the contractors involved for taking corrective action where required and keep P & F Dept./Station Head informed.

31. They shall interpret contract documents in the true spirit of the contract but before the interpretation of any clause they will discuss the same with Stataion Head and give detailed instructions in writing, furnish all detailed drawings, particulars and assistance to the contractor for proper and expeditious execution of the project and send one copy of all such instructions to P & F Dept./Station Head for record.

32. They shall prepare a cash flow/chart for the project based on the approved project schedule indicating the anticipated monthly cash flow for the duration of the project and submit the same to the P & F Dept./Station Head.

33. They shall scrutinise the cash flow chart every months and submit a revised cash flow chart to the P & F Dept./Station Head giving reasons, if there is any variation to the initial anticipated cash flow.

34. They shall organise a weekly site meeting with the representative of P & F Dept./Station Head, Structural Consultants, Contractors and any other agency connected to the project execution for co-ordinating various works, and shall record and circulate the minutes of these meetings. These minutes shall be in a format agreed between P & F Dept./Station Head and the site organisation.

In case of any delay, report reasons for delay, corrective action taken to achieve the target, likely impact on project schedule and cost. Minutes of site meetings should include information regarding important materials required, quantity for which orders have been placed, quantity received, short fall in any with reasons, tests for materials carried out during the work, test reports expected during the week, test reports received, shortfall if any in reports received with reasons, extra/deviation items ordered on the Contractors or claimed by Contractor, whether prior approval has been obtained for such extra/deviated items, details of items for which rates have been settled, and reasons for not settling the rates, impact of such items on the Project cost and schedule, additional fnds required, if any with detailed justifications changes in drawings required due to site conditions/User’s requirement etc. with reasons and their likely impact on the Project cost and schedule.

35. They shall record joint measurements with the Contractors progressively in the field measurment books as the work progresses, enter them in the Standard Measurement Books supplied by Air India, scrutinise bills submitted by the Contractors with reference to the work carried out at site, and with respect to the contract documents, certify the bills, and submit them to the EIC/Station Head for their scrutiny.

36. They shall be satisfied that all the materials and quantity for which advance payment on materials brought on site as claimed by the Contractor are required for completion of the project and are not in excess of requirement, scrutinise the claim by the Contractors for an advance and give their recommendation to P & F Dept./Station Head.

37. They shall submit monthly financial and physical progress reports in the prescribed forms alongwith the time and progress/pert CPM chart to the P & F Dept./Station Head and report deviation if any, with reasons, highlighting the bottlenecks, pending decision/approval etc.

38. They shall inspect in detail all the work in progress for quality control, workmanship, safety requirements and issue necessary written instructions to the Contractors for adherence to the above requirements and contract conditions.

39. They shall maintain at site the following records and documents :

a) Site instructions issued to Contractors in writing in the prescribed forms .

b) Work diary with daily site records as prescribed by Air India.

c) A register of approved materials indicating therein dates when samples were produced by the Contractor and approved by the Structural Consultants and keep under safe custody all such materials which have been approved for use in the project till the completion and handing over of the project.

d) A register for recording the test results of all materials which have been tested at various stages of project.

e) Register as per the Standard Practice of Air India for maintaining records of materials brought to site by the contractor, hindrances, issue of drawings, payments to contractors etc. in the standard formats prescribed by the P & F Dept.

f) Upto date time and progress/PERT- CPM chart at site.

g) Files consisting of all instructions given to various agencies, minutes of weekly site meetings, set of latest drawings, copy of all drawings issued from the commencement of project, list of drawings issued and to be issued with the scheduled date and anticipated date of issue, monthly progress reports, cash flow requirements of project with upto-date figures, payment made till date, instructions received from Structural Consultants or any other competent authority duly signed by the persons issuing such instructions etc.

40. Countersign the gate pass to enable the contractors to cart away debris out of Air India premises, with the consent of the representative from P & F Dept./Station Head.

41. They shall arrange for proper qualified supervisory staff beyond normal working hours including working in the nights and on holidays, if in their opinion the work si to be carried out on such occasions in the interest of completing the project expeditiously.

42. They shall instruct the Contractor that the assigned area of work is kept clear of all debris, unwanted materials etc. and the same is disposed off on day-to-day basis by the Contractor.

43. They shall instruct Contractor to carry out Project work with out hindrance and inconvenience to other departments.

44. They shall instruct the Contractors to comply with all industrial and labour Rules and Regulations as existing in force and as amended from time to time and in case of non-compliance bring the matter to the P & F Dept./Station Head.

45. They shall be satisfied that the Contractors keep adequate qualified and experienced personnel at site of work for executing the work as stipulated in the Contract, and report to the P F Dept./Station Head in the event of non-compliance.

PROJECT COMPLETION FORMALITIES

They shall prepare an inventory of all the fittings and fixtures including sanitary, water supply, electrical etc. jointly with the Contractor and the representative of the P & F Dept./Station Head before handing over the project and hand over copies of such inventory to the P & F Dept./Station Head.

48. They shall prepare and submit a project completion report in the form prescribed by P & F Dept./Station Head and submit the same to the EIC/Station Head alongwith the final bill of the contractor.

49. The Consultants should quote their Percentages of Individual items and for rebate offered in Figures as well as in words. If the Percentages are not quoted in words in addition to Figures such tenders will be rejected. Incomplete Tenders in any form shall be rejected.

50. In case, this Consultancy work is awarded to a purely Structural Consultants’ Firm who doesn’t have any infrastructure for “Project Management Consultancy “ , they may engage a suitable agency for “Project Management Consultancy” under them , but Air India Ltd will not bear any additional cost towards payment to that third party engaged by the Structural Consultant.

51. In case, this Consultancy work is awarded to a purely Project Management Consultants’ Firm who doesn’t have any infrastructure for “Structural Consultancy “

, they may engage a suitable agency for “Structural Consultancy” under them , but Air India Ltd will not bear any additional cost towards payment to that third party engaged by the Project Management Consultant.
