The client is a global leader in highly precise timekeeping technologies, instruments and solutions.
The Challenge
The client had set up a subsidiary in India to seek business in the defence and telecom sectors and improve service quality for existing clients in India. The subsidiary would allow them to support their customer base with much better turnaround times and local accessibility. The client recruited high calibre sales personnel and technical staff and were in need of a business partner to support their accounting, payroll, taxation and corporate governance and also ensure they stay compliant with local laws. The client had a unique need due to the sensitive nature of their clients and needed a partner that could help them obtain often tricky approvals and local country set ups at very short notice.

record time. The
guarantee, which
usually takes weeks or
even months in
complicated
situations, was critical
to the client. Without the
guarantee the client
could have lost the key
contract.
How We Helped
Nair & Co. provided the client end-to-end support for accounting, payroll, advisory on human capital and benefits administration, advisory and support on direct and indirect taxation matters and corporate governance. We helped the client understand the applicable regulations in India especially relating to customs clearance of imported goods. We acted as the coordination point between their US parent and their customs clearing agent in India. We guided them on the applicable procedures and assisted in providing the required documentation and declarations relating to import of goods. We then also guided the client in setting procedures relating to product sale to their customers in India covering advisory on applicable indirect taxation regulations and supporting the accounting, billing and collections support functions.
Our advisory includes:
Structuring of transactions with the parent company covering sale of products and provision of services from customs (imports) and transfer pricing perspective.
Structuring of transactions with the end customers in India and guidance on indirect taxation (customs, VAT and service tax). Review of vendor contracts from legal perspective guidance on indirect taxation matters relating to movement of goods within the country (between one/more States in India).

The client is a software company selling products that enable and enhance the development of Application Programming Interface (API’s) The client has a Singapore parent company.
The Challenge
The client’s India operations—handled by a different service provider — were fraught with many accounting issues and the client was not in compliance with local regulation exposing them to serious tax and legal risks. The client needed advice on stock options and its reporting.
How We Helped
Nair & Co. immediately began educating the client about local regulations and began an audit of their operations to spot the gaps and inconsistencies with local laws.

and also got the client
refunds on service tax that
had gone unclaimed.
Our expert team sorted out their accounting issue and regularized their statutory filing. The team prepared proper documentation and filed returns for service tax claiming refunds, which were not claimed by the previous service provider. We also did stock advisory work and reporting and gave them the professional support in accurately reporting stock option for their employees. Nair is also instrumental in helping them out with their ongoing US audit.
