StockTracer® Read Me
Thank you for choosing StockTracer®. If you are first a time user, please
review our installation instructions. If you have installed and used this
program before, you may want to keep your old database. Your data is
very important. When you upgrade from a previous StockTracer®, version,
StockTracer® installer keeps your data where you had it before doing the
upgrade
If you want to keep the old database you do not need to do anything.
If you want to use a totally new database, please manually delete your
database first.

What is StockTracer®?
StockTracer® will allow you to manage the companies you own or
represent. It gives you the following ability:
• Lists all the entities your represent or own.
• Lists of upcoming events and schedules for annual meeting and state
filing deadlines.
• Prints the stock or company certificates (up to 4 classes), with the ability to
review and or print an automated transfer ledger by company or investor,
including partial shares.
• Data reminder for annual meeting and annual filings.
• System e-mail notification to all officers and stockholders of important
events.
• Records standard meeting dates, times and who attended, and what
transpired at the meeting.
System Requirements This software can be installed on Win2K, XP and Vista. Also we recommend
an Intel P4 1.4 GHz or AMD equivalent and above.

StockTracer® Installation
Insert the StockTracer® CD into a CD drive, if the installation does not
begin, click Run. From the START Menu enter the command:
<CDdrive>:\Setup.exe” where <CDdrive> is the CD drive letter.
At the first screen click yes to begin, then read the End User License
Agreement and check the I Agree to continue.

Use the Default Installation for a single computer or Custom Installation
for network or other custom setup. This will guide you through the
installation easily.
Default Installation
A Default Installation is for a single computer where data is not shared.
• Choose Default Installation to begin.
• Click Next at the Welcome screen.
• A Read me file is presented, we suggest reviewing it and click Next

• The Select Installation Folder screen appears and allows a location to be
chosen for the installation. We recommend leaving the default location
for ease of installation and support. StockTracer® can be installed for a
single user or all users of this computer by checking the corresponding
check box Everyone or Just Me, click next to continue.
• Confirm the installation by clicking Next and the StockTracer® will begin
installing.
Custom Installation
A Custom Installation is for network or other type of installation. You can
select the program location and database location with this choice. The
StockTracer® program must be installed on every computer that uses it.

When choosing a custom StockTracer® installation the Program and
Database folders must already exist or be the default choice, please follow
these instructions:
• At the Installation Type screen choose Custom or Network installation
and click Next.
• At the Custom Installation screen use the Browser button to choose
where the Program and Database are to be located click and Next. We
recommend leaving the StockTracer® program in the default installation
location for ease of installation and support.
Using the Browser to create a new folder.

• After clicking the Browser button the Browse For Folder opens, expand to
the location you wish to create the new folder.
• Select the location for the new folder and clock the Make New Folder button.

• Rename the “New Folder” to whatever you wish.
• After renaming the folder, you must click on another folder and then click
on the newly created folder so that the new folder name is in the Folder
dialog box. This procedure is due to a bug in the Microsoft developer’s
environment.

• The installation will begin, click Next at the Welcome to the StockTracer® Setup
Wizard screen, click Next.
• A Read me file is presented; we suggest reviewing it and click Next.

• A custom installation is divided in two parts Program and Database. First the
Program is installed, then the Database.
• Review the Program installation folder and click Next.
• Click Next at the Confirm Installation screen to install the Program.
• When the Program Segment is complete, click Close to continue with the
Database installation.

• Now the Database will be installed. At the Welcome to the StockTracer® Data
Setup click Next.
• Review the Database location and click Next.

• Click Next at the Confirm Installation screen to install the Database.
• Click Close at the final screen.
Congratulations StockTracer® is now installed.
If you uninstall the program, the database will remain in the chosen location to
facilitate upgrades and moving of the data location. StockTracer® will not remove
the database from your system.

Starting StockTracer® When you first launch the program you are required create an
Administrator, then users and privileges can be setup. Click OK and enter
your user name, password and fill in the rest of the form. At this point you
can add new users with the appropriate Access Level that you want to be
able to manage your data.
Fields marked with an (*) are required fields.
Access Level:
The access level area will give full or limited control of your data,
depending on the setting established.
Select Full, Edit Data, Add Data, and View Data and complete the form. When you are done click save more or save button.
The StockTracer® menu bar At first when you first open StockTracer®, the Task Menu window opens.
No data will show because you do not have any data stored in it. Click
Create New Company button to begin or close the Task Menu and choose
File / New / Company to begin.
When the StockTracer® Task Menu window is closed you have three
options:
File, View and Help
Only when the company list is open or any other window you will see more
option on the menu bar. Access these options by selecting open company
list from the file menu. Then you will be able to see the following:
File, Edit, View, Maintenance, Notification, Window, and Help.

From File you will be able to:
• New
Allows you to create a new company, issue a new certificate for an
existing company, or add a new stockholder/owner.
• Open company list
Will open the company list window showing the companies you
entered.
• StockTracer® Task Menu
Gives you the ability to review your upcoming events and also, open
one of the existing companies to review or edit data.

Here you can:
• View upcoming events
• Click on the Event Setting to set up your events an how many days
in advance this reminder will show.
• Review list of all companies.
• You can click on Create New Company to add a company to your
existing list.
• Open selected company.
• Create a new certificate after you select a company.
• Print setup.
Set up your default printer.
• Print margins
This option allows you to adjust the margin area for your certificate.
These margins will only allow you to move the print image.

• Log off StockTracer®.
Will close session, but leave StockTracer® open for login.
• Exit
Will exit StockTracer®
Company List Window Double clicking an existing company allows editing of the company
information.
File Menu
New Company
Select this option from the file menu to create a new company.
• General Information
Name, address, city, State, zip code, country, telephone, fax, email, tax
Identification number, fiscal year, county. Also you can select from the
location of documents check boxes; in office or Forward it to the client. All
fills with (*) must be filled before the form is saved.
• Basic Data
In this window you will select who in your firm is associated with the
company. Also from the drop down you will select where it was organized,
date, registration number, and next annual filing date. Select your
accountant and registered agent from the drop down list. If the accountant

or registered agent does not “appear” create one from the Add Accountant
or Add Agent button. For the annual meeting pick a date from the drop
down fields. Enter the name where the meeting is going to take place. You can also add more individuals by clicking on the add buttons.

• Description Menu
Here you can enter the company purpose, company type, description and
identity. Click save when you enter the information.
Business Purpose
Type the kind of business the company is performing.
Company Type:
Select a company type from the drop down menu.
Company Status:
Select if the company is public or not from the drop down menu.
Description Area:
In the description area you can select the termination date, Tax Status,
Subsidiary and Parent Company.
Identity
In the Identity area fill out the SIC code, DBA information, and
number of directors.
Click save when finish.
• Officers and Directors
Select from the list of officers and directors. If they do not exit create one by
clicking on the add button or edit an existing one.
Click on save when finish.
• Shareholders / Members
Select one form the list of Owners. Or create one by clicking on Add New
Shareholder or Member.
In this window you can Edit, Add New Shareholder or Member and Issue
certificate. Also you can set up the fonts to be use in your certificate.
Creating New Shareholder / Member
Double click on the name of the company you want to add a
Shareholder or Member and click on the Shareholder or Member tab.
Fill in the form, fields that are mark with (*) are required. When
finished click Ok.
Individual Owner Name
Allows you to enter the name of the person you are issuing the certificate to.
Entity Name or Company Owner Field
This field allows you to enter the name of the company you are issuing
the certificate to.
You can only enter the individual owner name or the entity name, not
both.
• Stock Classes (Corporations Only and Required to create Certificates)
Select one from the list or create one by clicking the Add button.

Print Company Info
Prints the company information.
Print Preview Company
Choose Print Preview Company from the file menu to preview the
company information before printing.

Print Setup
Setup the printer before printing.
Print Margins
This option will set the margins for certificate before printing. You can
move text to the right, left, up or down in one easy step.

View Menu The View menu will display the Toolbar, Status Bar, View Certificate, View
Notification, Owner Information, Transfer Ledger and View Meeting
Records.

Displays information at the bottom of the StockTracer® screen.
Status Bar
For future use.
View Certificate
From this option you can view certificates issued, cancelled and transferred
certificates by selecting a company from the drop down menu and clicking
on Go.

The following options are available:
• Draft
• Issued
• Cancelled
• Transfer (This option will be available in the next version)
• All For more information issuing certificates see section with StockTracer® certificate printing.
To print the Stock Transfer ledger on membership list do the following:
• Click on a company
• Choose one of the choices listed above
• Lower right hand side – on the window click - print ledger

View Notification
This window displays previous meeting reminders that have been sent.
Select a company from the drop down list. Select the notification type and
date range in the “Setting period between” item. Then click go.

Owner Information In this window you can preview, and edit the Shareholders/Member/Partnership
from a particular company by selecting the company name and clicking Go. This
window lists all owners of the company. To list all Stock / member holdings of an
individual owner, type the last name into area designated and click go.

In order to print or preview ledger, a certificate had to be issued in the
selected time period from the drop down boxes.

This window will let you see all the minutes of the meeting that you have
entered by first selecting a company name and clicking on Go.
If you are using the program to record minutes of your meeting, which is
found under notification and minute book record, then you may click the
company name you are looking for and the appropriate meeting listed
under minute book.

Maintenance Menu
Registered Agent
Allows viewing, adding and editing of all registered agents.

Allows viewing, adding and editing of all accountants.

User’s information list
Displays the list of lawyers, paralegals and others setup by the
administrator.
These records can also add to or edited by an administrator by selecting an
individual and clicking edit.
Owners Information List Window
Set Certificate Font
You can change the fonts on certificates for all or individual companies on
each type of certificate. Most common fonts are available, click the Add
button to add a new font. Each part of a certificate can be changed
individually and can be restored to original if necessary.

Please note that changing fonts could change the number of letters that can fit into the area of the
certificate. Specimen or draft print to see if the information fits. If you get an error message, or the
information does not print, you must make the font smaller.

Notification
Enter Notifications This window allows the scheduling of important events for the company.
1. Select the company name.
2. In the Notification Category, select Meeting Reminder or Notice.
3. Specify a subject in the subject box.
4. Select the Notification Type you want: Email, Mail or Both
5. In the Send to whom option, select one or more officers in the options
Board of Directors/Operating Managers.
6. Schedule Email Notification by selecting a date and select the how many
Days before Meeting to send the first reminder.
7. Type your message in the text box or cut & paste a (rich text format) .rtf
file. This is the only file supported by StockTracer® at this time.
8. The Save as file will save the information you type in the text box.
9. Click Apply or Save when you are done.

In the event Reminder Setting place a check mark on what items you want
to be reminded of and the number of days in advance you would like to be
reminded. In the Appear before How Many Days, select a number of days
from the drop down list and click Ok.

Minute Book Record
You will find a submenu with:
• First Meeting of Board of Directors
• First Meeting of Shareholders
• Annual Meeting of the Board of Directors
• Annual Meeting of Shareholders
First meeting of Board of Directors
• This window will help set up your first meeting of board of directors.
• Select the company from the company name, all the directors will show on
the right hand side of the screen.
• Called to Order by: Type Person who called to order the meeting
• Secretary: Type a name for this field.
• In the General Information enter the date, time and place of meeting.
• In the Incorporation Information type a name for a bank and select an
accountant from the drop down list.
• Click on save.

First Meeting of Shareholder This window will set up the first meeting for the shareholders.
• Select a company name and the list of shareholders will show on the right
hand window. • Called to Order by: Type Person who called to order.
• Secretary: Type a name for this field.
• In the General Information enter the date, time and place of meeting.
• Click on save.
Annual Meeting of Board of Directors
Use this window will set up the Annual Meeting of Board of Directors.
• Select a company name and the list of shareholder will show on the right
hand window.
• Called to Order by: Type Person who called to order.
• Secretary: Type a name for this field.
• In the General Information enter the date, time and place of meeting.
• Click on save.

Annual Meeting of Shareholders
This window allows you to record date, place and time of the annual
meeting of shareholders.
• Complete this window by selecting company name,
• Called to Order to, General Information.
• The Directors and Officers area will be filled automatically after selecting
a Company Name.
• Click on the individuals who were present at the meeting and click Save.

StockTracer® Certificate Printing Click on Issue certificate from the Shareholder / Member Tab or right click
and select Issue Certificate from the Company List window. StockTracer®
allows you to enter decimal values, up to 3 places, in the Shares to issue
box.
In order to print certificates, you must first enter Shareholder / Member
information and add Stock Classes for Corporations, see Section 2. To enter
Shareholder / Member information you must click on the Shareholder /
Member tab on the top right.
You will have the following options to choose for printing and saving a
certificate.
• Save certificate as draft
• Print Certificate and keep as draft (Draft will be held until you print
the final certificate)
• Print certificate and save as issued
• Print certificate as a specimen
Issuing Certificates
Issuing Certificate window
• Select the certificate type from the Certificate type drop down list.
• Select an Owner.
• The Date Issued will display the current date. You can select the date of
your choice.
• Select Certificate Class (Corporation Only)

• From the Shares / Units /Interest area, enter the Shares / Units /Interest to
Issue (three decimal places are allowed), Price per Shares / Units /Interest,
Cert. Number prefix (numbers automatically increment) and Total
Amount will be displayed.
• Select the appropriate signers for each side of the certificate, custom
signers may be added to the list by clicking the Add button.
• Add a clause in the clause text box by typing or cutting and pasting. This
area is font size sensitive and the allowable letter count is roughly 300.
• Click Save Certificate Draft, Preview or Cancel to continue.
• If Preview was selected use the File menu to continue. When you select
Print the Print dialog box appears. When selecting Print a certificate and
keep as draft, the word Draft will show on the top left corner of the
certificate and on the body of the certificate.
• When selecting Print certificate and save as issued the actual certificate
will print and will be saved as an issued certificate and assign the next
number.
•
Class of stock
There is a drop down box which gives you choices of the different types of
stock. (Corporations Only, must be created in the Stock Classes tab)
Par Value
The stated par value of the stock that was filed with the articles.
Authorized number of shares
The amount of stock that was filed with your articles.
The certificate is not issue until you print and select print certificate and
save as issued
Add
If you have multiple classes of stock this gives you the ability to print up to
4 classes on the face of the certificate, but you can only issue one class with
multiple certificate, instead of one.
Remove
This gives you the ability to remove classes.

Edit
This gives you the ability to edit classes of stock and authorized issue
When entering the information for printing certificates, you first must
ascertain how many classes of stock the corporation has to issue. If the
corporation has only one class of stock, just follow the instructions on add
explained below. If the entity has more than 1 class of stock, you must
decide how you want to print them.
Reflecting
This means that you are showing all the issues of the corporation on the
front of the certificate.
Non-Reflecting
Means that the certificate only shows the class you are issuing. Please note
that with non-reflecting, it only shows that class, and does not show the
total authorized issue for the company.

Non-reflecting certificates
To Issue Certificates you next must enter the stock classes. With
StockTracer® you may enter as many stock classes as you wish, but the
maximum you can print with the program on the face of the certificates is 4
(reflecting-showing all classes on the face of the certificate) Non-reflecting
means that you only show the one class that you are issuing.
When you click on Stock Classes, a stock class screen appears; a box will
come up where you have the following fields to fill in:
You have 4 options:
• add (for only one class of stock)
• Add all classes-(this is for corporations with multiple classes of stock.
StockTracer® allows you to print stock certificates up to 4 classes of stock.
It is very similar to the single class of stock whereby you put in each
individual class. See instructions above and follow the directions.

• Remove
You can remove a stock set up by simply highlighting it and clicking
remove.
• Edit
Highlight the class of stock you would like to edit and then make the
appropriate changes and then click OK.
When you click on the shareholder tab, you will see three options:
• Edit
Gives you the ability to highlight the owner that you would like to change,
make the appropriate changes and then click OK.
Add new Shareholder
Click on it and it gives you the ability to add the information on the new
shareholder. Then click OK to save.
Note: If you have not entered the shareholders or the stock classes please stop and complete these
tasks first. You will not be able to print certificates without the information being entered. Also you
also must have the specific Corpkit® certificate blanks for each type of certificate. We have listed
below the certificates that have to be used or each type of certificate.
Select certificate type
This will give you a choice of the different types of shares that you can
pick. You must use the appropriate Corpkit® certificate blank, they are:
Standard Border for Corporations
This border is distinguishable by having the word Shares in the upper right
hand area of the certificate. In this area you would put the numeric amount
of shares you are issuing to the investor:
Standard border shares certificates
• Association- used for an association.
• Bearer Shares

• Close Corporation
• Registered
• Single class Corporation
• Non-reflecting multiple classes of stock
• Reflecting multiple classes of Stock
Eagle Share Certificates for Corporations This has the Corpkit® eagle with the cloud underneath it. The following can
be used with this type of border:
Eagle shares certificates
• Close Corporation.
• Single class of Stock.
• Non- Reflecting multiple shares of stock.
• Reflecting multiple classes of Stock.
Note: The only difference between the two above type of certificates is that one has an eagle and a
cloud and one has a long square area to print in (called a benday). The wording on both will be the
same for similar types of certificates. It comes down to personal preference.
Standard Border Certificates- no designation

Standard Border Certificates- no designation
This type of certificate is distinguished from the standard corporate border
because it has the designation area blocked out in the upper right hand
corner of the certificate: This can be used for the following type of entities:
• Non- Profit Corporations
• Not-For-Profit Corporations
• Partnerships
• Limited Partnerships
• Limited Liability Partnership
Standard Border Unit Certificates It is distinguished from the standard corporate border because it has units
printed in the upper right hand corner of the certificate. This type of
certificate blank can be used for the following entities: • Limited Liability Companies (LLC)
• Professional Limited Liability Company (PLLC)
• Limited Company

Eagle Border Interest Certificates

It is distinguished from the eagle corporate border because it has interest
printed in the upper right hand corner of the certificate. This type of
certificate blank can be used for the following entities:
• Limited Liability Companies (LLC)
• Professional Limited Liability Company (PLLC)
• Limited Company
Eagle Border Interest Certificates
The major difference in use is if you are issuing units of membership or % of
interest of membership. Please consult your legal advisor as to what entity
was set up for you.
Once you have decided what certificate to use, you would do the following:
• Insert issue date
• Choose your pre-entered certificate class
• Enter number of shares to be issued
• Certificate numbering will be automatic after the 1st one is issued.
If you are issuing a specific number, you can change it at this time. The box
next to the number box has a drop down box if you would like to put a
prefix before the number.
• Price per share is the price your investor is paying or investing in the firm
in money time or assets. If you do not want to list it or just do not know,
then enter to proceed.
• Signature lines- you must click at least one. You can pick up to 2 for the
left hand side and two for the right. You must choose at least one line each
side. If you are not sure, then just pick the blank line.
• Preview- Click here to preview the certificate before printing.
• When you click on preview, it will give you the picture of the screen, if it
is good, and then to print, click on file print, it will ask you if you want to
print certificate and keep it as draft or print certificate and save as issue.

If you try to reprint the same certificate that you saved, you will get an error
message requesting that you destroy the previously printed certificate and
other instructions. Please make sure you follow the legally acceptable way
of canceling or destroying the certificates. We recommend that you review
local, state of federal laws or guidelines when using this function.
Set Fonts
This gives you the ability to set the type and size font you want to use.
When you click on set fonts, a screen will come up which will direct you to
click on the following:

• Type of certificate you want to use.
• Shows company you are working in.
• Listing of each item and the ability to change font and size by clicking on
to the area line item you would like to change, make the change you would
like and click update. You may want to test print a certificate to see if the
change looks good.
You also have the ability to add new fonts and also restore the program
startup fonts by clicking on the “add new font” or “restore fonts”. The
restore fonts have two buttons for you do this:
• Display certificates

You have two options in this area. You can:
• display the current certificates issued for an investor in the particular
company you are working in.
• display all of the certificates that have been issued for this company.
