RELATIONSHIP AND RESPONSIBILITIES

1. Works under the direction of, and reports to the Registrar, Registry of Companies and Intellectual Property, Attorney General’s Chambers and is responsible for assisting the Registrar in ensuring the proper functioning of the Registry of Companies and Intellectual Property at all times.

2. Required to respond whenever necessary to the Attorney General and the Permanent Secretary on matters related to work.

DUTIES AND TASKS

1. Assisting the Registrar in the performance of all duties relating to the registration of companies, business names, partnerships and intellectual property.

2. Assisting in the substantive examinations of applications for the registration of companies, business names, partnerships and intellectual property.

3. Performs substantive examinations of trademark applications under the Trademark Act and Regulations;

4. In the absence of the Registrar, to act as Registrar of Companies and Intellectual Property.

5. Required when called upon, to write legal opinions on matters pertaining to Companies and intellectual property issues;

6. Required when called upon to attend meetings on intellectual property matters in Saint Lucia or overseas;

7. Administers granted patents and register utility model certificates;

8. Carries out studies, programs or exchanges of items or services regarding domestic and international patent law;

9. Provides patent information services such as making available, for use by the public, in the prescribed manner, and on payment of any prescribed fees, patent literature;

10. Required to attend in-house and external meetings, and other official activities as necessary;

12. Performs such other duties as may be assigned from time to time within the scope of responsibility.

QUALIFICATIONS AND EXPERIENCE

a. A Master of Laws degree majoring in Intellectual Property Law or Corporate law with a minimum of three (3) years’ professional legal experience in a Commonwealth jurisdiction and qualified to practice in Saint Lucia;

b. A Bachelor of Laws degree with a minimum of five (5) years’ professional legal experience in a Commonwealth Jurisdiction and qualified to practice in Saint Lucia.

SALARY AND ALLOWANCES

Salary is at the rate of EC$71,058.83 per annum, plus the following allowances:

INSTITUTIONAL CAPACITY BUILDING WITHIN THE NURC PROJECT

CONSULTANCY SERVICES FOR INSTITUTIONAL CAPACITY WITHIN

THE NURC

REQUEST FOR EXPRESSIONS OF INTEREST

THE Government of Saint Lucia has received financing from the Caribbean Development Bank (CDB) in an amount equivalent to US$210,000 towards the cost of Institutional Capacity Building within the NURC and intends to apply a portion of the proceeds of this financing to eligible payments under a contract for which this invitation is issued. Payments by CDB will be made only at the request of Government of Saint Lucia and upon approval by CDB, and will be subject in all respects to the terms and conditions of the Financing Agreement. The Financing Agreement prohibits withdrawal from the financing account for the purpose of any payment to persons or entities, or for any import of goods, if such payment or import, to the knowledge of CDB, is prohibited by a decision of the United Nations Security Council taken under Chapter VII of the Charter of the United Nations. No party other than Government of Saint Lucia shall derive any rights from the Financing Agreement or have any claim to the proceeds of the Financing.

The National Utilities Regulatory Commission (NURC), the Executing Agency, now wishes to procure consultancy services for Institutional Capacity Building within the NURC.

The objective of the consultancy is to develop a Strategic Plan and Operational Procedures to strengthen institutional capacity of the NURC to deliver its mandate. The duration of the assignment is expected to be for a period of 22 weeks. The NURC now invites interested eligible consulting firms to submit Expressions of Interest for the provision of these consultancy services.

Consultants shall be eligible to participate if:

(a) in the case of a body corporate, it is legally incorporated or otherwise organised in an eligible country, has its principal place of business in an eligible country and is more than 50 per cent beneficially owned by citizen(s) and/or bona fide resident(s) of eligible country(ies) or by a body(ies) corporate meeting these requirements;

(b) in the case of unincorporated firms, the persons are citizens or bona fide residents of an eligible country; and

(c) in all cases, the consultant has no arrangement and undertakes not to make any arrangements, whereby any substantial part of the net profits or other tangible benefits of the contract will accrue or be paid to a person not a citizen or bona fide resident of an eligible country.

Eligible countries are member countries of CDB1

The attention of interested Consultants is drawn to paragraph 5.15 and 5.17 of Procurement Procedures for Projects Financed by CDB (2019), setting forth CDB’s policy on conflict of interest for the selection of consultants.

In the assessment of submissions, consideration will be given to technical competence, qualifications and experience, local and regional experience on similar assignments, financial capability and existing commitments. Key Experts will not be evaluated at the shortlisting stage.

BACKGROUND (*)

The Government of Grenada, Carriacou and Petite Martinique and Civil Society have made a number of systematic advances in legislation and policy frameworks and national action plans, as well as programmatic efforts to address gender inequality, and women and girls’ human rights. Despite these advances, however, violence against women and girls continues to be a pervasive problem throughout the country. The Spotlight Initiative (SI) in Grenada is designed to focus attention, coordinate human effort, and strategically apply resources to the implementation of a well-conceived comprehensive national programme to end family violence and all forms of violence against women and girls.

The Grenada Spotlight Initiative was developed in broad consultation with Government and Civil Society, and an integrated Technical Team from ILO, UNICEF, UNDP, UNFPA, UN Women and PAHO/WHO. The programme is built on the six pillars of the SI: Legislation and Policy Frameworks, Strengthening Institutions, Prevention and Social Norms, Delivery of High-Quality Essential Services, Data Availability and Capacities, and Supporting the Women’s Movement, with special emphasis on Prevention and Essential Services.

PURPOSE/SCOPE OF ACTIVITY/ASSIGNMENT

The overall objective of the assignment is to provide legal advice to the leadership of the Ministry of Legal Affairs and other relevant policy makers and to render technical assistance with desk reviews of bills and processes, research and policy development on legislation, drafting and finalization of legislation and policy positions,

and facilitation of stakeholder consultations. The Legal Advisor will ensure that the functions outlined below and scope of work are satisfactorily carried out.

KEY TASKS

Functions/Scope of work will include:

o Provision of legal advice to Government of Grenada on substantive and procedural law and access to justice for victims of gender-based violence (GBV), including family violence and child abuse

o Development of a concept for the establishment of a Family Court

o Conduct focused research, policy review on international and regional best practice around relevant subject matters; prepare comparative analysis and position papers

o Vet and modify as required Memoranda of Understanding which may become necessary between line Ministries associated with the Project

o Support committees with advice on different legal issues, recommend any amendments, and draft legislation, parliamentary resolutions and other legal documents

o Working with the executive, other state agencies and civil society throughout the legislative process to support effective stakeholder meetings and public consultations on the draft legislation, as well as effective consultations

o Arrange, participate and co-facilitate with international/regional/local experts relevant trainings and workshops

o Submit a written monthly report on deliverables including updates on the work programme.

INSTITUTIONAL ARRANGEMENTS

The Legal Advisor shall work under the direct supervision of the Attorney General. Achievement of deliverables will be approved by the Attorney General. Payment will be made upon certification of the Permanent Secretary of time sheets for actual dates of work and consultant performance in accordance with activities and deliverables as reported in the activity report. An all-inclusive fee will be made upon presentation of invoice and monthly report at the end of each month. Payments will be made via wire transfer, directly to the Legal Advisor by UNICEF, the Project Support Agency, upon presentation of an invoice and report, certified and presented by

the Ministry. The Legal Advisor will be expected to provide relevant banking information to UNICEF and be registered in their vendor registration system.

TRAVEL REQUIREMENTS*

The Consultant will be Grenada-based, and is expected to use his/her personal transportation to and from work including consultative processes.

OBLIGATIONS

The Consultant shall complete the assignment set out in these Terms of Reference/Contract and Activity Sheet/Work plan with due diligence, efficiency and economy, inaccordance with generally accepted professional techniques and practices.The Consultant must respect the impartiality and independence of the Government of Grenada. During the term of this contract the Consultant tractor must refrain from any conduct that would adversely reflect on the Government of Grenada, its development support partner UNICEF or the United Nations and must not engage in any activity that is incompatible with the Government’s administrative instructions, policies and procedures. The Consultant must exercise the utmost discretion in all matters relating to this contract.

In particular, but without limiting the foregoing, the Consultant (a) will conduct him- or herself in a manner consistent with the Standards of Conduct of the Civil Service; and (b) will comply with the administrative instructions and policies and procedures of the state relating to fraud and corruption; information disclosure; use of electronic communication assets; harassment, sexual harassment and abuse of authority; and therequirements set forth in national law and policy on special measures for protection from sexual exploitation and sexual abuse.

RECOURSE (*)

The Ministry of Legal Affairs, Grenada reserves the right to withhold all or a portion of payment if performance is unsatisfactory, if work/outputs is incomplete, not delivered or for failure to meet deadlines. Performance indicators against which the satisfactory conclusion of this contract will be assessed include: timeliness/quality of submission and responsiveness to the Ministry and counterpart feedback.

activities

Royal Bank of Canada St. Lucia Branch Operations (“The Bank” or “RBC”) whose principal place of business of its Head Office is 200 Bay Street, Toronto, Ontario, Canada, is a chartered bank operating under the Bank Act of Canada and is registered in St Lucia as an external company under the St Lucia Companies Act, with its principal place of business as, 22 Micoud Street, Castries, St. Lucia.

The Bank is licensed as a foreign bank under the Banking Act (“the Act”) which governs the operations of financial institutions in St. Lucia and is regulated by the Eastern Caribbean Central Bank.

On May 1st, 2015 RBC entered into a business transfer agreement with RBTT Bank Caribbean Limited (“RBTT Caribbean”) and acquired the banking business of the St. Lucia Branch of RBTT Caribbean by vesting order.

The Bank’s principal activities in St. Lucia are retail banking and related operations.

2. Basis of preparation

The audited financial statements are prepared in accordance with International Financial Reporting Standards. The summary financial statements are derived from the audited financial statements and are prepared in accordance with Section 69(3) of the Saint Lucia Banking Act No. 3 of 2015.

Now Therefore, it is hereby notified by the Governor General acting in accordance with the advice of Cabinet, that part of certain parcels of land mentioned in the schedule hereto is likely to be required for a public purpose to wit: Rationalization of Lands.
