OVERVIEW OF THE SRCC
The modern solar industry was founded in 1974, following the original oil embargo of the previous year.In the years which followed, energy in all its forms became a national priority. While commercial andresidential solar systems were available on a limited regional basis, a mechanism had to be put in placewhich would encourage consumers to purchase these relatively unknown products and new technologywith confidence that the technology was valid and that the products would perform in terms of energy anddollar savings.
States with potentially large solar markets, such as California and Florida, were the first entities toestablish such a mechanism by establishing state testing and rating programs for solar collectors.However, since there was little consistency between each states testing requirements and approach torating solar equipment, such programs soon became an impediment to manufacturers who marketed inmore than one state. The need for a single national program which manufacturers could test theirequipment to and which would benefit consumers by providing a uniform, national approach for rating andcomparing solar equipment soon became evident. In an unprecedented move, the trade association forthe solar energy industry and a national consortium of state energy offices and regulatory bodies joinedtogether to lay the groundwork for such a program which would soon lead to the founding of the SolarRating and Certification Corporation.
The Solar Rating and Certification Corporation (SRCC) is an independent third-party certificationorganization that administers national certification and rating programs for solar energy equipment. TheSRCC was incorporated in October 1980 as a non-profit corporation. It is governed by a twelve-memberBoard of Directors with representation from the public, private, and generalist sectors.
The combined programs of the Solar Rating and Certification Corporation provide one-time certification,national recognition, product credibility, and standardized comparisons of solar energy products. TheSRCC programs serve three primary constituencies: the solar energy industry, solar consumers, andstate and federal regulatory bodies. All three constituencies benefit from the SRCC programs byobtaining a national state-of-the-art rating system, a mechanism to develop consumer confidence, and arational and defensible criteria for tax credit qualification and other solar incentive programs.
Solar equipment manufacturers benefit from SRCC certification and rating in three fundamental ways:the ability to have a product certified only once; national recognition and/or reciprocity of the certification;and a reliable means for judging product durability and performance on a relative standard basis. Thesolar contractor benefits from the SRCC certification in three fundamental ways also: certification
provides product credibility; provides one with a standard of comparison to be used in sales literature;and provides a defense against unethical competition and false claims. The solar consumer also benefitsfrom the SRCC programs. These benefits include obtaining a measurement of quality, a measurement ofperformance, third-party independent corroboration, and a national standardized method to comparesolar equipment and thereby determine the best buy. Finally the government and states benefit fromSRCCs programs in that certification provides a rational basis for tax credit qualifying regulation as wellas a basis for setting codes and standards.

The corporation is governed by a twelve-member Board of Directors comprised of solar experts from boththe public and private sectors. Four members of the board represent the solar energy industry, fivemembers represent the public sector, and three members represent general interests (utilities, solutions,research, building industry, etc.). Adding to the governance of the corporation are a variety of standingand ad hoc committees. Committee members are appointed by the Board of Directors and arerepresentatives from the industry sector, state and federal agencies, consumer organizations, andacademia. A sampling of these committees and their respective purposes is as follows:
Technical Compliance Committee. Acts in a technical oversight capacity with respect to theprograms in SRCC in order to insure that technical matters addressed in the program have beenappropriately resolved and reviews the technical decisions made by SRCC program administrators toinsure the accuracy of the test results and the appropriateness of the assigned ratings.
Design Review Committee. Reviews applications for certification for compliance with theappropriate requirements.
Consumer Advisory Committee. Enables the SRCC to more fully serve its consumerconstituency by making available the programs to the solar consumer buyer and user in a moredirect and understood manner and governs the presentation, interpretation, publication, and useof the performance information.
Laboratory Accreditation Committee. Oversees the SRCC laboratory accreditation program andinsures that accredited test facilities continually meet the criteria for accreditation.
The Solar Rating and Certification Corporation currently administers a certification, rating, and labelingprogram for solar collectors and a similar program for complete solar water and swimming pool heatingsystems. SRCCs certification program operating guidelines, test methods and minimum standards, andrating methodologies require the performance of nationally accepted equipment tests on solar equipmentby independent laboratories which are accredited by SRCC. The test results and product data areevaluated by SRCC to determine the products compliance with the minimum standards for certificationand to calculate the performance ratings. Equipment which has been certified and rated by SRCC isrequired to bear the SRCC certification label which shows the performance rating for that product. Inaddition, each certified product is published by SRCC in a directory. Each products directory listing
contains information on the products material and specifications as well as the certified thermalperformance rating.

THE SRCC SOLAR DOMESTIC HOT WATER SYSTEM CERTIFICATION PROGRAM
Solar water heating systems are composed of a number of components. All of these components mustwork together for the system to collect and deliver the maximum amount of heated water. The purpose ofthis solar water heating system certification and rating program is to improve performance and reliabilityof solar products. It integrates results of collector tests and system tests with evaluations againstminimum standards of system durability, reliability, safety and operation; as well as factors affecting total
system design, installation, maintenance and service. Giving suppliers the opportunity to submit theirsolar domestic hot water (SDHW) system designs to an open-ended review encourages them to producethe best products possible. The program is administered according to SRCC document OG300,Operating Guidelines and Minimum Standards for Certifying Solar Water Heating Systems.
Under the OG300 system rating and certification program:
Systems must meet or exceed all criteria required to meet HUD Minimum Property Standards.
Rating includes a simple way for consumers to compare expected performance and energy savings.
Unique features of this certification program include:
Evaluation of system design, safety, installation procedures, operation and maintenance manuals andsystem performance.
Rating label that is comparable to the Energy Guide Label required by the Federal Trade Commissionfor most gas and electric hot water heaters.
The process for rating and certifying solar water heating systems under the OG300 protocol includes tensteps for each system. The process is described below and illustrated in Figure 1.
1. The Supplier of a solar water heating system is the entity responsible for the assembly andinstallation of the system. The first step in the certification process is for the Supplier to decide whichcomponents are to be included in the system. These components must be listed on an OG300application form.
2. The solar collecting portion of the system must be tested. The testing to be done is determined bythe system design:
a. The collectors which are part of the system must be tested and rated under the OG100 protocol.
b. Passive systems in which the collector can not be tested separately must be rated and certifiedunder a system test protocol.
3. A diagram must be prepared showing the relative location and interconnection of all systemcomponents.

4. Manuals must be written to describe installation, operation, and maintenance of the system. Themanuals must include a copy of the system diagram as well as all information required in section 6.6of the OG300 document.
5. Labels must be prepared in accordance with OG300. A summary of the required labels is attached tothe application form.
6. The application and all supporting documents are reviewed by SRCC staff and then forwarded to the
SRCC Design Review Team for review and discussion. Major system components, the contents ofthe manual delivered with the system, and the suppliers instructions for system installation must beapproved by SRCC
7. Data from the OG100 collector test, the system test and review of design and installation guidelinesare input to a computer program called TRNSYS to calculate the performance rating.
8. When all reviews have been completed, SRCC will notify the applicant of any outstanding items to besubmitted.
9. When the application is complete and all fees have been paid, SRCC will finalize the performancerating, prepare a new page for the directory, and mail the program agreement and/or license(s) to theSupplier for signature.
10. Upon receipt of the signed document(s) SRCC will prepare a certification award and rating labelartwork and will publish the directory pages.

Major system components, the contents of the manual delivered with the system, and the suppliersinstructions for system installation must be approved by SRCC. Certification is based upon thedetermination by SRCC that the system successfully meets its minimum criteria for design, reliability anddurability, safety, operation and servicing, installation, and operation and maintenance manuals.
Tables 1-6 summarize the features evaluated for each of the six major criteria during system certificationunder the OG300 protocol. Most of those features are self-explanatory. Obviously, some of the featureswill not be applicable to certain systems.

The thermal performance rating is based on performance projections derived from the design of thesystem and from testing of the collector components used in the system, or from testing and evaluation ofthe system as a whole, as shown schematically in Figure 1.
Most rating programs require the equipment to be tested in accordance to a standard test with specifiedtest conditions. This provides a repeatable performance within an accepted uncertainty band. There are,however, some rating programs which combine a standard test and a calculation procedure to produce aperformance rating. Such is the case for the energy guide label for electric and gas residential hot water
heaters. SRCC has adopted a similar method to develop a consumer friendly, practical system rating.The intent is to present to consumers an easily understood comparison between SDHW systems andconventional hot water systems. Note that the performance any individual consumer will experience maydiffer due to location and hot water usage.
SRCC uses the Solar Energy Factor (SEF) as its performance rating for solar domestic water heatingsystems. The SEF is defined as the energy delivered by the system divided by the electrical or gasenergy put into the system.

Paid by all SRCC suppliers (entity holding certification)
Annual Program Fee $750 or $1000SRCC maintains two certification programs (OG100 and OG300). The annual cost to participate in any of
the three is $750. To participate in any two or more is $1000. The Annual Program Fee is required when thecertification goes into effect and on each anniversary date. If the Annual Program Fee is not paid by the duedate, a late fee of $100 will be imposed.
License & Certification Maintenance Fee $ 0.0067 or $ 0.02 per ft(per net aperture area of collectors shipped)
The supplier will be billed on a quarterly basis for the use of the SRCC Rating and Certification. If theMaintenance Fee is not paid by the due date, a late fee of $100 will be imposed. Collectors are divided into two
classes and each class has a separate fee:
1. Unglazed collectors: $ 0.0067 per ft of each certified an rated collector shipped,whether sold as a collector only or part of a system. Fee is capped at $3,350 (500,000 ft2) until May 1,2006.
2. Glazed collectors: $ 0.02 per ft of each certified and rated collector shippedwhether sold as a collector only or part of a system.
APPLICATION FEESThe following application fees are a one time charge for each application.
OG100 $500/$100 or $100/$50Each supplier will be charged $500 per collector certification application that requires full processing. Any
application that requires partial processing, for example, a similar model, will be charged $100 forprocessing.
For applications for private labeling, each application that requires full processing will be charged $100.Private label applications for similar models will be charged $50 per collector application.
OG300 $1750/$750/$100 or $500$1,750 Supplier Setup Fee. Each supplier will be charged a one time fee for its first basic systemapplication.
$750 for each additional basic system that requires a Design Review Team review.
$100 for each basic system, similar model system or special similar model system that does not require aDesign Review Team review.
$500 Private Label Setup Fee for any supplier that uses exclusively systems that have been certified byanother supplier, plus $100 per system certified.

DEFINITIONS
Basic System: A system with a specified plumbing arrangement and control system as defined by the supplier
with a unique model number. The solar collection components must be certified under OG100 or undergo theSRCC system test.
Similar Model System: A system with the identical plumbing arrangement and control system as a basicsystem but with different sized components for the purpose of satisfying a different load, e.g., larger collectorarea and increased solar storage capacity.
Special Similar Model System: A system with the identical plumbing arrangement and control system as thebasic system with the exception that a component has been changed which may cause the SDHW system togive a different but easily calculable performance. The substituted components cannot require substantivechanges in the Installation and Operation & Maintenance manuals.
Private Label System: A basic system and similar model systems as certified by a supplier that are sold by
another supplier who is a licensee/private labeler of the first supplier. The licensee supplier may make nochanges to any part of the first suppliers certification except for name and model changes. The licenseesupplier must agree to all conditions in the certification agreement as the first supplier.

APPENDIX
LABELING REQUIREMENTS
Labels are required at several locations throughout the system. Samples of the required labels are presented here.
These samples include fluid descriptions or compositions, valve positions, and freeze descriptions which are
intended to be revised to match your particular system.
The labels must all be durable enough to withstand normal handling, wet equipment rooms, and high temperatures.
Examples which will meet this intent are embossed metal tags, embossed plastic tags, permanently printed or
embossed foil labels, and permanently printed vinyl labels placed away from hot surfaces. Other approaches may
also suffice. If you have something specific in mind, please call or send a sample.

6.3.7 One on each fill and/or drain valve
AWWA Heat Exchanger Types:
SW (single wall with no leak detection):Provides a single wall separation between the transfer medium and potable water. Failure of this wallwill result in the mixing of the potable water and transfer medium.
DW (double wall with no leak detection):Provides two distinct walls which separate the transfer medium from the potable water. Contaminationof the potable water from a non-potable heat transfer medium would require an independent failure ofboth walls.
DWP (double wall with leak detection):Provides two distinct walls which separate the transfer medium from the potable water and a path toatmosphere. Failure of either wall is indicated by visual leakage of the transfer medium or potable waterand indicates a failure of the heat exchanger. The DWP type provides a higher degree of protection than
the SW or DW types.
AWWA Heat Transfer Fluid Classes:
Class I: Potable
Class II: Non-Toxic. Class II materials are typically materials with a Gosselin toxicity rating one (1) orless. Class II materials are considered non-potable and may be objectionable, but not dangerous tohealth. Example of fluids that might be in class II are propylene glycol, mineral oil, glycerin, andboiler water additives for steam boilers.
Class III: Toxic. Class III materials are those fluids with a Gosselin toxicity rating of two (2) or three (3).They are considered non-potable and dangerous to health. Examples of fluids that might fall inClass III are ethylene glycol and hydrocarbon oils.

AGREEMENTS FOR CERTIFYING AND LABELING SOLAR COLLECTORS
There are two documents which will govern the relationship between SRCC and the Supplier ofa solar water heating system under the OG-300 certification program as defined in SRCC
Document OG-300, "Operating Guidelines and Minimum Standards for Certifying Solar WaterHeating Systems."
The first document is called the Solar Water Heating System Certification Program Agreement.This agreement defines the roles of SRCC and the Supplier with regard to the OG-300certification program. It is executed upon certification of the first solar water heating systemapproved by SRCC and is renewed annually.
The second document is called Solar Water Heating System Certification and License. Thisdocument constitutes official notice that the specified solar water heating system meets therequirements of the OG-300 program. The Solar Water Heating System Certification and
License must be executed with each grant of system model certification and rating.
Sample copies of these agreements are provided here for your review. The official documentswill be forwarded for your signature upon SRCCs determination that all certificationrequirements have been met.

This Certification and License, when executed by both parties, constitutes official notice and designationof the SUPPLIER-LICENSEE solar water heating system model(s) certified by SRCC as meeting theminimum standards specified in SRCC Document OG-300, "Operating Guidelines and Minimum
Standards for Certifying Solar Water Heating Systems." This Certification and License also constitutes alicense whereby SUPPLIER-LICENSEE is authorized to use the SRCC Official Seal and ratinginformation in connection with the certified solar system(s) designated herein.
The following solar water heating system model(s) has been certified:
Certification is based on the successful design review and analytical evaluation of components of asample unit of each system model certified by SRCC. Certification and ratings are identified ascertification application number(s) ____________________.
This Certification and License is subject to all the terms and conditions of the parties' Solar WaterHeating Program Agreement and the documents incorporated therein by reference. SUPPLIER-
LICENSEE shall notify SRCC of changes in system design, materials, specifications, parts design, orconstruction for evaluation of continued certification. In accordance with the aforementioned ProgramAgreement, periodic on-site and field inspections by SRCC representatives may be conducted to verifycompliance with the conditions of certification.
By accepting this Certification and License, and in accordance with paragraph 8C of the parties' ProgramAgreement, SUPPLIER-LICENSEE agrees to pay SRCC a certification and license maintenance fee.SUPPLIER-LICENSEE will be billed on a quarterly basis for the use of the SRCC certification andrating. This quarterly fee will be calculated as follows: $0.02 per square foot (net aperture) of collectorsurface area of each certified and rated system shipped, unless this fee is paid under the collectors OG-100 certification.
To ensure the confidentiality of SUPPLIER-LICENSEE's shipment data, SRCC has appointed anindependent accounting firm to handle all billing matters, including verification of fees due and thecollection of receipts. SUPPLIER-LICENSEE agrees to provide the independent accounting firm, on aquarterly basis, with shipment data sufficient to verify the amount of the certification and licensemaintenance fees due hereunder as well as to participate in the SRCC random audit program.
A sample of the standard certification label and camera-ready artwork of the certification label areprovided to SUPPLIER-LICENSEE who shall have the responsibility of procuring the label. Anapproved certification label must be affixed to each certified solar water heating system unit by

SUPPLIER-LICENSEE within sixty (60) days from the receipt of this notice of certification. IfSUPPLIER-LICENSEE wishes to change the design of the SRCC label at any time, the proposed changemust be submitted to SRCC for approval. For SUPPLIERS-LICENSEES which print and procure theirown labels according to the artwork and specifications provided by SRCC, a sample copy of the label tobe used for each certified model must be submitted to SRCC within sixty (60) days from the receipt ofthis notice of certification.
A Certification Award is provided to SUPPLIER-LICENSEE who shall have the responsibility ofincluding a copy of the Certification Award with every certified solar water heating system designated inthis Certification and License which is shipped, sold, or offered for sale and/or on display.
A copy of the directory listing which states the certified thermal performance rating and specificationsand materials for each system listed in this Certification and License is provided to SUPPLIER-LICENSEE.

SOLAR WATER HEATING SYSTEM PROGRAM AGREEMENT
This is a Program Agreement between the Solar Rating and Certification Corporation with headquartersin Cocoa, Florida, (hereinafter "SRCC") and XXXXXX of XXXXXX ,a supplier, distributor, or seller of
solar water heating system equipment, (hereinafter referred to as "SUPPLIER") for the entry bySUPPLIER into a Certification and Licensing Program maintained and coordinated by SRCC for therating and certification of solar water heating systems.
WHEREAS, SRCC has established industry performance standards for the evaluation, rating andcertification of solar water heating systems, which standards widely recognized, accepted and utilized bythe solar equipment industry and by several states as a means of providing useful information to andavoiding confusion and misunderstanding on the part of customers and purchasers of such equipment; and
WHEREAS, SRCC has published a "Document OG-300" entitled "Operating Guidelines and MinimumStandards for Certifying Solar Water Heating Systems" (hereinafter referred to as the "OperatingGuidelines"); and
WHEREAS, SRCC has and continues to maintain a policy which permits any supplier (as defined insubparagraph 23 C below) of applicable solar equipment to enter the Certification and LicensingProgram, to apply for SRCC certification and ratings and, upon the meeting of certain minimumstandards, to obtain certification and a license for the use of SRCC's Official Seal in conjunction witheach system certified; and
WHEREAS, SUPPLIER wishes to enter the SRCC Certification Program and avail itself of theopportunity to submit its solar water heating system(s) for certification, and upon receipt from SRCC of aCertification and License to use the SRCC Official Seal in publications, advertising, sales, andpromotional materials in connection with the solar system(s) so certified and licensed; and
WHEREAS, in consideration of its admission to the SRCC program, SUPPLIER is willing to assume and
carry out certain responsibilities and obligations as set forth in this Agreement and in the documentsincorporated by reference herein;
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, thefollowing is agreed by and between the parties:
1. SUPPLIER warrants that it is familiar with all provisions of the Operating Guidelines which arespecifically incorporated by reference herein and made a part of this Agreement, and agrees to bebound by the terms and conditions of this document.
2. SUPPLIER agrees that upon receipt from SRCC of an executed Certification and License for aparticular model solar water heating system, it will commence and thereafter continue payment ofthe Certification and License Maintenance Fee provided for in paragraph 8 below.
3. SUPPLIER agrees to use the Official Seal and SRCC ratings only in conjunction with solarsystems which have been certified and licensed (i.e., for which a Certification and License hasbeen issued by SRCC) in accordance with this Agreement. SUPPLIER further agrees that theOfficial Seal and SRCC ratings shall be used only in connection with the equipmentmanufactured and sold under its own name or manufactured for sale to private brand dealerswhich are also Licensees in the SRCC Solar Water Heating System Certification Program.

4. SUPPLIER agrees that it will represent a particular model of a solar water heating system ascertified only when it is manufactured of the same materials and to the same specification anddesign as the system which was originally certified and only for so long as a specific license forthat model is in effect.
5. SUPPLIER agrees that if a rated product is changed or is deemed by SRCC to have been changed
so that the previously issued certification and rating is no longer applicable, SUPPLIER willpublicize such event to the trade in the manner required by SRCC, and will make everyreasonable effort to recall and destroy all sales or advertising literature bearing improperreferences to the previous certification or ratings. In this connection, SUPPLIER authorizesSRCC at any time in its discretion to give notice of such event to the public and/or trade, topublish such information in the next issue or supplement of the Directory and, where appropriate,to delete the SUPPLIER's name and complete listings.
6. SUPPLIER agrees to permanently affix an approved SRCC label to all production units of eachcertified solar water heating system within sixty (60) days of receipt of SRCC certification, and tomake copies of the licensed rating information available with each system sold and to consumersupon request. SUPPLIER further agrees to provide a copy of the certified solar water heatingsystem's Certification Award as provided by SRCC with every certified system shipped, sold, or
offered for sale and/or on display.
7. SUPPLIER agrees to participate in the periodic performance verification program as described inthe Operating Guidelines and in SRCC Document PI-1, "Operating Guidelines GoverningProduct Inspections at Suppliers' Facilities in the SRCC Solar Collector and Solar Water HeatingSystem Certification and Rating Programs." Further, SUPPLIER specifically agrees to permitSRCC, at any time within normal business hours, to conduct periodic inspections ofmanufacturing facilities for the purpose of ascertaining if the certified product meets or exceedsthe product description on file with SRCC and/or if the product meets or exceeds its certifiedthermal performance rating.
8. SUPPLIER agrees that it will make prompt and full payment of such fees as may, from time totime, be established by SRCC for maintenance of the Program, including field verification ofcompliance with certification. Such fees and assessments shall include (but not necessarily belimited to):
A. An annual Program Fee in the amount of $750.00 payable upon the submission of thisAgreement to SRCC and on each annual renewal date thereof. (For Suppliers who areparticipants in good standing in another SRCC Certification Program, the annual ProgramFee is $1,000.00.)
B. A one time Processing Fee, payable with each application for certification andapplication for recertification submitted to SRCC.
C. A Certification and License Maintenance Fee payable forty-five (45) days after the end of
each calendar quarter, the amount of which shall be computed on a basis set forth in eachCertification and License issued by SRCC to SUPPLIER pursuant to this Agreement.The amounts and types of fees, the periods which such fees cover, the product or groupof products upon which the fees are based, and all other factors relevant to thedetermination of the fees, may be changed at any time at the discretion of the SRCC.However, no such change shall be effective until at least thirty (30) days after writtennotice has been given to the SUPPLIER.

9. SUPPLIER agrees to waive any and all claims of liability or responsibility against SRCC and toindemnify and hold harmless SRCC, its directors, officers, committee members, employees,agents and representatives against any and all such injury, damages or claims made by or onbehalf of any other persons, partnership, association, or corporation. SUPPLIER furtheracknowledges that SRCC, its directors, officers, committee members, employees, agents orrepresentatives are not liable to the SUPPLIER, or to any other person, partnership, association,
or corporation, in any way for any injury, damages or claims alleged to be based upon or arisingout of the approval or disapproval of the issuance, withdrawal or termination of any license,certification, and/or rating information made by or under the auspices or direction of SRCC orany of its contractors in connection with any analyses, certification or ratings. SRCC assumes noresponsibility or liability associated with any or all licensing activities by SELLER-LICENSEEdirectly or indirectly associated with the certification and license provided through this license,including, but not limited to, standards or requirements applied to any licensing activities bySELLER-LICENSEE.
10. In the event the SUPPLIER fails to comply with any provision of this Agreement, including therequirements of the Operating Guidelines, and any Certification and License which SRCC mayissue SUPPLIER hereunder, or if the Official Seal or any SRCC rating issued is used bySUPPLIER in any manner other than as provided in these aforementioned documents, SRCC may
terminate this Agreement and every subsidiary Certification and License in the following manner:
A. The SRCC will send notice to SUPPLIER, by certified or registered mail, specifying theviolation in reasonable detail and stating this Agreement and each subsidiaryCertification and License will terminate together with the right to use the Official Sealand ratings on a date to be specified in the notice, which shall not be less than thirty (30)days from the date of receipt, unless the SUPPLIER takes the action provided for in thefollowing paragraph:
B. This Agreement and each Certification and License issued pursuant hereto shall terminateand all SRCC ratings and the right to use the Official Seal will be withdrawn as specifiedin the above subparagraph 10A unless, within the thirty (30) day period, the SELLERwill have taken all reasonable steps to correct such violation, and will have advised theSRCC in writing, by certified or registered mail, in reasonable detail, as to the actiontaken by the SUPPLIER in connection with the cessation and correction of suchviolation.
11. SRCC agrees to furnish SUPPLIER one camera-ready copy of the licensed label information andone Certification Award for each certified system under a Certification and License.
12. SRCC authorizes SUPPLIER to use the SRCC Official Seal on the label of each certified solarwater heating system for which SRCC has issued SELLER-LICENSEE a Certification andLicense, in accordance with this Program Agreement and the Operating Guidelines.
13. SRCC authorizes SUPPLIER to use the official Seal in publications, in advertising, and other
communications issued by SUPPLIER and on and in conjunction with certified solar systemsmanufactured by SUPPLIER as outlined in the Operating Guidelines.
14. SRCC agrees to provide certification status and rating information to states and consumers uponrequest.

15. SRCC agrees to publish in a directory or other suitable form, SUPPLIER's name, together withtrade names, model numbers, SRCC ratings and other such information as may appear to SRCC,in its discretion, to be relevant to the ratings of the SUPPLIER's equipment.
16. SRCC agrees to give SUPPLIER written notice of the text of any amendments to the OperatingGuidelines at least thirty (30) days prior to the effective date thereof. SUPPLIER, by written
notice sent to SRCC within thirty (30) days after the date of notice of any such amendment, mayterminate this Agreement and each subsidiary Certification and License issued pursuant hereto.In the event of any such termination, all rights to use the Official Seal and of the SRCC ratingsand all other rights granted to SUPPLIER in this Agreement and each Certification and Licensewill cease and be concluded on the effective date of such amendment. SUPPLIER agrees that inthe event it does not give such written notice of termination as provided above, it will complyfully with the amendment.
17. This Agreement and each subsidiary Certification and License issued to SUPPLIER pursuanthereto, may be terminated by the SUPPLIER upon thirty (30) days written notice to SRCC. Inthe event SUPPLIER terminates this Agreement, it shall be liable for all fees payable to SRCCthrough the date of termination and will forfeit any remaining portion of program fees paid to
SRCC.
18. Notwithstanding any other provision of this Agreement respecting termination by either partythereto, SRCC and SUPPLIER shall each retain the option of selectively terminating one or morebut less than all of the Certification and Licenses issued by SRCC to SUPPLIER pursuant to thisAgreement. In the event of such selective termination, this Agreement and the remainingCertification and License(s) not specifically terminated by the terminating party shall remain infull force and effect.
19. This Agreement will remain in effect for one year from the date of the initial grant of aCertification and License or until this Agreement is terminated by SRCC or SUPPLIER asprovided herein. If SUPPLIER chooses to continue participation in the SRCC program and to
continue to use the Official Seal and SRCC ratings, this Agreement must be renewed prior to thedate of termination. The process for renewal will entail a notice of need to renew, notice of anyamendments to the Program Agreement since the time program participation was last renewed,and provisions for executing signatures by SRCC and SUPPLIER. Renewal of this Agreementwill automatically renew each Certification and License issued hereunder, subject to the periodiccertification verification requirement contained in the Certification and License, and providedcertification and license fees are paid in a timely manner.
20. In the event of any termination of this Agreement, all rights to use the Official Seal and SRCCratings by SUPPLIER shall cease and be concluded on the effective date of such termination. IfSUPPLIER fails to discontinue use of the OFFICIAL SEAL and all references to SRCCcertification and/or ratings, SRCC shall have the right to an immediate temporary and/or
permanent injunction restraining SUPPLIER from any and all further use of, or reference to, theOfficial Seal and SRCC certification and/or ratings.
21. Each Certification and License issued by SRCC to SUPPLIER shall be non-transferable and maynot be sold, assigned or otherwise transferred to any other party except with the prior writtenconsent of SRCC. When such consent is granted, the transferee must enter into a new SolarWater Heating System Program Agreement with the SRCC within thirty (30) days of the transfer.

22. SRCC and SUPPLIER understand that nothing in this Agreement shall be construed orinterpreted as an agreement, promise or commitment to limit, eliminate or otherwise restrict theproduction, marketing, or selling of any model or line of solar water heating systems.
23. Definitions:
A. The term "SRCC" means the Solar Rating and Certification Corporation, Inc., a nonprofitincorporated organization formed for the purpose of developing and implementingcertification programs for solar energy equipment, having its principal office at c/oFSEC, 1679 Clearlake Road, Cocoa, Florida 32922-5703.
B. The term "Operating Guidelines" means the SRCC "Operating Guidelines and MinimumStandards for Certifying Solar Water Heating Systems" which may be amended fromtime to time as provided in this Agreement and in the SRCC Bylaws and which areincorporated herein for reference.
C. The term "SUPPLIER" means any corporation or division, any firm or person whichperforms at least one of the following functions with respect to solar water heating
systems: (1) principal design of the product; (2) producing in whole or part, includingany substantial processing or assembling operation; (3) continuously selling, in the openmarket under its own trade name in reasonable volume, a solar water heating system.Supplier also may mean a company that assembles, fabricates, and/or sells a solar waterheating system that has been certified by another company.
D. The term "Official Seal" shall mean the SRCC registered, trademarked certificationsymbol.
E. The term "Label Information" means SRCC's standard specifications and requisiteinformation for the solar water heating system certification label.
F. The term "SRCC Rating" means the thermal performance rating of a solar water heatingsystem as described in SRCC Document OG-300, "Operating Guidelines and MinimumStandards for Certifying Solar Water Heating Systems."
G. The term "Directory" means the Directory of SRCC Certified Solar Collector and WaterHeating System Ratings as published by SRCC.
24. In the event of any inconsistency between this Agreement and any document or publicationreferred to or incorporated by reference herein, the provisions of this Agreement shall be deemedcontrolling.
