Terms and Conditions 1. Eligibility Criteria

a. This invitation for Bids is open to all suppliers of FT-NMR spectrometer. If the firm has authorization from any principal it may be enclosed on ORIGINAL format. Authorizations in the form of email or photocopies shall not be accepted and such tenders shall be REJECTED as non- responsive BEFORE the technical specification evaluation stage.

b. Bidders should not be associated, or have been associated in the past, directly or indirectly, with a firm or any of its affiliates which have been engaged by the Purchaser to provide consulting services for the preparation of the design, specifications.

c. Bidder should be Original Equipment Manufacturer (OEM)/Authorized Partner of the OEM and a Letter of Authorization from OEM for the same and specific to the tender should also be enclosed.

d. The bidder shall provide the Registration number of the firm along with the LST/CST/ WCT No. and the PAN Number allotted by the concerned authorities.

e. If the bidder is an authorized partner or service provider of an OEM, an undertaking from the OEM is required stating that they would facilitate the bidder on a regular basis with technology/product updates and extend support for the on-site warranty as well.

f. One OEM can give only one quote either directly or thorough an authorized partner.

g. The bidder must not be blacklisted either by University of Lucknow, Lucknow or any other University/institution/Government department. An affidavit to this effect must be submitted.

h. An affidavit, stating the compliance of the conditions should be attached. i. Preference will be given to the OEM/Firm/Bidder who has done more than

one installation of NMR spectrometer at same institute/organization. j. OEM should have support center in North India.

2. Cost of Bidding

a. The Bidder shall bear all costs associated with the preparation and submission of its bid, and “the Purchaser", will in no case be responsible or liable for these costs, regardless of the conduct or outcome of the bidding process.

b. Cost of all stamp papers required for the MOU and undertakings to be borne by the bidder.

3. Cost of tender a. Cost of tender form is Rs. 1000.00 which is to be submitted in form of bank

draft from any nationalized bank in favour of Finance Officer, University of Lucknow payable at Lucknow must be enclosed with tender form. Cost of tender form is Non-refundable.

4. Earnest Money Deposit (Bid Security) a. The interested firms may put the document complete in all respects along with

Earnest Money Deposit (EMD) of Rs. 2.0 lakh (rupees two lakh only) has to be paid along with the tender in either of the following manner

i. A Demand Draft in favour of the Finance Officer, University of Lucknow, payable at Lucknow. OR

ii. A bank guarantee issued by a Nationalized /Scheduled bank, in the form provided in the Bid Security Form (Annexure VIII) and valid for 45 days beyond the validity of the bid. The bank guarantee will be released only after completion of the operationalization and training work.

b. The EMD should be enclosed in a separate envelop marked for the same and noting to be made in the original covering letter.

c. This Earnest Money will be returned to the unsuccessful bidder after the final disposal of the tenders. EMD will not carry any interest.

d. The EMD will be returned to the successful bidder after commissioning of system.

e. EMD will not be waived under any circumstances.

f. Non submission of EMD will lead to rejection of tender at the opening stage itself.

5. Submission of Tender a. Separate EMD (envelop I), Technical (envelop II) and Financial (envelop III)

Bids duly sealed and superscripted ‘EMD’, ‘Quotations for installation of 300 MHz FT-NMR spectrometer at University of Lucknow, Lucknow: Technical Bids’ and ‘Quotations for installation of 300 MHz FT-NMR spectrometer at University of Lucknow, Lucknow: Financial Bids’ shall be submitted.

b. All the three independent covers (Envelop I, II and III) should be placed in one big cover and sealed with the superscription on the left hand side Open

Tender for “300 MHz FT-NMR spectrometer” due on March 24, 2015 at 2:30 P.M.

c. The tender has to be dropped in the TENDER BOX kept for this purpose in the Proctor’s Office, University of Lucknow, Lucknow within office hours on working days and before 2.30 PM on due date (March 24, 2015 before 2.30 p.m.). Right is reserved to ignore any tender which fails to comply with the above instructions.

d. The tender not submitted in the prescribed format or incomplete in detail is liable for rejection. The University of Lucknow will not be responsible for non-receipt of quotation within the specified date and time due to any reason including holidays or delays.

e. Two bids i.e. Technical Bid and Financial Bid should be identical in all respect except that the Technical Bid should have blank space at the places where prices have been stated in the Financial Bid.

f. Soft copy of Technical Bid document should also be submitted in the technical bid cover (envelop II).

g. Soft copy of Financial Bid document should also be submitted in the Financial Bid cover (envelop III).

A. Envelope I (EMD) The EMD should be enclosed in a separate envelop marked for the same and noting to be made in the original covering letter.

B. Envelope II (Technical Offer) The technical offer should be complete in all respects and contain all information asked for, except prices. The Technical offer should include all components asked for in Annexure VI. The suggested format for submission of technical offer is as follows:

i. Covering letter as per Annexure I

ii. The Company profile as per Annexure II

iii. Details of 3 major projects as per Annexure III

iv. Details of Support Centers as per Annexure IV

v. Warranty compliance statement as per Annexure V

vi. Technical Offer with Specifications according to the information given in Annexure VI. It should not contain any price information.

vii. Technical Documentation (Product Brochures, leaflets, manuals etc.)

The bidder shall furnish, as part of its tender offer, documents establishing the bidder’s eligibility to participate in the tender and its qualifications to perform the contract. The documentary evidence of the bidder’s qualifications to perform the contract, must that the bidder is eligible as per the Eligibility Criteria outlined above.

C. Envelope III (Financial Offer) The Financial Offer should give all relevant price information as per Annexure VII. The Bid Form must be filled in completely, without any errors, erasures or alterations. The Financial offer must not contradict the technical offer in any way.

6. Opening of Tender: a. The tender will be opened in the Proctor’s Office on March 24, 2015 at

3:30 PM.

b. Financial Bids of only those firms shall be opened which qualify in technical bids.

c. The bidders are at liberty to be present or authorize a representative to be present at the opening of the tender at the time and date specified in the Schedule.

7. Offer validity Period a. The offer must be valid for a period of six months from the closing date of the

tender. Any offer falling short of the validity period is liable for rejection.

8. Costs a. Bid Currencies-

i. Prices shall be quoted in Indian Rupees for offers received for supply within India and in freely convertible foreign currency in case of offers received for supply from foreign countries.

b. Bid Prices

i. The Bidder shall indicate on the appropriate price schedule form, the unit prices and total bid prices of the goods it proposes to supply under the contract.

ii. Prices indicated on the price-schedule form shall be entered separately in the following manner:

paid.

b VAT and other taxes like excise duty etc. which will be payable on the goods if the contract is awarded.

c The charges for inland transportation, insurance and other local services required for delivering the goods at the desired destination as specified in the price schedule form.

d The installation, commissioning and training charges including any incidental services, if any.

iv. For Goods manufactured abroad

a The price of the goods, quoted on CIP (named port of shipment), as specified in the price schedule form.

b The charges for insurance port/place of destination and transportation of the goods to port of shipment.

c The agency commission charges, if any.

d The installation, commissioning and training charges including any incidental services, if any

v. The terms FOB, FCA, CIF, CIP etc shall be governed by the rules prescribed in the current edition of the Incoterms published by the International Chambers of Commerce, Paris. The bidders are required to clearly mention the price on CIP, Delhi for comparison purpose.

vi. Where there is no mention of packing, forwarding, freight, insurance changes, taxes etc. such offer shall be rejected as incomplete.

vii. The price quoted shall remain fixed during the contract period and shall not vary on any account.

viii. All lots and items must be listed and priced separately in the Price Schedules. If a Price Schedule shows items listed but not priced, their prices shall be assumed to be included in the prices of other items. Lots or items not listed in the Price Schedule shall be assumed to be not included in the bid.

ix. The purchases made by the purchaser for scientific purpose are exempt from excise duty and Custom Duty at a concessional rate is leviable.

x. The offer should include the cost of all equipment(s) and all required accessories inclusive of all taxes and statutory levies. Labor/ installation charges if any should be mentioned separately (inclusive of taxes leviable on them).

xi. Vague terms like “packing, forwarding, transportation etc. extra” without mentioning the specific amount will not be accepted. Such offers shall be treated as incomplete and rejected.

xii. Bidders shall indicate their rates in clear/visible figures as well as in words and shall not alter/overwrite/make cutting in the quotation. In case of a mismatch, the rates written in words will prevail.

xiii. Itemized price list for each hardware item, software bundle and service and warranty to be given separately and clearly.

xiv. The price details of each hardware & software item (optional or otherwise) must be provided separately.

xv. Discount, if any, should be indicated prominently.

xvi. Payment will be made after the successful commissioning (delivery, installation, testing and training) of the project and after PDI..

xvii. Incomplete and ambiguous tenders are liable to be rejected. Amendments and additions to tender after opening of bids are liable to be ignored

c. Taxes: i. University of Lucknow is exempted from payment of Excise Duty and

Customs Duty. Hence Excise Duty and Customs Duty, if any, should be shown separately. Please mention the applicable taxes (VAT/Service Tax etc.) clearly.

9. Clarification of Offers a. To assist in the scrutiny, evaluation and comparison of offers, The University

of Lucknow may, at its discretion, ask some or all bidders for clarification of their offer. The request for such clarifications and the response will be in writing. If deemed necessary, the bidder may be required to give presentation on the system offered.

10. Technical Inspection and Performance Evaluation a. The University of Lucknow reserves the right to carry out technical inspection

and performance evaluation (benchmarking) of the offers made by short-listed bidders.

11. Verification a. The University of Lucknow reserves the right to verify any or all statements

made by the bidders in the tender document and to inspect the bidder’s facilities, if necessary, to establish to its satisfaction about the bidder’s

capacity to perform the job.

12. No Commitment to Accept Lowest or Any Tender a. The University of Lucknow shall be under no obligation to accept the lowest or

any other offer received in response to this tender notice and shall be entitled to reject any or all offers including those received late or incomplete without assigning any reason whatsoever. The University of Lucknow reserves the right to make any changes in the terms and conditions of the work. The University of Lucknow will not be obliged to meet and have discussions with any bidder, and or to listen to any representations.

13. Order Cancellation/Breach of Contract a. The University of Lucknow also reserves the right to cancel the order in the

event of one or more of the following circumstances:

i. Serious discrepancy in the work being performed or installation being done or hardware or software component noticed during inspection by our experts.

ii. Breach of contract by the tenders of any of the terms and conditions of the tender.

iii. Any action by the bidder, which is in breach of law or accepted practices in the commercial transactions.

iv. If the Firm/Bidder goes into liquidation voluntarily or otherwise.

v. In case of breach of contract by the bidder, the University will recover an equivalent of 10% of the equipment cost from the bidder.

14. Completeness of the Contract a. The contract will be deemed as incomplete until the system becomes fully

operational. Until then the installation will be termed as incomplete and the warranty period will not commence. The warranty period will commence only on acceptance (based on acceptance test) of the installation.

15. Payment Term

a. Payment terms should be mentioned clearly. 100% order value by irrevocable Letter of Credit (L/C). 90% payable against Original Airway Bill. 10% after installation against presentation of acceptance report signed by the University of Lucknow and representative of firm and performance Bank Guarantee (PBG) as per Annexure IX for 10% of the order value valid for the duration of warranty.

16. On-site Warranty/ Comprehensive Maintenance a. The bidder shall undertake comprehensive on-site maintenance for at-least 5

(five) years. This would cover the hardware, hardware components, systems software, equipment, liquid helium and accessories supplied by bidder at the place of installation and also complete installation and satisfactory operation of the supplied facility.

b. In the event that the materials supplied do not meet the specifications and are not in accordance with the drawings, data sheets or the terms of this order, rectification is required at site, the University of Lucknow shall notify to the seller giving full details of differences. The seller shall attend the site, within seven days of receipt of such notice to meet and agree with representative of the University of Lucknow the action required to correct the deficiency.

17. Annual Maintenance contract: a. Annual Maintenance Contract (AMC) rate (after expiry of warranty period) is

to be clearly indicated – preferably in both comprehensive and non-comprehensive terms, failure to which the offer may not be considered even if it turns out to be at the lowest price.

18. Pre-installation requisites: a. Pre-installation requisites (electrical/floor/space/air-conditioning etc.), if any

should invariably be mentioned clearly. Installation/ Training will be the full responsibility of the bidder.

b. The bidder shall submit the pre-requisite information like civil works/ Electrical details etc. Within 2 weeks from the date of receipt of order or establishment of letter of credit as the case may be.

19. Installation and Commissioning: a. Free of cost at University of Lucknow, Lucknow. The Firms/bidders are

required to give an estimate of the time required for installation, fine-tuning of the spectrometer.

20. Training: a. Free Initial on-site training of the staff (one week), update every six months

(3-4 days) for the first two years.

b. On-site training should also be provided to the graduate students after installation.

21. Compliance List: a. The firm/bidder must submit a table indicating the compliance of the features

of the model of the components being quoted with those given in the indent. In case of non-compliance against a particular item, the bidder should justify that.

22. Post-sale service: a. The firm/bidder must submit the names of the service engineers employed by

them who are competent to service the NMR spectrometer installation along with their contact details in India.

b. The Equipment supplied shall carry a warranty of 5 years (60 months) from the date of satisfactory Installation and commissioning of the equipment. If any trouble or defect originating with the design, materials, workmanship or operating characteristics of any materials arise at any time from the date of Installation, the same shall promptly as possible make such alteration, repairs and replacement as soon as notified thereof, the seller shall at his own expenses and as promptly as may be necessary to permit the materials function in accordance with the specification and to fulfill the foregoing guarantee/ warranty.

23. Tender updates: a. Prospective bidders please refer to our website www.lkouniv.ac.in for any

changes which may appear from time to time. 24. Signing of Tender:

a. The Tender is liable to be rejected if complete information is not given therein or if the particulars and date (if any) asked for in the schedule to the Tender are not fully filled in or not duly signed/authenticated. Specific attention is drawn to the delivery dates and important conditions referred to in Annexure enclosed herewith. Each page of the tender documents required to be signed and bears the official seal of the bidders.

25. Transit Insurance: a. The University of Lucknow will not pay separately for Transit Insurance.

26. Amendment in tender conditions a. The University of Lucknow, reserves all right to amend or withdraw any of the

terms and conditions contained in tender document or to reject any or all tenders without giving any notice or assigning any reason. The decision of the University of Lucknow in this regard shall be final and binding on all.

27. Number of items a. The number of items mentioned in the tender may vary as per requirement

and budget.

28. Jurisdiction:

a. The court at Lucknow alone will have the jurisdiction to try any matter, dispute or reference between the parties arising out of this Agreement/Contract. It is specifically agreed that no court outside and other than Lucknow court shall have jurisdiction in the matter.

2 Spectrometer Console:

Advanced feature based two broadband frequency generation independent RF channels (full frequency range generation) with highest frequency and phase resolution; fast switching time for all parameters, without any hidden delays along with its importance in the quality of the spectra. a. The systems offered must be latest products from the manufacturers. Obsolete/ retired/ on the verge of obsolescence systems/ subsystems must not be offered. Products going end-of-life in 18 months from last date of tender must not be quoted

b. All equipment must be compatible with Indian electrical standards and codes. Engineering documentation on the and weights of all major and minor components must be submitted physical sizes

c. Software and optional hardware items which will be supplied free and which will be charged for should be indicated separately. Restrictions on software usage, if any, should also be indicated

d. Complete technical information of the spectrometer (hardware, software, network, etc) must be provided for each item separately to ensure that the equipment offered is in conformity with the specifications

e. At the time of installation, if it is found that some additional hardware or software items are required to meet the operational requirement of the configuration, but not included in the bidder’s original list of deliverables, the bidder shall supply such items to ensure the completeness of the configuration at no extra cost to Lucknow University.
