Under the proposed settlement agreements, owners and lessees of Audi TDI vehicles affected by the emissions settlement may select between two options: (1) a buyback of their vehicle (or early lease termination, where applicable); or (2) if an emissions modification is approved by regulators

and is available for their vehicle, keeping the vehicle and having an approved emissions modification performed free of charge by an authorized Audi dealer.

Parties Ineligible for Benefits Under the Class Action Settlement:

• Individuals or companies that opt out of participation in the Class Action Settlement.

• Individuals or companies that sold eligible vehicles before September 18, 2015 or who had leases that terminated before September 18, 2015.

• Individuals or companies that bought eligible vehicles after September 18, 2015 and sold before June 29, 2016.

• Individuals or companies that sell an eligible vehicle on June 29, 2016 or later.

• Individuals or companies that lease vehicle from entities other than VCI.

Customer Journey Buyback/Early Lease Termination Option

The TDI settlement process is designed to be as transparent, fair, and convenient as possible for the customer. The following chart depicts the steps on the customer journey.

For owners of Audi TDI vehicles included in the class settlement, Audi has created an online resource to help facilitate a smooth, pleasant, and convenient claims process.

This document represents a high-level overview of the buyback process. Registration and Option Review

Notification

Customers were notified of the final terms of the settlement. In that communication, they were advised of the details of the settlement, eligibility requirements, and instructions on how to register their claim (which the customer may do either through a digital/online application process or manually). Upon receiving the notification, the customer may either proceed to VWCourtSettlement.com to start the claims process, or may follow instructions on how to begin the process offline. Customers were provided a telephone number for the Settlement Customer Support team (1-844-98-CLAIM), which they can call anytime for support and answers to any questions throughout the settlement process.

Registration and Option

To register a claim, the customer will be required to enter certain information about their vehicle. First, the customer must enter their Vehicle Identification Number (VIN), which will be checked to ensure the VIN corresponds to an affected vehicle. After a valid affected VIN is provided and confirmed, the customer is guided through the process of creating a secure account.

Once the account is created and validated, the customer will be asked for information about their vehicle that will be used to calculate the value of the buyback option. This information will include:

• Vehicle registration address

• Whether or not there is an active lease or loan on the vehicle

• Current mileage

• Preferred Audi dealership

At this point the customer is provided with a claim number associated with their vehicle.

Along with the claim number, the system will also display details associated with the buyback (or early lease termination) or, an emissions modification if one for their vehicle is approved by EPA and CARB. This information will include an estimate on availability of any approved emissions modification, how long it might take and financial considerations.

Documentation

Upon selecting the option they would like to pursue, the customer will be asked to submit pertinent documents specific to their claim details.

All:

• A copy of a government-issued photo identification

• Current state issued vehicle registration card

Buyback/Lease Termination:

• Consent for financial institution to release payoff details to Audi, required to pay off any loans and release the lien

These documents can be uploaded to the site or submitted via mail or facsimile.

Customers using the digital process will be able to view the status of each document during review. Details around timing are dependent on many variables, including which option the customer chooses.

The documents are reviewed by the Customer Support and Administrative Team. If documents are missing or incorrect, the Customer Support and Administrative Team contacts the customer to obtain the necessary information.

The customer has the ability to save their progress and return anytime throughout the online registration

process.

At any time, owners can choose to contact the Customer Support team at 1-844-98-CLAIM for assistance.

Customers should always be directed to this number for related questions.

Buyback/Early Lease Termination Option

Buyback Offer

Once the registration is completed, preliminary options have been presented, and documents have been received and validated, the system will again display details for the buyback (or lease termination, if applicable) option.

Please note the buyback figure is an estimate only, and may be adjusted later based on actual loan payoff amounts and vehicle mileage at settlement.

All details regarding the claim are then reviewed by an Independent Claims Supervisor to ensure offers adhere to the settlement agreement and are being made to the rightful claimant.

Once these steps are completed, the offer is extended to the customer. This is done digitally, and, if they have elected for email updates, the customer will also be notified via email.

If the customer selects the buyback, the offer will assume that any loan payments continue until the buyback and will detail an allowable number of miles on the vehicle at the time of the settlement.

Throughout the buyback option process, Customer Support

Representatives are available via chat through the claims site or by phone to

address any questions.

The customer can also save their progress on the site and make their

decision at a later time.

Review and Sign Documents

The customer can download and print their offer package from the website. They will be asked to sign, have notarized and upload the signed document back to the website.

Once signed documents have been received, the customer will be offered the ability to schedule their buyback or lease termination settlement and will be provided with digital copies of any settlement paperwork required. This will help smooth the transfer and save time at the dealership. If desired, the customer can physically sign the paperwork with the Settlement Specialist at the dealership instead.

Schedule Buyback

Once the signed and notarized documents have been uploaded and received, the customer will proceed to schedule their buyback or lease termination settlement transaction.

The customer schedules their buyback/lease termination online in the claims portal. The settlement takes place at an authorized Audi dealership of the customer’s choice. They are given a choice of dates/times to conduct the settlement with a Settlement Specialist.

The buyback/lease termination transactions will be facilitated by a Settlement Specialist, who will handle the full settlement transaction on behalf of VWGoA. No dealership personnel or VWGoA field personnel will be directly involved in the settlement.

If at any time before completing the buyback the customer changes his or her mind and would like to keep their

vehicle and have an approved emissions modification performed, they are free to

do so.

To avoid any inconvenience, we strongly encourage customers

to advise in advance if they will exceed the mileage by calling

1-844-98-CLAIM.

Dealership Program Ambassadors will be responsible to:

• Be the liaison for the customer and program within the dealership

• Be the host of customers who return to your dealership

• Be aware of daily buyback and modification customer appointments

• Be responsible for the buyback vehicles when on dealer lot

• Maintain keys for the returned vehicles in a lock-box and be the interface within transport/pick-up

Vehicle Turn-In

On the designated buyback settlement date, the customer brings the vehicle to the selected dealership at the previously scheduled date and time to meet with a Settlement Specialist. When the customer arrives at the dealership, they should be greeted by the dealer’s Program Ambassador.

The Program Ambassador is an employee of the dealership who will be the dealership’s dedicated point of contact for the settlement process. The Program Ambassador will introduce the customer to the Settlement Specialist, who is a dedicated person who helps facilitate the buyback transaction, on behalf of Audi.

At the settlement, the Settlement Specialist will inspect the vehicle, capture mileage and vehicle condition at the time of the transaction, and verify necessary documents, such as a government issued photo ID and vehicle registration.

Presuming all is in order, the vehicle will be surrendered and the customer will be provided with funds either by electronic transfer or if they choose, a paper check administered by the Settlement Specialist.

In the event that the vehicle mileage at the time of the buyback transaction exceeds the allowable mileage, the settlement will need to be rescheduled.

Buyback/Early Lease Termination Option

Let us look first at the buyback (or early lease termination, if applicable) option, and the dealer’s role in this important process. From a scheduling standpoint, the customer visits the claims site and selects the authorized Audi dealership location where they will settle their buyback or early lease termination transaction. On the website, the customer then schedules their closing date and time at the dealership selected.

The buyback/lease termination transactions will be facilitated by a Settlement Specialist, who will handle the full closing transaction on behalf of VWGoA. No dealership personnel or VWGoA field personnel will be directly involved in the settlements.

Appointment with Settlement Specialist

Your dealership will need to assign a dedicated workspace for the Settlement Specialist during normal business hours when they have buybacks or lease termination settlements scheduled. Some appointment times will be available on Saturdays and during evening hours.

To help dealers prepare for these closing appointments, a list of scheduled buyback and lease termination closings can be accessed by the grounding dealership on Access Audi. The list will show the model, year and customer reported mileage of the vehicle, as well as the date and time of the scheduled appointment with the Settlement Specialist.

The Settlement Specialist will be onsite and handle the details with the customer, but will require some support from our dealer partners. Hosting the settlement transaction is an excellent opportunity for your dealership to provide the customer an exceptional experience.

When the customer arrives at the dealership, they should be greeted promptly by the dealer’s Program Ambassador and directed to the Settlement Specialist. If any wait is necessary, they should be treated with the same courtesy and respect as a new car customer.

The Settlement Specialist will have all of the necessary information and documentation to complete the closing transaction. They will have their own laptop or tablet, although they may need access to a printer. The Settlement Specialist will validate the customer’s supplied documentation and verify mileage is within reported guidelines prior to completing the settlement transaction.

Customer Payment

The customer will be provided with funds either by electronic transfer or if they choose, paper check. In the event that the customer has negative equity in the vehicle and owes funds to VWGoA, the Settlement Specialist will collect that amount, which will be communicated to the customer prior to arriving at the dealership. The dealership will not be responsible for any financial transactions with the customer during the buyback or lease termination closings, and will not be handling any checks.

Once the buyback transaction is completed, the Settlement Specialist will hand the customer back to the Program Ambassador. At that point, the Program Ambassador may ask the customer if they would like to discuss any vehicle purchase options with someone at the dealership. If so, they will be introduced to the appropriate personnel. If not, they may leave with no further delay. It is very important that the customer feel no pressure to immediately buy another Audi vehicle.

The Program Ambassador should ask if transportation is needed, and offer a dealer shuttle or to help arrange other transportation for the customer. The cost of transportation will be the responsibility of the customer.

The dealership will not be responsible for any financial transactions with

the customer during the buyback or lease termination closings, and will not be handling any checks. If the

Settlement Specialist is unavailable to receive the settlement package, the package should be placed in a secure

location in the parts department.

Vehicle Turnover to Program Ambassador

Once the settlement closing transaction is complete, the Settlement Specialist will:

• Inspect and document the vehicle

• Take photos of the vehicle to document the condition of the vehicle

• Place a window decal cling on the vehicle's window indicating the vehicle is not for sale and is awaiting transportation or inspection

• Provide titling paperwork to VWGoA for processing

• Turn keys over to the dealership’s Program Ambassador

• The Program Ambassador will have the vehicle moved to a section of the lot designated for TDI vehicle turn-ins to be picked up and will keep the keys in a lock box until transport has picked up the vehicle

• The Settlement Specialist will record the turnover of the vehicle to the Program Ambassador via the IN-FORM tool

• It is the Program Ambassador's responsibility to complete documentation in the IN-FORM tool when contacted by Transportation Company

Maintain dedicated buyback spots for drop-off and pick-up of affected vehicles (could vary depending on volume)

• Spots should be marked and reserved for buyback activity

• Vehicles should not be located outside of reserved spots. However, if they are, or if there is overflow, the location of all vehicles should be easy to access and utilize for pickups

• “Vehicle Not for Sale” window sticker clearly posted on all buyback and early lease termination vehicles ready for pickup

It is important that all customers MUST file a claim to receive any

settlement funds due.

This can be done online through VWCourtSettlement or with a paper form.

Modification Performed

Customers who have selected and scheduled an approved emissions modification will bring the vehicle to the dealership on the scheduled date for service. The customer may be provided a loaner, pick-up and delivery service, or other alternate transportation. Dealer reimbursement of these items will be detailed in a forthcoming warranty bulletin. Afterwards, the customer will meet with the Program Ambassador at the dealership to verify completion of the approved emissions modification. Payment for any settlement amount will be made to the customer by their choice of electronic funds transfer or via paper check mailed to the customer within a few days.

Approved Emissions Modification Option

If the customer elects to receive or wait for the approved emissions modification option (assuming one is approved by regulators), a Claims Administrator will review the documentation to ensure that the offer is being made to the appropriate customer. Once completed, the customer is notified with a settlement offer via the website. The customer reviews and then digitally accepts the terms.

The customer will be notified as soon as an emissions modification is approved by regulators and available. The customer will be asked to return to the claims site to verify the authorized dealership at which they would like their approved emissions modification completed. The claims site will have a direct link into the dealer’s service scheduling page to select a convenient appointment date and time or the customer can contact the dealership directly to schedule a service appointment via on-line scheduler or telephone.

If at any time before completing the modification the customer changes his

or her mind and would like to elect for a buyback or early lease termination, they

are free to do so.

Approved Emissions Modification Option

The other path available to the customer is to retain the vehicle, have the approved emissions modification performed (if approved for their vehicle by regulators) and receive a payment. In this case, the owner at some future date will receive notice once the approved emissions modification for their affected vehicle is approved. They will then schedule the service through VWCourtSettlement.com via a link to the dealer’s online service web page.

The vehicle is brought to the dealership on the scheduled date for the approved emissions modification visit, which will be covered under the terms of the Settlement.

After completing the approved emissions modification, the Technician will apply proper, identifying compliance label(s) to the vehicle. Certain vehicle modifications that require hardware replacement may require a core return. Once the service is completed and the vehicle is returned to the owner, it is important that the Program Ambassador verify the claim in the Dealer Portal on iAudi using the IN-FORM Tool.

For each completed emissions modification, the Program Ambassador will be required to enter the following on the IN-FORM Tool:

• Customer claim number

• R.O. number

• Vehicle mileage

It is important that this is completed as soon as the service is performed, as it triggers the customer’s payment by electronic funds transfer or regular mail. It is also required that all reimbursement claims be submitted in SAGA the same day work is completed.

FAQ

(Q) Which vehicles are included in the proposed Settlements?

(A) The following 2.0-liter TDI engine vehicles are included and may be eligible:

• 2010–2013 A3 TDI

• 2015 A3 TDI

(Q) When will the emissions modification be available?

(A) Audi is working on an emissions modification for the cars listed above. EPA and CARB will need to approve any emissions modification before this option becomes available. For timing of approved emissions modification potential availability, please see the Emissions Modification Anticipated Availability chart on page 2.

Importantly, however, this timetable is only a best estimate, and is subject to change.

(Q) What are customers eligible to receive under the proposed Settlements if they are approved?

(A) If they own or lease an eligible vehicle, they have choices. They can opt for (1) Volkswagen Group of America (“VWGoA”) to buy back their car if they own it, (2) termination of their lease without an early-termination penalty if they are leasing the car, or (3) if an emissions modification is approved for their car by EPA and CARB, getting VWGoA to modify their car’s emissions system at no charge. Each of these options includes a cash payment from VWGoA. In addition, pursuant to agreements with the EPA and the CARB, and as referenced in VWGoA’s settlement agreement with consumers, VWGoA has committed to pay significant amounts to remediate excess nitrogen oxide emissions and to invest in chargers and other infrastructure for zero emission vehicles.

(Q) Would a former owner or lessee be eligible to participate in the proposed Settlements?

(A) If they owned an eligible vehicle on or before September 18, 2015 and sold it before June 28, 2016, they may be eligible to participate. Likewise, if they were leasing an eligible vehicle as of September 18, 2015, they may be eligible to participate.

(Q) Where do I send customers for more information?
