SECT I O N -1

N O T I C E I N V I T I N G TE N D ER

I. India Infrastructure Finance Company Limited (“IIFCL”) invites Pre-qualification Applications cum Tender Bids in a two cover system (Technical and Financial bid) for selection of Architect Firm for rendering Architectural services for taking up Interior Furnishing (IF) and fit-out work viz. Civil, interior decoration, flooring, false ceiling, HVAC (Heating, Ventilation and Air-Conditioning-ducting only), Electrical, firef ighting, allied works etc. (hereinafter referred as “Services” or “Works”) for IIFCL’s new office premises having an S u p e r area of 61852 sq.ft (Built up area 42000 sq.ft. approx.) on 5th floor at Block II (Tower No.2), IIFCL - NBCC Project, East Kidwai Nagar, New Delhi.

II. Time for completion of all work shall be within 4 (Four) months from the date of commencement of work. However, the architect services are required till the completion of defect liability period (i.e. 24 months from the virtual completion of works by the contractors) of the works carried out by the contractor.

III. The last date for submission of Tender is 20th March, 2018 by 3:00 p.m.

IV. The above application cum tender will be valid for a period of 60 days from last date of submission of Tender.

V. The above application cum tender document can be downloaded from Company’s website viz. www.iifcl.org in “Current Tender” section. Corrigendum, if any, would appear only on the above website. No separate press advertisement will be issued.

VI. The Application cum Tender document duly completed in all respects containing the aforesaid information is required to be addressed to the officer as indicated below and should be enclosed in a sealed cover super scribing in the top left hand corner of the cover as " T e n d e r f o r S e l ect i o n o f A r c h i t ec t firm f o r Carrying I n t e r i o r Furnishing and Fit Out Works at

S E C TI ON -2

I N S TRU C T I ON S TO AP P LI CAN T S / TE N D ERE R S

1.Application cum Tender are required to be submitted containing full details about the organization,

experience, technical personnel in the organization, proven competence to handle major works,

in-house computer aided design facilities, etc. in the enclosed proforma (which will be kept

confidential) along with a demand draft of ₹ 5,000/- in favour of “India Infrastructure Finance

Company Limited” payable at New Delhi as non-refundable cost of tender document and e-tender

processing fee. Applicants should ensure submission of all the documents/certificates, supporting

work experience, value of works executed/on hand etc. duly signed by respective clients /

owners of the projects. In case of completed works, completion certificate from the clients shall

be treated as valid proof.

2.All bidder/Architect firm will be required to submit with IIFCL, a Bank Guarantee/Fixed Deposit Receipt

(in Original) in the name of “INDIA INFRASTRUCTURE FINANCE COMPANY LIMITED” for a sum of Rs.

2,00,000/- (Rupees two lakhs only) as deposit on account of performance security. Bank

Guarantee/Fixed Deposit Receipt will be returned to non- successful bidders on opening of the bids

and completion of the selection process.

3.The Bank Guarantee/Fixed Deposit Receipt of the successful bidder will be required to be renewed from

time to time and will be retained by IIFCL for the entire period of the contract and on termination of

the contract, IIFCL will refund to the contractor the sum of Rs. 2,00,000/- (Rupees two lakhs only)

along with interest accrued thereon during the entire period of the contract, after adjusting dues if

any.

4.As the time is the essence of the project, the ability and competence of the Applicant/Tenderer

to render required services within the specified time frame, will be a major factor while deciding

the selection of the Architect for award of work.

5.The Application cum tender document shall be signed by the person/s on behalf of the

organization having necessary Authorization / Power of Attorney to do so. Each page of the

Application cum Tender document shall be signed (Copy of Power of Attorney / Memorandum of

Association shall be furnished along with the application cum tender document).

6.If the space in the Performa is insufficient for furnishing full details, such information may be

supplemented on a separate sheet stating therein the part of the Performa and serial

number. Separate sheets with indicating the number shall be used for each part of the

application cum tender format duly signed by the authorized signatory.

7.While filling up the application with regard to the list of important projects completed or in hand, the

Applicant/Tenderer shall only include those works which individually cost not less than the

specified value as mentioned in the selection criteria (Section-3 of this Tender document).

8.The Applicant/Tenderer should assign task for the above project to one qualified Graduate Architect

having adequate qualification/experience in planning/ designing and execution of interior works

from a regular establishment with not less than 5 years’ experience. The above Architect should

always be physically available for consultation/furnishing required help to complete the work

within the timeframe provided by the IIFCL.

9.The Applicant/Tenderer must read the terms and conditions of the tender carefully and should

submit the bid only if eligible and having possession of all the required documents.

10. The Applicant/Tenderer must ensure to quote the fee in fixed price/cost basis exclusive of all taxes.

11. The Applicant/Tenderer is required to quote strictly as per the terms and conditions,

specifications, standards given in the tender documents and not to stipulate any deviations.

c) Certificate of Charted Accountant towards Turn Over (in Original) for last three financial years.

d) Certificates from the Clients towards satisfactory completion of projects executed by the

Applicant/Tenderer which are in line with prequalification criteria.

e) Registration certificate from the council of Architects.

f) Applicable other licenses and permit, etc.

14. The Applicant/Tenderers are advised to submit complete details along with their bids. The

Technical Bid evaluation will be done on the basis of the documents submitted. The information

should be submitted in the prescribed Proforma. Bids with incomplete / ambiguous information

will be rejected. The bid for the works shall remain open for acceptance for a period of 60

days from the last date of submission of bid including the extension given, if any.

15. Date of start of work shall be reckoned from 7th day after the issue of the work order by the IIFCL.

16. Design concept presentation will be held within 21 days from the last date of submission of

application cum tender or the date notified for the purpose by the IIFCL. Only those Bidders who

meet the prequalification criteria as per stage-I (as mentioned in Section -3 S.No.2) will be

informed through e-mail or otherwise for Design Concept presentation. The date of

opening of financial Bid shall be informed to the shortlisted Bidders separately who will qualify in

the 2nd stage of technical evaluation.

17. The selected firm shall be required to execute an agreement with the IIFCL in the prescribed

proforma before start of the work.

18. The Application cum Tender document have to be submitted in a prescribed format in two cover

system viz. Technical and Financial bid in two separate covers super scribed as ‘Technical

Bid’ (Annexure (I to XI) and ‘Financial Bid’ along with other details etc. as laid down in the

enclosed Annexures. Both the above sealed covers one named as ‘Technical bid’ and the other

‘Financial bid’ should be placed in a third sealed cover super scribed with the legend "

20. Application cum Tenders which do not fulfill all or any of the terms & conditions and/or

incomplete in any respect are liable to be rejected. Any discrepancies, omission, ambiguities in

Application cum Tender format may be brought to the notice of the IIFCL officials during Pre-Bid

meeting to get necessary clarifications in the matter. IIFCL shall not be responsible for the fee

quoted by Applicant/Tenderer, if any discrepancies, omission, ambiguities in the Application

cum tender format arises or any doubts/clarifications are brought to the notice of the IIFCL

after pre-bid meeting.

22. The IIFCL may provide necessary inputs to the Applicants/Tenderers as and when required to sort

out clarifications during working days as mentioned at S.No.19 above. However, the IIFCL does

not assume any responsibility for any loss or financial damages on account of use of such

information by Applicants/Tenderers and hence they are advised to collect their own information

for preparation, submission of bids & execution of services after award of work. The

Applicant/Tenderer shall be responsible for obtaining license and permits for required statutory

approvals to carry out the services when awarded the work.

23. Decision of the IIFCL in regard to selection of the Architect shall be final and the IIFCL is not bound

to assign any reason thereof. The IIFCL also reserves the right to reject any or all the

applications/tenders without assigning any reason thereof.

S e c t i o n - 3

S EL E C TI O N C RITER I A

1. The selection criteria for Architect will be completed in two stages. In Stage-I, the credentials will be

verified as per prequalification criteria as per the tender documents and the Applicants/Tenderers

meeting the prequalifying criteria will qualify for Stage –II. Such shortlisted Applicants/Tenderers

in Stage-II will be required to make Design Concepts presentation to the Screening Committee

comprising of senior officials of IIFCL. The Committee will shortlist maximum 4 Applicants/Tenderers

in order of merit and the final agency will be selected based on Combined Quality cum Cost Based

System (CQCCBS) of bid in the ratio of Technical 70% and Financial 30%. Applicant/Tenderer who will be

awarded the highest mark by the selection committee during the Techno round will receive the

maximum 70 marks whereas the Applicant/Tenderer quoting the L1 bid, will receive the maximum 30

marks. The rest of the Applicants/Tenders will receive their marks in a ratio to their individual scores.

2. The Selection criteria applicable for Stage-I:

(i) Minimum 1 0 years’ experience by the Applicant/Tenderer viz. Architect Firm as on March 31,

2017 to render services towards Interior Furnishing of Office/ Institutional building and

commercial building.

(ii) The Architect/Firm should have executed interior furnishing works for at least one single

project office/institutional building of minimum 35,000 (Thirty Five Thousand) sq.ft. (Built up

area).

(iii) Within last 5 years ending on March 31, 2017, the Applicant/Tenderer should have planned,

designed & rendered supervisory services for interior decoration/fit out works as under :

One similar completed work costing not less than ₹ 3.20 Crore.Or

Two similar completed works costing not less than ₹ 2.0 Crore.Or

Three similar completed works costing not less than ₹ 1.60 Crore.

(iv) The Applicant/Tenderer should have completed at least one work as described in (iii) above for

Govt/ PSU/ PSBs/ Semi Govt. etc.

“Similar” works shall mean Interior furnishing works viz. Civil, interior decoration, flooring, false

ceiling, HVAC (Heating, Ventilation and Air Conditioning), Electrical, firef ighting and allied

works of Office/ Institutional building, commercial building etc.

(v) The Applicant/Tenderer should have average annual financial turnover of at least ₹50.00 Lakh

during each of last 3 financial year

(vi) The Applicant/Tenderer should have necessary infrastructure/equipment/supporting staff at

senior and middle level and should have registered office within municipal limits of Delhi/New

Delhi/NCR

3. Documents required for verification of credentials in Stage-I :

(a) Certificate of Financial Turnover: At the time of submission of tender, the Applicant/Tenderer shall

submit Affidavit/ Certificate from Chartered Accountant mentioning financial turnover of last 3

financial years or its balance sheet for 3 years period.

(b) The past experience in similar nature of work should be supported by completion certificates

issued by Government/PSU/PSBs/Semi Government agencies in respect of the works awarded by

them. In case the work experience is of Private sector, the completion certificate shall be

supported with copies of work orders and copies of corresponding TDS certificate (Form 16 A).

(c) The Applicant/Tenderer (Architect/Firm) should have valid license from statutory authority

viz. Council of Architects to render Architectural services and in this regard copies of valid

registration and license to be provided.

(d) The Applicant/Tenderer should have adequate number of qualified Architects, Engineers

and other personnel on their payroll/ establishment and should also have tie up arrangements

with reputed registered and licensed consultant/service providers for Structural, Sanitary and

Water Supply, Electrical, Air Conditioners, Environmental, Fire Alarm services etc. The details of

such services/arrangements should be provided.

4. The Selection criteria applicable for Stage-II viz. Final selection will be as follows: The shortlisted

Applicants/Tenderers meeting pre-qualification/ selection criteria as mentioned in Stage-I will

be required to make presentation of design concepts to the Selection/ Screening Committee

based on the design brief provided by the IIFCL. A sum of ₹ 5,000 (Rupees Five Thousand only)

will be paid for the efforts/time spent by the Applicants/Tenderers qualified in Stage–I for

preparation of such presentation. All such presentations/drawings received from the Architect

will be the property of the IIFCL.

5. Submission of Design briefs/documents by Shortlisted Applicants/Tenderers in Stage I : In

order to make analysis of presentation/design concepts by Screening Committee , the following

details/briefs should be submitted to IIFCL’s office a week before the date presentation :

a. Hardcopy & softcopy of the proposed interior decoration / furnishing of office area.b. Proposed material with details of cost, why chosen etc. - 150 wordsc. Cost benefit analysis taking into consideration existing

furniture/fixture of IIFCL, its cost & life.d. Durability, Serviceability, Eco-friendly aspects and product life cycle cost - 100 wordse. Availability and method of fixing - 50 wordsf. Time period for preparation of final plan, item rate detailed estimate.g. Time period required for execution after award of the work.h. Approximate estimated cost.

6. Presentation (Audio Visual):The shortlisted Applicant/tenderer will have to give design presentation and the venue and

time for presentation shall be intimated separately to the shortlisted Applicants/Tenderers

(stage-I). It is advised that the above Applicants/Tenderers should familiarize themselves with local

parameters viz. Design and optimum utilization of office space, Eco friendly materials proposed

and their availability etc., Architectural features – perspective view / 3D view etc.

The Screening Committee will evaluate the Presentation based on the following main criteria:

The Screening Committee will evaluate the offers received on the basis of broad technical

parameters as mentioned above. Site visits, if required, will be undertaken by the Committee

which needs to be facilitated by the Applicants/Tenderers qualified in Stage-I. Depending upon

the response, presentations, maximum top four 04 (Four) Applicants/Tenderers will be shortlisted

for opening of their Price Bids. The shortlisted architects are advised to inspect all the loose

furniture in consultation with Deputy General Manager (GAD), IIFCL and incorporate the same

while preparing the layout & presentations to the Screening Committee.

8. FINANCIAL BID:

7. The Committee will shortlist maximum 4 Applicants/Tenderers in order of merit whose financial

bids will be opened after duly informing them. The final agency will be selected based on Combined

Quality cum Cost Based System (CQCCBS) of bid in the ratio of Technical 70% and Financial 30%.

1. R O LE A N D RE S PO N S I B ILI T I E S O F A R C HTE C T F I R M AP PO I N T ED B Y IIFCL T O W A R D S I N T ERI O R

F UR N IS HI N G ( I F ) WO R K :

IIFCL (“the IIFCL”) proposes to undertake interior decoration, furnishing, flooring, false ceiling,

HVAC (Heating, Ventilation and Air Conditioning -ducting only), Electrical, firefighting and allied

works etc. as part of interior furnishing of floor located on 5th floor of NBCC Tower No.2 at East

Kidwai Nagar, New Delhi. Total built-up area of the above floors is approximately 42,000 sq. ft.

The applicants/tenderers are advised to prepare Interior furnishing layout taking into

consideration of utilization of existing work stations, furniture (numbers and dimensions) after

inspecting IIFCL’s premises at 8th and 10th floor, H T House, K G Marg, New Delhi-110001.

IIFCL intends to commence Interior and Furnishing work and propose to complete the same in all

respects to make it ready for occupation within a maximum time period of 04 (Four) months from

the date of commencement.

The Architect/firm appointed by the IIFCL will be required to obtain all necessary

regulatory/ statutory/environmental approvals & permission such as approval of plans/set of

drawings, NOC from fire brigade and other authorities including NBCC, Local Municipal Authorities

& related departments.

Time is the essence of the contract. While the duties of Architect will be governed by the standard

agreement to be executed with the IIFCL by the successful Applicant/Tenderer, the role and

responsibilities of IIFCL’s appointed Architect will broadly be as follows:

a) To prepare design, diagram for the aforementioned service/works

b) To make appropriate estimate cost by cubic measurement or otherwise, prepare bills of quantities

and detailed estimate with rate analysis, to prepare tender document, and prepare contract

documents.

c) To assist and prepare the RFP for selection of the contractor who will complete/execute the

aforementioned service/work under supervision of Architect.

d) To supervise & monitor the execution/completion of the aforementioned services/work

-------------------------------------------------------------------------------------------------------------------------------------e) To submit a proper PERTCHART/Bar Chart incorporating all the activities required for the

completion of the project well in time i.e. preparation of working drawings, structural drawings,

detailed drawings, calling tenders, etc. The programe should also include various stages of

services to be done by other consultants/contractors.

f) Taking IIFCL’s instructions for preparing sketch designs with alternative schemes including carrying

out necessary revisions till the sketch designs are finally approved by the IIFCL, making

approximate project cost/ estimates i.e. detailed item rate based on Delhi Schedule of Rates

(DSR) and in case of non-schedule items, prevailing market rates required to be mentioned

after carrying out detailed rate analysis. It will be required to prepare reports on the merits of

the scheme so as to enable IIFCL to take a decision on the sketch designs and scheme as a whole.

g) The architect firm will need to explain/justify the quantities, brands of material to be used, market

price and total estimated cost for the quantities required as per the approved lay out plan and

design for the proposed work. The architect firm will need to justify their estimates prepared for

each item.

h) The Architect Firm shall prepare the schemes as and when required by the IIFCL during

execution of the project if desired so without claiming any extra fee.

i) The work includes preliminary planning of all utilities services like water supply, sewerage,

drainage, electrical, HVAC ducting drawing. Fire alarm & Fighting appliances, telephone conduit,

Interior Design, Graphic Signage, Security System, telecommunication system etc. However, the

IIFCL reserves the right to include/exclude any of the above services from the scope of

Architect’s work.

j) The scope of work also includes submission of Architectural, Structural and flowchart

drawings. All the designs and drawings shall be property of the IIFCL. The name and logo of the

IIFCL shall be predominantly displayed on all the drawings and documents.

k) The structural design details shall be checked and approved by the Architect Firm, if

required by local authority/NBCC. The Architect will be required to make modifications

during the execution of the work, if so required. Expenditure towards the above activities

includes as part of total fee payable by the IIFCL. The Architect Firm is solely responsible for

structural soundness of the design and other services as per the contract.

l) The Architect Firm will provide working drawings, making designs and drawings for IF work

including normal sanitary, water supply and electrical services and also for any special

installations like air conditioning, firefighting, telephone, public address system, audio video

solutions computer installations, interior decoration/ site preparation work etc. The Architect firm 13

-------------------------------------------------------------------------------------------------------------------------------------has to work out technical specifications, bills of quantities and detailed cost estimates after

briefing and discussing the amenities and finishes being proposed broadly with the IIFCL.

While the Architect firm would be given full scope to make suggestions in the best interest of

the said works, however, the Architect firm shall amend / change the same suitably, if so desired

by the IIFCL. The Architect firm shall be responsible for inclusion of each and every item of

the works/specifications required for completion of the project and the correctness of the

quantities so as to ensure that variations are not beyond 15% either side between the actual

quantities and the estimated quantities in exceptional / rare cases. The Architect firm shall get

all these detailed drawings and cost estimates approved by the IIFCL after making necessary

changes/ amendment etc. if so, desired by the IIFCL.

g) The Architect firm will coordinate with IIFCL/ IIFCL’s appointed contractor in preparation of pre-

qualification documents for short listing of contractors and preparation of detailed tender

documents for various works complete with Articles of Agreement, Special Conditions,

Conditions of Contract, Specifications, Drawings, Schedule of Quantities, Time and Progress Charts

and any other material necessary for completing the tender documents and getting them

approved by the IIFCL. Sufficient copies if required to be provided to the IIFCL for issue of tender

documents towards various contracts/activities.

h) To participate in Pre-bid meetings and assist IIFCL for preparing comparative statement and

techno-commercial evaluation of bids for various works. The Architect firm will assist do all

coordination with contractor / IIFCL toward taking up various activities v i z . p r ov i d i n g te n d e r

r e c o mm e n d a t i o ns t h e r eo n, p r ep ar i n g co n t ra c t do c u m e n t s a n d g et t i n g t h e m e x e cu t e d b y t h e

c o n ce r n e d c o n t r a ctors.

i) Providing 3 sets of drawings for the execution of the work to the successful contractors including

required copies of drawings for the tender work.

j) Test-checking or cross checking of measurements of works at site as and when advised by the IIFCL

on receipt of the bills/claims form the contractors duly scrutinized and verified by the Contractor

appointed by the IIFCL including quality certification to enable IIFCL to take necessary

corrective measures if required.

k) Due diligence and verification of bills submitted by the contractor.

l) Appearing on behalf or along with the IIFCL officials before any statutory authority in

m) Any other service connected with the said works usually and normally rendered by Architect and

not referred to in any of the items referred to above.

n) The Architect firm has to attend site meetings from time to time during execution of IF work to

ensure quality and workmanship as per the design and bill of material approved by IIFCL. The

Architect has to get rectified defects arising during Defects Liability Period through the Contractor.

o) To verify “As-Built” Drawings prepared by the contractor on completion of the works.

The above mentioned project comes under Technical Audit by Chief Technical Examiner’s

Organization of Central Vigilance Commission (CVC). All care is required to be taken by the

Architect firm while preparing the detailed drawings, specifications and BoQ during

execution of the project as per CVC guidelines strictly. To assist IIFCL in submission of reply

to CVC’s queries, compliance of their observations etc. are statutory requirement as part of

scope of work of the Architect

The list of duties mentioned above are only indicative and the Architect firm will have to

assume full responsibility for completion of the project both qualitatively and quantitatively as per

accepted contract conditions in the best possible workmanlike manner in all respects till its

occupation within the agreed time schedule and cost by following standard laid down norms/

procedure as suggested by CVC and the IIFCL’s guidelines in an open and transparent manner.

m) IIFCL shall not be liable for any injury/death caused to any official, employee, representative or

agent of the architect firm or their consultants working at the site or any damage to their

properties for any reason whatsoever. IIFCL shall not entertain any claim from any person on that

behalf.

2. CONDITIONS OF ENGAGEMENT:

a. The architect shall submit to the IIFCL the sketch plans, detailed plans, cost estimates, etc within

the period as specified in Section – 5. The architect firm shall exercise all reasonable skill, care

and diligence in discharging their duties hereby covenanted to be performed by them. The

and inspection in regard to the said works as may be necessary to ensure that the work is

being executed by the contractors in accordance with the Architectural working drawings and

the finishes etc. are provided for as required. In the event of their finding out/observing any

deviations there-from, they shall immediately bring it to the notice of the IIFCL for issuing 15

b. The Architect firm’s overall responsibility will continue during the Defects Liability Period to see that

the defects, if any, and subsequently removed by the contractors in order to issue a “NO

OBJECTION CERTIFICATE” at the end of the Defect Liability Period of 24 MONTHS to the contractors.

c. Architect firm shall assist during planning and tendering stage with other consultants, if required

to prepare a comprehensive programme of work in consultation with contractor. The Architect

shall also attend the weekly/fortnightly joint meetings of the IIFCL with all the concerned

contractor.

d. If the interior or other works therein be substantially interrupted by force majeure or by reasons

of any orders in writing issued by the IIFCL stopping or suspending the work of furnishing on

grounds other than bad/unsound work or installation and/or defective supervision of lack of it

or by reason of any undue or unreasonable delay, the Architect Firm shall not be liable in any

way for the consequent delay in the completion of such work and IIFCL will review the same on

sympathetic ground.

e. Whenever the work is examined by the Chief Technical Examiner of the Central Vigilance

Commission and if he brings to the notice of the IIFCL any defective or substandard work or any

irregular/excessive payments, the Architect shall take necessary action to get the defect rectified

and / or workout recovery of cost/irregular payments to be recovered from the contractors

and also shall assist the IIFCL to send suitable reply to the Chief Technical Examiner’s

queries in shortest possible time. In case of any disputes with the contractor(s) or disputes arising

out of the said project execution as well in the matter of arbitration (either initiated by the

contractors or the IIFCL) pertaining to this project, the Architect firm shall, assist the IIFCL from

time to time by drafting suitable replies in consultation with the legal advisers and protect the

interest of the IIFCL.

f. The Architect firm shall, on the completion of the work, supply to the IIFCL within the agreed fee,

three copies of one-eighth scale drawing three complete sets of structural drawings and three

sets of drawings sufficiently showing the main lines of water and drainage pipes, electrical

installation, raceways, network lines and other essential services. The Architect shall, if so required

by the IIFCL, supply extra copies of all such drawings by way of soft copies.

The architect firm needs to undertake and complete the work of design and bid preparation for selection

of contractor within 45 days of issue of work order. Further, on selection of the contractor, the architect

firm will need to ensure that the work is being completed by the contractor within 120 days of issue of the

work order.

4. Penalty:

IIFCL reserves the right to impose a penalty to be decided by the IIFCL authorities for any serious

lapse in services or otherwise done by the selected/appointed architect firm.

5. Dispute Resolution:

The Parties (Architect and the IIFCL) shall use their best efforts to amicably settle all disputes

arising out of or in connection with the Contract/Agreement in the following manner:

a) The Architect or the IIFCL raising a dispute shall address to the other Party a notice requesting an

amicable settlement of the dispute within seven (7) days of receipt of the notice.

b) The matter will be referred for negotiation between nominated officials of the IIFCL and the

Architect. The matter shall then be resolved by them and the agreed course of action

documented within a further period of 15 days.

c) The Parties (Architect and the IIFCL) agree that any dispute between them, which cannot be

settled by negotiation in the manner, described above, may be resolved exclusively by arbitration

and such dispute may be submitted by either party to arbitration within 20 days of the

failure of negotiations. Arbitration shall be held in New Delhi, India and conducted in

accordance with the provision of the Arbitration and Conciliation Act, 1996 or any statutory

modification or re-enactment thereof.

d) Parties shall refer the dispute to a Sole Arbitrator to be appointed by Chief General Manager, GAD

whose decision shall be final and binding on the parties and the arbitration shall be conducted in

accordance with Indian Arbitration and Conciliation Act, 1996.

The Architect shall not be entitled to suspend the work pending resolution of any disputes

between the Parties and shall continue to carry out the work in accordance with the provisions of

the Contract/Agreement notwithstanding the existence of any dispute between the Parties or the

subsistence of any arbitration or other proceedings.

The provision under this section survives the Contract/Agreement.

a) If the Architect closes their business or the company, partnership firm stands dissolved due to

provisions, if any, in partnership agreement of the firm in the event of death of one or more

partners die or become incapacitated to render services as architect, then the Agreement shall

stand terminated.

b) (i) If the Architect fail to adhere to the time schedule stipulated in the schedule hereto annexure or

the extended time which may be granted by the IIFCL in its sole discretion or

(ii) In case there is any change in the constitution of the company / firm of the Architect for any

reason whatsoever, the IIFCL shall be entitled to terminate this agreement without giving any

notice and entrust the work to some other architect

c) In case of termination under sub-clause (a) or (b) above, the Architect shall not be entitled towards

payment of fee or compensation except the fee payable to them for the work actually done

and as per the provisions in this agreement. In such cases the decision of the IIFCL as to what is

the work actually done and what is the amount of the fee due to the Architect on the basis of

actual work and as per the provision in this agreement shall be final and binding on the Architect.

d) In case of the termination, the IIFCL may make use of all or any drawings, estimates or other

documents prepared by the Architect, after a reasonable payment for the services of the Architect

for preparation of the same in full as provided herein.

5. TRANSFER OF INTERESTS

(i) The Architect shall not assign, sublet or transfer their interest in this agreement, without the prior

written consent of the IIFCL.

(ii) Whether the Architect Firm is partnership firm or a company, no change in the constitution of such

partnership or no change in the constitution of Board of Directors of the company shall be

made without the prior approval of the IIFCL.

i) In case, this agreement is terminated, fee shall be paid to the Architect for the actual services

rendered as per stages referred to in this clause and subject to other provisions about

recoveries etc., as provided for elsewhere in this agreement. All the payments due to the Architect

Firm shall be made online and no cheques/ Draft shall be issued.

ii) The IIFCL shall have the right to request in writing for additions, alternations, modifications or

deletions in the design and drawing of any part of the work and to request in writing for

additional work in connection therewith and the Architect Firm shall comply with such requests

without any extra cost.

iii) The Architect shall not make any material deviation, alternation, addition to or omission from the

work except without first obtaining the written consent of the IIFCL.

iv) The IIFCL has got desecration to impose penalty in case of overall variations in actual cost of

project w.r.t. the approved estimated cost by more than 15 % (Fifteen percent), in such case

the Architect shall be levied penalty maximum up to 10 % of the consultancy fees and shall be

recovered from their final bill . The decision of the IIFCL in this regard shall be final and

binding on the Architect.

v) All taxes, income tax and any other leviable tax in connection with the execution of the contract

levied by the statutory Authorities/ State/ Central Govt. of India/ Sate Govt. or any local

authorities on the architectural services in accordance with the applicable law shall be borne by

the Architect and are deemed to be included in their bid price. The tenderers shall note that Tax

Deduction at Source (TDS) as per applicable law shall be made from the payments due/ made to

the Architect and which shall not be reimbursed.

vi) The GST as applicable shall be reimbursed by the IIFCL on actual production on receipt of deposit.

However, the Architect has to mention GST Number in the invoice and amount of GST should

be shown separately in the bill as per the GST rules as applicable from time to time.

vii) Any enhancement of taxes / duties (except service tax/GST) by the authorities / Government of

India/ State Government, during currency of this contract shall be borne by the Architect only

and which shall be not reimbursed by the IIFCL.

NOW THEREFORE THIS DEED WITNESSETH AS UNDER:

ARTICLE 1.0 - AWARD OF CONTRACT

1.1 S C O P E OF WORK

IIFCL has awarded the contract to -------------------for the work of Architectural planning, Designing and detailing

of -------------------------------------- as per contract document defined in Article 2.0 below. The award has taken effect

from 7th day of issue of aforesaid work order. The terms and expressions used in this Agreement shall have the

same meanings as are assigned to them in the “Contract Documents” referred to in the succeeding Article.

ARTICLE 2.0 - CONTRACT DOCUMENTS

2.1 The contract shall be performed strictly as per the terms and conditions stipulated herein and in the following

documents attached herewith (hereinafter referred to as “Contract Documents”).

2.4 All the aforesaid contract documents referred to in Para 2.1 to 2.3 above shall form an integral part of this

Agreement, in so far as the same or any part thereof column, to the tender documents and what has been

specifically agreed to by IIFCL. Any matter inconsistent therewith, contrary or repugnant thereto or deviations

taken by the Architect in its “APPLICATION CUM TENDER” but not agreed to specifically by IIFCL in its work order,

shall be deemed to have been withdrawn by the Architect Firm without any cost implication to IIFCL. For the sake of

brevity, this Agreement along with its aforesaid Contract Documents and work order shall be referred to as the

“Contract”.

ARTICLE 3.0 -CONDITIONS & CONVENANTS

3.1 The scope of Contract, Consideration, terms of payments, advance, security deposits, taxes wherever

applicable, insurance, agreed time schedule, compensation for delay and all other terms and conditions

contained in aforesaid contract documents. The contract shall be duly performed by the Architect firm strictly

and faithfully in accordance with the terms of this Contract.

3.2 The scope of work shall also include all such items which are not specifically mentioned in the Contract

Documents but which are reasonably implied for the satisfactory completion of the entire scope of work

envisaged under this Contract unless otherwise specifically excluded from the scope of work in the Contract

Documents.

3.3 Architect Firm shall adhere to all requirements stipulated in the Contract Documents.

3.4 Time is the essence of the Contract and it shall be strictly adhered to. The progress of work shall conform

to agreed work schedule/Contract Documents.

3.5 This Agreement constitutes full and complete understanding between the parties and terms of the

presents. It shall supersede all prior correspondence to the extent of inconsistency or repugnancy to the terms

and conditions contained in the Agreement. Any modification of the Agreement shall be effected only by a written

instrument signed by the authorized representative of both the parties.

3.6 The total Consultancy fee for the entire scope of this contract as detailed in Work Order is Rs. ( Rupees

____________only) is exclusive of GST, which shall be governed by the stipulations of the contract documents.

ARTICLE 4.0 - NO WAIVER OF RIGHTS

4.1 Neither the Engineer-in-Charge or any of their officials, employees or agents nor order by IIFCL for payment of

money or any payment for or acceptance of, the whole or any part of the work by IIFCL or the Engineer-in-Charge

nor any extension of time nor any possession taken by the Engineer-in-Charge shall operate as waiver of any

provisions of the Contract, or of any power herein reserved to IIFCL , or any right to damage herein provided, nor

shall any waiver of any breach in the Contract be held to be a waiver or any other or subsequent breach.

ARTICLE 5.0 - GOVERNING LAW AND JURISDICTION

5.1 The Laws applicable to this contract shall be the laws in force in India and jurisdiction of Delhi Court only.

5.2Notice of Default

Notice of default given by either party to the other party under the Agreement shall be in writing and shall be

deemed to have been duly and properly served upon the parties hereto, if delivered against acknowledgment due

or by FAX or by registered mail duly addressed to the signatories at the address mentioned herein above.

We have understood the prequalification/selection criteria, scope of the services to be offered,

the terms and conditions for the appointment to be rendered by the Architect firms specified by IIFCL

IIFCL in the Technical Bid as well from the standard agreement for the captioned purpose and we will

abide by the same in case our proposal is accepted.

Accordingly, we now quote total lump sum professional fee of Rs. (in figure and

in words) plus (taxes as applicable in %) as

applicable for rendering Architectural Services for the captioned project. We also agree that the
