The Commission has affirmed NASD disciplinary action against Darrell Jay Williams, of Los Gatos, California, a former salesman for an NASD member firm. The NASD censured Williams, fined him $20,000, suspended him from association with any member for one year and required him to requalify as a registered representative byexamination before acting in that capacity again.

The Commission found that in 1988 Williams improperly engaged in a private securities transaction. Williams failed to give his employer the required prior written notification that, on his recommendation, two of his customers invested $50,000 each in notes of Diversified Money Debentures and Finance, Inc., a transaction outside the scope of Williams' employment. The Commission announced that the U.S. District Court for the Southern District of Texas, Houston Division, entered judgment against B.F. Winborn, Charles Brandes and BFMF Corporation d/b/a FMF Corporation. Winborn and Brandes consented to entry of judgments ordering them to disgorge $12,000 and $5000, respectively, and waivingimposition of a civil penalty, on the grounds that they were unable to pay more. The

final judgments also permanently bar Winborn and Brandes from serving as officers or directors of any public company. Winborn and Brandes, as well as BFKF Corporationd/b/a FMF Corporation, previously had a summary judgment entered against them and were enjoined from violations of Securities Exchange Act of 1934 Section lOeb) and Rule 10b-S promulgated thereunder and Securities Act of 1933 Sections 5 and l7(a). .-~.

COMPlAINT FILED AGAINST ALBERT IABOZ, JASON IABOZ AND EZRA CATTAN

The Commission announced today the filing of a complaint in U.S. District Court for the District of Massachusetts against Albert Laboz, Jason Laboz, and Ezra Cattan of New York City, New York alleging violations of Section lOeb) of the Securities Exchange Act of 1934 and Rule 10b-S thereunder in connection with trading in July, 1987 in the securities of Parisian, Inc. (Parisian), shortly before the announcement of a proposed merger and leveraged buy-out of the company. The complaint seeks permanent injunctions, disgorgement of profits with prejudgment interest and civil penalties.

According to the complaint, the present action is related to SEC v. Hurton, et al.,Civil Action No. 89-l070-K (the Hurton Action), currently pending in U.S. District Court for the District of Massachusetts, and arises from the same insider tradingscheme. The complaint in the Hurton Action alleges and the present complaintrealleges that in 1987, Kerry A. Hurton (Hurton), a paralegal assistant in the Boston office of the law firm of Skadden, Arps, Slate, Meagher & Flom misappropriated from the law firm material nonpublic information concerning the proposed merger and leveraged buy-out of Parisian and disclosed the misappropriated information to Eric Laboz, among others.

The present complaint alleges that Eric Laboz directly or indirectly communicated the material nonpub1ic information obtained from Hurton to Albert Laboz, Jason Laboz and Ezra Cattan, who directly or indirectly caused a total of as much as 10,745 shares of Parisian stock to be purchased, resulting in profits of approximately $133,252 when

FORKER STOCKBROKER SENTENCED

The Commission announced that on July 6 the District Court for Blaine County, State

Penitentiary for a determinate term of five years and an indeterminate term of nine years on 45 criminal counts. On April 28, 1992, after a week-long trial, a jury found Vierra guilty of 37 counts of embezzlement and 7 counts of forgery under state law,following an investigation and prosecution in which the Securities and ExchangeCommission's Seattle Regional Office staff assisted state authorities. Vierra had been enjoined in a lawsuit filed by the Commission in June 1990, by consent, without

admitting or denying the charges, from violation of the antifraud provisions of the federal securities laws. He was also enjoined from aiding and abetting a McCall,Idaho, broker-dealer, of which he was a principal, from violating Commission rules against false filings, false reporting and false record keeping and from violatingthe Commission's financial responsibility rules.
