1. Function

The Function of new D530 WFI Building Expansion is to provide additional purified water (WFI)

capacity for the new Purification, Filling and Freeze-Drying Facility (PFF – Building E640) . The

building will be located on the Grifols Therapeutics LLC Clayton, South Plant. The D530

building will be located to the West of the existing Central Utilities Building (B400) and to the

North of the existing Quality Laboratories Facility (B500). It will be directly connected to the

existing Purified Water Building (D520).

2. Contractual Entities

Grifols Therapeutics LLC. – The Owner, sometime referred to as Grifols

Shell and Core Contractor - (Contractor) The General Contractor selected by Grifols to construct the shell and core package described in this document

A/E – Architectural & engineering team selected by Grifols to design this facility. This project team is led by HagerSmith Design in conjunction with Ardurra Group (Structural Engineering), and McGill & Associates (Civil Engineering).

KCI – Civil engineering firm who is contracted by Grifols to maintain the underground utility maps for this campus. They are also contracted to perform underground locating for this project. In addition, we could also be utilizing Stantech to provide underground location services as well.

McGill Associates – McGill is a civil engineering company that has been retained by Grifols to complete an erosion and sedimentation control plan for this project. They are managing the submission of the County environmental permit process and will be performing periodic monitoring of our erosion control measures.

Geotechnologies Inc – Geotechnologies Inc is the geotechnical firm who provided the boring services and soils report for this project.

Site Prep/Underground Utilities – (Contractor) The contractor selected by Grifols to provide the Site Preparation and Underground Utilities Relocation work to prepare the construction site prior to the construction of the Shell and Core.

3. Project Scope

General: The scope of work for this project will consist of the Utilities connections and the Shell and Core construction for D530, alterations to existing D520, and concrete pads/piers for (2) exterior vessels (25,000 gallon and 20,000 gallon). This project is located on the South Plant of the Grifols Therapeutics facilities site, Clayton, North Carolina.

A complete drawing and specification package has been developed by

HagerSmith Design. The A/E drawing package has been attached to this request.

All base bids for the Shell and Core submitted shall include all scope shown in compliance with the provided specifications. If bidders wish to propose alternatives, they shall be submitted as alternates. If base bids are not compliant with the supplied drawings and specifications they will be considered non-conforming and subject to rejection.

Construction of this new facility will be managed in two phases. There will be an initial phase to construct the building shell and core followed by an interior build out. This bid request is for the shell and core, Grifols will act as its own General Contractor to manage all of the interior build out activities. This scope of work document will cover the Shell and Core.

Coordination with Grifols shall be required in order to facilitate the overall project schedule. The site shall be operated under Grifols rules for construction site safety at a minimum. A coordination meeting shall take place prior to the commencement of field activities to ensure Grifols and the selected contractors have unified safety expectations.

4. Safety

Grifols has a rigorous construction safety program. All contractors, including subcontractors, performing work on-site for more than 2 days should plan to attend site safety training offered on Mondays at 7:00AM for approximately 3 hours. Subcontractors working less than two days shall be accompanied 100% of the time by a trained contractor employee.

Grifols project management will review job site conditions on a scheduled and unscheduled frequency. A scheduled project management walk through will occur once per week with the site superintendent and Grifols project management. As other prime contractors mobilize, their site management will be asked to join the weekly safety walk.

The Contractor is expected to comply with applicable laws, codes, ordinances, rules and regulations to provide a safe project site.

Grifols requires an absolute 6 feet fall protection rule. All personnel shall be properly tied off at all times at work elevations above 6 foot. Failure to comply can result in the employee’s immediate removal from the jobsite.

Contractor shall provide all safety equipment required on site. This includes fire extinguishers, eye wash stations as required, employees PPE as well and MSDS sheets available for all chemicals in use.

Permitting will be required and includes Job Hazard Analysis (JHA), Hot Work, Excavation, Line/Equipment Opening, etc.

Grifols ‘Hazardous Work Permitting’ shall be utilized unless the contractors own work permitting system is reviewed and found adequate by Grifols. A meeting will be held at the project kickoff to harmonize safety programs and develop a definitive set of worksite safety standards.

Confined Space Entry, should it be required, shall need to be coordinated with the owner at least 24 hours in advance for notification broadcasts.

PPE Minimum Requirement

High visibility clothing shall be required for all trades

Hard hats, approved safety glasses and safety shoes shall be required for all trades

100% glove rule for all trades except as specifically agreed upon in advance

Shorts and sleeveless shirts are not allowed on site

6. Grifols Scope

Permitting

Grifols has responsibility for all Town of Clayton development permit fees. Grifols and the A/E have submitted a Minor site plan application, zoning plan, Johnston County environmental permits.

Grifols shall apply for the main building permit and pay any fees associated with it.

The contractor and/or subcontractors shall manage and pay for all construction inspections and fees related to inspections.

McGill & Associates is responsible for providing construction drawings for underground utilities relocation, and topography drawings that will be used

for building grading. Existing site drawings have been provided. CAD format is available upon request.

McGill Associates has been retained by Grifols and has responsibility for providing a sedimentation and erosion control plan for the project. It shall be the contractor’s responsibility to implement all physical aspects of the soil & erosion controls plan outlined in McGill’s plans.

McGill Associates will perform periodic monitoring of the erosion control measures. The contractor will make repairs and maintain the systems as required.

HagerSmith is responsible for providing construction drawings for architectural scope of work. CAD format is available upon request.

HagerSmith/Ardurra Group is responsible for providing construction drawings for the structural scope of work. CAD format is available upon request.

Builders Risk Insurance

The owner shall carry the builders risk insurance for this project.

Each contractor and subcontractor shall have the required level of liability insurance as dictated in the construction contract.

Temporary construction power

Grifols shall provide temporary power for use during the construction of the project. At the start of construction an existing 480/208/120 volt system shall be available located on the West side of the D520 Site via portable power carts. 100KVA (total) is available for use.

Connecting power to any office trailers or other temporary facilities needed by the Contractor or his subcontractors shall be coordinated through Grifols.

Survey & Underground Utilities Locations

Grifols has a contract with KCI and Stantech, to survey and locate underground utilities (i.e. excluding one-call services).

Contractor should coordinate with KCI (or Stantech) to provide location activities as needed. Contractor is responsible for verification of existing utilities before any excavation takes place.

Contractor is responsible for coordinating with KCI (or Stantech) to survey new installations and update the site underground maps prior to backfilling.

Any other field engineering/surveying will be the responsibility of the Shell and Core contractor.

Site Access

Prior to the initial phase of work, Grifols will provide temporary construction

fencing around the site.

All construction traffic to and from the building site will be from the west gate of the Grifols South Plant. The gate is accessible 24/7 with the exception of Holiday weekends. Grifols security is on duty at this gate at all times it is open.

Grifols will bear the cost of security.

This is a relatively contained work site but the adjacent service road stays busy with onsite vehicular traffic. Weekend and evening hours may be worked at the Contractors discretion. Owner shall be notified of weekend work in advance by the contractor. Any overtime premiums shall not be compensated by the Owner unless specifically agreed upon in advance and in writing.

Contractor’s employees and subs shall be restricted to designated project boundaries. Contractor is responsible to ensure that workers do not leave the project areas.

Sanitation Facilities

Grifols will provide temporary bathroom facilities in designated areas.

Contractor employees and subcontractors shall not leave the contract area to use Grifols sanitation or dining facilities.

Trash and Construction Debris

Grifols has an advanced recycling program. All construction waste shall be segregated by the contractor and subs and disposed of in appropriate dumpsters.

Grifols will provide dumpsters for general construction debris as well as segregated recyclables. Contractor will be responsible for coordinating with the designated Grifols contact to replace the dumpsters as needed.

If materials are not disposed of in an appropriate manor it shall be the responsibility of the contractor to resort the waste into the proper streams.

Interior Build Out

Grifols will be directly managing all of the subcontractors and suppliers for the interior build out.

Grifols project management will coordinate these activities with the contractor to ensure a well-managed safe site.

Grifols general contractor lead could be asked to attend the weekly construction coordination meeting, if applicable.

Vertical Storage Vessels

Grifols shall specify, purchase and receive (2) water storage vessels (one is

stainless steel and one is fiberglass). General contractor will be responsible for both of the vessel concrete slabs. This scope of work will be executed (poured) at a later date and separately from the building slab pour.

Vessels will arrive with protective shrink wrap or stainless steel jacketing. Once set in place, no further field protection is required.

The stainless steel vessel will be set and installed prior to the pipe bridge steel erecting phase. The fiberglass vessel will be set and installed on the north side of the new building expansion (at a time to be determined). The Shell and Core Contractor is responsible for helping coordinate a plan and schedule for the installation of the tanks but is not responsible for the crane activities to install.

The vessels are large: 1 ea. 25,000 gal., 1 ea. 20,000 gal..

Grifols shall retain the services of a qualified rigging company to receive and set both vessels.

The timing of the shell and core construction and the delivery and setting of the stainless steel vessel is a key driver to a successful project. At the present time Grifols is assuming the delivery of the vessels to start late April 2022. Grifols assumes 1 week to offload and set the vessels.

A very high degree of coordination will be required to maintain the schedule alignment between the vessels manufactures, Grifols, the rigging vendor and the Contractor and steel erector.

Contractor shall be responsible for the installation of embedded conduit, underground conduit and underground grounding as depicted within the attached A/E drawings and specifications.

7. Project Management

Grifols Project Management (PM) representative for the Shell and Core Construction will be Heath Smitherman, Manager (Project Engineering). Contractor shall take all direction related to change orders, cost control or value engineering from PM. Other team members are not authorized to direct changes with cost or schedule implications.

Grifols will have a team of subject matter experts assigned to the project team. A comprehensive contact list will be provided at the kick off meeting.

Request for Information requests (RFI)

All RFI’s will be submitted in writing to the A/E representative with a copy to Grifols PM.

A/E RFI responses will be sent back to the contractor with a copy to Grifols PM. If the response will impact quality, project timing or cost then the

contractor will immediately submit a change request (CR) to the Grifols PM for consideration.

RFI’s will be responded to within 5 working days or less

Submittals & Shop Drawings

All submittals will be provided in electronic format to Grifols with a copy to the A/E

10 Business days should be allowed or submittal review

10 days shall be allowed for the structural steel shop drawings per submittal

The contractor shall maintain a submittal log to be updated not less than weekly and reviewed in the subcontractor coordination meeting.

Project Change Requests (CR)

All contractor, or subcontractor, change requests will be submitted in writing to the Grifols PM. The change requests will be sequentially numbered and dated. If the change request is modified then it will receive a revision number beginning with 01. (Example CR-GE003402-01)

Each change notice should have a written description of the change requested, along with the source of the change. (Interference, owners request, etcetera)

Each change request should have a summary at the beginning of the document that shows

a. Contract sum prior to CR

b. Cost increase/ decrease

c. New Contract final amount with the change

d. Schedule impact

Each change request shall be detailed with the cost of the subcontractor or material, the number of hours of Contractor staff and any overtime rates applied.

Contractor Billing Rates

Contractor shall provide a table with all-inclusive billing rates for each of the staff assigned to the project. All trucks travel and per diem and other expenses shall be included in the rates. Overtime rates shall also be listed

Contractor mark up for materials and pass through shall also be defined.

Required Meetings & Communications

Owners Meeting – this will occur monthly when the pay application is submitted. The contractor will review the pay application and back up data.

Emphasis will be made to detail any unanticipated events or charges. Contractor shall issue meeting minutes from this meeting

Field Construction Schedule – The contractor shall prepare, as a bid deliverable, a comprehensive construction schedule showing how he intends to deliver this project. The minimum granularity acceptable shall be weekly. This schedule will be updated weekly by the Shell and Core Contractor.

Weekly Subcontractor Coordination Meeting

a. This meeting will be held weekly with the contractor’s staff and a field management staff member from each principal subcontractor. The Owner PM shall attend this meeting each week to make timely decisions and ensure communications continuity.

b. Contractor shall publish meeting minutes

c. A three week coordination schedule will be kept up to date and reviewed at each meeting

d. A needs list shall be maintained as part of the meeting minutes

e. A list of active RFI’s and Submittals shall be reviewed at every meeting and updated as appropriate

f. Overall Shell and Core Field Construction Schedule shall be updated and reviewed at each meeting

g. Once the Owner begins to bring on trade contractors to work in conjunction with the Contractor and his subs, then the Field Manager from the Owners subcontractors shall be invited to the Sub Contractor Coordination meeting. The Shell and Core Contractor shall incorporate any Owner responsible construction activities into the overall Shell and Core Construction Schedule.

8. Shell and Core Contractor Scope

Contractor is responsible for all activities that are included on attached construction

drawings and specifications. The list of scope items below is for clarification. All work shown

on the attached construction documents is assumed to be included in the contractors bid.

As Built Documentation

The Contractor and/or subcontractors shall keep a master set of drawings for each disciple documenting any field changes or as built conditions during the course of this project.

The Contractor will also maintain a log book per discipline documenting the time, date and reason for the as built condition.

Site Work

Provide rough grading to bring all worksite into rough compliance with the

elevations shown on the drawings. Installation of ABC stone for the entire area to be paved and for the building pad, and unpaved area surrounding the building.

a. The contractor shall include a cost per ton of ABC stone that includes; the cost of the stone, trucking to site and spreading and installing.

Final site work will include removal of excess ABC stone within the areas to be landscaped, final grading, installation of the curb, gutter and sidewalks, concrete and asphalt paving and any other exterior site work listed on construction documents.

Grifols will hire a third party inspector to test all indicated requirements on Specifications and Drawings. Contractor shall be obliged to remediate or re-work as necessary to meet any test defects.

Contractor is responsible for any damages incurred to existing site (sidewalks, roadways, landscaping, etc.).

Landscaping & Irrigation shall be by others

Fire Water

Tie-in’s to existing fire main at the location shown on the plans (by McGill Associates) will be by others.

Install new fire protection system connection (riser) into building slab as shown on plans by McGill Associates.

Route the 12” line and Stub Up a new 6” riser. 12” line will be left approximately 5’ outside the new building foundation and will be completed by others.

City Water (potable)

Connection of the new D530 8” city water Line to the existing 10” mainline (under the service road) will be by others. Contractor will stub up a new 8” service within slab and terminate approximately 5’ outside the new building foundation.

Miscellaneous Concrete Foundations Contractor will form and finish the following foundations and containments as shown on the drawing package

RO Water Vertical Vessel (25,000 gallon)

20,000 gallon Soft Water Vessel

Allowance for up to 15 service pads for circulation pumps and misc. equipment within the building

a. All foundations and footings shall be installed per the drawings and specifications detailed on the construction documents.

b. Owner will provide a third party inspector to perform compaction testing and materials testing as outlined in the construction documents. This vendor has not been selected as out yet.

c. For the purposes of this bid please assume all the soil is suitable. The contractor shall provide a unit cost to the replacement of unsuitable soils and rock.

Building Steel

All building structural steel shall be compliant with the drawings and specifications detailed on the construction drawings.

Contractor will be responsible for the remediation of any underground drains, piping and conduit that are damaged by the steel installation.

External pipe rack has not been integrated into the structural steel package and will not be installed by the Steel erector concurrent with building erection. Pipe bridge installation will be scheduled and coordinated with the delivery and installation of the 25,000 RO Storage vessel.

Steel fire proofing will be provided by the contractor or subcontractor.

Flat Work

Consisting of: Slab on grade, elevated slabs, approach ramps, sidewalks and machine pads as designated.

Provided by the contractor. Sufficient cure time shall be built in to the schedule to allow for sufficient curing preventing damage by premature loading.

Owner will provide a third party inspector to perform compaction testing and materials testing as outlined in the construction documents

Bar Grating

Bar grating shall be installed as detailed in construction documents

Bar grating will be secured such that it can be used as a work platform for two man lifts, ladders and general workman.

Exterior Closure Systems (Insulated panel, curtain wall and doorways)

Contractor shall supply and install all exterior closure systems

At the conclusion of this installation, a water penetration test will be conducted under the owner’s supervision. A minimum of 10% of the exterior systems will be subjected to a 20 minute test with water flowing from a 5/8” water hose. The interior of the building will be inspected for leakage. If any of the systems are found to be leaking the contractor will 100% test the

exterior closure and remediate any issues. Following the contractor declaring the building tight the owner will repeat the 20 minute water flow test.

Roofing System

Contractor shall supply and install all exterior roofing and flashing and curbing systems

At the conclusion of this installation a water penetration test will be conducted under the owner’s supervision. A minimum of 10% of the roofing systems will be subjected to a 20 minute test with water flowing from a 5/8” water hose. The interior of the building will be inspected for leakage. If any of the systems are found to be leaking the contractor will 100% test the exterior closure and remediate any issues. Following the contractor declaring the building tight the owner will repeat the 20 minute water flow test.

Underground Piping Systems

All of the underground piping systems will be installed per drawings and specifications.

An owner’s representative shall inspect and sign off a closer form before any underground piping or drainage system is back filled.

The owner’s standard procedure is to take digital photographs prior to signing off on the closure forms.

Miscellaneous Equipment

All needed equipment (lifting, etc.) is the responsibility of the contractor, and/or their sub-contractors.

Equipment shall be utilized and stored in a manner that is not disruptive to ongoing Grifols daily operations and activities.

REPAIR OF THE WORK

Complete repair and restoration operations before requesting inspection for determination of Substantial Completion.

Repair or remove and replace defective construction. Repairing includes replacing defective parts, refinishing damaged surfaces, touching up with matching materials, and properly adjusting operating equipment. Where damaged or worn items cannot be repaired or restored, provide replacements. Remove and replace operating components that cannot be repaired. Restore damaged construction and permanent facilities used during construction to specified condition.

Remove and replace chipped, scratched, and broken glass, reflective surfaces, and other damaged transparent materials.

Touch up and otherwise repair and restore marred or exposed finishes and

surfaces. Replace finishes and surfaces that that already show evidence of repair or restoration.

Do not paint over "UL"/ “FM” and other required labels and identification, including mechanical and electrical nameplates. Remove paint applied to required labels and identification.

FINAL CLEANING

General: Perform final cleaning. Conduct cleaning and waste-removal operations to remove all debris and excess materials left from the job site. Communicate with the owner prior to disposal of excess construction materials to be disposed of.

Cleaning: Employ experienced workers or professional cleaners for final cleaning. Clean the following: Exterior walls, roof and curtain wall glass; Interior floors and curtain wall glass. Comply with manufacturer's written instructions.

Complete the following cleaning operations before requesting inspection for certification of Substantial Completion for entire Project or for a designated portion of Project:

a. Clean Project site, yard, and grounds, in areas disturbed by construction activities, including landscape development areas, of rubbish, waste material, litter, and other foreign substances.

b. Sweep paved areas broom clean. Remove petrochemical spills, stains, and other foreign deposits.

c. Rake grounds that are neither planted nor paved to a smooth, even-textured surface.

d. Remove tools, construction equipment, machinery, and surplus material from Project site.

e. Clean exposed exterior and interior hard-surfaced finishes to a dirt-free condition, free of stains, films, and similar foreign substances. Avoid disturbing natural weathering of exterior surfaces. Restore reflective surfaces to their original condition.

f. Remove debris and surface dust from limited access spaces, including roofs, plenums, shafts, trenches, equipment vaults, manholes, attics, and similar spaces.

g. Sweep concrete floors broom clean in unoccupied spaces.

h. Clean transparent materials, including glass in doors and windows. Remove glazing compounds and other noticeable, vision-obscuring materials. Polish glass, taking care not to scratch surfaces.

i. Remove labels that are not permanent including adhesive residues

9. SUBMITTAL OF PROJECT WARRANTIES

Time of Submittal: Submit written warranties on request of Owner for designated portions of the Work where commencement of warranties other than date of Substantial Completion is indicated, or when delay in submittal of warranties might limit Owner's rights under warranty.

Partial Occupancy: Submit properly executed warranties within 10 days of completion of designated portions of the Work that are completed and occupied or used by Owner during construction period by separate agreement with Contractor.

Organize warranty documents into an orderly sequence based on the table of contents of Project Manual.

Warranty Electronic File: Scan warranties and assemble complete warranty and bond submittal package into a single indexed electronic PDF file with links enabling navigation to each item. Provide bookmarked table of contents at beginning of document.

Provide additional copies of each warranty to include in operation and maintenance manuals.
