1 Introduction

1.1 About the Royal Botanic Gardens

The Royal Botanic Gardens Board Victoria (RBGB) is a Victorian Government statutory authority which administers RBG Melbourne, RBG Cranbourne, the National Herbarium of Victoria and the Australian Research Centre for Urban Ecology (ARCUE).

The Royal Botanic Gardens Melbourne (RBG Melbourne) has been a treasured part of Melbourne’s cultural life for over 165 years – much loved by generations of Victorians, as well as by many visitors from interstate and overseas. It is a picturesque haven for recreation and an important resource for education, conservation, science and horticulture.

RBG Melbourne is located immediately south of the Melbourne CBD, extends over 38 hectares and houses a collection of over 10,000 species of plants from around the world, including amazing and diverse plant collections such as camellias, rainforest flora, cacti and succulents, roses, Californian species, herbs, perennials, cycads, plants from Southern China and, in the Rare and Threatened Species Collection, plants from south-eastern Australia.

As one of Victoria’s most popular tourist attractions and just a short walk from the CBD, RBG Melbourne attracted 1,810,687 visitors in 2012–13. 1

RBGB is committed to creating experiences for visitors that demonstrate the value of plants and highlight the central role that plants play in our everyday lives. At the Gardens, we strive, through all of our activities, to make environmental sustainability a priority.

1.2 Our Vision and Mission

The current vision for the Royal Botanic Gardens1 is ‘To connect people with our natural world by advancing knowledge and understanding of the value of plants’.

Our Mission is ‘To advance knowledge, enjoyment and conservation of plants through excellence in biodiversity research and management, horticultural displays and public programs”.

To achieve this vision and mission, the Gardens offers a range of guided walks, events and activities that are supported by interpretive signs and displays, a visitor centre, and a retail outlet – The Gardens Shop. The Ian Potter Foundation Children’s Garden is also a popular attraction at RBG Melbourne and attracted an estimated 248,180 visitors in 2012-13 representing a 33 per cent increase over the previous year.

1.3 Our Commitment to the Environment

The RBG has three core areas which contribute most to environmental stewardship:

• Biodiversity and Ecology, including ensuring its management and operations encourage and do not threaten biodiversity;

• Community Engagement, to engage with its diverse community by delivering stimulating and innovative programs that connect people with the natural world, and foster appreciation of the pressing need to conserve biodiversity through activities on-site, off-site, online and by other means; and

• It’s Landscapes, managing cultural and natural landscapes sustainably, with respect for cultural heritage, and recognition of the habitats (for plants, animals and other living organisms) and the ecosystem services they provide. The RBG is responsive to environmental challenges, including climate change, and the changing needs of the community.

1.4 About Observatory Cafe

The Observatory Cafe is located in the Observatory Precinct managed by the Royal Botanic Gardens. The Precinct includes

a cluster of original buildings constructed in 1861-63 for the observation of stars essential for timekeeping, navigation and surveying for early Melbourne settlement. The Observatory buildings and land, comprising the Old Observatory Building, Magnet House and Astrograph House, were handed over to RBGB in 1992. The Old Observatory Building was restored and reopened in 1999 as part of the Observatory Precinct development, which included the new RBG Melbourne Visitor Centre, the Observatory Café and The Gardens Shop. The Precinct generates a high level of visitor activity. The Old Observatory Building provides three unique historic function venues.

Observatory Café opened in March 1999 and trades 7 days as a café. Over the past 14 years, it has become a destination for many Melburnians, located on Birdwood Avenue opposite the Shrine of Remembrance and close to The Ian Potter Foundation Children’s Garden. The Café also operates as a function venue after hours.

The existing Lease for Observatory Café expires on 10 March 2014. This is the first time the Lease has been tendered since the development of the Observatory Precinct. This Tender represents a significant opportunity for the Royal Botanic Gardens to align the experience, service and offer of this key venue with its vision and mission and its aspirations for visitor experience of the Gardens.

2 Staff, Visitation and Visitor Activity

2.1 RBG Staff and Volunteers

Many staff and volunteers visit Observatory Café. There are 133 full time equivalent staff based at RBG Melbourne and a further 160 volunteers who conduct tours which add value to the visitor experience.

2.2 Visitation to RBG Melbourne

The Royal Botanic Gardens Melbourne (RBG Melbourne) is one of Melbourne’s most loved and visited attractions. RBG Melbourne attracted a little over 1.8 million visitors in 2012-13 and has shown steady growth in visitation over the past 3 years (Refer Figure ).

The Observatory Precinct is perceived as the main entry portal to RBG Melbourne. The Precinct is located near Gate ‘O’ which attracts the highest number of visitors annually. Visitation to RBG Melbourne peaks over weekends and on public holidays and is impacted by weather.

2.3 Commercial Activities in the Gardens

RBG Melbourne programs a number of commercial activities within the Gardens which are part of its annual calendar of events (Refer Attachment 6 | Major Events, Garden Program and Holiday Schedule 2013/14). These include:

� Moonlight Cinema;

� Wind in the Willows;

� Shakespeare Theatre; and

� Punting on the Lake.

In addition to the Observatory Café, the RBG has 3 other catering related contracts. These include:

� The Terrace, Café and Functions;

� Gardens House, Functions; and

� Old Observatory Buildings and Garden Marquees, Functions.

2.4 Visitor Activity, Gardens and Observatory Precinct

Observatory Cafe is located in the Observatory Precinct opposite the Shrine of Remembrance and on the Tan Track. Public and education programs commence and conclude at the Visitor Centre and as such the centre and forecourt are an activity hub and focal point for visitor activity at RBG Melbourne. The Precinct includes the Visitor Centre incorporating the Observatory Café and award-winning Gardens Shop, the Old Observatory Buildings, and the Education Centre and award-winning Ian Potter Foundation Children’s Garden (Children’s Garden) which is a focal point of the RBG’s comprehensive education program.

2.4.1 Visitor Centre and Gardens Shop

The Observatory Café is located in the Visitor Centre. Visitation to the Visitor Information Centre located in the Visitor Centre and to The Gardens Shop is monitored and described in Figure 3 . Visitation to The Gardens Shop peaked in January, with the total number of visitors just exceeding 162,000 for 2012-13.

2.4.2 The Ian Potter Foundation Children’s Garden

The Children’s Garden is a dedicated garden, scaled for children, designed to provide a natural experience for children that will inspire happy memories and develop a life-long appreciation of and interest in plants and gardens, and the importance of conservation and the environment. It provides an interactive educational environment in which children of all ages, backgrounds, physical abilities and cultures can play, explore and discover the natural world, and incorporates a number of feature gardens including a Kitchen Garden.

The RBG runs curriculum-based education programs in the Children’s Garden encompassing the traditional content areas of environmental education, which include biodiversity, plant and animal interactions, plant uses, sustainability and conservation. Educational programs also utilise the diversity of plant materials and environments, such as water, texture and structure. As part of its annual calendar of events, a number of open day events are programmed in The Ian Potter Foundation Children's Garden.

The Children’s Garden is open from 10am – sunset: Wednesday to Sunday, and during term on Mondays and Tuesdays it is open to school groups. During school holidays, the Children’s Garden is open from 10am daily. The Children’s Garden closes for eight weeks for rest and maintenance each winter, generally from mid-July until mid-September. An estimated 248,180 people entered the Children’s Garden for the year 2012-13, with visitation peaking in January.

2.4.3 Other Education and Visitor Programs

The RBG runs a number of visitor programs for school aged children and the general public. These programs are based out of the Education Centre located in the Observatory Precinct near Gate O.

The key objective for visitor and education programs is to connect students with nature. Approximately 25,000 students visit per annum, with the most popular education programs being Introduction to the Gardens and Aboriginal Resource Trail. The RBG Education Team also has partnerships with a small number of schools, with the aim of giving them knowledge and support to assist with creating their own garden at their school. The main focus is kitchen gardens, based on their school excursions to The Ian Potter Foundation Children's Garden.

2.4.4 Activities and Events, RBG Melbourne

Activities and events held in the Gardens are part of an annual calendar of events. As part of its annual calendar of events, a number of open day events are programmed at Melbourne Gardens such as Spring Open Day, Melbourne Open House and other various celebrations. Other events held may be to celebrate special days, for example National Threatened Species Day. The lawn opposite the Old Observatory Building plays host to Shakespeare Theatre for an 11 week window over the summer season.

The 2013-14 calendar of events is included at Attachment 6 | Major Events, Garden Program and Holiday Schedule 2013/14 for reference. Visitation generated as a direct result of these activities is highlighted in Figure 5. Activities include:

� Naidoc6;

� Shakespeare performance program;

� Wind in the Willows;

� Moonlight Cinema; and

� Punting on the Lake.

The Shakespeare Theatre program is performed on Southern Cross Lawn adjacent to the Old Observatory Building, commencing 23 December with performances daily until 28 February. During this time there are restrictions to music being played in the licensed area of the Café due to its potential impact on Performances.

3 Observatory Café

3.1 Definition of Areas

The following areas are identified on plans in Attachment 3 | Visitor Centre and Attachment 4 | Observatory Café. Venue capacity is based on current seating and outlet configuration. The Café Office and storage area and vegetable and herb garden are subject to separate licenses as summarised in Table .

3.2 Liquor Licence

The current tenant of Observatory Café holds a liquor licence which may be transferred to the incoming operator. A copy of the Licence and areas licensed to serve alcohol is provided at Attachment 5 | Liquor Licence. Seating capacities specified in Table are the seating capacities as specified in the Liquor Licence. The licence specifies a maximum of 600 patrons.

3.3 Function Demand

Observatory Café provides an ideal environment to cater for functions and events after hours. Sales from functions and events forms part of reported revenue and is not separately reported.

Observatory Café is currently connected to the entry foyer of the Visitor Centre via an operable wall. Observatory Café may make application to the RBG to use this area after hours for functions and events. Application to use the entry foyer is made in writing to the Contract Manager. Usually, no venue hire fee is applicable for use of this area.

3.4 Fixtures, Fittings and Equipment

The fixtures, fittings and equipment used by the current tenant of Observatory Café have been independently valued. The RBG has sought a valuation of the assets from the Valuer General. However, agreement regarding the sale and price of the assets must be negotiated directly with the current tenant.

3.5 Café Concept

Observatory Café opened in 1999 and was renowned not only for the unique fit out and quality experience but also for its kitchen garden. The Café remains as originally developed, with some changes to the counter line and the addition of a kiosk on the forecourt of the Visitor Centre being undertaken in 2010.

This Tender presents a unique opportunity to develop this venue into a unique benchmark concept or to operate as an ongoing operation subject to agreement with the incumbent operator relating to fixtures, fittings and catering equipment

Consideration should be given to how this venue will be differentiated and how it will align to and enhance the vision and mission of the RBGB.

3.6 Partnering Opportunities

Observatory Café is located in the visitor precinct and key visitor entry to RBG Melbourne. This Lease presents an opportunity for the Operator who partners with the Gardens to enhance visitors’ experience of RBG Melbourne. Tenderers are invited to present how they may work in partnership with the Gardens.

To support the RBG’s understanding of how the Operator may work in partnership with RBG Melbourne, the Public Programs Team have identified a potential opportunity to partner in delivering a kitchen garden program. The program would target children but engage more broadly with families, and is based on kids picking food from the Café’s Kitchen Garden and it being cooked by cafe staff using a temporary facility supplied by the cafe.

Tenderers are asked to submit a concept for Junior Chef in the Children’s Garden or another concept for working in partnership with the RBG to enhance visitor experience and awareness of our vision and mission.

4 Tender Process and Conditions

4.1 Procurement for Café Operator

RBGB is seeking to appoint a suitably qualified Operator to operate the venue currently known as Observatory Café.

Submitted Tenders will be reviewed against set evaluation criteria outlined in 4.3 Evaluation .

4.2 Tender Objectives

The RBGB’s objectives in entering into this Tender are to:

� Ensure that the catering operations are conducted to the highest standards and in a manner that enhances RBGB

reputation and visitor experience;

� Ensure a high standard of food quality and service delivery at the Gardens to meet market demands and enhance

visitor experience of the Gardens; and

� Develop a partnership with the tenant to assist RBGB in growing visitation to the Gardens and to achieve its vision

and mission.

4.5 Lease and Licence Area

4.5.1 Lease

This Tender is supported by a Lease and Licences. By submitting a Tender, a Tenderer is acknowledging that the terms and

conditions contained in the Lease are understood and accepted. Any proposed amendments to the Lease must be outlined

in the ‘Lease Amendments’, as part of the Tender.

Negotiations for the Lease and Licence will be entered into on the terms and conditions specified in the Lease and as noted

in the Tender and Tender Response.

4.5.2 Licence

There are two licensed areas being offered in conjunction with this Lease:

• Front licensed area – Refers to the forecourt seating area and is offered for the same term as the Lease; and

• Rear licensed area - Refers to the areas identified as kitchen garden and storage area and is offered for three years subject to conditions.

The terms of the licences of the two Licensed areas are included in Schedule 2 of the Lease.

4.6 RBGB Contact Details and Communication

Tenderers are required to restrict all contact relating to the Tender to the nominated Contact Person. The RBGB will not be

accountable for correspondence entered into outside this process. Failure to comply with contact requirements may result

in exclusion of the Tenderer from the Tender process.

The RBGB will respond through the Contact Person to any question asked by a Tenderer during the Tender process. The

4.7.1 Venue inspection

A venue inspection will be held on the date and time indicated above. The venue inspection will be conducted on the specified date and time only. There is no public access to back of house areas other than at the specified time and date.

The Contact Officer and nominated RBGB personnel will be available at that time to answer any Tenderer’s queries regarding the Tender. RBGB will not be accountable for the transmission of any additional information delivered through questions raised at the Tender venue inspection. Tenderers will meet at the Visitor Information Office located in the Visitor Centre of the Royal Botanic Gardens Melbourne, Birdwood Avenue, South Yarra.

Any additional documented information will be made available to all Tenderers. The RBGB will not be accountable for

issuing additional information delivered through questions raised at the Tender venue inspection and briefing session.

4.8 Tenderer Tours

A tour of one or more of the Tenderer’s nominated venues may be required in assessing the short-listed Tenders. The

Tenderer grants the RBGB and the Evaluation Panel including their representatives, the right to undertake these

assessments. The Evaluation Panel may conduct a tour of one or more of the Tenderer-nominated venues which are

nominated in Part 2, to assist in assessing the short-listed Tenders.

4.9 Tenderer or Nominated Representative

Each Tenderer is requested to appoint a nominated representative who will be responsible for the day to day interaction

throughout the Tender process and to provide contact details as per the Schedule of Nominated Representative Details in

Section 4, Tender Forms and Schedules. All communication relating to the Tender will be restricted to the nominated

Tenderer representative unless notified in writing by the Tenderer.

Unless otherwise advised, the nominated representative advised in the Deed of Confidentiality will be the nominated

Tenderer representative for the Tender response period. The Tenderer is required to notify the Contact Person, in writing, of

any change of representative.

4.10 Completion of Tenders

Part 2 Tender Forms and Schedules provides required compliance information relating to company ownership, financial stability, specific experience and capability, concept development, indicative menu and pricing proposed for Functions, Event Bar and Cafe catering services at Observatory Café in accordance with the Evaluation Criteria.

Part 2 Tender Forms and Schedules are to be completed based on information provided in the following documents:

Submissions will be evaluated based on the information provided by Tenderers in the mandatory Part 2 Tender Forms and Schedules. Tender submissions will be evaluated in accordance with the Evaluation Criteria.

4.10.1 Mandatory Lodgement Format

The Tender Forms and Schedules have been provided in Word format to assist you in completing your response. Tenderers are required to complete all information in this schedule in the order in which it appears. Tenderers may provide additional information in support of their submission. Responses should be limited to a maximum single page per question.

If a Tender is received after the time and date specified above it may be regarded as invalid and excluded, unless it can be shown to the satisfaction of RBGB that unforeseeable, extenuating circumstances caused the delay.

Where the Tenderer intends to engage subcontractors to perform any of the services, responses to Tender response requirements (where relevant) shall include details in relation to the subcontractors as well as the Tenderer.

RBGB may at its discretion utilise information from any other source including, but not limited to, its own experience with the Tenderer, and qualitative and financial reference checks, in the performance of Tender evaluation. RBGB may also utilise additional information provided by the Tenderer in a post Tender submission.

4.13 Ownership of Documents

Each Tenderer agrees that all copies of their Tenders submitted to RBGB become the property of RBGB and that RBGB may make further copies and use the Tender for the purposes of evaluation and finalising the Lease. All information contained in this document and all documents incorporated by reference are confidential and may only be used for the purpose of the recipient submitting a Tender to RBGB.

5 Tender Conditions

5.1 Conditions

The RBGB reserves the right to:

� Not select any or all of the Tenderers;

� Consider non-complying Tenders;

� Reject non-conforming Tenders;

� Negotiate with a selected Tenderer(s) after submission of the Tender;

� Change the date on which Tenders are due to a later date;

� Not re-submit the project to open Tender;

� Check Tenders for errors and omissions and by agreement with the Tenderer, amend a submitted Tender price or rate to remedy the effect of any errors or omissions in calculations of the Tender price or rate;

� Change its requirements under this Tender in response to external requirements for change; and

� Conduct competitive parallel negotiations with two or more short-listed Tenderers.

5.2 Confidentiality

All information contained in this Tender is provided by the RBGB. Any information issued by the RBGB or its Contact Person

as part of this process is to be regarded as commercial-in-confidence. Tenderers are subject to the conditions outlined in

the signed Deed of Confidentiality.

The RBGB will treat a Tender as commercial-in-confidence. Tenderers are advised, however, that the RBGB is subject to the

Freedom of Information Act 1982 and consequently is not able to provide an assurance that the contents of a Tender will be

kept confidential in all circumstances.

5.3 Conflict of Interest

Tenderers are required to identify any conflict of interest over the awarding of the Lease as specified in the Schedule of

Compliance Section 4, Tender Forms and Schedules.

If at any time during the Tender process or prior to entering into the Lease and Licence, an actual or potential conflict arises

for a Tenderer, that Tenderer shall immediately notify the Contact Person in writing.

The RBGB may at its discretion:

� Enter into discussions to seek to resolve such a conflict of interest;

� Disregard the Tender submitted by such a Tenderer; and

� Take any other action, as it considers appropriate.

5.4 Code of Conduct

Through the Code of Conduct, the RBGB aims to ensure that the Tender process is fair, equitable, unbiased and transparent.

Further, the documented process provides that all Tenderers, regardless of size and connections, receive the same level of

information and advice from the RBGB.

Non-adherence to this Code of Conduct will result in exclusion of Tenderers from the Tender process.

Supply all information that is true and accurate and complies with relevant laws.

Ensure that the same information is provided to all Tenderers.

Genuinely compete for the Lease and not collude in any respect with any person regarding any Tender submitted in response to the Tender.

Use as the primary assessment criteria the issues identified to all Tenderers.

Submit Tenders by the closing date and time. Ensure that all information from Tenderers is kept confidential, subject to the Freedom of Information Act 1982 Section 1.14

Not reproduce or use the information or Tender documents supplied by the RBGB for any purpose other than preparation of the Tender.

Not reimburse Tenderers for the costs associated with the preparation and submission of Tenders.

Not participate in the Tendering process unless they have the competence, ability and financial resources to professionally deliver the required services.

Not engage in practices that provide them with improper advantage.

5.5 Acknowledgement

In lodging its Tender, a Tenderer acknowledges that:

� The submission of a proposal does not give rise to any binding agreement between RBGB and the Tenderer;

� It relies entirely on its own enquiries and did not rely on any express or implied statement, warranty or representation; whether oral, written or otherwise, made by or on behalf of RBGB;

� All numbers and quantities referenced in the documentation are estimates only and are provided by RBGB as an indication of service requirements;

� This document is not exhaustive. RBGB gives no warranty as to its accuracy or completeness and cannot accept any liability for inaccuracies;

� The information contained in this Tender has not been independently verified and, to the extent permitted by law, RBGB and its directors, officers, advisers, employees and agents are not and will not be under any liability, whether arising from negligence or otherwise, for any representation contained in it or any omission from it or for any error, inaccuracy, incompleteness or other defect in the information it contains;

� It expressly waives any right to claim costs or to appeal against any decision by RBGB arising from the Tender process;

� It grants to RBGB a non-exclusive right to use and reproduce any information, processes, sketches, calculations, drawings, computer programs or other data embodied or contained in the response solely for the purpose of evaluating the response;

6 Relevant Lease Information

6.1 Summary of Lease Conditions

Menu � The Operator is required to offer a contemporary café menu for the full trading period.

� The menu should reflect environmental sustainability principles where relevant.

Music � There are restrictions on amplified music in the external licensed area during the Shakespeare Theatre program identified in Attachment 6 | Major Events, Garden Program and Holiday Schedule 2013/14.

Operating Hours � Restrictions relating to the liquor licence will be applicable.

Parking � 5 parking spaces will be provided for exclusive use by the Operator at RBGB’s discretion. RBGB provides no guarantee that on-site car parking will be provided for the term of the Lease.

RBGB Logo • RBGB Logo may not be used on uniforms or in venue marketing without the prior written consent of the RBGB.

Rent � Rent will be payable by equal calendar monthly instalments in advance.
