Luka Ashley Carter

Hereinafter referred to as the CONTRACTOR, confirming that s/he will perform the following services for PRODUCER:

Actor/Dancer

In the role of Lyle/Cowboy Bob for the production of Footloose

1. The CONTRACTOR shall receive a total of $200 for the scheduled run, payable within 14 business days of final performance.

6. The CONTRACTOR agrees that s/he is acting as an independent contractor for PRODUCER. Furthermore, the CONTRACTOR must report any earnings or monies earned in connection with said rehearsals and performances for Federal, State, local, or any taxing authority in accordance with the law. It is not the responsibility of PRODUCER to report said compensation on behalf of the CONTRACTOR unless payment made in any calendar year exceeds the minimum requirements for IRS Form 1099.

7. The CONTRACTOR is responsible to inform the PRODUCER of any medical conditions that may impair job performance. Otherwise, it is assumed by PRODUCER that CONTRACTOR agrees to and confirms he s/he is able to perform the physical requirements of the production contracted.

8. CONTRACTOR understands and agrees that PRODUCER is not responsible for CONTRACTOR’S medical, unemployment, or worker’s compensation insurance, thus releasing PRODUCER from any responsibility to the CONTRACTOR in this regard. CONTRACTOR understands and agrees that s/he is not treated as an employee and that this Independent Contractor agreement does not constitute nor guarantee an employment relationship.

9. If applicable, CONTRACTOR agrees to adhere to all rules and policies of PRODUCER, and attend and take full part in rehearsals, photo calls, costume fittings, public appearances, and performances.

10. CONTRACTOR agrees to make up to two (2) public appearances on behalf of PRODUCER, if requested. PRODUCER will make every effort to provide a minimum of 72 hours advance notice for the remaining appearance. In lieu of public appearances CONTRACTOR may choose to serve 4 hours of time building/painting the set, assisting with costumes, assisting with publicity or helping with load in/out.

11. Should the CONTRACTOR decide to terminate this contract, the PRODUCER requires at least four (4) weeks’ notice in writing, via REGISTERED MAIL. In such an event, the PRODUCER reserves the right to accept termination immediately upon receipt of notification. Termination shall take effect four (4) weeks postmarked date of such notice, or as soon as an acceptable replacement can be secured.

12. Should the CONTRACTOR decide to terminate this agreement, the PRODUCER reserves the right to charge an early termination fee (aka “back out fee”) to CONTRACTOR up to, but not exceeding the amount of payment for services as detailed in Paragraph 1 of this Letter of Agreement. THIS IS AT THE SOLE DISCRETION OF PRODUCER. Should CONTRACTOR be required to, but not pay the early termination fee, PRODUCER reserves the right to engage a third party collection agency, which any and all fees charged by any third party become the responsibility of CONTRACTOR. The PRODUCER agrees to release the CONTRACTOR from this contract, with no penalty, if the CONTRACTOR receives and presents proof that they have received an Equity contract that directly conflicts with the scheduled run of this production.

13. The PRODUCER reserves the right to cancel this contract with a two (2) week written notice for any reason deemed necessary in the course of business.

14. The CONTRACTOR agrees to work with the PRODUCER in maintaining the artistic integrity of the company.

15. The CONTRACTOR agrees to work with the PRODUCER in maintaining a professional work environment and in promoting a positive image of the company, within the organization and with the public.

16. The CONTRACTOR will be given a copy of the production schedule, including rehearsals and show times, not later than October 1st, 2015.

17. The CONTRACTOR will gain written (e-mail will suffice) approval for any excused rehearsal conflicts from the Stage Manager (with the Director’s approval), no later than October 18th, 2015. Any unexcused absences from a scheduled rehearsal will result in a $25 fine (deduction in pay) and excessive unexcused absences may lead to the part being recast (based on the judgement of the Director, Stage Manager and PRODUCER). Unexcused tardiness to a scheduled rehearsal will lead to a $5 fine (deduction in pay) excessive unexcused tardiness may lead to the part being recast (based on the judgement of the Director, Stage Manager and PRODUCER). Emergency situations may be deemed an excused conflict if the Director and Stage Manager agree and inform the CONTRACTOR in writing.

18. The PRODUCER will provide rehearsal materials not later than October 1st,, 2015.

19. The CONTRACTOR will have all of their assigned lines and lyrics memorized, not later than, October 19, 2015. Excessive missing of lines throughout the rehearsal process may result in a fine (deduction in pay), based on the judgement of the director and stage manager.

20. Upon termination of this Agreement, CONTRACTOR will deliver to PRODUCER any and all merchandise, devices, data, reports, lists, scripts, costumes, or any other document or property belonging to PRODUCER.

21. This Agreement and any attached Riders or Exhibits set forth the final, complete, and exclusive agreement and understanding between PRODUCER and CONTRACTOR relating to the subject matter hereof and supersedes all prior and contemporaneous understandings and agreements relating to its subject matter. Any change or changes in CONTRACTOR’S duties or compensation will not affect the validity of this Agreement.

22. If one or more of the provisions in this Agreement is deemed unenforceable by law, then the remaining provisions will continue in full force and effect.

23. This Agreement will be governed and construed according to the laws of the State of Ohio, excluding conflicts of laws of principal.

24. The CONTRACTOR acknowledges and agrees that s/he have provided any conflicts or issues that may in any way detract from or prevent CONTRACTOR from successfully attending all rehearsals and performances.

25. Should the CONTRACTOR commit a breach of this agreement, or any rules, policies, or regulations of Dare to Defy Productions, LLC, PRODUCER, shall be entitled to forthwith and without notices, terminate this Agreement.

26. Contract Pay amount is a negotiated amount agreed upon by the PRODUCER and CONTRACTOR and will remain confidential between the two parties.

27. RIDERS: None.
