    DECLARATION

    The U. P. Financial Corporation constitution under a statutory body incorporated under the State

    Financial Corporation Act No. 1, XIII having its Registered Office at 14/88, Civil Lines, Kanpur

    (hereinafter called the subject or context thereof mean and include its successors and assigns) and the

    company i.e. B C Real Estate Private Limited having office at 385, Kohat Enclave, Pitampura, Delhihaving agreed to establish an ESCROW ACCOUNT with its Bank for revenue collection and to give

    irrevocable instructions to such Bank to pay to the Corporation, amounts due but not paid by the

    company immediately on receipt of notice of payment from the corporation.

    The U.P. Financial Corporation has sanctioned a loan of Rs. 23,00,000.00 (Rs. twenty three lacs Only)

    vide sanction advice no 6851 dated 20th October, 2003 for a period of 4 years on interest of 15% (With

    12 months gestation period) payable on quarterly basis.

    The directors of the company in its meeting held on 20th day of November, 2003 has decided to open an

    ESCROE ACCOUNT in favor of corporation, and has also authorised the Bank to fulfill the obligations

    as per Irrevocable letter of Authority (Copy of the Board Resolution attached).

    That the company has opened an ESCROE ACCOUNT bearing no. with Punjab National Bank,

    Kaushambi, Ghaziabad. The said ESCROE ACCOUNT will be valid till such time that the loan taken by

    company from corporation alongwith interest and other liabilities is fully repaid.

    That the revenue of the company from the sale of flats shall be remitted to the above ESCROE

    ACCOUNT for collection of escrow on account no. with the Punjab National Bank, Kaushambi,

    Ghaziabad by means of transfer on any other mode of payment on a day to day basis. We undertake that

    the collections of any amount made by the company will deposited only in the above mentioned

    ESCROE ACCOUNT.

    That an Irrevocable letter of Authority in favor of the said bank duly executed by the company for the

    purpose of maintenance and operation of the said ESCROE ACCOUNT has been given to the said bank,

    a copy of which duly authenticated is annexed herewith and the Irrevocable letter of Authority so given

    shall from an integral part of this Declaration as if set with hereunder and shall be binding on the

    company.

    That the company shall not revoke or recall the said letter of authority given in favor of the said bank so

    long as any amount is due to the corporation towards principal of the loans with interest thereon and all

    cost and expenses therewith and so long as the corporation has not informed the company and the

    ESCROE ACCOUNT Bank in writing that all amounts have duly received by the corporation in period

    to the loan, interest, penal interest, costs and expenses.

    That company certifies that they will not avail any Overdraft/Cash Credit facility against this ESCROE

    ACCOUNT. Company also undertakes to create Ist charge of Corporation on this ESCROE ACCOUNT

    and to complete the formality in this regard including filing of requisite returns/formalities with registrar

    of companies.

    Till the entire loan amount along with interest thereon and any other related liability has been discharged

    fully, the company shall not been open any other account or establish any other mode for realization. In

    the event company intends to open any other mode for the purpose of collection of its

    revenues/realization other than as provided in the said irrevocable letter of its Authority, the company

    shall obtain prior consent of the corporation before opening any other account reestablishing any other

    mode for the purpose of collection its revenues/ realization. The company further undertakes to direct tothe bank to provide all information and/or statements etc. to corporation regarding operation, conduct

    and transaction of this ESCROE ACCOUNT as may be required by corporation from time to time.

    That the corporation shall without prejudice to its other rights and remedies be entitled to recall the loan

    covered under the Memorandum of Agreement at any time before the due dated for repayment thereof,

    if the company fail to fulfill its obligations under this declaration or any other documents executed in

    connection with the loan and/or in the event of its committing a breach of any of the terms thereof.
