PART I: DISCLAIMER

This RFP is issued by the Punjab State Agricultural Marketing Board (“Punjab Mandi Board”), and represents an invitation for interested eligible parties to submit their proposals for selection of Service Provider for Designing, Developing, Implementing, Operating & Maintaining an End-To-End EPG solution & an End-To-End E-Auction Platform. It is hereby clarified that this RFP is not an agreement and is not an offer or invitation by Punjab Mandi Board to any particular party but is issued to the prospective Bidder in general to respond under the terms mentioned in the RFP. The purpose of this RFP is to provide the Bidder with information to assist in the formulation of their Bid pursuant to the RFP. This RFP includes statements, which reflect various assumptions and assessments arrived at by Punjab Mandi Board in relation to the Project. Such assumptions, assessments and statements do not purport to contain all the information that each Bidder may require. The assumptions, assessments, statements and information contained in the RFP Documents, may not be complete, accurate, adequate or correct. This RFP document does not purport to contain all the information that Bidders may require. This RFP document may not be appropriate for all Bidder, and it is not possible for Punjab Mandi Board, to consider the investment objectives, financial situation and particular needs of each Bidder who reads or uses this RFP. Each Bidder should conduct its own investigation and analysis, and should check the accuracy, adequacy, correctness, reliability and completeness of information in this RFP document and obtain independent advice from appropriate sources. Each Bidder shall also review laws applicable to the Project so as to determine the impact of such laws on the implementation of the Project. Punjab Mandi Board may in its absolute discretion, but without being under any obligation to do so, update, amend or supplement the information in this RFP document and make this update or amendment available in the same manner as this RFP. Punjab Mandi Board shall have right to alter, amend, and/or change its schedule at any point of time, whether the selection procedure has been initiated or not, and Punjab Mandi Board shall have right to decline to discuss the process further with any party submitting the proposal. Information provided in this RFP to the Bidder is on a wide range of matters, some of which may depend upon interpretation of law. The information given is not intended to be an exhaustive account of statutory requirements and should not be regarded as a complete or authoritative statement of law. Punjab Mandi Board accepts no responsibility for the accuracy or otherwise for any interpretation or opinion on law expressed herein. The issue of this RFP does not imply that Punjab Mandi Board is bound to select a Bidder or to appoint the Successful Bidder for the Project and Punjab Mandi Board reserves the right to reject all or any of the Bidders or Bids without assigning any reason whatsoever. The Bidder shall bear all its costs associated with or relating to the preparation and submission of its Bid including but not limited to preparation, copying, postage, delivery fees, expenses associated with any demonstrations or presentations which may be required by Punjab Mandi Board or any other costs incurred in connection with or relating to its Bid. All such costs and expenses will remain with the Bidder and Punjab Mandi Board shall not be liable in any manner whatsoever for the same or for any other costs or other expenses incurred by a Bidder in preparation or submission of the Bid, regardless of the conduct or outcome of the Bid Process. No reimbursement of cost of any type shall be made to any person or entity submitting the Bid.

PART II : NOTICE - REQUEST FOR PROPOSAL

Dated: 03-02-2020 Punjab Mandi Board intends to appoint Bank/s to Design, Develop, Implement, Operate & Maintainan End-To-End EPG solution & an End-To-End E-Auction Platform. For this purpose, bids are invited through one-bid system on terms of the RFP. The RFP documents shall be available from 03.02.2020. The Last date of Bid submission is 03:00 pm on 17.02.2020. Secretary, Punjab Mandi Board reserves the right to accept or reject any application and to annul the selection process at any time, without incurring any liability and without assigning any reason thereof. Bidders shall visit website http://mandiboard.nic.in & https://emandikaran-pb.in for information, addendum, replies to queries and other details on regular basis till the time of submission of Bids.

PART III: DEFINITIONS, ABBREVIATIONS& IMPORTANT DATES

1. Authorized Signatory: means the person authorised by the Bidder Company that must be accompanied by a

Power of Attorney and a Board Resolution in favour of the person vesting power to the person signing the Bid. 2. BID: means the proposals submitted by the Bidder in response to this RFP. 3. Bidder: means any company, which submits a Bid under this RFP and also include Successful Bidder who is

shortlisted for EPG and/or EAP solution by Punjab Mandi Board. 4. EAP: means an Electronic Auction Platform for sale by e-auction of Punjab Mandi Board properties including

electronic registration of bidders/participants, receipt of EMDs, fee etc from the participants for such e-auctions and the conduct of the e-auction procedures.

5. EAP Solution: means an end to end EAP Solution including but not limited to software, certifications, licences, manuals and other related material.

6. EPG: means an Electronic Payment Gateway for facilitating licensees/ customers/ consumers/ citizens and other businesses establishments for making payment of fees, taxes, bills and other payments over Internet for Online & Offline transactions through Credit/Debit/Prepaid card (Visa/ Mastercard/ Rupay/ Amex)/Internet Banking/Mobile Banking/Wallet /IMPS/ UPI/ Cash Challan/ NEFT Challan etc to Punjab Mandi Board or Rural Development Board and any other modalities as shall be detailed from time to time by Punjab Mandi Board.

7. EPG Solution: means an end to end EPG Solution including but not limited to software, certifications, licences, manuals and other related material.

8. Go Live date: means the date of successful integration of EAP/EPG with IMS after completion of all audits and test and security runs.

9. IMS: means the Integrated Management Solution a software developed by We Excel Softwares Private Limited for use by Punjab Mandi Board

10. NEFT: mean the National Electronic Funds Transfer National, a nation-wide payment system facilitating one-to-one funds transfer wherein individuals, firms and corporates can electronically transfer funds from any bank account to any individual, firm or corporate having an account with any other bank branch in the country participating in the Scheme; more appropriately as defined by the Reserve Bank of India.

11. NPCI: means the National Payments Corporation of India is an umbrella organisation for operating retail payments and settlement systems in India, is an initiative of Reserve Bank of India (RBI) and Indian Banks’ Association under the provisions of the Payment and Settlement Systems Act, 2007, for creating a robust Payment & Settlement Infrastructure in India.

12. LoI: means the Letter of Intent to be issued by Punjab Mandi Board following selection of the Bidder 13. NMAS: National Merchant Alert System 14. OEM: Original Equipment Manufacturer 15. Punjab Mandi Board: means the Punjab State Agricultural Marketing Board including Market Committees

having its office at Punjab Mandi Bhawan, Sector 65A, S.A.S Nagar, (Mohali) 160062, which expression shall, unless repugnant or contrary to the context thereof, be deemed to mean and include its successors and permitted assigns and all market committees in the State.

16. RFP: means this Request for Proposal (Interalia the term “Tender”) along with Annexures. 17. RTGS: means the Real Time Gross Settlement, a nation-wide payment system facilitating continuous and real-

time settlement of fund-transfers, individually on a transaction by transaction basis (without netting). 'Real Time' means the processing of instructions at the time they are received; 'Gross Settlement' means that the settlement of funds transfer instructions occurs individually; more appropriately as defined by the Reserve Bank of India

18. Service Provider: means respondent to the RFP document also abbreviated as “Bidder" under this RFP. 19. T+1: means Transaction + I day, where T is the date of collection of funds, T+1 = next day. In case ‘T’ is Saturday

then bidder shall have to necessarily debit the user’s/ consumer’s account and credit to the Punjab Mandi Board’s designated accounts on T+2. In case, the next day is a holiday as notified by RBI/ Bank Holiday for the purpose of electronic settlement/ transfer of funds, then next working day shall be considered.

PART IV: INSTRUCTIONS TO BIDDERS

1. INTRODUCTION Punjab State Agricultural Marketing Board was established on 26th May, 1961 under the Punjab Agricultural Produce Markets Act, 1961 with an objective to control and supervise the marketing network of sale, purchase, storage and processing of processed or non-processed agricultural produce specified in the schedule to this Act. There are 154 Agricultural Produce Market Committees in the State established under the Act. There is one principal market yard, one or more Sub Market Yards and seasonal purchase centres in a notified market area. During the marketing season Rabi and Kharif about 1590 and 1514 purchase centres are established apart from the main Principal Market Yards and sub market yards which facilitate the farmer to sell his produce within the radius of six to eight kilometres. Punjab Mandi Board exercises superintendence and control over the APMC’s. Under the 1961 Act, Punjab Mandi Board Charges licence fee and market fee for sale and purchase of agriculture produce in the Mandis. The EPG shall ensure that licensees/ customers/ consumers/ allottees and other businesses establishments are able to make payment to Punjab Mandi Board, Market Committees and Rural Development Board for the fees, taxes, bills, instalment amount, fines, penalties and other payments over Internet for Online & Offline transactions on real-time basis. Currently, Punjab Mandi Board has a land bank of about 12000 plots to auction in coming times. The last 5 years receipt for auction is as follows :-

2. INTERPRETATIONS AND QUERIES 2.1 Though sufficient care has been taken in the preparation of the RFP with an endeavour to provide all

required information to the potential Bidders, Punjab Mandi Board will not be held responsible for any inadequacy/ insufficiency in the information provided herein.

2.2 Punjab Mandi Board acknowledges the fact that the potential Bidders may require additional clarifications and more information than what has been provided in this document. Accordingly, in such cases, the potential Bidder(s) may seek additional information/clarification required from Punjab Mandi Board by adhering to the timelines mentioned in the RFP. Punjab Mandi Board reserves the right to provide such additional information/ clarification at its sole discretion, either on one to one basis to the Bidder or clarify it to all the potential Bidders as it may deem fit.

2.3 Punjab Mandi Board makes no representation or warranty and shall incur no liability, whatsoever, under any law, statute, rules or regulations on any claim by any Bidder or if any potential Bidder makes in case of failure to understand the requirement and respond to the RFP.

2.4 If there are conflicting points in this RFP, the Punjab Mandi Board reserves the right to take a position on the conflicting issue which will be binding on the Bidder any time during the period of contract and no appeal will be entertained in this regard.

2.5 The Punjab Mandi Board will publish changes (if any) to the RFP on Punjab Mandi Board’s websites “http://mandiboard.nic.in” and or “https://emandikaran-pb.in”.

2.6 Only 1 bid per Bank is permitted. Multiple bids shall be automatically disqualified. 2.7 By responding to this RFP, the Bidder is deemed to have accepted the terms & conditions as stated in

this RFP.

3. OBJECTIVE 3.1 The Punjab Mandi Board has adopted Information and Communication Technology by way of

implementing IMS in the organisation with the aim to improving the delivery of various services and simplifying the process of accessing them and integrating them into a collective vision.

3.2 Now, Punjab Mandi Board is seeking to utilize modern electronic and automated banking options at the lowest reasonable cost competitive proposals for a: 3.2.1 End to end seamless EPG solution and Mobile POS Application & Mobile POS devices for

Enabling its licensees/customers/consumers/allottees and other businesses establishments to make payment to Punjab Mandi Board and Rural Development Board for the fees, taxes, bills, instalment amount, fines, penalties and other payments over Internet for Online & Offline transactions on real-time basis. It is the Punjab Mandi Board's goal to receive accurate, timely depository and account maintenance services. The amount collected using this solution will be deposited into accounts with various Banks on the directions of Punjab Mandi Board / Rural Development Fund.

3.2.2 End to end seamless EAP solution. It is the Punjab Mandi Board's aim to sell, by way of a transparent and efficient mechanism, e-auction of Punjab Mandi Board properties.

3.3 Through this RFP Punjab Mandi Board intends to select : 3.3.1 One or more EPG service providers; and 3.3.2 One EAP service provider

4. THE BID 4.1 The bid/offer under this RFP shall be of 1 part only and must be submitted complete in all aspects, in

an envelope that should be securely sealed and stamped. 4.2 The bids will be written in indelible ink/neatly typed and shall be signed by the Bidder or his/their

authorized representative. 4.3 The Bidder are invited to bid for both (EPG and EAP) or for one (EPG/EAP) solutions. 4.4 Punjab Mandi Board reserves the right to accept or reject any or all bids, to take exception to these

RFP specifications or to waive any formalities. Bidder may be excluded from further consideration for failure to fully comply with the specifications of this RFP. Punjab Mandi Board is under no obligation to acquire any or all of the services proposed or to explain why any proposal is accepted or rejected.

4.5 The offer must be submitted in person by posting the bid into a sealed box. 4.6 Bid received after the specified date and time will be rejected. All supporting documentation

submitted with this proposal shall become the property of Punjab Mandi Board. 4.7 The successful Bidder shall on demand furnish details of all the licenses of all the software used/

supplied by the Bidder, along with a certificate of authenticity from concerned Original Equipment Manufacturers along with any other documents sought by Punjab Mandi Board.

5. ELIGIBILITY 5.1 This Bid is open to the banks empanelled, till date, by the Department of Finance, GoP, vide letters

no TA/ DDI/ D-2/ 2019/ 3618-19 dated 06-05-2019 and T&A/ DDI/ D-2/ 2019/ 10127-31 dated 21-11-

2019 and banks from whom Punjab Mandi Board and/ or Rural Development Board is currently availing loan facility. The RFP is for the following banks to submit their Bid:

5.2 The Bidder must never have been blacklisted/ barred for any binning process by any regulated or

statutory body or any PSU or any Company.

6. BIDDER RESPONSIBILITY 6.1 The Bidder shall be responsible for Designing, Developing, Implementing, Operating & Maintaining

the uninterrupted operations of EAP and/or EGP to the best industry practices and standards. The solution must be upgradable in keeping with futuristic requirement and available technology, strictly in terms of the guidelines of regulatory authorities and best industry practices.

6.2 The Bidder must ensure that they possess the necessary expertise, prior & current experience*, required infrastructure and also has all the wherewithal such as but not limited to the requisite permission/license for the equipment/software and for undertaking such activity. *as a part of the experience (past and present), (a) the Bidder shall certify no of MPOS devices deployed by it in any state in India for a government to citizen project (b) the Bidder shall certify as to the number of governments semi government departments in Punjab and outside Punjab wherein the Bidder/its Associate in this BID has successfully executed EAP solution and EPG solution in the last 3 years.

7. SCOPE OF WORK AND SERVICES 7.1 The EPG and EAP Solution should be easy to use, agile, customisable, scalable and flexible, with day

to day operations on 24*7 basis and compliant with best industry and regulatory standards including any other requirement in future mandated by Government of India, Government of Punjab, Reserve Bank of India or any other Government/ Semi Government regulatory authority.

7.2 The EPG Solution should give a convenient access via web Interface to various reports on billers/ settlement/reconciliation/reversals/refunds/usage/charge back claims/transaction status /summary etc. and interface for parameterization, monitor, control, etc. should be the feature of the solution.

7.3 The EPG Solution should be capable of facilitating best industry practices for security features such as Verified by Visa, Master Card Secure Code, Pay Secure, OTP etc. and as per the guidelines issued from time to time by regulatory bodies and interchanges etc.

7.4 The EPG Solution should accept CVV fraud checking for card payments. This checking will help to identify and reduce the impact of fraudulent transactions. The Payment Gateway should also support paperless Direct Debit set-up and draw down.

7.5 The EPG and EAP Solution must have real time robust Fraud Risk Management Monitoring Solution with capabilities not limited to the following:

a) Transactions monitoring in Real time through an automated rule engine.

b) Alert Management team with 24*7 presences.

c) Capability to hold the payments in case of suspicion.

d) Expertise in creation of rules and implementing the same with minimum false positive ratios. e) Capability to give various velocity checks in terms of no of transaction, per day limits etc.

7.6 The EAP Solution shall must be able to (a) provide for payment of EMD, Tender Cost and any other fee/charges through Punjab Mandi Board EPG solution able to integrate with the existing IMS of

Punjab Mandi Board. Punjab Mandi Board can add new services from various departments at any point in time and The Bidder is obligate to do so without any cost to PMB.

7.7 The Bidders shall ensure that the EPG and EAP Solution shall be android and iPhone friendly with all requisite certifications currently or in future mandated by Government of India, Government of Punjab and Reserve Bank of India or any other Government/ Semi Government Authority.

7.8 The Bidder shall provide technical help as and when required for integrating the EPG and EAP Solution with the Punjab Mandi Board’s IMS.

7.9 The support from the Bidder shall include but not limited to backend services of settlement, reconciliation, management, authorization, dispute resolution, charge back settlements, Refunds/ Reversals, query resolution, Dash Board/ Reports etc.

7.10 Overall responsibility for quality of the project including all Bidder deliverables and interactions with Punjab Mandi Board shall be that of the Bidder during all phases.

7.11 The Bidder shall constitute a project management team within one week of acceptance of LoI to work with Punjab Mandi Board Project team

7.12 The Bidder shall provide a web interface to Punjab Mandi Board to view the Dash Board, collections, reports/data on various parameters, query, settlement of the daily transactions etc.,

7.13 The Bidder should provide for safe keeping of the transaction records and logs created on daily basis. 7.14 The Bidder shall undertake daily Reconciliation of the Transactions and provide reports of

Reconciled/ Unreconciled/ exception transactions to Punjab Mandi Board. The Settlement Reports with Reconciliation reports should be provided to Punjab Mandi Board on a daily basis through Mail/Web interface.

7.15 The Bidder should support session time outs, connection time outs, account locking after number of failed attempts etc. and any other requirement following best industry practices.

7.16 The Bidder shall ensure clearance of relevant certifications (application audit etc.) at its own cost. This includes re-audit (if required) and updation of application, hence it is recommended that bidder should develop application in consideration of rules defined by Government of India, Government of Punjab, RBI or any other government authority for mandated security measures

7.17 The Bidder shall warrant that the overall solution (EAP & EPG) supplied has no defects arising from design or workmanship or any act or omission of the service provider. The warranty shall remain valid for the term of the contract.

7.18 The Bidder shall comply with best industry standard not limited to security, without any additional cost to Punjab Mandi Board

7.19 The Bidder will be responsible for first level of customer service and provide 24X7 operational services and helpdesk

7.20 The Biddershall maintain the system performance standard as per the best industry standards.

7.21 The Bidder shall provide all 3rd

party hardware, software and secure network infrastructure required for the project at no cost to Punjab Mandi Board.

7.22 The Bidder shall provide any other facility not mentioned above but related to project at no cost to Punjab Mandi Board.

7.23 The Bidder shall take up customisation of the MIS/reports daily/weekly/monthly/quarterly/ half yearly/yearly as per the requirement of Punjab Mandi Board.

7.24 The Bidder shall have DRS facility for the entire Infrastructure with minimum fail time switch over and located on different latitudes.

7.25 The Bidder should be able to post real time response on the Punjab Mandi Board Server 7.26 The Bidder should be able to undertake transaction level risk monitoring with velocity checks and IP

Tracking 7.27 The Bidder shall prepare and update on regular basis the user manual/operation manual including

risk guidelines for Punjab Mandi Board. 7.28 The Bidder shall provide operational support and maintenance services for the solution provided for

payment gateway, mobile application, e-Auction and MPOS within a stipulated time period. 7.29 The Bidder shall ensure that appropriate security measures are put in place to protect EPG and EAP

internal systems from intrusions and other attacks while conducting e-payment transactions, whether internal or external, e.g., message interception, tampering, redirection, repudiation etc.

Proposer shall ensure compliance with national and international information security standards and best practices

7.30 The Bidder must be able to provide following services: Online Payment Gateways services not limited to covering acceptance of 7.30.1 Credit Cards (all card), 7.30.2 Debit Cards (all cards), 7.30.3 Prepaid Cards 7.30.4 Internet Banking/Mobile Banking covering at least forty five (45) banks (Retail Accounts) 7.30.5 Cash Cards/Wallets 7.30.6 UPI/BHIM /Bharat Bill pay 7.30.7 Bharat QR Code 7.30.8 Aadhar-Based Payments 7.30.9 RTGS/NEFT/Cash Challans, etc.

7.31 The Bidder shall have to integrate its EPG and /or EAP solution with the existing IMS of Punjab Mandi Board.

7.32 The website of Punjab Mandi Board (or any other site or interface as directed by Punjab Mandi Board) would facilitate e-payment by providing redirection to end users following best industry practices.

7.33 The EGP should be compatible with web and smart device like mobile/tablet etc. 7.34 Administrator access should be provided to the designated Punjab Mandi Board personnel for

viewing information on all kinds of payments and relevant MIS reports.The reports shall be furnished in mutually agreed formats including soft copies of the reports at no cost to Punjab Mandi Board.

7.35 Mobile POS Application & Mobile POS device: 7.35.1 Punjab Mandi Board shall be prioritising all transfers/ receipts of all its collections to be

through the payment gateway. However, given the IT awareness etc, Punjab Mandi Board may need to provide additional facility for collections of its fee/ receipts through POS machines at various locations in the states (about 300 machines for the State).

7.35.2 The bidder shall provide and install where required by Punjab Mandi Board, MPOS machines with the following conditions/ specifications and configurations-: a) certified Mobile POS Application (PCI DSS Certified), and Mobile POS Device (PCI PTS

Certified, EMV L1 & L2 & L0) in all the APMC at 0, (zero) cost to Punjab Mandi Board/Market Committees (about 300 in no.).

b) Mobile POS application that can work with Mobile POS device and also facilitate transactions by working in a standalone manner as well.

c) the provision of collection of all modes of payment such as Credit Card, Debit Card, SMS Pay, Net Banking, UPI and Cash /Cheque recording.

d) Provision of dispensing Digital Charge slips – Paperless “Go Green” charge slips sent via SMS and email to citizens.

e) able to provide web portal/ integrate with existing portal to monitor real time transactions, real time data dashboard and visual dashboards.

f) able to provide customized reports as per the requirements of Punjab Mandi Board. Reports should be available on e-mail, Visual Portal with download functionality and via SFTP.

g) able to do Deep Integration with Punjab Mandi Board APIs for fetching real time data of tax amount due, amount payable details and also post on a real time back to the server.

h) With MPOS Application should be scalable with uptime of more than 99% 7.36 The Bidder shall provide training to end user/staff of Punjab Mandi Board as necessary to achieve

project objectives. 7.37 For auction related EMDs and other auction related receipts received, the amount shall be held with

the Selected Bidder providing the EAP Solution and follow all extant rules and industry best practices. 7.38 For all receipts other than auction related, received through EPG solution, the Service Provider shall

have to necessarily debit the user/consumer’s account and credit to Punjab Mandi Board’s designated accounts on at the latest on T+1 period basis.

7.39 The Bidder shall quote its fee, charges, costs etc for the EPG and EAP Solution provider as detailed in Annexure 3 & 4. There shall be absolutely no charges levied on Punjab Mandi Board or any person or entity other than those charges detailed in the Bid unless permitted in writing by Punjab Mandi Board.

7.40 The Bidder shall implement all guidelines/requirements issued from time to time by Government of India, Government of Punjab, Reserve Bank of India or any other Government/ Semi Government regulatory Authority etc at no extra cost to Punjab Mandi Board

8. COST OF BIDDING: The Bidder shall bear all the costs associated with the preparation & submission of bid and in no case Punjab Mandi Board shall be responsible or liable for these costs, regardless of the conduct or outcome of the bidding process.

9. BIDDING DOCUMENT: The Bidder is expected to examine all instructions, forms, Terms & Conditions and technical specifications in the Bidding Documents. Failure to furnish all information required by the Bidding Documents or Submission of a bid, not substantially responsive to the Bidding Documents in every aspect will be at the Bidder’s risk and may result in the rejection of its bid without any further reference to the Bidder. The Bidders should strictly submit the bid as per RFP, failing which the bid will be rejected as non-responsive.

10. MODIFICATION AND/ OR WITHDRAWAL OF BIDS: Bids once submitted will be treated, as final and no modification will be permitted. No correspondence in this regard will be entertained. No Bidder shall be allowed to withdraw the bid after the deadline for submission of bids.

11. BID OPENING AND EVALUATION 11.1 The Bids Proposal shall be opened in the presence of the Bidder’s representative as per schedule

detailed above. 11.2 Bidder’s representative may be present in the place and venue well in time along with an

authorization letter & KYC document in hand for bid opening under this RFP, as per the format enclosed. Note: Authorization letter should be carried in person and shall not be placed inside any of the bid covers. If any of the Bidders or all Bidders who submitted the tender are not present during the specified date, time and venue of opening, the bids shall be opened in their absence.

11.3 The bid not conforming to the terms and conditions of bid document will be liable to be rejected. 11.4 If there is discrepancy between words and figures, the amount in the words will prevail. 11.5 Punjab Mandi Board may, at its discretion, waive any minor irregularity in a bid without any

reference to the Bidder or his/their representatives. 11.6 To assist in the examination, evaluation and comparison of the bids received, the Punjab Mandi

Board may, at its discretion, seek clarification(s) from the Bidders. No change/modification in the price or substance of the bid shall be sought, offered or permitted.

11.7 Evaluation Criteria for deciding the eligible Bidders (L-1, L-2, L-3 and so on): 11.7.1 The Bidder who gets the highest score as detailed in Annex 3 & 4 shall be the L-1 Bidder and

Second highest score shall be the L-2 Bidder and so on. 11.7.2 For EPG, a committee of officers appointed by Punjab Mandi Board will review the

presentation of the product and award marks out of 20 marks. The committee may or may not call the representatives of Bidders during evaluation. The decision of the committee shall be final and acceptable to all. The order of selection shall be L1, L2, L3 ………….. as the case may be.

11.7.3 For EAP, a committee of officers appointed by Punjab Mandi Board will review the presentation of the product and award marks out of 20 marks. The committee may or may not call the representatives of Bidders during evaluation. The decision of the committee shall be final and acceptable to all. The order of selection shall be L1.

12. LATE BIDS: Any bid received after the deadline will be rejected.

13. PERIOD OF VALIDITY: Bids shall remain valid for a period of 6 months from the date of bid opening. A bid valid for shorter period shall be rejected as non-responsive.

14. BID CURRENCY: The Prices in the bid document shall be expressed in Indian Rupees (INR) only.

15. RIGHT TO ACCEPT OR REJECT ANY BID OR ALL BIDS : 15.1 Punjab Mandi Board reserves the right to accept or reject any bid or annul the bidding process or

even reject all bids at any time prior to award of contract, without thereby incurring any liability to the affected Bidder or Bidders or without any obligation to inform the affected Bidder or Bidders about the grounds or reasons for the Punjab Mandi Board’s action.

15.2 Punjab Mandi Board reserves the right to accept or reject any technology proposed by the Bidder. 15.3 Punjab Mandi Board reserves the right to verify and/ or to evaluate the claims made under eligibility

criteria and any decision in this regard shall be final, conclusive and binding upon the Proposer. 15.4 If at a later stage it is found that Bidder has provided false information or has wrongly certified the

conditions stated in the eligibility criteria the Proposer shall be liable for legal action and/or cancellation of contract.

16. ACCEPTANCE OF OFFER LETTER BY THE BIDDER 16.1 On receipt of the LoI, the Successful Bidder is required to submit his acceptance within 3 days. 16.2 If acceptance to LoI is not received within due time, the Bid is liable to be rejected.

17. INSURANCE: The Service Provider is required to take adequate insurance cover against all kinds of risks

including fidelity clause for the loss arising from acts of omission/ commission/ dishonesty of its employees and/ or agents and/ or associate and would be required to keep the insurance policy alive at all times during the currency of the agreement.

18. PERFORMANCE OF BANK GUARANTEE (PBG) 18.1 The Successful Bidder for the EPG solution shall be required to submit a PBG of Rs 20 Lakhs (Twenty

Lacs) payable at Mohali to Punjab Mandi Board for an initial period of 36 months with claim period of 12 months and extended as per increase in the term of the contract, indemnifying any loss to Punjab Mandi Board. The PBG shall be provided with 30 days of the acceptance of LoI by the Successful Bidder. Punjab Mandi Board has the right to invoke the PBG for any non-compliance of the terms & conditions in terms of this RFP at any point of time. The format is as per Annexure 5.

18.2 The Successful Bidder for the EAP solution shall be required to submit a PBG from a different bank other than the bidder for Rs 5 Lakhs (Five Lacs) payable at Mohali to Punjab Mandi Board for an initial period of 36 months with claim period of 12 months and extended as per increase in the term of the contract, indemnifying any loss to Punjab Mandi Board. The PBG shall be provided with 30 days of the acceptance of LoI by the Successful Bidder. Punjab Mandi Board has the right to invoke the PBG for any non-compliance of the terms & conditions in terms of this RFP at any point of time. The format is as per Annexure 6.

18.3 The Successful Bidder shall not be entitled to seek any deviation, modification or amendment in the format of the PBG provided in Annexure 5 and Annex 6.

19. TERMS, TERMINATION OF CONTRACT AND BLACKLISTING 19.1 The Successful Bidder (hereinafter referred to as Bidder) shall be required to enter into a SLA with

Punjab Mandi Board, within 7 days of the acceptance of order within such extended period as may be specified by Punjab Mandi Board.

19.2 The term for the contract with the Bidder shall be valid for three (3) years from the Go Live date with Punjab Mandi Board having the right to extend it on the same terms and conditions on a year to year basis or unless terminated as set forth herein.

19.3 If at any time performance of solution dips in any way e.g. consistently <99% availability of solution, failure to produce desired reports etc., Punjab Mandi Board has right to terminate contract, revoke the Performance Bank Guarantee and blacklist the Bidder.

19.4 Any deficiency / interruption in performing the obligation by the Successful Bidder will result in imposition of liquidated damages as specified in RFP. Continuous delay or persistent deficiency in performance may also result in termination of the Contract any time before the completion of term of the contract. Punjab Mandi Board also has a right to terminate the license anytime during the

contract period without assigning any reason thereof. Punjab Mandi Board will however exercise the right of termination on account of deficiency in services of performance or otherwise without assigning any reason thereof, only after giving the supplier a three month written notice.

19.5 If the Bidder is unable to improve services/performance to the satisfaction of Punjab Mandi Board within the notice period, the contract may be terminated after completion of the notice period. Upon termination of the license, Punjab Mandi Board may recover losses incurred by it on account of non-performance by the Bidder and the proportionate Total Cost of Ownership (TCO) for the remainder of contract period may be recovered by Punjab Mandi Board by invocation of and from the proceeds of Performance.

19.6 In case, the amount of Performance Bank Guarantee is not sufficient to meet the recoverable amount, then Punjab Mandi Board shall recover the same through arbitration/other options available to Punjab Mandi Board.

19.7 Above provisions shall also be made applicable in case of the successful Bidder abandoning the Project mid-term due to any reason after entering into the Contract with Punjab Mandi Board.

19.8 Any termination of the contract from Punjab Mandi Board's side will be accompanied by a de-facto blacklisting of the Bidder and revocation of Performance Bank Guarantee unless specifically clarified by Punjab Mandi Board.

19.9 Punjab Mandi Board reserves the right to inspect all installation/s or call for any record while evaluating the Bid if required by its officers or through appointment of external agencies/auditors.

19.10 On giving notice in writing, Punjab Mandi Board can terminate this contract,in the event of Bidder having been adjudged insolvent or is going into liquidation or is winding up their business or is making arrangements with their creditors.

19.11 The Bidder shall keep the Punjab Mandi Board indemnified at all times during the contract and during the pending of any litigations beyond the terms of the contract. Punjab Mandi Board reserves the right to settle any litigation pertaining to the EGP and EAP at any stage without notice to the Bidder and the Bidder shall indemnify Punjab Mandi Board for such settlement costs incurred.

19.12 In the case of termination of contract by Punjab Mandi Board,without prejudice to other rights and remedies, forthwith and to engage any other Bank to undertake the services, if there are any damages, losses, charges, expenses or costs that may be suffered or incurred by Punjab Mandi Board due to Bidder's negligence or unethical performance of any of the services under the contract, will be charged from Bidder and to blacklist Bidder

20. DELIVERY PERIOD: The Go Live shall be within three (3) months of the LoI unless extended by Punjab Mandi Board.

21. FLOW OF FUNDS 21.1 For EPG, the funds received through the gateway shall on a real time basis and no later than T+!,

shall then be transferred without a cost to Punjab Mandi Board account/s as directed from time to time.

21.2 For the EAP, the total amount (i.e. Tender Fee + EMD) will be collected in the Escrow account of Punjab Mandi Board will remain in the account till the tender opening date. Once the tender is opened, the tender fees will move to separate savings account of department. Post evaluation of tender EMD of successful Bidders will be moved from Escrow Account to the designated account of department and EMD of unsuccessful Bidders are refunded back to Bidders from the Escrow Account of department as per instructions of Punjab Mandi Board. The modalities/ procedure are subject to unilateral review by PMB.

22. CONTACTING PUNJAB MANDI BOARD 22.1 The Bidder understands that Punjab Mandi Board and its officials are bound by guidelines of

governance and transparency in processes. 22.2 Punjab Mandi Board has undertaken the RFP process to ensure that there is transparency and

fairness in the process of selection of suitable Bidders and Punjab Mandi Board and citizens get the best possible support and service.

22.3 Any effort by a Bidder to influence the Punjab Mandi Board in evaluation of the bid, bid comparison or contract award decision may result in the rejection of the Bidders’ bid. Punjab Mandi Board’s decision will be final and without prejudice and will be binding on all parties. Therefore from the time the Proposals are opened to the time the Bidders are shortlisted, the Bidder should not contact the Punjab Mandi Board or any officials of Punjab Mandi Board on any matter, except to seek clarifications or respond to the queries of the Punjab Mandi Board in writing or email. Any effort by Bidders to influence Punjab Mandi Board in the examination, evaluation, ranking of proposals, and recommendation for award shall result in the rejection of the Bidders’ Proposal.

23. GOVERNING LAW AND DISPUTES 23.1 Resolution of Disputes: All disputes and controversies with the Bidding Process shall be governed by,

and construed in accordance with, the laws of India and the Courts at Chandigarh shall have exclusive jurisdiction over all disputes arising under, pursuant to and/ or in connection with the RFP/Bidding Process.

23.2 Arbitration: All disputed that may arise between the parties hereto relating to these presents shall be resolved amicably between the parties through negotiation and conciliation failing which they shall be settled by arbitration in accordance with the provisions of the Arbitration and Conciliation Act,1996. The parties shall appoint one arbitrator each and the third arbitrator shall be appointed by the two arbitrators. The place of arbitration shall be Chandigarh and the language of arbitration shall be English. The award of arbitrator shall be final and conclusive and binding upon the parties. The cost of arbitration shall be borne by the parties equally.

24. LIQUIDATE DAMAGES 24.1 Any loss caused to Punjab Mandi Board or claims made against Punjab Mandi Board owing to non-

performance of the service provider as per the SLA, or non-compliance of regulatory guidelines, will attract liquidated damages to the extent of the claim made against Punjab Mandi Board. The Bidder shall clear the dues within 15 days of the notice without set off.

24.2 Any financial loss to Punjab Mandi Board on account of fraud/data breach/loss/damage taking place due to the Bidder, its employees or their service providers negligence shall be recoverable from the Bidder along with damages if any with regard to Punjab Mandi Board's reputation and goodwill. Without prejudice to charging of penalty, besides initiating legal action for recovery of damages, Punjab Mandi Board has right to cancel the order in case delivery/services are not effected within stipulated time schedule.

25. FORCE MAJEURE: Notwithstanding the above provisions, the Successful Bidder shall not be liable for termination on account of default if and to the extent that the delay or failure to perform its obligations under the Contract is the result of an event of Force Majeure. For purposes of this clause, "Force Majeure" means an event beyond the control of the Bidder and not involving the Bidder's fault or negligence and not foreseeable. Such events may include, but are not restricted to, wars or revolutions and epidemics. If a Force Majeure situation arises, the Bidder shall promptly notify Punjab Mandi Board in writing of such condition and the cause thereof. Unless otherwise directed by Punjab Mandi Board in writing, the Bidder shall continue to perform its obligations under the Contract as far as is reasonably practical, and shall seek all reasonable alternative means of performance not prevented by the Force Majeure event.

26. INSPECTION AND AUDIT OF THE SERVICES 26.1 The Selected Bidders shall provide unrestricted access to its premises and records being maintained

with regard to the job being performed as per its contract with Punjab Mandi Board, to the authorized personnel of Punjab Mandi Board / its auditors (internal and external)/ any statutory / regulatory authority / authorized personnel from RBI to carry out any kind of System/ process audit or audit of products, software and services in the presence of representatives of the Bidder, at any point of time.

26.2 All the clauses shall be applicable and extended to any entity to which the Bidder has outsourced any part of the prescribed activity. It shall be the responsibility of the Bidder to ensure unrestricted

access to the authorities/ officials as mentioned above to the places where such services are outsourced, for inspection and verification.

26.3 Punjab Mandi Board shall be at liberty to share the agreement or the information as provided by the service provider with State Government or any other statutory body.

26.4 Compliance of the observations made by the inspecting officials shall be adhered to by the Bidder.

27. ASSIGNMENT: 27.1 The Bidder/service provider shall not assign the service to anyone other than as disclosed in the Bid

(Annexure 1), in whole or in part, its obligations to perform under the contract, except with Punjab Mandi Board are prior written consent. If Punjab Mandi Board undergoes a merger, amalgamation, take-over, consolidation, reconstruction, change of ownership etc., this RFP shall be considered to be assigned to the new entity and such an act shall not affect the rights and obligations of the Bidder under this RFP.

27.2 If the Bidder/service provider has disclosed the name its associate in Annexure 1, the Bidder shall furnish the Agreement executed with the party within 30 days of the LoI.

27.3 It shall be the Bidders sole responsibility to ensuring that its associate has all certification and experience to act as such.

28. PATENT RIGHTS 28.1 The Bidder shall, at their own expense, defend and indemnify Punjab Mandi Board against all third

party claims or infringement of intellectual Property Right, including Patent, trademark, copyright, trade secret or industrial design rights arising from use of the products or any part thereof in India or abroad.

28.2 The Bidder shall expeditiously extinguish any such claims and shall have full rights to defend it there from. If Punjab Mandi Board is required to pay compensation to a third party resulting from such infringement, the successful Bidder shall be fully responsible therefore, including all expenses and court and legal fees.

28.3 Punjab Mandi Board will give notice to the Bidder of any such claim without delay, provide reasonable assistance to the Supplier in disposing of the claim, and shall at no time admit to any liability for or express any intent to settle the claims.

28.4 All IPR for the customized product of EAP and EAG shall be that of Punjab Mandi Board and of which APIs shall be shared when demanded.

29. CORRUPT AND FRAUDULENT PRACTICES 29.1 It is required that Bidders should observe the highest standard of ethics during the bidding and

execution of the contract 29.2 "Corrupt Practice" means the offering, giving, receiving or soliciting of anything of values to influence

the action of an official in the procurement Process or in contract execution. 29.3 “Fraudulent Practice" means a misrepresentation of facts in order to influence a Procurement

process or the execution of contract to the detriment of Punjab Mandi Board and includes collusive practice among Bidders (Prior to or after bid submission) designed to establish bid prices at artificial non- competitive levels and to deprive Punjab Mandi Board of the benefits of free and open competition.

29.4 Punjab Mandi Board reserves the right to reject a proposal for award if it determines that the Bidder recommended for award has engaged in corrupt or fraudulent practices in Competing for the contract in question.

29.5 Punjab Mandi Board reserves the right to declare a firm ineligible, either indefinitely or for a stated period of time, to be awarded a contract if at any time it determines that the firm has engaged in corrupt or fraudulent practices in Competing for or in executing the contract.

29.6 The decision of Punjab Mandi Board in determining the above aspects will be final and binding on all the Bidders.

29.7 No Bidder shall contact through any means of communication Punjab Mandi Board or any of its employees on any matter relating to its bid, from the time the bid opening to the time the contract is

awarded. If the Bidder wishes to bring additional information to the notice of Punjab Mandi Board, it may do so in writing/Email. An effort/attempt by a Bidder to influence Punjab Mandi Board in its decision on bid evaluation, bid comparison or contract award may result in Rejection of the Bidder’s bid and/or blacklisting the Bidder.

29.8 The Bidder agrees not to hire, solicit or accept solicitation either directly or through a third party from any of the employees of Punjab Mandi Board directly involved in this contract during the period of contract.

30. ADOPTION OF INTEGRITY PACT 30.1 The pact essentially envisages an agreement between the prospective Bidders and Punjab Mandi

Board, committing the persons/officials of both sides, not to resort to any corrupt practices in any aspect/stage of the contract.

30.2 The submission of the Bid shall be regarded as an approval/acceptance of the pact with Punjab Mandi Board. Bidders shall disclose the payments to be made by them to agents/brokers or any other intermediary. Bidders shall disclose any transgressions with any other company that may impinge on the anti- corruption principle. Integrity Pact in respect of this contract would be operative from the stage of invitation of the Bids till the final completion of the contract. Any violation of the same would entail disqualification of the Bidders and exclusion from future business dealings. The Integrity Pact by the Bidder during the Bid submission will automatically form the part of the Contract Agreement till the conclusion of the contract i.e. the final payment or the duration of the Warranty/Guarantee whichever is later.

31. WARRANTIES 31.1 The Selected Bidders shall in the event of cancellation, termination or exit or expiry of the contract

would extend all necessary support to Punjab Mandi Board or to its selected agency to ensure run the system uninterruptedly on the same terms & conditions till the completion of migration.

31.2 In the pursuance of clause (i), Bidder/s to handover all the copies and/or materials including all the originals whether in tangible and/or intangible form to Punjab Mandi Board, including but not limited to, Information, data, computer data and its structure related to Punjab Mandi Board and/or its customers. All or any deliverables as covered under the scope of work.

32. GENERAL PROVISIONS 32.1 Bidder undertakes to indemnify Punjab Mandi Board and keep Punjab Mandi Board and its

officers/employees/Directors fully indemnified and harmless from and against all the consequences of any of its actions and/or its sub-contractors, representatives, employees leading to breach of any of the provisions of law faced, suffered or incurred by Punjab Mandi Board.

32.2 Similarly, in the event of any claims being made on Punjab Mandi Board, on account of any breach or non-compliance of any applicable law, unauthorized act, fraud, deed or thing done or omitted to be done or undertaking made or deficiency in service by Bidder, its employees, officers, agents, Bidder undertakes to pay on first demand made by Punjab Mandi Board of any amount on this account without any demur, contest, protest whatsoever within 7 working days of the demand being made. Punjab Mandi Board may at its discretion settle any or all claims made on it and recover the amount so paid from Bidder.

32.3 Bidder shall ensure preservation of documents and data in accordance with legal/regulatory obligation. Due diligence/KYC/physical verification of employees of the company/their sub-contractor will be done and proper record of the same will be maintained.

32.4 The Bidder has to ensure that adequate steps are taken to build strong safeguards to avoid the mingling of information/documents records and assets of Punjab Mandi Board with other organizations for whom Bidder undertakes similar services.

32.5 The Bidder will ensure to get its security, practices and control processes audited on a regular basis and disclose security breaches, if any, to Punjab Mandi Board. The copy of such audit report including the steps taken to address the issues raised by the auditors shall be provided to Punjab Mandi Board. Bidder will ensure to have effective business continuity and disaster recovery plan.

Bidder shall develop and establish a robust framework for documenting, maintaining and periodic testing of business continuity and recovery procedures and shall maintain a record of the same.

32.6 The Bidder shall supply along with each item, all the related documents, manuals, catalogues, if any, without any cost to Punjab Mandi Board. The media and documents shall be in English. All related documents, manuals, catalogues and information furnished by the Bidder shall become the property of Punjab Mandi Board.

33. OTHER TERMS AND CONDITIONS 33.1 Signing of Bid: Bid will be submitted in the legal name of the Bidder and shall be signed and duly

stamped by the Bidder or a person duly authorized to sign on behalf of the Bidder. 33.2 Eligibility Criteria: It is to note that the only banks, who fulfil all the qualifications mentioned in the

“eligibility criteria” of the tender, are eligible to participate in the tender. Punjab Mandi Board reserves the right to relax or enhance the eligibility criteria depending on the merits and may accept/reject any or all of the offers without assigning any reason whatsoever.

34. AGREEMENT: The Selected Bidder will sign the SLA on a Rs. 100/- Non judicial stamp paper with Punjab Mandi Board.

Performance Bank Guarantee

This Performance Bank Guarantee made this day of ______month of ____ 2020 by ...................................(hereinafter called the Bank which expression shall, unless repugnant to the contract include its successors and assignees) of the one part in favour of Punjab State Agricultural Marketing Board, (hereinafter referred to as “Punjab Mandi Board” which expression shall, unless the context otherwise requires, include its successors and permitted assigns), having its office at “Punjab Mandi Bhawan, Sector 65A,S.A.S. Nagar Punjab”, in the State of Punjab, of the other part. WHEREAS Punjab Mandi Board having called for bids vide their RFP notice no. ____dated ______ to Design, Develop, Implement, Operate & Maintain the Electronic Payment Gateway on the terms and conditions contained in the said RFP which interalia provides for production, by the selected bidder, of a Performance Bank Guarantee to the extent of Rs 20 Lacs (Twenty Lacs) by way of security for the due observance and performance of the terms and conditions of the said RFP and/ or Service Level Agreement (hereinafter referred to as SLA). 2. We, the Bank hereby undertake to pay to Punjab Mandi Board an amount not exceeding Rs 20 Lacs (twenty Lacs only) against any loss or damage caused to or suffered or would be caused to or suffered by Punjab Mandi Board by reason of any breach by the said terms of the RFP and/or SLA of any of the terms and conditions contained in the said RFP and/or SLA.

3. We, the Bank hereby, in pursuance of the terms of the said RFP and/or SLA, absolutely, irrevocably and unconditionally guarantee as primary oblige and not merely as surety the payment of an amount of Rs 20 Lacs (twenty Lacs only) to the Punjab Mandi Board to secure due and faithful performance by the Service Provider of all obligations under the said RFP and/or SLA.

4. We, the Bank hereby also undertake to pay the amounts due and payable under this guarantee without any demur, merely on a demand from Punjab Mandi Board stating that the amount claimed is due by way of loss or damage caused or would be caused to or suffered by Punjab Mandi Board by reason of breach by the said Service Provider of any of the terms or conditions contained in the said RFP and/or SLA or by reason of the Service Provider’s failure to perform any of its obligations under the said RFP and/or SLA.

5. We, the bank, do hereby agree that the decision of Punjab Mandi Board as to whether the Service Provider has failed to or neglected to perform or discharge his duties and obligations as aforesaid and/or whether the service is free from deficiencies and defects and is in accordance with or not of the terms & conditions of the said RFP and/or SLA and as to the amount payable to Punjab Mandi Board by the Bank hereunder shall be final and binding on the Bank.

6. WE, THE BANK, DO HEREBY DECLARE AND AGREE that : (i) the Performance Bank Guarantee herein contained shall remain in full force and effect for a period of

three years from the date hereof unless renewed for a further period and that if shall continue to be

enforceable till all the dues of Punjab Mandi Board and by virtue of the said RFP and/or SLA have been fully paid and its claims satisfied or discharged or till Punjab Mandi Board satisfies that the terms and conditions of the said RFP have been fully and properly carried out by the said Service Provider and accordingly discharged this guarantee.

(ii) Punjab Mandi Board shall have the fullest liberty without our consent and without affecting in any manner our obligations hereunder to vary any of the term and conditions of the said RFP and/or SLA or to extend time of performance of any obligations by the said Service Provider from time to time or to postpone for any time or from time to time any of the powers exercisable by Punjab Mandi Board against the said Service Provider and to forbear or to enforce any of the terms and conditions relating to the said RFP and/or SLA and we shall not be relieved from out liability by reason of any variation or extension being granted to the said Service Provider or forbearance act or omission on the part of the Punjab Mandi Board or any indulgence by Punjab Mandi Board to the said Service Provider or to give such matter or thing whatsoever which under the law relating to sureties would but for this provision, have effect of so relieving us.

(iii) any claim which we have against the Service Provider shall be subject and subordinate to the prior payment and performance in full of all the obligations of us hereunder we will not without prior written consent of the Punjab Mandi Board exercise any legal right or remedy of any kind in respect of any such payment or performance so long as the obligations of us hereunder remains owing and outstanding.

(iv) This Performance Bank Guarantee shall be irrevocable and the obligations of us herein shall not be conditional of any prior notice by us or by the Service Provider.

7. We the BANK undertake not to revoke this Performance Bank Guarantee during its currency except with the previous consent of the Punjab Mandi Board in writing.

WHEREAS Punjab Mandi Board having called for bids vide their RFP notice no. ____dated _______ to Design, Develop, Implement, Operate & Maintain the Electronic Auction Platform on the terms and conditions contained in the said RFP which interalia provides for production, by the selected bidder, of a Performance Bank Guarantee to the extent of Rs 5 Lacs (Five Lacs) by way of security for the due observance and performance of the terms and conditions of the said RFP and/or Service Level Agreement (hereinafter referred to as SLA). 8. We, the Bank hereby undertake to pay to Punjab Mandi Board an amount not exceeding Rs 20 Lacs (twenty Lacs only) against any loss or damage caused to or suffered or would be caused to or suffered by Punjab Mandi Board by reason of any breach by the said terms of the RFP and/or SLA of any of the terms and conditions contained in the said RFP and/or SLA.

9. We, the Bank hereby, in pursuance of the terms of the said RFP and/or SLA, absolutely, irrevocably and unconditionally guarantee as primary oblige and not merely as surety the payment of an amount of Rs 20 Lacs (twenty Lacs only) to the Punjab Mandi Board to secure due and faithful performance by the Service Provider of all obligations under the said RFP and/or SLA.
