INTRODUCTION

Indian Institute of Management Bangalore (“IIMB”) invites proposals in two bid system from reputed

agencies/ organizations for full translation of the content of the IIMB website into Hindi and other regional

languages (“Bidder”) on an ongoing basis for a period of three years.

Interested Bidders are invited to submit their technical proposal in response to this RFP. The criteria and the

actual process of evaluation of the responses to this RFP and subsequent selection of the successful Bidder

will be entirely at IIMB’s discretion. This RFP seeks proposal from Bidders who have the necessary

experience, capability and expertise to provide translation and transliteration services as per requirement

outlined in this RFP.

This RFP is not an offer by IIMB, but an invitation to receive responses from the Bidders. No contractual

obligation whatsoever shall arise from the RFP process unless and until a formal contract is signed and

executed by duly authorized official(s) of IIMB with a selected Bidder.

RFP CONDITIONS

1. The duly populated RFP documents, along with the supporting documents must be submitted in a sealed cover in the form specified at the date and time mentioned in RFP Notice at the Main Reception, Administrative Block, Indian Institute of Management Bangalore, Bannerghatta Road, Bangalore- 560076.

A. The RFP document shall be downloaded from the website: https://www.iimb.ac.in/tender_notices and submit the Document Fee online as per the Bank Details of IIMB mentioned in the document, and submit the Bid Documents along with requisition letter and document fee UTR No details.

2. The bidders should check for any correction, corrigendum and addendums related to this Tender Notice on Website before submitting their Bids.

NOTE : All Corrigenda / Addendums / Amendments / Clarifications, time extensions etc., with respect to work, if any, will be hosted in IIMB website only and will not be published in newspapers or any other media. Bidders shall regularly visit IIMB website to keep themselves updated.

3. The RFP Documents shall be duly checked, filled and signed, and deposited in the box placed in the, Main Reception, Administration Block , Indian Institute of Management Bangalore, Bannerghatta, Bangalore - 560076 no later than the time and date mentioned in the RFP Notice above.

4. The Bids shall be received up to 03:30 PM on date mentioned above by the IIMBx Manager, N Classroom Block - Basement, New Classroom Block, Indian Institute of Management Bangalore, Bannerghatta Road, Bangalore-560 076, and will be opened on the same day at the time mentioned above (04:00 PM) in the presence of Bidders or their authorized representative.

5. Opening of Bids: Bidders or their authorized representative (only one person per Bidder) will be allowed to be present at the time of opening of the Bids. However, the representative of the Bidder must carry a letter authorizing him, signed and issued by the Bidder on the company Letterhead, and must produce the same to the Authorized Officer of IIMB at the time of opening

of Tenders. Unless this letter is presented, the representative will not be allowed to attend the Bid opening.

In case of any unscheduled holiday/Bandh on the bid submission last date or bid opening date, the next working day will be the bid submission last date and bid opening date. Accordingly, Bid submission and Opening Date and time will get extended up to the next working day.

6. Interested Bidders are requested to return the RFP documents and the accompanying documents in sealed covers addressed to the IIMBx Manager, Indian Institute of Management Bangalore, Bannerghatta Road, Bangalore -560 076. The Sealed Cover shall be super-scribed with the following details: The RFP Number- HC/Content Translation/ 2019/02; Name of the work – Request for proposal for providing full translation and transliteration of the content of IIMB website iimb.ernet.in, into Translations into Regional Languages; Opening Date and Time.

7. Late bids and conditional bids shall be summarily rejected.

8. Bids other than the one herein called for in the enclosed RFP document shall be summarily rejected.

9. Any Bid which proposes any alterations to any of the conditions laid down, or proposes any other conditions of any description whatsoever shall be summarily rejected.

10. IIMB reserves the right not to accept the lowest bid or any other bid without assigning any reasons thereto. IIMB further reserves the right to place order as a whole or in part, of any item only as it deems fit.

11. The period for execution of the entire Work shall be on an ongoing and continuous basis for Three (3) Years from the date mentioned in the Letter of Award, to be placed on the successful Bidder.

12. The period of contract is for Three (3) Years at the rate quoted by the bidder in online closed bidding. The rate quoted will remain unchanged for the entire period of contract i.e. for three years.

13. The successful Bidder is requested to sign the Letter of Award prepared based on the quoted rates, placed on it by IIMB.

14. Commercial Bids will be issued to those bidders who qualify the terms and conditions of the Technical Bid. Rates shall be quoted only at the time of the Commercial E-Bid process, the details of which will be intimated to the Bidder who qualify in the Technical Bid criteria.

15. Bidders shall note that L1 will be determined without considering GST element. GST shall be applicable as on date of service.

16. Bidders are required to take into account while quoting their rates, all factors including any fluctuations in the Market Rates etc., no claim to that effect will be entertained after acceptance of the Bids or during the currency of the Contract.

17. Should a Bidder find any discrepancies or omissions in the RFP documents; or should be in doubt as to their meanings, shall alone address the designated officer of IIMB for clarification in writing before the submission of Bids. While every endeavour shall be made to avoid any error which can materially affect the basis of the RFP, the interested Bidder shall take upon

himself to provide for the risk of any error which may be subsequently discovered and shall make no subsequent claim on account thereof.

18. A. Earnest Money Deposit (EMD): Interested Bidders are requested to pay the EMD for an amount of Rs. 37,500/- (Rupees Thirty Seven Thousand Five Hundred Only) as under:

20. B. RETURN OF EMD: EMD will be returned to the unsuccessful bidders within 15 days after the L1

bidder is issued the Letter of Award. EMD of successful bidder will be retained and the same will

be paid after one month from the date of completion of the work.

21. The bidders have to submit the Bank Details in the form prescribed in the document. The same

has to be duly filled in, typed in the company letterhead, signed by the authorized signatory and

attested by the banker. Along with this, Cancelled Cheque should be submitted.

Note: This is required for return of EMD.

22. No interest will be paid on this deposit.

23. Any Bid not accompanied by an acceptable EMD and RFP Document Fee and not secured in the prescribed payment mode as indicated herein shall be rejected by IIMB on grounds of being non-responsive.

The EMD may be forfeited:

a) If the Bidder withdraws its Bid after Bid opening during the period of Bid validity;

b) In the case of a successful Bidder, if the Bidder fails within the specified time limit to:

I. Sign the Agreement; or II. Furnish the required Security deposit (SD).

c) Further, in case the Bidder after quoting withdraws from the Bid or refuses or delays in commencing the work or stops the work abruptly, the EMD or SD, as the case may be, will be forfeited.

NOTE: EMD is compulsory for all the Bidders including State Government / Statutory Bodies /

Enterprises / Undertakings etc.

Bidders may note the fact that their registrations with any other authority do not entitle them for exemption from payment of EMD.

24. The following requirements shall be strictly complied with:

a. Bidder shall initial all corrections, sign and affix the official seal on all pages of the RFP documents all accompanying documents before submission of the Bid.

b. Correction made in white ink will make the Bid liable for rejection. c. The Bid should be accompanied by a certified true copy of the power of attorney of the signatory

of the documents. d. Bidders shall ensure that their Bids is dispatched well in advance, so that it reaches the designated

office of IIMB before the time and date stipulated in the RFP Notice.

25. Sealing and Submission of Bids:

a. Bid submittals comprising of Technical Bid, EMD and RFP Document fee, shall be submitted at the Tender Box placed at the Main Reception, Administrative Block, Indian Institute of Management Bangalore, Bannerghatta Road, Bangalore- 560 076.

b. Envelope -1 containing details of EMD and Document Fee. (Please refer Clause 2 B, Page 4 – under “RFP Conditions” of Document). Envelope -2 containing the original copy of Technical Package, pre-qualification information)

c. These two envelops shall be wrapped in an outer envelope. The outer most envelopes shall be duly super scribed as follows:

i. IIMBx Manager Indian Institute of Management Bangalore, Bannerghatta Road, Bangalore- 560 076. ii. Name and Address of the Bidder iii. Name of Work- – Request for proposal for providing full translation and transliteration of the

content of IIMB website iimb.ernet.in, into Translations into Regional Languages-Second Call; iv. Date and Time of Opening of Bid

26. Submission of Bids:

a. Bids should be submitted at the following address: IIMBx Department

New Classroom Block Basement, Indian Institute of Management Bangalore, Bannerghatta Road, Bangalore- 560 076.

b. If the Bid documents are addressed/submitted to the person other than the prescribed person, such bid documents will be rejected summarily.

c. The sealed Bids shall be deposited in the box placed at the IIMBx Department, New Classroom Block Basement, Indian Institute of Management Bangalore, Bannerghatta, Bangalore- 560076, before the scheduled time and last date for submission of Bids as mentioned in the document above.

d. IIMB may, at its discretion, extend this date for the submission of Bids by amending the RFP document by way of Addendums or Corrigendum’s in which case all rights and obligations of IIMB and the Bidder previously subject to the original date shall thereafter be subject to the new deadline as extended. If such nominated date for submission of Bid is subsequently declared as a Public Holiday by IIMB, the next official working day shall be deemed as the last date for submission of Bid.

e. Bids as sealed above shall be submitted in person to the designated office. The bid documents may also be sent by post. But IIMB does not take any cognizance and shall not be responsible for delay in postal transit.

27. Late Submission: Any Bids received by IIMB after the deadline prescribed for submission of Bids will be returned unopened to the Bidder.

28. The Bidder shall give an undertaking that “He shall not associate nor has been associated in the past, directly or indirectly with consultant or any other entity that would prepare the specification and other documents of the project.”

29. The Bidder shall keep his offer open and valid for a period of 120 days from the date fixed for opening the Bids or such further period as may mutually be agreed to between IIMB and the Bidder.

30. The Bidder shall not be at liberty to withdraw or modify his Bid or any terms and conditions thereof before the expiry period of 120 days. Bidders are expected to provide clarifications in writing only on such points as specifically called upon to do so by IIMB. Any withdrawal or modification made within the said period constitutes breach of Contract and the Bidder shall be liable for damages to the Company in consequence thereof.

31. Compliance with RFP: Bidder's offer must conform in all respects with the applicable specifications, and terms and conditions of the RFP. Any deviation from the RFP specifications or terms and conditions must be clearly and explicitly stated.

32. The Submission of Bids by the Bidder implies that the Bidders have read and examined all instructions, forms, terms and specifications in the RFP documents. Failure to furnish all information required by the RFP documents or submission of bid not substantially responsive to the RFP

documents in every respect will be at the Bidder’s risk and may result in the rejection of its bid without seeking any clarifications.

33. Bidders must be very careful to deliver a Bonafid Bid, failing which IIMB at its absolute discretion and shall reserve the right of rejecting such Bids. Bids must satisfy each and every condition laid down in this RFP Notice.

34. This RFP will also form part of the Bid Document and must be returned duly signed along with the Bid document.

35. No commercial or technical conditions or clarification of any sort shall be indicated by the Bidder in his Envelope, any Bid which proposes such alterations or clarifications to any of the conditions laid down or proposes any other conditions of any description whatsoever is liable to be rejected.

36. Bidders shall not contact IIMB on any matter relating to their Bids from the time of opening of the Technical Proposal till the contract is awarded. If a Bidder wishes to bring additional information to the notice of IIMB, it should do so in writing at the address indicated. Any effort by the Bidder to influence IIMB in its evaluation, proposal comparison or contract award decisions may result in the rejection of the Bid submitted by such Bidders.

PROPOSAL SUBMITTALS

1 Language of bid: Bids and all related documents as well as all subsequent correspondence between the Bidder and IIMB shall be in English language. Supporting documents and printed literature furnished by the Bidder may be in another language provided they are accompanied by an accurate translation of the relevant passages in English, in which case for purpose of interpretation of the bid, the translation in English shall prevail.

2 Bidders shall respond to this RFP with a Technical Bid

3 One Envelope (Envelope 1 containing the UTR Details, Bank Name, Date of Transfer of amount etc. (Please refer EMD Clause of this document) of the Bid Document Fee and EMD for the amount prescribed herein shall be submitted to IIMB in a sealed envelope and be clearly marked: “Bid Document Fee for IIMB for providing full translation, transliteration and Sub-titles of the content of IIMB website iimb.ac.in, into Hindi submitted by (Name of the Bidder Company)”.

4 One Envelope 2 containing Technical Bid shall be submitted to IIMB in a sealed envelope and be clearly marked: “Technical Bid for IIMB for providing full translation and transliteration of the content of IIMB website iimb.ernet.in, into Hindi and other regional languages submitted by (Name of the Bidder Company)”.

5 Envelope 2 will be opened only if the EMD and Document Fee are submitted Envelope 1.

6 The separately sealed envelopes, marked as stated above, are required to be enclosed in another envelope. The outermost envelope must be sealed, it shall fully describe the contents of the package and must be clearly marked: Bid for IIMB for providing full translation and transliteration of the content of IIMB website iimb.ernet.in, into Hindi submitted by (Name of the Bidder Company)” with complete return address of the bidder mentioned clearly.

10. Technical Bid: Bidders must organize their Bids as defined below to ensure consistency and to

facilitate the evaluation of all responses. All the sections listed below must be included in the

proposal, in the order presented with the section number listed. The required proposal sections are:

a. Table of Contents: A table of contents providing a listing for each section of the proposal is required, including the appendices and any additional material submitted, and numbered accordingly.

b. Executive Summary: The executive summary of the Bidder should provide a concise summarization of the services being proposed to meet IIMB’s needs. The Bidder should also summarize how large‐scale, government (both State & Central), public sector and private business use its services and how this experience indicates that the Bidder is suitable for IIMB’s needs.

c. Company Overview: This section should provide information about the Bidder’s company, services, and corporate structure – including an organizational review, key contacts, and customer relations.

d. Experience and References: In this section, the Bidder should enumerate its experience in executing similar projects. Provide at least five references where the Bidder’s services are being utilized. References must include Client’s Name (Company/ Organisation name) Contact Name, Designation of the Contact Person, Contact Address, Contact Telephone Number, and Contact E‐mail Address.

The documentary evidence required to be furnished to establish the claim as to the Bidder’s qualification for this RFP should also be attached in this section.

e. Consultant’s Profiles: In this section, the Bidder should provide detailed qualifications and experiences of its named consultants and also of the consultants it proposes to put for IIMB project.

f. Approach and Methodology: A brief description of the proposed approach and methodology must be provided so that IIMB can gain a basic understanding of the capabilities of the Bidder.

g. Additional Information: All additional information the Bidder deems as pertinent to their Bid, must be included in this section.

5. Commercial e-Bid:

a. Commercial e-Bids will be issued to those bidders who qualify the terms and conditions of the Technical Bid. Rates shall be quoted only at the time of the Commercial E-Bid process, the details of which will be intimated to the Bidder who qualify in the Technical Bid criteria.

b. Bidders shall be required to quote only during the Commercial e-Bidding process and shall quote only fixed, non-variable, all-inclusive fees for providing all the services mentioned in the scope of work section of this document for the Hindi Translation, Transliteration and Sub-titling requirements for a period of three years.

BID EVALUATION AND REJECTION CRITERIA

Eligibility Criteria: Intending Bidders who meet the following mandatory eligibility criteria may submit their

Bids. The Bid submittals should accompany the required documentary evidence to prove their eligibility,

failing which, the Bid may be rejected. The Bidder should submit the following documentary evidence:

a) List of clients in the education and corporate space that the Bidder is working with for the last three

years.

b) The Bidders should have a minimum annual turnover of Rs.2.50 Lakhs for the last three years.

c) The Bidder should provide the copy of certificate of registration of its agency/organization.

d) Copy of PAN card.

e) Copy of relevant Statutory Registration details like Service Tax Registration, Income Tax Registration,

GST Registration, Tin No., etc., should be attached.

f) Audited Financial Accounts for the last three years should be attached.

g) The bidder should have worked continuously for three years. Any discontinuity in the work for any

period of time is not acceptable.

h) The bidder applying as a company or a joint venture or any other agency/organization should have

the similar work experience in its own name.

i) In case, a partnership or a proprietor is applying, the work experience should be in the name of

applying authority.

j) Memorandum of Understanding should have been entered into before the date of advertising this

tender.

Pre-qualification technical evaluation: Bidders who fulfil eligibility criteria will be evaluated based on the

following parameters:

A) Samples of similar work done

B) Flow of work

C) Average Annual Turnover

D) Clientele details of last three years

E) Statutory Registrations

F) Bidder’s Agency/Organization’s work experience in years

Bid Rejection Criteria: The bids must conform to the specifications, terms, and conditions given herein.

Bids shall be rejected in case the items offered do not conform to the required minimum / maximum

parameters stipulated in the technical specifications and to the respective standards wherever stipulated.

Notwithstanding the general conformity of the bids to the stipulated specifications and terms and

conditions, the following requirements shall have to be particularly met by the Bidders, without which the

Bids will be considered as non-responsive and rejected:

a. In the Commercial E-bid process, Bidders shall offer firm price through delivery and not subject to

variation on any account. Bids with adjustable price shall be treated as unresponsive and rejected.

b. Validity of the Bids shall be 120 days. Bids with lesser validity will be rejected.

c. Bids received after bid closing date and time shall be rejected. Also, modification of Bids received

after Bid Closing date/time shall not be considered.

d. Bidders shall quote directly and not through any agents.

e. The Technical Bids shall be typed or written in indelible ink and Original bid shall be sealed and signed

by the Bidder or his authorized representative on all pages failing which the bid shall be liable for

rejection.

f. Offers received through Telex / Cable / Fax / E-mail/ telephone shall be rejected unless specifically

asked for in writing by IIMB. Similarly offers received as Xerox/ photocopy which is not on original

letterhead of the Bidder and not duly affixed seal and signed will be rejected.

g. Bids shall contain no interlineations, erasures or overwriting except as necessary to correct errors

made by Bidder, in which case such corrections shall be initialled by the person(s) signing the bid.

Any bid not meeting this requirement shall be liable for rejection.

h. Bids not submitted in compliance with Special methods of marking & sealing as per Two Bid / Two

Stage Bidding system mentioned herein shall be rejected.

i. As the Commercial Bid is done on the E-bid platform, Bids submitted with the cost details in the Price

Bid (Part B) contained herein shall be rejected.

j. Bids not submitted in compliance with any of the clauses mentioned herein will summarily be

rejected.

k. Bids without requisite EMD will be summarily rejected.

l. Bids not submitted in compliance with Special methods of marking & sealing as per Two Bid / Two

Stage Bidding system mentioned herein shall be rejected.

Bid evaluation criteria: a. Bids which are found to be responsive and meeting both specification wise and terms and conditions

requirements in the RFP will be considered for final evaluation. b. Each item shall be normally evaluated independently unless otherwise stated.

Evaluation:

a. The technical bids submitted by the Bidders will be evaluated on a maximum of 100 marks. Against this marking, the bidders who score 60 or above will be qualified for the financial bids will be issued to only bidders who qualify in the Technical Bid.

b. IIMB will carry out the evaluation of bids of only the Bidders who satisfy the above criteria on the basis of their responsiveness to the RFP, applying the evaluation criteria and marking system specified in the Data Sheet below. Each responsive Bid will be given a technical score. A bid considered unsuitable shall be rejected at this stage if it does not respond to important aspects of the RFP or if it fails to achieve the minimum technical score indicated.

c. In case of any conflict between the Rejection/Evaluation criteria stipulated in this Section and that given in the RFP Notice, those mentioned in the RFP Notice will prevail.

d. Criteria for Pre-qualification technical evaluation: Bidders who fulfil eligibility criteria will be evaluated based on the following parameters.

SCOPE OF WORK

1. The Scope of work: The Bidder shall provide full translation and transliteration of the content of

English Version of IIMB website, to Hindi as detailed below:

Step 1: The IIMBx Department of IIMB will provide via online mechanism, such as email, the sections of the IIMB website, the content of which has to be translated, as per delivery timelines given in Table 1. Step 2: Bidder shall provide, on email, a 100% accurate transcript (script) in Hindi. The deliverables

should be in the MS Word (.docx) format.

2. Timelines: The delivery timelines for receipt of .docx files are mentioned in Table 1.

In some cases, the turnaround time may be shortened at IIMB’s discretion.

The revised timelines will be mutually agreed upon with the Bidder.

3. Quality Check and Control:

a. The files will have been checked by a subject matter expert at the Bidder’s end, to ensure 100%

accuracy before it is delivered as final output to IIMB.

b. Due quality checks and at least two rounds of internal reviews must be done by the Bidder before

sharing the deliverables with IIMB.

c. The Bidder shall be required to incorporate changes in one-two iterations based on review/editing

done by the Hindi Cell of IIMB.

4. Working Model: The Bidder shall provide a Single Point of Contact (SPOC) to IIMB who can be

reached over phone and email during business hours. The designated office of IIMB shall be the SPOC

for any clarifications, discussions regarding the Scope of work. The Bidder will have to work

independently and deliver the final .docx files to IIMB.

ESTIMATION OF VOLUME OF WORK

• Total content to be translated and subtitled = Full translation and subtitling of the English

version of the Video contents.

• Duration of project = Three years from the date from which translation for the first volume of

work goes live.

Basis of estimate: No. of pages.

IIMB reserves the right to make any variations in the Engagement terms at its sole discretion, by giving a

written notice of seven (7) days to the Bidder.

Contract Term: Three (3) years contract: starts once translation goes live, i.e., Fixes, feature updates shall

be part of the contract fee. The turnaround time should be less than a couple of hours if something has to

be fixed on an urgent basis (such as content updating). For major content updates, the timelines will be 2-

3 working days.

• The Bidder, along with IIMB through its designated office, should monitor smooth and

uninterrupted flow of work.

• The services of the Bidder will be of particular value in certain critical situations. Much of this

counsel and consultancy is provided without registering as a “change request” and without having

a time component, as part of the on-going association.

• Bidder should submit a monthly timesheet for the tasks undertaken.

• Bidder should provide audit reports for the website every fortnight.

IMPORTANT POINTS PERTAINING TO THE BID:

• Timelines for translation and making the content go live: X +7

• Bidder is expected to submit commercial Bid with breakup for translation and transliteration (per

page rate) and two-year contract.

• The Bid should also include charges for change request on T&M basis.

• The contract will be SLA based.

• Change requests need to be made live within timelines prescribed in Table 1.

• Payment terms shall be as specified in the General Conditions of Contract.

• The Bid shall contain the Bidder’s client information along with five references.

DESCRIPTION OF ENGAGEMENT

1. Volume of Work: The volume of work (no. of pages) specified above is indicative and IIMB may

increase or decrease the volume of work as per its requirements. The turnaround time shall be as

specified in Table 1 and may be shortened at the discretion of IIMB.

2. The successful Bidder shall be required to spend face-to-face time with the designated office of IIMB

on a regular basis for meetings and project status updates, and for clarifications as required.

3. The successful bidder shall provide a Single Point of Contact (SPOC) to IIMB who can be reached over

phone and email during business hours.

GENERAL CONDITIONS OF CONTRACT

1. Term: The term of the contract pursuant to this RFP shall be for an initial period of two years. On

successful completion of the term, the contract may be extended by IIMB on mutually agreeable

terms.

2. Payment Terms: In consideration of this service provided under this contract, IIMB agrees to pay the

successful Bidder at each instance, as per the stipulation contained in the Letter of Award issued by

IIMB. The Bidder shall be responsible for payment of all applicable Taxes on the contract.

i. The successful bidder shall bill IIMB at the end of every month for the successfully completed service.

The Bills submitted by the Bidder will be subject to certification by IIMBx Manager and validation as

per the accounting and audit policies of IIMB.

ii. IIMB shall pay such bills within thirty (30) working days from the date of receipt of the undisputed

bill.

iii. On receipt of the Final payments, the Bidder shall furnish a “No Claim Certificate” to IIMB.

3. Earnest Money Deposit (EMD): The EMD of Rs. 37,500/- (Rupees Thirty Seven Thousand Five

Hundred Only).

4. Performance Bank Guarantee: A Performance Bank Guarantee (PBG) of Rs. 37,500/- (Rupees Thirty

Seven Thousand Five Hundred Only) drawn from any nationalised bank in the form approved by IIMB

shall be provided by the Bidder within 10 days from the date of issue of Letter of Award. The PBG

shall be valid during the term of the Contract.

• The PBG shall be released after the completion of the work pursuant to this Contract based on the

“Completion Certificate” issued by IIMB stating that the Bidder has completed the work in all

respects, satisfactorily. The PBG, however, shall be released only after the expiry of the contract

period, and after clearance of the final bill based on “No Claim Certificate” from the Bidder.

• In case where the Contract has been rescinded, the PBG will be forfeited and the Bank Guarantee

shall be encashed and the balance work shall be completed independently by IIMB at the risk and

cost of the Original successful Bidder. The Original successful Bidder shall be debarred from

participating in the subsequent Bidding process for executing the balance work. If the failed bidder

is a Joint Venture or a Partnership Firm, then every member or partner of such a firm shall be

debarred from participating in the subsequent bidding process for the balance work either in his

individual capacity or as a partner of any other Joint Venture or Partnership Firm.

• In case the contract being determined as terminated or rescinded under provision of the contract,

the PBG shall be forfeited in full.

• If the contract gets dissolved due to the death or retirement of any partner or for any reasons

whatsoever before completing whole work or part of it undertaken by the principal, the partners will

remain jointly and severally responsible to complete the work to the satisfaction of IIMB. Failing

which, they will be liable to pay the compensation for the loss sustained, if any, by IIMB due to such

dissolution, the amount of such compensation shall be fixed by IIMB and its decision in the said

matter shall be final and binding on the Bidder.

5. Default: In the event the Bidder contravenes any of the provisions of the Contract or neglects to

carry out his obligations of the Contract, IIMB may give notice in writing thereof requiring the Bidder

to remedy the breach within seven days, or within such period as IIMB may agree to be reasonable

and in the event of the Bidder failing to do so, IIMB will be at liberty to procure the services from

third party vendors or have the work which the Bidder has neglected to do, carried out by a third

party at the Bidder’s cost and risk. In such an event IIMB shall have the right to terminate the

Contract.

6. Intellectual Property Rights (IPR)

a. The Bidder undertakes not to, in any manner, claim all or any part of the IPR or commercially exploit

all or any of the proprietary rights generated and developed by IIMB as vested whether trademarked,

copyrighted or not.

b. The Bidder acknowledges that all IPR relating to the entire content of the existing IIMB website, and

all the output relating to the service belongs to and vests exclusively with IIMB and under no

circumstances whatsoever the Bidder shall claim all or any rights proprietary or otherwise over all or

any portion of the IPR belonging to IIMB.

c. Work made for hire: The Bidder expressly acknowledges that the material contributed by it

hereunder, and its services hereunder, are being specially ordered and commissioned by IIMB for

use in connection with the service. The work contributed by the Bidder hereunder shall be

considered a "work made for hire" as defined by the copyright laws. IIMB shall be the sole and

exclusive owner and copyright proprietor of all rights and title in and to the results and proceeds of

the Bidder’s services hereunder in whatever stage of completion. If for any reason the results and

proceeds of the Bidder’s services hereunder are determined at any time not to be a "work made for

hire", the Bidder hereby agrees to irrevocably transfer and assign to IIMB all right, title and interest

therein, including all copyrights, as well as all renewals and extensions thereto.

7. Data Security: The Bidder shall use inputs provided by IIMB solely for performing its obligations

under this Contract, and will not, at any time, transfer, save, download, print, disclose, or in any

other way use the inputs other than as directly required for the provision of the services under this

Contract or as directed by IIMB in writing.

8. Confidentiality: Both the Parties hereby undertake that under no circumstances whatsoever they

shall disclose any of the Terms of this Contract and all or any Confidential Information belonging to

the other party like financial plans, business plans, and others, declared confidential to which they

might have access during the association with one another in terms of this Contract, except to the

extent that is already in public knowledge/ domain. The Confidential Information as hereinabove

detailed shall not be disclosed during the subsistence of this Contract and thereafter for a period of

five years from the date of termination of this Contract for whatever reason.

9. Indemnity: Either Party (Indemnifying Party) shall indemnify, defend and hold harmless the other

Party (Indemnified Party), its directors, officers and employees from and against any and all claims,

demands, liabilities, and reasonable attorney’s fees but only in proportion to and to the extent such

claims, liabilities, and attorney’s fees arise from any errors and any act/commission/omission on part

of the Indemnifying Party or in connection with any work, authority or jurisdiction delegated to the

Indemnifying Party under this Contract.

10. Arbitration: Any dispute arising under the terms of this Contract which cannot be resolved by the

Parties shall be referred to arbitration as mutually agreed by the parties, in writing. The said

Arbitration shall act under the provisions of the Arbitration and Conciliation Act, 1996 or any

statutory modifications or re-enactment thereof or any rules made thereof. The arbitration shall take

place in Bangalore, India. Proceedings shall be conducted, and documentation presented in English.

It shall further be agreed that, the decision of the arbitration shall be final and binding on both the

Parties.

11. Jurisdiction: This Contract shall be governed and construed in accordance with the Indian Laws and

subject to the exclusive jurisdiction of competent courts at Bangalore, India.

12. Canvassing in connection with tenders is strictly prohibited and the tenders submitted by bidders

who resort to canvassing will be liable for rejection.

13. Termination:

i. Termination for convenience: Either Party can terminate this Contract for convenience, by giving at

least 30 (thirty) days prior written termination notice to the other Party.

ii. Termination for cause: In case of any material breach of the terms of this Contract, the aggrieved

Party may terminate this Contract by a prior written termination notice of 7 (seven) days. If the

defaulting Party does not cure the breach within aforementioned period of 7 (seven) days of

receiving a written notice specifying the breach from the aggrieved Party, then the Contract shall

stand terminated at the close of the 14th day from the date of receipt of notice from the aggrieved

Party.

iii. Effect of termination: In the event of termination of this Contract, the parties agree to promptly

deliver all the deliverables applicable to the fullest extent conceived, created or developed prior to

the date of termination. The Terms contained herein by their sense and context are intended to

survive, the performance thereof by the Parties shall so survive the completion of performance or

termination of this Contract.

iv. In case of Termination for cause, IIMB shall be at liberty to get the services under this Contract

executed by a third party at the Bidder’s risk and cost.

14. Assignment: The Bidder shall not transfer, assign or sublet the Contract or any part thereof without

the prior written consent of IIMB. Any permitted transfer/assignment or subletting shall not relieve

the Bidder of any of his obligations which might have arisen before such permission was given.

15. Publicity: Both the Parties shall be entitled to issue or make any press release or other public

announcements relating to this Contract. However, all press releases or other public

announcements relating to this Contract must be approved in advance and in writing, in each

instance, by both the Parties.

16. Notice: All notices, including notice of address change, required to be sent hereunder shall be in

writing and shall be deemed to have been delivered when mailed by first class mail or reputed

courier service return receipt requested, to the address stated in the first page of the SLA. Electronic

communications are admissible provided these are sent with delivery confirmation receipt and

followed by physical copy mailed as set forth above.

17. Force Majeure: No Party shall be in default under this Contract by reason of its failure or delay in the

performance of its obligation, if such failure or delay is caused by acts of God, Government Laws and

Regulations, Strikes/lock-outs, war, natural calamities or any other cause beyond its control and

without its fault or negligence.

The Party claiming the relief under force majeure shall notify the other Party thereof without undue

delay and if the impediment continues for more than three (3) months due to such causes as

mentioned above, either party shall be entitled to terminate the Contract by written notice to the

other party without incurring any liability for breach of contract.

1. LETTER TO ALL THE VENDORS REGARDING E-TENDERING PROCESS: Dear Sir,

Karnataka State Electronic Development Corporation Limited (M/s KEONICS) wishes to conduct an

online tendering for Selection of Vendors for Request For Proposal For Providing Full Translation

And Transliteration Of The Content Of IIMB Website iimb.ernet.in, Into Hindi and other

Regional Languages, on Bannerghatta Road, Bangalore - 560 076. M/s KEONICS will provide your

representatives with the entire key inputs and necessary training, so that you can successfully

participate in this tendering process.

You shall get registered with M/s KEONICS by making online e-Payment using Credit/Debit card or Net

banking Mode (for amount of fee: See Sl.No.4 of Tender Notification) in favour of M/s KEONICS,

Bangalore. Other vendors, including those registered with IIMB or M/s KEONICS do not automatically

qualify for participation.

The e-tendering process as envisaged consists of the following steps which are indicated below:

e-Tendering / Electronic Tendering / Web Tendering / Online Tendering is the simulation of the manual tendering process on the internet, i.e. the eligible vendor can log on to the internet site specified using unique user name and password and place his Commercial bids. The eligible Vendors will be trained by M/s KEONICS personnel on the procedure of submitting the bids online. The bids placed by the Vendors are confidential and will be opened by the authorized official using a special electronic key / password at the date and time specified and not earlier than that. No other person can gain access to the information regarding the bids, which is confidential in nature.

Closed online bid: The vendors are requested to upload their individual item online during the date and time intimated to the vendors. Place of Enquiry about e-Tender processing and fees: M/s KEONICS through M/s Antares Systems Ltd., `Sri Srinivas Krupa’. #43/A, Havanur Circle, Near Pavithra Paradise Hotel, Basaveshwaranagar, Bangalore – 560079. The lowest bid will be determined from among the closed bids and the lowest tender of the online bid. As we understand, there are essentially two differences between this and the equivalent process. The bid would be submitted online by you while operating from your work desk instead of the traditional mail/fax/face to face/paper means. All you need is a PC with a browser interface and an Internet connection.

A. e-Tendering Process:

Eligible Vendor will be trained by M/s KEONICS personnel on the procedure for placing their commercial bids online. After attending the training, the Vendors are advised to submit the Satisfactory Completion of Training Certificate and to place their bids online before the time frame intimated to the vendors.

B. Closed online bids:

Only e-Tendering will be conducted for obtaining the price bids. The eligible Vendors are required to send a declaration online regarding compliance to the terms and conditions while

placing the closed online bids. The Vendors are required to upload their bids % rate for as worked out by them, online within the date and time as intimated to the vendors.

Vendors must register in M/s KEONICS’ Tender Service Provider Website as per the training given by M/s KEONICS. Vendors are advised to make a note of their User Name and Password after the registration. The username and password are case sensitive. The Vendors are requested to change the password and also not to reveal the same to anyone else.

Closed online Bid: The Vendors shall send their declaration regarding compliance to the terms and conditions online before submitting the closed online bid. In the closed online bid, the Vendors are required to upload their bid item rate based on the details furnished in Schedule-B.

4. E-Tendering Process Compliance Statement:

(This statement must be filled and duly signed by the contractor and submitted to M/s KEONICS along with signed hard copies of declaration regarding compliance to Terms & Conditions) The following terms and conditions are deemed as accepted by you on participation in the bid event:

1. The Vendors are required to upload their individual item based on the % arrived at by them

for individual item online during the date and time as intimated to them. 2. The vendors cannot change price once submitted. 3. You are deemed to have accepted the auction rules on participation at the bid event. M/s

KEONICS will make every attempt to make the bid process transparent. However, the award decision by the IIMB would be final and binding.

4. Technical and other non-commercial queries (not impacting price) can be routed to the

respective contact personnel of Indian Institute of Management Bangalore indicated in the tender document. Bidding process related queries could be addressed to M/s KEONICS personnel indicated in the tender document.

5. It is brought to your attention that the bid event will lead to the price discovery. 6. The other terms and conditions are indicated in the tender document supplied. 7. You need to submit the closed online bid, declaration regarding the tender terms and

conditions and the closed commercial tender in a sealed cover to IIMB as per the time frame indicated.

8. Inability to bid due to telephone line glitch, Internet response issues, software or hardware

hangs will not be the responsibility of M/s KEONICS. However, M/s KEONICS shall make every effort to ensure availability of technology resources to enable continuous bidding. You can call customer care at M/s KEONICS and make a proxy bid if internet connection is down. However, this has to be confirmed and endorsed by you using alternative communication such as fax or e-mail immediately. M/s KEONICS does not guarantee continuous, uninterrupted or secure access to its services, and operation of the site may be interfered with by numerous factors out of its control.

9. M/s KEONICS does not take responsibility beyond the bid event. Order finalization and post

order activities would be transacted directly between the vendor and IIMB. 10. Your participation in a bid event is by invitation from IIMB and M/s KEONICS jointly. 11. Bids once made cannot be withdrawn or modified under any circumstances. In the case of a

bid being withdrawn action will be initiated as per the tender conditions. M/s KEONICS reserves the right to either initiate a fresh auction or enter into negotiations with the remaining Vendors in addition to any other action that may be taken by M/s KEONICS.

12. M/s KEONICS can decide to extend, reschedule or cancel an auction. 13. M/s KEONICS, neither any related company, nor any of its owners, employees or other

representatives will be liable for damages arising out of or in connection with the use of this site. This is a comprehensive limitation of liability that applies to all damages of any kind, including (without limitation) compensatory, direct, indirect or consequential damages and claims of third parties.

Note: In case of any operational problems during the submission of closed online bids is under progress, the same may have to be reported to M/s KEONICS immediately. The decision to reschedule, postpone or cancellation of the entire process will be taken by M/s KEONICS based on the merit of such reports. In case of temporary suspension, when the closed online bids to be restarted, will be intimated to the vendors on M/s KEONICS website. The process will come to an end after a waiting period of 30 minutes for the Vendors to register any protest. Therefore the Vendors are advised not to logout from their PC’s till an announcement is made regarding the closure of whole process in a complete manner in M/s KEONICS website.

14. In case of postponement or cancellation of the tenders, the same will be intimated to the Vendors over M/s KEONICS website. The Vendors are advised to visit M/s KEONICS website, also for any Notices Inviting Tenders, Circulars and Corrigendum etc.
