7. The Authority may in its absolute discretion, but without being under any obligation to do so, update, amend or supplement the information, assessment or assumption contained in this RFP. The issue of this RFP does not imply that the Authority is bound to empanel the successful Applicants for providing drone based services and the Authority reserves the right to reject all or any of the proposals without assigning any reasons whatsoever.

8. The Applicant shall bear all its costs associated with or relating to the preparation and submission of its Proposal including but not limited to preparation, copying, postage,

delivery fees, expenses associated with any demonstrations or presentations which may be required by the Authority or any other costs incurred in connection with or relating to its Proposal. All such costs and expenses will remain with the Applicant and the Authority shall not be liable in any manner whatsoever for the same or for any other costs or other expenses incurred by an Applicant in preparation or submission of the Proposal, regardless of the conduct

Definitions

1. The Andhra Pradesh State FiberNet Limited (APSFL): It is a PSU 100% owned by Government of Andhra Pradesh under the control of Energy, Infrastructure & Investment department.

2. Applicant: Applicant means the party who submits a formal proposal in pursuance of the RFP.

3. Authorized representative: As defined in the clause 6.15.3

4. Conflict of Interest: As defined in the clause 6.3

5. Drone: An aircraft which is intended to operate with no pilot on board.

6. Eligible Assignment: As defined in the clause 5.2, Sl. No. 3.

7. Empanelment Process: As defined in the clause 2.5

8. Empaneled Service Provider: The Service Provider who gets empaneled based on the RFP process

9. Payload: All components of equipment on board a UA that are not needed for the flight or for its control. Its transport aims exclusively to fulfill a specific mission.

10. Prequalification Criteria: As defined in the clause 4

11. Proposal: As defined in the clause 1.1

12. Service Request: As defined in the clause 6.23

13. Selected Service Provider: Selected Service Provider means the Applicant who meets all technical requirements and quotes the lowest financial bid for the Service Request raised by APSFL

14. Service Agreement: As defined in the clause 6.23.4

15. Security Deposit: As defined in the clause 6.21.1, paragraph 2.

1 RFP summary

1.1 Proposals in the prescribed format are invited from suitable Applicants(s) for empanelment of service providers for drone based services. The RFP summary is as provided below:-

7. Bid Processing Fees (Non-Refundable)

INR 10,000 (In the form of a Demand Draft issued by one of the Nationalized/ Scheduled Banks in India in favor of the Andhra Pradesh State FiberNet Limited, payable at Hyderabad ). The Bid processing fee shall be submitted along with the Proposal and shall be non-refundable

8. EMD(Earnest Money Deposit)

INR 2,00,000 (In the form of a Demand Draft issued by one of the Nationalized/ Scheduled Banks in India in favour of the Andhra Pradesh State FiberNet Limited, payable at Hyderabad )EMD should be valid for a period of 90 days from the date of submission of the bid.

9. Method of Empanelment

Maximum technical score after satisfying the Prequalification Criteria.

11. Bid Validity The proposal shall remain valid for a period of minimum 180 (one hundred and eighty) days from the last date of submission

2 Introduction

2.1 Background

2.1.1 The Government of Andhra Pradesh (GoAP) has been leveraging technology for real-time governance to enable effective and efficient service delivery to the citizens. Various innovative technological products and services are being utilized to improve the quality of governance for enhanced satisfaction level of the public. Technological tools such as sensors, CC surveillance cameras, drones and group communication apps etc. are being regularly deployed in various government departments for agile governance.

2.1.2 Keeping in view the potential of drones, the GoAP intends to expand the utilization of drones in various sectors such as police, mining, municipal administration & urban development, agriculture & allied sectors, disaster management, survey, tourism, project/asset monitoring etc.

2.1.3 The Andhra Pradesh State FiberNet Limited (APSFL), a PSU 100% owned by GoAP under the control of energy, infrastructure and investment department, has set up a state-wide high speed optical fiber cable network infrastructure which can offer high speed broadband / communication bandwidth to end users. In addition, APSFL has also been given the mandate to provide drones based services for various government functionalities.

2.1.4 Director General of Civil Aviation (DGCA) has accorded a one-time no objection for the use of drones to APSFL for the purpose of providing drone based services in the state of Andhra Pradesh

2.1.5 Therefore, APSFL intends to empanel drone service providers for providing drone based services to government departments such as police, mining, municipal administration & urban development, agriculture & allied sectors, disaster management, survey, tourism, project/asset monitoring etc. The service provider is expected to undertake the drone based surveys, capture high resolution images / videos, prepare 2D maps & 3D models and other analytics based outputs which can facilitate effective real-time governance.

2.1.6 APSFL in this regard, invites proposals for the empanelment of service providers for drone based services from reputed firms/consortium of firms experienced in discharging similar services. APSFL has decided to carry out this process of empanelment as per terms and procedures set out in this RFP

2.2 About the RFP Process

2.2.1 This RFP provides information regarding the Empanelment, Scope of Work, Technical requirements and other related information to the Applicant(s)

2.2.2 The applicants are required to submit a demand draft of INR 10000 ( rupees ten thousand only) (inclusive of all taxes) drawn in favor of ‘Andhra Pradesh State FiberNet Limited’ payable at Hyderabad towards nonrefundable bid processing fee along with the proposal. The RFP can be downloaded from APSFL website- www.apsfl.in

2.3 Applicants

2.3.1 Interested bidders (Applicants) who meet the requisite Prequalification Criteria will be considered for submission of this RFP.

2.3.2 The Applicants may be single entity or a consortium of maximum 2 (two) firms.

2.3.3 In case of consortium, Lead Member of the consortium shall be specified in the proposal outlining lead member’s roles and technical expertise. Both the consortium members shall meet the minimum qualification criteria as set out in clause 4.2 of this RFP.

2.3.4 In case of consortium. Joint Bidding Agreement shall be submitted by the Applicant at the time of submission of the Proposal. The Proposal shall also be accompanied by a Letter of Authorization by both the members of consortium to authorize the Lead Member to sign all the documents and related matters pertaining to this RFP

2.4 Due diligence by Applicants

2.4.1 The Applicants are encouraged to inform themselves fully about the assignments and the local conditions before submitting the proposal.

2.5 Empanelment Process

2.5.1 The Authority has adopted two stage Empanelment Process in evaluating the Proposals comprising of technical bid to be submitted by the Applicant in accordance with the terms and procedures set out in this RFP.

Step 1: Prequalification

Step 2: Evaluation of the technical proposal and technical presentation.

Technical evaluation of the proposals will be carried out and ranked according to the technical scores of Applicants as specified in section 5 of RFP. The no. of Applicants that will be considered for empanelment shall be up to a maximum of 5 nos.

2.6 Communication

2.6.1 All communication including submission of Proposal and clarifications to be provided in pre-proposal conference should be addressed to Executive Director (Technical), APSFL and sent to following address.

3 Scope of services

The Applicants shall provide drone based services through APSFL to various government departments such as police, mining, municipal administration & urban development, agriculture & allied sectors, disaster management, survey, tourism, project/asset monitoring etc.

The scope of services can be broadly categorized as below:

a. Videography and orthomosaic 2D maps The Empaneled Service Provider shall conduct aerial surveys using drone visual camera & software analytics and prepare high definition video reports and orthomosaic 2D maps.

b. Surface models and re constructed 3D models based on point cloud technique The Empaneled Service Provider shall conduct aerial studies using high resolution visual camera and prepare point cloud based models such as digital surface models, digital terrain models and reconstructed 3D (virtual reality) models

c. Output using thermal sensors

The Empaneled Service Provider shall conduct aerial studies using thermal sensors for special applications such as forest fire detection, detecting human movement in restricted areas, crowd monitoring, illegal activity monitoring & identification including poaching, assessment of critical structure, rescue operations, power lines condition monitoring. The output shall be in the form of heat maps & hotspots.

d. Output using spectral imagery The Empaneled Service Provider shall use special sensors such as multispectral & hyper spectral to conduct drone based studies to arrive at various outputs specific to agriculture such as NDVI indices, soil moisture indications, report card of weed & pest infestation, other crop health parameters, precision maps etc.

e. Outputs based on high end analytics The Empaneled Service Provider shall use high end application software on aerial images & videos and provide customized outputs like people monitoring, activity detection, loitering detection, people count, object monitoring, color based tracking, vehicle movement etc. The description of services is further elaborated in Annexure 1 of this document. The Applicants deemed to have understood the requirements specified and accordingly submitted their technical proposal

4 Prequalification Criteria

4.1 Applicants must read carefully the minimum conditions of eligibility (the “Prequalification Criteria “) provided herein. Proposals of only those Applicants who satisfy the Prequalification Criteria will be considered for technical evaluation.

4.2 The Applicant can either be a single entity or consortium. The maximum number of agencies allowed in the consortium is two only. The Lead member of the consortium shall be specified by the consortium and all correspondence shall be done through Lead member only.

The Consortium members have to submit an agreement specifying their strengths and respective role/responsibilities of each of the member.

An agency can be a member of consortium for only one consortium.

To be eligible for technical evaluation, Applicant shall fulfill the following criteria:

4. The Applicant should have cumulative turnover of at least Rs. 10 Lakhs from similar drone based services staring from 01/04/2014 till 15/12/2016.

In case of consortium, the combined turnover of both the companies from drone based services shall be considered.

NOTE:

Bidders, who have submitted the prescribe Bid processing fee along with the bid

shall only be considered for evaluation. The bids not accompanied with a valid Bid

processing fee shall be summarily rejected.

Proposals without necessary supporting documents or without meeting the

prescribed qualification criteria will be treated as non-responsive and will not be

considered for further evaluation.

5 Evaluation Criteria

5.1 The Technical evaluation of the Applicant will be based on Applicant’s financial strength, experience in drone based services and technical proposal. Only the qualified Applicants will be invited to make presentation on technical proposal.

5.2 The scoring criteria to be used for evaluation shall be as follows:

For the purpose of clarity of Sl. No. 2 of clause 5.2, any assignment involving more than one category of services can be used by the applicant for only one of the three categories for evaluation.

In case of consortium, the combined strength of both the members shall be taken into consideration.

6 Instruction to Applicants

A. General

6.1 Applicant’s Proposal

6.1.1 In case an Applicant possesses the requisite experience and capabilities required for undertaking the Consultancy, it may participate in the Empanelment. The manner in which the Proposal is required to be submitted, evaluated and accepted is explained in this RFP.

6.1.2 Applicants are advised that the empanelment of the Applicants shall be on the basis of an evaluation by the Authority through the Empanelment Process specified in this RFP. Applicants shall be deemed to have understood and agreed that no explanation or justification for any aspect of the Empanelment Process will be given and that the Authority’s decisions are without any right of appeal whatsoever.

6.1.3 The Applicant shall submit its Proposal in the form and manner specified in this Section of the RFP

6.1.4 Applicants are advised to familiarize themselves with the prevailing legal situations for the execution of contract. The Authority shall not entertain any request for clarification from the Applicant regarding such legal aspects of submission of the Bid

6.2 Conditions of Eligibility

6.2.1 Applicants must carefully read the minimum Conditions of eligibility provided herein.

6.2.2 Any Applicant who has been barred by the Central/State Government in India, or any entity controlled by them, from participating in any project, and the bar subsists as on the PDD would not be eligible to submit its Bid.

6.2.3 To be eligible for evaluation of its credentials, the Applicant must fulfill Prequalification Criteria towards eligible experience

6.3 Conflict of Interest

6.3.1 An Applicant shall not have a conflict of interest that may affect the Empanelment Process or the Service Agreement (the “Conflict of Interest”). Any Applicant found to have a Conflict of Interest shall be disqualified. In the event of disqualification, the Authority shall forfeit and appropriate the Security Deposit, if available, as mutually agreed genuine pre-estimated compensation and damages payable to the Authority

for, inter alia, the time, cost and effort of the Authority including consideration of such Applicant’s Proposal, without prejudice to any other right or remedy that may be available to the Authority hereunder or otherwise.

6.3.2 An Applicant shall be deemed to have a Conflict of Interest affecting the Empanelment Process, if:

a. the Applicant, its consortium member (the “Member”) or Associates (or any constituent thereof) and any other Applicant, its consortium member or Associate (or any constituent thereof) have common controlling shareholders or other ownership interest; provided that this disqualification shall not apply in cases where the direct or indirect shareholding or ownership interest of an Applicant, its Member or Associate (or any shareholder thereof having a shareholding of more than 5 per cent of the paid up and subscribed share capital of such Applicant, Member or Associate, as the case may be) in the other Applicant, its consortium member or Associate is less than 5% (five per cent) of the subscribed and paid up equity share capital thereof. For the purposes of this Clause 6.3.2(a), indirect shareholding held through one or more intermediate persons shall be computed as follows: (aa) where any intermediary is controlled by a person through management control or otherwise, the entire shareholding held by such controlled intermediary in any other person (the “Subject Person”) shall be taken into account for computing the shareholding of such controlling person in the Subject Person; and (bb) subject always to Sub-clause (aa) above, where a person does not exercise control over an intermediary, which has shareholding in the Subject Person, the computation of indirect shareholding of such person in the Subject Person shall be undertaken on a proportionate basis; provided, however, that no such shareholding shall be reckoned under this Sub-clause (bb) if the shareholding of such person in the intermediary is less than 26% (twenty six per cent) of the subscribed and paid up equity shareholding of such intermediary; or

b. a constituent of such Applicant is also a constituent of another Applicant; or c. such Applicant or its Associate receives or has received any direct or indirect

subsidy or grant from any other Applicant or its Associate; or d. such Applicant has the same legal representative for purposes of this Application

as any other Applicant; or e. such Applicant has a relationship with another Applicant, directly or through

common third parties, that puts them in a position to have access to each other’s information about, or to influence the Application of either or each of the other Applicant; or

f. there is a conflict among this and other assignments of the Empaneled Service Provider (including its personnel and other members, if any) and any subsidiaries or entities controlled by such Empaneled Service Provider or having common controlling shareholders. The duties of the Empaneled Applicant will depend on the circumstances of each case. While providing services to the Authority for this particular assignment, the Empaneled Applicant shall not take up any assignment that by its nature will result in conflict with the present assignment; or

For purposes of this RFP, Associate means, in relation to the Applicant, a person who controls, is controlled by, or is under the common control with such Applicant, or is deemed or published as an “Associate Office”; or has a formal arrangement such as tie

up for client referral or technology sharing, joint venture with the Applicant (the “Associate”); provided, however, that if the Applicant has any formal arrangement such as consortium membership in a consortium of advisers/ consultants for a particular assignment/ project, not being this project, with any other person, then such other person shall not be treated to be an Associate of the Applicant solely due to the reason of forming such consortium. As used in this definition, the expression “control” means, with respect to a person which is a company or corporation, the ownership, directly or indirectly, of more than 50% (fifty per cent) of the voting shares of such person, and with respect to a person which is not company or corporation, the power to direct the management and policies of such person by operation of law or by contract.

6.4 Number of Proposals

6.4.1 No Applicant or its Associate shall submit more than one Proposal for the Consultancy. An Applicant applying individually or as an Associate shall not be entitled to submit another Proposal either individually or as a member of any consortium, as the case may be.

6.5 Cost of Proposal

6.5.1 The Applicants shall be responsible for all of the costs associated with the preparation of their Proposals and their participation in the Empanelment Process including subsequent negotiation, visits to the Authority etc. The Authority will not be responsible or in any way liable for such costs, regardless of the conduct or outcome of the Empanelment Process.

6.6 Bid Validity

6.6.1 The proposal submitted by the Applicants shall be valid for a minimum period of 180 days from the date of opening of the Bid. However the Authority reserves the right to extend or short close the Bid validity period if situation warrants to benefit the Government.

6.7 Earnest Money Deposit

6.7.1 An EMD amount as specified in the Clause 1.1, Sl. No 8 of this RFP should be paid by way of Demand Draft drawn in favour of “Andhra Pradesh State FiberNet Limited” payable at Hyderabad. The Demand Draft should be deposited physically along with the bid.

6.7.2 The EMD of the unsuccessful Bidders will be returned at the expense of the Bidders within a reasonable time consistent with the rules and regulations in this behalf. The EMD amount held by APSFL till it is refunded to the unsuccessful Bidders will not earn any interest thereof.

6.7.3 The EMD amount of the Successful Bidder can be converted into Security Deposit (SD) and will be returned only after the successful fulfillment of the Contract.

6.7.4 The EMD amount will be forfeited by APSFL, if the Bidder withdraws the bid during the period of its validity specified in the tender or if the Successful Bidder fails to

sign the contract or the Successful in bidder fails to remit Security Deposit within the respective due dates.

6.8 Right to reject any or all Proposals

6.8.1 Notwithstanding anything contained in this RFP, the Authority reserves the right to accept or reject any Proposal and to annul the Empanelment Process and reject all Proposals, at any time without any liability or any obligation for such acceptance, rejection or annulment, and without assigning any reasons thereof.

6.8.2 Without prejudice to the generality of Clause 6.8.1, the Authority reserves the right to reject any Proposal if:

i. at any time, a material misrepresentation is made or discovered, or ii. the Applicant does not provide, within the time specified by the Authority,

the supplemental information sought by the Authority for evaluation of the Proposal.

6.8.3 Misrepresentation/ improper response by the Applicant may lead to the disqualification of the Applicant. If the Applicant is the Lead Member of a consortium, then the entire consortium may be disqualified / rejected. If such disqualification / rejection occurs after the Proposals have been opened and the highest ranking Applicants gets disqualified / rejected, then the Authority reserves the right to consider the next best Applicant for empanelment, or take any other measure as may be deemed fit in the sole discretion of the Authority, including annulment of the Empanelment Process.

6.9 Suppression of facts and misleading information

6.9.1 The Authority reserves the right to reject any Bid if at any time, a material misrepresentation is made or uncovered, or the Applicant does not provide, within the time specified by the Authority, the supplemental information sought by the Authority for evaluation of the Bid or If such disqualification/rejection occurs after the Bids have been opened, such Applicant shall not be eligible for participating in the Empanelment process.

6.9.2 Such misrepresentation/improper response may lead to disqualification of the Applicant, even after Empanelment or awarding of contract without any compensation to the Applicant and the Security Deposits, as the case may be, shall be forfeited.

6.9.3 Applicants should note that any figures in the proof documents submitted by the Applicants for proving their eligibility is found suppressed or erased, the Authority shall have the right to seek the correct facts and figures or reject such Bids.

6.9.4 It is up to the Applicants to submit the full copies of the proof documents to meet out the criteria. Otherwise, the Authority at its discretion may or may not consider such documents.

6.9.5 The RFP calls for full copies of documents to prove the Applicant’s experience and capacity to undertake assignment.

6.10 Acknowledgement by Applicant

6.10.1 It shall be deemed that by submitting the Bid, the Applicant has:

a. made a complete and careful examination of the RFP document;

b. submitted all relevant information requested from Authority;

c. acknowledged and accepted the risk of inadequacy, error or mistake in the

information provided in the RFP document or furnished by or on behalf of

Authority or relating to any matters referred to in this RFP;

d. satisfied itself about all matters, things and information, including matters referred in this RFP , necessary and required for submitting an informed Bid and performance of all of its obligations there under and

e. acknowledged that it does not have a Conflict of Interest; and

f. agreed to be bound by the undertaking provided by it under and in terms hereof.

6.12 Clarifications

6.12.1 Applicants requiring any clarification on the RFP may send their queries in writing before the date mentioned in the Bid Timeline at Clause 1.2 Queries should be addressed to the Managing Director, APSFL as indicated in the clause 2.6

The envelopes shall clearly bear the following identification: “Queries/Request for Additional Information concerning RFP FOR EMPANELMENT OF SERVICE PROVIDERS FOR DRONE BASED SERVICES”

6.12.2 The Bidders are requested to send their consolidated queries to the official e-mail of APSFL only once and further queries sent by the Bidders shall not be entertained.

6.12.3 The Authority shall endeavor to respond to the queries within the period specified therein but not later than 7 (seven) days prior to the PDD. The responses will be sent by fax or e-mail and will also be posted on the Official Website (www.apsfl.in).

6.12.4 The Authority reserves the right not to respond to any queries or provide any clarifications, in its sole discretion, and nothing in this Clause 6.12 shall be construed as obliging the Authority to respond to any question or to provide any clarification.

6.13 Amendment of RFP

6.13.1 At any time prior to the deadline for submission of Proposal, the Authority may, for any reason, whether at its own initiative or in response to clarifications requested by an Applicant, modify the RFP document by the issuance of Addendum/ Amendment and posting it on the Official Website. All prospective bidders are requested to regularly visit www.apsfl.in for any updates.

6.13.2 In order to afford the Applicants a reasonable time for taking an amendment into account, or for any other reason, the Authority may, in its sole discretion, extend the PDD

C. Preparation and submission of Proposal

6.14 Language of Bid

6.14.1 The bid prepared by the Applicant as well as all correspondence and documents relating to the bid shall be in English only. The supporting documents and printed literature furnished by the Applicant may be in another language provided they are accompanied by an accurate translation in English duly notarized, in which case, for all purposes of the bid, the translation shall govern. Bids received without such translation copy are liable to be rejected.

6.15 Format and Signing of Proposal

6.15.1 The Applicant shall provide all the information sought under this RFP. The Authority would evaluate only those Proposals that are received in the specified forms and complete in all respects.

6.15.2 The Applicant shall prepare one original set of the Proposal (together with originals/ copies of Documents required to be submitted along therewith pursuant to this RFP) and clearly marked “ORIGINAL”. In addition, the Applicant shall submit 1 (one) copy (only Technical) of the Proposal, along with Documents, marked “COPY”. In the event of any discrepancy between the original and its copies, the original shall prevail.

Or, soft copy of the bid shall be submitted to [email protected] on or before PDD.

6.15.3 The Bid shall contain no interlineations, erasures or overwriting except as necessary to correct errors made by the Applicant, in which case such corrections shall be initialed by the person or persons signing the Bid.

6.15.4 The Proposal, and its copy, shall be typed or written in indelible ink and signed by the Authorized Representative of the Applicant who shall initial each page. In case of printed and published Documents, only the cover shall be initialed. All the alterations, omissions, additions, or any other amendments made to the Proposal shall be initialed by the person(s) signing the Proposal. The Proposals must be properly signed by the authorized representative.

6.15.5 The Authority reserves the right to seek additional information/ clarifications from the Applicant as per the need.

6.16 Mode of Submission of Proposal

6.16.1 The Bids should be submitted strictly as specified in the RFP document. The Bids should reach APSFL office, on or before the PDD at the address specified as per Clause 2.6.1

6.16.2 The Authority may, in its sole discretion, extend the PDD by issuing an Addendum in accordance with Clause 6.12 uniformly for all Applicants

6.16.3 If the Applicant prefers to submit the Bid by post, the Applicant should ensure that the Bid reaches to the Managing Director, APSFL on or before the PDD. APSFL will not be liable or responsible for any postal delay or any other delay whatsoever.

6.16.4 If any Bid is received after PDD or unsealed or disorderly submitted or received by Facsimiles (FAX), the Bid will be treated as non-responsive and will be summarily rejected and returned unopened to the Bidder(s). No further correspondence on the subject will be entertained.

6.17 Modification and Withdrawal of Bid

6.17.1 The Applicant may modify, substitute, or withdraw its Proposal after submission, provided that written notice of the modification, substitution, or withdrawal is received by the Authority prior to PDD. No Proposal shall be modified, substituted, or withdrawn by the Applicant on or after the PDD.

6.17.2 The modification, substitution, or withdrawal notice shall be prepared, sealed, marked, and delivered in accordance with Clause 6.16, with the envelopes being additionally marked “MODIFICATION”, “SUBSTITUTION” or “WITHDRAWAL”, as appropriate.

6.17.3 Any alteration / modification in the Proposal or additional information or material supplied subsequent to the PDD, unless the same has been expressly sought for by the Authority, shall be disregarded.

D. Evaluation Process

6.18 Evaluation of Proposals

6.18.1 The Authority shall open the Proposals at 16:00 hours on the PDD, at the place specified in clause 2.6.1 and in the presence of the Applicants who choose to attend.

6.18.2 Proposals for which a notice of withdrawal has been submitted in accordance with Clause 6.17 shall not be opened.

6.18.3 Prior to evaluation of Proposals, the Authority will determine whether each Proposal is responsive to the requirements of the RFP. A Proposal shall be considered responsive only if:

a) the Proposal is received in the form specified in this RFP and as per the formats

specified in Schedules;

b) it is received including any extension thereof pursuant to Clause 6.16

c) it is in the format as stipulated in Clauses 6.15;

d) it is signed by the Authorized Representative as specified in Clause 6.15.4

e) it contains all the information (complete in all respects) as requested in the RFP;

f) it does not contain any condition or qualification; and

g) it is not non-responsive in terms hereof.

6.18.4 The Authority reserves the right to reject any Proposal which is non-responsive and no request for alteration, modification, substitution or withdrawal shall be entertained by the Authority in respect of such Proposals.

6.18.5 The empanelment of Applicants shall be carried out on Proposal evaluation. The Authority shall examine and evaluate Proposals in accordance with the Empanelment Process specified at Clause 2.5 and the criteria set out in Section 5 of this RFP.

6.18.6 Applicants are advised that Empanelment shall be entirely at the discretion of the Authority. Applicants shall be deemed to have understood and agreed that the Authority shall not be required to provide any explanation or justification in respect of any aspect of the Empanelment Process or Empanelment.

6.18.7 Any information contained in the Proposal shall not in any way be construed as binding on the Authority, its agents, successors or assigns, but shall be binding against the Applicant if the Service Agreement is subsequently awarded to it

6.19 Confidentiality

6.19.1 Information relating to the examination, clarification, evaluation, and recommendation for the empanelment of Applicants shall not be disclosed to any person who is not officially concerned with the process or is not a professional adviser advising the Authority in relation to matters arising out of, or concerning the Empanelment Process. The Authority shall treat all information, submitted as part of the Proposal, in confidence and shall require all those who have access to such material to treat the same in confidence. The Authority may not divulge any such information unless it is directed to do so by any statutory entity that has the power under law to require its disclosure or to enforce or assert any right or privilege of the statutory entity and/or the Authority or as may be required by law or in connection with any legal process.

6.20 Clarifications sought by Authority

6.20.1 To facilitate evaluation of Proposals, the Authority may, at its sole discretion, seek clarifications from any Applicant regarding its Proposal. Such clarification(s) shall be provided within the time specified by the Authority for this purpose. Any request for clarification(s) and all clarification(s) in response thereto shall be in writing.

6.20.2 If an Applicant does not provide clarifications sought under Clause 6.20.1 above within the specified time, its Proposal shall be liable to be rejected. In case the Proposal is not rejected, the Authority may proceed to evaluate the Proposal by construing the particulars requiring clarification to the best of its understanding, and the Applicant shall be barred from subsequently questioning such interpretation of the Authority.

E. Empanelment of Selected Applicants

6.21 Empanelment

6.21.1. The Authority shall assign scores for the Applicants as per the evaluation criteria

given in this RFP. The top five (maximum five) ranked Applicants as per the scoring,

shall be selected for empanelment with APSFL.

For completing the empanelment process, the Empaneled Service providers shall

submit, within a period of 10 days from the date of intimation by APSFL, an interest

free Security Deposit (SD) in form of a performance bank guarantee of Rs. 5 Lakhs to

the Authority. The bank guarantee shall be from a scheduled / nationalized bank.

In case of failure of selected Applicants to submit the bank guarantee within the

specified period of 10 days, the Authority may reject the empanelment of the specified

Applicant and have the right to empanel any other Applicant.

6.22 Forfeiture of SD

If the Empaneled Service Provider fails to perform its assigned scope of services according to the respective Service Agreements or fails to submit quotation for the Service Request raised by APSFL during the period of empanelment or refuses to sign Service Agreement after being selected, the Authority shall have a right to forfeit the Security Deposit in part or full.

6.22.1. The period of empanelment is proposed to be one year, which is extendable based on

requirement.

6.22.2. The Security Deposit will be refunded to the Empaneled Service Providers on

completion of the period of empanelment.

6.22.3. The Empaneled Service Provider shall not assign/sublet the contract, the benefit or

burden or any part thereof to any other person or persons or corporate body without

the written consent of APSFL.

6.22.4. APSFL reserves its right to place order on a service provider who is not empaneled,

in case of any innovative product, solution that is introduced.

6.22.5. APSFL reserves the right to reject any or all the quotation received against the

Service Requests without assigning any reason. APSFL also reserves the right to

change, relax or waive any of the conditions stipulated in the terms and conditions of

agreement as deemed necessary in the best interest of APSFL for good and sufficient

reasons.

6.23 Process of Award of Service Agreements

6.23.1. APSFL will seek quotations from each service provider for providing drone based

services through a Service Request. Whoever satisfies the condition and quotes the

lowest will be given the work order.

6.23.2. The requirement and the scope of work shall be specified in the Service Request

raised by APSFL for delivering drone based services to participating government

departments/ government entities.

6.23.3. The Service Requests for providing drone based services will be evaluated based on

the evaluation criteria as defined in the respective Service Request documents.

6.23.4. The selected service provider has to provide drones and operators on lease basis to

APSFL for the period during which the service operation takes place. The Service

Agreement shall be based on terms and conditions of Wet Lease Agreement (Service

Agreement) as specified in Annexure 2.

6.23.5. The payment terms and commercial conditions for each work will be as per the

Service Request floated by APSFL for the specified work.

6.24 Commencement of Assignment:

The Empaneled Service Provider shall commence the services within seven days of the date of signing of Service Agreement, or such other date as may be mutually agreed upon submission of performance guarantee as specified in the Service Agreement. If the Empaneled Service Provider fails to either sign the Agreement or commence the assignment as specified therein, the Authority may invite the second ranked empaneled service provider for negotiations. In such an event, the Service Agreement, may be cancelled /terminated.

7 Fraud and Corrupt Practices

7.1 The Applicants and their respective officers, employees, agents and advisers shall observe the highest standard of ethics during the Empanelment Process. Notwithstanding anything to the contrary contained in this RFP document, the Authority shall reject Bid without being liable in any manner whatsoever to the Applicant, if it determines that the Applicant has, directly or indirectly or through an agent, engaged in corrupt practice, fraudulent practice, coercive practice, undesirable practice or restrictive practice (collectively the “Prohibited Practices”) in the Empanelment process.

7.2 For the purposes of this Clause, the following terms shall have the meaning hereinafter respectively assigned to them:

7.2.1 “Corrupt practice: means (i) the offering, giving, receiving, or soliciting, directly or indirectly, of anything of value to influence the action of any person connected with the Empanelment Process (for avoidance of doubt, offering of employment to or employing or engaging in any manner whatsoever, directly or indirectly, any official of The Authority who is or has been associated in any manner, directly or indirectly with the Empanelment Process or arising there from, before or after the execution thereof, at any time prior to the expiry of one year from the date such official resigns or retires from or otherwise ceases to be in the service of the Authority, shall be deemed to constitute influencing the actions of a person connected with the Empanelment Process or (ii) engaging in an manner whatsoever, whether during the Empanelment Process or after short-listing, as the case may be, any person in respect of any matter relating to the Project, who at any time has been or is a legal, financial or technical consultant/adviser of the Authority in relation to any matter concerning the engagement;

7.2.2 “Fraudulent practice” means a misrepresentation or omission of facts or disclosure of incomplete facts, in order to influence the Empanelment Process;

7.2.3 “Coercive practice: means impairing or harming or threatening to impair or harm, directly or indirectly, any persons or property to influence any person’s participation or action in the Empanelment Process;

7.2.4 “Undesirable practice” means establishing contact with any person connected with or employed or engaged by The Authority with the objective of canvassing, lobbying or in any manner influencing or attempting to influence the Empanelment process;

7.2.5 “Restrictive practice: means forming a cartel or arriving at any understanding or

arrangement among Applicants with the objective of restricting or manipulating a

full and fair competition in the Empanelment Process.

Annexure 1:

A. Scope of Works- General

1. The Applicant shall conduct aerial surveys capturing high resolution data using pre-programmed, autonomous flights for any of the following sectors:

Agriculture

Forestry

Municipal administration & urban planning

Mining

Disaster management

Police

Tourism

Revenue

Basic engineering

Infrastructure

2. The aerial vehicle – drone, fixed/rotor type shall be used for data acquisition and subsequently processing.

3. The drone shall have on-board mounted payload consists of processor board, GPS antenna, wireless camera.

4. The drone flight shall be controlled through ground control station. The mission parameter required for flight control shall be provided by ground control station to the flight controller.

5. On board mounted GPS transmitter/receiver should provide the current location to the processor board for flight control as well as it should be communicated to ground control station to monitor flight trajectory on the display.

6. Wireless camera shall be mounted on drone. The system shall be able to stream the image/video through on board video transmitter to video receiver connected to command/control device at ground.

7. Perform videography with high resolution camera (14MP or more) and prepare high definition videos with the layer of information embedded in the video

8. Perform aerial photography using high resolution daylight camera (14MP or more) with geo-tagging (RTK GPS), high precision, and photogrammetric aerial camera.

9. Aerial images need to be taken maintaining a GSD (Ground Sample Distance) GSD of ~3cm to ~5cm per pixel or better.

10. Necessary pre-marking or post marking of ground control points are required for precise geo-referencing of the images. It is required that each GCP (Ground Control Point) is clearly identifiable in the aerial image after processing.

11. Imagery shall have an overlap of 60% forward and 30% side.

12. Imagery shall have overlap between cross-track and in-track frames

13. Prepare geo-referenced orthomosaic 2D maps based on the aerial photography

B. Specification: The specifications detailed out below are indicative. The Applicant shall confirm to equivalent or more superior specifications and shall provide specifications of drones and payloads to be deployed for providing drone based services in the technical proposal (Schedule 12), along with this RFP. Failure of the Applicant to confirm to the specifications submitted by the Applicant along with this RFP may lead to disqualification of the Applicant and forfeiture of SD.

Terms and Conditions of Wet Lease Agreement (Service Agreement)

1. Lessee: Andhra Pradesh State FiberNet Limited,

3. As per the terms and conditions of the Service Agreement, the Lessor shall wet lease

to Lessee, drone & associated equipment, drone operators & other supporting staff,

necessary maintenance and insurance required for the purpose of execution of the

scope of services specified in the Service Request

4. Lease period: Lease period shall start from handing over of the Equipment to the

Lessee, includes the completion of drone operation and the services under the

Service Agreement and end upon completion of services and return of the equipment

to the Lessor.

6. Following self-declaration in the form of notarized undertaking shall be furnished by

the Lessor on behalf of the drone operators provided for execution of Services;

i) Operator is trained in operation of drones

ii) Operator shall be liable for any damages and claims due to drone operation

iii) Operator shall not carry out any illegal activities by the use of drones

iv) Operator shall follow all guidelines issued by DGCA or any other statutory

bodies time to time on the ownership and operation of drones

v) Operator shall ensure that the drone is in proper working condition before

every flight

vi) Operator shall ensure utmost safety and security of properties, public in

general etc.

vii) Operations shall be conducted by drone in the allowed area only, without

infringements into unauthorized public or private areas

viii) Operator shall inform the local police immediately in case of any untoward

incident.

7. Commencement of Services: The Lessor shall commence the services within seven

days of the date of signing of Service Agreement, or such other date as may be

mutually agreed upon submission of performance guarantee as specified in the

Service Agreement.

8. Delivery of Services: Delivery of Services shall be as per the scope detailed out in the

Service Request. It is the responsibility of the Lessor to execute the works in line with

the requirements of the Service Request.

9. Lessee’s obligations: The Lessee shall be obliged to-

i. Give all the required support in terms of information/ inputs/ data available for

discharging services detailed out in Service Agreement.

ii. Upon written request from the Lessor, use reasonable endeavor to assist the

Lessor in obtaining from the government access to site to carry out the services as

specified in the Service Request.

iii. Use reasonable endeavors to assist the Lessor to obtain from state government

instrumentalities all applicable permits

iv. Make timely payments to the Lessor as are required pursuant to the terms of

Service Agreement

10. General obligations of Lessor:

i) Lessor shall do and provide all things necessary for successful achievement of

the services specified in the Service Request and its obligations &

responsibilities are not limited to matters expressly stipulated in the Service

Agreement.

ii) The Lessor shall execute the services in strict accordance with the Service

Agreement to the satisfaction of the Lessee and adhere to the instruction and

directions of the Lessee on any matter connected therewith

11. Risk of inadequacy, mistake or error: The Lessor acknowledges and hereby accepts

the risk of inadequacy mistake or error in the information provided in the Service

Request document or furnished by or on behalf of lessee or relating to any matters

referred to in this agreement. The lessor shall not be entitled to any claims for

additional payments or any extension of time on the ground of any

misunderstanding or misapprehension in respect of the matter referred to in this

clause.

The lessor acknowledges and agrees that except as otherwise provided in this

contract, all risks in relation to the execution of services shall be borne by the Lessor

and the Lessee shall not be liable for any such risks and consequences thereof.

12. Hold harmless and indemnify: Lessor shall indemnify Lessee against, and hold

Lessee harmless from, any and all claims, actions, suits, proceedings, costs, expenses,

damages, and liabilities, including attorney’s fees, arising out of, connected with, or

resulting from the equipment or the Lease, including without limitation, the

manufacture, selection, delivery, leasing, renting, control, possession, use, operation,

maintenance or return of the equipment. Lessor shall further indemnify Lessee, and

hold Lessee harmless from all loss and damage to the equipment during the lease

period.

13. Liability of operations: During the wet lease operations, the technical, operational

and other administrative liability of the operations will rest with the Lessor

14. During the operation of the drones by the Lessor, the Lessor shall ensure the

following:

i) Shall keep all the records related to the services

ii) Shall share all the data captured during the operations to the lessee

iii) Shall ensure availability of the standby drone and other necessary equipment

in case an extended of a downtime which affects the performance of the

services

iv) Shall discharge its duties in a fair, impartial and efficient manner, consistent

with the highest standards of professional integrity and Good Industry

Practice

15. Good working conditions of equipment: The lessor shall ensure that the drone and

associated equipment leased out by the Lessor must be in good working condition

during the leasing period. In case of required replacement or repairs of equipment ,

the associated expenses including labor, material, parts and other items shall be

borne by the Lessor

16. Information furnished by Lessor in connection with the agreement does not at any

time, contain any untrue statement or omit any relevant facts necessary for execution

of scope of works as specified in the Service Request, omission of which makes the

statement liable for termination of contract by Lessee.

17. Use of Leased equipment: Lessee shall ensure that the equipment leased by the

Lessor shall only be operated/used by the Lessor’s hired staff provided in the

Service Agreement. No equipment shall be sublet by Lessee, nor shall assign or

transfer any interest in this agreement without any written consent of Lessor

18. Ownership: Lessor shall at all times retain ownership and title of the equipment.

Lessee shall however give Lessor immediate notice in the event that any of said

equipment is levied upon or is about to become liable or is threatened with seizure,

and Lessor shall indemnify Lessee against all loss and damages caused by such

action.

19. Recall notice: Lessor may recall any or all equipment upon ten (10) days written

notice to Lessee anytime during the period of contract or after completion of works.

In case of lessor recalling equipment due to nonperformance of the services or before

the actual completion of services, the performance guarantee shall be forfeited.

20. Surrender: Upon expiration or earlier termination of the lease, Lessee shall return the

equipment to the Lessor. Lessee shall be indemnified from any damage, wear or tear

or performance degradation of leased equipment at the time of return of the

equipment.

21. No lien on property: Neither the execution of the agreement or compliance by Lessee

with any terms and/or provision of the agreement will contravene or result in any

breach of, or constitute any default under any law applicable to Lessee or result in

the creation of any security interest and /or lien or whatsoever up on any property of

Lessor.

22. No Subletting Assignment: No equipment shall be sublet by Lessee, nor shall he

assign or transfer any interest in this Agreement without written consent of Lessor.

Subject to the foregoing, this Agreement inures to the benefit of, and is binding upon,

the heirs, successors, and assigns of the parties hereto.

23. Payments: Payments to the Lessor shall be as specified in the Service Request

conditions. Advance payment against a performance security shall be provided by

the Lessee. The balance payment shall be based on the interim and final payment

milestone specified in the Service Request document

24. Penalty for delay in delivery of Services: In case the Lessor fails to comply with the

delivery within the timelines specified in the Service Agreement, the Lessor shall be

subjected to a Penalty, the details of which shall be specified in the respective Service

Agreement.

25. Tax: All charges viz. the taxes (excluding service tax), duty, cess and all other levies

as instituted by the statute that become applicable to any of the services provided

under this engagement shall be to the Lessor’s account

26. Proprietary data: All documents and other information provided by the Lessee or

submitted by the Lessor to the Lessee shall remain or become the property of the

Lessee. The Lessor shall treat all information as strictly confidential. The Lessee will

not return any Proposal or any information related thereto. All information collected,

analyzed, processed or in whatever manner provided by the Lessor to the Lessee in

relation to the respective Service Agreement shall be the property of the Lessee.

27. Force Majeure: Notwithstanding any provision contained herein to the contrary,

neither Party shall be deemed to be in default hereunder for failing to perform

obligations arising pursuant to this Lease for such failure is the result of any acts of

state or governmental action, riots, disturbances, war (whether by formal declaration

or informal action), strikes, lockouts, terrorism, slow- downs, prolonged shortage of

energy supplies, epidemics, fire, flood, hurricane, typhoon, earthquake, lightning

and explosion (an "event of Force Majeure').

28. Termination of Contract

27.1. Termination for default

Lessee may without prejudice to any other remedy for breach of contract, by written

notice of default with a notice period of 7 days, sent to the Lessor, terminate the

contract in whole or part, (i) if the Lessor fails to handover the equipment to Lessee

within the time period(s) specified in the Service Agreement, or fails to adhere to the

Timelines or within any extension thereof granted by Lessee for delivery of the

services as per the Service Agreement; or (ii) if the Lessor fails to perform any of the

obligation(s) under the Service Agreement; or (iii) if the Lessor, in the judgment of

Lessee, has engaged in fraudulent and corrupt practices in competing for or in

executing the Service Agreement.

27.2. Termination for Insolvency

Lessee may at any time terminate the Contract by giving written notice with a notice

period of 7 days to the Lessor, if the Lessor becomes bankrupt or otherwise insolvent.

In this event, termination will be without compensation to the Lessor, provided that

such termination will not prejudice or affect any right of action or remedy that has

accrued or will accrue thereafter to Lessee.

27.3. Termination for Convenience

Lessee may by written notice, with a notice period of seven days sent to the Lessor,

may terminate the Contract, in whole or in part, at any time for its convenience. The

notice of termination shall specify that termination is for Lessee’s convenience, the

extent to which performance of work under the Contract is terminated, and the date

upon which such termination becomes effective. On termination, the Lessor is not

entitled to any compensation whatsoever. However the performance security shall

be returned to the Lessor.

27.4. Delivery of equipment upon Termination: Upon Termination of the Service

Agreement before the completion of the services or upon termination of the

performance of the whole or any part of the services the Lessee shall return back

to the Lessor, any equipment or property which was leased to the Lessee as per

the terms of the Service Agreement

29. Governing Law and Jurisdiction

28.1. This agreement and any dispute or claim arising out of or in connection with it or

its subject matter or formation (including non-contractual disputes or claims)

shall be governed by and construed in accordance with the law of India.

28.2. The parties irrevocably agree that the courts of Hyderabad shall have exclusive

jurisdiction to settle any dispute or claim that arises out of or in connection with

this agreement or its subject matter or formation (including non-contractual

disputes or claims).

We certify that in regard to matters other than security and integrity of the country, we have not been convicted by a Court of Law or indicted or adverse orders passed by a regulatory authority which could cast a doubt on our ability to undertake the assignment or which relates to a grave offence that outrages the moral sense of the community.

10. We further certify that in regard to matters relating to security and integrity of the country, we have not been charge-sheeted by any agency of the Government or convicted by a Court of Law for any offence committed by us or by any of our Associates.

11. We certify that we have not been blacklisted by any Govt. department or any PSU department in India as on the date of the submission.

We understand that, we shall have no claim, right or title arising out of any documents or information provided to us by APSFL or in respect of any matter arising out of or concerning or relating to the Empanelment process including the award of assignment.

a) Andhra Pradesh State FiberNet Limited, __________________Address______________ (hereinafter referred to as the “Authority” which expression shall, unless repugnant to the context or meaning thereof, include its administrators, successors and assigns) has invited proposals for empanelment (“the Applications”) by its Request for Proposal No. A P S F L / D r o n e s / 1 0 1 / 2 0 1 6 - 0 1 , D a t e d : 2 1 / 1 2 / 2 0 1 6 (the “RFP”) for empanelment of service providers for Drone Based Services.

b) The Parties are interested in jointly bidding for the empanelment as members of a Consortium and in accordance with the terms and conditions of the RFP document, and

c) It is a necessary condition under the RFP document that the members of the Consortium shall enter into a Joint Bidding Agreement and furnish a copy thereof with the Application.

NOW IT IS HEREBY AGREED as follows:

1. Definitions and interpretations: In this Agreement, the capitalized terms shall, unless the context otherwise requires, have the meaning ascribed thereto under the RFP.

2. Consortium

a) The Parties do hereby irrevocably constitute a consortium (the “Consortium”) for the purposes of jointly participating in the empanelment process & further working on providing the specified services to APSFL.

b) The Parties hereby undertake to participate in the Bidding process only through this Consortium and not individually and/ or through any other consortium constituted, either directly or indirectly or through any of their Affiliates.

3. Covenants: The Parties hereby undertake that in the event the Consortium is declared a s one of the empaneled service provider, it will participate in the bidding process for particular works as required by the Authority in the same consortium. In case they are selected as the service provider against a particular Service Request raised by APSFL, the Parties shall enter into a Service Agreement (“Wet Lease Agreement”) with the Authority and perform all obligations as per the terms of the Service Agreement.

4. Role of the parties: The Parties hereby undertake to perform the roles and responsibilities as described below:

a) Party of the First Part shall be the Member in Charge of the Consortium and shall have the power of attorney from all Parties for conducting all business for and on behalf of the Consortium during the Empanelment process for the Consultancy and until the Effective Date under the Contract;

b) Party of the Second Part shall be [role]

5. Joint and Several Liability: The Parties do hereby undertake to be jointly and severally responsible for all obligations and liabilities relating to the service and in accordance with the terms of the RFP and the Contract, for the performance of the Contract.

6. Member in-charge: Without prejudice to the joint and severe liability of all the Parties, each Party agrees that it shall exercise all rights and remedies under the Contract

through the Member in Charge and the Authority shall be entitled to deal with such Member in Charge as the representative of all Members. Each Party agrees and acknowledges that:

a) Any decision (including without limitation, any waiver or consent), action, omission, communication or notice of the Member in Charge on any matters related to the Contract shall be deemed to have been on its behalf and shall be binding on it. The Authority shall be entitled to rely upon any such action, decision or communication from the Member in Charge;

b) consolidated invoices for the services in relation to the service performed by all the Members shall be prepared and submitted by the Member in Charge and the Authority shall have the right to release payments solely to the Member in Charge and the Authority shall not in any manner be responsible or liable for the inter se allocation of payments, works etc. among the Parties;

c) Any notice, communication, information or documents to be provided to the Consortium shall be delivered to the authorized representative of the Consortium (as designated pursuant to the Contract) and any such notice, communication, information or documents shall be deemed to have been delivered to all the Parties.

7. Representation of the Parties: Each Party represents to the other Parties as of the date of this Agreement that: a) Such Party is duly organized, validly existing and in good standing under the laws

of its incorporation and has all requisite power and authority to enter into this Agreement;

b) The execution, delivery and performance by such Party of this Agreement has been authorized by all necessary and appropriate corporate or governmental action and a copy of the extract of the charter documents and board resolution/ power of attorney in favor of the person executing this Agreement for the delegation of power and authority to execute this Agreement on behalf of the Party is annexed to this Agreement, and will not, to the best of its knowledge: (i) require any consent or approval not already obtained; (ii) violate any Applicable Law presently in effect and having applicability to it; (iii) violate the memorandum and articles of association, by-laws or other applicable

organizational documents thereof; (iv) violate any clearance, permit, concession, grant, license or other governmental

authorization, approval, judgment, order or decree or any mortgage agreement, indenture or any other instrument to which such Party is a party or by which such Party or any of its properties or assets are bound or that is otherwise applicable to such Party; or

(v) create or impose any liens, mortgages, pledges, claims, security interests, charges or Encumbrances or obligations to create a lien, charge, pledge, security interest,

encumbrances or mortgage in or on the property of such Party, except for encumbrances that would not, individually or in the aggregate, have a material adverse effect on the financial condition or prospects or business of such Party so as to prevent such Party from fulfilling its obligations under this Agreement;

c) this Agreement is the legal and binding obligation of such Party, enforceable in accordance with its terms against it; and

d) there is no litigation pending or, to the best of such Party’s knowledge, threatened to which it or any of its Affiliates is a party that presently affects or which would have a material adverse effect on the financial condition or prospects or business of such Party in the fulfilment of its obligations under this Agreement.

8. Termination: This Agreement shall be effective from the date hereof and shall continue in full force and effect until the one year from the date of empanelment, in case the Consortium is empaneled with APSFL. However, in case the Consortium is not empaneled, the Agreement will stand terminated upon intimation by the Authority that it has not been empaneled.

9. Miscellaneous

a) This Joint Bidding Agreement shall be governed by laws of India.

b) The Parties acknowledge and accept that this Agreement shall not be amended by the Parties without the prior written consent of the Authority.
