I. FUNDED PHASE I 1

A. Description of Funded Phase I in Dinwiddie

Establish Upstream Connection and Backhaul - P1a RiverStreet will be working with MBC (Mid-Atlantic Broadband Communities) to purchase multi-gigabit (Gbps) transport on their existing fiber facilities that cross Amelia and Dinwiddie counties. This transport cost will be approximately $xxxx monthly, and we expect no more than a $xxxx upfront cost in Dinwiddie County assuming we are able to terminate this connection at the Unico Water Tank in McKenney~. This will be our regional “upstream or drain” out to the Internet. Our plan is to backhaul the data to a co-location facility in Gretna, VA where we will have a variety of options and best available pricing to aggregate the traffic out to the Internet using one or more Tier 1 ISP(s). Network Region Head End - (Unico Water Tank in McKenney~) - P1a This location will serve as the initial region aggregation point for data to offload to middle-mile fiber and be transported to a VA based datacenter. Pending approval and broadcast site due diligence, it will also host a PtMP nLoS and LoS radio system to provide last-mile service to area subscribers. It will require a cabinet/shelter to be installed as well as electricity. It will likely serve PtP Microwave Backhauls to one or two remote broadcast sites in Phase 1 & 2 and potentially others to the South East in Phase 3. First Remote Site - (Dinwiddie Landfill Tower*) - P1a This location will serve as a remote broadcast site. It may initially be backhauled using Microwave Wireless but also is on our list of sites to build fiber to (see sect. IV) as it will likely be a hub for other remote sites on its side of I-85 in Dinwiddie Co. Pending approval and broadcast site due diligence it will also host a PtMP nLoS and LoS radio system to provide last-mile service to area subscribers. It will NOT require a cabinet/shelter to be installed as this is existing with space confirmed to accommodate our needs. To be determined if separate power will be needed, however not necessary technically. Second Remote Site - (Subcarrier Tower #Din016*) $22,000 NRC / $xxxx mo - P1b This location will serve as a remote broadcast site. It is an existing commercial tower site that would require an ongoing lease. It will be backhauled using Licensed Microwave Wireless. It will likely be a spur but can be used as an alternate if needed to backhaul to a Phase 2 site for Western Dinwiddie Co. Pending approval and

It will require a cabinet/shelter to be installed as well as power to accommodate our requirements. Third Remote Site - (New Tower to be Constructed @ Old Northside Elementary School Site*) - P1b This is land owned by Dinwiddie County and is apparently vacant. We propose to construct (pending engineering approval) one of the donated 190’ towers in Dinwiddie’s possession (ref Appendix). Pending approval and broadcast site due diligence it will also host a PtMP nLoS and LoS radio system to provide last-mile service to area subscribers. It will require a cabinet/shelter to be installed as well as power to accommodate our requirements. It will be backhauled using fiber (see sect. IV) specifically due to its close proximity to MBC’s middle mile network. In Phase 2&3 this site may be a candidate site to connect the two county networks together for added redundancy or provide backhaul services to lightly populated areas on the Amelia/Dinwiddie County line. This Section needs to list all expenditures from the Company Grant Project Budget that are contemplated as part of Phase I in Dinwiddie. Pursuant to Section 7(a)(ii) of the Comprehensive Agreement, subject to the conditions set forth in the Comprehensive Agreement, the Company Grant Project Budget can be used for the following: (x) completing the construction and installation of any and all new Public Broadband Towers and new Micro-pops in a Funded Phase of the Coverage, Phasing, and Implementation Plan, including, but not limited to, completing any and all necessary clearing, site-preparation, access road construction, fiber connections, electrical connections, shelters, and fence and security work and (y) purchasing and installing the Network Equipment as listed in the Coverage, Phasing, and Implementation Plan. Pursuant to Section 2(f) of the Comprehensive Agreement, expenses for providing licensed microwave links may be paid for from the Company Grant Project Budget, with the understanding that, unless the Counties expressly agree otherwise in writing, no more than $200,000 of the Company Grant Project Budget shall be spent on licensing of spectrum from the FCC, including, but not limited not, CBRS, educational spectrum, and TVWS. (Licensed microwave links to do not count against this $200,000 basket.) The Company’s expenses for rent paid to co-locate on Third-Party Towers, recurring fiber connection bills associated with operating the Broadband Network, recurring electric bills associated with operating the Broadband Network, all costs of fiber installation (including, but not limited to materials, labor, and assessments), and any operational costs of running the Broadband Network shall not be paid from the Company Grant Project Budget, but shall be paid by the Company from its own funds. However, Section 6(a) of the Comprehensive Agreement does allow each County, in its sole discretion and at its own sole option, to choose to fund Third-Party Tower rent as a capital expense under the Company Grant Project Budget in cases where there are significant identifiable savings compared to new Vertical Asset installation and no significant benefit or advantage to Customers in constructing an new Vertical Asset to serve the same general area.

We propose a fiber build between this site and the Amelia Water tank (detailed in Sect IV) This site would serve as hub for the region having the Fiber that heads East (Toward Barnard Silos and Mannboro) terminate at this location. Pending agreement and broadcast site due diligence it will also host a PtMP nLoS and LoS radio system to provide last-mile service to area subscribers. This site would require a typical commercial site lease (estimate; 3yr Term (3x3yr renewals) NRC $xxxx MRC $xxxx) Second Remote Site - (Barnard Silos~) This is an existing private site with an approx 100’ silo with added mast(s) required. It would be fed by nearly 9 miles of fiber (see Sect IV) back to the TDS/Subcarrier Tower site in Amelia. It would also be used for 1 or more Microwave Wireless backhaul links from Eastern Amelia and other sites to the North and South likely in Phase 2&3. Pending agreement and broadcast site due diligence it will also host a PtMP nLoS and LoS radio system to provide last-mile service to area subscribers. In exchange for this site RSN is proposing offering complimentary VIP customer status to the site host and complimentary premium service at two predefined buildings at the farm site for the term of the agreement. This site will likely need a comm enclosure and power, the structure is existing. Third Remote Site - (New Tower to be Constructed near Mannboro VFD~) This is likely to be built on leased private land near the Mannboro VFD. We propose to construct (pending engineering approval) at least a 190’ tower in (ref Appendix). Pending approval and broadcast site due diligence it will also host a PtMP nLoS and LoS radio system to provide last-mile service to area subscribers. It will require a cabinet/shelter to be installed as well as power to accommodate our requirements. It will be fed using Wireless Microwave Backhaul to the Barnard Silos. In Phase 2&3

The Company must provide a list of Company’s Facilities (which includes basically any property owned by the Company in either County as well as any property owned by the Company paid for with public money from the Dinwiddie/Amelia project). See Section 6(b)(i) of the Comprehensive Agreement.

H. Siting of New Broadcast Sites

Amelia - Phase 1: Leased Site Near Mannboro VFD - This would be a lease at a private farm site across from the VFD and construction of a new tower. We are taking into consideration the economic viability to repurpose a guyed tower that Amelia County plans to decommission and erect it on this site pending positive soil study and engineering results. II. PLANNING SECTION

A. Plan for Timely Achieving the Project Requirements within the Company Grant Project Budget

RiverStreet Networks is committed to providing at least $1,000,000 in funding to complement the project during the 3-year term. This funding is aimed to primarily provide fiber-optic connectivity between the towers and will be approximately phased in 3 equal installments of $333,333.33 during each year of the project--2020, 2021, and 2022. Based on subscriber demand and take rate, additional supplemental funding may be provided by RiverStreet to further expand the network or focus on a fiber-to-the home buildout. This decision is at the sole discretion of RiverStreet Networks. Phasing and Schedule: The project will be divided into three, one-year phases; simultaneously worked in both counties. For planning purposes at the start of each phase the respective phase will be broken into A and B (approximately six months each). Coverage, Phasing and Implementation Updates are expected to occur by the following dates. Phase 1 (February 14, 2020) Phase 2 (February 5 [first Friday], 2021) Phase 3 (February 4 [first Friday], 2022)

III. TECHNICAL SPECIFICATIONS

New Towers and Structures In order to provide highly detailed specifications of any tower certain due diligence needs to be performed on the proposed land/site. Many of these items are impossible to do hypothetically and require a specific set of data to produce. This requires at least the following:

Mannboro Area Tower - Amelia Given the information available to us at this time we are considering relocating a decommissioned 190’ guyed tower from the rescue squad to this site. This would be pending successful broadcast site due diligence. Otherwise purchase and installation of a new 190’ - 250’ tower to suit the site and project objectives will be required (ref “Typical Tower Model”)

Broadband and Network Equipment

Upstream

Each County’s headend location will have a border gateway router participating in BGP peering with the upstream provider and performing various traffic management and security functions in addition to normal tower operations. We plan to use Mikrotik CCR-series routers for all head end functions. A small commodity Linux server will handle performance monitoring/polling, and a second server may also be required for LTE EPC functions depending on the final configuration (see notes under Last Mile). The additional hardware required roughly doubles the total “Network and switching” cost for these sites compared to a normal site (simplified to qty 2 on the cost details table.) Once the two counties are interconnected (in later phases), the network will be redundant against failure of either upstream connection and able to load balance between the connections if needed.

Transport

In areas where a fiber connection is available (see section below regarding fiber deployment plan), site-to-site links will be created on express-run optical fiber, providing direct Ethernet link between the routers at each site. When fiber is not available or is not being deployed yet, network links will be created using licensed or unlicensed microwave radio connections providing transparent Ethernet bridging between sites. Pairs of Ubiquiti AirFiber radios (or functional equivalent) operating in the 5GHz, 11Ghz, or 24Ghz bands will be used, with the specific model depending on which frequency space is available at that location and contemplated trafic load requirements. (Each pair collectively is a “Radio System - PtP microwave backhaul“ on the expenditures tables.) These microwave links are capable of throughput up to 1Gbps+ aggregate, depending on link distance and frequency space availability. See example hardware in the appendix section vii.3.

All traffic will be handled by a routed IP network with each tower site acting as an independent node, responsible for managing its local customer and equipment subnets, and the distribution of traffic to its neighbor sites, coordinated via IGP-OSPF with enhanced link state detection. This architecture is easy to configure and manage, scales well, and provides an excellent balance between complexity and features. This arrangement also allows us to add scalable redundancy, including multi-site rings, primary and secondary connections between the same two sites, and mixed mode failover (microwave backup to fiber primary), depending on the available connections. When a redundant connection is available, link failures are typically detected within seconds and traffic is re-routed automatically before a service interruption has even been noticed by customers. Each site will get one Mikrotik router for routing, CPE access and package management, one Netonix switch for additional switching and PoE injection for negative-ground devices, and may get one commodity server for LTE EPC functions depending on final configuration. See typical routing hardware listed in the appendix section vii.1.

Last mile

For all major sites, a two-layer coverage model will be used: 3.5GHz (CBRS) access point sector radios for near-Line-of-Sight connections, and one or more 5GHz (unlicensed) access points for clear-Line-of-Sight connections. If there are no obstructions (typically trees) between the CPE and AP, customers will be connected to the 5GHz system, which offers higher max throughput in many cases, and is significantly less expensive to scale per subscriber Mbps. Each broadcast site will get a single Cambium ePMP 2000 5Ghz radio with omni-directional antenna from KP Performance (each set collectively “Radio System PtMP Omni – LoS” on the expenditures table), except in cases where the mounting structure requires at least two radios to provide coverage (such as water towers with circumferential mounting). See example specifications for this radio in the appendix section vii.2. 5GHz systems become unusable with very little obstruction, so in all other cases customers will be connected on the 3.5Ghz system. The SAS controlled 3.5GHz band, which allows much higher power transmitters and has very few interference sources, is the best available compromise to keep higher subscriber throughput when coverage requires punching through foliage. Each major site will get four Telrad BreezeCompact 1000 (or technical equivalent) radios licensed for 4x4 (LTE TM8), each with a 4x4 MIMO antenna from KP Performance, GPS antenna, and related accessories (each set collectively “Radio System PtMP Sector (90°) -nLoS).” See example specifications for this radio in the appendix section vii.2. The technology, regulations, and manufacturer considerations in this band are currently in rapid flux however, so while the current specification is LTE by Telrad, this may change to a different LTE manufacturer, or even a non-LTE solution in the same band. All variations offer their own trade-offs, however the current configuration was selected to maximize the number of residents within the site coverage footprint who will be able to successfully connect at reasonable speed. Regardless of the connection method, every customer radio (CPE) will receive an IP address via DHCP from the tower’s router and provide internet access to the customer’s internal devices via its onboard routing and NAT functionality. Other configurations are available on an as-needed or by-request basis, up to and including fully routed IP blocks with addresses directly on customer devices (more common for businesses with on-site servers). Some configurations may have additional cost to the customer. Power systems The high-power radios operating in the 3.5GHz band consume an order of magnitude more power than any of the other devices being deployed. As such, they generally define the requirements of the power system. Given the requirement for a minimum of 6 hours site runtime without power, significant battery backup is needed. Additionally, all LTE AP equipment uses -48v power (positive ground), requiring very different infrastructure than the 24v or 48v (negative ground) power used by all other devices. To meet both these criteria, we are using Eltek Flatpack S -48v power systems with approximately 100AH of battery capacity and onboard monitoring and control. Our current configuration targets 9-10 hours of power-out runtime. See example specifications for these devices in the appendix section

vii.2. The full power system, from utility plug to battery-backed DC outputs for devices is collectively the “Site Power System (including battery cells)” in the Expenditures table. To accommodate routers, backhaul radios, and other AP systems that all operate on negative ground power, we are using a version of the Netonix PoE switch with an independent internal power supply. It accepts the -48v power from the primary system and will power all other devices with 24v or 48v PoE from its internal converters. This cost is included with the Routing and Switching hardware line items.

RS needs to provide technical specifications for Phase I as an Appendix. RS needs to provide the Counties with the technical plans and specifications for any new Towers to be built in Phase I. See Section 8(d). RS must also provide detailed plans and specifications of the Broadband Network and Network equipment for any items to be included in Phase I. See Section 9(b).

IV. OTHER MATTERS

Prospectus - Future Governmental, Regulation, Industry, or Manufacturing changes outside of RiverStreet Networks’ control - the wireless technologies used in projects such as this have some variables outside of RiverStreet Networks’ control that can generally be managed, but it is worth being aware of. Government, Regulatory, Industrial, and Manufacturer/Vendor changes can affect the plan. 

- Military Sites and Incumbents with regard to CBRS (wireless band) - The core of our Wireless PtMP plan relies on new Part 96 rules and a new system of spectrum management called the SAS to protect band incumbents (Military Radar System, Ground Station Uplinks, Other government systems). Be aware that the rules of this band are changing and the industry as a whole is learning how it works with commercial trials underway in early 2020. One of these incumbent(s) are military radar. RiverStreet’s due diligence does not lead to believe that the Dinwiddie and Amelia Counties will be impacted often, if at all, by these incumbents. However, it is worth mentioning that if an incumbent needed the band the SAS would automatically shift, lower power, or disable broadcast in this band. This is true nationwide. (current as of 2/14/2020, map attached) 

 

- Community and Local support - Success of this project will require community and local support. Worth noting is that in many areas RiverStreet will need practical willing participants for colocation and hosting of broadcast sites. 

- Tower and site prerequisites - Broadcast Sites require a long list of approval before they can be utilized to place a new tower structure, particularly for actual broadcast towers. A comprehensive list of these requirements can be made available upon request. Engineering, Budgetary, Environmental, Local, State and Federal requirements all must be taken into consideration before construction can begin.
