Section I. Instructions to Applicants A. General

1. Scope of Application

1.1 In connection with the Invitation for Prequalification indicated in Section II, Prequalification Data Sheet (PDS), the Employer, as defined in the PDS, issues this Prequalification Document (PQD) to applicants interested in bidding for the works described in Section VI, Scope of Works. The number of contracts and the name and identification of each contract, and the International Competitive Bidding (ICB) number corresponding to this prequalification, are provided in the PDS.

2. Source of Funds

2.1 The Borrower or Recipient (hereinafter called “Borrower”) indicated in the PDS has applied for or received financing (hereinafter called “funds”) from the International Bank for Reconstruction and Development or the International Development Association (hereinafter called “the Bank”) towards the cost of the project named in the PDS. The Borrower intends to apply a portion of the funds to eligible payments under the contract(s) resulting from the bidding for which this prequalification is conducted.

3. Fraud and Corruption

3.1 The Bank requires that Borrowers (including beneficiaries of Bank loans), as well as Applicants, Bidders, Suppliers, Contractors, and Consultants under Bank-financed contracts, observe the highest standard of ethics during the procurement and execution of such contracts. In pursuit of this policy, the Bank:

(a) Defines, for the purposes of this provision, the terms set forth below as follows:

(i) “corrupt practice” means the offering, giving, receiving, or soliciting, directly or indirectly, of anything of value to influence the action of a public official in the procurement process or in contract execution;

(ii) “fraudulent practice” means a misrepresentation or omission of facts in order to influence a procurement process or the execution of a contract;

(iii) “collusive practice” means a scheme or arrangement between two or more bidders, with or without the knowledge of the Borrower, designed to establish bid prices at artificial, noncompetitive levels; and

(iv) “coercive practice” means harming or threatening to harm, directly or indirectly, persons or their property to influence their participation in the procurement process or affect the execution of a contract;

(b) will reject a proposal for award if it determines that the Bidder recommended for award has, directly or through an agent, engaged in corrupt, fraudulent, collusive or coercive practices in competing for the Contract in question;

(c) will cancel the portion of the loan allocated to a contract if it determines at any time that representatives of the Borrower or of a beneficiary of the loan engaged in corrupt, fraudulent, collusive or coercive practices during the procurement or the execution of that contract, without the Borrower having taken timely and appropriate action satisfactory to the Bank to remedy the situation;

(d) will sanction a firm or individual, including declaring them ineligible, either indefinitely or for a stated period of time, to be awarded a Bank-financed contract if it at any time determines that they have, directly or through an agent, engaged, in corrupt, fraudulent, collusive or coercive practices in competing for, or in executing, a Bank-financed contract; and

(e) will have the right to require that a provision be included in Bidding Documents and in contracts financed by a Bank loan, requiring bidders, suppliers, contractors and consultants to permit the Bank to inspect their accounts and records and other documents relating to the bid submission and contract performance and to have them audited by auditors appointed by the Bank.

4. Eligible Applicants

4.1 An Applicant shall be a private, public or government owned legal entity, subject to ITA 4.6, or any combination of them in the form of association(s) including Joint Venture (JV) with the formal intent, as evidenced by a letter of intent), to enter into an agreement or under an existing agreement. In the case of a JV, unless otherwise specified in the PDS, (i) all parties shall be jointly and severally liable, and (ii) there shall be no limit on the number of partners.

4.2 The eligibility criteria listed in this Clause 4 shall apply to the Applicant, including the parties constituting the Applicant, i.e., its proposed partners, subcontractors or suppliers for any part of the Contract including related services.

4.3 An Applicant may have the nationality of any country, subject to the restrictions pursuant to sub clause 4.10. An Applicant shall be deemed to have the nationality of a country if the Applicant is a citizen, or is constituted, incorporated or registered and operates in conformity with the provisions of the laws of that country, as evidenced by its Articles of Incorporation or Documents of Constitution, and its Registration Documents.

4.4 Applicants and all parties constituting the Applicant shall not have a conflict of interest. Applicants shall be considered to have a conflict of interest, if they participated as a consultant in the preparation of the design or technical specifications of the Works that are the subject of this prequalification. Where a firm, or a firm from the same economic or financial group, in addition to consulting, also has the capability to manufacture or supply goods or to construct works, that firm, or a firm from the same economic or financial group, cannot normally be a supplier of goods or works, if it provided consulting services for the contract corresponding to this prequalification, unless it can be demonstrated that there is not a significant degree of common ownership, influence or control.

4.5 An Applicant shall submit only one application in the same Prequalification process, either individually as an Applicant or as a partner of a joint venture. No Applicant can be a subcontractor while submitting an application individually or as a partner of a joint venture in the same Prequalification process. A Subcontractor in any application may participate in more than one application, but only in that capacity. An Applicant who submits, or participates in, more than one application will cause all the applications in which the Applicant has participated to be disqualified.

4.6 An Applicant that is under a declaration of ineligibility by the Bank in accordance with ITA 3, at the date of submission of the application or thereafter, shall be disqualified. The Bank maintains a list of firms and individuals that have been sanctioned by the Bank pursuant to Sub-Clause 3.1 (c) and are not eligible to participate in procurement financed by the Bank. The list is regularly updated, its address is specified in the PDS

4.7 Government-owned entities in the Employer’s Country shall be eligible only if they can establish that they are legally and financially autonomous, and operate under commercial law, and that they are not dependent agencies of the Employer.

4.8 Applicants shall not be under execution of a Bid –Securing Declaration in the Employer’s Country.

4.9 Applicants and all parties constituting the Applicant shall provide such evidence of their continued eligibility satisfactory to the Employer, as the Employer shall reasonably request.

4.10 Applicants from an eligible country may be excluded if, (a) as a matter of law or official regulations the Borrower’s country prohibits commercial relations with that country, provided that the Bank is satisfied that such exclusion does not preclude effective competition for the supply of goods or the contracting of works required; or (b) by an act of compliance with a decision of the United Nations Security Council taken under Chapter VII of the Charter of the United Nations, the Borrower’s country prohibits any import of goods or contracting of works or services from that country, or any payments to persons or entities in that country. Section VI, Eligible countries provide lists of ineligible countries pursuant to this Sub Clause 4.10.

4.11 Applicants shall provide such evidence of their continued eligibility satisfactory to the Employer, as the Employer shall reasonably request.

5. Eligible Goods and Related Services

5.1 All goods and related services to be supplied under the Contract to be financed by the Bank shall have as their origin in any country in accordance with Section V, Eligible Countries.

B. Contents of the Prequalification Document

6. Sections of Prequalifi-cation Document

6.1 The document for the prequalification of Applicants (hereinafter “prequalification document”) consists of parts 1 and 2 which comprise all the sections indicated below, and should be read in conjunction with any Addendum issued in accordance with ITA 8.

6.2 The “Invitation for Prequalification Applications” issued by the Employer is not part of the prequalification document. A sample form is provided as an attachment to this Prequalification Document for information only.

6.3 The Employer accepts no responsibility for the completeness of the prequalification document and its addenda unless they were obtained directly from the Employer.

6.4 The Applicant is expected to examine all instructions, forms, and terms in the Prequalification Document and to furnish all information or documentation required by the Prequalification Document.

7. Clarification of Pre-qualification Document

7.1 A prospective Applicant requiring any clarification of the Prequalification Document shall contact the Employer in writing at the Employer’s address indicated in the PDS. The Employer will respond in writing to any request for clarification provided that such request is received no later than fourteen (14) days prior to the deadline for submission of applications. The Employer shall forward copies of its response to all applicants who have acquired the prequalification document directly from the Employer including a description of the inquiry but without identifying its source. Should the Employer deem it necessary to amend the prequalification document as a result of a clarification, it shall do so following the procedure under ITA 8 and in accordance with the provisions of ITA 17.2.

8. Amendment of Pre-qualification Document

8.1 At any time prior to the deadline for submission of applications, the Employer may amend the Prequalification Document by issuing addenda.

8.2 Any addendum issued shall be part of the Prequalification Document and shall be communicated in writing to all who have obtained the prequalification document from the Employer.

8.3 To give prospective Applicants reasonable time to take an addendum into account in preparing their applications, the Employer may, at its discretion, extend the deadline for the submission of applications.

C. Preparation of Applications

9. Cost of Applications

9.1 The Applicant shall bear all costs associated with the preparation and submission of its application. The Employer will in no case be responsible or liable for those costs, regardless of the conduct or outcome of the prequalification process.

10. Language of Application

10.1 The application as well as all correspondence and documents relating to the prequalification exchanged by the Applicant and the Employer, shall be written in the language specified in the PDS. Supporting documents and printed literature that are part of the application may be in another language, provided they are accompanied by an accurate translation of the relevant passages in the language specified in the PDS, in which case, for purposes of interpretation of the application, the translation shall govern.

11. Documents Comprising the Application

11.1 The application shall comprise the following:

(a) Application Submission Form, in accordance with ITA 12;

(b) documentary evidence establishing the Applicant’s eligibility to prequalify, in accordance with ITA 13;

(c) documentary evidence establishing the Applicant’s qualifications, in accordance with ITA 14; and

(d) any other document required as specified in the PDS.

12. Application Submission Form

12.1 The Applicant shall prepare an Application Submission Sheet using the form furnished in Section IV, Application Forms. This Form must be completed without any alteration to its format.

13. Documents Establishing the Eligibility of the Applicant

13.1 To establish its eligibility in accordance with ITA 4, the Applicant shall complete the eligibility declarations in the Application Submission Form and Forms ELI (eligibility) 1.1 and 1.2, included in Section IV, Application Forms.

14. Documents Establishing the Qualifications of the Applicant

14.1 To establish its qualifications to perform the contract(s) in accordance with Section III, Qualification Criteria and Requirements, the Applicant shall provide the information requested in the corresponding Information Sheets included in Section IV, Application Forms.

15. Signing of the Application and Number of Copies

15.1 The Applicant shall prepare one original of the documents comprising the application as described in ITA 11 and clearly mark it “ORIGINAL”. The original of the application shall be typed or written in indelible ink and shall be signed by a person duly authorized to sign on behalf of the Applicant.

15.2 The Applicant shall submit copies of the signed original application, in the number specified in the PDS, and clearly mark them “COPY”. In the event of any discrepancy between the original and the copies, the original shall prevail.

D. Submission of Applications

16. Sealing and Identification of Applications

16.1 The Applicant shall enclose the original and the copies of the application in a sealed envelope that shall:

(a) bear the name and address of the Applicant;

(b) be addressed to the Employer, in accordance with ITA

17.1; and

(c) bear the specific identification of this prequalification process indicated in the PDS 1.1;

16.2 The Employer will accept no responsibility for not processing any envelope that was not identified as required.

17. Deadline for Submission of Applications

17.1 Applicants may always submit their applications by mail or by hand. When so specified in the PDS, applicants shall have the option of submitting their applications electronically, in accordance with electronic application submission procedures specified in the PDS. Applications shall be received by the Employer at the address and no later than the deadline indicated in the PDS. A receipt will be given for all applications submitted.

17.2 The Employer may, at its discretion, extend the deadline for the submission of applications by amending the Prequalification Document in accordance with ITA 8, in which case all rights and obligations of the Employer and the Applicants subject to the previous deadline shall thereafter be subject to the deadline as extended.

18. Late Applications

18.1 Any application received by the Employer after the deadline for submission of applications prescribed in ITA 17 will be returned unopened to the Applicant.

19. Opening of Applications

19.1 Any specific electronic application opening procedures required if electronic submission of applications is permitted pursuant to Sub Clause 17.1 shall be as specified in the PDS. Employer shall prepare a record of the opening of applications that shall include, as a minimum, the name of the Applicant. A copy of the record shall be distributed to all Applicants.

E. Procedures for Evaluation of Applications

20. Confidentiality

20.1 Information relating to the evaluation of applications, and recommendation for prequalification, shall not be disclosed to Applicants or any other persons not officially concerned with such process until the notification of prequalification is made to all Applicants.

20.2 From the deadline for submission of applications to the time of notification of the results of the prequalification in accordance with ITA 28, any Applicant that wishes to contact the Employer on any matter related to the prequalification process, may do so but only in writing.

21. Clarification of

21.1 To assist in the evaluation of applications, the Employer may, at its discretion, ask any Applicant for a clarification of its application which shall be submitted within a stated

Applications reasonable period of time. Any request for clarification and all clarifications shall be in writing.

21.2 If an Applicant does not provide clarifications of the information requested by the date and time set in the Employer’s request for clarification, its application may be rejected.

22. Responsiveness of Applications

22.1 The Employer may reject any application which is not responsive to the requirements of the prequalification document.

23. Domestic Bidder Price Preference

23.1 Unless otherwise specified in the PDS, a margin of preference for domestic bidders shall not apply in the bidding process resulting from this prequalification.

24. Subcontractors

24.1 Applicants planning to subcontract any of the key activities indicated in Section III, Qualification Criteria, shall specify the activity(ies) or parts of the works to be subcontracted in the Application Submission Form. Applicants shall clearly identify the proposed specialist subcontractors in Forms ELI-1.2 and EXP (experience)-4.2(b) in Section IV. Such proposed specialist subcontractor(s) shall meet the corresponding qualification requirements specified in Section III, Qualification Criteria and Requirements.

24.2 At this time, the Employer does not intend to execute certain specific parts of the Works by subcontractors selected in advance by the Employer (Nominated Subcontractors) unless otherwise stated in the PDS.

F. Evaluation of Applications and Prequalification of Applicants

25. Evaluation of Applications

25.1 The Employer shall use the factors, methods, criteria, and requirements defined in Section III, Qualification Criteria and Requirements to evaluate the qualifications of the Applicants. The use of other methods, criteria, or requirements shall not be permitted. The Employer reserves the right to waive minor deviations in the qualification criteria if they do not materially affect the capability of an Applicant to perform the contract.

25.2 Only the qualifications of subcontractors that have been

identified in the application may be considered in the evaluation of an Applicant. However, the general experience and financial resources of subcontractors may not be added to those of the Applicant for purposes of prequalification of the Applicant.

25.3 In case of multiple contracts, the Employer shall prequalify each Applicant for the maximum number and types of

contracts for which the Applicant meets the appropriate aggregate requirements of such contracts, as specified in Section III, Qualification Criteria and Requirements.

26. Employer’s Right to Accept or Reject Applications

26.1 The Employer reserves the right to accept or reject any application, and to annul the prequalification process and reject all applications at any time, without thereby incurring any liability to Applicants.

27. Prequalification of Applicants

27.1 All Applicants whose applications have met or exceeded (“passed”) the specified threshold requirements will, to the exclusion of all others, be prequalified by the Employer.

28. Notification of Prequalifica-tion

28.1 Once the Employer has completed the evaluation of the applications it shall notify all Applicants in writing of the names of those applicants who have been prequalified.

29. Invitation to Bid

29.1 Promptly after the notification of the results of the prequalification the Employer shall invite bids from all the Applicants that have been prequalified.

29.2 Bidders may be required to provide a Bid Security or a Bid Securing Declaration acceptable to the Employer in the form and an amount to be specified in the Bidding Documents, and the successful Bidder shall be required to provide a Performance Security to be specified in the Bidding Documents.

30. Changes in Qualifications of Applicants

30.1 Any change in the structure or formation of an Applicant after being prequalified in accordance with ITA 27 and invited to bid shall be subject to a written approval of the Employer prior to the deadline for submission of bids. Such approval shall be denied if as a consequence of the change the Applicant no longer substantially meets the qualification criteria set forth in Section III, Qualification Criteria and Requirements, or if in the opinion of the Employer, a substantial reduction in competition may result. Any such changes shall be submitted to the Employer not later than 14 days after the date of the Invitation for Bids.

The services are to be delivered over a five (5) year period using a new form of contract that requires the Contractor to carry out initial rehabilitation works to bring roads up to required standards and then assume management responsibility for the planning and delivery of maintenance works thereafter. Under this new contract payments for maintenance services are to be made according to the performance of the Contractor which is to be measured according to service quality criteria that define the standard to which individual roads and road sections are to be maintained. The following is a general introduction the concept of performance based contracting for road maintenance using this form of contract (PMMR).

Background to Performance- Based Contracting

Performance-based contracting for the management and maintenance of road networks is a new concept designed to increase the efficiency and effectiveness of road maintenance operations. It is designed to ensure that the physical condition of the roads under contract is adequate for the needs of road users over the entire period of the contract which is normally several years. This type of contract significantly expands the role of the Contractor, from the simple execution of works to the management and conservation of road assets. In traditional contracts for maintenance works, the Contractor is responsible for the execution of works which are normally defined by the Road Administration or the Employer, and is paid on the basis of unit prices for different work items, i.e., a contract based on “inputs” to the works. While this modality often brings improvement over force-account maintenance practices, the results are in many cases still less-than-optimal. The problem is that the Contractor has the wrong incentive, which is to carry out the maximum amount of works, in order to maximize turnover and profits. Under this traditional way of “contracting out” maintenance works, it has been observed that even if a lot of work is carried out and much money is spent, the overall service quality for the road user depends on the quality of the design given to the Contractor who is not accountable for it and the results are sometimes not satisfactory. The Performance-Based Management and Maintenance Contract addresses the issue of inadequate incentives. During the bidding process, contractors compete among each other by proposing a fixed monthly lump-sum fee per km of road to be paid to them. It is important to understand that contractors are not paid directly for “inputs” or physical works (which they will undoubtedly have to carry out), but for “ouputs,” i.e., the initial rehabilitation of the road to pre-defined standards (if so required by the bidding documents), the maintenance service of ensuring certain quality levels on the roads under contract and specific improvements (if so required by the bidding documents). The monthly lump-sum remuneration paid to the Contractor covers all physical and non-physical maintenance services to be provided, except for unforeseen emergency works which are remunerated separately. The initial rehabilitation works which have been indicated by the Employer in the bidding documents, but which are quantified by the Contractor as part of his bid, are quoted on the basis of measurable output quantities and paid as performed.

1.2 Payment linked to performance

Maintaining a road network includes routine and periodic tasks. Routine maintenance consists of different operations frequently necessary to maintain the function of the road (such as grading, pothole repairs, cleaning of drainage, cutting of vegetation, etc.). Periodic maintenance consists of predictable and more costly measures of a less frequent nature designed to avoid road degradation (such as reshaping and regravelling etc.). Intelligent management, the timeliness of interventions and the adequacy of technical solutions are critical.

In Performance based contracts road conditions are expressed through service quality indicators to define and measure the desired performance of the Contractor. These indicators are the accepted minimum thresholds for the quality of the roads for which the Contractor is responsible. In order to be entitled to the monthly payment for maintenance services, the Contractor must ensure that the roads under contract comply with the required service quality levels specified in the contract document. As part of his monthly invoice, the Contractor will report the result of his own evaluation of compliance with the required service levels, based on his own monitoring system which is mandatory. His statement is then verified by the Employer or his representative (supervision consultant) through inspections. If the service quality levels are not met, payments are reduced, based on a schedule given in the contract. Payments may even be suspended, and the contract cancelled, if the contractor fails during an extended period to achieve certain minimum thresholds values of service levels. The contract describes the formulas used to calculate payment reduction and potential contract suspensions. It is possible that during some months, particularly during rain seasons, a substantial amount of physical works will be needed in order to comply with the required service levels and very little work during other months. Yet the monthly payment remains the same as long as the required service levels are complied with.

1.3 Service Quality Levels Service quality levels are defined from a road user’s perspective and are grouped into 4 categories of service quality criteria in the contract specifications:

1. Accessibility;

2. Average Travel Speed;

3. Ride Quality; and

4. Road Durability.

Together these represent the minimum standards to which the roads are to be maintained. However, in order to minimize the risk of penalties through non-compliance, the Contractor is actually obliged to maintain the roads in better condition than suggested by the service quality criteria, so as to ensure there is sufficient margin to accommodate the inevitable deterioration of the roads between maintenance interventions. It follows that, under the performance-based contract, the Contractor has a strong financial incentive to be efficient by minimizing the amount of work required to respect the service level criteria. In order to maximize profits, he must reduce his activities to the smallest possible extent through careful planning and resource management, but which nevertheless ensure that pre-defined outputs (measured indicators of service level) are achieved and maintained over time.

1.4 Management aspects

Performance contracts require Contractors with good management capacity. Here, “management” means the capability to define, optimize and carry out in a timely fashion the physical interventions which are needed in the short, medium and long term, in order to guarantee that the roads remain above the agreed service quality levels. In other words, within the contract limitations and those required to comply with local legislation, technical and performance specifications and environmental and social regulations, the Contractor is entitled to independently define: (i) what to do, (ii) where to do it, (iii) how to do it, and (iv) when to do it. The role of the Road Administration and of the Employer is to enforce the contract by verifying if the agreed service levels have been complied with, as well as all other legislation and regulations the Contractor must comply with. Under the terms of the contract, the Contractor is responsible for the continuous monitoring and control of road conditions and the service levels for all roads or road sections included in the contract. This is not only necessary to fulfill the contract requirements, but is an activity which provides the Contractor with the information needed to (i) know the degree of his own compliance with service level requirements, and (ii) define and plan, in a timely fashion, all physical interventions required to assure that service quality indicators never fall below the indicated thresholds. The Employer does not issue instructions to the Contractor regarding the type and volume of works to be carried out. Instead, the Contractor has to decide what to do and the most efficient way of doing it to achieve required service quality levels. Thus the Contractor is encouraged to seek efficiency gains, as mentioned earlier, but also to try out new techniques. The PMMR Contractor needs to have management capacity above the usual capacity of a traditional civil works contractor and in particular requires access to road management skills additional to those required under conventional contracts. In order to bring those skills to the project, the Contractor may consider entering into Joint Venture with other firms, such as Engineering Consulting firms, or recruit specialist staff directly into his own organization. The execution of some maintenance works can be sub-contracted to small and even micro-enterprises, leaving the main contractor with responsibility for the major operations and overall contract management.

The prequalification process is essential to ensure that only qualified bidders with access to the required skills participate in the bidding process. Those activities that may be delegated by the main contractor to subcontractors not participating in the prequalification process will be listed in the Bid Data Sheet.

1.5 Design by Contractor

A fundamental feature of the performance-based contract is that the Contractor is responsible for designing and carrying out the works he believes are necessary in order to comply with the service quality levels stated in the contract. Most of the work required is for maintenance of the roads and require little design input but the Contractor is also required to carry out initial rehabilitation works to bring

roads up to required standards at the beginning of the contract. The Employer will give an indication of the estimated extent of this work in the bidding documentation. However, it is up to the Contractor to carry out detailed investigations and make his own proposals regarding the work required in his bid submission. The Contractor will indicate the location and extent of the initial rehabilitation work he intends to carry out, along with quantities, in his bidding documentation. But any work additional to that estimated by the Employer that the Contractor considers necessary to bring roads to required service levels should be included in the bid. The Employer will set a limit on the proportion of Initial Rehabilitation Works that can be included in the total price for all Initial Rehabilitation and Maintenance Services combined. This is to restrict scope for Contractors wishing to redistribute risk in their bids, perhaps overpricing the Initial Rehabilitation Works element, which is paid in accordance with work output, and reducing the price for Maintenance Services which is paid according to performance. Depending on the scope of work involved, the limit may force bidders to include part of the Initial Rehabilitation Works in their price for Maintenance Services. Careful consideration of cashflow demands and implications for project financing is therefore essential when Contractors are preparing their bids. The priced bid for initial rehabilitation works represents a lump sum which is paid on the basis of achievement of the proposed outputs. Measurement is based on a simplified bill of quantity. During the execution of the contract the Contractor remains responsible for ensuring that all works meet the requirements given in the contract specifications. This requires the Contractor to carry out all necessary tests to assure the Project Manager that standards are being met. Improvement works, if required, are designed by the Employer and specified in the conventional way through drawings and quantities in the bidding documentation. The Contractor fixes units rates for the bill items and is paid in terms of the quantities of work completed in accordance with specifications as in a conventional measured contract. The Contractor is entitled to implement an axle load control system at his own cost, based on the legislation and in cooperation with local police authorities.

1.6 Emergency Works

An allowance for Emergency Works is included as a provisional sum in the contract. This is for the repair of damage resulting from extraordinary natural phenomena, which affect the normal use of the road network, or the safety and security of the users. The contract limits the responsibility of the Contractor, and requires that the Employer approve execution of repairs beforehand. Agreement is reached with the Contractor on the scope of work needed for each occurrence which is then priced as a lump sum using unit prices included in the bid and in the contract.

1.7 Bid pricing

Bidders present financial offers for:

(i) the initial rehabilitation works (if so required in the bidding data), in the form of a lump-sum amount, however, indicating the quantities of work elements that can be measured as outputs to be executed in order to meet the service level criteria specified in the bidding documents. Payments are made in accordance with the progress in the execution of those measured outputs;

(ii) the maintenance services in form of a monthly lump-sum payment demanded by the bidder according to the conditions of contract (this will be a monthly amount applicable throughout the duration of the contract). Maintenance services comprise all activities outside of emergency works and may also include some Initial Rehabilitation Work not included in (i);

(iii) the improvement works (if so required and for the improvements indicated in the bidding documents) in the form of unit prices for outputs of each type of improvement works; payments for improvements are made in accordance with quoted unit prices for those outputs; and

(iv) unit prices for emergency works in the form of a traditional bill of quantities. There is also a price adjustment clause applicable to all prices and activities in order to compensate for increases in cost indexes.

1.8 Potential benefits of Performance-based contracts The beneficiaries of the new concept are the road users, the Road Administration, and the contractors or other private sector enterprises. In a wider sense, future generations will benefit from a better preservation of past investments in roads. Road users are in a better position to know the service level they can expect in receipt for the payments they make for the use of the infrastructure (tolls, tariffs, user fees, taxes, etc.). The Road Administration should benefit by obtaining better overall road conditions at the same level of expenditures. For contractors and other private sector enterprises, the new type of contracts should open up new business opportunities, in which longer contract periods provide a more stable business environment. It is expected that the use of performance-based contracts will unleash significant efficiency gains, and stimulate innovation in comparison with traditional road maintenance practices. The objective of the pilot projects in Tanzania is to quantify those benefits and to provide the basis for further deployment of PMMR contracts across the network.

This is the first time the PMMR concept has been tried in Tanzania, which is why the contracts are labeled ‘pilot’ and the prequalification exercise is critical to ensure the outcome of the project is not compromised due to Contractor inadequacies. The results of the pilot projects will influence TANROADS policy development for road maintenance on other parts of the road network.

The following sections give more background to the PMMR concept and the way it is to be applied for the pilot projects: Service Levels Service levels define the standards to which contract roads are to be rehabilitated and then maintained. They are chosen in relation to the type and volume of traffic, both motorised and non-motorised, using the roads. Service levels are set in 3 bands: Very Good, Good and Fair for each road or road section and are described in terms of road width and four sets of service quality criteria. The contract specifications describe the modalities to be used for assessing each criteria and the mechanism for adjusting payment if the criteria are not respected.

Current road conditions Road conditions were assessed in August 2004 and have been graded in bands according to the level of maintenance intervention required: Very Good (routine maintenance), Good (routine maintenance and spot reshaping/regravelling); Fair (periodic reshaping and regravelling); Poor (rehabilitation required). However, the condition indicator should not be necessarily be taken as an indicator of satisfactory service level. Some roads are sub-standard, especially in terms of width, and require initial rehabilitation irrespective of their current condition.

The available travel width on many roads is currently inadequate and some widening works are required to achieve the width for service level. Most of this widening can be done with light reshaping within the available cross-section, but in some places substantial re-working of the cross-section will needed. More detailed descriptions of the project roads in each region are given in subsequent sections of this document. Spot rehabilitation and repairs are also required. These works are to be carried out as part of the initial rehabilitation work. Initial rehabilitation works The initial rehabilitation works required to bring roads to required service levels mostly involve the treatment of sections which restrict passability, either because of severe deterioration that renders normal maintenance ineffective or because spot improvements are needed to improve drainage (earthworks and drainage structures) or repair damage to critical structures or pavement. At present there are virtually no road signs on the contract roads. The installation of warning and information signs form part of the initial rehabilitation works. Under the terms of the performance contract bidders are required to make their own assessments of the work needed to bring roads to required standards, indicating the type and extent of the works they intend to carry out on the Drawings submitted with their bids. Sufficient time will be given to bidders to carry out the survey work and evaluations needed to make these assessments during the bid period. Estimates of the initial rehabilitation works needed are given in the bidding documents. These are the minimum works considered necessary to achieve the required service levels and are the only works that will be paid for specifically and separately under the item for initial rehabilitation. Other rehabilitation works not specified by the Employer, which may nevertheless be necessary to bring roads to required service levels, shall be estimated and quantified by Contractors when preparing their bids. The cost of these additional rehabilitation works shall be included in the lump sum price for maintenance services. Site Organisation In order to fulfill obligations regarding the ‘management’ aspects of PMMR contracts contractors are required to establish Self Control Units (SCU’s) as part of their site organization. The function of these units is to:

• Monitor road conditions and plan maintenance interventions; • Keep detailed records of all maintenance activities; • Produce monthly performance assessment reports; • Conduct monthly performance evaluations with the Project Manager for payment

purposes. Bidders are required to submit details of the key personnel in the SCU’s both with this prequalification document and in their bids. The proposed staff should preferably already be in the employment of the bidder or members of the Joint Venture. Materials testing The contract conditions require Contractors to carry out those tests requested by the Project Manager responsible for supervising the contract, to prove that materials and standards of workmanship meet those required in the contract specifications. Although the contracts do not oblige Contractors to provide materials testing facilities, they will be required to allow for materials testing in their bid price, either through facilities provided by themselves or through use of a recognized materials testing laboratory. The sort of testing required is likely to be limited to standard materials property and compaction tests for earthworks and gravelling activities together with concrete testing.

2. Construction Period

The maintenance services are to be provided over a period of 60 months for each package. The time for completing the Initial Rehabilitation Works needed to reach 100% compliance with service quality criteria varies between packages and between roads. The time allocated depends on the initial condition of the roads and the service level to which the roads are to be maintained. For example, the Contractor will be required to reach full compliance sooner for roads at Very Good service level compared with roads at Fair service level. The table below shows the maximum time given in the contracts for completion of Initial Rehabilitation Works.

3. Site and Other Data

3.1 Mwanza Region 3.1.1 Description of Mwanza Region Mwanza region is situated at the southern end of Lake Victoria in the northern part of Tanzania. It is a densely populated region, being one of the smallest in land area but with the highest population of all regions in the country, and is home to almost 3 million people according to the 2002 census. Mwanza city is the most populous urban settlement in the country after Dar es Salaam. The regions economy revolves around a mixture of agriculture, fishing, livestock, cotton production and gold mining. Mwanza has traditionally been one of Tanzania’s main cotton producing areas but has now declined in importance and today other sectors such as livestock farming and commercial fishing dominate the agricultural economy. The region is a major exporter of fish products to both regional and international markets and this industry, plus a recent increase in gold mining activity, makes Mwanza one of the most economically important regions in Tanzania. Mwanza is a transport hub for the Lake Victoria basin with a busy port linked by rail to Dar es Salaam and Kigoma on Lake Tanganyika. The railway is an important import/export route for Uganda. Besides its regional importance, the port also serves the various islands within the region and there are private ferry services shuttling passengers and goods across the Lake to the districts of Sengerema and Geita. Mwanza airport is also busy with regional passenger flights and freight services to Europe for fish exports. There are frequent flights to Dar es Salaam every day of the week. The journey by road can take up to 18 hours. There are important road links to Kenya, Rwanda and Burundi and the recent upswing in mining activity has added considerably to the volume of regional traffic, particularly along the Geita-Mwanza-Nairobi corridor. Mwanza has one of the densest road networks in the country, with about 5,517kms, of which 1,467kms are trunk and regional roads. However, only 235kms of the trunk and regional roads are paved. Upgrading of the trunk road to Geita to paved standard is planned under local financing in the near future. The regional has a bimodal rainfall pattern, with short rains between October and December and long rains from March to May. Rainfall tends to be rather erratic and decreases with distance away from the Lake basin, varying from around 900mm for districts close to the lakeshore to 750mm in the southern and south-eastern parts of the region. Temperatures are moderated by the presence of the Lake, averaging a maximum of 25°C to 28°C from September to December. Temperatures during the cool season between June and August vary between 11°C and 20°C. Soils in the region fall into three groups:

• Sandy soils derived from granite • Red loams derived from limestone

• Black cotton soils Topography is generally flat to rolling with the more hilly terrain being towards the western side of the region in the Geita area. The eastern side of the region is flatter with a higher prevalence of expansive clay soils. The light sandy soils are susceptible to erosion on even the slightest slopes. The flatter areas flood during the rains (rain fed rice cultivation is widespread) and localised storms produce unpredictable flow patterns, thus submersible bridges and drifts rather than culverts are frequently used for watercourse crossings and venting embankments. 3.1.2 Roads in Packages 1 and 2 A total length of 360.4 km of regional roads has been selected in the West (Package 1) and East (Package 2) of the region. The roads in Package 1 form a network of 221.7 km, or about 61% of the total for the region, and consist of a collector road between the port on the Lake at Kamanga to the mining town of Geita with spurs leading to the Lakeshore and the town of Sengerema. Both these towns are busy district centres. Kamanga is served by small ferries from Mwanza which carry medum sized buses and trucks. Larger vehicles tend to use the southern ferry to Busisi which has larger capacity. Traffic levels are relatively high between Kamanga and Sengerema where the trunk road to Geita is joined but gradually decrease further westwards towards Nzera where road conditions are not so good. The road between Nyehunge and Nzera is currently in a very poor condition and this effectively restricts the amount of through traffic. The spur road to Kahunda is also in a particularly poor condition. The area served is densely populated and there is a large amount of bus/small truck traffic trucks plus a high density of non-motorised transport, especially cyclists. Road widths are currently inadequate on many roads for the traffic mix. On the eastern side of the region (Package 2), the network is a bit more disjointed with an isolated road in the north near Mwanza serving important fishing communities towards Kayenze and a group of roads further south serving a cotton growing area with connections into Shinyanga region. The length of the network on this side is 134 km. All roads are well trafficked, especially to Kayenze and the southwards towards Jojiro. Truck-trailers use the roads in the south for extraction of the cotton harvest and other crops. Cotton is shipped by rail from Nyambiti station on the R159-Isandula-Jojiro road. Road conditions are rather mixed but overall are better on the eastern side than in the west where soils are lighter and the terrain more undulating. It appears that gravel is more abundant on the eastern side and is of better quality but black cotton soils are more extensive on the plains.

R343-ShinyangaBdr-Ikungu 18.213 50 to 100 Medium Light 3.2 Rukwa Region Rukwa region is a relatively new region having being formed from districts that were previously administered by Mbeya and Tabora regions, namely Sumbawanga and Mpanda districts. It is located in the remote south-western part of the country between Lakes Tanganyika and Rukwa and is the second largest region in the country, after Tabora. Population in 2002 was 1.14 million. The principal access into the region is via Tunduma on the Zambia border which makes Sumbawanga about 1,360 km from Dar es Salaam, a journey that takes a minimum of 15 hours by road. The trunk road from Tunduma is gravel but is scheduled for upgrading in the near future under W Bank funding. Bridges on this road have been recently completed, again under W Bank funding. There is a rail link to Mpanda in the north from the Tabora - Kigoma line which is used for import and export of foodstuffs and forest products. The line effectively connects Rukwa with Mwanza. Trains currently run 3 times per week between Kigoma and Mpanda. Steamer services on Lake Tanganyika call at villages along the Rukwa lakeshore and a small port at Kasanga handles exports of cement (from the cement factory in Mbeya) to Burundi. There is a significant amount of trade across the Lake to the Democratic Republic of Congo and Zambia, especially from the village of Kirando. Rukwa’s economy is essentially agricultural. The region has an important role in providing food security for other regions of the country, since it generally produces a grain surplus. Cash crops are more limited, perhaps due to the remoteness of the region and the cost of transport. Fishing is important in the two Lakes. Coal mining at Namwele on the Ntendo-Muze road now yields about 4,000 tonnes per month exported by road to the cement factory at Mbeya. And gold mining near Mpanda has recently taken on greater significance with investments from mining companies. There are also silver and gemstone deposits there.

The region is also home to Tanzania’s third largest national park, the Katavi Plain National Park, but facilities there are relatively undeveloped and only small numbers of tourists currently visit. The topography of Rukwa is dominated by the Ufipa plateau which rises above the rift valley to an average height of 1,700 m. The highest point is 2,461 m at Malonje just south of Sumbawanga. Lake Tanganyika in the west lies at an elevation of 700 m and the Rukwa valley to the east is at between 800 m and 1,100 m above sea level. The Karema depression which lies at a similar elevation to the Rukwa valley divides the Ufipa plateau from the Mwese and Mpanda hills in the north. Rukwa experiences a dry sub-humid climate with just one rain season which can be as short as just 4 months in the south but more prolonged in the north where average rainfall is higher. Rainfall varies from about 800 mm in Sumbawanga (December to March) to 1,250 mm in Mpanda (November to April). Average maximum temperatures are around 27°C. Soils consist of red and yellowish fersiallitic clays in the higher areas, sandy loams derived from limestone on the rift valley escarpments and black cotton soils in the Rukwa valley and Karema depression. Rukwa has about 3,454 km of roads of which 1,211 are trunk and regional roads. The only paved roads are found in Sumbawanga town. Traffic in the region is very light, consisting mostly of 4WD and commercial vehicles but the upgrading of the Tunduma road is likely to have a big impact on traffic levels. Further studies are planned to consider the upgrading of the trunk road north to Kigoma and the Burundi border. 3.2.1 Roads in Package 3 The network for Package 3 consists of 233.4 km of the T9 (the north-south trunk road) and 130.4 km of regional roads making a total length of 363.8 km. The regional roads provide access to Lakes Tanganyika and Rukwa and have important economic and social functions. The road to the Rukwa valley (R555-Ntendo-Muze) is effectively the only all season route from Sumbawaga into this densely populated agricultural and fishing area. The R551 Chala-Kirando road serves the district centre of Namanyere and the busy fishing and trading village of Kirando on the shores of Lake Tanganyika. The short spur road R543 Kipili-Katongoro is an access to other fishing villages and the site of a new port. The T9 Sumbawanga-Mpanda road is sited on high ground on a generally well drained alignment over most of its length. From the village of Kizi the road descends to the Katavi plain and the National Park. The 50 km long section through the Park is on level ground dominated by expansive clays and black cotton soils. Water availability and access to materials is restricted. From the Park exit near Sitalike the road returns to a rolling alignment on better soils. Much of this last section was rehabilitated in 2003/04 by a local contractor. The R555 Ntendo-Muze road runs through hilly to terrain to the edge of the escarpment in the Mbizi hills and then descends steeply to the Rukwa valley floor via a serious of

hairpin bends. The road was improved many years ago under NORAD funding but now requires extensive rehabilitation to restore it to maintainable condition. Much of the concrete paving and drain lining on the escarpment section needs repair. However, the road is well used despite the dangerous state of the escarpment, the steepest part of which is about 3 km long. Maximum gradients are in excess of 25%. The R551 Chala-Kirando road gradually descends to Lake Tanganyika on a winding alignment, mostly through forest reserve. The road is currently narrow, but is used by large buses and trucks as well as lighter vehicles that transport goods and people to the village of Kirando on the Lakeshore. A floodplain is traversed on narrow embankment over the last 8 km which requires rehabilitation to repair damage caused during the 1997 floods. 3.2.3 Roads conditions The project roads are in generally fair condition as summarised below: Total Length 363.6 km Very Good 3%, Good 20%, Fair 70%, Poor 7%

3.3 Tanga Region Tanga is a coastal region in the extreme north-east corner of Tanzania, bordered by Kenya to the north. Tanga town is 354km from Dar es Salaam, or about 5 hours drive on good asphalt roads. The region is one of the smallest in terms of land area, but is densely

populated, especially in the more fertile mountainous areas in the north-west and along the coastal plain. The economy in Tanga used to be dominated by sisal production but today other cash crops such as coffee, tea and fruit products are more important. There is some light industry in the region, most notably the Tanga cement factory and a fruit canning plant in Korogwe. Tourism is of minor importance, limited to beach resorts at Pangani and the forest reserves at Amani in the Usambara mountains. The topography in Tanga consists of a narrow coastal plain, higher inland plains which rise to about 500 m, and the Usambara mountains in the western part of the region that rise to over 2,000 m. The wide range of topography coupled with the influence of the Indian Ocean means that rainfall patterns and temperatures vary considerably across the region. The dominant climate is warm and wet along the coast where humidity can be as high as 100%, becoming hotter and drier inland away from the mountains. Temperatures along the coast are moderated by the Ocean, average maximums being 30°C - 32°C during the hottest months (December to March) and 23°C – 28°C during the cool months (May to October). The rainfall pattern is bimodal with most rain falling between April and May. However some areas in the Usambara mountains, particularly the south facing slopes in the west, have most rainfall between November and December. Mean rainfall ranges from 600 – 800 mm on the inland plains and 1,200 mm to 1,400 mm along the coastal plain and Usumbara mountains. In the upper densely forested areas of the Usumbaras rainfall can peak at 2,000 mm per year. Soil types are also closely related to the topography and consist of: • Red and yellowish clays on Usagaran rock within the mountainous areas; • Red and brown sandy loams, loamy sands and clays in the upland plains; • Light coloured sands and loams in the coastal areas; • Black cotton soils and expansive clays in minor valleys and depressions. Tanga region has about 4,000 km of roads, of which 1,232 are trunk and regional roads but only 301 km are paved. There are plans to upgrade the road to the Kenya border to paved standard and bridges have already been constructed in advance of the road works. The railway connection to Moshi and Arusha is now of minor importance as a transport mode. The port in Tanga lacks deep water berths and lighters are used to bring goods to shore. 3.3.1 Roads in Packages 4 and 5 The roads in Packages 4 and 5 comprise 366 km of regional roads in the north, south and east of the region. Package 4 – Tanga West The R510-Mabokweni-BomboMtoni and R509-BomboMtoni-Silabu roads form a loop-road providing access to fertile farming country in the Usumbara hills, branching from the trunk road to the Kenya border just north of Tanga and joining the Arusha road near

Korogwe. Traffic levels on this road are highest on the southern part of the loop where population is concentrated. The area is important for fruit production and rice farming. The R519-Kilole-Handeni and R521-Handeni-Mkata roads form a second loop through the district centre of Handeni, which is a busy market town and transport hub. The road is well trafficked on both the northern and southern legs and carries a high proportion of trucks and buses. In fact the southern part of the loop follows part of what used to be the main trunk road north from Dar es Salaam. Package 5 – Tanga East The R522-Muheza-Amani road is of an access road into the mountains from the district centre of Muheza to Amani, which is home to a forest reserve and nature sanctuary. This road climbs about 800m into the hills behind Muheza and experiences significantly higher rainfall than the other roads. It also passes through protected forest areas. The other roads in Package 5 (R512-Muheza-BozaJunction and R515-Pangani-Tanga) form a loop between Muheza, the town of Pangani on the coast and Tanga. Traffic is generally light on the R512 but the coastal road between Pangani and Tanga is much busier and is used by cars as well as utility vehicles, trucks and buses. Pangani is a tourist resort and there are several small hotels served by taxis and tour operators. 3.3.3 Road conditions Roads in Tanga are generally in fair to good condition as shown below. Tanga: 366.8 km Very Good: 6%; Good: 36%; Fair: 55%; Poor: 3%

4.0 Supervision Arrangements The Employer intends to engage Engineering consultants to provide Supervision Services for the duration of the PMMR pilot contracts. A Consultant will be engaged in each of the three (3) regions, assuring supervision for each works package. Consultants will be responsible for providing their own office facilities, equipment, vehicles and accommodation. Contractors are to provide Consultants with communication equipment to ensure seamless communication in the project areas.
