YOU ONLY NEED TO PROVIDE YOUR EMAIL ADDRESS TO PARTICIPATE IN THE PROGRAM. YOU DO NOT NEED TO PROVIDE ANY PERSONAL INFORMATION TO PARTICIPATE.

POP! Perfectly Organized Perks Terms & Conditions

These terms govern your membership in the POP! Perfectly

Organized Perks program ("POP! Program"). Please read these

terms carefully. By enrolling in the POP! Program, you agree to be

bound by these terms, as well as the other rules, policies, and

procedures of the POP! Program. If you do not agree to any or all

of these terms, do not enroll in the POP! Program. If you wish to no

longer participate or disagree with any changes to these terms,

please cancel your POP! Program membership.

Program Overview The POP! Program is another way for The Container Store ("us",

"we" or "our") to celebrate and reward our loyal customers. By

participating, members ("you") may be rewarded with valuable

discounts and surprises, and you may receive valuable

communications, tips, exclusive invitations and product previews

("POP! Perks") that will help get you started on your next

3 12/29/2015

organizational project. Plus, you'll never need to pay a membership

fee. If you have any questions, we're always here to help. Contact

our Customer Solutions Department at (855) 827-1538 or visit a

store near you for assistance.

Authorization and Permission By enrolling in the POP! Program, you authorize The Container

Store, its affiliates and partners to communicate marketing and

company information to you. Communications may include (but are

not limited to) marketing emails, direct mail, and special

communications about upcoming offers and promotions. Further,

you agree to all terms listed in our privacy policy at

www.containerstore.com/privacy.

Changes to the Terms We reserve the right, at our discretion, to change, modify, cancel,

add or remove any or all portions of these terms, any policy, FAQ,

or guideline pertaining to the POP! Program at any time. If any

terms change in the future, we will let you know by posting an

update to www.containerstore.com/pop with the most recent

modification date. Any changes or modifications will be effective

immediately upon posting the revision and you waive any right you

4 12/29/2015

have to receive special notice of such change. By continuing to use

the POP! Program, you agree to the revised terms.

Membership Enrollment The POP! Program is open to legal residents of the United States

who are at least 18 years of age at the time of registration. To enroll

and receive POP! Program benefits, visit one of The Container

Store's retail locations and provide your email address. At your

option, you may also provide your phone number, name, street

address, and/or birthday information. Please visit

www.containerstore.com/pop for a list of participating regions.

Employees, independent contractors, officers, and directors of The

Container Store and its subsidiaries and affiliates are not eligible for

the POP! Program. While more than one person may use the same

email address or phone number (e.g., members of the same

household), we will not separate program benefits or offers earned

or used by different members of the same household using the

same email address or phone number.

Receiving POP! Perks We will offer POP! Perks based on the types and dates of

purchases you make, including the size, frequency, number, and/or

5 12/29/2015

location of your transactions. The Container Store reserves the

right to offer additional Perks or decline to offer certain Perks in its

sole discretion and without notice to you. POP! Perks may include,

for example:

• Perk Discounts: Periodically we may provide discounts to

POP! Program members based on the qualifying purchases

made and linked to your membership. Notification and details

of discounts will be provided by email.

• Special Birthday Gift: In celebration of your special day, if

you provided us with your birth date, active POP! Program

members may receive a complimentary birthday gift. You must

visit a participating retail location within 30 days of your

birthday to redeem.

• Exclusive Access to Events: Throughout the year, The

Container Store may hold special events and POP! Program

members may enjoy exclusive access. Details on these

events, if held, will be provided by email.

• Special Previews on New Products: POP! Program

members may enjoy special previews on some of our newest

products.

• Additional Surprises throughout the Year: We're working on

even more ways to add value to the POP! Program, possibly

6 12/29/2015

including members-only promotions and customized tips and

other communications. Please

check www.containerstore.com/pop for details.

To credit a transaction to your POP! membership, you must sign-in

to your POP! Program account by providing your email address or

phone number at the point of checkout. The ability to apply a

purchase to the POP! Program may be limited to participating retail

stores. Providing your phone number or email at the point of

checkout is unrelated to acceptance of a credit card transaction.

Taxes, shipping, delivery, installation, Contained Home services,

purchases of or using gift cards, purchases using merchandise

credit, and Business Sales are not eligible towards the earning of

POP! Perks. We may revise these exclusions from time to time,

which will be reflected in changes to these terms.

Using POP! Perks

Discounts, if any, earned as POP! Perks can be redeemed in our

stores, throughwww.containerstore.com, or by phone. POP! Perks

have no cash value, are not transferable, and no cash value will be

given for a discount redemption. No POP! Perk, discount or other

7 12/29/2015

benefit will be refunded at any time. Unless noted otherwise, each

POP! Perk will expire 30 days from the issuance date. When POP!

Perks are issued, additional terms, conditions and restrictions may

be disclosed, including but not limited to expiration or combining

POP! Perks with other offers or discounts. Please carefully review

each POP! Perk when it is issued to you.

Membership Cancellation

You may cancel your participation in the POP! Program at any time.

To cancel, call our Customer Solutions Department at (855) 827-

1538. As soon as a membership is canceled, all of your POP!

Perks and discounts will expire.

We may cancel your POP! Program membership at any time for

any reason in our sole discretion including, but not limited to, our

determination that you (1) are ineligible, (2) violated any term or

condition of the POP! Program or any applicable law or regulation,

or (3) engaged in any deception, forgery, fraud or committed any

other abuse of the POP! Program. If you do not make any

qualifying purchases using your POP! account during a period of

two (2) years, The Container Store may, in its sole discretion,

terminate your POP! Program membership on or after the last day

8 12/29/2015

of that two (2) year period. We may revoke some or all of your

POP! Perks if we determine that you received a POP! Perk due to

an error, through fraud or deception, or in any manner not

authorized.

Managing Email Preferences/Opting Out You may opt out from receiving POP! Program emails at any time.

To do so, click on the unsubscribe link in the bottom of the email

and complete the opt out process. When opting out of emails, you

will still be eligible to participate in the POP! Program, however you

will not receive POP! Program communications via email about

offers and promotions within the program. For more information

about managing your information preferences and opting out of

sharing, please see our privacy policy

at www.containerstore.com/privacy.

Member Privacy Policy

Except as otherwise provided in these terms, The Container Store's

privacy policy and standards will apply to information you provide

through the POP! Program. See our privacy policy

at www.containerstore.com/privacy.

9 12/29/2015

Additional Terms

The Container Store reserves the right, without limitation, to

terminate, change, limit, modify, or cancel any POP! Program

terms, conditions, rules, regulations, benefits, or POP! Perks at any

time, with or without notice, even though such changes may affect

the value of already-issued POP! Perks or other benefits.

Release, Disclaimer and Limitation of Liability

By participating in the POP! Program, each member releases The

Container Store, and affiliated entities, and their respective officers,

directors, employees and agents from and against any and all

claims, damages, losses, liabilities, and other expenses (including,

without limitation, attorneys' fees) relating to participation in the

POP! Program, use of POP! Perks or agreement to these terms.

THE POP! PROGRAM IS PROVIDED ON AN "AS IS" AND "AS

AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY

APPLICABLE LAW, THE CONTAINER STORE DISCLAIMS ALL

WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR

STATUTORY, WITH RESPECT TO THE POP! PROGRAM

(INCLUDING THOSE RELATED TO MERCHANTABILITY,

FITNESS FOR A PARTICULAR PURPOSE, AND NON-

10 12/29/2015

INFRINGEMENT AND THOSE ARISING OUT OF COURSE OF

DEALING, USAGE, OR TRADE). TO THE FULLEST EXTENT

PERMITTED BY APPLICABLE LAW, THE CONTAINER STORE

WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL,

INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES

(INCLUDING FOR THE INDIRECT LOSS OF PROFIT, REVENUE,

OR DATA) ARISING OUT OF OR IN CONNECTION WITH THE

POP! PROGRAM, HOWEVER CAUSED, AND UNDER

WHATEVER CAUSE OF ACTION OR THEORY OF LIABILITY

BROUGHT (INCLUDING UNDER ANY CONTRACT,

NEGLIGENCE, OR OTHER TORT THEORY OF LIABILITY) EVEN

IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Dispute Resolution and Governing Law

These terms and conditions will be governed by and interpreted in

accordance with the laws of the State of Texas without regard to

any conflict of laws principles.

You agree that The Container Store and you will resolve any

disputes through binding and final arbitration instead of through

court proceedings. YOU HEREBY WAIVE ANY RIGHT TO A JURY

TRIAL OF ANY DISPUTE YOU HAVE WITH THE CONTAINER

11 12/29/2015

STORE. NEITHER YOU NOR THE CONTAINER STORE MAY

BRING A CLAIM AGAINST THE OTHER AS A CLASS ACTION,

REPRESENTATIVE ACTION, OR PRIVATE ATTORNEY

GENERAL ACTION. NEITHER YOU NOR THE CONTAINER

STORE MAY ACT AS A PRIVATE ATTORNEY GENERAL OR

CLASS REPRESENTATIVE, NOR PARTICIPATE AS A MEMBER

OF A CLASS OF CLAIMANTS, WITH RESPECT TO ANY

DISPUTE OR CLAIM BETWEEN US. These POP! Program terms

evidence a transaction in interstate commerce, and thus the

arbitration will be subject to the Federal Arbitration Act, 9 U.S.C. § §

1-16 et seq.

In the event of any dispute concerning the POP! Program or these

terms, the parties unconditionally and irrevocably agree that the

dispute will be resolved by arbitration (and accordingly they hereby

consent to personal jurisdiction over them) exclusively in Dallas,

Texas, in accordance with the rules of the American Arbitration

Association. The arbitration will be heard and determined by a

single arbitrator. The arbitrator's decision in any such arbitration will

be final and binding upon the parties and may be enforced in any

court of competent jurisdiction. The prevailing party will be entitled

to recover its attorneys' fees and arbitration costs from the other

party. The parties agree that the arbitration will be kept confidential

12 12/29/2015

and that the existence of the proceeding and any element of it

(including, without limitation, any pleadings, briefs or other

documents submitted or exchanged and any testimony or other oral

submissions and awards) will not be disclosed beyond the

arbitration proceeding, except as may lawfully be required.

General In all matters relating to the administration of the POP! Program,

the decisions of The Container Store shall be final. The Container

Store is not responsible for communication problems of any kind,

including distribution of POP! Perks, due to a change of email

address or other changes in contact information. Under no

circumstances will The Container Store be held liable for any delay

or failure in performance due in whole or in part to any acts of

nature or other causes beyond its reasonable control. If any

provision of these terms is found to be unlawful, void or

unenforceable, then that provision will be deemed severable from

these terms and will not affect the validity or enforceability of any

remaining provisions. The failure of The Container Store to enforce

any right or provision of these terms will not prevent The Container

Store from enforcing such right or provision in the future. The

Container Store may assign its rights and obligations under these

13 12/29/2015

terms, including in connection with a merger, acquisition, sale of

assets or equity, or by operation of law.

PLEASE INFORM THE CASHIER WHETHER YOU “ACCEPT” OR

“DENY” THESE TERMS AND CONDITIONS.

Browsing Our Website

When you are using our Site, we log your IP address (a

number that identifies your computer on the Internet) for

system administration, troubleshooting and to examine

overall traffic trends. For example, IP addresses help us

determine the percentage of people coming from various

online gateways, such as Google or Yahoo!. This

information is collected in aggregate. It is also linked to

your personal information if you provide your personal

information to The Container Store.

Another tool we use is called a cookie, which is a small

data file stored on your computer that allows us to

customize portions of our Site to your preferences.

Generally, we use cookies to remind us of who you are,

tailor our product selection to you, and to ensure that only

you have access to your account and any personal

organization projects, wish lists or custom space designs

you have created with us. The cookie, by itself, doesn't

provide any personal information, such as your name or

email address. You can configure your browser to accept

all cookies, reject all cookies, or notify you when a cookie

10 12/29/2015

is set. (Each browser is different, so check the "Help"

menu of your browser to learn how to change your cookie

preferences.) However, you may not be able to use some

features of our Site if you set your browser to reject

cookies.

We have implemented Google Analytics Demographics

and Interest Reporting on our Site, which provides us with

information about categories of users who visit our site,

such as the number of men and women, our visitors' age

ranges, and our visitors' general interests. Google

Analytics Demographics and Interest Reporting does not

provide us with any personal information about you, such

as your name or email address. We use information from

Google Analytics Demographics and Interest Reporting to

help us to better understand our customers and potential

customers.

Google permits you to opt-out of some of their services by

using Google Google Ads Settings at

www.google.com/settings/ads. For example, visitors can

opt out of Google Analytics for Display Advertising and

customize Google Display Network ads. Google provides

11 12/29/2015

additional information about Google Analytics and

additional opt-out options at

www.google.com/analytics/learn/privacy and

www.tools.google.com/dlpage/gaoptout.

We also use cookies and other tools to collect information

about how you use our Site (for example, information

about what pages you look at, what terms you use in

searching our Site, or what products you investigate or

purchase). This information may be collected directly by

us, or it may be collected by a third-party service provider.

If you have an account with us, this information may be

linked to your account in order to provide you with product

recommendations.

Please know that while some browsers allow you to send

a signal indicating that you do not wish to be "tracked", our

Site does not recognize or respond to these "Do Not

Track" signals.

How We May Use Your Information

In order to serve you better, we may combine the

information you provide us and the information we have

from your purchases through our Site, through our Contact

12 12/29/2015

Center, online and in our Stores. We may also utilize

information that is publicly available. This information, in

total, is used to improve your overall experience with our

company. Here are the ways we may use information

about you in order to enhance your shopping experience

at The Container Store:

• To complete your purchases. We use information

about your transactions, including personal

information you have provided, in order to process

payments you have made and deliver products you

have ordered. In doing so, we may transmit payment

information to third parties, such as banks, credit card

companies or payment clearance services. We may

also provide shipping information to third parties in

order to permit them to deliver products to you.

• For marketing and promotional purposes. We

send targeted direct mail and catalogs to our

customers about products or events that we think may

be of interest, based on past purchases at The

Container Store. We may also send offers for

discounts or promotions and information about

13 12/29/2015

campaigns, new products or new features. In addition,

we send email communications to let customers know

about promotions, organizational tips, and the most

up-to-date happenings at The Container Store.

However, you can opt out of receiving catalogs, e-

mails and other marketing materials from us.

Information on how to opt out is provided below.

• To improve the content and navigation on our Site. For example, we may use cookies or other tools

to track which sections or products online are most

often visited and in what order.

• To enhance your online shopping experience. For

example, we may use information about you to

recognize you and welcome you back to our Site,

personalizing your shopping experience, or to place

advertisements or links on this Site for goods and

services likely to be of interest to you.

• To make your use of our Site compatible with the social networks you use. For example, we and/or

service providers we use may use your personal

information to make it possible for you to access your

14 12/29/2015

account with The Container Store using the log-in

information you use for your social network account,

or in connection with allowing you to share

information about your activities on our Site through

your social networks.

Sharing Your Information and Third-party Partnerships

As previously stated, we do not sell or share your personal

information with other companies for their marketing

efforts. On occasion, The Container Store shares

information collected from our customers with selected

third-party companies who help assist us in our own

advertising and marketing efforts. For example, we may

retain an outside company to help us with customer

research or to manage a customer database, to send

catalogs or direct mail, or to send email messages. The

information we provide to third parties for such purposes

may include your name, address, email address, Site

usage, and purchase information, which will help us target

marketing communications. The Container Store also

provides some anonymous information about customer

15 12/29/2015

purchases to third-party companies that assist us with

advertising and promoting our products and services.

You can opt out of receiving catalogs, e-mails and other

marketing materials from us. Information on how to opt out

is provided below.

We participate in special partnerships with other

companies that we believe offer products or services that

our customers would be interested in and would benefit

from. We do not share customers' personal information

with these partner companies. Customers may receive

information about these partnerships and related

promotions directly from The Container Store or from the

third-party companies that assist us with marketing.

The Container Store may also enter into a "co-branding"

relationship with another company, or organization. At

times, we may communicate with customers on behalf of

that company and customers may be directed to a partner

website to purchase a specific item or learn about their

services. In these cases, both The Container Store and

the partner company may receive personal information

you provide.

16 12/29/2015

Additionally, like many other companies, The Container

Store may use outside marketing companies to place

advertisements or links on other websites. When you visit

this Site, these companies may collect non-personally

identifiable information (for example, your IP address, click

stream information, browser type, time and date, subject

of advertisements clicked or scrolled over) about your

visits to this Site and your visits to other websites over

time in order to provide advertisements about goods and

services likely to be of interest to you. These companies

typically use a cookie or third party web beacon to collect

this information about your online activities over time and

across different web sites. To learn more about this

behavioral advertising practice or to opt-out of this type of

advertising by certain participating advertising networks,

you can visit www.aboutads.info/choices/ and

www.networkadvertising.org In addition, Google permits

you to opt-out of some of their services by using Google

Ads Settings at www.google.com/settings/ads, and

provides information and additional opt-out options for

Google Analytics at

www.google.com/analytics/learn/privacy and

17 12/29/2015

www.tools.google.com/dlpage/gaoptout. The Container

Store is not responsible for the collection or use of

information by such marketing companies or third-party

websites.

Third parties may receive your personal information

because you have visited their websites or accessed their

links. Please refer to their privacy policies to learn about

how they handle your personal information. Please note

that The Container Store has no control over the privacy

practices of other companies of websites, and we do not

assume any responsibility or liability for any third-party's

data collection or disclosure practices, their failure to abide

by their privacy policies, or the content of their websites.

In the event that The Container Store is merged with or

acquired by another company, or in the event of a transfer

of our assets, we may disclose or transfer personal

information and other information about usage of our Site

in connection with such a transaction. In the event of such

a transfer, we will notify you of the change of control of

your personal information. You should also be aware that

courts may have the authority under certain circumstances

18 12/29/2015

to permit personal information and other information about

usage of our Site to be shared or transferred to third

parties without your permission.

Disclosure of Your Personal Information

We will not use or disclose your personal information

except:

(1) as described in this Privacy Policy;

(2) after obtaining your permission to a specific use or

disclosure;

Security of Our Site

The Container Store maintains security procedures

designed to keep information we own, license and process

from being accessed by any unauthorized person or

business. We use a variety of multi-level security systems

to control access to our systems and the data that we

house. Our enterprise security operations center maintains

real-time monitoring for information system vulnerabilities

and unauthorized access attempts into our internal

systems. We also maintain physical security for our

facilities and limit access to certain critical areas of our

business.

Unfortunately, however, no data transmission over the

Internet can be guaranteed 100% secure. As a result,

while we strive to protect your personal information, we

cannot guarantee the security of any information you

transmit to or from our Site, and you do so at your own

risk. Accordingly, we disclaim liability for any theft, loss, or

interception of, or any unauthorized access or damage to

these risks.

Anyone with access to the email address and password

you use to create an account with us can obtain access to

the personal information you have provided to us. We urge

you to keep your password in a safe place and not share it

with anyone. Always sign out from your account and close

your browser window when you have finished your visit to

our Site. This ensures that others cannot access your

account, which is especially important if you are sharing a

computer with someone else or are using a computer in a

public place.

You are responsible for maintaining the confidentiality of

your account password, and you are responsible for any

access to or use of our Site by any person or entity using

your password, whether or not such access or use has

been authorized by you.
