A. General Provisions

1 RFQ Preparation and Submission Procedures

RFQ will be received until the deadline of 12:00 P.M. on Wednesday, July 3, 2019, as indicated on the RFQ Form.

A representative who is authorized to enter into contracts on behalf of the offering entity must complete and sign the RFQ in ink. The person signing the RFQ must indicate their title along with signature. RFQ received without proper signature will not be considered. The representative should retain photocopies for their company files. Failure to complete the RFQ in its entirety will render the entire RFQ invalid. Failure to return any document or information requested as part of the RFQ response will result in rejection of the entire RFQ. RFQ may be submitted by U.S. Mail, delivery service, or by hand delivery. The date and time of receipt will be recorded. Any RFQ received after the exact time specified for receipt will not be considered. Bladen County Schools will not be responsible for RFQ or related correspondence that is not delivered by the deadline, delivered to the wrong address or misplaced. Bladen County Schools will record the date and time of receipt. Faxed communication will not be accepted.

RFQ’s received after the deadline will not be accepted for consideration and will not be returned. Faxed RFQs or related communication will not be accepted.

Any change made to any written response on any of the RFQ documents must be made in ink by marking through the original entry and entering the new information alongside the change. Changes must not be made with correction fluid. All changes must be “initialed” by the person signing the RFQ documents.

2 Statement of Inclusion/Applicability

These general terms and conditions are applicable to all RFQ invitations issued by Bladen County Schools and by this inclusion, they become an integral part of any contract which is awarded, or purchase order which is issued in association with this RFQ invitation.

The section titles contained in these general terms and conditions document are for convenience and reference only, and in no way define, describe, extend, or limit the scope or intent of the provisions of any section of this document. The term “RFQ” and “Proposal” may be used interchangeably. The RFQ responder will be referred to throughout this document as “THE VENDOR”. Unless otherwise stated, any listing of factors or criteria in this document does not constitute an order of preference or importance.

The term “contract,” as used in this document, means the comprehensive collection of: a) this general terms and conditions document, including any attachments and or amendments

thereto, b) the Vendor’s signed RFQ certification sheet, which must be completed, signed by an

authorized representative of the Vendor entity, and returned with the Vendor’s response, along with this ENTIRE terms and conditions document and all other forms and information collection pages included with this RFQ invitation,

c) the Vendor’s response to the RFQ Invitation, d) the Vendor’s Notice of Award document, e) and any additional terms, conditions, or instructions issued by any member(s) of Bladen

County Schools

Collectively, these documents represent the entire agreement between the parties.

The successful Vendor shall hold a current applicator’s license by the State of North Carolina. Any company Vendor shall have access to a licensed entomologist during the service period of this RFQ. A copy of the noted license shall accompany this RFQ.

4 Contract Time Period

The time period for purchases covered by a contract resulting from an award under this RFQ is stated in the RFQ certification. Bladen County Schools reserves the right to award the RFQ to a vendor for a longer initial term period than the time period stated in the RFQ certification if it is determined to be in the best interest of Bladen County Schools. Unless otherwise indicated in these general terms and conditions, all RFQ pricing will be firm throughout the entire contract period.

Upon mutual written agreement of both parties, this contract may be extended beyond the expiration of the contract time period in accordance with section 29 of this general terms and conditions document entitled “Extension Clause.”

The transfer, assignment, or subcontracting of contracts is prohibited, and the Vendor agrees not to sell, assign, transfer, convey, or subcontract any portion of this contract resulting from this RFQ invitation without the prior written consent of Bladen County Schools.

In the event that any changes to this RFQ invitation occur subsequent to the mailing or other delivery of the original RFQ invitation, the changes or corrections to this RFQ invitation will be made by addendum, and any updated information contained in any addendum will prevail over the information contained in the original RFQ invitation or any previous addendum. Each addendum will be communicated to all entities that are known to have received a copy of this RFQ invitation. Bladen County Schools is the sole authority for the issuance of any addendum related to this RFQ. Any communications from any person or entity other than Bladen County Schools regarding any matters related to this RFQ are invalid and will have no influence on this RFQ invitation.

Each addendum must be acknowledged on the acknowledgement form provided with the addendum. Any required acknowledgement form must be submitted along with the submission of any RFQ response.

6 Specifications

• The awarded company must be able to provide Integrated Pest Management Services to

16 sites (13 school buildings, maintenance building, transportation building, and central office building) owned and operated by Bladen County Schools. The company must follow School Board Policy Code 9205: Pest Management [attached]. Pest management services include main school building/s, offices and school cafeteria/kitchen area/s.

• All site visits and treatments must occur between the hours of 7:30am and 2:30pm

Monday through Friday, except holidays and school workdays, unless prior approval has been obtained by the building administrator.

• The services shall include control of roaches, rats, mice, ants, silverfish, spiders, bed

bugs and other pests/rodents. There shall be a minimum of one service per month for each school with additional treatments as needed to assure control of insects and rodents. Include plan for bed bug treatment for schools and district transportation to include buses.

• All pest control technicians shall check in at all school offices and shall view the pest

control log, initial and date the pest control log as verification of the document/s being reviewed.

• A school staff member shall accompany the pest control technician during the entire visit. The technician shall leave a service ticket signed by the school administrator or her/his designee. The service ticket shall indicate the date and the service performed. For visits to the cafeteria/kitchen area/s, the technician shall leave a service ticket signed by the school cafeteria manager or her/his designee.

• Two copies of invoices will be left in the school office and each cafeteria when service

is rendered. Invoices will be paid from the BCS Central Office and the BCS School Nutrition Services Office. Statements will be due the 5th of each month to the noted office locations. A separate statement shall be prepared for each school and each school

cafeteria.

• The successful Vendor shall furnish a projected calendar for service for the facilities and for the cafeterias.

• All work shall be performed in a safe manner and in accordance with all IPM

requirements. • For the school building, the successful Vendor shall treat/service teacher’s lounge,

custodial closets/storage, mechanical rooms, bathrooms, special education rooms, concessions area, gym, locker rooms, water fountains, general office areas; plus, maintain other areas (i.e.: classrooms, training rooms, coaches offices, field houses, etc.) of the building as required by the pest control log or as directed by the BCS Maintenance Department and/or the Maintenance Department Director, and/or the School Nutrition Director.

• Treat/Service for wasps, hornets, and yellow jackets on an as needed basis. Response

must be within twenty-four (24) hours.

• Perform service for snake removal when needed. This must be handled as an emergency service and requires immediate response.

• Perform pest bird control service when requested. Remove nest and bird proof area. All

other pest/rodent removal or treatments are requested.

7 Qualifications: The Vendor shall:

• Be independent and non-product affiliated • Have a minimum of three years’ experience with implementation and

continuation of IPM programs • Provide experience, education, and qualifications including licenses and certifications

held, verification that license(s) are valid, and other relevant training or skills. Contractor shall have access to an Associate Certified Entomologist (ACE) or Board Certified Entomologist (BCE) or person holding a degree in entomology who has demonstrated expertise in structural pest control, especially for rodents, bed bugs, and cockroaches.

• Provide sample of Log Book Reporting System (sample limited to two pages)

• Provide demonstrated experience in IPM programs for multi-facility institutions of similar size and scope (at least two references with contact information)

• Provide written description of IPM approach

8 Certifications: The Vendor shall provide the following:

• Certificate of Contractor General Liability Insurance, with the contracting party named as an additional insured

• Certificate of Workers' Compensation Insurance • Listing of any violations of state pesticide regulations or pest management regulations

within the past three years • Copy of Pest Control License/s showing all classifications

9 RFQ Evaluation and Award

All RFQs received in response to this RFQ invitation which are submitted in accordance with the instructions and restrictions contained in #1 of this general terms and conditions document entitled “RFQ Preparation and Submission Procedures” will initially be considered for award; however, initial consideration of any RFQ will not constitute an assessment of its meeting the necessary qualifications, and any RFQ may be disqualified at any time during the process of evaluating RFQs for failure to meet any other terms or conditions contained anywhere else in the RFQ invitation.

Bladen County Schools reserves the right to waive any or all Vendor irregularities, formalities, or other technicalities, to be the sole and independent judge of quality of the services offered, and may accept or reject any RFQ in its entirety.

It is not the policy of Bladen County Schools to award RFQs on the basis of low RFQ price alone. In evaluating the RFQs received and determining the best value for Bladen County Schools, Bladen County Schools will consider the following criteria:

Selection Criteria (100 points possible)

A selection committee that includes parties with expertise in IPM will evaluate proposals passing the minimum qualifications and certifications above. A. Submission Requirements (5 points)

• Organization of the document • Complete and accurate information • Follow RFQ instructions

B. Vendor’s Licenses and Certifications (25 points)

• Breadth and level of licenses and certifications held by Vendor and/or assigned project staff, above and beyond the minimum requirements set by the state

C. Experience of Vendor (30 points)

• Quality of performance on recent contracts • Extent of experience

D. Service Approach (40 points)

• Creativity and thoroughness in pest management approaches • Emergency and special services capability

• Adequacy of Vendor’s facilities, including the availability of microscopes and other pest identification tools • Ability of Vendor to recognize pest problems and sources of problems • Thoroughness of recommendations for pest prevention • Justification for all actions proposed • Quality and completeness of monitoring forms • Quality and completeness of service report form

E. Final Selection: Based on total points per each proposal submitted. It is understood that Bladen County Schools may use all means at their collective disposal to evaluate the RFQs received on these criteria, and the final decision as to the best overall offer, both as to price and to suitability of the services offered to fit the needs of Bladen County Schools, will solely rest on the Bladen County Board of Education or assigned representative.

“Notice of Award” letter issued by the maintenance director will notify the successful Vendor.

Bladen County Schools, as a whole or individually, reserve the right to require a performance bond as it is deemed necessary.

10 Withdrawal or Modification of RFQ

Subject to the restrictions discussed below, Bladen County Schools will consider a WRITTEN request from any Vendor that the Vendor be allowed to withdraw any RFQ submitted, but ONLY IN ITS ENTIRETY, and ONLY UNTIL THE DUE DATE AND TIME FOR RFQ SUBMISSION as stated in the RFQ certification included with this RFQ invitation. A representative of the Vendor entity who is authorized to enter into contracts on behalf of the Vendor entity must manually sign any request for the withdrawal of any RFQ in ink (preferably blue), and the person signing the request must indicate his/her title along with his/her signature. No RFQ may be withdrawn after the date and time that RFQs are due, as specified in the RFQ certification. Only RFQs that have been submitted, consistent with the instructions relating to packaging and labeling of the RFQ, will be considered for withdrawal.

If there is any question in the mind of the management of Bladen County Schools regarding the identity of the RFQ or the identity of the Vendor relation to any request for the withdrawal of any RFQ, Bladen County Schools will refuse to allow the withdrawal of the RFQ. Withdrawal of any RFQ allowed by Bladen County Schools will require the completion and signature of a written receipt by the Vendor’s representative satisfactory to Bladen County Schools Maintenance Director before the RFQ will be released. The decision of the Bladen County Schools Maintenance Director in relation to any matters concerning RFQ withdrawal will be final.

If a Vendor requests to withdraw a RFQ and Bladen County Schools allows the withdrawal of the RFQ, the Vendor may resubmit the RFQ, or submit a new RFQ up until the due date and time for RFQ submission as stated in the RFQ certification included with this RFQ invitation, provided any new submission meets all the qualifications of RFQ submission included in these

general terms and conditions.

If a Vendor resubmits a RFQ that was withdrawn and makes changes to any document in the RFQ package, an authorized agent of the Vendor must initial all alterations made to any RFQ document.

All RFQs in possession of Bladen County Schools at the time RFQs are due shall be deemed final, conclusive, and irrevocable, and no RFQ shall be subject to withdrawal, amendment, or correction after the due date and time for RFQ submission as stated in the RFQ certification included with this RFQ invitation.

11 Deviations from General Terms and Conditions

Any and all limitations, expectations, qualifications, special conditions, or deviations from these general terms and conditions must be clearly noted in detail by the Vendor at the time of submission of the RFQ. The absence of such limitations, exceptions, qualifications, special conditions, or deviations being submitted in writing with the Vendor’s response will hold the Vendor accountable to Bladen County Schools to perform in strict accordance with all these general terms and conditions and all the item specifications as written, including any such limitations, exceptions, qualifications, special conditions, or deviations with the RFQ response may place the Vendor at a competitive disadvantage or otherwise prevent Bladen County Schools from considering to RFQ on the affected item(s).

12 Contract

A response to the RFQ invitation is an offer to contract with Bladen County Schools and its members based upon the general terms and conditions contained in the RFQ invitation. RFQs do not become contracts unless and until they are both accepted by the Bladen County Schools Maintenance Department through an award notice to the Vendor.

This contract shall collectively include (1) the general terms and conditions and the item specifications included in the RFQ invitation and any subsequent addenda thereto, (2) the Vendor’s signed RFQ certification sheet and any subsequent addenda thereto, (3) the Vendor’s entire response to the RFQ invitation, and (4) the Vendor’s notice of award document. All the binding agreements should be submitted as part of the RFQ packet. The contract shall be interpreted by and governed under the laws of the State of North Carolina.

13 Payment

All invoices must reflect (a) the name and address of the Vendor, (b) the name and address or delivery location of the receiving entity, and (c) detailed descriptive information identifying the services completed, and must include a properly signed copy of the service receipt. Invoices must be mailed directly to Bladen County Schools.

Bladen County Schools does attempt to remember the importance of following prompt payment policies when dealing with its vendors. Each invoice should include the

Vendor’s normal payment terms.

At the option of Bladen County Schools, invoices with incorrect prices or other errors or inconsistencies will not be paid until corrected, whether by credit memo(s) or issuance of a corrected invoice. At the option of Bladen County Schools, invoices may be corrected upon receipt and payment may be made based upon their corrections.

14 Remedies for Non-Performance of Contract, and Termination of Contract

If the Vendor cannot comply with the terms and conditions in fulfilling its contract as anticipated, the Vendor must supply the same services contracted from other sources at the contract price. The Vendor’s delay in the above will constitute the Vendor’s material breach of contract, whereupon Bladen County Schools may terminate the Vendor’s contract for cause as provided by the remainder of this section.

Unless this contract is extended by mutual agreement of the parties beyond the expiration of the contract time period as stated on the RFQ certification sheet, this contract shall terminate upon the expiration of the contract term as stated on the RFQ certification sheet.

If any delay or failure of performance is caused by a Force Majeure event as described in section 15 of the general terms and conditions document entitled “Force Majeure,” Bladen County Schools may, in its sole discretion, terminate this contract provided such termination follows the remaining requirements of this section.

Except as otherwise provided for within the general terms and conditions of this document, this contract may be terminated in whole or in part by either party in the event of substantial failure by the other party to fulfill its obligations under this contract through no fault of the terminating party; provided that no such termination may be implemented unless and until the other party is given (1) at least ten (10) days written notice (delivered by certified mail, return receipt requested) of intent to terminate, and (2) an opportunity for consultation with the terminating party, followed by a reasonable opportunity, of not more than ten (10) working days, to rectify the defects in performance, prior to termination.

Valid causes for termination of this contract will include, but are not limited to:

a) The Vendor’s failure to adhere to any of the provisions of the General Terms and Conditions of this RFQ invitation, or;

b) The Vendor’s violation of any other provision contained within these general terms and conditions or any attachment thereto which provides for contract termination as a remedy.

In the event of the Vendor’s breach of any provision in this contract, Bladen County Schools’ reserves the right to enforce the performance of this contract in any manner prescribed by law or deemed to be in the best interest of Bladen County Schools.

In the event that Bladen County Schools terminates this contract for any reason provided for within the contract, Bladen County Schools’ reserves the right to award the canceled contract, or any portion thereof, to the next lowest or best Vendor as it deems such award to be in the best interest of its members.

Any contract termination resulting from any cause other than a Force Majeure event will be deemed a valid reason for not considering any future RFQ(s) from the defaulting Vendor.

15 Force Majeure

The term Force Majeure shall include, but is not limited to, governmental restraints or decrees provided they affect all companies in the vendor’s industry equally and are not actions taken solely against the vendor; acts of God (except natural phenomena, such as rain, wind or flood, which are normally expected in the locale in which performance is to take place); work stoppages due to labor disputes or strikes, fires, explosions, epidemics, riots, war, rebellion, or sabotage.

The parties to this contract will be required to use due caution and preventative measures to protect against the effects of Force Majeure, and the burden of proving that Force Majeure has occurred shall rest on the party seeking relief under this section. The party seeking relief due to Force Majeure will be required to promptly notify the other party in writing, citing the details of the Force Majeure event, and will be required to use due diligence to overcome obstacles to performance created by the Force Majeure event, and shall resume performance immediately after the obstacles have been removed, provided the contract has not been terminated in the interim.

Delay or failure of performance by either party to this contract caused solely by the Force Majeure event shall be executed for the period of delay caused solely by the Force Majeure event, provided the affected party has promptly notified the other party in writing. Neither party shall have any claim for damages against the other resulting from delays caused solely by Force Majeure.

Bladen County Schools will be responsible for any costs incurred by the Vendor because of the Force Majeure event unless Bladen County Schools has requested, in writing, that the Vendor incur such costs in connection with any delay or work stoppage caused by the Force Majeure event, and Bladen County Schools has agreed in such writing to incur such additional costs.

Despite any other provision of this section, in the event the Vendor’s performance of its obligations under this contract is delayed or stopped by a Force Majeure event, Bladen County Schools shall have the option to terminate this contract in accordance with section 12 of this general terms and conditions document entitled “Remedies for Non-Performance of Contract, and Contract Termination.”

By signing this RFQ, the Vendor certifies that, to the best of his/her knowledge:

c) neither the Vendor nor any business entity represented by the Vendor has received compensation for participation in the preparation of the item specifications or the general terms and conditions related to this RFQ invitation,

d) this RFQ or proposal has been arrived at independently and is submitted without collusion with any other Vendor, with any competitor or potential competitor, or with any other person or entity to obtain any information or gain any special treatment or favoritism that would in any way limit competition or give any Vendor an unfair advantage over any other Vendor with respect to this RFQ,

e) the Vendor has not accepted, offered, conferred, or agreed to confer, and will not in the future accept offer, confer, or agree to confer, any benefit or anything of value to any person or entity related to Bladen County Schools or any of its members in connection with any information or submission related to this RFQ, any recommendation, decision, vote, or award related to this RFQ, or the exercise of any influence or discretion concerning the sale, delivery, or performance of any product or service related to this RFQ,

f) neither the Vendor, nor any business entity represented by the Vendor, nor anyone acting for such business entity, has violated the Federal Antitrust Laws or the antitrust laws of this State with regard to this RFQ, and this RFQ or proposal has not been knowingly disclosed, and will not be knowingly disclosed to any other Vendor, competitor, or potential competitor prior to the opening of RFQs or proposals for this project,

g) No attempt has been or will be made to induce any other person or entity to submit or to not submit a RFQ or proposal.

The person signing this RFQ or proposal certifies that he/she has fully informed himself/herself regarding the accuracy of the statements contained in this certification.

17 Lobbying

No responsibility or obligation created by this contract shall be assigned or delegated by the vendor without written permission from Bladen County Schools. 19 Certifications Regarding Legal, Ethical, and Other Matters

By signing this RFQ, the Vendor certifies that:

k) he/she has read and understands all the general terms and conditions in this document, and agrees to be bound by them, and is authorized to submit RFQs on behalf of the Vendor.

l) the Vendor has noted any and all relationships that might be conflicts of interest and included such information with his/her RFQ response,

m) the RFQ submitted conforms with all item specifications, these general terms and conditions, and any other instructions, requirements, or schedules outlined or included in this RFQ invitation,

n) if this RFQ is accepted, the Vendor will provide all services awarded to under this RFQ invitation to Bladen County Schools at the price RFQ, and in accordance with the terms and conditions contained in this RFQ invitation,

o) the Venndor has, or has the ability to obtain, such financial and other resources, as may be required to fulfill all the responsibilities associated with this RFQ,

q) concerning paragraph “f” above, the Vendor has identified and disclosed in this written RFQ response any and all known suspected matters that would disqualify it from participating in this RFQ or receiving any award or contract related to this RFQ, recognizing that the Vendor’s failure to identify and disclose any such matters constitutes its affirmation that no such matters exist, and that failure to disclose in this RFQ response any such matters which do exist is a material breach of contract which will void the submitted RFQ or any resulting contracts, and subject the Vendor to removal from all RFQ lists, and possible criminal prosecution,

t) the Vendor will comply with all laws relating to intellectual property, will not infringe on any third party’s intellectual property rights, and will indemnify, defend, and hold Bladen County Schools harmless against any claims for infringement of any copyrights, patents, or other infringements related to its activities under this contract.

u) the RFQ submitted complies with all federal, state, and local laws concerning these types of products or services, and the Vendor entity will continue to comply with any applicable federal, state, and local laws related to the Vendor entity’s activities in connection with this contract,

v) the Vendor entity will maintain, at the Vendor entities expense, any insurance necessary to protect Bladen County Schools from all claims for bodily injury, death, or property damage that might arise form the performance by the Vendor entity or the Vendor entity’s employees or its agents or any service required of the Vendor entity under this contract; however, the existence of such insurance will not relieve the Vendor entity of full responsibility and liability for damages, injury, death, or loss as described or as otherwise provided for by law,

w) neither Bladen County Schools nor any of its members shall be liable to the Vendor for any damages (including, but not limited to, loss of profits or loss of business, or any special, consequential, exemplary, or incidental damages) in the event that Bladen County Schools declares the Vendor in default,

x) He/she understands that signing the RFQ with any false statement is a material breach of contract which will void the submitted RFQ or any resulting contracts, and subject the Vendor to removal from all RFQ lists, and possible criminal prosecution,

y) Vendors must comply with the State of North Carolina Conflict of Interest requirement as defined in General Statues, Chapter 14-234.

Unless otherwise provided for in this RFQ invitation, any written notice or other communication required by this RFQ or by law will be conclusively deemed to have been given and received on the second business day after such written notice has been deposited in the U.S. Mail, properly addressed, and with sufficient postage affixed thereto, provided such notice shall not prevent the giving of actual notice in any other manner.

20 Debarment, Suspension and Other Responsibility Matters

By signing this RFQ, the Vendor certifies that the prospective primary participant certifies to the best of its knowledge and belief, that is and its principals are not presently debarred, suspended, proposed for debarment, declared ineligible, or voluntarily excluded from covered transactions by any federal department or agency is in compliance with federal, state and local guidelines. 22 Compliance with Energy Policy and Conversation Act

By signing this RFQ, the Vendor certifies that the vendor is in compliance with all applicable standards, orders, regulations and policies related to energy efficiency which are contained in the State energy conservation plan issued in compliance with the Energy Policy and Conversation Act (Pub. L 94-163, 89 Stat. 871). [53 FR 8044, 8087, Mar. 11, 1988, as amended at 60 FR 19639, 19641, Apr. 19, 1995]

23 Records Retention

By signing this RFQ, the Vendor understands that Bladen County Schools, the Comptroller General of the United States, or any of their duly authorized representatives, shall have access to any books, documents, papers, and records of the contractor which are directly pertinent to the specific contract, for the purpose of audits, examinations, excerpts, and transcriptions.

The Vendor is required to retain pertinent records for five years after Bladen County Schools makes final payments and all other pending matters are closed.

By submission of a RFQ, the Vendor agrees that in the performance of any contract resulting from any award under this RFQ, the Vendor entity will comply with all applicable equal employment opportunity laws and regulations, including but not limited to an agreement not to deny any benefit to, exclude from any opportunity, or discriminate in any way against, any applicant, employee, or any other person because of age, color, creed, gender, handicapping condition, marital status, national origin, political affiliation or belief, race, religion, or veteran status. 25 Venue

This agreement will be construed and governed according to the laws of the State of North Carolina. Both parties agree that venue for any litigation arising from this contract shall lie in Bladen County, North Carolina.

26 Waiver

No claims or rights arising out of a breach of this contract can be discharged in whole or part by a waiver or renunciation of the claim or right unless the waiver or renunciation is supported by consideration and is in writing signed by the aggrieved party.

27 Interpretation -Parole Evidence

The parties intend this writing as a final expression of their agreement and a complete and exclusive statement of the terms of their agreement. No course of prior dealing between the parties and no usage of the trade shall be relevant to supplement or explain any terms used in this agreement. Acceptance or acquiescence in a course of performance rendered under this agreement shall not be relevant to determine the meaning of this agreement even though the accepting or acquiescing party has knowledge of the performance and opportunity for objection.

28 Right to Assurance

Whenever one party to this contract in good faith has reason to question the other party’s intent to perform he may demand that the other party give a written assurance of his intent to perform. In the event that a demand is made and no assurance is given within five (5) days, the demanding party may treat this failure as an anticipatory repudiation of

the contract.

29 Extension Clause

This contract may be extended no more than two (2) times on an annual, 12-month basis unless sooner terminated in accordance with the provisions of this contract if the vendor and Bladen County Schools mutually agree. Bladen County Schools must receive price changes in writing within 10 days to review the information and agree to the price changes prior to the price changes being effective.

30 Proposal Acceptance

The period for acceptance of this proposal will be thirty-(30) calendar days unless the Vendor indicates a different period.

The prospective lower tier participant further agrees by submitting this form that it will include this clause titled "Certification Regarding Debarment, Suspension, Ineligibility and Voluntary Exclusion - Lower Tier Covered Transactions," without modification, in all lower tier covered transactions and in all solicitations for lower tier covered transactions.

7. A participant in a covered transaction may rely upon a certification of a prospective participant in a lower tier covered transaction that it is not debarred, suspended, ineligible, or voluntarily excluded from the covered transaction, unless it knows that the certification is erroneous. A participant may decide the method and frequency by which it determines the eligibility of its principals. Each participant may, but is not required to, check the Nonprocurement List.

8. Nothing contained in the foregoing shall be construed to require establishment of a system of records in order to render in good faith the certification required by this clause.

The knowledge and information of a participant is not required to exceed that which does a prudent person in the ordinary course of business dealings normally possess.

9. Except for transactions authorized under paragraph 5 of these instructions, if a participant in a covered transaction knowingly enters into a lower tier covered transaction with a person who is suspended, debarred, ineligible, or voluntarily excluded from participation in this transaction, in addition to other remedies available to the Federal Government, the department or agency with which this transaction originated may pursue available remedies, including suspension and/or debarment.

LUNSFORD ACT: The Vendor acknowledges that N.C. General Statute 14-208.18 prohibits anyone required to register as a sex offender under Article 27A of Chapter 14 of the General Statutes from knowingly being on the premises of any school. This prohibition applies to persons required to register under Article 27A who have committed any offense in Article 7A of Chapter 14 or any offense where the victim of the offense was under the age of 16 years at the time of the offense.

CRIMINAL BACKGROUND CHECKS: The Vendor shall conduct criminal background checks on each of its employees who, pursuant to this Agreement, engage in any services on Bladen County Schools’ property or at Bladen County Schools’ events. The Vendor shall provide documentation that criminal background checks were conducted on each of its employees prior to hiring, and shall refuse employment to any person convicted of a felony or any other crime, whether misdemeanor or felony, that indicates the person poses a threat to the physical safety of students, school personnel or others. Such check shall include an annual check of the State Sex Offender and Protection Registration Program, the State Sexually Violent Predator Registration Program, and the National Sex Offender Registry. Vendor shall not assign any employee or agent to provide services pursuant to this contract if (1) said worker appears on any of the listed registries; (2) said worker has been convicted of a felony; (3) said worker has been convicted of any crime, whether misdemeanor or felony, involving sex, violence, or drugs; or (4) said worker has engaged in any crime or conduct indicating that the worker may pose a threat to the safety or well-being of student or school personnel. Bladen County Schools reserves the right to prohibit any individual employee of Vendor from providing services on Bladen County Schools property or at Bladen County Schools events if Bladen County Schools determines, in its sole discretion, that such employee poses a threat to the safety or well-being of students, school personnel or others.
