Fn rH S*rnum: Considerations for sharing existing infrastructure.

IT is hereby notified that the Minister of InformationCommunicationTechnology, Postal and Courier Services has, in tennsof section 99 of the Postal and Telecommunications Act [Chapter12:051, after consultation with the Authority, made the followingregulations:-

?. In these regulations-o'active infrastructurg'n rneans infrastructure that is

e lec tronicat ly involved in the trans mi s sion and recepti t-r no f inforrna ti on which includes infra s urrcture referred toin the Second Schedule;

"'trusin*ss day" rneans any day which is not. a Saturday, Sundayor trublic Holiday;

"infrastrur:fure" means tlrc aggregate of equipment, physicalsites, structure$ and facilities u$ed fcr providingte lecommunication service $ ;

" i nfrastru cture providern' mean s a felecofi]munic ation li cenc ehclltler, utility entity, tclweror dflrk fibre operatoror localAuthority who owns or is in control of infrasfiucfurewhich is amenable to sharing;

"infrastrurturr: seeker" r&gans a telecommunication licenceholder who se$ks to share infrastructure owned orcontrolled by an infrastructure provider;

"infrastructure sharing" ilteans the use of existing and futureinfra s lru c ture b y lwo CIr more te lecamrnunic ati on licen seholtlers subject to an agreement specifying relevanttechnical and commercial terms afid conditions;

Application

3. lhese regulations shall aprply to all telecommunication licenceholders.

Objective

4 . T'he objective of these regulations is to pnovide for infras&ucturesharing among telecornmunication licence holders in order to-

(a) eliminateunnecessaryduplicationof telecommunicationinfrastructure; and

(b) maximise theuseofexistingandfunretelecommunicationinfra$tructure; and

(c) minimisenegativepublichealth,safetyandenvironmentalimpact caused by theproliferation of telecommunicationinfrasfuchre installations : and

(d) proflotecompetitionintheprovisionoftelecommunicationnetworks and services; and

(e ) promote orderly andeffective town andcount-ry plarmingin tlre provision of telecommunication services; and

(t) ensure provision of sufticient telecommunicationinfrastrucnue in the country.

Powers and functions of the Authori4t5. In relatiorl to these reg$lat"ions' the Autlrority shall-

(a) exsrci$e licensing and regulatory powers in respect ofinfras tructure sharing ;

tb) citffy out infrastructure audits and identify sharableinfrastructure;

(c) determine fiategories and sites tor telecornmunicationiufrastrucftre sharing in the public interest as well astt: review and monitor shariilg arrangements;

6. { 1) No telecommunication licence holders shalt shareinfrastructure without an approved infrastructure sharing agreemen{.

{2) A telecornmunication licence holcler shall submit tlreinfraskucnffie sharing agreemen{ referrerJ to in sectiein 9t2.} [* t]reAutltority fcrr approval.

(3) No teleccstmunication licence holder shall be rec;uiredto share infrastructure where the Authority-

{a} determines that the infrastructure is nol sharable forre&sons which include that-(i) it is not technically feasible; or(ii) it is not in the interest t:f nationai security; or(iii) itis likely to causedamage to fhe naturs or functian

of such infrastructure;

or

tb) in the $a$e ofexisting infrastnrcfure, has approvedreservecapacity for the telesofitmunication liccnce trolder.

{4)'Ielec$rrununication lieence trolder$ may--{a} as determined by the Authority, share existing

infrastructure subject to considerations in ttre FifthSchedule; or

{$ all reasonable steps have been taken to investigatethe possibility of utilising existing infrastructilrebefore constructing new infrastructure;

(ii) it is not technically or practicalty feasible to shareexisting infraslfllct$re; and

(iii) the costs *f upgrading the existing infrastnlctureexceed that of building new infrastructure.

t5) All telecofflrnunication licence holders may shareinfrastrucrure guiderJ by techrrical standards containett in the FourthSchetlule.

{6) Infrasf.ructure sharing shall be provieled on an inpartialantl non-cliscriminatory basis and in terms of a written agreernent.

t2) Nothing contained in this section shall preventtelecurnnlunication licence holders frorn sharing any passiveinlrastrucrure not specitlcally mentioned in the First Schedule.

(3) Subject ta ttrese regulations, telecornrnunication licenceholders may share activo infrastrucnlre contained in rhe $ econd Schecfule.

(,1) The Authority shall only approve sharing cf infrastructurein cases where it rJaes not compromise Quality of Service andcompef i tir:rn through collusive behaviour among telecammunicationlicence fiolders.

(5) Telecommunication licence h$lders may enter into VirtnalNelworks arrangements and national roaming fls forms of activeinfra struL'rure sharing .

t6) Nothing contained in this section shall preventtelec*mfiIunication licence holders from sharing any activeinfrastrucffre not specifically nrentioned in the Second Schedule.

8. { I ) Th* infrastructure seeker shall submit a requ$$[ t$ theinfrastructure pravicfer in terms sf subssslion t2},

(2) A requsst for infrastructure straring in terms of suhsection(1) shall be in writing and includes the foll*wing-

(a) the date of the request;

{b} date when {he infrastructure is required;

{c} the telecommunicati*n licence number *f thein frastructure seeker ;

(d) the type of infrasffucture required for sharing;

(ei the technical andphysical requirements of infrastructureto be shared; and

(f) the location of the infrastructure $o re,quested, whereapplicable (including Global Positioning Systerncoordinates).

(3) The infrastrucfiile seeker shall be responsihle for thereasonable costs of processing the request submitted in ferfi]s ofsubsection { 1}.

(4) An infrastrucnile provider shall respond to a reque${submitted in terffis af subsection (1) within fourteen business days ofthe reque$t $tating nrinirnum requir*rnent$ for sharing *r the reasont;for any refusal

(i) availability ofsharing capacity; and

(ii) applicable charges; and

(iii) installation andprocessing charges; and

(iv) such other requirements as may be prescribed byfte Authority from time to time.

(6) If no reqponse to the request$ubmitted in terrnsof subsection( I ) is received within fourteen business days, the infra$tructure seekermay refer the matter to the Authority for resolution.

(?) No infrastructure provider shall decline a request to share

unless he or she satisfies the Authority that such sharing-(i) is not technically feasible; and

(ii) would cause damage to the nature and function ofsuch infrastructure: and

(iii) is nol economically feasible; and

(iv) would prevent the infrastructure provider fromfulf,lling his or her own reasonably anticipatedrequirements in terms of the licence conditions.

(8) Where an infrastructure seeker is not satisfied with the

basis for any refusal in terms of subsection (7), he or she may referthe matter to the Authority for resolution.

(9) No infrastructure provider or seeker shall enter into anexclusive infrastructure agreement, wilh another infrastructure seekeror provider, which prevents othef telecommunication operalors ftomaccessing the same infrastructure, olher infrastructure or entering intoinfrastructure sharing afrangements with the other contracting party.

(10) The infrastructure provider may call for expressions ofinterest on sharable infrastructure t}trough advertising in a newspaperwith national circulation, and the provisions of subsection (1) shallapply with necessary changes.

(11) Subject to these regulations, the Authority may directtelecommunication licence holders to share infrastnrcture in thenational interest.

( 1 2)Aninfrastrucnue provider who has been directed to sharein terms of subsection (1I ) shall be entitled to levy a charge for such

sharing in arrcordance with section I l.

Infrastructure sha ring negatiatio ns and ag ree ment s

9. (1) No telecommunication licence holder rhall-(a) obstruct or delay negotiations; or(b) refuse to designate proper repre$entative to take part ilr

negotiations; or(c) refuse to provide relevant information; err

(d) misrepresentfacls.

(2) In drafting infrastructure sharing agreementsv lelecommunication licence holders shall include the Mndel Terms

and Conditions outlined in the Third Schedute.

(3) 'Ihe pflrtie$ shall finalise the infrastructure sharingagreement within three sonths from the date of receipt of the requestfor infrastructure sharing.

(4) All draft infrastructure sharing agreements shall besubmitted to the Authority for approval within fifteen business daysfrom the date of finalising negotiations.

(5) The Authoriry shall approve or disapprove agreementsreferred !0 in sub-section (2) within fourteen business days.

(6)Any amendments to the infrasnucture sharing agreementsshall be approved by the Authority within five business days from fhedate of submission.

(7) Parties to an infrastructure sharing agreement shall lile acopy of the agreerrent, with the Authority within fourteen businessdays of signing the agreement.

(8) At any stage of the negotiations, any aggrievedtelecomrnunication licence holdermayrefer the matter to the Authorityv for resolution.

(ai is natconsistentwiththe law, $cope, terrns anrjconditionsof telecommunication licences, applicable regulnticns,regulatory decisi*n$, directives or standards and otherguidelines as prescribed try tlre Authority; anC

(b) is anti-conpetitive or contrary to guidelines on anti-competitive behaviour; and

(c) may endanger life and safety; and

(d) may cause ineparable damage to property or affectinter-operability; and

(e) is against public interest or national security; and

(f) is not technically feasible to share such infrastructure.

Infras t ru c ture s haring c h arg e s

11. (l) Infrastructure sharing charges shall be cost based in amarmer and format approved by the Authority.

(2) Infrastructure sharing charges shall be transparent, non-discriminatory justifiable and reasonable in that-

{a) teleconrilrnication licence holders shall not offer morefavourable rates to affiliate companies to the prejudiceof other infrastructure seekers: or

(b) telecornmunication licence holders shall offerinftastructwe at reasonable rates which are not lessfavourable than those provided by the infrasructureprovider to itself.

(3) In determining infrastructure sharing charges, theinfrastructure provider shall take into account-

(a) all capital costs incuned including upgrades andimprovements, excluding historical maintenance costsby the infrastrucfure provider;

(b) reasonable rate of return of the infrastructure provider'scapital appropriately employed in line with rhe obtainingregulatory costing model;

(c) all attributable operating expendihues, depreciation anda pruportionate contribution lowards the InfrasfrucnrreProvider's {ixed and cornmon costs;

(d) non-recuningcosts.

(4) Costs that do not vary with usage shall be recoveredthrough flat charges.

{3) Where a telecommunication licence holder exercises theoption to re$srve $ome rights in circurnstafices *f spare capacity-*

{a) the reserve period shall not exceed two years or periodprescribed by the Aulharity from time tqr time ilfterwhich the right will cease from being operational.

{b} not more than fifty per centuftr of spare capacity shallbe reserved.

Technical standards for infrastru$ure sharing

13. t 1) All telecornmunication licence holdsrs shall ensure thatstiurdardised equipment and utilfied technical interfaces iue used whensharing infras tructure.

{2} Telecommufiication licence holders shall ensure that thequatity cf service providecl to an infrastructure seeker shalt not differfrom that ryittrin the infiastnrcture providsr'$ own infrastructurenetwork.

( 3)'Iblecommunication licence holders shall ensure networksecurity of all shared infra$tructure.

Provision af inforntatiorz on tnfrustructure sharing

14. (1) Teleconnrnunication licence holders shatt subrnitinlonnation on infrastructure sharing as requested by the Authorityfrom tirne [* tirns.

{2) The Authcrity shall rnaintain ari up to date data base ofinformation regarding infrastruc&re sharing.

{3 }The Authority shall maintain a database of all intrastructuresharing agreernents.

15. tl) The Aufhority shall resolve any disprite pertaining toin{rasuucture sharing at the request of eitherparty using an appropriatedispure resotrution mer:hanism.

{2} trither party to a dispute shaltr submit a writtsn complaint tothe Authority with docunentation stating-

(a) the dispute, and

{t}} the positioll of the parties with respect to the disputeland

(c) lhe remedy sought.

{3} On receipt of a dispHte report, the Autharity shall withinfive business days, requests tfre respondent to make representations tothe Authority within fourteen business days from the date of receiptof fhe complaint.

CONSIDERAT]ONS FOR SHARING EXISTING INFRASTRUCTURE

1. The existing infrasfucture was designed to accornmodate individualtelecommunication licence holder, but some may still have capacity for sharing.

2. TheAuthority shall at its own co$t cany out anAudit in consultation withtelecommunication licence holders to determine existing infrastructure that can

be shared and seate a ddabase of all sharable aad non-sharable infrashucture'

3. Forsiteswithmultipleinfrastrucbrres(towers)theAuthority shalldeterminestructurcs to be strengthened and decommissioned.

5. An infrastructure seeker who wishes tc slrare an existing site, shall submita reque$t in terrns af section I and enter lnto an agreement with the infrastructureprovider in terrns of section 9.

6' If the identi{ied sit'e catrnot be shared in its cuilrent state but can beshengthened or enhanced, the Infrastructure Seeker shall aclvertise the site forinfrastructure skraring and other teleconlrnunication licence fuolders who wish tcrshare will expres$ their interest.
