Question: I would like to ask the following question regarding the RFQ: Paragraph J. of the Professional Services Agreement contains language as follows: Performance Warranty. Consultant warrants that the Services rendered will conform to the requirements of this Agreement and to the highest professional standards in the Consultant’s field. The Performance Warranty language as currently written is in conflict with the Professional Liability Insurance requirements included in the RFQ, and as such, we would like to propose replacement of the current language included in Paragraph J with the following: J. Performance Warranty. Consultant warrants that the Services rendered will conform to the requirements of this Agreement and shall be performed, consistent with but limited to, that degree of skill and care ordinarily used by other reputable members of Consultant’s profession, practicing in the same or similar locality and under similar circumstances. Nothing in this Agreement shall be interpreted to require Consultant to meet any higher standard of care, and this paragraph shall control over any such contrary provision. A: This request will be taken into consideration upon award. At this time, we are not inclined to make any changes to our draft contract as provided in the RFQ. You are welcome to make this exception in your SOQ. Rest assured you will not be penalized for making this suggestion, nor will your SOQ be deemed unacceptable. Once a company is awarded the work, we will have individual conversations with each to clarify any exceptions they suggested before fully executing the Contract. Question: In light of the language of Section VI.4 of the Request for Qualifications (RFQ), are Respondents permitted to submit exceptions to the Proposed Professional Services Agreement included with the RFQ without disqualifying their proposals?” A: The answer is yes. You can submit exceptions to the agreement and will not disqualify their proposal. Q: Can you disclose which firms currently hold the contracts for as-needed Environmental Screening/Studies/NEPA? We are trying to figure out what type of environmental services TAA is looking for under this contract. The types of firms that are current contract holders would give us an idea whether we should try to submit or look for teaming opportunities. Q: I had a question regarding the numbered services and scope of services copied below from the RFQ for As-Needed Services. Are you looking for someone to manage contractors or for an actual contractor/general contractor? 14. Construction Management Services Individual Work Authorizations for professional services may range from small tasks of a few hours, such as developing a cost estimate or a simple exhibit, to small design projects requiring plans, specifications, bidding, and construction administration. A: We are looking for someone to provide professional oversight/construction administration. We are not looking for general contractors. Q: The TAA’s RFQ for As-Needed Professional Services, Section II-Scope of Services on page 2 states that as-needed services will not be funded via FAA AIP or ADOT Aeronautics grants. Section VI-General Information and Instructions, item 14 on page 8 states that TAA has set an aspirational 7% (7% of the dollar value of the contract) DBE participation goal for this contract. Q: Could you please clarify whether or not the 7% DBE participation requirement will apply to contracts that result from this solicitation even though projects will not involve federal funds? A: The aspirational 7% DBE participation goal applies to individual work authorizations that are tied to the main contracts that result from this solicitation. Q: Are dividers or tabs included in the page count? A: As long as there is no writing on those pages they will not count Q: When you mean “no writing,” you mean qualification language, correct? Can we still put contextual language for the name of the divider, such as “Resumes” and “Required Forms?” A: Yes that is correct, and yes you can put contextual language such as “Resumes” and “Required Forms” on the page itself, but makes sure that there is no other language on that one page Q: Per the RFQ, the delivery instructions are to have SOQs delivered via FedEx or UPS, however, our team would like to know if there is an option for us to hand deliver our SOQ, given that we are local to the airport? A: SOQs should be delivered as follows: In Person: SOQ’s can be delivered in-person to 7250 S. Tucson Blvd. Suite 300, Tucson AZ. 85756. Q: It is our understanding that this selection process is for specific services. For instance, if we are selected for Airport Engineering, we would go to your list of selected firms and hire a surveyor, Geotech engineer, and testing firm assuming we are doing a pavement project. Is our understanding correct or should we be submitting a team to cover any projects assigned to us as an Airport Engineer?

A: Your understanding is correct…You also have the ability to hire a firm that is not on our list of selected firms to perform this work Q: Regarding the DBE form, Attachment 2 – We understand this is a standard form for TAA. Depending on your response from question 3 above, if we are hiring a team we could fill this out. If we are only submitting for ourselves and we are not DBE we would have nothing to report on this form, correct? A: The DBE commitment from the successful proposers will be included within the terms of the Master Contract itself. This language will identify the commitment to achieving TAA’s aspirational goal or providing evidence of the good faith effort undertaken by the firm of trying to achieve such goal. Each Task Order issued under the Master Agreement will reference and incorporate the DBE goal requirement. A Statement of Proposed DBE Utilization does not need to be submitted as part of the proposer’s SOQ, however a statement

Looks like the B and C sections are reversed in the selection criteria table from the text on page 4. Example: Section B is listed as Experience of Key Personnel on page 6 but Section B is listed as Availability and Commitment of Key Personnel on page 4. (So A, C, B, D vs A, B, C, D) Maybe the order doesn’t matter as long as I have a total of four sections. Just want to make it as easy on the reviewers as possible.

Would this be related to projects such as server replacements, or is it more application-focused such as providing airfield inspection application programs? Does this service category include general IT support for an existing network, or does it involve integration with an existing network in place at the airport? Is this category IT planning only or does it include hardware/software implementation? A: The Airport IT Infrastructure is intended to provide IT professional consulting services including studies, concept design, etc for “Airport” Related IT Infrastructure needs. She indicated that the minutes of the pre-submittal conference will be distributed to all meeting attendees and RFQ holders of record. Further addenda, if any, will be distributed to pre-submittal meeting attendees and firms on the RFQ Holders List. GENERAL INFORMATION

1. TAA intends to award this contract on or about October 2020 and will have a 3 year initial duration. 2. The Professional Services included in this procurement will be funded by TAA funds only. As-needed services will not be funded by FAA AIP or ADOT Aeronautics grants. 3. The Professional Services included in this Request for Qualifications are for development of both non-aeronautical land holdings and traditional airport projects at TIA and Ryan Airfield. The categories of Professional Services are: Land Planning, Appraisal Services, Financial Feasibility/Economic Impact/Modeling, Survey/Mapping, Environmental Screening/Studies/NEPA, Civil Engineering Services (including site/utility development, Traffic Transportation Engineering, and Airfield Engineering), Structural Engineering, Electrical Engineering, Mechanical Engineering, Geotechnical/Materials Testing, Architectural Services, Cost Estimating, Airport IT Infrastructure Consulting and Construction Management Services. 4. TAA shall not be held responsible for any oral instructions. Any changes to this RFQ will be in the form of an addendum, which will be furnished to all registered RFQ holders and pre-submittal meeting attendees. 5. This RFQ does not obligate TAA to award the contract to any firm nor to pay any cost incurred in the proposal process or in the preparation of Statements of Qualifications (SOQs) submitted in response to this RFQ. TAA reserves the right to reject any and all SOQs or to accept any firm which is deemed to be advantageous to the public and TAA. 6. The SOQ and other requested information must be completed, in its entirety, to the best of Respondent’s ability and the Respondent must represent and warrant that all information contained therein is true and correct to the best of Respondent’s knowledge.

No representative or agent of the Respondent may contact any member of the staff or Selection Committee, any member or director of TAA or any other agent or consultant of TAA, either directly or indirectly. Questions related to the RFQ or SOQ process may be directed in writing to Debbie Cruz by email at [email protected]. Any communication, or attempted communication, with any person other than Ms. Cruz shall, in the sole discretion of TAA, be grounds for disqualification of the firm. 8. All information received by TAA in response to this RFQ or contained in the SOQs shall be confidential. The SOQs shall be open to public inspection after the contract is awarded and executed by TAA. To the extent the firm designates and TAA concurs, trade secrets and other proprietary data contained in the firm’s SOQ will be kept confidential. 9. Any questions that the Respondents may have about the RFQ or the project should be faxed or emailed to [email protected] by no later than 2:00 p.m. on Wednesday September 9, 2020. TAA will issue the minutes of the pre-submittal conference and written responses to any questions received to all RFQ holders no later than Friday August 28, 2020. TAA will issue a final addendum, if necessary, on Thursday September 10, 2020. 10. DBE. It is the policy of TAA to ensure that Disadvantaged Business Enterprise firms (“DBEs”) have a fair and equal opportunity to participate in TAA's contracts. Specifically, it is the goal of TAA to ensure that, to the extent reasonably possible and consistent with other legal requirements that: (a) DBEs are not discriminated against in the award and administration of TAA's contracts; (b) a level playing field is created on which DBEs can compete fairly for TAA's contracts; and (c) any barriers to the participation of DBEs in TAA's contracts are removed. If a proposer or subconsultant of the proposer are certified as DBE, the work performed by both shall be counted towards meeting the aspirational goal. Any work performed by a non-DBE proposer or subconsultant shall not. TAA has set an aspirational 7% (7% of the dollar value of the contract) DBE participation goal for this contract. The firm must make a "good faith effort" to meet the stated aspirational participation goal. The firm should consult Appendix A of the DBE Regulations for guidance on what constitutes "good faith efforts.” As a matter of responsibility, firms must complete and submit the “Statement of Proposed DBE Utilization” in the form provided, with its submittal, including evidence of good faith effort related to TAA’s goal if the 7% aspirational goal is not met in part or in full. Firms and firms' subcontractor/subconsultant who are submitting as DBEs must be certified DBEs in Arizona in good standing prior to the date submittals are due. TAA recognizes current DBE certifications by the ADOT, City of Phoenix, and City of Tucson. The successful proposer will be required to submit the following information: (1) the names and addresses of DBE firms that will participate in the contract; (2) a description of the work that each DBE firm will perform; (3) the percentage amount of participation of each DBE firm participating; (4) written documentation of the bidder/proposer’s commitment to use a DBE subcontractor whose participation it submits to meet the aspirational contract goal; and (5) if the proposer cannot meet the aspirational DBE goal in part or in full, evidence of good faith effort undertaken by the proposer as described in Appendix A to 49 CFR Part 26. To count toward meeting a goal, each DBE firm must be certified in a NAICS code applicable to the kind of work the firm would perform on the contract. As a condition of the agreement between the parties, the firm awarded the contract will be required to report DBE participation efforts listing (1) all certified DBE subconsultants who will be working on the

Project, including work performed by firm’s own forces if firm is a DBE and (2) the estimated amount of dollars that will be paid to any DBE subconsultant providing services. This information will be reported on a form to be provided by TAA. In addition, firm must provide written confirmation from each DBE of its participation in the firm’s work. Firm will be required to track all payments to DBEs working on the Project. At the completion of the Project, firm will be required to complete and submit a final certification of payments to DBE firms on a form to be provided by TAA. PROPOSAL REQUIREMENTS 1. Debbie Cruz reminded the firms to carefully review the SOQ requirements described in Section V on page 4. 2. Respondents should review the insurance requirements on page 3 of the RFQ to confirm that they can comply. 3. A: The scope of services will be determined as individual task orders are developed and individual task could range from quick analysis, layouts, etc to full design projects. A: Generally this has included, but not limited to, services that are in support of a project such as field studies that can be utilized in coordination with local, state or federal permitting requirements. projects uninsurable as there is not a definition for “highest professional standards” and I am sure that is the same for many firms. Generally standard of care language states that services will be performed in a manner consistent with generally accepted practices of the profession undertaken in similar studies in the same geographic area during the same period – that language is insurable. It seems it would not benefit firms or TAA if project work was uninsurable. Is this something that be negotiated? A: This request will be taken into consideration upon award. At this time, we are not inclined to make any changes to our draft contract as provided in the RFQ, but will discuss further with the awarded firm. You are welcome to make this exception in your SOQ. Rest assured you will not be penalized for making this suggestion, nor will your SOQ be deemed unacceptable. Once a company is awarded the work, we will have individual conversations with each to clarify any exceptions they suggested before fully executing the Contract. Q12: Would other specific services, such as pavement management, go through its own specific RFQ process? A: Pavement Management Systems are not included in this scope. TAA procures this through a separate RFQ as the $250,000 annual cap is exceeded for that type of work. Q13: Under Civil category, what if we need survey, Geotech and structural engineering services to complete final design? Will the Airport provide the names from the survey or geotech categories to be utilized on the civil task orders? If not, should we include the subconsultant firms to provide these services to assist with final design under our proposal? A: The subconsultants will be discussed as the scope is developed for an individual task order. We do not need this submittal to include multiple subconsultants. Q14: Can you provide a more detailed scope for the Cost Estimating services that you anticipate as part of this contract? A: We generally use this to help develop costs for our budgeting and capital planning. So could be simple cost square foot estimates but it could also be detailed estimating based on plans. Q15: Would wayfinding/signage fall under #11 - architectural services? A: We do not anticipate utilizing a wayfinding/signage specialist for specific tasks under this contract. If an individual task order ends up having some wayfinding as it relates to a design project then it could potentially fall in the architectural services. Q16: Should we include a list of our firm's capabilities in the categories that we want to be considered for? The categories are so broad and we want to be more specific. A: Provide as much information that is necessary to describe your firm’s capabilities in the category you wish to apply for. Q18: Can you provide more details on the scope of services for the electrical engineering category? A: Load calculations and analysis of existing systems, simple designs, LED conversions. Q19: Section 5 on page 5 of the RFQ states “One (1) original Five (6) copies of the SOQ must be submitted to TAA.” Can you clarify if five or six copies are required? Are you willing to accept submittals electronically due to the ongoing pandemic? A: One (1) original Six (6) copies Q20: Is there a plan to move to digital SOQ submissions in the future? Hard copy submissions are comparatively rare. A: Digital SOQ submissions are used, but for this project we are requesting hard copies. Q21: Regarding the projects shown in firm qualifications and experience section, are we to list three references for each project? A: We are looking for a minimum of 3 references per discipline.
