CONSIDERATION OF FINANCING PROPOSALS FOR BOND ANTICIPATION NOTES As discussed at your February 25 th meeting, Davenport & Company issued a Request for Proposals to provide interim funding options for two capital projects: 1) Southampton County School Roof Projects (Financing Series 2019A) – includes the cost of acquiring, constructing, designing, equipping, replacing, or renovating the roofs at Capron Elementary School, Southampton High School and Career Center, Meherrin Elementary School, Southampton Middle School, Nottoway Elementary School, and Riverdale Elementary School, (collectively, the “School Project”). A copy of the proposed scope of work is attached. Please note that the Southampton County School Board is responsible for defining the scope of work, procuring contractors, and managing and overseeing the construction, which is expected to begin in June and conclude by September. The Board of Supervisors’ involvement is to arrange for the project financing and to appropriate the necessary funding to pay for the roofs. The estimated project cost is not-to-exceed $5,950,000. As directed at your January 28 th meeting, applications for long-term financing through the State Literary Loan Fund were filed with the Virginia Department of Education. Based upon our local composite index, Southampton County will qualify for a 2% loan under this program. With the exception of the Fresh Start Center, I’m pleased to report that our applications were approved. The repairs to the Fresh Start Center do not qualify for Literary Loan Funding because their limited scope (estimated at $50,000) will not extend the life of the building by at least 20 years. While it is great news that our applications have been approved, it could take as long as 36 months to close, based upon their current waiting list. Hence, the reason for proceeding with the RFP for interim financing. The RFP specified a maturity date of December 1, 2022 – the principal balance of the interim financing will be refunded with proceeds from the Literary Loan Fund when they become available. 2) Southampton Courthouse Property Acquisition and Architectural Design (Financing Series 2019B) – includes the cost of acquiring land for a Courthouse Expansion (if necessary) as well as architectural design costs associated with the Courthouse Expansion. Furthermore, the 2019B Note will fund the roof improvement project at the Fresh Start Center, since it did not qualify for the Literary Loan Fund funding. The estimated project cost is not-to-exceed $2,200,000. As Davenport & Company shared with you in February, the plan is to arrange for permanent financing for the Courthouse project sometime in the Fall of 2020, once design is complete, construction bids have been received, and the total project cost is well-defined.

12. CONSIDERATION OF FINANCING PROPOSALS FOR BOND ANTICIPATION NOTES

As discussed at your February 25th meeting, Davenport & Company issued a Request for Proposals to provide interim funding options for two capital projects:

1) Southampton County School Roof Projects (Financing Series 2019A) – includes the cost of acquiring, constructing, designing, equipping, replacing, or renovating the roofs at Capron Elementary School, Southampton High School and Career Center, Meherrin Elementary School, Southampton Middle School, Nottoway Elementary School, and Riverdale Elementary School, (collectively, the “School Project”). A copy of the proposed scope of work is attached.

Please note that the Southampton County School Board is responsible for defining the scope of work, procuring contractors, and managing and overseeing the construction, which is expected to begin in June and conclude by September. The Board of Supervisors’ involvement is to arrange for the project financing and to appropriate the necessary funding to pay for the roofs. The estimated project cost is not-to-exceed $5,950,000. The estimated project cost is not-to-exceed $2,200,000. As Davenport & Company shared with you in February, the plan is to arrange for permanent financing for the Courthouse project sometime in the Fall of 2020, once design is complete, construction bids have been received, and the total project cost is well-defined.

MOTION REQUIRED: If the Board is so inclined, a motion is required to adopt the attached resolution.

At that time, proceeds from the permanent project financing will be used to refund the principal balance of the Series 2019B financing.

On our behalf, Davenport & Company obtained five (5) highly-competitive financing proposals from national, regional and local banks. At this writing, they’re still analyzing the proposals to determine which is most meritorious. They will be in attendance Monday night to share the results. What I can share at this writing is that the proposals are better than the assumption Davenport plugged into their model back in February (3.5%). Attached for your consideration is a resolution prepared by our bond counsel requesting the County’s Industrial Development Authority to issue its bonds for the interim financing. The resolution obligates the Board to make annual appropriations for future fiscal years in amounts sufficient to make all such payments and further recommend that future Boards do likewise during the term of the Bonds. Our bond counsel, McGuire Woods, will be present Monday night in case any legal questions arise. The debt service for FY 2020 will be funded with proceeds received from Enviva last year in final settlement for their purchase of property in the Industrial Park. These funds are currently reflected in your unappropriated general fund reserve. While the final debt service numbers will be shared by Davenport & Company Monday night, their model back in February estimated it at $226,115 ($184,333 for Series 2019A and $41,782 for Series 2019B).

A RESOLUTION OF THE BOARD OF SUPERVISORS OF SOUTHAMPTON COUNTY, VIRGINIA, APPROVING THE ISSUANCE BY THE INDUSTRIAL DEVELOPMENT AUTHORITY OF SOUTHAMPTON COUNTY, VIRGINIA, OF ONE OR MORE REVENUE BONDS

WHEREAS, the Board of Supervisors of Southampton County, Virginia (the "Board") has

determined that it is advisable to finance all or a portion of the costs (or to reimburse the County of Southampton, Virginia (the "County") for payment of such costs) of various capital improvements, including, but not limited to, the costs of acquiring, constructing, designing, equipping, replacing or renovating the roofs at one or more Southampton County schools and a courthouse expansion, and the costs of acquiring certain land for a courthouse expansion and such other capital projects that may be included in the County's budget, as it may be amended from time to time (collectively, the "Project");

WHEREAS, the County proposes to undertake the financing of the Project by obtaining one or more loans (each a "Loan"), which Loans will be evidenced by one or more revenue bonds (each a "Bond"), issued by the Industrial Development Authority of Southampton County, Virginia (the "Authority");

WHEREAS, each Bond will be issued under a Financing Agreement (each a "Financing Agreement") between the Authority and the maker of the applicable Loan (each a "Lender"); and

WHEREAS, each Bond will be payable solely from the revenues derived from a Support Agreement between the County and the Authority (each a "Support Agreement" and together with the Financing Agreement, the "Basic Documents"), and under the Support Agreement the County will agree to make payments, subject to annual appropriation, sufficient to pay the principal of and interest on the applicable Bond.

NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF SUPERVISORS OF SOUTHAMPTON COUNTY, VIRGINIA:

1. Issuance of the Bonds. The County hereby requests the Authority issue one or more series of Bonds for the purpose of financing the Project and financing costs of issuing the Bonds. The County hereby determines that the issuance of the Bonds for the purposes described in the previous sentence is advisable and will benefit the inhabitants of the County through the promotion of their safety, health, welfare and prosperity. Each Bond shall be dated the date of its issuance and delivery and shall, except as otherwise agreed to by the applicable Lender and the County. The final terms and details of each Bond and the Lender of the applicable Loan shall be determined by the County's Chairman of the Board of Supervisors, the County Administrator or the Chief Financial Officer (each an "Authorized Representative") with such approval to be evidenced by an Authorized Representative's the execution and delivery of the Bond; provided that (1) the aggregate principal amount of the Bonds shall not exceed $8,200,000, (2) no Bond shall not mature later than June 30, 2023, and (3) the interest rate (exclusive of default interest and other penalties) shall not exceed 5.00%.

2. Authorization of Basic Documents. The execution and delivery of and performance by the County of its obligations under the Basic Documents, to which the County is a party, are hereby authorized. The Basic Documents and the Bonds shall be in such form and contain such provisions as the County Administrator, or his designee, shall approve, such approval to be evidenced conclusively by the execution and delivery of the Basic Documents, to which the County is a party.

3. Execution of Basic Documents. The County Administrator, or his designee, is hereby authorized to execute on behalf of the County the Basic Documents, to which the County is a party, and, if required, to affix or to cause to be affixed the seal of the County to the Basic Documents and to attest such seal. The County Administrator, or his designee, is hereby authorized to execute and deliver and record, if appropriate, on behalf of the County such leases, agreements, instruments, documents or certificates, and to do and perform such things and acts, as the County Administrator, or his designee, shall deem necessary or appropriate to carry out the transactions authorized by this Resolution or contemplated by the Basic Documents; and all of the foregoing, previously done or performed by such officers or agents of the County, are in all respects approved, ratified and confirmed. The County Administrator, or his designee, is hereby authorized to determine the final form of the Basic Documents; provided such documents are consistent with the intent of this Resolution.

5. Annual Budget. While recognizing that it is not empowered to make any binding commitment to make payments under the Basic Documents beyond the current fiscal year, the Board hereby states its intent to make annual appropriations for future fiscal years in amounts sufficient to make all such payments and hereby recommends that future Boards do likewise during the term of the Bonds. The Board directs the County Administrator, or such other officer who may be charged with the responsibility for preparing the County's annual budget, to include in the budget request for each fiscal year during the term of the Bonds an amount sufficient to pay the amounts due under the Basic Documents during such fiscal year. If at any time during any fiscal year of the County throughout the term of the Bonds, the amount appropriated in the County's annual budget in any such fiscal year is insufficient to pay when due the payments required under the Basic Documents, the Board directs the County Administrator, or such other officer who may be charged with the responsibility for preparing the County's annual budget, to submit to the Board at the next scheduled meeting, or as promptly as practicable but in any event within 45 days, a request for a supplemental appropriation sufficient to cover the deficit.

6. Payments Subject to Appropriation. The County's obligation to make the payments under the Basic Documents is hereby specifically stated to be subject to annual appropriation therefor by the Board, and nothing in this Resolution or the Basic Documents shall constitute a pledge of the full faith and credit nor taxing power of the County or compel the Board to make any such appropriation.

7. Costs and Expenses. All costs and expenses in connection with the financing of the Project and the issuance of the Bonds, including the Authority's fees and expenses and the fees and expenses of bond counsel and counsel for the Authority, shall be paid from the proceeds of the Bonds, or other legally available funds of the County. If for any reason the Bonds are not issued, it is understood that all such expenses shall be paid (subject to appropriation) by the County from its legally available funds and that the Authority shall have no responsibility therefor.

8. Tax Covenants. The Chief Financial Officer, or her designee, is hereby authorized and directed to execute and deliver simultaneously with the issuance of the Bonds the interest on which is intended to be excludable from gross income for federal income tax purposes a tax certificate or agreement, or both (collectively, the "Tax Agreement") setting forth the expected use and investment of the proceeds of the Bonds and containing such covenants as may be necessary in order to comply with the provisions of the Code, including the provisions of Section 148 of the Code and applicable regulations relating to "arbitrage bonds." The proceeds from the issuance of the Bonds will be invested and expended as set forth in the Tax Agreement and that the County will comply with the other covenants and representations contained in it.

9. Further Actions. (a) The County Administrator, or his designee, and the Chief Financial Officer, or her designee, are hereby authorized and directed to take further action as each deems necessary or appropriate regarding the issuance of the Bonds and the financing of the Project, including the execution and delivery of such construction and project funding documents as may be required by a Lender.

(b) All actions taken by officers and agents of the County in connection with the issuance of the Bonds are hereby ratified and confirmed. The officers and agents of the County are hereby authorized and directed to take such further actions as each deems necessary regarding the issuance of the Bonds and all actions taken by such officers and agents in connection with the issuance of the Bonds are hereby ratified and confirmed.

10. Exercise of Discretion and Authorizations. Any authorization of an officer of the County under this Resolution entitles such officer to exercise his or her discretion in taking action on behalf of the County, unless expressly provided otherwise. The authorizations granted in this Resolution to the Chairman of the Board of Supervisors may be carried out by the Vice Chairman, in the absence or unavailability of the Chairman. The authorizations granted in this Resolution to the County Administrator may be carried out by any Interim, Acting or Assistant County Administrator, in the absence or unavailability of the County Administrator. The authorizations granted in this Resolution to the Chief Financial Officer may be carried out by any Interim or Acting Chief Financial Officer, in the absence or unavailability of the Chief Financial Officer.

11. SNAP Investment Authorization. The County has heretofore received and reviewed the Information Statement (the "Information Statement") describing the State Non-Arbitrage Program of the Commonwealth of Virginia ("SNAP") and the Contract Creating the State Non-Arbitrage Program Pool I, and the County has determined to authorize the Treasurer to utilize SNAP in connection with the investment of the proceeds of the transaction if the Treasurer determines that the utilization of SNAP is in the best interest of the County. The Board acknowledges that the Treasury Board of the Commonwealth of Virginia is not, and shall not be, in any way liable to the County in connection with SNAP, except as otherwise provided in the contract creating the investment program pool.

SCOPE OF WORK Capron Elementary School

Roofs A

1. Remove existing roofing, insulation, flashing and metal down to the roof deck. All materials

shall be removed, disposed of and managed in accordance with all laws and regulations.

Materials must be removed from the roof daily and placed in dumpsters. Dumpsters shall be

covered each evening and changed on a regular basis. No materials shall be thrown from the

roof. Chutes and other equipment may be approved as needed.

2. Repair and / or replace deck as needed and approved by the owner / consultant.

3. Install new .060 Premium PVC-Kee roof system complete with insulation in compliance with

manufacturers requirements, and NRCA Roofing & waterproofing manual. Insulation shall

provide required insulating values and positive drainage as needed. The roof system shall be

installed in accordance with published wind uplift requirements specific to the type, location and

building configuration. Approved manufacturers include Carlisle, GAF, Fibertite and Manville.

Others will be considered as needed.

4. Install all flashing in accordance with manufacturers requirements. Wrap parapet walls with

membrane and required nailers, lumber and metal edge to cover stones in accordance with ES-1.

5. Install new .040 coated aluminum metal in accordance with manufacturers requirements, building

code, ES-1, SMACNA and NRCA roofing and waterproofing manual. Metal finish shall be

warranted for 20 years. Colors shall be selected by the owner from standard color charts.

Approved manufacturers include Carlisle, GAF, Fibertite and Manville. Others will be considered

as needed.

6. Provide a manufacturer 20-year total system warranty. Metal copings and edges shall be covered

by the total system warranty. Warranty shall cover wind speeds up to 80 mph.

7. In addition to the manufacturer’s warranty, provide 3-year contractors guarantee included in the

documents.

8. Any and all changes from the proposed roof system and approved submittals / details must be

approved in writing by the manufacturer. Documentation of changes must be provided in writing

to Owner, Consultant, and Quality Assurance Observer.

9. Reattach roof access ladders. Prime and paint with safety orange.

10. Remove and replace gutters with .040 coated aluminum and downspouts. Gutter shall be 8” box

gutter with all required hangers and accessories. Downspouts shall be 6” Box style and attached

to the building with matching straps and hidden fasteners. SMACNA and NRCA Details shall be

provided.

A technical representative of the roof system manufacturer shall be present on the job full-time for the

first three days of construction. The technical representative shall provide a daily report complete with

photos, documenting the work and quality. The technical representative shall provide training, as needed

to assure the skills and competence of the work force. The technical representative shall perform interim,

and final project inspection / report. All reports shall be provided to the owner, consultant and contractor

within 24-hours of visit.

Roofs B & C

1. Clean, prepare, and repair roof to allow for coating

2. Repair obvious defect in roof membrane with cold process application

3. Install 2 coats of Premium Fibered Aluminum Coating in accordance with manufacturers

recommendations. Henry, Karnack, TAMKO or approved equal

4. Cleanout, realign, repair gutters, and downspouts as needed.

WARRANTIES:

Upon completion of installation of the new roof or repair of existing the Contractor will furnish the

Owner.

1. Completed and executed Warranties (as applicable). Notification of warranty issuing

Manufacturer.

3. Mechanically attach or adhere reinforced Gyp cover board.

4. Install new .060 Premium PVC-Kee roof system complete with insulation in compliance with

manufacturers requirements, and NRCA Roofing & waterproofing manual. Insulation shall

provide required insulating values and positive drainage as needed. The roof system shall be

installed in accordance with published wind uplift requirements specific to the type, location and

building configuration. Approved manufacturers include Carlisle, GAF, Fibertite and Manville.

Others will be considered as needed.

5. Install all flashing in accordance with manufacturers requirements. Wrap parapet walls with

membrane and required nailers, lumber and metal edge to cover stones in accordance with ES-1.

6. Install new .040 coated aluminum metal in accordance with manufacturers requirements, building

code, ES-1, SMACNA and NRCA roofing and waterproofing manual. Metal finish shall be

warranted for 20 years. Colors shall be selected by the owner from standard color charts.

to the building with matching straps and hidden fasteners. SMACNA and NRCA Details shall be

provided.
