Director Consent The Director Consent for each proposed Director will need to be signed personally by the Director, and returned to the New Zealand Companies Office. The Companies Office will inspect the Director Consent to ascertain whether the signatures are genuine, and will keep the Consent forms on record. By signing the Director Consent form, the proposed Director verifies that the name and the residential address provided to the Companies Office is correct and current. The Director also verifies that they meet all the criteria for holding the position of Director and are not disqualified from being a Director. Scanned copies of the signed Consent form will need to be submitted to the Companies Office, and the original signed Consent will need to be couriered to the Companies Office before the New Zealand company registration can be processed further. Shareholder Consent Each individual and entity electing to be a Shareholder in the New Zealand company is required to sign and return a Shareholder Consent form before the company registration application can be completed. Each Shareholder for the New Zealand company is required to personally sign the Consent form. If the Shareholder is a corporate entity, the Director or authorized representative of the entity will sign the Consent. When the Shareholder signs the Shareholder Consents they verify that the information held about them by the Companies Office is correct and up to date. The Shareholders also verify that they meet the criteria for becoming a Shareholder. The originals of the signed Shareholder Consents must be returned to the Companies Office before the New Zealand Company registration can be processed. Submitting the Shareholder and Director Consents is the last step of the process of New Zealand Company registration, and if the Consents are approved the incorporation may be approved by the Companies Office.
