New Zealand Company Registration and Administration: Essentials and

Requirements

This is a new series of information booklets aimed at giving you a complete and through

over view of starting, running, and maintaining a limited liability company in New Zealand.

These booklets will equally address the needs and concerns of New Zealand

businesspeople and international entrepreneurs.

Part 3: Name

The first step toward registering a New Zealand company is deciding upon a unique name

for the new company.

All New Zealand limited liability companies must end with the words 'Limited' or 'Tapui

(Limited)', signifying the fact that the shareholders have limited liability for the obligations

of the Company.

In order to ensure that each company in New Zealand has a unique name, national legislation

sets out that a newly registered company name cannot be identical or almost identical to an

existing name.

Along with the requirements to have a unique name, New Zealand Companies are barred

from being offensive, deceptive or misleading, or from having royal, national, international,

commercial or other significance.

In practice, deciding upon and choosing a new name for the New Zealand Company is an

easy process. The proposed name of the new company can be checked using our online

verification tool. If the proposed name does is not the same as an already registered name,

the new name can be reserved with the Companies Registrar. The name will be checked by

the officers of the Companies Office, and confirmation will be provided in one working day.

Upon receipt of the confirmation, the rest of the registration process can be continued.

It is recommended that prior to applying for the reservation, the proposed name should be

checked against the New Zealand trademark register, and other publically available

databases to see if the name is too similar to an already existing entity.

The content of this brochure is intended solely for informational purposes, and is not to be considered to be legal or professional

advice or opinion.
