We have reviewed the accompanying Statement of Unaudited Standalone Financial Results of Manaksia Lilnited

(“the Company”), for the quarter and half year ended 30'h September, 2018, being submitted by the Company

pursuant to requirement of Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements)

Regulations, 2015, read with SEBI Circular No. ClR/CFD/FAC/62/2016 dated 5th July, 2016,

This statement is the responsibility of the company’s management and approved by the Board of Directors which

has been prepared in accordance with the recognition & measurement principles laid down in the Indian

Accounting Standard 34 “Interim Financial Reporting” (“Ind AS 34”), prescribed under Section 133 of the

Companies Act, 2013 read with relevant Rules issued thereunder and other accounting principles generally

accepted in India. Our responsibility is to issue a report on these financial statements based on our review.

We conducted our review in accordance with the Standard on Review Engagement (SRE) 2410, “Review of

Interim Financial Information performed by the Independent Auditor of the Entity" issued by the Institute of

Chartered Accountants of India. This standard requires that we plan and perform the review to obtain moderate

assurance as to whether the financial statements are free of material misstatement. A review is limited primarily

to inquiries of company personnel and analytical procedures applied to financial data and thus provide less

assurance than an audit. We have not performed an audit and accordingly, we do not express an audit opinion.

Based on our review conducted as above, nothing has come to our attention that causes us to believe that the

accompanying Statement of Unaudited Standalone Financial Results prepared in accordance with applicable

Indian Accounting Standards as specified under section 133 of the Companies Act, 2013, read with rule 7 of the

Companies (Account) Rules, 2014 and other recognized accounting practices and policies, has not disclosed the

information required to be disclosed in terms of Regulation 33 of the SEBI (Listing Obligations and Disclosure

We have reviewed the accompanying Statement of Unaudited Consolidated Financial Results of Manaksm

Limited (“the Company”), for the quarter and half year ended 30'" September, 2018, being submitted by the

Company pursuant to requirement of Regulation 33 of the 81381 (Listing Obligations and Disclosure

Requirements) Regulations, 2015, read with SEBI Circular No. C1R/CFD/FAC/62/201 6 dated 5th July, 2016.

This statement is the responsibility ofthe company’s management and approved by the Board of Directors whichhas been prepared in accordance with the recognition & measurement principles laid down in the Indian

Accounting Standard 34 “Interim Financial Reporting” (“Ind AS 34”), prescribed under Section 133 of the

Companies Act, 2013 read with relevant Rules issued thereunder and other accounting principles generally

accepted in India. Our responsibility is to issue a report on these financial statements based on our review.

We did not review the financial statements of three subsidiaries whose financial results reflect total assets of R51

118427.47 Iakhs as at 30"| September 2018, total revenue of R5118053.74 Iakhs and Rs. 40783.75 Iakhs and total

profit before tax of Rs.1856.12 Iakhs and Rs. 4692.44 Iakhs for the quarter and half year ended 30‘" September

2018 respectively, as considered in the financial results. These interim financial results and other financial

information have not been reviewed by their auditors and our opinion on the consolidated financial results, in so

far it relates to the amounts and disclosures included in respect of these subsidiaries, is based solely on such un—

reviewed management certified financial results and other financial information.

Based on our review conducted as above, nothing has come to our attention that causes us to believe that the

accompanying Statement of Unaudited Consolidated Financial Results prepared in accordance with applicableIndian Accounting Standards as specified under section 133 of the Companies Act, 2013, read with rule 7 of the

Companies (Account) Rules, 2014 and other recognized accounting practices and policies, has not disclosed the
