PARTNERING AGREE.MENT

MISSION STATEMENT

The U.S. Army Corps of Engineers (USACE) and the NationalAssociation of Women in Construction (NAWIC) seek through thisagreement to achieve a full and equal partnership between ourorganizations. We will promote our mutual concern of enhancing therole of women in the ~onstruction industry. We are committed toworking together towara the following goals.

GOALS* Ensure a continuing dialogue between USACE and NAWIC at alllevels.

* Enhance professionalism and integrity throughout our industry.* Foster a problem-solving attitude to ensure effective issue

resolution.

* Clarify and under$tand the changing roles of USACE, NAWIC andthe private sector.

* Improve communications and teamwork to achieve uniform andefficient business practices.

* Invest in the future by promoting education, research, anddevelopment.

This agreement ratifies the work of the USACE/NAWIC partnering.conference at Irving, TX on June 17, 1993, and the conferees'signatures are appended.

ANDTEE NATIONAL ASSOCIATION OF WOMEN IN CONSTRUCTION

This Agreement between the U.S. Department of Labor (DOL) and theNational Association of Women in Construction (NAHIC) is intendedto advance the interests of women in construction, and to fosterthe growth of women in all aspects of the constructio.n workforce.

THe focus of this A~reement is to encourage ongoing communicationbetween NAWIC and the 'following DOL agencies: Women's Bureau,Employment and Training,Adminjstration;Employment StandardsAdministration, Occupational Safety and Health Administration,Office of Small Busines~ and Minority Affairs, and the GlassCeiling Commission. Accordingly, the parties agreed to workjointly and assist each other to accompl'ish the following goals:Women's Bureau (Office of the Director)

o cooperate in outreach activities aimed at women'semployment, training, and business opportunities in theconstruction industry.

o Promote ongoing communications by includingNA\'IIC chaptersin WB national and regional office mailing lists to appriseNAWIC of Bureau activities, e.g., WB pUblications, workshopsand conferences, and legislative initiatives.

o Coordinate meetings between NAWIC and the DOL team, on an asneeded basis.

o Serve as monitor of this initiative by assessing the statusof commitments made and ensuring that the letter and spiritof this agreement are carried-out.

Emclovment and Training Administration (Bureau of Aoorenticeshioand Training, and Job Cores)

o Promote liaison between ETA field offices (BAT and JC) andNAl-7!CChapters.

o Include NAWIC on ETA's mailing lists and notify them of ETAactivities, e.g., pUblications, workshops, screening confer-ences, vocational competitions and seminars (BAT and JC).

Whereas, the National Association of Women in Construction (NAWIC) and the AssociatedGeneral Contractors of America (AGe of America) seek to achieves partnership to mutuallypromote the construction industry, and the role of women in the construction industry, and

Whereas, AGe of America and NAWlC look to this agreement as a vehicle which,willprovide access to new and expanded markets for both organizations, and

Whereas, AGe of America was the first construction organization to reach out to,NAWlCand NA WlC seeks to recommit to the working relationship with AGe of America, and

Whereas, the construction industry must strive to improve its image.among young people,educators, career counselors and parents in order to attract America's youth to a career inconstruction, and

Partnering Agreement

The Women's Business Enterprise National Council (WBENC) and the National .Association of Women in Construction (NAWI C) seek through this agreement to achievea full and equal partnership between our organizations. We will promote our mutualconcern of enhancing the role of women's business enterprises in the constructionindustry as well as the business community as a whole.

Goals

• NA WIC and WBENC will ensure a broad-based understanding of certification as ameans to market the goods or services of established businesses.

• NA WIC will be the vehicle that provides certifying information to its members uponrequest and through publication of materials.

• NA WIC will utilize WBENC informational materials in its certifi.cation marketingefforts. In return, WBENC will keep NA WIC informed as to any and all changes inthe certifying process.

• NA WIC will provide speaking opportunities at workshops, conferences and seminarsand a table at its Annual Conference for WBENC staff and volun~eers.

• NA WIC will appoint a representative to the WBENC Leadership Council.

• WBENC will receive a subscription to the bimonthly magazine, The NA WiC IMAGE,published by NA WIC.

• All NA WIC business owners who are certified by a WBENC partner organizationwill be placed on WBENCLink, a pass code accessible database that providescorporations with access to information on certified women's business enterprises.

• NA WIC will participate in WBENC Leadership Council meetings that ensure thatcertification standards and procedures are uniformly implemented in an efficientmanner.

Habitat for Humanity InternationalAnd

National Association of)Vomen in Construction

Agreement

Habitat for Humanity International (HFlll), an ecumenical Christian housing organization, andthe National Association of Women in Construction (NA WIC) seek through this agreement todevelop coordination between our organizations. We wiJJ promote our mutual concern ofbuilding and renovating houses with and for people in need of decent housing in decentcommunities through HFHl's Women Build department. This agreement wiJ1be effective on thedate it is signed by both parties.

Goals

• NAWlC and HFHI's Women Build department wiJI work together, whenever human and/e>r financialresources make it possible, to help build houses with families in need.

• NA WIC and their local chapters wj]] support ,HFHI's Women Build program and work together withlocal Habitat affiliates on homes built largely by women.

• NA WlC wiJI designate a representative for the Women Build department's Training Task Force, todevelop training programs for and with Habitat affiliates. This person will be an active member of theTask Force and wj]] attend meetings throughout the year when financial resources and time permit.

• NA WlC and Habitat will provide reciprocal links to their web sites.

Internet Linking

• Pennission to LinkNA WJC grants HFH] permission to link the HFHI Site to the NA WIC Site, and HFH] grantsNA WlC permission to link the NA WIC Site to the HFH] Site.

• Limited LicensesIn the event that either party wishes to use the other party's trademark for liriking purposes, each grantsthe other a nonexclusive, revocable right to display its designated logo as an icon used for 'linkingpurposes. Each party's logo used for this purpose may be downloaded from the owner's web site.Each party agrees to strictly follow the instructions provided by the other with respect to display ofdesignated logos as icons for linking purposes. Under no circumstances shall either party distort,modify or alter in any manner the designated logo of the other without express written permission.

• Acknowledgment of RightsIt is acknowledged and understood that each party owns full rights to all copyrights, trademarks andother proprietary material and intellectual property on their respective sites. The permission to linkand limited licenses provided herein are granted on the condition that the other party does not misuse,infringe or assert rights in any way in the copyright, trademark or other proprietary or intellectualproperty rights of the other during the time that the sites are linked or at any time thereafter.

• WarrantiesEach party warrants that itis fully authorized and entitled to gJ;ant permission to link and a limitedlicense to download and use the designated logo. I

I• Right to Withdraw Pemiission to Link and Limited Lic~nse

The permissions to link and limited licenses granted herein are with the express authorization of theparties. Each party reserves the right to withdraw either or both grants any any time in the future.

BenefitsI

.. NA WlC may provide HFHI's Women Build department with a copy of its current membership list forthe express purpose of mailings in connection with the Women Build program. Permission may begranted only l)y·the Executive Vice President of NA WlC.

• NA WIC may share Habitat for Humanity's mission statement and methodology with their staff andmembers and may provide speaking opportunities at workshops, conferences and seminars. Whenspace permits, NA WlC may provide a table at the NA WIC Annual Conference for HFHI's WomenBuild department. HFlD may provide speaking opportunities for.NAWIC.

• HFHI's Women Build department may help to promote NA WIC whenever HFHI considers itappropriate to do so. .

• HFHI's Women Build department wiH receive one(l) subscription to the bimonthly magazine, TheNA W1C lMAGE, published by NA WIC, and NA WIC press releases. HFHI wiH selectively sharethis information with its subordinate offices. HFHI's Women Build department wiU be able to submitarticles for placement in The NA W1C lMA GE magazine. These may be printed at the discretion of theeditor of The NA W1C lMAGE.

• HFHI and its Women Build department wiH forward for review and written approval prior topublication any press releases pertaining to NA WIC at least 5 working days prior to release NA WICwill forward for review and written approval prior to publication any press releases pertaining toHFHI and the Women Build department at least 5 working days prior to release.

• HFHI wiU grant NA WIC license to use the Habitat for Humanity R mark subject to the terms andconditions of the license agreement.

• This agreement may be modified upon the mutual written consent ofNA WIC and HFHI.

• This agreement may be terminated without cause by either party upon thirty- (30) days written noticeto the other party.

Cooperative Agreement

The American Society of Professional Estimators (ASPE) and the National Association ofWomen in Construction (NA WIC) seek through this agreement to achieve a full and equalpartnership between our organizations. We will promote our mutual concern of enhancing therole of women's business enterprises and the profession of estimating in the constructionlndustryas well as the business community as a whole. We look to this agreement as a vehiclethat will provide access to new and expanded markets for both organizations and will provide anopen and free exchange of experiences, resources and technical information to benefit membersof both organizations.

Goals

• To encourage construction industry firms to join NAWIC and ASPE and involve theiremployees in order to have a better understanding of the value of women in the workforceand the importance of estimators in the construction process.

• Promote joint meetings of the organizations to address issues of common interest.

• NA WlC and ASPE will provide reciprocal links on their web sites.

• The sitting President, or their designated representative, of each organization will act asrepresentative to the associated organization.

• NAWIC and ASPE will provide speaking opportunities at workshops, conferences andseminars and a table at their Annual Conference for display of materials, use of staff andvolunteers for the other organization.

• ASPE will receive a subscription to the bimonthly magazine, The NAW/C IMAGE, publishedby NAWIC. NAWIC will receive a subscription to ASPE's quarterly publication TheEstimator. Up to fifteen copies will be forwarded for distribution to interested staff or Boardmembers.

• NA WIC and ASPE will ensure a broad-based understanding of certification as a means tomarket the goods or services of established businesses.

• NA WIC will be the vehicle that provides certifying information to its members upon requestand through publication of materials. ASPE will administer the certification process,working with NA WIC representatives.

The National Association of Women in Construction (NA WIC) and the National Society of ProfessionalEngineers (NSPE) agree to enter into this Memorandum of Understanding (hereinafter known as MOU)to cooperate in a mutually beneficial manner to promote certification amongengineerin.g technicians andother non-licensed support personnel in the construction industry. Further, we agree to collaborate inendeavors that will build and enhance a relationship between our organizations.

SCOPE

NAWIC is a non-profit association that isself-goveming, non-partisan and non-sectarian. The corepurpose ofNA WlC is to enhance the success of women in the construction industry. NAWIC strives tounite for their mutual benefit women who are actively employed in the various phases of the constructionindustry; promote cooperation, fellowship and a better understanding among members of the association;promote education and contribute to the construction industry; encourage women to pursue and establishtheir careers in the construction industry, and provide members an awareness of the legislative processand legislation as it relates to the construction industry.

NSPE is incorporated as a 501 c(6) non-profit association. NSPE is the only engineering society thatrepresents individual engineering professionals and licensed engineers (PEs) across all disciplines.Founded in 1934, NSPE strengthens the engineering profession by promoting engineering licensure andethics, enhancing the image of the engineer, advocating and protecting the legal rights ofthePE attbenational and state levels through legislation, providing leadership development, publishing news of theprofession, and providing continuing education opportunities. NSPE serves 55,000 members and thepublic through 53 state and territorial societies and more than 500 chapters.

SPECIFIC PROVISIONS

The goal of the NA WlCINSPE partnership is to promote a better understanding between ourorganizations, to support continuing and ongoing education and professional development for allconstruction practitioners, and to promote professional licensure among all construction practitioners.

NAWIC AND NSPE PARTNERSHIP

• ~AWIC and,NSPE will seek ways to collaborate on an ongoing basis to further the missions ofNA WlC and NSPE, which are complimentary;

• NA WIC will provide representation at the NSPE Annual Convention & Expo as an exhibitor,when possible, and will provide NA WIC informational materials to participants; NSPE willprovide representation at the NA WIC National Convention as an exhibitor, when possible, andwill provide NSPE informational materials to participants.

• NAWIC will cooperate with NSPE in supporting the promotion of professional licensure andthe ethical practice of engineering by providing a ljnk from the NA WlC Web site to the NSPEWeb site;

• NSPE will cooperate with NA WIC in promoting and supporting the diverse roles of women inthe construction industry by providing a link to the NA WIC Web site from the NSPE Web site;

• NAWIC and NSPE will identify potential partnerships and contact people to enhance thecollaboration; and

• NA WlC and NSPE will endorse and link each other's program via their web site by using theNA WIC and NSPE insignias and providing. contact information.

FUTURE OPPORTUNITIES

A,spartners, NAWIC and NSPE will pursue opportunities in the best interest of each organization.

CONDITIONS

The undersigned agree that:

1. This agreement constitutes the entire understanding between NA WIC and NSPE and supersedesany prior understanding or agreement between NA WIC and NSPE with respect to the subjectmatter hereof;

2. This agreement can be modified only by a written document. executed by NAWIC and NSPE;

3. Nothing in this agreement shall be construed as obliging NAWIC or NSPE to specificexpenditures or to any programmatic obligation or payment of money beyond that set forth in thisagreement;

4. This agreement does not obligate NAWIC or NSPEmembers beyond their current obligations toparticipate ill NAWIC or NSPEPrograms, but encourages all avenues ofprofessionaIdevelopment;

5. In carrying out the conditions of this agreement, there will be no discrimination against any partybecause of race, creed, gender, ethnic origin, citizenship, or ability;

6. The copyright policy of each organization Shall be respected;

7. The intellectual property of each organization may not be published by the other. organizationwithout first obtaining written permission;

8. The independence or autonomy of either party shall not be inhibited and neither shall beresponsible for the actions of the other;

9. This agreement shall continue on an on-going basis. Both NAWIC and NSPE will debrief on anannual basis in order to re-evaluate and revise provisions of this MOD and associated programs toensure growth, sustain ability, and maintenance of quality of both organizations within thispartnership. Either organization can terminate the MOD with 60 days written notice to the other.

MODIFICATION

The terms of this agreement may be modified at any time by mutual agreement.

Whereas, The Surety Association of America (SAA) is a duly-authorized, non-profit,trade associfltion representing companies involved in the underwriting of surety andfidelity bonds; and

Whereas, SAA would like to increase access to surety bonding by small, minority andwomen contractors; and

Whereas, SAA would like to increase the number .of women in the underwriter andmanagement ranks of the surety industry; and

Whereas, SAA recognizes that one of the approaches to achieving these objectives wouldbe to increase awareness of, and participation in, the' surety industry by highly motivated,women already involved in some aspect of construction; and

Whereas, the Board of Directors of SAA has agreed to explore, through its Developmentand Diversity Advisory Committee, the establishment of partnering agreements betweenSAA and organizations representing common interests and goals;

WHEREAS, the development of successful Women Business Enterprises will benefit thecommunity and economy by creating opportunities and business for women-owned firmsand policy-making executives in the construction industry, and

WHEREAS, the construction industry in the United States of America has tremendousneed for skilled and motivated workers and executives from all segments of thepopulation, and

WHEREAS, the work force in the United States of America is becoming increasinglydiversified, and for this nation's construction industry to remain competitive in a globaleconomy, it must diversify its work force by attracting significantly more women into theindustry.

NOW THEREFORE LET IT BE RESOLVED THATNational Association of Women in Construction and Associated Builders andContractors do hereby consent and agree to initiate and support a joint effort offurther integrating into the construction industry firms owned by women.

National Association of Women in Construction and Associated Builders andContractors share the common belief that any contractor or employee within theconstruction industry has the fundamental right to chose freely whether or not toaffiliate with any union labor organization, and there do hereby consent and agree towork jointly to protect that fundamental of all Americans.

National Association of Women in Construction and Associated Builders andContractors do hereby consent and agree to work jointly to provide employees ofconstruction firms with high quality and affordable benefits that will enhance theirlives, and will therefore seek passage of legislation aimed at assisting contractors todo so.

In order to proactively take action on current national legislation affecting thebusinesses belonging to their membership, National Association of Women inConstruction and Associated Builders and Contractors do hereby consent and agreeto work jointly to monitor national legislation and to actively network on those issueswhere there is common understanding and support.

In order to increase their professional expertise within the construction industry,members of National Association of Women in Construction and Associated Buildersand Contractors shall encourage and help facilitate joint educational and trainingprograms among each organization's respective local chapters. This shall includeprograms in craft training, management education and safety training.

By doing so, both associations, working together, will assist non-minorityconstruction firms to effortlessly do business with historically under-utilized minorityand women owned businesses.

Whereas AACE Intemational (AACE) and the National Association of Women inConstruction (NAWIC) have many areas of common technical interest, and

Whereas the members of either organization may benefit from increased knowledge of theactivities and services available from the other organization,

It is concluded that it would be mutually beneficial to establish a strong· working relationshipbetween the two societies.

To further this objective, AACE and NAWIC hereby subscribe to this cooperative agreementand agree to undertake the.following cooperative ventures:

l.AACE and NAWIC will extend to the members of the other society the courtesy ofregistration at meetings, seminars, and other events at member rates.

2. Chapters (Sections) of both organizations will be encouraged to ext:end the samecourtesyfor local events and to hold joindy sponsored events.

3. AACE and NAWIC will explore the possibility of holding joindy sponsored semi-nars or meetings.

4. The two organizations will provide complimentary exhibit space to each other attheir annual meetings or conventions.

11. The Presidents and Executive Directors shall remain in regular communicationwith each other to explore additional mutual areas of cooperation.

This agreement shall extend through December 31, 2010 and may be extended by mutualagreement of both associations. Either party may terminate this Agreement with or withoutcause upon thirty (30) days written notice to the other party.

Wher(:as. the National Association of Women in Construction (NA WI C) and the NAWICEducation Foundation (NEF) seek to reat11rm their partnership to mutually promote theconstruction industry, the role of women in the construction industry, the educationalopportunities available and each respective Organization; and

Whereas, NAWTC and NEF look to this agreement as a vehicle which will provide accessto new and expanded markets for the mutual benefit of both organizations by combiningresources among their partners, to create a campaign of awareness for opportunitiesavailable to those in the construction industry from the educational programs that areoffered by both NA WIC and NEF and

Whereas, NAWTC and NEF will provide direction for existing programs, future programdevelopmenL and program implementation strategy to ensure that such programs meet theeducational needs of women of the constmction industry with NEF focusing on findingand developing Industry Certil1cation Programs and NAWIC focusing on finding ordeveloping educational opportunities tor its members dealing with leadership andpersonal growth topics; and

Whereas, NEF will O\h-71, copyright and protect all educational materials developedthrough the Foundation as well as developed jointly with NAWIC with completeauthorization for their utilization by NA WIC and its affiliate partners; and

Whereas, NA WIC. N AWIC Regions, NA WIC Chapters, Individual NA WIC Membersand NEF itself will continue to work together to promote financial support of theFoundation through traditional efforts which include fund raisers, material purchases, andgifts; and

Whereas the National Association of Women in Construction and the NA WIC EducationFoundations Executive Officers should maintain open communication. RespectiveOfficers shall meet at least once a year (at either pre-con or midyear) to discuss thecontinuing development of educational programs and opportunities otlered by bothAssociations to enhance the success of women in the construction industry and

Whereas, NA WIC will participate with NEF to further the awareness of the Foundationboth within NA WIC and throughout the construction industry as a whole includingproviding speaking opportunities and reasonable accOlnmodation at RegionalConferences and the Annual Meeting for NEF staff and volunteers; and

Whereas, NEF will utiUze their partnerships and involvement with Educa.tional contactSwithin the Industry to assist NAWIC in obtaining quality speakers for RegionalConferences and the Annual Meeting ofNAWIC, and NAWIC will assist NEF in theireducational endeavors by allocating time on theh schedules for NEF seminars,

Whereas, the Construction Industry must strive to enhance its image among youngpeople, educators, career counselors and parents in order to attract our youth to a careerin construction; and

Whereas, the construction industry has a shortage of employees at all levels, a.l1dtomorrow's entrepreneurs will come from today's employees;

Now, therefore, be it resolved that the National Association of Women in Constructionan.d the NAWIC Education Foundation are committed to working together to accomplisheducation and career opportunities for the construction industry and to cooperate inprograms and activities that enhance the image of the Constnlction Industry; therebypositively impacting the workforce crisis.

Be it further resolved that the parties are committed to carrying out this Agreement and tobuilding and maintaining this partnership and in the interest ofthis partnership, theNAWIC President has the discretion to invite the NEF President to audit the Boardmeeting and the Strategic Plan meeting.
