1 Section I - Eligibility CriteriaThe bidder must possess the requisite experience, strength and capabilities in providing the servicesnecessary to meet the requirements, as described in the tender documents. The bidder must alsopossess the technical know-how and the financial wherewithal that would be required to successfullyprovide for “Installation of CCTV Surveillance system in Sadar Bazar & adjoining of Gurgaon TownMunicipal Corporation Gurgaon City ” and support services sought by the Commissioner, MunicipalCorporation Gurgaon for the entire period of the contract. The bids must be complete in all respect andshould cover the entire scope of work as stipulated in the Tender document. The invitation to proposalis open to all bidders who qualify the eligibility criteria as given below:Sr.No.

years7 The Prime bidder or consortium partner should have

presence in the state. However, if the local presence isnot there in the state, the selected bidder should give anundertaking for arranging for the same within onemonths of award of the contract.

8 The bidder should, for SLA based onsite comprehensivewarranty for the software solution, producedocumentary evidence from OEM of having agreed toprovide back-to-back warranty and Technical Support forits supplied products and related services on the termsagreed between the parties.

Important Note:- MCG reserve the right to amend any/ all the above eligibility criteriadepending upon the outcome of the pre bid conference to ensure fair play and competition inthe bid process. Any such changes will be notified in writing to all those who haveparticipated in the tender.

1.2 The third party inspection will be carried out for the project by any government Agencyor private agency with prior approval by commissioner Municipal Corporation Gurgaon.


2 Section II - Introduction to the Project

2.1 Making sense of the current state of an emergency and of the response to it is vital ifappropriate decisions are to be made. This task involves the acquisition, interpretation andmanagement of information. Haryana State with wide-ranging socio-economic disparitiesis now witnessing the ongoing Information Technology (IT) revolution. The State ofHaryana recognizes the importance of Information and Communication Technology as akey enabler in its economic development as well as improving the quality of life andfunctioning of government. Accordingly, the State has prepared its IT policy with a visionof establishing an information society consisting of informed, active and thereforeresponsible citizens – the basic tenet of a true democracy. It seeks to provide all citizenswidespread and easy access to government services, in the local language effectivelyaddressing the existing digital divide and promoting entrepreneurs. The State's IT Policyhas been designed to achieve the Governments vision of creating an enabled Societyeffectively contributing to the Social and Economic Development of the State, where thereare no islands of elitism or isolated conclaves of wisdom.

2.2 With the objective of providing better Governance and improving the quality of life ofordinary citizens of the State, Government of Haryana has initiated various e-Governanceprojects at the State level. In this regard and on its part Municipal Corporation Gurgaonseeks to lay the foundation for better Governance and create core infrastructure andintegrated service levels to ensure a citizen-friendly environment for Municipal Area in theGurgaon City.

2.3 Municipal Corporation Gurgaon (MCG), Government of Haryana has planned tomodernize its Surveillance monitoring in the city of Gurgaon, the city being in proximityof the National Capital Region (NCR) Gurgaon have their own significance in terms ofmaintaining the law and order situation. The Gurgaon city have a fast growing floatingpopulation with divergent socioeconomic strata and monitoring of large number ofvehicles in the cities has become a significant task. Municipal Corporation Gurgaon(MCG) is looking for an outdoor surveillance system using IP CCTV systems to initiallycover the area of sadar bazaar with adjoining streets, maszid chowk to Rajiv chowk &Iffco Chowk etc. . The system should be capable of monitoring from multiple locationsincluding nearest police stations from surveillance camera.


2.4 Main purpose of City Surveillance System in Gurgaon City:

The City Surveillance System for Gurgaon City will be installed in Sadar Bazar and themain junction of Gurgaon. The main objective of complete solution having the followingfacilities but not limited to:

Video Surveillance - The objective of the system is to create a robust wirelessinfrastructure as a backbone with essential focus on video surveillance, voicecommunication and on line data transaction.

Time Critical Systems - Operate in real time providing locational (X Y) and attribute

information on resources i.e. GPS to locate vehicles and transmit locality back tocontrol room, Central control of resources through mapping location and availabilitystatus, Provision such real time spatial information is a relatively new technology

To report a crime in progress – To inform Police at Police Control Room or Police

Station, to seek Police Assistance To save a life – Request for Ambulance services, advance information to nearest

Trauma Centre / Hospital To assist report a fire - at different Fire Brigade office.

The list of Chowks where Cameras need to be installed is enclosed in Annexure 1.

2.5 Project is envisaged to enables the police to provide a better service to the public:

Its’ high performance and intuitive user interface ensure a faster response toemergency calls

Improved presentation of information means that operators can provide a moreinformed response to callers

Its’ ability to communicate with other organizations provides a more coherentservice-wide response than has previously been possible.

Live monitoring of activities in the sensitive locations, from the point of view ofsecurity and crime prevention & detection.

To record the movements of vehicles and public at specific locations for futureplanning / actions.

To create a Central Command and Control Centre. Immediate incident detection and effective management of police response. Support and integration with the existing systems.

Identification of disaster/emergencies and response thereon, create communication

infrastructure which is omnipresent in nature with essential focus on videosurveillance, voice communication and on-line data transmission.

The system should be capable of providing connectivity in Gurgaon Municipal Limits

with the objectives of surveillance and communication as per the locations and detailsin (Annexure 1- locations list).

The Project envisages implementation of an I.P. based Video Surveillance system on a proposed network for aiding visual surveillance for:


• Law & Order,• Special events like public gatherings, processions etc.• Crime Control,• Traffic control, etc.

Using Broadband wireless network for better governance and coordination amongagencies during crisis situations, floods, earthquake etc.

System should be scalable, be able to integrate existing system and provide enhancedfunctionality and services as required in future (Scalability and Expandability)

2.6 Types of common emergencies where Police Control Room and Municipal

3 Section III - Scope of Work

3.1 The selected bidder shall supply, Install and maintain “City Surveillance System inGurgaon” for a period of 5 years from the date of successful completion of FinalAcceptance Test (FAT). The minimum specified work to be undertaken by the bidder forsetting up and operating the project has been categorized as under:

1. Provisioning for City Surveillance System in Gurgaon, related Software,Networking, Video Management Software and IT infrastructure

2. Implementation Services

3. Maintenance and support for at least 5 years including recurring charges towardswireless connectivity, updation, etc. Connectivity is the responsibility of thebidder. Bidders are advised to include all recurring charges for the connectivity.

3.2 Municipal Corporation Gurgaon, intends to implement a comprehensive solution for CitySurveillance System in Gurgaon. The scope envisages a complete turnkey solution which mayinter-alia include procurement, installation and maintenance of hardware, system software,application software, third party software and Customization, parameterization andimplementation of the application software and system integration for 5 years with training tothe designated personnel.

Municipal Corporation Gurgaon (MCG), intend to implement State-of-the-art technologysolutions that would support Command Control Room and future automation needs of the PoliceControl Room.:

1. Provide centralized Video Management software for City Surveillance System in PoliceControl Room Gurgaon.

2. Customize the solution as per Municipal Corporation Gurgaon, requirements.

3. Procure the necessary System Software and other third party software required forimplementation of the solution.

4. Design and implement a fail-free hardware and storage architecture for storage server, etc.

5. Procurement/Supply, installation, integration, implementation and maintenance ofnecessary hardware, operating system, and application software.

6. Implement and maintain (including Updates and upgrades) the Application Software,System Software, and hardware for 5 years.

7. Development and Customization of New Modules for the application software as andwhen required.


8. Implement a Help Desk cum support centre for onsite support services for a period of 5years.

9. Design and engineer an outdoor surveillance system for the city of Gurgaon.

10. Wireless connectivity for 5 years shall be supported for connecting the outdoorsurveillance system to control room.

The vendor shall be required to take care of the following:

a) Undertake requirement / GAP Analysis for installation of customized integrated productfor City Surveillance System in Gurgaon, as per the needs of the Municipal CorporationGurgaon. The same solution shall be capable of extending to different Chowk in theGurgaon City in a phased manner.

b) Suggesting necessary re-engineering of the processes so as to enable adoption of theproduct / solution proposed.

c) Supply of Installation Manual, Administration Manual and User Reference/TrainingManual.

d) Define overall training requirements and preparation of the training plan.

e) Conduct project specific training for users in the customized software.

3.3 Supply / Installation Supply, erection, testing & commissioning of IP based CCTV surveillance System at

Various Places in Gurgaon City. The total city surveillance system is for 9 squares /locations. Each location is connected to nearest building by through wired network. Thesenearest building are in turn connected to the Command Control room by wireless network(RF). All cameras at each squares / locations and Video Management Software at CentralControl Room shall be from the same manufacturer for future expandability, reliability, betterperformance and easy maintenance.

The Selected bidder shall procure, supply and install all IT infrastructures.

Procuring and providing necessary IT infrastructure consisting of hardware equipment.

(Server, System software, Storage Server), Firewalls, Security Systems, Anti-virus software,Operating Systems for application deployment and implementation. The entire IT


infrastructure should be procured in the Name of “Municipal Corporation Gurgaon”.

System Software such as Operating System, Video Management Software, Middleware,etc required for successfully running the solution should be latest & should be Perpetualin nature.

Application Software or Video Management Software as per required specifications. Installation shall mean to install and configure & integrate every component and

subsystem component, required for functioning of the solution, integration with ITinfrastructure consisting of Computer, Printers, etc. for end users of the system.

System Architecture:

The cameras at each square / location shall be connected to the field switch / Edge switchthrough CAT 6 STP cable, this field switch / Edge switch shall be connected to nearestbuilding through 6 cores SMF Fiber cable and media convertor on Edge L2 switch ateach nearest Building.

All nearest building Edge L2 switch (RF Connectivity) shall be connected to Policecontrol L3 Managed Giga Switch and this L3 Managed switch shall be connected to aDatabase, Camera Server and Video analytics Server with required no of client licenses(17 Viewing point). This client license viewed through Intranet or web based access anywhere as per instructed by Municipal Corporation Gurgaon (MCG) Provision forIntranet or Web portal to access from anywhere. System Integrator should responsiblefor Integrate viewing point with Intranet or Web portal.

Civil works:

o The successful bidder shall have to undertake the cabling/erection of mast/fixingof poles etc. as per the requirement. The cabling should be laid as per trenchlesstechnique.

o Civil works including digging etc., if any, required for providing end to endconnectivity will be the responsibility of the successful bidder.

o The successful bidder shall be responsible for restoring the areas to its originalshape wherever, the digging if any has been undertaken by him for end to endimplementation of the system.

The requisite space shall be provided by Municipal Corporation Gurgaon at all locations.


Electrical works:

o Electrical cabling up to the equipment to be kept at each location, rack etc. as thecase may be shall be the responsibility of the successful bidder.

o Carry out installation and configuration of the electrical components as per thestandards.

o The quantity of passive items if any shall be verified by the concerned official ateach site.

3.4 Testing and Commissioning Commissioning & Acceptance Testing shall involve the completion of the supply and

installation of the required components and making the application available as requiredfor Municipal Corporation Gurgaon (MCG), for carrying out live Operations and gettingthe acceptance of the same from Municipal Corporation Gurgaon.

Acceptance testing shall be carried out for all the sites before the commencement of Live

Operations from the control room of Gurgaon city. 3.5 Documentation

All documentation generated during design, installation and commissioning phase shall bemade available to the Municipal Corporation Gurgaon. Indicative list of documents include:

Project Commencement: Project Plan in MS Project giving out micro level (L2/L3level) activities with milestones & deadlines

Delivery of Material: Original Manuals from OEMs.(original Equipment Maufactures)

Training: Training Material will be provided which will include the presentations

used for trainings and also the required relevant documents for the topics beingcovered for the number of person indicated hereinafter.

User and Administrative manuals for application software: The bidder shall be

responsible for providing the same to the department in two copies both in soft andhard format.

3.6 Help Desk Services

The successful bidder will provide onsite help desk service in MCG which will serve asa single point of contact for all ICT related incidents and service requests. The servicewill provide a Single Point of Contact (SPOC) and also resolution of incidents. Thescope of work includes:

(a) Help Desk facility for reporting issues / problems with the IT infrastructure.

(b) To implement a call logging system in line with the severity levels as mentioned inthe SLA.

(c) The Help Desk shall undertake the following activities:

a. Log issues / complaints related to IT under the scope of work and issue an IDnumber against the issue / complaint.

b. Assign severity level to each issue / complaint.

c. Track each issue / complaint to resolution

d. Escalate the issues / complaints, to department if necessary as per the escalationmatrix defined in discussion with Municipal Corporation Gurgaon.

e. Provide feedback to the complainer.

f. Analyze the issue / complaint statistics

g. Creation of knowledge base on frequently asked questions to aid the users of thisIT infrastructure

3.7 Training Requirements

The Bidder is responsible to provide a minimum of 3 days Training for 1 batches to at least 10persons as instructed by Municipal Corporation Gurgaon officials per batch on the usage of theimplemented solution.

3.8 Functional RequirementsThe application seeks to achieve a set of objectives like increasing efficiency & effectiveness ofthe processes, employee productivity, and efficient management of data, information &knowledge within the Police Control Rooms of Gurgaon Police, better communication & co-ordination and advancement towards knowledge-led police control room operation. The detailedlist of minimum list of functionalities and its compliance table by the participating bidders forthis tender is given hereafter and further details in annexure attached to this RFP.

With the given background, its vision & objectives of the project, a broad outline of functionalrequirements is given below:

3.9.1Functional Requirement of City Surveillances System Gurgaon in Police ControlRoom

a) Live Monitoring of the traffic at intersections & roads.

b) Managing Traffic Operation


c) Integrated Operator Console

d) Incident Detection and Management

e) Traffic Simulation for impact analysis etc.

f) VIP Vehicle Tracking and route management

g) Central Command & Control Centre

h) Real time Video Wall display for showing conjunction level, accident location, locationof resources etc.

It must carry the following:-

(1) Day & Night ‘On Line’ monitoring of traffic at the intersections and on the roads on24 x 7 x 365 basis. This includes installation of IP based cameras ( either PTZ orfixed)

(2) Analytical software for analyzing video receipt from the camera for definite incidentdetection and help in its management.

(3) The camera should be intelligent and should have the capacity of reading theregistration (APNR) number in Indian conditions.

(4) Capability of enforcement of traffic laws and rules which may include enforcementagainst over speed, red light jumping, lane violations, stop line violations etc.

(5) Identification of disaster/road emergencies and response thereon.(6) Setting up of centralized command & control centre with facility of “On Line” real

time display on “Video Wall” slides Generation of various statistics and incidentmanagement reports.

(7) The video wall should be able to indicate:-a) Volume of traffic on the roads.b) Flagging of accidents etc.c) Any other information of traffic violation.d) Wrong Parking and Abandoned property

3.9.2 Electronic security and surveillance

The system should broadly aim at the following minimum capabilities:a) Providing high-quality video images as per camera specification mentioned hereinafter

on real-time basis from distant security cameras.b) Control Rooms to continuously monitor analyze and take action as required by

coordinating all responses from Control Centre.c) System should have capability to store and retrieve data for minimum of four weeks.

3.9.3 IP Based SurveillanceThe bidder is required to facilitate viewing of live and controlling of all cameras byauthorized user. The surveillance shall be purely IP Based. The feed should go to thecontrol room where the desired number of LCD screens / video wall shall be installedfor viewing and one Server for archiving and storage. The entire video shall be viewed /


projected through video wall and should be designed such as to minimum of 100cameras at one go shall be viewed on the screen and expandable up to 250 cameras atthe control room.

3.9 Other Features

3.9.1.1 User Interface

The proposed system components should be simple to use. The total set of functionalities mustbe uniform in their User interface, being consistent in their use and meaning of keystrokes andsequences and in their visual presentations to the User. The User interface should be graphical(i.e. GUI) in nature.

3.9.1.2 Security

The bidder must clearly propose access controls for system, which ensures that: Only authorized personnel are allowed to access the system; Access being restricted via the use of user names/identifications and associated password. Single Sign On should be considered. Access to each application is restricted to specified authorized users

5 Section V - Instructions to Bidders

5.1.Definitions

In this document, the following terms shall have following respective leanings:

1. “Affiliate” shall mean any holding company or subsidiary company of a part to theAgreement or any company, which is subsidiary of such a holding company. Theexpressions "holding company" and “subsidiary company” shall have the meaningspecified in section 4 of the Companies Act 1956 (as amended from time to time).

2. “Agreement" means the Agreement to be signed between the successful bidder andMunicipal Corporation Gurgaon (MCG) including all attachments, appendices, alldocuments incorporated by reference thereto together with any subsequentmodifications, the Tender Document, the proposal offer, the acceptance and all relatedcorrespondences, clarifications, presentations.

3. “Authorized Representative” shall mean any person authorized by either of the parties.

4. “Bidder” means any firm or group of firms (called consortium) offering thesolution(s), service(s) and /or materials required in the Tender Document. The wordBidder when used in the pre award period shall be synonymous with Bidder, and whenused after award of the Contract shall mean the successful Bidder with whom MCGsigns the agreement for City Surveillance System Project in Gurgaon City.

5. “Contract” is used synonymously with Agreement.

6. “Corrupt Practice” means the offering, giving, receiving or soliciting of anything ofvalue or influence the action of an official in the process of Contract execution.

7. “Default Notice” shall mean the written notice of Default of the Agreement issued byone Party to the other in terms hereof.

8. “Fraudulent Practice” means a misrepresentation of facts in order to influence aprocurement process or the execution of a Contract and includes collusive practiceamong Bidders (prior to or after Proposal submission) designed to establish Proposalprices at artificial non-competitive levels and to deprive the Department of Police,Government of Haryana of the benefits of free and open competition.

9. “Good Industry Practice” shall mean the exercise of that degree of skill, diligenceand prudence which would reasonably and ordinarily be expected from a reasonablyskilled and experienced Bidder engaged in the same type of undertaking under thesame or similar circumstances.


10. "Guaranteed Revenue" means the rate payable to the Bidder under the Agreement forthe performance of the Bidder’s Contractual obligations.

11. “Implementation Period” shall mean the period from the date of signing of theAgreement and upto the issuance of Acceptance Certificate.

12. "Law" shall mean any Act, notification, bye law, rules and regulations, directive,ordinance, order or instruction having the force of law enacted or issued by the CentralGovernment and/ or the Government of Haryana or any other Government orregulatory authority or political subdivision of government agency.

13. “LOI” means issuing of Letter of Intent which shall constitute the intention of theTenderer / bidder to place the Purchase Order with the successful bidder.

14. "Party" means Municipal Corporation Gurgaon (MCG) or Bidder, individually and“Parties” mean Municipal Corporation Gurgaon (MCG) and Bidder, collectively.

15. “Period of Agreement" means 5 years from the date of acceptance test of the project.

16. “Proposal” means the Technical Proposal and the Financial Proposal.

17. “Request for Proposal (Tender Document)”, means the detailed notification seekinga set of solution(s), services(s), materials and/or any combination of them.

18. “Requirements” shall mean and include schedules, details, description, statement oftechnical data, performance characteristics, standards (Indian as well as International)as applicable and specified in the Tender Document.

19. "Service" means provision of Contracted service viz., operation, maintenance andassociated services for Police Control Room as per this Tender Document.

20. “Termination Notice” means the written notice of termination of the Agreementissued by one Party to the other in terms hereof.

21. "Uptime" means the time period when specified services with specified technical andservice standards as mentioned in this Tender Document are available to MunicipalCorporation Gurgaon (MCG). The uptime will be calculated as follows: Total time in aquarter (in minutes) less total Service Down time (in minutes) in the quarter.

22. “User Acceptance Test Document” means a mutually agreed document, which definesprocedures for Acceptance testing against requirements laid down in the Agreement.

23. "%Uptime" means ratio of 'up time' (in minutes) in a quarter to Total time in thequarter (in minutes) multiplied by 100.


24. "Service Down Time" (SDT) means the time period when specified services withspecified technical and operational requirements as mentioned in this document are notavailable to Municipal Corporation Gurgaon. The MCG shall be operational on alldays of a year except holidays within the uptime specified in the Service LevelAgreement (SLA).

5.2.Proposal Documents

Bidder is expected to examine all instructions, forms, terms, and requirements in the proposaldocument. Failure to furnish all information required by the proposal document or submit aProposal not substantially responsive to the proposal document in every respect may result inthe rejection of the Proposal. The bids should be submitted in three parts on or before the timeand date mentioned hereunder.

5.3.Pre-Bid Meeting

i. The Pre-Bid Meeting shall be host by Municipal Corporation Gurgaon (MCG).

ii. The Bidder or its official representative will be invited to attend the pre-bid meeting.

iii. The date, time and venue of the meeting is already mentioned in this Tender Document..

iv. Bidders may confirm their participation in advance.

v. The purpose of the meeting is to provide Bidders information regarding the RFP,project requirements, and opportunity to seek clarifications regarding any aspect ofthe RFP and the project. However, the ‘MCG’ reserves the right to hold or re-schedule the Pre-Bid meeting.

vi. The Bidders will have to send their queries for Pre-Bid meeting by email only inprescribed format (Only in Excel File) mentioned in This Tender Document.

vii. Municipal Corporation Gurgaon (MCG) may make modifications to the RFP if feltnecessary as a result of pre- bid meeting. All such modifications made to the RFP byMunicipal Corporation Gurgaon (MCG) will be issued as a corrigendum to the RFP.

viii. Any such modifications resulting out of the pre-bid meeting will be circulated to thebidders through Website of Municipal Corporation Gurgaon (MCG) or by email orfax.

ix. Municipal Corporation Gurgaon (MCG) will not be responsible for non-receipt ofcorrigendum/modifications published/sent by MCG to the bidder.


5.4.Prequalification and Technical Proposal

i. Prequalification:

Pre-qualification document as per eligibility criteria specified under Section -1 abovealong with the following documentations:

1. The profile of the bidder along with required certifications that the period of validity ofbids is 180 days from the last date of submission of proposal.

2. Audited annual financial results (balance sheet and profit & loss statement showingbusiness in India) of the bidder for the last three financial years.

3. Manufacturer’s authorization form(s)

4. Reference list of major clients

5. Power-of-attorney granting the person signing the proposal the right to bind the bidderas the ‘Constituted attorney of the Directorate’.

6. A copy of the Tender Document, all pages duly signed by the authorized signatorytowards acceptance of the terms and conditions of the Tender Document.

Bidders should enclose with their offers full details of all (1) the equipment and (2) servicesoffered as well as their latest equipment and services available.

Bidder should ensure that the Technical BoM & Commercial BoM should match, anydeviation or mismatch in Quantity, Quality, OEM, will be considered for disqualification.


5.5.Amendment of Proposal Documents

The amendments in any of the terms and conditions including technical specifications of thisTender Document will be notified by publishing it on its official website www.mcg.e-tenders.in , and www.mcg.gov.in and will be binding on them, it is therefore all bidders arerequired to regularly visit official website of the Municipal Corporation Gurgaon (MCG).Further Municipal Corporation Gurgaon (MCG) may also try to intimate these in writingeither through post or by fax or by email to all prospective bidders who have purchased thetender documents and will be binding on them.

5.6.Cost of BiddingThe Bidder shall bear all costs associated with the preparation and submission of its Proposal,including the cost of presentation for the purposes of clarification of the proposal, if so desiredby the Department of Police. The Municipal Corporation Gurgaon (MCG) will in no case beresponsible or liable for those costs, regardless of the conduct or outcome of the proposalprocess.

5.7.Proposal Security i.e. Earnest Money Deposit (EMD) of Rs.5,00,000 (Rs. Five Lacsonly)

a) The Proposal security shall be in Indian rupees (INR) and shall be a Demand Draft,issued by a nationalized or a scheduled bank in India and shall be valid for at leastsix months. No interest shall be payable on Proposal Security under anycircumstance.

b) Unsuccessful Bidder's Proposal security shall be discharged or returned within sixty(60) days after the expiration of the period of Proposal validity prescribed byMunicipal Corporation Gurgaon

c) The successful Bidder's Proposal security shall be discharged upon the Biddersigning the Agreement.

d) The Proposal security will be forfeited at the discretion of Municipal CorporationGurgaon (MCG) on account of one or more of the following reasons:

o The Bidder withdraws their Proposal during the period of Proposal validity

o Bidder does not respond to requests for clarification of their Proposal

o Bidder fails to co-operate in the Proposal evaluation process, and

e) In case of a successful Bidder, the said Bidder fails

: o to furnish Implementation Guarantee; or

o to sign the Agreement in time

.


5.8.Proposal Prices

a) The Price Proposal as prescribed should be filled up and sealed along withenclosures in a separate cover super scribed as “Price Proposal – Envelop B,Tender No : _EE-V_ Due on 30/06/2014”.

b) The prices quoted by the bidder shall be in sufficient detail to enable theMunicipal Corporation Gurgaon (MCG) to arrive at the price ofequipment/system/services offered.

c) The covers received without superscription are liable for rejection. The tenders notsubmitted as specified above will be summarily rejected.

d) If any or all of the information asked in the Tender Document are not available inthe Commercial Proposal the proposal is liable for rejection.

5.9.DiscountsThe Bidders are informed that discount, if any, should be merged with the quoted prices.Discount of any type, indicated separately, will not be taken into account for evaluationpurposes.

5.10. Proposal validityThe bids shall remain valid for a period of 180 days from the last date of submission of tender.

5.11. Submission of Proposals

a) All the proposals will have to be submitted in hard bound form with all pagesnumbered. It should also have an index giving page wise information of abovedocuments. Incomplete proposal will summarily be rejected.

b) No proposal will be considered unless and until each page of the proposal document isduly signed by the authorized signatory

c) The bidder shall also submit the soft copy of technical proposal on separate CDs dulypacked in the respective envelopes.

d) Prices should not be indicated in the Technical Proposal.

e) All the columns of the quotation form shall be duly, properly and exhaustively filledin. The rates and units shall not be overwritten. Rates shall always be both in thefigures and words.

f) The proposals shall be submitted in three parts, viz.,

o Envelope - 1: Pre- qualification documents super scribed as “Envelope 1- Pre-qualification Documents” containing EMD, Pre- qualification documentscomplete with all details.


o Envelope 2: - Technical Proposal super scribed as “Envelope 2 – TechnicalProposal”, complete with all technical details. In the technical proposal, thereshould not be any indication about the prices of any of the products offered.

o Envelope-3: Commercial Proposal containing Price Schedule super scribed as“Envelope 3 – Commercial Proposal”.

g) All the three sealed envelopes should again be placed in a single sealed envelope superscribed as “City Surveillance System Project for Gurgaon City” Tender No _______,Proposal from: ____________)” “NOT TO BE OPENED BEFORE …….” which willbe received in the office of Municipal Corporation Gurgaon (MCG) up to the due date andtime mentioned in the Schedule of Events (Section-II) of this document.

5.12. LanguageThe Bids and all correspondence and documents relating to the bids, shall be written in theEnglish language.

5.13. Late BidsAny proposals received by the MCG after the due time and date for receipt of bids prescribedin the Tender Document can be summarily rejected and returned unopened to the Bidder.

5.14. Modification and withdrawal of Bidsa) The Bidder is allowed to modify or withdraw its submitted proposal any time prior to

the last date prescribed for receipt of bids, by giving a written notice to the MunicipalCorporation Gurgaon (MCG).

b) Subsequent to the last date for receipt of bids, no modification of bids shall be allowed.

c) The Bidders cannot withdraw the proposal in the interval between the last date forreceipt of bids and the expiry of the proposal validity period specified in the Proposal.Such withdrawal may result in the forfeiture of its EMD from the Bidder.

5.15. Proposal Formsa. Wherever a specific form is prescribed in the Proposal document, the Bidder shall use

the form to provide relevant information. If the form does not provide space for anyrequired information, space at the end of the form or additional sheets shall be used toconvey the said information.

b. For all other cases, the Bidder shall design a form to hold the required information.

c. Municipal Corporation Gurgaon (MCG) shall not be bound by any printed conditionsor provisions in the Bidder’s Proposal Forms, packaging document or delivery challan.

5.16. Local Conditions

a. Each Bidder is expected to fully get acquainted with the local conditions and factors,which would have any effect on the performance of the contract and /or the cost.


b. The Bidder is expected to know all conditions and factors, which may have any effecton the execution of the contract after issue of letter of Award as described in thebidding documents. The Municipal Corporation Gurgaon (MCG) shall not entertainany request for clarification from the Bidder regarding such local conditions.

c. It is the Bidder’s responsibility that such factors have properly been investigated andconsidered while submitting the proposal and no claim whatsoever including those forfinancial adjustment to the contract awarded under the bidding documents will beentertained by the Municipal Corporation Gurgaon (MCG). Neither any change in thetime schedule of the contract nor any financial adjustments arising thereof shall bepermitted by the Municipal Corporation Gurgaon (MCG) on account of failure of theBidder to know the local laws / conditions.

d. The Bidder is expected to visit and examine the location of State offices and itssurroundings and obtain all information that may be necessary for preparing theproposal at their own interest and cost.

5.17. Contacting the Municipal Corporation Gurgaon (MCG)a) Any effort by a Bidder influencing the Municipal Corporation Gurgaon proposal

evaluation, proposal comparison or contract award decisions may result in the rejectionof the proposal.

b) Bidder shall not approach MCG officers after office hours and/or outside MCG officepremises, from the time of the proposal opening till the time the Contract is awarded.

5.18. Eligibility CriteriaThe bidder shall meet the criteria for eligibility as given in the Section - 1

The bidder (each member of the consortium) must have company registration certificate,registration under Labour Laws Contract Act, valid sales tax registration certificate and validservice tax registration certificate.

In case of a consortium, applicant consortia shall have a valid Memorandum of Understanding(MoU) / agreement among all the members signed by the Chief Executives/ AuthorizedSignatories of the companies dated prior to the submission of the proposal. The MoU/agreement shall be exclusively for this project and shall be responsible in case of failure byany member.


The consortium shall be evaluated based on the lead bidder’s strength as defined in thisproposal document. Once short listed in pre qualification, change of consortium shall not beallowed.

5.19. Tentative Schedule of EventsTentative schedule of events regarding this tender shall be as per the dates and time given inthe Section-1 – Invitation to bidders / important dates.

5.20. Opening of Proposal

First, the envelope containing pre-qualification will be opened and if found that the biddermeets the eligibility criteria and has furnished all the documents in the prescribed manner,then the second envelope containing Technical Proposal shall be opened. The timing foropening the technical proposal will be at the sole discretion of evaluation committee. Thecommercial proposal would be opened in presence of technically short listed bidders. TheEvaluation Committee or its authorized representative will open the tenders. Sequence ofopening shall be as follows:

o Pre-qualification

o Technical Proposals

o Commercial Proposals

5.21. EvaluationAn evaluation committee so constituted by Municipal Corporation Gurgaon (MCG) willevaluate the bids i.e. technical and commercial as per the following pattern.

a) Conditional bids shall be summarily rejected. The bidder should quote only one solution.

b) Evaluation committee will examine the bids to determine whether they are complete,whether any computational errors have been made, and whether the bids are generally inorder.

c) Arithmetical errors will be rectified on the following basis: If there is a discrepancybetween the unit price and the total price that is obtained by multiplying the unit priceand quantity, the unit price shall prevail and the total price shall be corrected. If theBidder does not accept the correction of the errors, his proposal will be rejected. If thereis a discrepancy between words and figures, the amount in words will prevail.

d) The Municipal Corporation Gurgaon (MCG) may conduct clarification meetings witheach or any bidder to discuss any matters, technical or otherwise.

e) Further, the scope of the evaluation committee also covers taking of any decision withregard to the Tender Document, execution/ implementation of the project includingmanagement period.


f) Proposal shall be opened in the presence of bidders representatives who intend to attendat their cost. The bidders’ representatives who are present shall sign a registerevidencing their attendance.

g) Proposal document shall be evaluated as per the following steps.

(a) Preliminary Examination of Pre-qualification documents: The Pre-qualification document will be examined to determine whether the bidder meetsthe eligibility criteria, completeness of the proposal, whether the documents havebeen properly signed and whether the bids are generally in order. Any bids foundto be non-responsive for any reason or not meeting the minimum levels of theperformance or eligibility criteria specified in the various sections of this TenderDocument will be rejected and not included for further consideration.

(b) Evaluation of document: A detailed evaluation of the bids shall be carried out inorder to determine whether the bidders are competent enough and whether thetechnical aspects are substantially responsive to the requirements set forth in theTender Document. Bids received would be assigned scores based on theparameters defined in table below.

(c) QCBA (Quality and Cost Based Analysis.):Proposals will be evaluated as given below and the Bidders obtaining highestmarks for their offering shall be declared as the Preferred Bidders. Uponacceptance of the Price of the ‘Most Preferred Bidder’ with or without furthernegotiations, Municipal Corporation Gurgaon (MCG) may declare the ‘MostPreferred Bidder’ as the ‘Successful Bidder’.

5.22. Deciding Award of Contracta) The Municipal Corporation Gurgaon (MCG) reserves the right to ask for a technical

elaboration/clarification in the form of a technical presentation from the Bidder on thealready submitted Technical Proposal at any point of time before opening of theCommercial Proposal. The Bidder shall furnish the required information to MunicipalCorporation Gurgaon (MCG) and its appointed representative on the date asked for, atno cost to the MCG. The Municipal Corporation Gurgaon (MCG) may at its discretion,visit the office of the Bidder any time before the issue of Letter of Award.

b) Municipal Corporation Gurgaon (MCG) shall inform those Bidders whose proposals did notmeet the eligibility criteria or were considered non-responsive, informing that theirCommercial Proposals will be returned unopened after completing the selection process.Municipal Corporation Gurgaon (MCG) shall simultaneously notify those Bidders who hadqualified the Evaluation process as described in this Tender Document, informing the dateand time set for opening of Commercial Proposals. The notification may be sent by mail orfax.

c) The bidder’s names, the Proposal Prices, the total amount of each proposal, and suchother details as the Tendering Authority may consider appropriate, will be announcedand recorded by the Municipal Corporation Gurgaon (MCG) at the opening.

5.23. Confidentialitya) As used herein, the term “Confidential Information” means any information, including

information created by or for the other party, whether written or oral, which relates tointernal controls, computer or data processing programs, algorithms, electronic dataprocessing applications, routines, subroutines, techniques or systems, or informationconcerning the business or financial affairs and methods of operation or proposedmethods of operation, accounts, transactions, proposed transactions or securityprocedures of either party or any of its affiliates, or any client of either party, exceptsuch information which is in the public domain at the time of its disclosure or thereafterenters the public domain other than as a result of a breach of duty on the part of theparty receiving such information. It is the express intent of the parties that all thebusiness process and methods used by the Bidder in rendering the services hereunder arethe Confidential Information of the Bidder.

b) The Bidder shall keep confidential any information related to this tender with the samedegree of care as it would treat its own confidential information. The Bidders shall notethat the confidential information will be used only for the purposes of this tender andshall not be disclosed to any third party for any reason whatsoever.

c) At all times during the performance of the Services, the Bidder shall abide by allapplicable security rules, policies, standards, guidelines and procedures. The Biddershould note that before any of its employees or assignees is given access to the


Confidential Information, each such employee and assignees shall agree to be bound bythe term of this tender and such rules, policies, standards, guidelines and procedures byits employees or agents.

d) The Bidder should not disclose to any other party and keep confidential the terms andconditions of this Contract agreement, any amendment hereof, and any Attachment orAnnexure hereof.

e) The obligations of confidentiality under this section shall survive rejection of the contract.

5.24. Publicity

Any publicity by the bidder in which the name of Automation of state government offices inthe State of Haryana is to be used, should be done only with the explicit written permissionfrom Municipal Corporation Gurgaon (MCG).

5.25. InsuranceThe equipment and services supplied under the contract shall be fully insured by the bidderagainst loss or damage incidental to manufacture or acquisition, transportation, storage,delivery and installation. The period of insurance shall be up to the date the supplies areaccepted and the rights of the property are transferred to Municipal Corporation Gurgaon(MCG).

5.26. ArbitrationState and the selected bidder shall make every effort to resolve amicably by direct informalnegotiation any disagreement or dispute arising between them under or in connection with theContract.

If, after thirty (30) days from the commencement of such informal negotiations, MunicipalCorporation Gurgaon (MCG) and the selected Bidder have been unable to amicably resolvedispute, either party may require that the dispute be referred for resolution to TheCommissioner, Municipal Corporation Gurgaon (MCG), as single party Arbitrator inaccordance with the Arbitration and Conciliation Act, 1996. Decision of arbitrator shall befinal and binding to all parties.

All Arbitration proceedings shall be held at Gurgaon, Haryana, and the language of thearbitration proceedings and that of all documents and communications between the partiesshall be in English.


6 Section VI – General Conditions of the Contract

6.1. Preambles

Whereas Municipal Corporation Gurgaon (MCG) is desirous of Design, Site Preparation, Supply,Installation, Commissioning, and Maintenance & Operations of the“City Surveillance System Project for Municipal Corporation Gurgaon in GurgaonCity” for a period of five years operations conforming to specifications as set forth in theScope of Work in section __ of the tender document for the same.

And Whereas the Contractor represents that it has the necessary experience for carrying outsuch operations as referred to herein and has submitted a proposal for providing the requiredservices against Municipal Corporation Gurgaon, Tender No all inaccordance with the terms and conditions set forth herein and any other reasonablerequirements of the Municipal Corporation Gurgaon (MCG) from time to time.

And Whereas Municipal Corporation Gurgaon (MCG) has accepted the proposal of theContractor and has placed Fax order / Letter of Intent /Notification of Award vide its letter……….. dated…….

Now it is hereby agreed to by and between the parties as under:


6.2. Definitions:

In this Contract, the following terms shall be interpreted as indicated:

i. "Availability" shall mean the time for which the services and facilities are available forconducting operations from the equipment hosted in the Designated Data Centre.

ii. “Business Day” means any day in a Year(365 Days);

iii. “Confidential Information” means any information disclosed to or by any Party to thisContract and includes any information in relation to the Parties, a third party or anyinformation with regard to any taxpayer, or any other person who is covered within theambit of any commercial taxes legislation including any such information that may come tothe knowledge of the Parties hereto / Bidder’s Team by virtue of this Contract that:

1. is by its nature confidential or by the circumstances in which it is disclosedconfidential; or

2. is designated by the disclosing Party as confidential or identified in terms connotingits confidentiality; but does not include information which is or becomes publicknowledge other than by a breach of this Contract;

iv. “Contract” means the Agreement entered into between the Municipal CorporationGurgaon (MCG) and the “Contractor” as recorded in the Contract form signed by theMunicipal Corporation Gurgaon (MCG)and the “Contractor” including all attachmentsand Annexes thereto, the Tender and all Annexes thereto and the agreed terms as set outin the proposal, all documents incorporated by reference therein and amendments andmodifications to the above from time to time;

v. “Contractor’s Representative” means the person or the persons appointed by theContractor from time to time to act on its behalf for overall coordination, supervisionand project management.

vi. “Document” means any embodiment of any text or image however recorded andincludes any data, text, images, sound, voice, codes or and databases or microfilm orcomputer generated micro fiche.

vii. “Effective Date” means the date on which this Contract is signed and executed by theparties hereto. If this Contract is executed in parts, then the date on which the last ofsuch Contracts is executed shall be construed to be the Effective Date;

viii. "Helpdesk Support" shall mean the 24 (Hr.) x 7 (days a week) round the Year centrewhich shall handle Fault reporting, Trouble Ticketing and related enquiries during thiscontract.

ix. “Incident” refers to any event / abnormalities in the functioning of the Municipal


Corporation Gurgaon (MCG) Control Room, Vehicle mounted or surveillanceEquipment / Services that may lead to disruption in normal operations of the DesignatedMunicipal Corporation Gurgaon (MCG) Control Room services.

x. “Intellectual Property Rights” means any patent, copyright, trademark, trade name,design, trade secret, permit, service marks, brands, propriety information, knowledge,technology, licenses, databases, computer programs, software, know how or other formof intellectual property right, title, benefits or interest whether arising before or after theexecution of this Contract and the right to ownership and registration of these rights;

xi. “Kick Off Meeting” means a meeting convened by the Municipal Corporation Gurgaon(MCG) to discuss and finalize the work execution plan and procedures with Contractor.

xii. The “Contractor” means the company with whom the order has been placed forproviding Services as specified in this tender/contract and shall be deemed to include theContractor’s successors, representatives (approved by the MCG), heirs, executors,administrators and permitted assigns, as the case may be, unless excluded by the termsof the contract.

xiii. “Parties” means the Municipal Corporation Gurgaon (MCG) and the Contractor and“Party” means either of the Parties;

xiv. “Service” means facilities/services to be provided as per the requirements specified inthis tender document and any other incidental services, such as installation,implementation, maintenance, provision of technical assistance, training and other suchobligations of the Contractor covered under the Contract;

xv. “Service Specification” means services as specified in the Contract as well as thosespecifications relating to Industry standards and codes applicable to the performance ofthe work, work performance quality and the specifications affecting the works or anyadditional specification required to be produced by the Contractor to meet the designcriteria.

xvi. “Site” means the designated space, area, and room and other allied areas as approved bythe Municipal Corporation Gurgaon (MCG)for the purposes of the contract wherein theoperations / services / facilities as specified in the scope of work are to beprovided/carried out

xvii. “The Contract Price/Value” means the price payable to the Contractor under theContract for the full and proper performance of its contractual obligations;

xviii. “Service Window” shall mean the duration for which the facilities and services shall beavailable at the Police and Municipal Corporation Gurgaon (MCG) Control Room.

xix. “State Govt” shall mean Government of Haryana, India and shall include its legalrepresentatives, successors and permitted assignees.


xx. “State Govt’s Representative” shall mean the person appointed by the Govt. ofHaryana from time to time to act on its behalf at the site for overall coordination,supervision and project management at site.

6.3. Interpretation

In this Contract unless a contrary intention is evident:

i. the clause headings are for convenient reference only and do not form part of thisContract;

ii. unless otherwise specified a reference to a clause number is a reference to all of itssub-clauses;

iii. unless otherwise specified a reference to a clause, sub-clause or section is a referenceto a clause, sub-clause or section of this Contract including any amendments ormodifications to the same from time to time;

iv. a word in the singular includes the plural and a word in the plural includes the singular;

v. a word importing a gender includes any other gender;

vi. a reference to a person includes a partnership and a body corporate;

vii. a reference to legislation includes legislation repealing, replacing or amending thatlegislation;

viii. Where a word or phrase is given a particular meaning it includes the appropriategrammatical forms of that word or phrase which have corresponding meanings.

ix. in the event of an inconsistency between the terms of this Contract and the Tender andthe Proposal, the terms hereof shall prevail.

6.4. Conditions Precedent

This Contract is subject to the fulfilment of the following conditions precedent by theContractor.

1) Furnishing of an unconditional and irrevocable and continuing Bank Guarantee forContract Performance of the sum of Rs. 30 Lacs/- (10% of the total contract value), in aform and manner acceptable to the Municipal Corporation Gurgaon (MCG), whichwould remain valid until such time and be renewable as may be stipulated by the Govt.of Haryana:

2) The Municipal Corporation Gurgaon (MCG), reserves the right to waive any or all ofthe conditions specified above in writing and no such waiver shall affect or impair anyright, power or remedy that the Govt. of Haryana may otherwise have.


6.5. Representations & Warranties

In order to induce the Municipal Corporation Gurgaon to enter into this Contract, theContractor hereby represents and warrants as of the date hereof, which representations andwarranties shall survive the term and termination hereof, the following:

1) That the Contractor is not involved in any major litigation or legal proceedings, pending,existing, and potential or threatened, that may have an impact of affecting orcompromising the performance or delivery of Services under this Contract.

2) That the representations and warranties made by the Contractor in the proposal or willbe made in this contract are and shall continue to remain true and fulfil all therequirements as are necessary for executing the obligations and responsibilities as laiddown in the Contract and the Tender and unless the Municipal Corporation Gurgaon(MCG), specifies to the contrary, the Contractor shall be bound by all the terms of theProposal and the contract through the term of the contract.

3) That the Contractor has the professional skills, personnel and resources/authorizationsthat are necessary for providing all such services as are necessary to fulfil the Scope ofWork stipulated in the Tender and this Contract.

4) That there shall not be any privilege, claim or assertion made by a third party with respect toright or interest in, ownership, mortgage or disposal of any asset, property, movable orimmovable as mentioned in any Intellectual Property Rights, licenses and permits.

5) That the Contractor shall use such assets of the Municipal Corporation Gurgaon (MCG),as the Municipal Corporation Gurgaon (MCG) may permit for the sole purpose ofexecution of its obligations under the terms of the Proposal, Tender or this Contract. TheContractor shall however, have no claim to any right, title, lien or other interest in anysuch property, and any possession of property for any duration whatsoever shall notcreate any right in equity or otherwise, merely by fact of such use or possession duringor after the term hereof.

6) That the Contractor shall procure all the necessary permissions and adequate approvalsand licenses for use of various software and any copyrighted process/product free fromall claims, titles, interests and liens thereon and shall keep the Municipal CorporationGurgaon (MCG), Govt. of Haryana indemnified in relation thereto.

7) That the execution of the Services and the Scope of work herein are and shall be inaccordance and in compliance with all applicable laws.

8) That all conditions precedent under the Contract has been satisfied.

9) That neither the execution and delivery by the Contractor of the Contract nor the


Contractor’s compliance with or performance of the terms and provisions of the Contract(i) will contravene any provision of any Applicable Law or any order, writ, injunction ordecree of any court or Governmental Authority binding on the Contractor, (ii) willconflict or be inconsistent with or result in any breach of any or the terms, covenants,conditions or provisions of, or constitute a default under any Contract, Contract orinstrument to which the Contractor is a party or by which it or any of its property orassets is bound or to which it may be subject or (iii) will violate any provision of theMemorandum and Articles of Association of the Contractor.

10) That the Contractor certifies that all registrations, recordings, filings and notarizations ofthe Contract and all payments of any tax or duty, including without limitation stampduty, registration charges or similar amounts which are required to be effected or madeby the Contractor which is necessary to ensure the legality, validity, enforceability oradmissibility in evidence of the Contract have been made.

11) That the Contractor owns, has license to use or otherwise has the right to use, free of anypending or threatened liens or other security or other interests all its Intellectual PropertyRights, which are required or desirable for performance of its services under this contractand regarding the same the Contractor does not, so far as the Contractor is aware, in carryingon its business and operations, infringe any Intellectual Property Rights of any person. So faras the Contractor is aware, none of the Intellectual Property Rights, owned or enjoyed by theContractor or which the Contractor is licensed to use, which are material in the context ofContractor’s business and operations for the performance of this contract are being infringednor, so far as the Contractor is aware, is there any infringement or threatened infringement ofthose Intellectual Property Rights licensed or provided to the Contractor by any person. AllIntellectual Property Rights (owned by the Contractor or which the Contractor is licensed touse) required by the Contractor for the performance of the contract are valid and subsisting.All actions (including registration, payment of all registration and renewal fees) required tomaintain the same in full force and effect have been taken thereon and shall keep theMunicipal Corporation Gurgaon (MCG), Govt. of Haryana indemnified in relation thereto.

12) That time is the essence of the Contract and hence the Contractor shall at all timesmaintain sufficient manpower, resources, and facilities, to provide the Services in aworkmanlike manner on a timely basis.

13) That its security measures, policies and procedures are adequate to protect and maintainthe confidentiality of the Confidential Information.

14) That in providing the Services or deliverables or materials, neither Contractor nor itsagent, nor any of its employees, shall utilize information which may be consideredconfidential information of, or proprietary to, any prior employer or any other person orentity;

6.6. Scope of work/contract:1) Scope of the CONTRACT shall be as defined in this CONTRACT, Scope of work


including specifications and drawings and the Service level agreement and annexesthereto of this tender.

2) Municipal Corporation Gurgaon (MCG) , Government of Haryana, Gurgaon, hasengaged the Contractor for “City Surveillance System Project for MunicipalCorporation Gurgaon in Gurgaon City” for the following deliverables:

a) Provisioning for Digital Workflow Automation Software, Networking and ITinfrastructure

b) Implementation Services

c) Maintenance and support for at least 5 years

3) The Contractor is required to provide such services, support and infrastructure asnecessary, during the term of this Contract, and includes all such processes andactivities which are consistent with the proposals set forth in the Proposal, theTender and this Contract and are deemed necessary by the Municipal CorporationGurgaon (MCG), Government of Haryana, Gurgaon, in order to meet its businessrequirements (hereinafter “scope of work”).

4) If any services, functions or responsibilities not specifically described in thisContract are an inherent, necessary or customary part of the Services or arerequired for proper performance or provision of the Services in accordance withthis Contract, they shall be deemed to be included within the scope of the work tobe delivered for the Charges, as if such services, functions or responsibilities werespecifically described in this Contract.

5) The Municipal Corporation Gurgaon (MCG), Government of Haryana, Gurgaon,reserves the right to amend any of the terms and conditions with mutual agreementin relation to the Scope of Work and may issue any such directions which are notnecessarily stipulated therein if it deems necessary for the fulfilment of the Scopeof Work.

6.7. Duration of the contract:

The CONTRACT shall remain valid for a period of 5 years (Five years) from the date ofsigning of contract or 5 years (Five years) years from the date of acceptance of the projectwhichever is later.

6.8. Service Levels

The purpose of Service Level Agreement (hereinafter referred to as SLA) is to clearly definethe levels of service which shall be provided by the successful bidder to MunicipalCorporation Gurgaon (MCG), Government of Haryana for the duration of this contract. Thebenefits of this SLA are to:


1. Trigger a process that applies Successful Bidder’s and Municipal Corporation Gurgaon(MCG), Government of Haryana attention to an aspect of performance when that aspectdrops below an agreed upon threshold, or target.

2. Makes explicit the expectations that Municipal Corporation Gurgaon (MCG),Government of Haryana has for performance from the Successful bidder.

The Successful bidder and Municipal Corporation Gurgaon (MCG), Government of Haryanashall regularly review the performance of the services being provided by the SuccessfulBidder and the effectiveness of SLA.

6.9. Category of SLAsThe SLA provides for minimum level of services required as per contractual obligations basedon performance indicators and measurements thereof. The Successful Bidder shall ensureprovisioning of all required services while monitoring the performance of the same toeffectively comply with the performance levels. The services provided by the successfulbidder shall be reviewed by the Municipal Corporation Gurgaon (MCG), Government ofHaryana that shall:

Regularly check performance of the successful bidder against this SLA.

Discuss escalated problems, new issues and matters still outstanding for resolution.

Review of statistics related to rectification of outstanding faults and agreed changes.

Obtain suggestions for changes to improve the service levels.

The SLA has been logically segregated in the following categories:

1. IT Infrastructure related service levels

2. Physical Infrastructure related service levels

3. Help desk Services

4. Compliance and Reporting Procedures

The following measurements and targets shall be used to track and report performance on aregular basis. The targets shown in the following paragraphs and tables are applicable for theduration of the contract for the ‘Penalty shall be calculated on a quarterly basis’.

1. Penalty for delay in execution of project:

If the installation and commissioning of the systems is not completed in full within the stipulatedperiod given in the implementation schedule, a penalty at the rate of 1% per week of thecorresponding contract value for hardware and infrastructure will be levied for a maximum


period of 10 weeks. If the installation and commissioning is not completed even within this 10week period, then the contract will be liable for termination in part or whole at the discretionof Department and at the risk and cost of the contractor.

6.10. Contract Performance Guarantee

Within 30 days after the receipt of notification of award of the Contract from the MunicipalCorporation Gurgaon (MCG), Govt. of Haryana, the successful Bidder shall furnish ContractPerformance Guarantee to the Municipal Corporation Gurgaon (MCG), Government ofHaryana, Gurgaon, which shall be equal to 10% of the value of the Contract and shall be inthe form of a Bank Guarantee Bond from a Nationalized Bank in the Proforma givenhereinafter in this document.

6.11. Statutory Requirements

1) During the tenure of this Contract nothing shall be done by the Contractor in contraventionof any law, act and/ or rules/regulations, there under or any amendment thereof governinginter-alia customs, stowaways, foreign exchange etc. and shall keep MunicipalCorporation Gurgaon (MCG) indemnified in this regard.

2) The Contractor and their personnel/representative shall not alter / change / replace anyhardware component proprietary to the Municipal Corporation Gurgaon (MCG) and/orunder warranty or AMC of third party without prior consent of the Municipal CorporationGurgaon (MCG).

3) The Contractor and their personnel/representative shall not without consent of theMunicipal Corporation Gurgaon (MCG) install any hardware or software not purchased /owned by the Municipal Corporation Gurgaon (MCG).

6.12. Contract administration

1) Either party may appoint any individual / organization as their authorized representativethrough a written notice to the other party. Each Representative shall have the authority to:

a) exercise all of the powers and functions of his/her Party under this Contract other thanthe power to amend this Contract and ensure the proper administration andperformance of the terms hereof; and

b) bind his or her Party in relation to any matter arising out of or in connection with thisContract.

2) The Contractor shall be bound by all undertakings and representations made by theauthorized representative of the Contractor and any covenants stipulated hereunder, withrespect to this Contract, for and on their behalf.


3) For the purpose of execution or performance of the obligations under this Contract, theMunicipal Corporation Gurgaon (MCG) representative would act as an interface with thenominated representative of the Contractor. The Contractor shall comply with anyinstructions that are given by the Municipal Corporation Gurgaon (MCG) representativeduring the course of this Contract in relation to the performance of its obligations underthe terms of this Contract and the Tender.

4) A Committee comprising of representatives from the Municipal Corporation Gurgaon(MCG) and the Contractor shall meet on a quarterly basis to discuss any issues /bottlenecks being encountered. The Contractor shall draw the minutes of these meetingsand circulate to the Municipal Corporation Gurgaon (MCG).

6.13. Right of Monitoring, Inspection and Periodic Audit

The Municipal Corporation Gurgaon (MCG) reserves the right to inspect and monitor / assessthe progress / performance / maintenance at any time during the course of the Contract, afterproviding due notice to the Contractor. The Municipal Corporation Gurgaon (MCG) maydemand and upon such demand being made, the Municipal Corporation Gurgaon (MCG) shallbe provided with any document, data, material or any other information which it may require,to enable it to assess the progress of the project.

The Municipal Corporation Gurgaon (MCG) shall also have the right to conduct, either itselfor through another agency as it may deem fit, an audit to monitor the performance by theContractor of its obligations/functions in accordance with the standards committed to orrequired by the Municipal Corporation Gurgaon (MCG) and the Contractor undertakes tocooperate with and provide to the Municipal Corporation Gurgaon (MCG)/ any otherContractor appointed by the Municipal Corporation Gurgaon (MCG), all documents and otherdetails as may be required by them for this purpose. Any deviations or contraventionidentified as a result of such audit/assessment would need to be rectified by the Contractorfailing which the Municipal Corporation Gurgaon (MCG) may, without prejudice to anyother rights that it may have issue a notice of default.

6.14. Municipal Corporation Gurgaon (MCG) ObligationsThe Municipal Corporation Gurgaon (MCG) representative shall interface with theContractor, to provide the required information, clarifications, and to resolve any issues asmay arise during the execution of the Contract. Municipal Corporation Gurgaon (MCG) shallprovide adequate cooperation in providing details, assisting with coordinating and obtainingof approvals from various governmental agencies, in cases, where the intervention of theMunicipal Corporation Gurgaon (MCG) is proper and necessary.


Municipal Corporation Gurgaon (MCG) shall ensure that timely approval is provided to thecontractor, where deemed necessary, which should include physical computer laboratoriesdiagram / plans and all specifications related to equipment / material required to be providedas part of the Scope of Work.

6.15. Information SecurityThe Contractor shall not carry and/or transmit any material, information, layouts, diagrams,storage media or any other goods/material in physical or electronic form, which are proprietary toor owned by the Department of IT, Govt. of Haryana, out of premises without prior writtenpermission from the Municipal Corporation Gurgaon (MCG).

The Contractor shall adhere to the Information Security policy developed by the MunicipalCorporation Gurgaon (MCG).

Contractor acknowledges that Municipal Corporation Gurgaon (MCG) , Govt. of Haryanabusiness data and other Municipal Corporation Gurgaon (MCG), Govt. of Haryana proprietaryinformation or materials, whether developed by Municipal Corporation Gurgaon (MCG)or beingused by Municipal Corporation Gurgaon (MCG) pursuant to a license agreement with a thirdparty (the foregoing collectively referred to herein as “proprietary information”) are confidentialand proprietary to Municipal Corporation Gurgaon (MCG); and Contractor agrees to usereasonable care to safeguard the proprietary information and to prevent the unauthorized use ordisclosure thereof, which care shall not be less than that used by Contractor to protect its ownproprietary information. Contractor recognizes that the goodwill of Municipal CorporationGurgaon (MCG) depends, among other things, upon Contractor keeping such proprietaryinformation confidential and that unauthorized disclosure of the same by Contractor could damageMunicipal Corporation Gurgaon (MCG) and that by reason of Contractor’s duties hereunder.Contractor may come into possession of such proprietary information, even though Contractordoes not take any direct part in or furnish the services performed for the creation of saidproprietary information and shall limit access thereto to employees with a need to such access toperform the services required by this agreement. Contractor shall use such information only for thepurpose of performing the said services.

Contractor shall, upon termination of this agreement for any reason, or upon demand byMunicipal Corporation Gurgaon (MCG), whichever is earliest, return any and all informationprovided to Contractor by Municipal Corporation Gurgaon (MCG), including any copies orreproductions, both hard copy and electronic.

6.16. Ownership of EquipmentThe Municipal Corporation Gurgaon (MCG), Government of Haryana, Gurgaon shall ownthe equipment and data centre infrastructure, supplied by the Contractor arising out of or inconnection with this Contract.


6.17. InsuranceContractor shall, at his own expense, arrange appropriate comprehensive insurance to coverall risks assumed by the Contractor under this contract in respect of its personnel deputedunder this contract as well as Contractor’s equipment, tools and any other belongings of theContractor or their personnel during the entire period of their engagement in connection withthis contract. Municipal Corporation Gurgaon (MCG) will have no liability on this account.

Notwithstanding anything contained in any provision of this contract, save as specified abovein this Clause Municipal Corporation Gurgaon (MCG) shall defend, indemnify and holdContractor harmless from and against any losses, damages, cost or claims relating toMunicipal Corporation Gurgaon (MCG) existing property except in case of gross negligenceor wilful misconduct of the Contractor, its sub-Contractor their agents or employees, in whichcase the Contractor shall be liable to bear any loss or damage occurring to the Property of theMunicipal Corporation Gurgaon (MCG) as a result of its gross negligence or wilfulmisconduct, provided however, that such liability shall be limited to 100% of the contractPrice.

“Gross Negligence” means: any act or failure to act (whether sole, joint or concurrent) by a personor entity which was intended to cause, or which was in reckless disregard of or wantonindifference to, avoidable and harmful consequences such person or entity knew, or should haveknown, would result from such act or failure to act. Notwithstanding the foregoing, Grossnegligence shall not include any action taken in good faith for the safeguard of life or property.

“Wilful misconduct” means: “intentional disregard of good and prudent standards ofperformance or proper conduct under the contract with knowledge that it is likely to result inany injury to any person or persons or loss or damage of property.

Certificate of Insurance: Before commencing performance of the contract, Contractor shall uponrequest furnish Municipal Corporation Gurgaon (MCG)with certificates of insurance indicating(1) kinds and amounts of insurance as required herein (2) insurance the Municipal CorporationGurgaon (MCG) or companies carrying the aforesaid coverage (3) effective and expiry dates ofpolicies (4) that Municipal Corporation Gurgaon (MCG) shall be given thirty (30) days writtenadvance notice of any material change in the policy (5) waiver of subrogation endorsement hasbeen attached to all policies and (6) the territorial limits of all policies. If any of the above policyexpire or/ are cancelled during the term of this contract and Contractor fails for any reason torenew such policies, then Municipal Corporation Gurgaon (MCG) may replace same and chargethe cost thereof to contractor. Should there be lapse in any insurance required to be carried out byContractor hereunder for any reason, losses resulting there from shall be to the sole account of thecontractor. Such insurance shall be affected within Insurance Company incorporated and registeredin India or jointly with a company of International repute and an Insurance Company incorporatedand registered in India.


6.18. IndemnityThe Contractor shall execute and furnish to the Municipal Corporation Gurgaon (MCG), aDeed of Indemnity in favour of the Municipal Corporation Gurgaon (MCG) in a form andmanner acceptable to the Municipal Corporation Gurgaon (MCG) , indemnifying theGurgaon Corporation (MCG) from and against any costs, loss, damages, expense, claimsincluding those from third parties or liabilities of any kind howsoever suffered includingpatent, copyright, trademark and trade secret, arising or incurred inter alia during and after theContract period out of:

a. Any negligence or wrongful act or omission by the Contractor or the Contractor’sTeam or any sub-Contractor/ third party in connection with or incidental to thisContract; or

b. Any breach of any of the terms the Contractor’s Proposal as agreed, the Tender andthis Contract by the Contractor, the Contractor’s Team or any sub-Contractor/ thirdparty.

c. The indemnity shall be to the extent of 100% in favour of the Municipal CorporationGurgaon (MCG).

6.19. Confidentiality1) The Contractor shall not use Confidential Information including the name or the logo of

the Municipal Corporation Gurgaon (MCG) except for the purposes of providing theService as specified under this contract;

2) The Contractor may only disclose Confidential Information in the following circumstances:

a) with the prior written consent of the Municipal Corporation Gurgaon (MCG) ;

b) to a member of the Contractor’s Team (“Authorized Person”) if:

c) the Authorized Person needs the Confidential Information for the performance ofobligations under this contract;

d) the Authorized Person is aware of the confidentiality of the Confidential Informationand is obliged to use it only for the performance of obligations under this contract

3) The Contractor shall do everything reasonably possible to preserve the confidentiality ofthe Confidential Information including execution of a confidentiality agreement with themembers of the, sub-Implementation Agencies and other team members to the satisfactionof the Municipal Corporation Gurgaon (MCG).

4) The Contractor shall sign a Non Disclosure Agreement (NDA) with the MunicipalCorporation Gurgaon (MCG). The Contractor will be held responsible for any breach ofthe NDA by its antecedents, delegates or sub-Implementation Agencies.

5) The Contractor shall notify the Municipal Corporation Gurgaon


(MCG) promptly if it is aware of any disclosure of the Confidential Information otherwisethan as permitted by this Contract or with the authority of the Municipal CorporationGurgaon (MCG).

6) The Contractor shall be liable to fully recompense the Municipal Corporation Gurgaon(MCG) for any loss of revenue arising from breach of confidentiality. The MunicipalCorporation Gurgaon (MCG reserves the right to adopt legal proceedings, civil orcriminal, against the Contractor in relation to a dispute arising out of breach of obligationby the Contractor under this clause.

6.20. PricesPrices quoted must be firm and shall not be subject to any upward revision on any accountwhatsoever throughout the period of contract. Municipal Corporation Gurgaon (MCG)however reserve the right to review and negotiate the charges payable.

Contractor shall provide “Most Preferred Customer” status the Municipal CorporationGurgaon (MCG). Accordingly, the prices payable for services relating to the Physical & ITinfrastructure components, Maintenance and Management shall in no event exceed the lowestprice at which the Contractor offers similar services to any other customer during the currencyof the contract.

If at any time during the period of contract, the Contractor offers services similar in nature toany other customer, at prices lower than those chargeable under this Municipal CorporationGurgaon (MCG) contract, he shall notify the same to the Municipal Corporation Gurgaon(MCG) and extend such reduced prices to the Municipal Corporation Gurgaon (MCG) withimmediate effect.

6.21. Change Orders/Alteration/VariationThe Contractor agrees that the requirements given in specifications of the Bidding Documents areminimum requirements and are in no way exhaustive and guaranteed by the MunicipalCorporation Gurgaon (MCG). It shall be the responsibility of the Contractor to meet all therequirements of Design criteria contained in the Bidding Documents and any upward revisionsand/or additions of quantities, specifications, sizes given in Specifications and drawings etc. of theBidding Documents required to be made during commissioning of “City Surveillance SystemProject for Municipal Corporation Gurgaon in Gurgaon City” project shall not constitute achange order and shall be carried out without a change order and shall be carried out without anytime and cost effect to Municipal Corporation Gurgaon (MCG). Further, upward revisions and oradditions required to make Contractor’s selected Automation project space, facilities, equipmentand installation procedures to meet Bidding Documents requirements expressed and to make entirefacilities safe, operable and as per specified codes and standards shall not constitute a change orderand shall be carried out without any time and cost effect to Municipal Corporation Gurgaon(MCG). Any upward revision and/or additions consequent to errors, omissions, ambiguities,discrepancies in the specification and drawings etc. of the Bidding Documents which the


Contractor had not brought out to the Municipal Corporation Gurgaon (MCG) notice in histender shall not constitute a change order and such upward revisions and/or addition shall becarried out by Contractor without any time and cost effect to Municipal Corporation Gurgaon(MCG) .

6.22. Change Order

The change order will be initiated only in case (i) the Municipal Corporation Gurgaon (MCG)directs in writing the Contractor to include any addition to the scope of work covered underthis Contract or delete any part of the scope of the work under the Contract, (ii) Contractorrequests to delete any part of the work which will not adversely affect the operationalcapabilities of the facilities and if the deletions proposed are agreed to by the MunicipalCorporation Gurgaon (MCG)and for which cost and time benefits shall be passed on to theMunicipal Corporation Gurgaon (MCG), (iii) the Municipal Corporation Gurgaon (MCG)directs in writing the Contractor to incorporate changes or additions to the Design Criteriarequirements already covered in the Contract.

Any changes required by the Municipal Corporation Gurgaon (MCG) over and above theminimum requirements given in the specifications and drawings etc. included in the BiddingDocuments before giving its approval to detailed design or Engineering for complying withdesign criteria and changes required to ensure systems compatibility and reliability for safe(As per codes, standards and recommended practices referred in the Bidding Documents) andtrouble free operation shall not be construed to be change in the Scope of work under theContract.

Any change order as stated above comprising an alteration which involves change in the costof the works (which sort of alteration is hereinafter called a “Variation”) shall be the Subjectof an amendment to the Contract by way of an increase or decrease in the Contract Price andadjustment of the implementation schedule if any.

If there is a different of opinion between the Contractor and Municipal Corporation Gurgaon(MCG) representative whether a particular work or part of the work constitutes a change orderor not, the matter shall be handled in accordance with the procedures set forth in Clause underProcedures for Change Order.

Within fourteen (14) working days of receiving the comments from the MunicipalCorporation Gurgaon (MCG) or the drawings, specification, purchase requisitions and otherdocuments submitted by the Contractor for approval, the Contractor shall respond in writing,which item(s) of the Comments is/are potential changes(s) in the “Scope of work” of thetender document covered in the Contract and shall advise a date by which change order (ifapplicable) will be submitted to the Municipal Corporation Gurgaon (MCG) .


6.23. Procedures for Change Order

During detailed Engineering and subsequently, if the Contractor observes that any newrequirement which other than that required for meeting the design criteria is not specific orintended by the Contract has been stipulated by the Municipal Corporation Gurgaon (MCG),while approving the specifications, calculations, purchase requisitions, other documents etc.he would verbally discuss the matter with Municipal Corporation Gurgaons’ (MCG)representative.

In case such requirement arises from the side of the contractor, he would also verbally discussthe matter with Municipal Corporation Gurgaon (MCG) representative giving reasonsthereof.

In either of the two cases as explained in Clause above, the representatives of both the partieswill discuss on the new requirement for better understanding and to mutually decide whethersuch requirement constitutes a change order or not.

If it is mutually agreed that such Requirement constitutes a “Change Order” then a jointmemorandum will be prepared and signed by the Contractor and Municipal CorporationGurgaon (MCG) to confirm a “Change Order” and basic ideas of necessary agreedarrangement.

Upon completion of the study referred to above Clause the results of this study along with allrelevant details including the estimated time and cost effect thereof with supporting documentswould be submitted to the Municipal Corporation Gurgaon (MCG) to enable the Govt. ofHaryana to give a final decision whether Contractor should proceed with the change order ornot in the best interest of the works. The estimated cost and time impact indicated byContractor shall be considered as a ceiling limit and shall be provisionally considered fortaking a decision to implement change order. The time impact applicable to the Contract shallbe mutually agreed, subsequently, on the basis of the detailed calculations supported with allrelevant back up documents. In case Contractor fails to submit all necessary substantiation/calculations and back up documents, the decision of the Municipal Corporation Gurgaon(MCG) regarding time and cost impact shall be final and binding on the Contractor.

If Municipal Corporation Gurgaon (MCG) accepts the implementation of the change orderunder Clause above in writing, which would be considered as change order, then Contractorshall commence to proceed with the relevant work stipulated in the change order pending finalagreement between the parties with regard to adjustment of the Contract Price and theConstruction Schedule.

In case, mutual agreement whether new requirement constitutes the change order or not, is notreached, then Contractor in the interest of the works, shall take up the implementation of the work,if advised in writing to do so by Municipal Corporation Gurgaon


(MCG)’s representative pending settlement between the two parties to the effect whether suchrequirement constitutes a change order or not as per the terms and conditions of Contractdocuments. The time and cost effects in such a case shall be mutually verified and recorded.Should it establish that the said work constitutes a change order, the same shall becompensated taking into account the records kept in accordance with the Contract.

The Contractor shall submit necessary back up documents for the change order showing the break-up of the various elements (e.g. Centre Space facilities provisioning, Engineering, Procurement,Development, Installation, etc.) constituting the change order for the Municipal CorporationGurgaon (MCG) review. If no agreement is reached between the Municipal Corporation Gurgaon(MCG) and Contractor within 60 days after Municipal Corporation Gurgaon (MCG) instruction inwriting to carry out the change concerning the increase or decrease in the Contract price and allother matters described above, either party may refer the dispute to arbitration.

6.24. Change of Size/QuantitiesThe Municipal Corporation Gurgaon (MCG) will have the option to increase or decrease thesize of the dedicated and exclusive Automation project space as well as the Non-Automationproject space and the related quantities of equipment/material to be provisioned by theContractor as mentioned in the Contract, at any time before work is initiated at the site,provided that such increase or decrease shall not exceed twenty five per cent (25%) of thetotal Contract Price or for the quantity / amount limits prescribed in the state financial /purchase rules. In case the change required by the Municipal Corporation Gurgaon (MCG)exceeds 25% of the total Contract Price, the said change would be subject to the Contractorproviding his written consent to the Municipal Corporation Gurgaon (MCG) request.

6.25. Conditions for extra work/change orderThe provisions of the Contract shall apply to extra work performed as if the Extra work /Change order has been included in the original Scope of work. However, the Contract Priceshall increase / decrease and the Time Schedule shall be adjusted on account of the Extra work/ Change orders as may be mutually agreed in terms of provisions set forth in Clause above.Contractor’s obligations with respect to such work remain in accordance with the Contract.

The rates provided by the Contractor as part of its commercial quote will be considered asbenchmark rates for placing change orders, if any.

6.26. Suspension of WorkThe Contractor shall, if ordered in writing by the Municipal Corporation Gurgaon (MCG)representative, temporarily suspend the works or any part thereof for such a period and such a timeas ordered. The Contractor shall not be entitled to claim compensation for any loss or damagesustained by him by reason of temporary suspension of the Works as aforesaid. An extension oftime for completion, corresponding with the delay caused by any such suspension of the works asaforesaid shall be granted to the Contractor, if request for same


is made and that the suspension was not consequent to any default or failure on the part of theContractor. In case the suspension of works, is not consequent to any default or failure on thepart of the Contractor, and lasts for a period of more than 2 months, the Contractor shall havethe option to request the Municipal Corporation Gurgaon (MCG) to terminate the Contractwith mutual consent.

In the event that the Municipal Corporation Gurgaon (MCG) suspends the progress of workfor any reason not attributable to the Contractor for a period in excess of 30 days in aggregate,rendering the Contractor to extend his performance guarantee then Municipal CorporationGurgaon (MCG) shall bear only the cost of extension of such bank guarantee for suchextended period restricted to the normal bank rates as applicable in the international bankingprocedures subject to the Contractor producing the requisite evidence from the bankconcerned.

6.27. Completion of ContractUnless terminated earlier, pursuant to Clauses mentioned above the Contract shall terminateon the completion of term as specified in the Contract and only after the obligationsmentioned in this tender document are fulfilled to the satisfaction of the MunicipalCorporation Gurgaon (MCG).

6.28. Special Conditions of ContractAmendments of, and Supplements to, Clauses in the General Conditions of Contract.

6.29. Payment ScheduleThe fee amount will be equal to the amount specified in Section X – Format for TenderResponse – Commercial Proposal. Payments will be released only on satisfactory acceptanceof the deliverables for each Task as per the following schedule:

All Payments shall be made in Indian Rupees Only and will be subject to provisions ofPenalty and Liquidated Damages.


6.30. Events of Default by the ContractorThe failure on the part of the Contractor to perform any of its obligations or comply with anyof the terms of this Contract shall constitute an Event of Default on the part of the Contractor.The events of default as mentioned above may include inter-alia the following:

a. The Contractor has failed to perform any instructions or directives issued by theMunicipal Corporation Gurgaon (MCG) which it deems proper and necessary toexecute the scope of work under the Contract, or

b. The Contractor has failed to adhere to any of the key performance indicators as laiddown in the Key Performance Measures / Contract, or if the Contractor has fallenshort of matching such standards/targets as the Municipal Corporation Gurgaon(MCG) may have designated with respect to any task necessary for the execution ofthe scope of work under this Contract. The above mentioned failure on the part of theContractor may be in terms of failure to adhere to timelines, specifications,requirements or any other criteria as defined by the Municipal Corporation Gurgaon(MCG);

c. The Contractor has failed to remedy a failure to perform its obligations in accordancewith the specifications issued by the Municipal Corporation Gurgaon (MCG),despite being served with a default notice which laid down the specific deviance onthe part of the Contractor to comply with any stipulations or standards as laid downby the Municipal Corporation Gurgaon (MCG); or

d. The Contractor / Contractor’s Team has failed to conform with any of theService/Facility Specifications/standards as set out in the scope of work of thisTender document or has failed to adhere to any amended direction, modification orclarification as issued by the Municipal Corporation Gurgaon (MCG) during theterm of this Contract and which the Municipal Corporation Gurgaon (MCG) deemsproper and necessary for the execution of the scope of work under this Contract;

e. The Contractor has failed to demonstrate or sustain any representation or warrantymade by it in this Contract, with respect to any of the terms of its Proposal, theTender and this Contract

f. There is a proceeding for bankruptcy, insolvency, winding up or there is anappointment of receiver, liquidator, assignee, or similar official against or in relationto the Contractor.

g. The Contractor / Contractor’s Team has failed to comply with or is in breach orcontravention of any applicable laws.

Where there has been an occurrence of such defaults inter alia as stated above, the MunicipalCorporation Gurgaon (MCG) shall issue a notice of default to the Contractor, setting outspecific defaults / deviances / omissions and providing a notice of Sixty


(60) days to enable such defaulting party to remedy the default committed.

Where despite the issuance of a default notice to the Contractor by the Municipal CorporationGurgaon (MCG) and the Contractor fails to remedy the default to the satisfaction of theContractor, the Municipal Corporation Gurgaon (MCG) may, where it deems fit, issue to thedefaulting party another default notice or proceed to adopt such remedies as may be availableto the Municipal Corporation Gurgaon (MCG).

6.31. Consequences in Event of DefaultWhere an Event of Default subsists or remains uncured the Municipal Corporation Gurgaon(MCG) may/shall be entitled to impose any such obligations and conditions and issue anyclarifications as may be necessary to inter alia ensure smooth continuation of Services and theproject which the Contractor shall be obliged to comply with which may include unilateral re-determination of the consideration payable to the Contractor hereunder. The Contractor shallin addition take all available steps to minimize loss resulting from such event of default.The Municipal Corporation Gurgaon (MCG) may, by a written notice of suspension to theContractor, suspend all payments to the Contractor under the Contract, provided that suchnotice of suspension:

a. shall specify the nature of the failure; and

b. shall request the Contractor to remedy such failure within a specified period from thedate of receipt of such notice of suspension by the Contractor

Where the Municipal Corporation Gurgaon (MCG) deems necessary, it shall have the right torequire replacement of any of the Contractor’s sub-contractors / vendors with another suitablemember. The Contractor shall in such case terminate forthwith all their agreements/contracts otherarrangements with such member and find of the suitable replacement for such outgoing memberwith another member to the satisfaction of the Municipal Corporation Gurgaon (MCG), who shallexecute such Contracts with the Municipal Corporation Gurgaon (MCG) as the MunicipalCorporation Gurgaon (MCG) may require. Failure on the part of the Contractor to find a suitablereplacement and/or terminate all agreements/contracts with such member, shall amount to a breachof the terms hereof and the Municipal Corporation Gurgaon (MCG) in addition to all other rights,have the right to claim damages and recover from the Contractor all losses/ or other damages thatmay have resulted from such failure.

6.32. Terminate the ContractRetain such amounts from the payment due and payable by the Municipal Corporation Gurgaon(MCG) to the Contractor as may be required to offset any losses caused to the MunicipalCorporation Gurgaon (MCG) as a result of such event of default and the Contractor shallcompensate the Municipal Corporation Gurgaon (MCG) for any such loss, damages or othercosts, incurred by the


Municipal Corporation Gurgaon (MCG) in this regard. Nothing herein shall effect thecontinued obligation of the sub Contractor / other members of its Team to perform all theirobligations and responsibilities under this Contract in an identical manner as were beingperformed before the occurrence of the default.

Invoke the Performance Bank Guarantee and other Guarantees furnished hereunder, enforcethe Deed of Indemnity, recover such other costs/losses and other amounts from the Contractormay have resulted from such default and pursue such other rights and/or remedies that may beavailable to the Municipal Corporation Gurgaon (MCG)under law.

6.33. TerminationThe Municipal Corporation Gurgaon (MCG) may, terminate this Contract in whole or in partby giving the Contractor prior and written notice indicating its intention to terminate theContract under the following circumstances:1) Where the Municipal Corporation Gurgaon (MCG) is of the opinion that there has been

such Event of Default on the part of the Contractor which would make it proper andnecessary to terminate this Contract and may include failure on the part of the Contractorto respect any of its commitments with regard to any part of its obligations under itsProposal, the Tender or under this Contract.

2) Where it comes to the Municipal Corporation Gurgaon (MCG) attention that theContractor (or the Contractor’s Team) is in a position of actual conflict of interest with theinterests of the Municipal Corporation Gurgaon (MCG), in relation to any of terms of theContractor’s Proposal, the Tender or this Contract

3) Where the Contractor’s ability to survive as an independent corporate entity is threatenedor is lost owing to any reason whatsoever, including inter-alia the filing of any bankruptcyproceedings against the Contractor, any failure by the Contractor to pay any of its dues toits creditors, the institution of any winding up proceedings against the Contractor or thehappening of any such events that are adverse to the commercial viability of theContractor. In the event of the happening of any events of the above nature, the MunicipalCorporation Gurgaon (MCG) shall reserve the right to take any steps as are necessary, toensure the effective transition of the project to a successor Implementation Agency/serviceprovider, and to ensure business continuity

4) Termination for Insolvency: The Municipal Corporation Gurgaon (MCG) may at any timeterminate the Contract by giving written notice to the Implementation Agency, withoutcompensation to the Implementation Agency, if the Contractor becomes bankrupt orotherwise insolvent, provided that such termination will not prejudice or affect any right ofaction or remedy which has accrued or will accrue thereafter to the Municipal CorporationGurgaon (MCG).

5) Termination for Convenience: The Department of Police, may, by prior written notice sent


to the Contractor at least 6 months in advance, terminate the Contract, in whole or in partat any time for its convenience. The notice of termination shall specify that termination isfor the Municipal Corporation Gurgaon (MCG) convenience, the extent to whichperformance of work under the Contract is terminated, and the date upon which suchtermination becomes effective.

The Contractor may, subject to approval by the Department of Police, terminate this Contractbefore the expiry of the term by giving the Municipal Corporation Gurgaon (MCG) a priorand written notice at least 12 months in advance indicating its intention to terminate theContract.

6.34. Consequences of TerminationIn the event of termination of this contract due to any cause whatsoever, the Contractor shallbe blacklisted and the empanelment will stand cancelled effective from the date of terminationof this contract.

In the event of termination of this Contract due to any cause whatsoever, [whether consequentto the stipulated Term of the Contract or otherwise] the Municipal Corporation Gurgaon(MCG) shall be entitled to impose any such obligations and conditions and issue anyclarifications as may be necessary to ensure an efficient transition and effective businesscontinuity of the project which the Contractor shall be obliged to comply with and take allavailable steps to minimize loss resulting from that termination/breach, and further allow andprovide all such assistance to the Municipal Corporation Gurgaon (MCG) and/or thesuccessor Contractor/service provider, as may be required, to take over the obligations of theerstwhile Contractor in relation to the execution/continued execution of the scope of thisContract.

Where the termination of the Contract is prior to its stipulated term on account of a Default on thepart of the Contractor or due to the fact that the survival of the Contractor as an independentcorporate entity is threatened/has ceased, or for any other reason, whatsoever, the MunicipalCorporation Gurgaon (MCG) through unilateral re-determination of the consideration payable tothe Contractor shall pay the Contractor for that part of the Services which have been authorized bythe Municipal Corporation Gurgaon (MCG) and satisfactorily performed by the Contractor up tothe date of termination. Without prejudice any other rights, the Municipal Corporation Gurgaon(MCG) may retain such amounts from the payment due and payable by the Municipal CorporationGurgaon (MCG) to the Contractor as may be required to offset any losses caused to the MunicipalCorporation Gurgaon (MCG) as a result of any act/omissions of the Contractor. In case of any lossor damage due to default on the part of the Contractor in performing any of its obligations withregard to executing the scope of work under this Contract, the Contractor shall compensate theMunicipal Corporation Gurgaon (MCG) for any such loss, damages or other costs, incurred by theDepartment of Police. Additionally, the sub Contractor / other members of its team shall performall its obligations and responsibilities under this Contract in an identical manner as


were being performed before the collapse of the Contractor as described above in order toexecute an effective transition and to maintain business continuity. All third parties shallcontinue to perform all/any functions as stipulated by the Municipal Corporation Gurgaon(MCG) and as may be proper and necessary to execute the scope of work under the Contractin terms of the Contractor’s Proposal, the Tender and this Contract.

Nothing herein shall restrict the right of the Municipal Corporation Gurgaon (MCG) to invokethe Bank Guarantee and other Guarantees furnished hereunder, enforce the Deed of Indemnityand pursue such other rights and/or remedies that may be available to the MunicipalCorporation Gurgaon (MCG) under law.

The termination hereof shall not affect any accrued right or liability of either Party nor affectthe operation of the provisions of this Contract that are expressly or by implication intended tocome into or continue in force on or after such termination.

6.35. PenaltyCommencement of activities for commissioning of Automation Project facilities and ongoingperformance and service levels shall be as per timelines and parameters stipulated by theMunicipal Corporation Gurgaon (MCG) in this contract, failing which the MunicipalCorporation Gurgaon (MCG) may, at its discretion, impose penalties on the Contractor to bedefined in Agreement to be entered into for the work assignment.

6.36. Liquidated DamagesSubject to clause for Force Majeure if the bidder fails to complete the Commissioning ofAutomation Project before the scheduled completion date or the extended date or if Contractorrepudiates the Contract before completion of the Work, the Municipal Corporation Gurgaon(MCG), at its discretion, may without prejudice to any other right or remedy available to theMunicipal Corporation Gurgaon (MCG) the Contract recover a maximum of 10 percent of theproject cost from the Contractor, as Liquidated Damages (LD).

In the case it leads to termination, the Municipal Corporation Gurgaon (MCG) shall give 30days’ notice to the Contractor of its intention to terminate the Contract and shall so terminatethe Contract unless during the 30 days notice period, the Contractor initiates remedial actionacceptable to the Department of Police.

The Municipal Corporation Gurgaon (MCG) may without prejudice to its right to affect recoveryby any other method, deduct the amount of liquidated damages from any money belonging to theContractor in its hands (which includes the Municipal Corporation Gurgaon (MCG) right to claimsuch amount against Contractor’s Bank Guarantee) or which may become due to the Contractor.Any such recovery or liquidated damages shall not in any way relieve the Contractor from any ofits obligations to complete the Works or from any other obligations and liabilities under theContract.


6.37. Dispute ResolutionThe Municipal Corporation Gurgaon (MCG) and the Contractor shall make every effort toresolve amicably by direct informal negotiations, any disagreement or disputes, arisingbetween them under or in connection with the Contract.

If, after Thirty (30) days from the commencement of such direct informal negotiations, theMunicipal Corporation Gurgaon (MCG) and the Contractor have been unable to resolveamicably a Contract dispute, either party may require that the dispute be referred forresolution to the formal mechanism specified in Clauses below.

In the case of a dispute or difference arising between the Govt. of Haryana and the Contractorrelating to any matter arising out of or connected with this Contract, such dispute or differenceshall be referred to the award of Arbitrator as indicated in the Section-V clause 24. The awardof the Arbitrator shall be final and binding on the parties.

The Arbitration and Conciliation Act 1996, the rules there under and any statutorymodification or re enactments thereof, shall apply to the arbitration proceedings.

The venue of arbitration shall be the Gurgaon, India.

The Municipal Corporation Gurgaon (MCG) may terminate this contract, by giving a writtennotice of termination of minimum 30 days, to the Contractor, if the Contractor fails to complywith any decision reached consequent upon arbitration proceedings pursuant to above Clause.

6.38. Continuance of the Contract:Notwithstanding the fact that settlement of dispute(s) (if any) under arbitration may bepending, the parties hereto shall continue to be governed by and perform the work inaccordance with the provisions under the Scope of Work to ensure continuity of operations.

6.39. Limitation of the Contractor’s Liability towards the Department of PoliceExcept in case of gross negligence or wilful misconduct on the part of the Contractor or on thepart of any person or company acting on behalf of the Contractor in carrying out the Services,the Contractor, with respect to damage caused by the Contractor to Govt. of Haryana’sproperty, shall not be liable to Department of Police.

i. for any indirect or consequential loss or damage; and

ii. for any direct loss or damage that exceeds (A) the total payments payable under thiscontract to the Contractor hereunder, or (B) the proceeds the Contractor may be entitledto receive from any insurance maintained by the Contractor to cover such a liability,whichever of (A) or (B) is higher.

This limitation of liability shall not affect the Contractor liability, if any, for damage to Third

Parties caused by the Contractor or any person or firm/company acting on behalf of theContractor in carrying out the Services.

6.40. Conflict of interestThe Contractor shall disclose to the Municipal Corporation Gurgaon (MCG) in writing, allactual and potential conflicts of interest that exist, arise or may arise (either for the Contractoror the Contractor’s Team) in the course of performing the Services as soon as practical after itbecomes aware of that conflict.

6.41. SeveranceIn the event any provision of this Contract is held to be invalid or unenforceable under theapplicable law, the remaining provisions of this Contract shall remain in full force and effect.

6.42. Governing LanguageThe Agreement shall be written in English language. Subject to below Clause, such languageversions of the Agreement shall govern its interpretation. All correspondence and otherdocuments pertaining to the Contract that are exchanged by parties shall be written in Englishlanguage only.

6.43. “No Claim” CertificateThe Contractor shall not be entitled to make any claim, whatsoever against the MunicipalCorporation Gurgaon (MCG), under or by virtue of or arising out of, this contract, nor shallthe Municipal Corporation Gurgaon (MCG) entertain or consider any such claim, if made bythe Contractor after he shall have signed a “No claim” certificate in favour of the MunicipalCorporation Gurgaon (MCG) in such forms as shall be required by the Municipal CorporationGurgaon (MCG) after the works are finally accepted.

6.44. PublicityThe Contractor shall not make or permit to be made a public announcement or media releaseabout any aspect of this Contract unless the Municipal Corporation Gurgaon (MCG) firstgives the Contractor its written consent.

6.45. Force MajeureForce Majeure shall not include any events caused due to acts/omissions of such Party or resultfrom a breach/contravention of any of the terms of the Contract, Proposal and/or the Tender. Itshall also not include any default on the part of a Party due to its negligence or failure toimplement the stipulated/proposed precautions, as were required to be taken under the Contract.The failure or occurrence of a delay in performance of any of the obligations of either party shallconstitute a Force Majeure event only where such failure or delay could not have reasonably beenforeseen, or where despite the presence of adequate and stipulated safeguards the failure toperform obligations has occurred. In such an event, the affected party shall inform the other partyin writing within five days of the occurrence of such event. The Govt. of Haryana will make thepayments due for Services rendered till the occurrence of Force


Majeure. However, any failure or lapse on the part of the Contractor in performing anyobligation as is necessary and proper, to negate the damage due to projected force majeureevents or to mitigate the damage that may be caused due to the above mentioned events or thefailure to provide adequate disaster management/recovery or any failure in setting up acontingency mechanism would not constitute force majeure, as set out above.In case of a Force Majeure, all Parties will endeavor to agree on an alternate mode ofperformance in order to ensure the continuity of service and implementation of the obligationsof a party under the Contract and to minimize any adverse consequences of Force Majeure.

6.46. General

i. Relationship between the Parties

a. Nothing in this Contract constitutes any fiduciary relationship between theMunicipal Corporation Gurgaon (MCG) and Contractor/ Contractor’s Team orany relationship of employer employee, principal and agent, or partnership,between the Municipal Corporation Gurgaon (MCG) and Contractor.

b. No Party has any authority to bind the other Party in any manner whatsoeverexcept as agreed under the terms of this Contract.

c. The Municipal Corporation Gurgaon (MCG) has no obligations to theImplementation Agency’s Team except as agreed under the terms of thisContract.

ii. No Assignment

The Contractor shall not transfer any interest, right, benefit or obligation under this Contractwithout the prior written consent of the Municipal Corporation Gurgaon (MCG).

iii. Survival

The provisions of the clauses of this Contract in relation to documents, data, processes,property, Intellectual Property Rights, indemnity, publicity and confidentiality and ownershipsurvive the expiry or termination of this Contract and in relation to confidentiality, theobligations continue to apply unless the Municipal Corporation Gurgaon (MCG) notifies theContractor of its release from those obligations.

iv. Entire Contract

The terms and conditions laid down in the Tender and all annexure thereto as also theProposal and any attachments/annexes thereto shall be read in consonance with and form anintegral part of this Contract. This Contract supersedes any prior Contract, understanding orrepresentation of the Parties on the subject matter.

v. Governing LawThis Contract shall be governed in accordance with the laws of India.

vi. Jurisdiction of Courts

The High Court of India at Bilaspur, Haryana has exclusive jurisdiction to determine anyproceeding in relation to this Contract.

vii. Compliance with Laws

The Contractor shall comply with the laws in force in India in the course of performing thisContract.

viii. Noticesa. A “notice” means:

i. a notice; or

ii. a consent, approval or other communication required to be in writing under thisContract. All notices, requests or consents provided for or permitted to be givenunder this Contract shall be in writing and shall be deemed effectively givenwhen personally delivered or mailed by pre-paid certified/registered mail, returnreceipt requested, addressed as follows and shall be deemed received two daysafter mailing or on the date of delivery if personally delivered:

ix. Waiver

b) A waiver by either Party in respect of a breach of a provision of this Contract by theother Party is not a waiver in respect of any other breach of that or any other provision.

c) The failure of either Party to enforce at any time any of the provisions of this Contract


shall not be interpreted as a waiver of such provision.

x. Modification

Any modification of this Contract shall be in writing and signed by an authorizedrepresentative of each Party.

xi. Application

These General Conditions shall apply to the extent that provisions in other parts of theContract do not supersede them.

xii. IT Act

Besides the terms and conditions stated in this document, the contract shall also be governedby overall acts and guidelines as mentioned in IT Act 2000 and amendment thereafter.

Cyclic Alarm Monitors: An alarm monitor shall be available atthe end of an alarm monitor queue to cycle the camera viewsfrom unacknowledged alarms if the number of cameras orgroups of cameras to view exceeds the number of alarmmonitors. Once the alarm monitor queue is filled, any newalarm will be placed in the queue relative to its priority and thentime of occurrence. Existing activated alarm camera views shallreshuffle to accommodate the new alarm. In the event that allthe available alarm monitors are used, the oldest active alarmcamera or group of cameras shall be added to the cycling alarmmonitor. The alarm views shall cycle on this final alarm monitoruntil acknowledged and cleared by an operator in the event ofmultiple alarms added to this monitor.

Surveillance monitor: Operators shall be able to call up bothsingle camera views and multiple camera views to asurveillance monitor. It shall be possible to sequence thecameras displayed on the surveillance monitor and the systemshall support sequences of single cameras as well as camerassequencing in individual view ports when a surveillancemonitor displays multiple cameras simultaneously. shall be able to clear the monitor using the numeric keypad.

Monitors shall be able to be configured to act as both Alarmand Surveillance monitors. In this case, the monitor behavesas a Surveillance monitor until an alarm occurs, in whichcase it shall show the alarm video. Once the alarm isacknowledged, the video previously shown (as a surveillancemonitor) is displayed again. Note:- In each of these cases,these additional monitors shall be either connected to anOperator Station using a multi-monitor PC card or to otherPCs.

Video Loss Alarm

The VMS shall support the video streamer Video LossAlarm feature. The Video Loss Alarm feature shallprovide VMS operators with a notification when the videosignal from the camera to the video streamer is lost. Avideo loss alarm shall result in an alarm being raised, thechange of the camera icon in the camera tree to indicatethe alarm condition and an entry in the system audit logfor future reference.

Camera Tamper Detection

The VMS shall provide the ability to detect attempts to tamper withconnected cameras. The system will at minimum detect the following:

1) Changed field of view: repositioning the camera awayfrom a reference position shall trigger an alarm2) Camera blur: any attempt to defocus or blur the camerashall trigger an alarm3)Camera blind: any attempt to cover or blind the camera(via abnormally high light levels) shall trigger an alarm

Multiple camera views shall be divided into quadrants. For each quadrantthe view shall have a camera or be blank. Within each quadrant the viewshall be configured to cycle between any of the cameras accessible to theuser on a configurable time basis. Pan-tilt-zoom cameras, which supportpreset positions, can have these presets cycled on a time basis. In this wayan operator can view a variety of presets on a series of PTZ cameras in amultiple camera view.

It shall be possible to show the camera names of each camera and preset (ifapplicable) configured in a view on either the operator station and onsurveillance monitors. Hovering the mouse pointer over a view port shalltrigger a tooltip showing the camera name and preset (if applicable)There shall be no limit to the number of cameras that can be assigned to asingle multiple camera view. Sequence View

The VMS shall support sequence views. A sequence view consistsof a single camera view, which can be cycled on a time basis. Pan-tilt-zoom cameras, which support preset positions, can have thesepresets cycled on a time basis. In this way an operator can view avariety of presets on a series of PTZ cameras. Fixed cameras canalso be included in the sequence and cycled accordingly.

There shall be no limit to the number of cameras that can beassigned to a single Sequence View. There shall also be no limit to

The user shall be able to configure any appropriate camera to be PTZcontrollable. The following camera types must be supported as a minimum:

The VMS shall provide the ability support streamer-side camera control for






video encoding devices providing this feature. In this case, the videoencoding device will be responsible for providing the control mechanismto the associated camera and the communications protocol will not need tobe natively supported in the VMS.

Advanced Camera Control

The VMS shall provide more advanced control capability for camerassupporting the Pelco D camera protocol as well as the featuresmentioned below. The VMS shall support the following functions:

Control of the camera washer and wiper function viadedicated button on the VMS User Interface. Ahardware interface via the output port of a videoencoding device shall not be sufficient

Call up and navigation of the device system menu andsetting of device options on this menu via the VMSUser Interface

The ability to record patterns of motion for aPan/Tilt/Zoom camera. These patterns will be available as presetpositions for Pan/Tilt/Zoom cameras allowing the cameras to“patrol” the facility when not being controlled by operators.

The VMS shall provide access to the absolute positioning coordinates ofPan/Tilt/Zoom cameras using the Pelco D protocol. The coordinates willbe provided via the VMS Application Programming Interface.

Security

The following parameters shall be configurable for each camera: Area: Allows the system to be configured to only allow

users to view specified cameras. These areas shall be thedefined by the Security System, or the .

Control Level: Determines if a user is allowed to operatethe PTZ controls for a camera. Also used to allow higher-level users to take control of cameras. These ControlLevels shall be defined by the Security System, or .

Control Reservation Period: Once a particular user hascontrolled the camera no other user can control the camerauntil this reservation period has expired. Users with ahigher security level shall be able to take control of thecamera at any time.

Camera Deletion

The “Delete” function shall allow a user with the highest-level security todelete the camera from the system. After deletion name of the camera willno longer appear in the list of cameras. All camera settings will be deletedbut the camera record will remain in the database for searching purposes.

Any recordings associated with a deleted camera will remain until theirconfigured deletion date. The recordings will remain on the Camera Serverand archive media unless they are later individually deleted. The cameraname will also continue to appear in the list of cameras used for searchingthe video clip database.

Recording

Recorded video is stored on the Camera Server. The Operator station shallbe able to locate relevant recorded video and to then replay that video at theOperator Station.The following methods of recording live video shall be supported:

Pre-Record Duration: The amount of pre-recorded videothat will be associated with a user request for recordedvideo. This will allow the Camera Server to capture videoprior to the user request, as well as after the request. Shallbe selectable from a list of values ranging from NoRecording to 5 minutes.

Frame Rate: Video quality required for user activatedrecording. It shall be possible to have different frame ratesfor user and event-activated recordings. Shall beselectable from the entire range of frame rates supportedfor the camera. For MPEG encoding (including H.264),support shall also be provided to record only the Indexframes, or a subset of the Index frames.

The pre-record and post-record durations in the above define the maximumallowable limits for each camera. They shall be configured on a camera-by-camera basis. However each alarm or event causing video to be recordedshall also be capable of individual configuration with pre and post alarmperiods being selected from a range defined by the maximum settings forthe camera.VMS systems requiring a single pre and post record event period to bedefined for all alarms and events on an individual camera are notacceptable. VMS systems requiring a single pre and post event period to bedefined for all alarms and events on all cameras are also not acceptable.In the case of multiple alarms/events relating to the same camera, a videoclip shall be created for each alarm/event.For cameras that support Pan/Tilt/Zoom and Presets, a specified presetlocation shall be selected automatically when the alarm/event occurs priorto the event activated recording commencing. For example, when an alarmis detected on a security door, the alarm shall trigger a PTZ camera to moveto a preset position, which is pointing at the door prior to the VMScommencing recording.Device Input/ Output ActivatedInput or output recording activation occurs when an input or an outputconnected to an IP camera or streamer is activated and then subsequentlytriggers recording on one or more associated cameras.It shall be possible for any digital input or output connected to a streamer orIP camera on the system to trigger a recording on one or more camerassimultaneously.The following settings shall be individually configurable for each alarm

Shall be selectable from the entirerange of frame rates supported for the camera/streamer.For MPEG encoding (including H.264), support shall alsobe provided to record only the Index frames, or a subset ofthe Index frames.

Retention period. The default period the Camera Serverwill retain device input/output activated recordings beforebeing deleted. The retention period of individualrecordings shall be able to be changed as necessary. Shallbe selectable from a list of values ranging between onehour and forever.

Archive After period: The default period for whichdevice input/output activated recordings are available forplayback before they are automatically archived. TheArchive After period of individual recordings shallcommence at the video clip’s end date and time and beable to be changed on a per-recording basis. The periodshall be selectable from a list of values to provide adefault setting for all recordings of this type per camerabut shall also be manually configurable on each individualrecording after the recording has occurred.

The pre-record and post-record durations in the paragraph above definethe maximum allowable limits for each camera. They shall be configuredon a camera-by-camera basis.For cameras that support Pan/Tilt/Zoom Presets, a specified presetlocation shall be selected automatically when the input/output eventoccurs prior to the recording commencing. For example, when anintrusion alarm is detected, the alarm shall trigger a PTZ camera to moveto a preset position, which is pointing at the area monitored by theintrusion sensor prior to the VMS commencing recording.

Scheduled

Scheduled recording allows video to be recorded between start andstop times on defined days.The system shall support the ability to schedule recordings for eachindividual camera for times in the future. For each scheduled recording the

the Database Server is lost. Once communication is restored, allrelevant information will be updated to the Database Server.For each camera the user shall be able to configure the following (withdescriptions as per User Activated and Event Activated recordings):

Snapshot






The VMS system must provide every operator with the ability to recordthe current frame of video. This snapshot of video shall be stored as abitmap file. The file name shall be automatically generated by the VMSsoftware and include the camera name, date and time of the recording (tomillisecond precision). An audible sound shall be produced by the Clientcomputer, to ensure that the operator has feedback when the snapshot istaken.

Recorded Video

The VMS shall allow camera output to be recorded for thefollowing conditions:

Manually activated by a user viewing a live camera Activated by or during an intercom call

Activated by a Security System Or Control System alarm

Camera Tamper eventsUser activated recording occurs when a user viewing live video chooses torecord the currently viewed camera output by selecting the “Record”button.Intercom activated recording occurs when an operator either accepts anintercom call from the field or when the operator chooses to start arecording during an intercom call when the system is configured withoutautomatic recording of intercom calls enabled.Event activated recording is a process that allows a segment of video or asnapshot to be associated with a Security System, or alarm or event.Input or output recording activation occurs when an input or an outputconnected to an IP camera or streamer is activated and then subsequentlytriggers recording on one or more associated cameras.Scheduled recording allows video to be recorded between start and stoptimes on defined days.Real-time video analysis activated recording is a process that allows asegment of video or a snapshot to be recorded when a specific event isdetected by a video analysis algorithm used by the VMS.Recorded video is stored on the Camera Server. The Operator station shallbe able to query the Database Server to locate relevant recorded video andto then replay that video at the Operator Station.

Viewing Recordings

The recorded video shall be available to all users, which have adequate






security. Each user shall only be able to view recordings from camerasthey have security access to view.A display shall be provided to view recordings from any Operator Station.From this display, the operator can select the recording he/she wishes toview, which shall be immediately shown in an embedded video player.The following information and controls shall be provided on this display:

A navigation panel to allow the user to select the requiredcamera

A calendar control (similar to Microsoft Outlook) to selectthe desired date. All days which have recordings for thechosen camera shall be displayed in bold font.

A table listing all the recordings on the chosen camera for thechosen day. The user shall be able to select the requiredrecording from this table. Each column shall be able to besorted by selecting the column heading. This table shalldisplay the following information as a minimum:

o The time each recording was activated o The duration of each recording

o The type of recording (operator, intercom, event,video analytics, camera tamper, input/outputscheduled or background)

o The Operator or user that activated the recording(for operator activated recordings)

o The Name, Description and Value of the SecuritySystem Server or Control System Server which

Simple Search

The VMS shall provide a simple search for all video recorded. The userselects the time indicator which shows a calendar and time line. The userselects the required search period.Once the time criterion is entered, the “search” is selected. Video recordedduring the selected period will be returned by the search.The user shall be able to search on combinations of cameras by clicking onan “Advanced Search” icon as described in the next section.

Advanced Search

The VMS shall provide an advanced search of recorded video. The searchshall be based on recording time, camera and recording details.The user shall select from the list of cameras. It shall also include anycameras that have been deleted from the system but still have video storedon a Camera Server or on archived media. If a camera has been deleted andall video associated with the camera has been deleted, the camera namewill not appear in this list.The time criterion shall be selected from a calendar and time line control.Days containing recorded video shall be shown in bold on the calendarcontrol. Cameras shall be able to be added and removed from the searchlist.






The user shall be able to choose to filter the search based on the followingcriteria:

Alarm or event type for alarm/event activated recordings Recording type (operator, intercom, event, video analytics,

camera tamper, input/output scheduled or background) Area Point name Event description (urgent, high, low, journal and all) Operator name Camera name or number Any comments entered by users in the comments field of

recordings Wildcards shall be accepted for the Point ID, description,

area, priority and value for alarm/event activatedrecordings.

Search Results

The VMS shall show the results of the basic and advanced searches in atable format, such that the user is able to select columns within the list tosort the output.Functionality shall be provided to allow the user to see a list of recordingsfor a camera from the past 24 hours without needing to use one of the






searches.

Privacy

Privacy of video data information is vital to protect the corporation usingthe VMS as well as those monitored by the system. For this reason, theVMS shall provide the ability to further restrict access to recordings thanthe simple method of limiting operator access to specific cameras.The VMS shall provide additional privacy control by requestingauthorization for the review of recordings on cameras that have this featureenabled. The authorization will must be provided by a management leveloperator.Authorization shall be provided by a second, unique user account toprevent any operator from authorizing themselves to review videorecordings on affected cameras.Operators authorizing the review of recordings shall be presented with adialog box requesting their user name and password. They will also set theperiod for which the authorization is active, after which authorization willneed to be obtained again to allow recording review.Authorization success and failure shall be recorded in the VMS audit log.It shall be possible to set a grace period during which recordings can beimmediately reviewed without authorization. Once this grace period hasexpired, operators will need to obtain authorization to review recordings onthe affected camera(s).






It shall be possible o configure the need for authorized recording review ona per-camera basis. Systems enabling this feature as a system-wide settingonly will not be acceptable.

Digital Zoom and Image Enhancement

The VMS User Interface shall support the ability, for both live andrecorded video, to digitally zoom into an area of the image as well asprovide the ability to enhance the image viewed by adjusting the levels ofbrightness, contrast, noise levels and sharpness.The VMS must support Digital Zoom and Image Enhancementfunctionality on both live and recorded video.Digital Zooming and Image Enhancement settings shall not be persistentand shall be reset on navigation away from the currently-viewed live orrecorded scene.Digital Zooming and Image Enhancement settings shall only be applied tothe image viewed by an operator making the changes on a specific operatorworkstation. The settings shall not affect other operator stations displayingthe same video feed.

Digital Zoom

Digital zooming will be possible using all of the following methods: “Rubber-banding: using the mouse pointer, select the area






to zoom in to by clicking and dragging the pointer over thearea of interest

Mouse Scroll Wheel: point to the area of interest and rotatethe mouse scroll wheel to zoom in and out

Using a zoom slider overlay on the video windowIt shall be possible to return to the original scene by right-clickinganywhere in the video window.Once zoomed into an image, arrows will be overlayed onto the videowindow at the top, bottom, left and right of the image allowing for digitalpanning and tilting within the zoomed image.The system shall provide the ability to switch between digital and analogzoom for cameras that support analog zoom.

Image Enhancement

It shall be possible to adjust the image brightness, contrast, noise levels andsharpness via slider bars accessed via buttons on the VMS video window

System and User Audit Trail

It is a requirement that all user actions on the VMS Operator Station berecorded in a log file along with the Security System or Control System’sactions. User actions include:

Interventions such as manual recording and configuration

This log must also contain a history of the status of the VMS systemcomponents. It shall list the status of all cameras, streamers, servers andother system components including when they were disabled or failed or atamper occurred.The log of user and system actions shall be available in text format andautomatically included with any video recordings that are exported.

Digitally Signed Recordings and Audit Logs

It is a requirement for all exported recordings and exported audit logs to bedigitally signed. This is required to prove authentication (origin of therecording and audit log) and integrity (exported recording and audit loghave not been altered or tampered with).The VMS system shall provide a default digital certificate for signing theexported recordings and audit logs. Storage

Online Storage

The system shall hold a configurable amount of video in online storage.The amount of video stored on-line shall only be limited by the CameraServer’s disk capacity.For each Camera Server a limit on available storage space for on-line videoshall be configurable.The system shall support RAID 0+1, 1, 3, 5 or 1+0 for video recordings(clips).

Off-line Storage

The Camera Server shall be able to manage several off-line media devicesfor archiving and restoring video. The Camera Server must use a standardarchiving method such as Microsoft Remote Storage Services to handleoffline media.At least two of the following off-line devices shall be supported:






CD-RW DVD-RW USB-connected storage devices Magnetic tape media

If a user attempts to replay video stored in off-line media then the CameraServer will automatically restore and play the video if it is accessible to therobotic tape unit, or shall prompt the user the make the media containingthe video available to the archive device.Storage & disk administrationThe VMS shall provide a flexible means to configure storage behaviorwithin the system administration displays. The system will provide anautomated and configurable means to delete those remaining clips closestto their deletion criteria in order to increase available system storage. 2. Since the price proposal is in INR (R), Municipal Corporation Gurgaon (MCG), Government ofHaryana shall not consider any upward variation/ fluctuation on account of any foreign exchange atany time during the currency of the contract.

3. Warranty on Hardware products will be 5 (Five) years from the date of UAT. Warranty will becomeeffective from the date of UAT for complete solution comprising both hardware and software.

4. The project is to be supported for a minimum period of 5 years from the date of UAT.

5. Other than what is given above, the bidder is expected to account for any other deliverable to makethe implementation successful and will be considered for commercial evaluation.



Section XI

Draft Performance Guarantee(To be issued by a Bank)

In favour of The Commissioner of Municipal Corporation Gurgaon (MCG), Government of Haryana,having its office at Municipal Corporation Gurgaon, Civil line road, District Gurgaon, Haryana(hereinafter called “Commissioner Gurgaon” which expression shall unless it be repugnant to thesubject or context thereof include its heirs, executors, administrators, successors and assigns);

Whereas M/s _________. a company formed under ____________ (specify the applicable law) andhaving its registered office at ____________ has been, consequent to conduct and completion of acompetitive bidding process in accordance with the letter of requirements documentNo._______________ dated __/__/2012 issued by Commissioner Gurgaon, and selected M/s___________ (hereinafter referred to as the Contractor) for the project by Commissioner Gurgaon asmore specifically defined in the aforementioned Document including statement of work and theAgreement executed between the Commissioner Gurgaon and Contractor. The Agreement requiresthe Contractor to furnish an unconditional and irrevocable Bank Guarantee for an amount ofRs._____ /- (Rupees ____________________________________only) by way of security forguaranteeing the due and faithful compliance of its obligations under the Agreement.

1. The Contractor shall implement the Project, in accordance with the terms and subject tothe conditions of the Agreement, and fulfil its obligations there under

We, the Guarantor, shall, without demur, pay to Commissioner Gurgaon an amount notexceeding Rs. _______________ (Rupees _________________________________ only)within 7 (seven) days of receipt of a written demand therefore from Commissioner Gurgaonstating that the Contractor has failed to fulfil its obligations as stated in Clause 1 above.

3. The above payment shall be made by us without any reference to the Contractor orany other person and irrespective of whether the claim of the Commissioner Gurgaon isdisputed by the Contractor or not.

4. The Guarantee shall come into effect from______ (Start Date) and shall continue tobe in full force and effect till the earlier of its expiry at 1700 hours Indian Standard Timeon ________ (Expiry Date) (both dates inclusive) or till the receipt of a claim, from theMunicipal Corporation Gurgaon (MCG) Government of Haryana under this Guarantee,


which is one month after the expiry of performance guarantee, whichever is earlier. Anydemand received by the Guarantor from Commissioner Gurgaon prior to the ExpiryDate shall survive the expiry of this Guarantee till such time that all the moneys payableunder this Guarantee by the Guarantor to Commissioner Gurgaon.

5. In order to give effect to this Guarantee Commissioner Gurgaon shall be entitled to treatthe Guarantor as the principal debtor and the obligations of the Guarantor shall not beaffected by any variations in the terms and conditions of the Agreement or otherdocuments by Commissioner Gurgaon or by the extension of time of performancegranted to the Contractor or any postponement for any time of the power exercisable byCommissioner Gurgaon against the Contractor or forebear or enforce any of the termsand conditions of the Agreement and we shall not be relieved from our obligationsunder this Guarantee on account of any such variation, extension, forbearance oromission on the part of Commissioner Gurgaon or any indulgence by CommissionerGurgaon to the Contractor to give such matter or thing whatsoever which under the lawrelating to sureties would but for this provision have effect of so relieving us.

6. This Guarantee shall be irrevocable and shall remain in full force and effect until all ourobligations under this guarantee are duly discharged.

7. The Guarantor has power to issue this guarantee and the undersigned is duly authorizedto execute this Guarantee pursuant to the power granted under ______________.
