LA SOCIETĂŢILE COMERCIALE

Abstract: Necesitatea majorării capitalului
social al societăţilor comerciale poate avea cauze
multiple: dificultăţi financiare, extinderea obiectului
de activitate, extinderea teritorială a societăţii,
achiziţionarea de instalaţii, utilaje, tehnologii,
fuziunea şi divizarea societăţii etc. Majorarea
capitalului social poate fi impusă şi de reglementările
legale în cazul în care, prin hotărâre a guvernului, se
modific plafonul minim al capitalului social. (art. 10
din Legea nr.31/1990)..
Acest articol vizează tratarea procedurii și a
modalităţilor de realizare a creşterii cotei capitalul
societăţilor comerciale, potrivit prevederilor Legii nr
31/1990, care reprezintă legea comună în domeniul
societăţilor comerciale (1).

Introducere:
Capitalul social este definit ca suma
tuturor aporturilor efectuate de asociați în
vederea constituirii și funcționarii
unei societăți comerciale (Legea nr.
31/1990).
Acesta are o dublă semnificație atât
juridică cât și contabilă. Din punct de vedere
juridic, capitalul social reprezintă gajul
general al creditorilor, iar din punct de
vedere contabil acesta se distinge de activul
patrimonial al societății. În momentul
constituirii societății, capitalul social este
egal cu activul patrimonial, însă pe măsură
ce societatea obține profit, activul
patrimonial depășește capitalul social.
Capitalul social este format din
aporturile tuturor asociaților. Măsura în care
asociații contribuie la formarea capitalului
CHANGING THE SHARE CAPITAL IN
COMMERCIAL COMPANIES

Abstract: The need to increase the share
capital of companies may have multiple causes:
financial difficulties, expansion of the scope of
business, territorial expansion of the company,
purchase of plant, machinery, technology, merger and
division of the company, etc. The increase of the share
capital can also be imposed by the legal regulations
if, by Government decision, the minimum share
capital is changed. (Article 10 of Law no. 31/1990).
This article deals with the treatment of the
procedure and the ways of achieving the share capital
increase of commercial companies, according to the
provisions of Law no. 31/1990, which is the common
law in the field of commercial companies (O.
Tanasita, 2017).

Introduction:
The share capital is defined as the
sum of all contributions made by the
associates for the establishment and
operation of a commercial company (Law
no. 31/1990).
It has a dual legal and accounting
significance. From a legal point of view,
social capital is the general lien of the
creditors, and from an accounting point of
view it is distinguished from the
patrimonial assets of the company. When
society is established, social capital is
equal to the patrimonial asset, but as the
company generates profits, the patrimonial
asset exceeds the share capital.
The share capital consists of the
contributions of all the associates. The
extent to which the associates contribute to

vigoare instituie următoarele plafoane

și societatea în comandită pe acțiuni
Prin legi speciale se pot institui alte
plafoane minime necesare constituirii și
funcționării altor tipuri de societăți. Astfel, în
conformitate cu legislația bancară în vigoare
o societate bancară, deși se constituie sub
forma unei societăți pe acțiuni, trebuie să
dispună de un capital social de
minim 37.000.000 RON.
Cum se formează capitalul social?
Capitalul social se poate forma prin
subscripție instantanee - situație în care
membri fondatori aportează integral la
capital sumele subscrise, sau prin subscripție
continuată caz în care completarea
capitalului social se face în baza
unui prospect de emisiune.
Legea mai face diferența dintre
capitalul social subscris și cel vărsat.
Capitalul social subscris este cel la care s-au
obligat asociații să-l pună în comun în
folosul societății. Cuantumul acestuia se
stabilește în actul constitutiv al societății și

Law 31/1990, as amended,
establishes the following minimum
company capital caps.
• 200 RON - for the Limited
Liability Company (S.R.L.)
• 90,000 RON - the joint stock
company and the joint stock company
By special laws, other minimum
ceilings may be set for the establishment
and operation of other types of companies.
Thus, according to the banking legislation
in force, a banking company, although it is
formed in the form of a joint stock
company, must have a share capital of at
least 37,000,000 RON.
How do social capital form? The
share capital can be formed by
instantaneous subscription - where the
founding members fully subscribe to the
subscribed capital, or by continued
subscription, in which case the social
capital is made on the basis of a
prospectus.
The law also makes the difference
between subscribed and paid-up share
capital. Subscribed share capital is the one
for which associates have been obliged to
share it for the benefit of the company. Its
amount shall be established in the
company's constitutive act and shall not be
lower than the legal minimum. For
example, A and B associates decide to set
up the X-share company. In the

nu poate fi mai mic decât plafonul minim
legal. De exemplu, A și B asociați hotărăsc
înființarea societății X pe acțiuni. În actul
constitutiv convin ca să subscrie un capital
social de 100.000 RON, din care varsă
efectiv în contul societății 40.000 RON.
Suma intrată efectiv în capitalul societății
reprezintă un capital social vărsat, iar suma
totală la care s-au obligat asociații să o aducă
în contul societății reprezintă capital social
subscris. În cazul societăților comerciale pe
acțiuni, capitalul social vărsat nu poate fi mai
mic de 30% din capitalul social subscris.
Societatea în nume colectiv, societatea în
comandită simplă și societatea cu răspundere
limitată sunt obligate să verse integral la data
constituirii capitalul social subscris.
Aşadar, Legea nr. 31/1990 reprezintă
dreptul comun în materia societăţilor
comerciale, indiferent de obiectul de
activitate al entităţii. Acest act normativ se
aplică atât societăţilor destinate activităţilor
comerciale cu participare autohtonă cât şi
societăţilor destinate activităţii comerciale cu
participare străină (Ş. Mihăită,
A.D.Dumitrescu, 2013).
Modalităţi de modificarea
capitalului social al societăţilor comerciale
În anumite cazuri, asociaţii în propun
să reducă sau să crească capitalul social al
societăţii deţinute. Cum se poate face acest
lucru?
Majorarea capitalului social se face
în funcţie de tipul de societate comercială
deţinut. Astfel, în cadrul unei societăţi
comerciale pe acţiuni, majorarea capitalului
social, ca şi reducerea sau reîntregirea
acestuia prin emisiunea unor noi acţiuni, se
realizează prin hotărârea adunării generale
extraordinare, respectând dispoziţiile
prevăzute pentru constituirea societăţii. Cu
toate acestea, capacitatea de a majora
capitalul social al unei societăţi comerciale
pe acţiuni. poate fi delegata si consiliului de
administraţie, respectiv directoratului, prin
hotărârea adunării generale extraordinare sau
prin actul constitutiv. In cazul societăţilor

participation (Ş Mihăită, A.D.Dumitrescu,
2013).
Methods of modifying the share
capital of commercial companies.
In some cases, associates are
proposing to reduce or increase the share
capital of the company held. How can this
be done?
The share capital increase is based
on the type of company owned. Thus,
within a joint stock company, the increase
of the share capital, as well as its reduction
or reintegration through the issuance of
new shares, shall be made by the decision
of the extraordinary general meeting,
observing the provisions stipulated for the
constitution of the company. However, the
ability to increase the share capital of a
joint stock company. May also be
delegated to the board of directors,
respectively to the management, by the
decision of the extraordinary general
assembly or by the constitutive act. In the

comerciale cu răspundere limitată, lucrurile
stau puţin diferit. In societăţile cu răspundere
limitată, modificarea capitalului social
presupune votul tuturor asociaţilor,
exceptând situaţiile în care legea sau actul
constitutiv prevăd dispoziţii contrare.
Majorarea capitalului social se poate
realiza prin emisiunea unor acţiuni noi ori
prin majorarea valorii nominale a acţiunilor
deja existente, în schimbul unor aporturi noi
în numerar şi/sau în natura.
Majorarea capitalului social al unei
societăţi se poate realiza, în cazul emiterii
unor noi acţiuni, fără aporturi noi, astfel:
a) prin încorporarea rezervelor,
exceptând rezervele legale, astfel ca vor fi

b) prin încorporarea beneficiilor sau a
primelor de emisiune;
c) prin compensarea unor anumite
creanţe lichide si exigibile asupra societăţii,
cu acţiuni ale acesteia.
De asemenea, majorarea capitalului
social prin majorarea valorii nominale a
acţiunilor deja existente se poate realiza prin
aceleaşi metode enumerate mai sus. Aceasta
modalitate de modificare a capitalului social
se poate realiza numai cu votul tuturor
acţionarilor, exceptând situaţia în care se
realizează prin încorporarea rezervelor, a
beneficiilor ori a primelor de emisiune.
Documentele necesare pentru a
înregistra menţiunea referitoare la majorarea
capitalului social al unei societăţi sunt
următoarele:
a) cererea de înregistrare în original;
b) actul modificator al actului
constitutiv, si anume hotărârea adunării
generale a asociaţilor/acţionarilor ori decizia
asociatului unic, a consiliului de
administraţie sau a directoratului, ori actul
adiţional la actul constitutive, în original;
c) dovada dreptului de proprietate al
acţionarului/asociatului asupra aportului în
natura, în copie certificată;
d) originalul raportului de evaluare
care este întocmit de către expertul desemnat

Also, the increase of the share
capital by increasing the nominal value of

modifying the share capital can only be

unless it is achieved by incorporating
reserves, benefits or premiums.
The documents necessary to record
the mention of the increase of the share
capital of a company are the following:
a) the application for original
registration;
b) the amending act of the
constitutive act, namely the decision of the
general meeting of the shareholders /
shareholders or the decision of the sole
shareholder, of the board of directors or the
directorate, or the addendum to the
constitutive act, in the original;
c) proof of ownership of the
shareholder / associate on the contribution
in kind, in certified copy;
d) the original of the evaluation

de directorul Oficiului Registrului comerţului
de pe lângă Tribunal şi/sau persoana sau
persoanele care au fost desemnate;
e) copie după dovada efectuării
vărsămintelor aporturilor la capitalul;
f) actul constitutiv actualizat;
g) prospectul de emisiune cuprinzând
semnăturile a doi dintre administratori sau a
doi membri ai directoratului, în cazul
subscripţiei publice.
In cazul în care intervine necesitatea
reducerii capitalului social, acesta se poate
realiza fie prin micşorarea numărului de
acţiuni/părţi sociale, fie prin reducerea
valorii nominale a acţiunilor/părţilor sociale,
fie prin obţinerea propriilor acţiuni şi
anularea ulterioara a acestora.
In situaţia în care reducerea
capitalului social a unei societăţi nu este
motivată de anumite pierderi, aceasta mai
poate fi întreprinsă prin:
a) scutirea totală/parţială a asociaţilor
de vărsămintele pe care le datorează;
b) restituţia către acţionari a unei
cote-părţi din aporturi, proporţional cu
reducerea capitalului social; aceasta cota-
parte se calculează egal pentru fiecare
acţiune/parte socială;
c) alte modalităţi prevăzute de lege.
Reducerea capitalului social poate fi
realizată doar după trecerea a doua luni
calculate din ziua în care hotărârea a fost
publicată în Monitorul Oficial al României,
Partea a IV-a. Aceasta hotărâre trebuie să
respecte pragul minim de capital social în
situaţia în care este fixat de lege, şi să arate
argumentele care stau la baza reducerii
capitalului social, precum şi a procedeului
care urmează a fi utilizat pentru efectuarea
sa.
Documentele care sunt necesare
pentru înregistrarea menţiunii privind
reducerea capitalului social al societăţilor
sunt:
a) cererea de depunere şi de
menţionare acte, regăsită pe site-ul oficial al
ONRC;
b) hotărârea adunării generale a
report drawn up by the expert appointed by
the Director of the Trade Registry Office
attached to the Tribunal and / or the person
or persons who have been appointed;
e) a copy of the proof of payment of
contributions to the capital;
f) updated act;
g) issuance prospectus containing
the signatures of two of the directors or
two members of the directorate in case of
public subscription.
If there is a need to reduce the
share capital, it can be achieved either by
reducing the number of shares / shares or
by reducing the nominal value of the shares
/ shares, or by obtaining their own shares
and subsequently canceling them.
If the reduction in the share capital
of a company is not motivated by certain
losses, it can still be done by:
a) the total / partial exemption of
associates from the payments they owe;
b) restitution to the shareholders of
a share of the contributions, in proportion
to the reduction of the share capital; this
share is calculated equally for each share /
share;
c) other ways provided by law.
The reduction of the share capital
can be achieved only after the passing of
the two months calculated from the day the
decision was published in the Official
Gazette of Romania, Part IV. This
judgment must comply with the minimum
social capital threshold as set out by law
and show the arguments underlying the
reduction of the share capital and the
process to be used for its performance.
The documents necessary for the
registration of the mention of the reduction
of the share capital of the companies are:
a) the request for submission and
mention of documents, found on the ONRC
official site;
b) the decision of the general
meeting of the shareholders/shareholders or
the decision of the sole shareholder, in the
original;

asociaţilor/acţionarilor ori decizia asociatului
unic, în original;
c) Împuternicire avocaţială pentru
persoanele care sunt desemnate să
îndeplinească toate formalităţile legale, daca
este cazul;
d) dovada achitării taxelor sau a
tarifelor legale.
e) cererea de înregistrare, în original;
f) actul modificator al actului
constitutive, în original;
g) extras din Monitorul Oficial al
României, Partea a IV – a, în care a fost
publicată hotărârea de reducere a capitalului
social;
h) actul constitutiv actualizat, în
original.
În continuare ne vom referi la
necesitatea şi modalităţile de majorare a
capitalului social, mult mai întâlnită în
jurisprudenţa românească.
Necesitatea măririi capitalului social
al societăţilor comerciale poate fi
determinată în diferite stadii ale ciclului de
viaţă al activităţii societăţii fie din
necesitatea de dezvoltare, fie pentru a
înlătura unele dificultăţi financiare (pentru
societate, procurarea de fonduri financiare
prin mărirea capitalului social este mai puţin
împovărătoare decât împrumutul bancar sau
emiterea de obligaţiuni.) ori necesitatea
reevaluării patrimoniului societăţii. În plus,
Legea nr. 31/1990 prin art. 10 prevede, de
asemenea, că majorarea capitalului social al
societăţii poate fi impusă de lege, atunci
când, prin hotărâre a guvernului, se modifică
plafonul minim al capitalului social (S.D.
Cărpenaru, 2012).
Majorarea capitalului social este o
practică uzuală a societăților comerciale,
înregistrată destul de des la Oficiul Național
al Registrului Comerțului (ONRC). De altfel,
majorarea capitalului social la cel puțin
45.000 de lei, reprezentând plafonul minim
de la care o firmă poate opta pentru plata
impozitului pe profit, în detrimentul celui pe
veniturile microîntreprinderilor, a fost aleasă
în ultima perioadă de numeroase companii ce

Next, we will refer to the necessity
and modalities of increasing the share
capital, much more common in the
Romanian jurisprudence.
The need to increase the share
capital of commercial companies can be
determined at different stages of the life
cycle of the company's activity either from
the need to develop or to remove some
financial difficulties (for society, the
acquisition of financial funds by increasing
the share capital is less burdensome than
bank loan or bond issue) or the need to
reassess the company's patrimony. In
addition, Law no. 31/1990 by art. 10 also
stipulates that the increase of the social
capital of the company may be imposed by
law, when, by Government decision, the
minimum share capital limit is changed
(S.D.Carpenaru, 2012).
Increasing the share capital is a
common practice of commercial
companies, registered quite often by the
National Trade Register Office (ONRC). In
fact, the increase of the share capital to at
least 45,000 RON, representing the
minimum ceiling from which a company
can opt for the payment of the corporate
tax, to the detriment of the one on the
incomes of micro-enterprises, was chosen
lately by many companies that should
apply from now on taxing micro-
entrepreneurs' income as a result of raising
the revenue ceiling for the previous fiscal
year from 100,000 to 500,000 euros.

ar trebui să aplice de-acum impozitarea pe
veniturile microîntrepriderilor, ca urmare a
majorării plafonului de venituri pe anul fiscal
anterior de la 100.000 la 500.000 de euro.
Practic, majorarea capitalului social până la
valoarea amintită reprezintă portița oferită de
legislație firmelor care vor să rămână la
impozit pe profit și începând din februarie.
Regimul fiscal aplicabil
microîntreprinderilor a cunoscut modificări
semnificative la început de 2017, iar una
dintre cele mai importante prevederi
stabilește majorarea plafonului până la care
o persoană juridică se poate înscrie ca
microîntreprindere, de la 100.000 la 500.000
de euro.
Astfel, societățile comerciale cu
capital privat care au realizat venituri de
până la 500.000 de euro în 2016 sunt
obligate să își modifice sistemul de
impunere, devenind plătitoare de impozit pe
veniturile microîntreprinderilor, din luna
februarie.
Cu o excepție însă, regăsită în
sistemul fiscal chiar de la 1 ianuarie 2017.
Concret, plafonul capitalului social la
înființare, în funcție de care se
poate alege între aplicarea impozitului pe
profit și a celui pe veniturile
microîntreprinderilor a scăzut de la 25.000
de euro (aproximativ 112.000 de lei)
la 45.000 de lei (aproximativ 10.000 de
euro).
În plus, opțiunea firmelor de a deveni
plătitoare de impozit pe profit este valabilă și
în cazul entităților care își completează pe
parcurs capitalul social, până cel puţin la
noul nivel fixat, adică 45.000 de lei.
De altfel, aceasta a fost
și opțiunea aleasă de multe companii ce ar fi
trebuit să aplice impozitul pe profit, raportat
la veniturile totale înregistrate anul trecut.
Pentru a înțelege mai bine, să luăm
exemplul unei firme plătitoare de impozit
pe profit, care la finalul lui 2016 a
înregistrat venituri de peste 100.000 de
euro, dar până în 500.000 de euro, și care,
totodată, avea în ianuarie 2017 un capital

In fact, this was also the option
chosen by many companies that would
have had to apply the corporate tax on total
revenues recorded last year.
To better understand, let's take the
example of a corporation taxing
corporation, which at the end of 2016 had
revenue of over 100,000 euros, but up to
500,000 euros, and at the same time had in
January 2017 a share capital of at least
45,000 RON.
Thus, in order to remain in profit
tax and starting with February 2017, the
representatives of the company had to
submit first the form 010 "Tax Registration
/ Mentions Statement" (the deadline for
submission is Monday), in which they will

Astfel, pentru a rămâne la impozit pe
profit și din februarie 2017 începând,
reprezentanții firmei au trebuit să depună mai
întâi formularul 010 „Declarație de
înregistrare fiscală/de mențiuni" (termenul-
limită de depunere este luni), în care vor face
referire că veniturile realizate anul trecut au
fost cuprinse între 100.000 și 500.000 de
euro.
Informația de mai sus a fost
confirmată de experţi contabili și managing
partneri la Accountable (R. Ene, 2017), care
au explicat și cum trebuie să procedeze
societățile ulterior depunerii formularului de
mențiuni 010, pentru rămânerea la impozit
pe profit, ca urmare a îndeplinirii condiției de
a avea un capital social de cel puțin 45.000
de lei. "Apoi (ulterior depunerii
formularului 010), societatea își poate
exercita opțiunea de a trece din nou la
impozit pe profit începând cu trimestrul I din
2017, deoarece are capitalul social de cel
puțin 45.000 de lei, depunând din nou
declarația 010", au arătat specialiştii.
Totodată, ei au punctat că formularul
menționat va trebui însoțit, cel mai probabil,
de o balanță contabilă și înregistrarea de
mențiuni de la Registrul comerțului.
Așadar, pentru a rămâne la impozitul
pe profit, firmele aflate în situația de mai
sus trebuie să depună de două ori formularul
010. Mai întâi pentru trecerea de la impozit
pe profit la impozit „micro”, iar apoi în sens
invers, adică pentru revenirea de la impozit
„micro” la impozit pe profit.
Ce se întâmplă însă cu firmele care
au ales majorarea capitalului social, până la
plafonul menționat, pe parcursul lunii în
curs?
Concret, și acestea vor putea opta
pentru aplicarea în continuare a impozitului
pe profit.
Specialiştii în domeniu (R. Enea,
2017) au spus că varianta majorării
capitalului social în februarie 2017, pentru a
putea beneficia și de-acum încolo de
aplicarea impozitului pe profit, a fost aleasă

So, in order to remain in profit tax,
the companies in the above situation have
to submit the form 010 twice. First, for the
change from the tax on profit to the
"micro" tax, and then in the opposite
direction, ie for the return from „micro” tax
to profit tax.
But what happens to the companies
that chose the share capital increase up to
the ceiling, during the current month?
In particular, they will also be able
to opt for further taxing profit.
The specialists in the field (R. Ene,
2017) said that the variation of the share
capital increase in February 2017, in order
to benefit from the profit tax, was chosen
by many local firms, especially those who
business activity, online trade, small profit
margins, and companies that have incurred
losses in previous years and want to
recover their amount now. „These
companies will file the 010 statement of
claim and will become a taxpayer starting
with the quarter in which this condition is
met. The option is final provided that the
value of the share capital is maintained for
the entire life of the respective legal

de numeroase firme autohtone, în special
cele care au ca obiect de activitate comerțul,
comerțul online, activitățile cu marje mici de
profit, precum și firmele care au înregistrat
pierderi în anii precedenți și vor să
recupereze acum cuantumul acestora.
"Aceste societăți vor depune
declarația de mențiuni 010 și vor redeveni
plătitoare de impozit pe profit începând cu
trimestrul în care această condiție este
îndeplinită. Opţiunea este definitivă, cu
condiţia menţinerii valorii capitalului social
pentru întreaga perioadă de existenţă a
persoanei juridice respective", a precizat
expertul contabil.
În cazul în care condiția capitalului
social de minimum 45.000 de lei nu mai este
îndeplinită, firma în cauză va aplica
impozitul "micro" începând cu anul fiscal
următor celui în care capitalul social este
redus sub valoarea amintită.
Motivele pentru care ar alege firmele
păstrarea impozitării pe profit.
Pe lângă majorarea la 500.000 de
euro a plafonului până la care se poate aplica
regimul microîntreprinderilor, începutul lui
2017 a adus și o cotă de impozitare
de 1% pentru microîntreprinderile care
au cel puţin un salariat angajat în baza unui
contract de muncă, în condiţiile în care,
anterior, întreprinderile cu un singur salariat
aplicau o cotă de impozitare de 2%. Cât
despre microîntreprinderile fără salariați,
acestea aplică în continuare o cotă de
impozitare de 3%.
Astfel, chiar dacă există o serie de
motive pentru care microîntreprinderea poate
fi considerată forma de organizare cea mai
avantajoasă din punct de vedere
fiscal, această formă de impozitare poate
impune anumitor firme o sarcină fiscală mai
mare decât dacă ar plăti impozit în funcţie
de profit.

înregistrează pierderi sunt afectate negativ
pentru că sunt forţate sa plătească un impozit
de 1 sau 3% (aşa cum am arătat mai sus) din
veniturile lor, comparativ cu zero lei, cât ar

Reasons why companies would
choose to keep profit tax.
In addition to raising the ceiling to
500,000 euros for the micro-enterprise
scheme, the start of 2017 also brought a
1% tax rate for micro-enterprises with at
least one employee hired under an
employment contract, under the conditions
which, previously, single-employee
enterprises applied a tax rate of 2%. As for
micro-enterprises without employees, they
still apply a tax rate of 3%.
Thus, even if there are a number of
reasons why a micro-enterprise can be
considered the most advantageous form of
tax organization, this form of taxation may
impose on certain firms a higher tax burden
than if they pay income tax on profits.
For example, loss-making firms are
negatively affected because they are forced
to pay a 1 or 3% tax (as we have shown
above) of their income, compared to zero
lei, as they would pay because their
businesses do not make a profit .
Moreover, companies with a small
turnover and with a taxable profit margin
of less than a certain percentage can
financially suffer as a micro-enterprise
because they have to pay a higher tax than
if they were remains corporate tax. That's
why some companies want to keep profit
tax, to the detriment of the one on micro-
enterprise income.
How to increase equity? The
procedure for increasing the share capital is
stipulated in the Company Law no.
31/1990, which stipulates that both in the
case of joint stock companies and limited
liability companies (LLC), the share capital
may be increased by issuing new shares or
by increasing the nominal value of the

plati pentru că afacerile lor nu aduc profit.
Mai mult, companiile care au o cifră
de afaceri mică şi care au o marjă a profitului
impozabil mai mică de un anumit procent pot
suferi financiar de pe urma impunerii ca
microîntreprindere pentru că sunt nevoite să
achite un impozit mai mare decât în situaţia
în care ar rămâne plătitoare de impozit pe
profit. Tocmai de aceea, unele firme doresc
să păstreze impozitul pe profit, în
detrimentul celui pe veniturile
microîntreprinderilor.
Cum se majorează capitalul social.
Procedura de majorare a
capitalului social este prevăzută în Legea
societăţilor nr. 31/1990, act normativ care
prevede că, atât în cazul societăților pe
acțiuni (SA), cât și în cazul societăților cu
răspundere limitată (SRL), capitalul social se
poate majora prin emisiunea de acțiuni
noi sau prin majorarea valorii nominale a
acțiunilor existente în schimbul unor noi
aporturi în numerar și/sau în natură.
Acţiunile noi sunt liberate prin încorporarea
rezervelor, cu excepţia rezervelor legale,
precum şi a beneficiilor sau a primelor de
emisiune, ori prin compensarea unor creanţe
lichide şi exigibile asupra societăţii cu
acţiuni ale acesteia.
Cât privește mărirea capitalului social
prin majorarea valorii nominale a
acțiunilor, conform Legii societăților,
aceasta „poate fi hotărâtă numai cu votul
tuturor acționarilor, în afară de cazul când
este realizată prin încorporarea rezervelor,
beneficiilor sau primelor de emisiune”.
Procedura în cazul societăților pe
acțiuni este mai stufoasă, iar legea în vigoare
stipulează că, în acest caz, majorarea
capitalului social poate fi făcută cu
respectarea dispoziţiilor prevăzute pentru
constituirea societăţii.
Dacă majorarea capitalului social se
face prin aporturi în natură, adunarea
generală care a hotărât aceasta va propune
judecătorului-delegat numirea unuia sau mai
multor experţi pentru evaluarea acestor
aporturi, în condiţiile art. 38 şi 39 din Legea
existing shares in exchange for new

increase of the share capital by increasing
the nominal value of the shares, according
to the Companies Law, „it can be decided
only with the vote of all shareholders,
unless it is realized by incorporating the
reserves, benefits or emission premiums”.
The procedure for joint-stock
companies is more robust and the law in
force stipulates that in this case the
increase in the share capital can be made in
compliance with the provisions for the
constitution of the company.
If the increase of the share capital is
made by contributions in kind, the general
meeting that has decided this will propose
to the delegated judge the appointment of
one or more experts for the evaluation of
these contributions, under the conditions of
art. 38 and 39 of the Companies Act.

După depunerea raportului de
expertiză și în baza concluziilor
experților, adunarea generală extraordinară
poate hotărî majorarea capitalului
social. Hotărârea adunării generale trebuie să
cuprindă descrierea aporturilor în natură,
numele persoanelor ce le efectuează şi
numărul acţiunilor ce se vor emite în schimb.
Conform legii, acţiunile emise pentru
majorarea capitalului social vor fi oferite
spre subscriere, în primul rând acţionarilor
existenţi, proporţional cu numărul acţiunilor
pe care le posedă.
Exercitarea dreptului de preferinţă se
va putea realiza numai în cadrul termenului
hotărât de adunarea generală sau de consiliul
de administraţie, dacă actul constitutiv nu
prevede alt termen. În toate situaţiile,
termenul acordat pentru exercitarea
drepturilor de preferinţă nu poate fi mai mic
de o lună de la data publicării hotărârii
adunării generale, respectiv a deciziei
consiliului de administraţie/directoratului, în
Monitorul Oficial al României, Partea a IV-a.
După expirarea acestui termen, acţiunile vor
putea fi oferite spre subscriere publicului. De
aceea, stipulează legea, orice majorare a
capitalului social efectuată fără a fi publicată
în prealabil în Monitor este anulabilă.
Hotărârea adunării generale privind
majorarea capitalului social
produce efecte numai în măsura în care este
adusă la îndeplinire în termen de un an de
la data adoptării.

Exercise of the right of preference

expiration of this deadline, the shares will
be offered for subscription to the public.
That is why, stipulates the law, any
increase of the registered share capital
without being previously published in
Monitor is void.
The decision of the General
Meeting on the increase of the share capital
shall take effect only in so far as it is
carried out within one year from the date of
its adoption.
Shares issued in exchange for cash
contributions shall be paid at the date of
subscription at least 30% of their nominal
value and, in full, no more than three years
from the date of publication in the Official
Gazette of Romania, Part IV the decision
of the general meeting. Also in the three-
year period, shares issued in exchange for
contributions in kind will have to be paid.
What contains the file to be filed
with the Trade Registry? Associates or
directors must submit to the Trade Registry
a series of acts to record the mention of the
increase of the share capital of a company.
The file must contain:
• the application for registration in
the original;
• act amending the constitutive act
in its original;

Acţiunile emise în schimbul
aporturilor în numerar vor trebui plătite, la
data subscrierii, în proporţie de cel
puţin 30% din valoarea lor nominală şi,
integral, în termen de cel mult trei ani de la
data publicării în Monitorul Oficial al
României, Partea a IV-a, a hotărârii adunării
generale. Tot în cel mult trei ani vor trebui
plătite acţiunile emise în schimbul
aporturilor în natură.
Ce conține dosarul care se depune la
Registrul Comerțului
Asociații sau administratorii trebuie
să depună la registrul comerțului o serie de
acte pentru înregistrarea mențiunii privind
majorarea capitalului social al unei societăți.
Dosarul trebuie să conțină:
cererea de înregistrare, în
original;
actul care modifică actul
constitutiv, în original;
dovada dreptului de
proprietate al
asociatului/acționarului/membrului persoanei
juridice asupra aportului în natură (fotocopie
certificată). Dacă aportul reprezintă un
imobil, se atașează și extrasul de carte
funciară în original. Pentru aporturile în
numerar este necesară foaia de vărsământ,
ordin de plată sau chitanța CEC. Iar pentru
aporturile în natură subscrise la capitalul
social trebuie depus la dosar titlul de
proprietate, inclusiv certificatul de sarcini al
bunurilor. În cazul unei SRL cu asociat unic
se atașează și raportul de evaluare a
bunurilor, întocmit de persoane autorizate;
raportul de evaluare întocmit
de expertul desemnat de directorul oficiului
registrului comerțului de pe lângă tribunal
și/sau persoana sau persoanele desemnate, în
original. În cazul SRL-urilor constituite cu
asociat unic, dacă există aporturi în natură, se
solicită în prealabil numirea de către
directorul oficiului registrului comerțului de
pe lângă tribunal și/sau persoana sau
persoanele desemnate a unui expert contabil
pentru evaluarea acestora. În acest caz, se
plătește taxa de registru;
• Proof of the ownership right of the

the original. In the case of LLCs
established with a single associate, if there
are contributions in kind, the Director of
the Trade Register Office before the
tribunal and / or the designated person or
persons of an accounting expert for their
valuation shall be required in advance. In
this case, the registry fee is paid;
• an important document to be filed
is the one that proves the payment of the
contributions to the social capital
(photocopies). For cash contributions, the
bill of exchange, payment order, CEC
receipt, etc. are deposited. For in-kind
contributions, the file will contain the title
of ownership indicating that the associates
/ shareholders are the holders of ownership
of the assets in kind contributed to the
share capital and the expert report on the
valuation of contributions in kind, prepared
by the authorized persons (photocopies) .
In the case of contributions in liquid and
due receivables, held by associates or
shareholders, constituted through full and
simultaneous underwriting: debt securities,
expert's report, administrators and auditors
report. In order to increase the share capital
by incorporating reserves, benefits or
emission premiums, the balance sheet or,
where appropriate, the certified balance

face dovada efectuării vărsămintelor
aporturilor la capitalul social (fotocopii).
Pentru aporturile în numerar se depune foaia
de vărsământ, ordin de plată, chitanță CEC
etc. Pentru aporturile în natură, dosarul va
conține titlul de proprietate din care să
rezulte că asociaţii/acţionarii sunt titularii
dreptului de proprietate asupra bunurilor în
natură aportate la capitalul social şi raportul
de expertiză privind evaluarea aporturilor în
natură, întocmit de către persoanele
autorizate (fotocopii). În cazul aporturilor în
creanțe lichide și exigibile, deținute de
asociați sau acționari, constituite prin
subscriere integrală și simultană: titlurile de
creanță, raportul de expertiză, raportul
administratorilor și cenzorilor. Pentru
majorarea capitalului social prin încorporarea
rezervelor, a beneficiilor sau a primelor de
emisiune se mai depun: bilanţul contabil sau,
după caz, balanţa contabilă de verificare
certificate către persoanele autorizate,
potrivit legii, iar în cazul SA şi SCA raportul
cenzorilor şi administratorilor;
actul constitutiv actualizat este
un document obligatoriu ce trebuie depus la
dosar în cazul unei majorări de capital.
Desigur, înregistrarea mențiunii
privind majorarea capitalului social
presupune și plata unor taxe la registrul
comerțului. De la 1 februarie 2017 însă, o
astfel de operațiune se face mult mai ușor și
mai ieftin, în condițiile în care la acea dată au
fost eliminate de la plată tarifele
percepute pentru înscrierea de mențiuni
simple, a căror valoare era de 45 de lei.
Totodată, la ONRC nu se mai percep,
de la 1 februariei începând, taxele pentru
cererile de menţiuni complexe, în cuantum
de 220 de lei, rămânând valabilă
plata tarifului de publicare în Monitorul
Oficial, Partea a IV-a.
Cazuri particulare
În cazul majorării capitalului social al
unei societăți se întâlnesc și unele cazuri
particulare. Dacă este cazul, în astfel de

Particular cases
In the event of a company's share
capital increase, some particular cases also
occur. If appropriate, in such cases, the file
submitted to the ONRC will contain other
documents as follows:
• the decision of the general
meeting of the shareholders limiting or
raising the right of preference, for
publication in the Official Gazette and
mention in the trade register;
• the decision of the board of
directors / directorate to reduce or remove
the right of preference of the existing
shareholders, for publication in the Official
Gazette;
• financial statements and the
balance sheet for the increase of the share
capital by incorporating the reserves /
benefits / emission premiums (photocopy);
• the document proving the claim,
the financial statements and the balance, as
the case may be, if the increase of the share
capital is made by converting certain,
liquid and exigible receivables on the
company (photocopy);

ridică dreptul de preferinţă, pentru
publicare în Monitorul Oficial şi menţionare
în registrul comerţului;
decizia consiliului de
administraţie/directoratului de restrângere
sau ridicare a dreptului de preferinţă al
acţionarilor existenţi, pentru publicare în
Monitorul Oficial;
situaţiile financiare şi
balanţa în cazul majorării capitalului social
prin încorporarea
rezervelor/beneficiilor/primelor de emisiune
(fotocopie);
actul doveditor al creanţei,
situaţiile financiare şi balanţa, după caz, în
situaţia în care majorarea capitalului social se
efectuează prin conversia unor creanţe certe,
lichide şi exigibile asupra societăţii
(fotocopie);
declaraţii pe proprie
răspundere date de către noii asociaţi care
prin majorare au dobândit părţi sociale din
care să rezulte că îndeplinesc condiţiile
legale pentru deţinerea acestor calităţi (în
original);
declaraţia autentică pe propria
răspundere a persoanei fizice cetăţean
străin în nume propriu sau ca reprezentant al
persoanei juridice străine care nu este
înregistrată fiscal în România din care să
rezulte că nu are datorii fiscale (în original şi,
după caz, traducerea făcută de o persoană
autorizată, legalizată la un notar, pentru
asociaţii care intră în societate;
certificat, original sau copie
certificată şi traducerea realizată de un
traducător autorizat a cărui semnătură să fie
legalizată de un notar public, de la registrul
în care este înmatriculată persoana juridică
din străinătate, care să ateste existenţa
acesteia;
avizele prealabile prevăzute de
legile speciale (în original);
împuternicire specială (în

According to the data provided by
ONRC, coprative companies and
agricultural cooperatives wishing to
increase their share capital will record the
entry in the trade register. The amendment
will be published in the Official Gazette
only if and when the law provides, at the
request of the legal representatives or their
empowered representatives. Otherwise, the
settlement of the request falls under the
competence of the director of the Trade
Register Office attached to the tribunal and
/ or the person who may order the
administration of acts other than those
listed
Conclusions:
Therefore, the share capital
increase is based on the type of company
owned. Thus, within a joint stock
company, the increase of the share capital,
as well as its reduction or reintegration

pentru persoanele desemnate să
îndeplinească formalităţile legale (în
original).
Potrivit datelor furnizate de
ONRC, societățile coperative și
cooperativele agricole care vor să-și
majoreze capitalul social vor înregistra
mențiunea în registrul comerțului.
Modificarea va fi publicată în Monitorul
Oficial numai dacă este cazul și atunci când
prevede legea, la cererea reprezentanților
legali sau împuterniciților acestora. Altfel,
soluționarea cererii revine în competența
directorului oficiului registrului comerțului
de pe lângă tribunal și/sau persoanei care
poate dispune administrarea altor acte decât
cele enumerate.
Concluzii:
Aşadar, majorarea capitalului social
se face în funcţie de tipul de societate
comercială deţinut. Astfel, în cadrul unei
societăţi comerciale pe acţiuni, majorarea
capitalului social, ca şi reducerea sau
reîntregirea acestuia prin emisiunea unor noi
acţiuni, se realizează prin hotărârea adunării
generale extraordinare, respectând
dispoziţiile prevăzute pentru constituirea
societăţii. Cu toate acestea, capacitatea de a
majora capitalul social al unei societăţi
comerciale pe acţiuni. poate fi delegata si
consiliului de administraţie, respectiv
directoratului, prin hotărârea adunării
generale extraordinare sau prin actul
constitutiv. In cazul societăţilor comerciale
cu răspundere limitată, lucrurile stau puţin
diferit. In societăţile cu răspundere limitată,
modificarea capitalului social presupune
votul tuturor asociaţilor, exceptând situaţiile
în care legea sau actul constitutiv prevăd
dispoziţii contrare. Majorarea capitalului
social se poate realiza prin emisiunea unor
acţiuni noi ori prin majorarea valorii
nominale a acţiunilor deja existente, în
schimbul unor aporturi noi în numerar şi/sau
în natura. Majorarea capitalului social al unei
societăţi se poate realiza, în cazul emiterii

The increase of the share capital can be
achieved through the issuance of new
shares or by increasing the nominal value
of the already existing shares in exchange
for new cash and / or in kind contributions.
The increase of the share capital of a
company may be made, in case of new
shares, without new contributions, as
follows:
a) by incorporating the reserves,
except for the legal reserves, so that only
the voluntary and statutory reserves will be

c) by offsetting certain liquid and
exigible receivables over the company,
with its shares.
Also, the increase of the share
capital by increasing the nominal value of
the already existing shares can be done by
the same methods listed above. This way of
modifying the share capital can only be
done with the vote of all shareholders,
unless it is achieved by incorporating
reserves, benefits or premiums.
However, the efficiency of the
company's business depends, among many
other factors, on the financial resources at
its disposal. Among the various sources of
funding at the disposal of the company -
new contributions of the associates, loans,

unor noi acţiuni, fără aporturi noi, astfel:
a) prin încorporarea rezervelor,
exceptând rezervele legale, astfel ca vor fi

c) prin compensarea unor anumite
creanţe lichide si exigibile asupra societăţii,
cu acţiuni ale acesteia.
De asemenea, majorarea capitalului
social prin majorarea valorii nominale a
acţiunilor deja existente se poate realiza prin
aceleaşi metode enumerate mai sus. Aceasta
modalitate de modificare a capitalului social
se poate realiza numai cu votul tuturor
acţionarilor, exceptând situaţia în care se
realizează prin încorporarea rezervelor, a
beneficiilor ori a primelor de emisiune.
Eficiența activității societății
comerciale depinde însă, printre mai mulți
alți factori, și de resursele financiare care
stau la dispoziția acesteia. Dintre diversele
surse de finanțare care stau la dispoziția
societății – noi aporturi ale asociaților,
credite, emitere de obligațiuni, venituri din
realizarea unor acte de comerț – majorarea
capitalului este cea mai ieftină și deci cea
mai benefică pentru societate, așa cum se
susține într-o opinie doctrinară (I Schiau, T.
Prescure, 2009).
Operațiunea de majorare a capitalului
social poate fi efectuată printr-o serie de
procedee distincte, „dreptul comun” în acest
caz fiind reprezentat de art. 210 din Legea nr.
31/1990 a societăților:
„(1)Capitalul social se poate mări
prin emisiunea de acțiuni noi sau prin
majorarea valorii nominale a acțiunilor
existente în schimbul unor noi aporturi în
numerar și/sau în natură.
(2)De asemenea, acțiunile noi sunt
liberate prin încorporarea rezervelor, cu
excepția rezervelor legale, precum și a
beneficiilor sau a primelor de emisiune, ori
prin compensarea unor creanțe lichide și
exigibile asupra societății cu acțiuni ale
acesteia.

therefore the most beneficial for society, a
doctrinal opinion (I Schiau, T. Prescure,
2009).
The operation of increasing the
share capital can be done through a series
of distinct procedures, the „common law”
in this case being represented by art. 210 of
Law no. 31/1990 of companies:
„-The share capital may be
increased by issuing new shares or by
increasing the nominal value of existing
shares in exchange for new cash and / or in
kind contributions.
- New shares are also released by
incorporating reserves, except for legal
reserves, as well as premiums or premiums,
or by offsetting liquid and receivables from
the company with its shares.
- Favorable revaluation differences
will be included in reserves without
increasing the share capital.
- The increase of the share capital
by increasing the nominal value of the
shares may be decided only with the vote
of all the shareholders, unless it is realized
by incorporating reserves, bonuses or
premiums”.
In this article, we stopped at several
possibilities of increasing the share capital,
but I did not recall the quite common
situation used by compensating liquid and
exigible receivables in the share capital. In
particular, we can discuss the
transformation of the amount of a loan in
which the company has the capacity of
debtor, in the social capital, with the
issuance of a correlative number of shares
or shares, as the case may be.
Thus, the offsetting of receivables,
expressly stipulated in art. 210 para. (2) the
final sentence of the Companies Act is the
procedure whereby the company decides
that, instead of paying a debt to the
affiliated or third party creditor,
irrespective of the source of that claim
(legal act or act), including bond issue, to

(3)Diferențele favorabile din
reevaluarea patrimoniului vor fi incluse în
rezerve, fără a majora capitalul social.
(4)Mărirea capitalului social prin
majorarea valorii nominale a acțiunilor
poate fi hotărâtă numai cu votul tuturor
acționarilor, în afară de cazul când este
realizată prin încorporarea rezervelor,
beneficiilor sau primelor de emisiune.”
În cadrul acestui articol, ne-am oprit
la mai multe posibilități de majorare a
capitalului social, însă nu am amintit şi
situaţia destul de curentă folosită prin
compensarea unor creanțe lichide și
exigibile, în capital social. În concret, putem
discuta şi despre transformarea sumei dintr-
un împrumut în care compania are calitatea
de debitor, în capital social, cu emiterea unui
număr corelativ de părți sociale sau de
acțiuni, după caz.
Astfel, compensarea de creanțe,
prevazută expres la art. 210 alin. (2) teza
finală din Legea societăților, este acea
procedură prin care societatea hotărăște ca,
în loc de a plăti o datorie a societății către un
creditor al său – asociat sau terț – indiferent
de izvorul respectivei creanțe (act sau fapt
juridic), inclusiv emisiunea de obligațiuni, să
ofere acestuia „în schimb” titluri de
participare nou emise (S. Bodu, 2016).
Operațiunea nu este dintre cele mai des
întâlnite în practică, însă se poate apela la ea,
de exemplu, în cazul în care societatea are de
stins un debit pe care altfel i-ar fi greu să îl
stingă.
Din punct de vedere tehnic, majorarea
capitalului social prin compensarea creanței
se efectuează printr-o operațiune contabilă de
virare a unor sume de bani între conturile de
pasiv ale societății.
Sub aspectul modalității de majorare,
acest tip de creștere a capitalului social se
realizează exclusiv prin emiterea de noi
acțiuni (sau părți sociale) în patrimoniul
persoanei al cărei împrumut va fi stins.
Împrumutul poate fi stins în totalitate, sau
doar parțial, neexistând nicio dispoziție
legislativă care să oblige la stingerea totală a

increase of the share capital through the
offsetting of the receivable is carried out
through an accounting operation of
transferring amounts of money between the
company's liabilities accounts.
From the point of view of the
method of increase, this type of increase of
the share capital is made exclusively by the
issuance of new shares (or shares) in the
patrimony of the person whose loan will be
extinguished. The loan may be
extinguished altogether, or only partially,
and there is no legislative provision
obliging the total debt to be extinguished.
From the procedural point of view,
the registration of the operation in the
Trade Registry, the file, besides the
decision of the general meeting that makes
the decision, and the updated act of
incorporation, will contain also the
document of the receivable, the financial
statements and the accompanying brochure
(onrc.ro) the general meeting will have to
have several points, including the issue of
new shares or shares, and the decision to
clear the debt, showing the change in the
share capital structure. In the file, the loan
contract must also be filed, and the amount
in question must be expressly made out of
the financial statements to be submitted.
So it is important to bear in mind
that when you consider such an operation,
the balance sheet will have to be drawn up
at the time the file is filed, and the
company is basically conditioned to
prepare and submit them (including to
ANAF ), so the decision should be "timed"
somewhat at the same time as the balance
sheet. Another issue that associates or
shareholders who will not receive social
shares must consider it and, possibly,

Din punct de vedere procedural, al
înregistrării operațiunii în Registrul
Comerțului, dosarul, pe lângă hotărârea
adunării generale prin care se ia decizia, și
actul constitutiv actualizat, va conține și
actul doveditor al creanței, situațiile
financiare și bălanța însoțitoare (onrc.ro)
Hotărârea adunării generale va trebui să aibă
câteva puncte, printre care emiterea de noi
acțiuni sau părți sociale și decizia de
compensare a datoriei, arătându-se
modificarea structurii capitalului social. La
dosar, trebuie depus și contractul de
împrumut, suma în cauză trebuind să reiasă
în mod expres din situațiile financiare ce se
depun.
Deci, este de avut în vedere faptul că,
atunci când veți avea în vedere o operațiune
de acest gen, va trebui și ca bilanțul să fie
întocmit la momentul depunerii dosarului,
societatea fiind practic condiționată să le
întocmească și să le depună (inclusiv la
ANAF), astfel că decizia este indicat să fie
„temporizată” oarecum în aceeași perioadă
cu depunerea bilanțurilor. Un alt aspect pe
care asociații sau acționarii care nu vor primi
părți sociale trebuie să îl aibă în vedere și,
eventual să și-l asume, va fi acela că o
asemenea majorare va modifică raporturile
între asociați și, în funcție de valoarea
capitalului social și de valoarea
împrumutului compensat, le va dilua, mai
mult sau mai puțin drastic, dreptul în
societate. O alternativă la această variantă,
desigur, în ipoteza unei înțelegeri între
asociați, va fi aceea de transformare a
împrumutului în profit, operațiune urmată de
majorarea capitalului social prin emiterea de
prime de emisiune.
In cazul în care intervine necesitatea
reducerii capitalului social, acesta se poate
realiza fie prin micşorarea numărului de
acţiuni/părţi sociale, fie prin reducerea
valorii nominale a acţiunilor/părţilor sociale,
fie prin obţinerea propriilor acţiuni şi
anularea ulterioara a acestora.
In situaţia în care reducerea

/ shares, or by obtaining their own shares
and subsequently canceling them.
If the reduction in the share capital
of a company is not motivated by certain
losses, it can still be done by:
a) the total / partial exemption of
associates from the payments they owe;
b) restitution to the shareholders of
a share of the contributions, in proportion
to the reduction of the share capital; this
share is calculated equally for each share /
share;
c) other ways provided by law.
The reduction of the share capital
can be achieved only after the passing of
the two months calculated from the day the
decision was published in the Official
Gazette of Romania, Part IV. This
judgment must comply with the minimum
social capital threshold as set out by law
and show the arguments underlying the
reduction of the share capital and the
process to be used for its performance.

capitalului social a unei societăţi nu este
motivată de anumite pierderi, aceasta mai
poate fi întreprinsă prin:
a) scutirea totală/parţială a asociaţilor
de vărsămintele pe care le datorează;
b) restituţia către acţionari a unei
cote-părţi din aporturi, proporţional cu
reducerea capitalului social; aceasta cota-
parte se calculează egal pentru fiecare
acţiune/parte socială;
c) alte modalităţi prevăzute de lege.
Reducerea capitalului social poate fi
realizată doar după trecerea a doua luni
calculate din ziua în care hotărârea a fost
publicată în Monitorul Oficial al României,
Partea a IV-a. Aceasta hotărâre trebuie să
respecte pragul minim de capital social în
situaţia în care este fixat de lege, şi să arate
argumentele care stau la baza reducerii
capitalului social, precum şi a procedeului
care urmează a fi utilizat pentru efectuarea
sa.
