Minutes of the Huntington Landmark Architectural Control Committee (ACC) January 22, 2015 And Special meeting of January 28, 2015 Minutes of the Landmark ACC Meetings January 22 & 28, 2015 1 For several days following the regular ACC meeting of 1/20/2015, several follow-up items came up for discussion, primarily through email contacts between members of the ACC. These items are summarized below: Follow up letters were sent to each of the following Units: 307-C, 906-A, 1008-C. Field inspections were completed on 1008-C, for a new screen door, 906-A, for a new front door and new security door and for a satellite dish on unit 307-C. A question was raised about inspection of a rain gutter over the entry at 1301-E and whether it was painted the same color of the attachment area. Nancy & Judi inspected and determined that it is correct. On January 22, 2015 a meeting was held with ACC members Judi Schueler and Nancy Stahl; Marsh Merendino, Chair of Color Selection subcommittee; and GM, Sandi MacCalla, to discuss a couple of issues. The CC&R’s were reread to determine to what extent the ACC rules need to be approved by the BOD, which has not heretofore been done. It was determined that a motion would be written and presented to the BOD at their next meeting (February 5, 2015). The preference is that all of the current ACC rules that have been adopted to date be presented for approval, not just one recently discussed rule having to do with the disallowance of solarium approvals. Judi Schueler read the CC&Rs regarding ACC Rules. Although 11.08 says that the ACC has the power to change their Rules, 11.12 also states that the ACC Rules should be approved by the BOD, as Pete DeMuth mentioned the ACC from Woodbridge does yearly. To the ACC’s memory this has never been done before. Judi does not want to have to go to the BOD to have only one rule ratified (discontinuing installation of solariums or any other patio enclosures); Judi prefers to give the BOD an overview of all of the ACC rules to be approved at one time. With that in mind, Judi wrote a draft motion, which is attached. After Nancy has had a chance to review it, possibly make changes to it, Nancy will notify Sandi to move forward with the motion for the next regular BOD meeting on Feb 5. The group also discussed the subject of the HOA’s responsibility (per the CC&Rs) to paint the exterior of all front entry doors. Sandi is not yet convinced that the ACC has the power to override anything in the CC&Rs, even though she understands that each owner who installs a new front door of their choice signs a Use Permit Agreement at the time stating that they will forevermore maintain (paint) it themselves. She has already reached out to Brad Walker, our attorney, for guidance. Judi’s opinion is that there are many sections in the CC&Rs which are outdated and have simply been ignored; i.e., they state that only single-pane/metal-framed windows which match the original may be installed. We now allow dual- pane/vinyl windows. The CC&Rs state no antenna shall be allowed on the buildings; we allow satellite dishes. And so forth. Now that we allow owners to install new front doors of their own choosing and sign documents to be responsible for them…it seems to override the original intent of the HOA being responsible for painting exterior front doors. We’ll see what Brad has so say. (Note: At a later date, Attorney Brad Walker agreed that the personally installed new front doors are to be maintained by the owners and should not be painted during the normal Phase painting of the buildings.)

SPECIAL MEETING OF ALL ACC MEMBERS - JANUARY 28, 2015 This Special meeting of the ACC was called to order at 1:05 PM. Committee members present: Judi Schueler, ACC Board Liaison Nancy Stall, Committee Chair Peter Demuth, Committee Member Quentin Burchell, Committee Member Ted Moore, Resident Volunteer The first order of business was that Nancy Stahl has requested to step down as chair of the ACC due to personal reasons. Nancy desires to stay on as an active voting member of the ACC. Quentin Burchell will assume the role as Chairperson of the ACC. This was voted unanimously by the three voting members of the ACC. This announcement and a motion for Board approval will be made on February 5, 2015. This Special meeting of the ACC was adjourned at approximately 1:30 PM Respectfully recorded, prepared and presented, Ted Moore, Resident Volunteer

Motion 1:

Due to personal reasons, Nancy Stahl has requested to step down as Chair of the Architectural Control Committee (ACC). She will still remain an active member of the ACC.

Quentin Burchell has agreed to take over the position of Chair, ACC.

This motion was unanimously approved by the three active members of the ACC at their meeting on Wednesday, January 28, 2015.

Motion 2:

It has come to the attention of the Architectural Control Committee (ACC) that although Section 11.08 of the Huntington Landmark CC&Rs indicates that the ACC may make changes to the ACC Rules, Section 11.12 of the CC&Rs indicates that the ACC Rules should be approved by the Board of Directors. Accordingly, the attached two documents are being submitted for approval by the Board of Directors.

The first is the ACC Approval and Huntington Beach City Permit Matrix. It indicates what changes to a Unit need prior approval by the ACC; which items also require a Huntington Beach City Permit; which items do not require either ACC approval or a City Permit; which items are maintained by the Association; and which items are no longer permitted.

The second document is the ACC Item Permit and Cost Matrix. This indicates if a cost will be borne by the owner and paid to Jon Wayne Construction to oversee satisfactory completion of their project to Huntington Landmark standards, which are often above and beyond those required by the City.

The major change to these documents is:

Installation of sunrooms (solid, flat roof) has previously been prohibited by the City of Huntington Beach in multi-family residences. The ACC is in favor of also disallowing installation of solariums (curved glass roof) or any other type of patio enclosure. The reasoning is because of the extensive costs incurred by the Association in maintaining the building structure (roofs, walls, etc.).

In the past few years, excessive amounts of money have been spent by the Association (your HOA dues) when updating the building structure whenever a solarium or patio enclosure of any kind has been previously installed.

They necessitate specialized scaffolding and protective measures to be brought in by the contractors to protect the existing enclosures while building maintenance is performed.

They sometimes require removal and re-installation of a portion or all of the enclosure to perform required building maintenance, at the cost of the owner.

They cause excessive amounts of wood rot and termites where the structures come into contact with the roof and walls.

They require, in most cases, re-venting of laundry rooms, which the solarium/sunroom contractors are not licensed to do. This requires the owner to hire a second licensed person to perform this work to eliminate carbon monoxide and lint from venting into the now enclosed space.

They are difficult for the owner to maintain to a level of aesthetics acceptable to the Association, often falling into disrepair, which the owner does not want to correct.

They impact the sight-line from adjacent Units. Four different contractors have installed patio enclosures in the past five years. None of them has

successfully completed their installation to the satisfaction of the ACC or their consultant, Jon Wayne Construction. In each case, a second contractor (PPM) has had to be called in to complete the job. This is an additional expense to the owner. One of them is still not completed, although the owner’s City Permit expired several months ago. The owner is neither concerned nor willing to pay PPM to complete the work required. This may now have to go to the Hearing Committee, the Board of Directors and possibly attorneys to resolve.

For these and other reasons, the ACC has voted unanimously to no longer allow solariums in the community.

The ACC is making the following motion for Board approval:

The Board of Directors hereby approves the ACC Approval and Huntington Beach City Permit Matrix and the ACC Item Permit and Cost Matrix, both dated January 22, 2015 with two minor revisions (see attached).

ACC Approval and HB City Permits The purpose of this document is to explain what can and cannot be done to your unit, and what approval is needed prior to any work being started. This list is exemplary and may not be all inclusive. In the event of a discrepancy between this
