COOPERATING BROKER AGREEMENT

Re: MOB PORTFOLIO (HEREINAFTER REFERRED TO AS THE “PROPERTY”) Seminole County, Florida We are acting as exclusive agent and on behalf of (“Principal”) in connection with its interest in acquiring the Property from Owner. This letter will confirm our agreement concerning the payment of commission to (“Cooperating Broker”) on Principal’s behalf.

1. Cooperating Broker and Principal represent that cooperating Broker has been authorized to negotiate a proposed sale (“Proposed Sale”) on Principal’s behalf regarding the Property. Principal’s and Cooperating Broker’s execution of this letter will confirm that Cooperating Broker is Principal’s exclusive agent in this regard.

2. Cooperating Broker agrees that Owner shall have the unrestricted right, in its sole discretion, at any time, (i) to reject, for any or no reason, any and all offers submitted on behalf of Principal, and (ii) to refuse, for any or no reason, to enter into Proposed Sale with Principal, all without incurring any liability or obligation to Cooperating Broker for payment of a commission, fee or other compensation of any kind.

3. Cooperating Broker shall maintain its license as a real estate broker in the State of Florida and shall fulfill all requirements in connection therewith.

4. Cooperating Broker agrees that Owner is not exclusively negotiating with Principal and that Owner remains free to negotiate with other purchasers for the sale of the Property and to deal with other cooperating brokers, purchasers, persons, and entities with respect to the Property.

5. Any offers and inquiries in connection with the Proposed Sale shall be forwarded to Lincoln Property Company at the address below, for Lincoln Property Company’s submission to Owner. 6. Owner is willing to compensate the Cooperating Broker equal to 2.0% of the gross sales price of the property. Cooperating Broker agrees to look solely for the payment of any additional fee or commission to Principal and Principal agrees to be solely responsible for any additional compensation paid to Cooperating Broker. Both parties agree that in no event shall Lincoln Property Company be responsible for any fee, commission, referral or compensation of any kind to Cooperating Broker.

7. Cooperating Broker agrees that it will not advertise the transaction, or place any notice thereof in any newspaper or other publication nor comment on the transaction in any way to any party outside of Principal and its duly authorized representatives.

8. Cooperating Broker and Principal represent and warrant that, to the best of their knowledge, Cooperating Broker is the sole broker, other than Lincoln Property Company, who introduced the Principal to the Property. Cooperating Broker agrees to indemnify and hold Owner and their respective successors and assigns harmless from and against any and all liability, loss, cost, damage or expense, including, without limitation, reasonable attorney’s fees and expenses, arising directly or indirectly, in whole or in part, out of any claim, demand or proceeding for payment of a real estate brokerage commission, finder’s fee or other compensation of any kind assured or made by any other person claiming by, through or under Cooperating Broker involving the Proposed Sale.

9. Cooperating Broker agrees to be bound by and comply with any confidentiality terms contained in any letter, agreement or contract executed by Principal in connection with this transaction and agrees that all information regarding the Property and the terms of this Agreement will be held in strict confidence and will not be disclosed to any third party without the prior written approval of Lincoln Property Company.

10. This Agreement shall not be assigned by Cooperating Broker without the express prior written consent of Lincoln Property Company, which consent may be withheld or delayed in the sole and absolute discretion of Lincoln Property Company.

11. This agreement shall be governed by the laws of the State of Florida. This agreement represents the entire agreement between Cooperating Broker and Lincoln Property Company. This agreement shall not be amended except in writing duly executed by the party or parties against whom such amendment is to be enforced.
