Preserving our strengths & growing cycling

AusCycling will preserve the things we all hold dear and are doing well today. It will protect the important elements of each discipline (such as State funding, events and junior development), and enable our people to do more of them.

By combining the resources of the disciplines, AusCycling will enable us to deliver improved and important services that challenge all existing entities to deliver today

AusCyclinggovernance

In all aspects of the creation of AusCycling the Steering Committee has endeavoured to ensure there is equity between each of the founding disciplines.

Nominations Committee Committee that oversees the selection of the transitional board to consist of a representative of each discipline + 1 independent

Legal process overviewResolutions put to State/Territory AGMs / EGMs to

• Approve the AusCycling constitution

• Authorise the transfer of all business and assets from Member State/Territory to AusCycling on or immediately after the transfer of NSO’s business and assets to AusCycling

• Approve voluntary cancellation of the entity following transfer of business and assets to AusCycling

• Resolutions are conditional. They are subject to, and only become effective upon, the relevant NSO also passing resolutions to transfer its business and assets to AusCycling

• Approval by special resolution (75% of the voting members of the State/Territory who vote)

Matching resolutions then put to NSO AGMs / EGMs

• Approval thresholds are 6 of 8 Members States for CA/BMXA and 75% of members voting for MTBA

Business transfer agreements between AusCycling and NSOs include obligation by AusCycling to provide services to individual members that were previously provided by the NSOs.

Pre-existing entities then undertake voluntary cancellation process which primarily involves lodging paperwork prescribed by the regulator
