I, (e.g. John Smith), grant you, Producer, and your successors, licensees and assigns the exclusive right during the Scheduled Dates of photography to photograph, film and/or videotape all or any part of the exterior and interior, and contents of the interior, of the property and building located at:

(the "Property") commonly known as (e.g., The John Smith House), including names, signs and insignias of the Property and the right to record any sounds contained therein. In exercising these rights, you may enter upon the Property with such personnel and equipment as you may require. I acknowledge that you have described the use to be made of the Property, including the possible erotic nature of the program, to which I agree, and I grant you the right to attribute fictional names, events, or other attributes, as well as to close the set whenever you deem necessary. I warrant that I have the right and authority to make and enter into this Agreement and to grant you all of the rights stated as granted to you by this Agreement, and that the Property is not represented by a location service or any individual in connection with the filming of motion picture photoplays.

I grant and assign to you, and you shall be the sole owner, of such photographs, films, videotapes and recordings, and you and others authorized by you may use them and portions thereof forever, throughout the universe, in all media and manners and by all methods of exploitation whether now known or hereafter devised, including multimedia interactive devices, on-line services and in any digital medium, in any and all programs, without any further payment to me. You shall not be required to actually use or exercise any of the rights that I am granting you.

You agree that if you alter or rearrange any equipment on the Property, you will restore it to its original place and condition, normal wear and tear excepted. Also, on the condition that you receive written notice from me within two (2) days after you complete your use of the Property setting forth a detailed listing of any such alleged liability or loss, you agree, subject to inspection by your personal representatives to verify such alleged liability or loss, to indemnify me from any personal injury or property damage directly resulting from your negligence in your use of the Property.

You agree to pay me the sum of $ per prep day, $ per shoot day, and $ per wrap day in consideration for this Agreement as follows: the total sum of ($), payable in full on , and subject to a pro rata refund for any unused days. If, following the completion of photography, you require the use of the Property for additional photography, I will permit you to re-enter upon and again utilize the Property for such purpose, in consideration of your payment to me for such use of a sum pro-rated from the sum paid to me in the preceding sentence.

I warrant and represent that the Property is in good condition and is not subject to any litigation, claims or other matters which I am aware of or should be aware of and that could cause you, Producer, to incur liability by virtue of this Property rental. I further warrant and represent that I have disclosed to you, Producer, any pre-existing conditions and/or defects regarding the Property which I am aware of or should be aware of and which you, Producer, should reasonably be aware of prior to entering into this Agreement.

I represent that I am the owner and/or authorized representative of the Property, and that I have the authority to grant you the permission and rights herein granted, and that no one elses permission is required. In the event that any question arises regarding my authority to grant the permission and rights herein granted, or if I breach any of the representations or warranties herein, I agree to indemnify you and assume responsibility for any loss and liability incurred as a result of such breach, including attorneys fees.

In the event of any claimed or actual breach or default by you, my sole rights and remedies shall be limited to an action at law for money damages, and in no event shall I have the right to terminate this Agreement, enjoin or restrain your exercise of any rights granted hereunder or to any other injunctive or other equitable relief.

By signing where indicated below, you and I accept and agree to all the terms and conditions set forth herein, as well as those listed on the attached Exhibit "A", which Exhibit is, by this reference, incorporated herein as part of this Location Agreement.

EXHIBIT "A"

This Exhibit A is attached to and incorporated into the Location Agreement dated between

("Owner") and ____________________________________________ ("Producer").

The above listed times shall be subject to modification. Producer shall consult with representative or owner of location regarding any necessary modification of hours.

3.Overtime rate for any hours in excess of above-agreed filming day length: $ per hour, pro-rata for partial hours.

4.Amount of Security Deposit (if any): $ . The amount of any Security Deposit shall be applicable only against any damage to the Property directly caused by Producers use of the Property, and not in connection with Owner's acts or omissions. The location owner or representative shall notify Producer in writing and attach invoices for any damage believed caused by Producer within two (2) days of the completion of Producers use of the Property. Producer shall have the first opportunity to repair any such damage. Any outstanding claims of damage not satisfied by Producers attempt to repair shall be deducted from the Security Deposit after written notice to and consultation with Producer, and a reasonable opportunity for Producer to correct the repairs. The balance of such Security Deposit shall be returned to Producer within seven (7) days of Producers completion of its use of the Property.

5.In the event of any damages or loss, Owner and/or its authorized representative shall (i) fully cooperate with Producer and/or its insurer to resolve same in a fair and expeditious manner, (ii) provide any and all requested documentation, and/or (iii) provide access to the Property to Producer and/or its insurer. Producer shall secure and maintain insurance covering its operations at the Property, which shall include general liability, automobile liability, props, sets & wardrobe, and third party property damage. Producer shall add Owner as an Additional Insured as respects the negligence of Producer and/or Loss Payee, as their interest may appear, to such applicable policies. In the event of any damages or loss, Owner and/or its authorized representative shall (i) fully cooperate with Producer and/or its insurer(s) to resolve same in a fair and expeditious manner, (ii) provide any and all requested documentation, and/or (iii) provide access to the Property to Producer and/or its insurer(s). Please list any items valued at more than $1,000.00 that will be left on the Property, including artwork, and indicate the estimated value of such items:Any items of significant or sentimental value should be removed from the Property by the owner or a representative of the location prior to Producers arrival at the Property.
