Dear Brothers and SistersAs Salam-o-Alaikum

On the auspicious occasion of the birth anniversary of our Imam Ali Reza (AS), Imamia Medics Internationalpresents with great pride and joy, the constitution of IMI to the Ja'fari Muslim Medical community of theworld.

Over 450 hours worth of discussions involving 35 physicians, pharmacists and 2 professional lawyers (thelegal advisors of IMI) took place with over 20 meetings all over the country to incorporate all the valuableideas to finally come to this conclusion which you now have in your hands. This is achieved after rejecting /modifying and improving upon 5 previous drafts.

A great time was also spent by the constitution committee in reviewing and analyzing the constitutions /manifestoes / charters and objectives of various other similar and dissimilar professional, religious, social andacademic bodies.

Some unique features of the constitution are:

A. Constitution guarantees the supremacy of the true divine ideology as interpreted by the Holy Prophet(SAWW) and his noble Ahlul-Bayt (AS).

B. Patron-in-Chief of the organization is our beloved and revered Imam-al-Asr, Imam MohammedMehdi (Ajalallaho-tala-farajahusshareef) the leader of all Mu'mineens of the world.

C. The institution of the highest religious authority is also highlighted and accepted. This establishes thecontinuity of religious, ideological and spiritual guidance and guarantees the supremacy of Islamicideals over democratic norms if they ever get in conflict with each other.

D. A System has been devised in which the respect for electorates is mixed with ensuring continuity ofthe process in the highest forum of the body. (please refer to the constitution)

E. The usual bureaucratic system being practiced by many associations has been totally rejected at alllevels of the organizational structure. There is no single person who is the chairperson or the presidentof this unique body. In contrast, collective leadership is established and promoted at all levels of theorganization including the highest forum - the Board of Regents.

F. Not only MDs, but all Shia medical professionals and those in the allied fields, scientists, pharmacists,nurses, paraprofessionals, healthcare consultants, health field industrialists etc have all beenincorporated in the organization making it a common unified platform for those who want to serve thehumanity.

G. A system of checks and balances has been introduced in the by-laws for all levels of organizationalhierarchy. This is important to avoid any misdirection.

H. Organizational structure consists of two elected bodies, the Board of Regents and the Board ofDirectors. It further consists of several appointed bodies and at this stage includes - Advisory Bodyand Chapter representatives. Please refer to the constitution regarding their roles.

I. Membership has solely been restricted to the Ja'fari Muslim medical professionals. All Ja'fariMuslims belonging to any profession or occupation qualify to be Associate Members but they wouldbe non-vote casting members and shall pay only half the membership dues. They would enjoy allother benefits of a full fledged member. Non-Ja'faris and Non-Muslims may however be granted

Honorary Membership who would not be able to cast vote. Such membership could be extended onlyto those rare individuals who have contributed or will contribute tremendously IN the fields ofMedicine, Science, Education, Healthcare or Socially for the welfare of mankind.

J. This organization is a global, international organization and the constitution streamlines the role ofvarious chapters.

K. The dimensions of the organization are:Pro fessi onal

One of the aims of this body is to provide help and assistance to mankind in times of disasters andnatural calamities.

L. Amendments to the constitution can be made and the methodology has been explained iri the by-laws.However, no amendment contrary to the Islamic teachings would ever be entertained.

M. If you look at the aims and objectives of the organization, two areas of work have been amplified ontop of all other areas possible and those are healthcare and education. Therefore, the constitutionemphasizes the members to work specifically in those fields (health and education) to which theybelong professionally and academically also. The idea is that this organization should specialize incertain kinds of works. Total upliftment of the community however, is the goal and therefore work insocioeconomic and other fields may also be taken as decided from time to time.The constitution also emphasizes (in the section of aims and objectives) upon centralization ofresources / networking / mutual interaction and working for the community specially and humanity ingeneral.

N. Lastly, the constitution bars any racial/social and gender discrimination and is open for all.

The members of the constitution committee want to convey their thanks to all those doctors, pharmacists etcwho have actively participated in the formulation of this document. It is the amount of time and energy theyhave invested in, that has resulted in the final shape of the constitution.

The committee is also indebted to all those individuals who have kindly reviewed and analyzed eithercompletely or partly, various portions of the constitution and have provided us with valuable comments.

The committee is also grateful to the legal advisors of IMI - the lawyers - Jafri & Jafri Associates, who notonly have very critically reviewed each and every word of the constitution but have provided us all theirexpert legal advice free of cost. The committee certainly appreciates this gesture very much.

IMI and the constitution committee would also like to thank and convey their gratitude to Mr. FerozeCurrimbhoy of Texas Commerce Printers, Dallas, Texas for all the cooperation he has extended in proofreading and printing of the constitution.

Lastly, we bow our heads in front of Allah (SWT), The Almighty who through the waseela our beloved HolyProphet (SAWW) and his Ahlul-Bayt, has given us the time, strength and energy to be of service to theorganization and to the cause for which we all stand for.With best wishes

The constitution oflMI was initially adopted unanimously on September 10th, 1994. However IMI has grown

tremendously since then and scores of ideas and comments were communicated to make some changes and

additions in the constitution. The constitution committee acknowledges that constitution is a dynamic

document and would require necessary changes as IMI grows. After an extensive discussion most of the

recommendations were incorporated. We appreciate all the valuable suggestions and look forward to

continue receiving input from all the well wishers of 1M!. This revision was completed on November 30,

2002. We expect the next revision of the constitution in five years.

1. To provide a platform for Jafri Muslim medical and allied health professionalsto centralize their resources and utilize them more effectively for the well beingof humanity in general and the Jafri Muslim community in particular.

2. To lay the foundation of a research body to identify and solve the present dayproblems in areas of health care and education.

3. To explore and foresee the future needs of the Jafri Muslim community bycollaborating whenever possible with other similar organizations.

4. To promote and nurture education in the community by helping the existingand establishing new institutions and avenues of information and knowledge.

5. To encourage professional interactions among the Jafri Muslim physicians andallied health professionals.

6. To establish a medium of communication among the members settledthroughout the world. This may also be the means to share the scientific andreligious matters.

7. To participate in medical relief activities in times of emergencies.

8. To promote better understanding of Islam and its true values.

By - Laws Article 1: Definitions Section 1.1 Elected Bodies Section 1.1 A Elected bodies comprise of a single 'Board of Regents and several regional 'Boards of Directors’. Section 1.I.B Board of Regents. The Board of Regents is the highest organizational body concerned with streamlining and overseeing all the Imamia Medics International activities, ensuring the adherence to the constitution and aims of the Imamia Medics International. This board will have representation from different regions. The Board of Regents shall comprise of five (5) or more members. Each member of the Board of Regents shall be a Physician or Ph.D. in the health related fields and shall be elected by the Regional Boards of Directors. Each member of the Board shall hold a term of three (3) years. Section l.1.C. Boards of Directors. Each of the Regional Board of Directors shall be elected by the vote-casting members of Imamia Medics International, belonging to that region, for a term of two (2) years. The Board of Directors shall promote interdisciplinary interactions thereby forming a 'team approach' to the various projects approved by the Board of Regents. All decision of Directors shall be subject to approval by the Board of Regents. The Board of Directors shall comprise of ten (10) or more individuals. Each director may appoint a working team, subject to Board of Regents' approval. The board of Directors shall comprise of the following members: • Director of Coordination; • Director Communication and Public Relations; • Director of Constitution, Membership and Subsidiaries; • Director of Education, Research and Scientific Matters; • Director of Finance; • Director of International Relations and Affairs; • Director of Professional Guidance and Information; • Director of Paraprofessional Affairs; • Director of Projects and Planning; • Director of Publications and Media. Section 1.2. Appointed Bodies: Section 1.2.A. Advisory Board. The Advisory Board shall be comprised of specialized professionals and scholars for the expert advice and guidance for each directorate. These are appointed by the majority of vote in the Board of Regents for a period of three (3), years. Section 1.2.B. Local Chapters. These are the representatives in various regions and shall be appointed by the Director of International Relations after approval from the Board of Regents. They shall be the local representation of the organization and may form their own teams to serve the affairs locally. Section 1.2 C. If needed Board of Regents may appoint a 'Central' Board of Directors to assist in managing the organization at the central level and to act as a coordinating body between different regional Board of Directors. Such a body will work under the Board of Regents. ARTICLE 2: MEMBERSHIP Section 2.1. All medical and allied personnel belonging to Jafri Muslim community who agree to register themselves with the Association and abide by the above charter can become members. Section 2.2. All members must respect and abide by the Association By-laws. Section 2.3. It will be the members' responsibility to strengthen the organization, respect the right of independent thinking and decision making by majority vote. Section 2.4. Each member may be required to pay a membership fee as decided by the Board of Regents. Section 2.5. A member, if found to be acting against the Charter or, the Constitution, can be deprived of the membership privileges if decided by the Board of Directors. Section 2.6. Honorary Membership may be extended to non-medical professionals because of their contribution towards the community by the Director of Constitution and Membership in consultation with the Board of Regents.

Section 2.7. Membership shall be open without regard to gender~ racial or social background, and without discrimination. Section 2.8. Honorary members will not be able to cast votes and become member of any elected body, however they may be appointed as a member in the Advisory Board. Section 2.9. There will be a provision of membership for five (5), ten (10) and lifetime with respective fee as determined by the Board of Regents . ARTICLE 3: BOARDS (Regents and Directors) Section 3.1. No action or decision should be in contradiction to the Jafri Muslim school of thought. Section 3.2. In case of doubt or split of opinion for any matter in contradiction to the Jafri Muslim faith, highest religious authority will be consulted and his advice will be considered expert and acceptable. Section 3.3. The Board of Regents or Board of Directors may consult other professional experts but the final decision will be made by the Boards in these professional areas. Section 3.4. The Board of Regents and Boards of Directors shall always make and pass decisions by simple majority. Section 3.5 The Board of Regents and Board of Directors shall hold at least two (2) sessions per year. Section 3.6. The members elected for the Board of Regents and Board of Directors should have qualities of leadership, be sincere in their belief, abide by the Charter and be professionally experienced to serve the community. ARTICLE 4: BOARD OF REGENTS Section 4. I a The Board of Regents is the highest organizational body, responsible for coordinating, streamlining and overseeing the activities of other bodies. Section 4.1 b.

The members elected for the Board of Regents should have previously maintained an active membership of IMI for at least one year and should have completed one full term as Director in the Board of Directors or have served the organization in a meaningful way. Section 4.2a. The Board of Regents shall be constituted by at least five (5), or more, members elected by the regional Boards of Directors for a period of three (3) years. All of the regional Boards of Directors will participate in the election of each of these members (by casting one vote per region per candidate). Section 4.3. The Board of Regents will make all decisions either unanimously or by majority vote. In case of any dispute, confusion or offenses that the Board of Regents is unable to resolve, the advice of the highest clergy shall be obtained and will be final. This does not pertain to technical issues. Section 4.4a. The Board of Regents has the right to dissolve the Board of Directors and other appointed bodies if two-thirds (2/3) of the members in the Board of Regents consider their activities as against the Charter. Section 4.4b Similarly, the board has the right to suspend or cancel the membership of an individual or to remove a member from his post in the Board of Directors or other appointed bodies, if two-thirds (2/3) of the members in the Board of Regents consider their activities as against the Charter. Section 4.5. The Board shall be responsible for approval of all plans and overseeing the execution of various projects run by the Directors. The Board of Regents may set priorities in execution of projects. Section 4.6. The Board of Regents, in consultation with Board of Directors where needed, shall be responsible for representation in various forums by its members or any appointed designee for such purpose. Section 4.7. When deemed appropriate, the Board of Regents shall call the general body meeting or the meeting of the Board of Directors. Section 4.8. One of the members of the Board of Regents shall become the Coordinator of the Board of Regents for a period of two (2) years. The Coordinator will be elected by simple majority in the Board of Regents. The Coordinator of the Board of Regents will also be known as the

Global President. Elections for the Global President will be conducted a year prior to the end of his/her term. The Elected President will operate as the Global President-Elect for a one year overlap and work closely with the Global President to ensure a smooth transition between terms. Changes: Adjustment from 1 year term of Global President to 2 year term; Coordinator also means Global President; Addition of President Elect. Section 4.9. The Board of Regents can be dissolved by the following two step procedure: Step I: At least two-thirds (2/3) members in each of the Regional Board of Directors must express they have no confidence in the Board of Regents by passing a resolution for this purpose. Step 2: When the resolution of no confidence has been passed; the Board of Regents must seek the vote of confidence from the simple majority of the vote-casting members within forty-five (45) days of the passage of the no confidence resolution. The Board of Regents shall be dissolved if it fails to seek the vote of confidence within the specified time. Section 4.10. The Board of Regents shall not dissolve the Board of Directors or any other body when the resolution of no confidence has been passed in the Board of Directors, however after seeking the vote of confidence from the vote casting members, the Board of Regents shall have the rights as stated in Section 4.4. Section 4.11. In cases of dispute, the highest religious clergy in the Jafri Muslim Community shall be the final authority of governance of any matter, even if the persons involved presented the matter to the judicial courts of any government, regardless of scope of the issue. Section 4.12 The Board of Regents may decide to change the number of its board members as necessary. Section 4.13 Upon request, The Board of Regents with Country Coordinator will determine if and when to upgrade an existing Local Chapter to a National Chapter or Regional Chapter or to form a new Board of Directors. The Board of Regents may develop guidelines for these matters, including attention to regional diversity. The Board of Regents in consultation with IMI Headquarters will define or change the geographical boundaries of the area covered by a Regional Chapter, based on definitions in the IMI Headquarters guidelines. Changed from: Original Section 4.14 The Board will define or change the geographical boundaries of the area covered by a Regional Board of Directors. Section 4.15 The Board shall be responsible to determine when and how many members should have representation from a particular region. Article 5 Section 5.1 The Board of Directors shall be comprised of Ten (10) or more directors elected by the general members for a period of two (2) years. Section 5.2 The number of Directors may be increased or reduced if decided by the Board of Regents. Section 5.3 The Board of Directors shall promote a 'team approach' for planning and executing various projects by incorporating multiple disciplines. Section 5.4 The Board of Directors shall meet at least every four- (4) months to review the progress and do future planning. Section 5.5 If a Director is unable to physically attend a meeting, he/she shall send a written report or communicate via other means regarding his/her projects prior to the set date for the meeting of the Board of Directors. Section 5.6 All the Directors shall be independent in their day to day working. Section 5.7 Each Director, by Board of Regents' approval, can appoint a team to help carry out the various projects. Section 5.8 One Director can assume the responsibilities of two or more departments if decided by Board of Regents

Section 5.9 Each Director of the Board of Directors shall be responsible for maintaining records pertinent to his/her directorate. Following are the major departments; additional departments may be added if decided by the Board of Regents and the Board of Directors. Article 6: Individual Departments Sec. 6.1 Directorate of Coordination: This department will serve as coordinator for the Board of Directors. Sec. 6.1 a. Scheduling and maintaining records of all meetings of the Board of Directors. Sec. 6.1 b. Preparing agenda for discussion in such meetings. Sec. 6.1 c. Forwarding proposals by the Board of Directors to Coordinator of the Board of Regents and vice versa. Sec. 6.1 d Maintains effective interpretation and communication with the local chapters and State representatives. Section 6.2 Directorate of Communication and Public Relations: The Director of Communication and Public Relations is the spokesperson for the association. Sec. 6.2 a All public announcements shall be subject to prior approval by the Board of Regents and strict adherence to the Charter must be followed. Sec. 6.2 b The Directorate of Communications and Public Relations shall devise means to communicate with general public and other representatives in different regions effectively. Sec. 6.2 c Shall collaborate with other associations to promote the organizational aims. Sec. 6.2 d Maintain effective integration and communication with the local chapters. Section 6.3: Directorate of Constitution, Membership and Subsidiaries: This Directorate is concerned with all constitutional and membership issues as well as

subsidiaries. Sec 6.3 a The Directorate may decide the right of members to cast votes. Guidelines, when set forth, by the Board of Regents in this matter, must be followed. Sec. 6.3 b A current list of all members be maintained. Sec. 6.3 c Responsible for interpretation and explanation of all constitutional details. Sec. 6.3 d Updating the constitution in case of amendments and maintenance of records concerning the constitution and membership. Sec. 6.3 e Must identify any constitutional violation to the Board of Regents. Sec. 6.3 f Shall be responsible for all matters pertaining to Subsidiaries. Section 6.4: Directorate of Education, Research and Scientific Matters: Any matters pertaining to professional and community education, research projects and other related scientific matters will be handled through this directorate. Sec. 6.4 a This directorate is concerned with uplifting the educational standards of the medical professionals belonging to organization. It will also work towards imparting information related to health care issues of the community. Sec. 6.4 b Work towards establishing a healthcare database of the community and provide framework to support research projects specifically designed to address healthcare needs of the community. Section 6.5: Directorate of Finance: The finances of the association shall come from membership dues, donations, gifts, contributions and sources as permissible by law. The association will be a "not for profit organization". Sec. 6.5 a Preparation of annual financial/budget reports.

Sec.6.5 b Maintenance of all financial records, ledgers and management of all financial transactions and bank accounts. Sec. 6.5 c Annual audition of the accounts by the Board of Regents or the designated accountant for this purpose. Sec. 6.5 d Suggesting ways and means to the Board of Regents and the Board of Directors for strengthening the financial status and making the projects economically viable. Section 6.6: Directorate of Professional Guidance and Information: This directorate provides pertinent professional information and help, especially members seeking medical training programs or who are in training programs. It shall also establish means for information and guidance for those in practice and in allied medical fields etc. A sub-directorate shall provide religious information and guidance when needed. Section 6.7 Directorate of International Relations and Affairs: The International Relations Directorate shall be concerned with promoting organizational activities in other parts of the world. Sec. 6.7 a Priorities as decided by the Board of Regents and Board of Directors for different regions must always be followed. Sec 6.7 b There shall be no dealings with political associations unless decided by the Board of Regents. However joint ventures and exchange of information may take place to further the aims of the Imamia Medics International with non-political associations. Sec 6.7 c This directorate shall be responsible for all matters pertaining to UNO and other such world bodies that IMI shall be represented at. Section 6.8: Directorate of Paraprofessional Affairs: This Directorate is concerned with the activities of Paraprofessionals including but not limited to Nurses, Pharmacists and Scientists. It will gather data pertaining to paraprofessionals and will address issues concerning them. The Directorate will utilize paraprofessional resources to strengthen the social, educational and medical projects of the organization.

Section 6.9: Directorate of Projects and Planning: This Directorate is concerned with identification of community needs and proposing projects. Sec. 6.9 a A feasibility report shall be formulated by the Directorate for projects which shall be subject to review and approval by the Board of Regents and the Board's decision shall be followed in this regard. Sec. 6.9b The Directorate of Projects and Planning may consult experts in various fields to formulate the reports if needed. Sec. 6.9 c Priorities as decided by the Boards of Regents and Directors for the projects shall be followed. Sec. 6.9 d Once a project is approved by the Board of Regents, the Board of Directors in collaboration with the Board of Regents shall form a Task force/ committee to carry out such projects. The tenure of these task forces/committees will be until the completion of projects or as decided by the Boards of Directors and Regents. Section 6.10: Directorate of Publication and Media: This Directorate is concerned with publishing of material for the association and its members. Sec. 6.10 a The directorate may also print and distribute literature considered to be beneficial for the education of community and members, shall be subject to approval by the Board of Regents. Guidelines, when set forth for this purpose by the Board of Regents, must be followed. Sec. 6.10 b A newsletter concerning professional, academic and organizational matters may be published for the members if decided by the Boards of Regents and Directors. _ Sec. 6.10 c The Directorate shall be responsible for IMI's web page development and maintenance, electronic newsletter and other multimedia related materials. Article 7: Advisory Body Sec. 7.1 A body consisting of professionally expert individuals from various disciplines may be appointed by the Board of Regents in consultation with the Board of Directors, to seek their expert advice and opinions. Sec. 7.1 a The number of experts and term duration will be decided by the Board of Regents.

Sec. 7.1 b The final decisions in all professional matters shall be made by the Board of Regents and the Board of Directors. Sec. 7.1 c The Advisory Body should send their proposals and advice to the Board of Regents in matters pertinent to association or the community. Sec. 7.1 d The Advisory Body does not have rights to explain any association matters to the general public. Sec. 7.1 e All consultations and expert advice shall be kept confidential unless otherwise decided by the Boards of Regents and Directors. Article 8: IMI Chapters Change: Article 8: Local Chapters change to: Article 8: IMI Chapters Sec. 8.1 IMI Chapters will fall within one of three categories: 1. Regional Chapters; 2. National Chapters; or 3. Local Chapters. The Regional Chapter Coordinator shall be elected by the Board of Regents in different regions of the world as necessary, in consultation with the IMI Headquarters Regional Coordinator. The National Chapter Coordinator shall be elected by the National Board of Directors in different countries of the world, in consultation with the IMI Headquarters Country Coordinator, or the Board of Regents if IMI Headquarters does not have a Country Coordinator. Local Chapter Coordinator shall be elected by the National Board of Directors in their respective countries. If there is no National Board of Directors, the Local Chapter Coordinator will be elected by the Board of Regents in consultation with the IMI Headquarters Country Coordinator. Original Sec. 8.1 The Local Chapter Representatives shall be appointed by the Board of Regents in different regions of the world. Sec. 8.2 The Board of Regents shall consult with the national chapter coordinators in the region prior to the nominations and elections of Regional Chapter Coordinators.

Original Sec. 8.2 The Board of Regents shall consult with the directorates of Public Relations and International Relations prior to the nominations and elections of regional representatives. Sec. 8.3 The Regional Chapter Coordinator’s tenure shall be 2 years. The National Chapter Coordinator’s tenure shall be 2 years. Local Chapter Coordinator’s shall be appointed for 2 year tenures. Original Sec. 8.3 The representative's tenure shall be decided by the Board of Regents. Sec. 8.4 The Regional Chapter Coordinator shall be supervised by IMI Headquarters Regional Coordinator and the Board of Regents. The National Chapter Coordinator shall be supervised by the Regional Chapter Coordinator when available, or the Board of Regents. Local Chapter Coordinator shall be supervised by the National Coordinator with input by the Director of Communications & Public Relations of that country. Original Sec. 8.4 The representatives shall be supervised by the Director of International Relations. Sec. 8.5 The National Board of Directors, in consultation with the Board of Regents and IMI Headquarters, can terminate Local Chapter Coordinators if deemed after proper inquiry to be acting against the Charter. The Board of Regents and IMI Headquarters can terminate Regional Chapter Coordinators or National Chapter Coordinators if deemed, after proper inquiry, to be acting against the Charter. Original Sec. 8.5 The Director of International Relations, in consultation with the Board of Regents, can terminate the representatives if deemed acting against the Charter. The Representatives must act strictly in accordance with the Charter and always consults the Director of International Relations or the Board of Regents before arranging any social or religious events. Article 9: Elections Sec. 9.1 A member will be granted the right to cast vote if he/she pays all the dues and complies with the guidelines set forth by the Board of Regents for such purpose. A member will be intimated by a letter prior to the elections of his/her right to cast vote.

Sec. 9.2 Only vote casting members can contest for positions in the Board of Regents and the Board of Directors. Sec. 9.3 The Board of Regents will be responsible for election conduction. Article 10: Election of the Board of Directors: Sec. 10.1 Election for the Board of Directors shall be held every two- (2) years. Sec. 10.2 In the event the Board of Directors is dissolved in execution of Article 4, SecAA by the Board of Regents, the elections would take place within ninety (90) days of the dissolution. Sec. 10.3 The Board of Regents shall nominate the future members for the Board of Directors. Sec. 10.4 It will be the responsibility of all the vote casting members to send names of their choices for the Board of Directors at least two (2) months prior to elections. After reviewing the list of names, the Board of Regents shall formalize a final list of the contestants consisting of the names forwarded by the vote casting members and those nominated by the Board itself. The Board of Regents shall mail the list of contestants to all members for final voting. Members may cast their votes by mail before the given election deadline. Sec. 10.5 The Board of Regents shall announce the results within fifteen (15) days after the election deadline. Sec. 10.6 The first formal meeting of the newly elected Board of Directors shall be held within ninety (90) days of the election results announcement. Article 11:Election of the Board of Regents Sec.11.1 Elections in Board of regents shall be held every three- (3) years. Sec. 11.2 The contestants for the Board of Regents must have served a term in the Broad of Directors,

Advisory Body, and State Representative or have made significant contribution to the organization, provided, he or she is a vote casting member of the Imamia Medics International. Sec. 11.3 The contestant list would consist of names decided by the Board of Regents in consultation with the Board of Directors. Sec. 11.4 At least three (3) members out of five, as decided by the Board of Regents shall be nominated for tenure of three (3) years; however, the other two (2) members must be newly elected. Sec. 11.5 No member shall hold more than two (2) consecutive terms in the Board of Regents. Sec. 11.6 Only members of the Board of Directors shall elect the members for the Board of Regents. Sec.l1.7 In the event a nominated member does not opt to take another term, new members would be elected for the Board of Regents in such cases by the Board of Directors. Sec. 11.8 If the Board of Regents is dissolved in execution of Article 4, Sec4.9, and a new Board of Regents shall be elected by the Board of Directors within fifteen (15) days of the dissolution of the Board of Regents. Article 12: Amendments to the Constitution Sec. 12.1 Amendments and additions to the Constitution and By-laws must be presented by Board of Directors to the Board of Regents and be allowed for voting in the Board of Directors and the Board of Regents' meeting, by the Board of Regents. Sec. 12.2 Vote casting members can propose amendments or changes in the Constitution to the Board of Directors, these proposals must be presented to the Board of Regents and Sec 11.1 shall be followed. Sec. 12.3 A proposed amendment would become part of the Constitution if supported by two-third (2/3) majority of the members in each Board of Regents and Directors. Sec. 12.4 The members of Boards may cast their votes by mail when decided.

Sec. 12.5 No amendments contradictory to Islamic teachings would be allowed whatsoever. Article 13: General Waiver Sec.13.l For the first elections, pertinent provisions of the Constitution and By-laws may be waived as needed. Article 14: Adoption of the Constitution The Constitution and By-laws so stated became the Constitution and By-laws of the Imamia Medics International adopted by the general body of all members of this association held in New Jersey on September 10, 1994. Article 15: Auxiliary and Subsidiary units Auxiliary and subsidiary units of IMI can be created by the Board of Directors with approval from Board of Regents. The scope of these units is limited to particular tasks, projects or special interests, pertaining to medicine or education as stressed by the constitution of IMI. These units / Subsidiaries are for a specified tenure only, not to exceed two years unless tenure extended by the Board of Directors. Members of these units may not necessarily be Physicians or allied health professionals, but must abide by all other constitutional requirements of 1M!. Each of these units must report to Director of Membership Constitution and Subsidiaries of 1MI, who shall be responsible to oversee their structure, direction and adherence to IMI's constitution.
