REGULAR MEETING The Board of Education of the City School District of the City of Cincinnati, Ohio, met pursuant to its calendar of meetings in the ILC at the Cincinnati Public Schools Education Center, 2651 Burnet Avenue, Monday, January 23, 2017 at 7:08 p.m., President Copeland-Dansby in the chair. The pledge to the flag was led by President Copeland-Dansby.

ROLL CALL Present: Members Bates, Bolton, Jones, Minera, Nelms, President Copeland-Dansby (6) Absent: Member Hoffman (1) Superintendent Mary Ronan was present.

MOTION TO AMEND AGENDA TO ADD A RESOLUTION IN SUPPORT OF STUDENT SAFETY Mrs. Bates moved and Ms. Jones seconded the motion to amend the agenda to add Resolution in Support of Student Safety. Ayes: Bates, Bolton, Jones, Minera, Nelms, President Copeland -Dansby (6) Absent: Member Hoffman (1) Noes: None President Copeland-Dansby declared the motion carried.

48 HOUR WAIVER FOR A RESOLUTION IN SUPPORT OF STUDENT SAFETY

Ms. Bolton moved and Mr. Minera seconded the motion to the 48 Hour Waiver for A Resolution in Support of Student Safety be approved. REPORT OF THE FINANCE, POLICY, AND STUDENT ACHIEVEMENT COMMITTEES The Finance, Policy and Student Achievement Committees met in joint session at the conclusion of the January 9, 2017 Regular Board meeting and elected Committee Chairs for the year 2017. The following Chairs were elected: Finance Committee The Committee elected Board Vice President Melanie Bates as Committee Chair for the year 2017. The Finance Committee will meet on the third Tuesday of the month.

• Revenues through December are lagging behind by $7.5M from last year due to a revenue entry of $8M dated in January 2017 in error. o $267.6M of $512.5 Anticipated (52.2%)

• Expenditures appear to be higher year to date in comparison for the following reasons: o Schoolwide pool transfer –recorded in November this year, while last year the transfers were not recorded until

January 2016. o December 2016 had 3 payroll periods o December 2016 incurred the 2 percent cash lump-sum payout o $277.7M of $557.6M Anticipated (49.8%)

Ohio Department of Education Deficit Plan Acceptance Jennifer Wagner, CFO/Treasurer Mrs. Wagner reported that the Ohio Department of Education accepted the District’s plan and they anticipate monitoring the District’s progress. Audit Summary Jennifer Wagner, CFO/Treasurer Mrs. Wagner updated the Committee on the various audits that are being conducted by either the Auditor of State or the Ohio Department of Education. She also stated that the District is cooperating with the governing bodies, but the amount of work required to meet audit data requests prevents the District from focusing on its core business.

Bond Rating Update Jennifer Wagner, CFO/Treasurer Mrs. Wagner provided the Committee with a copy of Moody’s Investors Service Surveillance Update on the District. She informed the group that David Conley, Manager/Owner of Rockmill Financial Consulting, stated that the Surveillance Update went well. A copy of the presentation is available in the Board office.

Budget Discussion Chandra Brown, Director of Budget and Accounting Mrs. Brown updated the Committee on a draft of the Budget Timeline. The report included tasks around centrally managed and school budgets.

Other Business Lobbyist Contract The Committee discussed creating an Ad Hoc Committee of the Board to work with the Administration to come up with a federal and state agenda of topics for the lobbyist, as well as concerns with the Ohio Department of Education.

REPORT OF THE AD HOC BOARD PRIORITIES COMMITTEE The Ad Hoc Board Priorities Committee met on Tuesday, January 17, 2017 at 1:00 PM at the Cincinnati Public Schools Education Center in the Board Office Conference Room.

Summarize Board Action Items Committee Chair Jones updated the Committee on the following actions that have been completed and items that still need to be addressed. 1. The Committee’s workplan was approved at the Board’s January 9, 2017 Regular Board meeting as part of the Ad Hoc’s

January 5, 2017 Committee minutes. 2. The Committee’s calendar was approved at the Board’s January 9, 2017 Regular Board meeting as part of the Ad Hoc’s

January 5, 2017 Committee minutes.

• Committee member Hoffman will follow-up with the Board President to include meeting dates with the ACES committee and Board Retreats. The dates will be provided to the full Board.

3. The Board approved its updated Mission, Vision and Strategic Goal language that was embedded in the Board’s draft

Operating Protocol at the Board’s January 9, 2017 Regular Board in the form of a resolution.

• The Committee will complete review of the draft Protocol and recommend any changes to the full Board at the January 28 Board Retreat.

4. The Board’s renumbering of its Operating Protocol, Equity and Excellence in Education policy, and its Bylaws was

approved at the Board’s January 9, 2017 Regular Board meeting in the December 22, 2016 Ad Hoc Committee minutes. The items will appear first in the Bylaws.

5. The Committee will review recommended changes to the Responsibilities of the Partnership/Public Engagement

Committee of the Whole. 6. The alignment of Board stipends has been completed.

Finalize Board Committee Bylaws Partnership/Public Engagement Committee of the Whole The Responsibilities of the Partnership/Public Engagement Committee of the Whole bylaws were recommended for approval at the Board’s January 9, 2017 Regular meeting. The Board assigned the Ad Hoc Committee to revisit the following language:

A. Discuss and review opportunities for expanding partnerships that will positively impact students, families, schools, and the community.

B. Present issues from the community that impact our students’ ability to reach their full potential and discuss how those issues can be addressed. Serve as a conduit for community for community and District discussions, suggestions, and insights on impacting our students' ability to reach their full potential.

The Committee will recommend changes of underlined language to the Board as part of the discussion of the Operating Protocol and Bylaws at the January 28 retreat.

Audit Committee Charter The Audit Committee is a sub-committee of the Finance Committee and their responsibilities will not be included in the Board Bylaws. The Committee will recommend revision to Finance Committee bylaws as follows:

(H) The Audit Committee may be convened at the will of the Finance Committee, Treasurer, Internal Auditor, Audit Committee Chair, and the Superintendent of Schools.

Review Board Operating Protocol and Bylaws The Committee began its review of the Protocol in conjunction with the Board Bylaws. The group will recommend incorporation of the protocol into the Bylaws.

Other Business Board Retreat The Committee discussed the following items as recommendations for retreat conversations:

1. Comprehensive discussion and planning around the Board’s major strategic initiatives and budgetary implications 2. Board self-assessment and Board development 3. Review and recommendation for changes of Board Operating Protocols and Bylaws

Board Self-Assessment Tool The Committee discussed several potential instruments to be considered for use in the board assessment and will recommend these to the full Board. To establish a baseline for discussion and further planning, completion of the self-assessment may be necessary prior to the January 28 Board retreat, in preparation for on-going board development.

REPORT OF THE AUDIT COMMITTEE The Audit Committee met on Tuesday, January 17, 2017 at 4:30 PM at the Cincinnati Public Schools Education Center in Conference Room 1-A. Internal Audit Status Report Internal Auditor Lauren Roberts updated the Committee on her FY2017 Internal Audit plan and reported that since the November 15, 2016 Audit Committee meeting, the SunGard Conversion audit has been completed. She informed the group about the background, objectives of the audit and an executive summary of recommendations for phase one and two of the audit. She also reported that the following audits are in progress. In Progress

• Charter School Funding – 85% • Voucher Funding – 85% • Cash Collection – 25% • Payroll – 50% • PNC Purchase Cards – 25% • Purchasing Process (Included in FY18 Audit Plan) • Bank Reconciliations – 75% • Computer User Access and Security (Not Started)

External Audit Status Report David Yost, Auditor of State Reports

1. Ms. Roberts provided the Committee with a copy of the Auditor of State’s report for the School Employees Retirement System of Ohio (SERS) and the State Teachers Retirement System of Ohio (STRS) for year-end June 30, 2016.

The State’s opinion for both reports was that the accuracy and completeness of the census data and pensionable ages were fairly stated in all material aspects.

2. Independent Auditor’s Report of Cincinnati City Schools, Hamilton County for the audit period July 1, 2014 through June 30, 2015, prepared by Plattenburg and Associates on behalf of the Ohio Auditor of State.

In conjunction with the work performed by the Independent Public Accountant, the Auditor of State issued a Finding for Recovery. The Recovery was due to an error in processing payroll during Treasury transitioning to a more simplified payroll process. State and Federal Audit Updates Treasurer Wagner updated the group on the various audits that the Federal and State governments are conducting on the District. She also expressed concern as to why this is occurring. ACTION: The Treasurer and the Internal Auditor will provide the Audit Committee with a comparative analysis that includes the number of audits that are occurring at other school districts. The goal is to also determine if Cincinnati is experiencing substantially more audits and reviews then other urban districts in the state. Internal Auditor Midyear Evaluation Human Resource Director, Paul McDole was present and updated the Committee on the evaluation process for employees. Ms. Robert’s provided the Committee with a copy of her mid-year self-evaluation for Fiscal Year 2017. Mr. McDole also shared the Treasurer’s evaluation of the auditor as she works most closely with him on a daily basis. The Committee reviewed the assessments and will forward their comments to Committee Chair Ross, for submission to Mr. McDole. Ms. Roberts reports functionally to the Audit Committee and formally to the Board; therefore, upon completion of the Audit Committee’s review, the document will be submitted to the full board for their review and evaluation. Preschool Expansion Update Treasurer Wagner reported that there was no confirmed information to report. She informed the Committee that the Trusted Entity is working on how funding will flow to the preschools. She also reported that entities are still in the process of appointing their five Board members. Ms. Bolton added that there is an unresolved issue as to when the subsidies and improvement grants will begin even though the tax revenue will begin to be collected by the county and held in a dedicated CPS account. Other Business Committee Chair The Committee agreed that Brian Ross would continue as Chair of the Committee. Revised Audit Committee Meetings The Committee agreed to change its meetings from the third Tuesday of the month to the fourth Tuesday of the month to accommodate Finance Committee Chair Melanie Bates. Ms. Bates was appointed to the Cincinnati Recreation Commission (CRC) and the current Audit Committee meeting schedule is in conflict with the CRC meeting. The meeting dates for the 2017 Audit Committee are as follows: March 28, May 23 and July 25th. March 29, 2017 Audit Committee Agenda Preschool Expansion Update Negotiations Expanding Diversity on the Audit Committee Note: Candidates will be forwarded to Mr. Ross and then forwarded to all Committee members in advance of the March 28, 2017 meeting.

2. Administration – State Rep. Alicia Reece (D-Cincinnati) today sent a letter to Attorney General Mike DeWine urging him to

investigate recent incidents of vandalism involving hateful symbols and speech in Cincinnati. Reece’s alma mater, Whithrow High

School, was targeted by vandals this weekend, who spray-painted swastikas and racist and homophobic graffiti on the school’s

exterior. This latest incident marks the fourth time in three months that hateful language and images have been painted on homes,

schools and public spaces in the Southwest Ohio city.

WHEREAS, America's educators every day try to make a difference in the lives of students working to foster the joy of learning, and to create a welcoming and safe environment that engages children in powerful learning, safe from bigotry and hate and;

WHEREAS, high-quality, inclusive and locally accountable public schools with adequate resources to prepare our children for college and career are essential to the well-being of our community and the economic growth that creates good jobs; and

WHEREAS,  public schools in our community and across America, which educate 90 percent of our nation’s children, may face  an unprecedented challenge to their very existence from interests that seek to divert funding which jeopordizes public schools as the key opportunity agent for the nation’s children; and

WHEREAS, the Cincinnati Board of Education and Cincinnati Federation of Teachers are working with the Cincinnati Education Justice Coalition (CEJC) to protect our children’s access to high-quality, fully funded inclusive public schools; and

WHEREAS, that partnership is well aware that federal funding is crucial to our District's families below the poverty line, crucial to our studens with disabilities and our staff's ability to provide nutrient rich meals; and

The Superintendent recommends the Declaration of Urgent Necessity per the provisions of Section 3313.46 Ohio Revised Code to waive the requirements of formal bidding and allow the administration to award purchase orders for the renovation of the Spencer Education Center.

INQUIRIES/UPDATES Upcoming events: ECC & CPS are using social media for Withrow High School at #westandtogether. Milford High School reached out and their students, staff will be wearing orange and black for support. Huge game with Walnut Hills High School and Withrow High School located at Cincinnati State. We encourage everyone attending the game to wear orange and black.

ASSIGNMENTS Please note the following assignments: 1. Board Members – bring approval to organize an AD HOC Committee to develop a legislative platform to bring back to the

board. 2. Public Affairs & Administration – provide a booklet or packet talking about the great things happening in CPS. These will

be handed out to Lobbying Representatives. Will need at least 8 copies. 3. Administration – commit to a discussion for developing initiative for Community Learning Centers for High Schools

beyond the traditional model we currenting use. 4. Face Team - talk with leadership, Mr. Daniels to have a better understanding of what Community Learning Centers in the

High Schools are currently doing. Get a list of all Community Learning Center and where their located.
