Dear investor,

13 years ago, I became active in the telecom industry. As a webshop and service manager within the largest (business focussed) telecom company in the Netherlands, I was responsible for the sales and customer satisfaction on a daily basis. One of my biggest annoyances was the customer repair processes. In the Netherlands and other EU countries, it is perceived as normal that a defect device is sent to a service partner, the total process has an average duration of 2-3 weeks. This process has a negative impact on customer satisfaction and is very expensive. After leaving this company, I started as an entrepreneur focussed on the e-commerce & online marketing industry. Because of my affinity with telecom, I remained active within this segment. In 2013 I spotted a trend in the industry; new devices became more and more expensive, with less and less innnovations. In addition, the tying sales changed in combination with mobile subscriptions. As a result, more people started buying refurbished phones or extended the lifespan of their current phone. Therefore, I started a new company alongside my online agency. This new company traded second-hand Apple products and refurbished hardware. After attracting private equity, the company grew and became a market leader in just two years, with a revenue of 25 million euros. Because the market was destroyed by parties who started selling low-quality products, the margin decreased significantly. In 2015, so much money had to be invested in stocks that I decided to sell my shares. I left the company in 2016. Nowadays the company generates 50 million euros in revenue, with a margin of 3%. Apple is making it harder for this industry to survive, resulting in a decreasing number of searches. I decided it was time for a new opportunity.

These days, the problem is still the same; a defect device is still sent to a service partner with an average duration of 2-3 weeks before it gets back to the consumer. Broken screens and batteries are repaired at questionable repair shops, where the quality of products is even more questionable. Furthermore, the purchase prices of hardware are increasing. A new iPhone is sold for €1.000, - and the innovation is minor. Therefore, reparation services are becoming more important. Market leaders such as Apple are also making changes in their services and started working together with on-demand repair shops instead of keeping the repair services to themselves. Why? To allow the customer to use the device and content as quickly as possible. The Apple system and content is still the biggest revenue model of Apple.

In 2017, I started a new company (Fixers) with three partners. The goal: consolidating a market where more than 6,000 (un)professional repair companies are active. And become the number 1 in the repair market (B2C & B2B), through excellent service, nationwide network with stores, transparency and fixed prices. After a period of MVP, we opened 7 stores 100% held by Fixers. Fixers is already the largest full focus repair provider in the Netherlands. Our next fase will be scaling our company and we want to open hundreds of (franchise) shops in the next few years. Our approach and success did not go unnoticed. In June 2019, Fixers was appointed as the first full-service repairer to receive the Apple Authorized Service Provider partnership! This means that we can repair in- and outside the warranty using original Apple parts. Samsung will be the second partner. From now on, the sky is the limit….

SMARTPHONE INDUSTRY PREVIOUSLY

» New upgraded smartphones are released every year; » User wanted the latest device (almost) every year; » Purchase costs: € 750 - € 1,000; » Not sustainable: growing problem with electronic waste; » Around seven billion (!) Smartphones have been produced

in the last 10 years. Every year, more than 44 million tons of e-waste end up in the garbage dump.

SMARTPHONE INDUSTRYNOW

» Newly released devices are not innovative » Decrease of 25% (new) sold devices in 2018; » Replacement is refurbished or repaired; » Quality of repair goes up, devices often exceed

warranty periods » No national company (with focus) active and no

transparency in the market;

AMBITION: NUMBER 1 REPAIR NETWORK

The Netherlands Belgium We need you...Germany We need you...England We need you...

HOW IS THE REPAIR MARKET IN THE NETHERLANDS WORKING? » The repair market in the Netherlands is not transparent, very inconsistent in pricing

and in quality (both in terms of components and repairmen). The market is highly fragmented. In addition, there is currently no active professional business who has the flexibility of a one-man business. There is also no clarity about quality, handling of personal data etc.

» If the consumer chooses a professional repair (Apple, Samsung or Dynafix, for example), the consumer is often forced to send or take the device to a certain place where the device will be taken for two weeks or more.

» The market needs consistent, recognizable services: The Carglass of this industry!

SUSTAINABLE REPAIRING INSTEAD OF REPLACING LEADS TO: » Energy saving » Reduction of greenhouse gas emissions » Material saving » Less use of scarce minerals, so less mining » Hazardous waste reduction » Reduction of toxic substances » Cost reduction

About $4 billion in revenues is generated by the cell phone repair industry in Europe each year for out of warranty repairs like broken screens and batteries. Since 2012, the industry has been growing at an annual average rate of 5.5%.

Almost 70% of the cell phone repair shops that are currently operating entered the market less than 24 months ago. A majority of these shops are sole proprietorships and had no previous experience in the industry before opening their doors.

As cell phones continue to evolve, the technologies inside the case tend to become more fragile. Manufacturers are offering reinforced products that can withstand falls from 1-3 meters, but this doen’t prevent that these devices may need to be repaired from time to time. For that reason, the cell phone repair industry is expected to grow at 5% per year over the next 5-year period.

Part of the reason why there is strong growth in this industry is the fact that the cost of a smartphone makes it worthwhile to repair it. With top-of-the-line phones retailing for €1,000,- or more when not associated with a promotional plan, and less innovation, spending €100,- to repair a broken phone seems like a valid investment.

However, significant changes from Apple could put upwards of 25,000 businesses (Europe) into the unemployment line. As Apple moves away from a home button to a single piece of glass, the patented technology will move repairs from independent shops to Apple itself. That would require business owners to be certified by Apple to provide repairs at the very least.

Fixers covered this last thing and has acquired the Apple Autohrised Service Provider partnership as the first retail repair chain in The Netherlands (may be used in EU).

THE TREND THE SOLUTIONThe extremely fragmented market is ready for a prominent player, with national coverage, excellent service, transparent prices, authorized by major parties such as Apple & Samsung, consolidating the market.

With 7 stores Fixers is now the largest full focus repair chain in the Netherlands. Our goal is to open 21 shops in 2020 and grow to 100 franchise shops in 2022, expanding to Belgium and Germany.

THE COMPETITION ± 6600 independent repair shops in the Netherlands

Non repair focused + add-on repair

One of the biggest issues at this moment is the fact that Google banned the repair industry from advertising in Google AdWords (search). This was the number one lead generator for repair business owners and this problem forces them to shift their marketing activities to offline. And thereby having to spend way more budget on channels like newspapers, radio and billboarding.

Google’s original intention for blocking third party support ads was in response to the hordes of tech support company’s scamming consumers everyday by posing as professionals. However,

Google’s attempt to stop illegal and fraudulent behavior by fake businesses, has morphed into an enormous wave of destruction for the third party tech industry.

Fixers has the strongest website domain in the industry, we have key positions in Google organic search, and is therefore not dependent on Google Adwords. This together with national coverage, Apple Partnership and bigger budgets for offline marketing activities such as radio, billboarding and television, will make our proposition to potential franchisees very attractive.

In the past, owning a smartphone was considered a luxury. Since 2010, times have changed. Almost 80% of Europeans own a smartphone, while cell phone ownership rates have climbed to 95% in 2018. This has created the need for a supportive industry to be introduced to the market: cell phone repair.

Page 6: INVESTMENT PROSPECTUS - Nxchange

THE CONCEPTFixers is the company that repairs phones, laptops and tablets in repair shops and on location - on-demand - when it suits the customer best.

» Now 7 repair shops 100% owned by Fixers. Next step is rolling-out 21 franchise shops in 2020 and expand fast.

» About 25 certified repairers are now active in the stores and are able to visit customers, among other things, with a Fixers bus, city car or with a scooter.

» Focus on large stores (35k +) & small stores (20k +). » B2B on-demand focus. Fixers is the usp for resellers, insurers and,

among others, direct business. » Apple Authorised Service Provider !!!!!

THE SOLUTIONThe extremely fragmented market is ready for a prominent player, with national coverage, excellent service, transparent prices, authorized by the major parties such as Apple & Samsung. Consolidate the market. Now with 9 stores the largest full focus repair chain in the Netherlands. Through a franchise roll-out growing rapidly to at least 50 stores in 2020 and expanding in Belgium and Germany to 250 shops in 2022. Fixers has focused on reach and conversion via the current fixers.nl website. Here we are growing very fast, more than 35,000 visitors per month from all over the country. Because we have a long-term vision, we focus on a strong organic position in the search engines. By taking over all marketing activities of existing stores and their websites, we migrate their sites to fixers.nl, creating a strong domain. In the repair industry we created the strongest domain in the market

within a year. In addition, we focused on social advertising and display advertising. To give the brand more strength, we also want to advertise offline with national coverage. Only with national coverage the optimum ROI will return from this investment. National radio, television and billboard support is planned. This will ensure brand preference, trust and conversion and will have a major impact on B2B sales and the franchise succes.

B2B sales: At this moment we mostly used our own network, which resulted in a number of large B2B clients. Municipalities, banks and even competitors are already entrusting Fixers with their repairs. Apple is an important lead generator for us. By using an international call center and field staff, we contact medium-sized companies for inventories of their current telecom processes and we provide a cooperation agreement for all hardware repairs.
