    1. Subject of the tenderThe tenderer is invited to present its best, most competitive offer for the works and

    services as described in the tender documents for the project.

    The tenderer is requested to adhere to these instructions and present its offer

    accordingly.

    This tender invitation is for the complete construction of a class A+ office building in

    Targu Mures on Bulevardul Padurilor, called E.ON office Targu Mures, altogether

    known herein as the Project.

    The project consists of one building, with a 1UG+GF+8F+TF section built on the clean

    piece of land of app. 4.700 sqm and a 2UG+1GF+2F section built on an unfinished

    structure (after structural expertise and partial reconfiguration) initially designed for

    residential block. The new building will be linked to the existing underground parking

    of app. 5.300 sqm, not used, part of a residential complex developed previously by

    RCB.

    The gross new build area for the purpose of this contract is around 18.000m (incl.

    basement), and a usable area of around 14.600 m.

    The A+ building is tailor-made designed according to a client specification to

    accommodate its headquarters in Romania, with office space for 750 employees.

    Besides the office spaces, there is the need of a car park with around 170 parkingspaces, several meeting and training class rooms, a canteen, an archive, the required

    rooms for the building equipment etc.

    The proposed development, and subsequent the proposed contract, is with two separate

    sections, a shell&core section and the client fit-out section, both under the direct

    supervision of the client representatives.

    The building will be executed as a fully functional building, as defined with the tenant

    E.ON, without tenant fit-out, which will be tendered at a later stage.

    2. Tender procedureThis tender process will be a competitive bid procedure.

    The Client shall be entitled to suspend or repeat the tender collection procedure or tosupplement it by means of additional tender collection at its discretion and without

    justification and without entitling the tenderer to compensation in any form whatsoever.

    The Client will review all the returned tenders and is not obliged to accept any or all of

    the tenders submitted irrespective of the price and technical competence of the

    submission from the tenderer.

    All offers will be reviewed and assessed by the Client in terms of quality and price and

    shall remain confidential to the Client.

    The successful tenderer will be selected on the basis of the best bidder principle, and notnecessarily on the basis of the lowest bidder principle. The Client is not obliged to

    inform the bidders about the bid valuation criterias and the results of the bid valuation.

    The offer including all annexes and all correspondence that relates to the offer shall be

    prepared and conducted in English. English translations shall be provided for all

    documents that are not in English.

    The tenderers price is to be fully inclusive of all items necessary to complete the works

    whether specifically mentioned in the tender information or not.

    The price is to be submitted in Euro currency and payments will be made in Romaniancurrency, converted at the exchange rate as advertised by the National Bank of Romania

    at the date of the invoice

    The offers shall be submitted in a sealed envelope labelled Offer and clearly bearing

    the tenderers stamp, the title of the works and services being offered as Tender for

    General Contractor for the Construction of the E.ON Office Targu Mures and shall be

    submitted to the office indicated on the invitation to tender by no later than the deadlinespecified in the Invitation to Tender. The tenderer shall bear sole responsibility for

    offers submitted by regular mail and any offers received after the closing date may be

    excluded at the discretion of the Client.

    The envelope should contain the following:

    a. 1 (one) original and 1 (one) copy (printed) of the full Offer

    b. 2 (two) CD/DVD with the full Offer in electronic format as specified below.

    The price and entire offer documentation is to be submitted in the prescribed format:

    1) A summary of the tenderers offer price on the Offer Document Summary;

    2) A detailed priced schedule of quantities on the form provided;

    3) A breakdown of the Tenderers preliminary, overheads and profit, asapplicable on the form provided;

    4) A Program for the Works in Microsoft Project format with clear links andwithout hidden items;

    5) A detailed Method Statement describing the execution sequence (withreference to the program of works), materials, equipments, and the like

    including also the type and number of major equipments he intends to use

    for the completion of the project. The tenderer is to include a site

    organization layout, an organization chart of the personnel to be engaged on

    the project and the CVs of the key team members that will manage the

    project.

    6) A Health and Safety plan for the project.

    7) Environmental Conservation and the tenderers corporate socialresponsibility policy.

    8) Details of the tenderer being viewed as a considerate Contractor and thustheir policies on noise, waste, pollution, recycling and general site activities.

    Al l the above documents shal l be submi tted in both pdf and editable formats.

    Provisional sums shall not be included in the tender unless specifically requested by the

    Client or noted in the pricing schedule.

    3. TENDER DOCUMENTSThe documents provided to the tenderer upon which it is to base its offer are:

    a) Preliminaries and General Conditions as Appendix 00

    b) Specifications as Appendix 01

    c) Drawings and Design information as Appendix 02

    d) Bills of Quantities as Appendix 03

    All the above documents are in English language.

    Romanian versions of the Technical Specifications (Memoires, Technical specifications,

    Lists of equipments, finishings, fixtures, etc.) and Bill of Quantities are also available as

    a separate package "FOR INFORMATION PURPOSE ONLY".

    In case of discrepancies between the Romanian and English versions of the documents

    please make all your comments during the period allowed for "QUESTIONS ABOUT

    THE TENDER DOCUMENTS".

    The documents are provided solely for use by the tenderer in the formulation of its offer

    and it shall NOT divulge or make public any information.

    Please be advised and keep in mind that unauthorised distribution and transfer ofinformation to any other third parties is NOT allowed and will lead to disqualification

    from the Tender and from tendering process.

    4. OFFER TERMS AND CONDITIONSThe complete tender and all information provided in the offer shall be provided to the

    Client free of charge.

    The Client and its representatives will not be responsible for any cost incurred by the

    Participant in the preparation of any of the Tender Documents and for participation ofthe Participants in the Tender. All such uncured costs and expenses shall be borne by the

    Participants.

    In no circumstances the Client is liable for any costs incurred in relation with preparing

    this Tender Offer even if the Tender is annulled or the Tender Documents are changed.

    The offer shall be open for acceptance by the Client for a period of 6 months after the

    submission date.

    The tenderers terms of business, delivery and installation shall not apply and the offer

    shall not be qualified or conditioned with such conditions and or commercialconstraints.

    The Client reserves the right to select the offer, to award contracts for parts or for all of

    the works and or services and or to reject offers and the Client shall not be obliged to

    name the reasons for its decisions.

    The tenderer shall not be entitled to claim against the award of the contract for the works

    or services or for costs associated with compiling its offer or for compensation or any

    sort or for lost earnings on the basis of legal provisions or standards or on the basis of

    the valid binding standards under Romanian law.

    Any quantities and or rates provided by the tenderer or the Client or stated within any

    documentation provided to the tenderer are to be used as a price guide and for

    recalculation purposes and the tenderer is responsible for the quantity elements whether

    provided to him or otherwise and there shall be no re-measurement or re-calculation of

    any rates or prices or the lump sum offer based on errors or omissions of quantities.

    All quantity schedules must be completely filled out, signed and included with the offer

    in paper form and electronically in editable excel format.

    All offered unit prices shall be fixed prices in accordance with the provisions of the

    contract and shall be valid until the successful tenderer has rendered all of the agreed

    works and services.

    The tenderer is required to be completely familiarised with the location and condition of

    the construction site, with the possibilities for the transport and storage of construction

    materials, with the facilities at the construction site and with any and all necessary safety

    and protective measures, access road building work and site access options, temporarypublic utilities available in the area as well as with all documents that are a part of the

    contract and that could be relevant for the provision of the required services before the

    submission of its offer, and to state that it has found these documents to be sufficient

    and correct in accordance with the pertinent generally accepted technical rules.

    The conditions of contract shall be provided by the Client and shall be based on the

    outline terms and conditions as included in Appendix 00 - Preliminaries and General

    Conditions.

    5. TENDERERS DECLARATIONBy submitting its offer the tenderer confirms that:

    a) It is fully aware of the provisions of the invitation to tender, the local conditionson the construction site and all other factors that have an influences on prices.

    b) It accepts the present invitation to tender in full and that it has neither strickennor added provisions from or to it.

    c) It has no objections to the stipulated services and quantities and that it has foundno defects or contradictions

    d) It has the permits and means needed to provide the specified services.

    e) It is not a member of bidder consortia.

    f) It has familiarised itself with all documents and other conditions that may have amaterial influence on the calculation of prices. Therefore, the tenderer shall not

    be entitled to make additional claims on the basis of a lack of knowledge of such

    documents or conditions.

    g) The construction project can be completed properly and fully as specified in thetender construction timelines and that the project will be entirely suitable for the

    intended use after completion and according to the tender specifications. Thetenderer shall assume fully liability for this in the event that the contract is

    awarded to it.

    6. TENDERERS DUTY OF EXAMINATIONThe tenderer shall be fully familiar with all of the documents provided, the normative

    and the regulations for construction in Romania.

    Should there be contradictions in the documents the tenderer shall advise the Client who

    will provide clarification. Should there be a contradiction which the tenderer has not

    addressed to the Client during the tender period for clarification then the Client decide

    which is applicable.

    If the tenderer is of the opinion that individual items in the specifications or in theannexes to the specifications are not sufficiently clear or are missing or faulty it shall

    clarify these issues with the Client in writing and obtain a decision from the Client

    before submitting its offer.

    Any objections of this kind shall not be acknowledged by the Client after the offer is

    submitted and subsequent claims based on errors, a lack of knowledge or other

    assumptions shall not be accepted.

    7. QUESTIONS ABOUT THE TENDER DOCUMENTSShould the tenderer discover defects, contradictions or necessary services that are notincluded in the information provided or should it have objections against the intended

    method of execution or should it have other questions or concerns about the

    specifications, the tenderer shall inform the Client of this in writing and shall request

    clarification.

    All questions related to the submission of the offer shall be submitted by e-mail to EGI

    Romania, Mr. Dragos Riti, who shall coordinate the Clients answers, at any time

    during the tendering period but no later than 5th of September 2013. Email:

    All tenderers will be advised of the questions and answers from all other tenderers

    unless the tenderer so notifies that the question and answer is specifically related to a

    method or technology upon which it is basing its offer and with which it hopes to gain a

    technical and competitive advantage.

    Questions received after the 5th

    of September 2013 deadline will not be considered.

    EGI will distribute the Clients answers to the submitted questions at least 5 days beforethe offer submission deadline, these answers shall have the same binding effect as the

    information in the invitation to tender documents and shall be accounted for accordingly

    in the submitted offer.

    8. VISIT OF THE CONSTRUCTION SITEThe tenderers have the opportunity to visit the site to get familiarized with theconditions on site and its surrounding, on the 2nd and 3rd of September 2013. The exact

    date and time of the visit should be coordinated with our representative Mr. Dragos Riti,

    9. ALTERNATIVE EQUIVALENT PRODUCTSAll tenderers must submit a fully compliant and unqualified base offer in accordance

    with the requirements as stated in the Tender documents.

    The Participants are allowed and encouraged to provide alternatives to the existing

    design and/or products. The proposed items should be clearly explained and they shouldnot affect the level of functionality and quality established by actual technical

    documentation and the current design.

    If the tenderer wishes to offer alternative equivalent products or suggest value

    engineering solutions it shall submit an Addendum to the pricing schedules showing,

    product, quantity, rate and the saving to the conforming bid for the Clients

    consideration.

    All alternative equivalent products shall have Romanian permits and certifications.

    These shall be submitted to the Client.

    For all alternative equivalent products the tenderer shall submit test certificates from an

    accredited testing or monitoring institution substantiating their quality equivalence

    during the review of the offer. If proof of quality equivalence is not provided, the

    products named by the Client in the tender documentation shall be used at the prices

    quoted in the offer. If the offered products require changes to be made to the plans or

    other calculations that already exist at the time that the contract is awarded, the Client

    shall be entitled to demand the use of the products listed by way of example in the

    specifications.

    The Client can grant its approval under the provision that the tenderer must cover the

    costs of the changes to the plans.
