SCHEDULE B PAGE 2 TERM OF CONTRACT The Cooperative may require the member to execute a multi-year contract prior to the installation of any lighting fixtures requiring one or more poles, except that all non-residential installations requiring one or more poles will require a written contract for not less than five (5) years. MONTHLY ADJUSTMENT FACTOR The Cooperative's Monthly Adjustment Factor will apply to all kWh used under this schedule. TERMS OF PAYMENT All bills are net and payable when rendered. Applicable to all Commercial Services whose load does not exceed 100 kW in a 12 month period. TYPE OF SERVICE

AVAILABILITY Available only to those members who were receiving residential service under this rate on September 1, 2002, subject to the Cooperative's Service Rules and Regulations. APPLICABILITY Applicable for use in private residences and single-family dwellings certified under Mid-Carolina Electric Cooperative's Good Cents "New" Home Program and presenting the Cooperative's Good Cents "New" Home Certificate upon application for service. Each residence or each dwelling unit will be served by a separate meter. The kWh used under this Schedule may not be resold or shared with others. TYPE OF SERVICE Single phase service, 60 hertz, through one meter at standard secondary voltage, or other voltage as may be mutually agreed upon. RATE (per month)

SCHEDULE H LARGE POWER - HIGH LOAD FACTOR SERVICE

AVAILABILITY Available in all areas served by the Cooperative, subject to the Cooperative's Service Rules and Regulations. APPLICABILITY Applicable to large power members where annual load factor at one meter is equal to or greater than sixty percent (60%) and load exceeds 100 kW two out of the last twelve months. TYPE OF SERVICE Three phase service, 60 hertz, through one meter at standard secondary voltage, or other voltage as may be mutually agreed upon. RATE (per month) Basic Facilities Charge $100.00 Demand Charge $13.25 per kW Energy Charge $.0460 per kWh MINIMUM MONTHLY CHARGE The minimum monthly charge shall be determined by either of the following, whichever is larger: A. The minimum monthly charge specified in the contract for service; or B. A charge of $100.00 plus $1.00 per kVA of required transformer capacity. DETERMINATION OF BILLING DEMAND The billing demand shall be the maximum kilowatt demand established by the member for any period of 30 consecutive minutes during the month for which the bill is rendered, as indicated or recorded by a demand meter and adjusted for power factor correction if necessary. ANNUAL LOAD FACTOR REQUIREMENT If member's Annual Load Factor falls below sixty percent (60%), the Cooperative may transfer member to one of the Cooperative's other standard rates applicable to the type and character of service provided.

Applicable to large power members whose load exceeds 100 kW two out of the last twelve months.

TYPE OF SERVICE

Three phase service, 60 hertz, through one meter at standard secondary voltage, or other voltage as may be mutually agreed upon.

Basic Facilities Charge $45.00

Demand Charge per month $7.75 per kW

Energy Charges: First 200 kWh per kW $.0740 per kWh Next 200 kWh per kW $.0640 per kWh Next 400 kWh per kW $.0590 per kWh MINIMUM MONTHLY CHARGE

The minimum monthly charge shall be determined by either of the following, whichever is larger:

A. The minimum monthly charge specified in the contract for service; or

B. A charge of $45.00 plus $1.00 per kVA of required transformer capacity.

SCHEDULE L SUBDIVISION STREET LIGHTING SERVICE

AVAILABILITY Available in all subdivisions in areas served by the Cooperative, subject to the Cooperative's Service Rules and Regulations. APPLICABILITY Applicable to all members of the Cooperative receiving service in a subdivision that has street lighting furnished by the Cooperative. TYPE OF SERVICE Subdivision street lighting must be a Cooperative fixture. This lighting is designed to operate from dusk to dawn. MID-CAROLINA ELECTRIC COOPERATIVE, INC.

RATE SCHEDULE M INDUSTRIAL SERVICE

AVAILABILITY

Available in all areas served by the Cooperative, subject to the Cooperative's Service Rules and Regulations, and subject further to the execution of a contract for service mutually agreed upon between the Cooperative and the member.

APPLICABILITY

Applicable to any member meeting the eligibility requirements stated under the "APPLICABILITY" provision of a Central Electric Power Cooperative, Inc. (Central) Rate Schedule and/or rider(s).

TYPE OF SERVICE

Service shall be provided as set forth in the contract for service between the Cooperative and the member.

RATE (per month)

The rate will consist of the sum of the following charges:

1. Wholesale Power Cost

The demand, energy, fuel adjustments and other charges contained in the Cooperative's wholesale electric supplier's effective wholesale rate applied to the monthly Billing Demand and energy supplied to the member, and including any wholesale charges related to "special service requirements" as provided for in the contract for service.

2. The Cooperative's Service Charge

A service charge consisting of a schedule of percentages or other charges contained in the contract for service applied to the wholesale power cost stated above.

3. The Cooperative's Facilities Charge

A facilities charge consisting of a monthly carrying cost factor and/or charge contained in the contract for service applied to the dollar investment in facilities provided by the Cooperative specifically in order to furnish demand and energy to meet the member's requirements.

4. The Cooperative's Wholesale Supplier's Facilities Charge

An additional facilities charge as provided for in the contract for service, determined in accordance with Central’s Policy, as such policy exists on the date of execution of the contract for service, for facilities provided by the Cooperative's wholesale supplier specifically in order to furnish service hereunder.

MINIMUM MONTHLY CHARGE

The minimum monthly charge shall be the greater of the following:

1. The sum of the charges contained in subsections 1 through 4 in the above section entitled "RATE (per month)”.

2. The charge as may be specified in the contract for service between the Cooperative and the member.

SCHEDULE M PAGE 2 WHOLESALE RATE ADJUSTMENT

Should there be any change in the wholesale rate under which the Cooperative purchases power, the Cooperative reserves the right to modify the charges and provisions stated above, correspondingly.

TAX ADJUSTMENT

In addition to all other charges contained herein, the member shall pay any sales, use, franchise or other tax now or hereafter applicable to the service rendered hereunder or imposed on the Cooperative as a result of such service; provided, however, that no such tax shall be charged if the member has furnished to the Cooperative evidence of the member's exemption from such liability for such tax.

TERMS OF PAYMENT

All bills are net and payable according to the provisions stated in the contract for service between the Cooperative and the member.

TERM OF CONTRACT

Service hereunder shall be for a period of not less than ten (10) years, and thereafter on year-to-year terms unless provided otherwise in a written agreement for service.

MEMBERSHIP

The parties acknowledge that, while the Cooperative is required by statute and by its Bylaws to operate as a non-profit corporation, the Cooperative is required by statute and by its Bylaws to set rates and charges sufficient not only to cover operating costs and expenses and interest and amortization of outstanding obligations but also to establish reasonable capital reserves; and that the rates and charges provided for herein have accordingly been established to the end that the member will furnish an appropriate and equitable amount of such capital reserve in addition to making payment for the actual costs of service rendered hereunder and for an appropriate share of the outstanding obligations of the Cooperative. Due to the amount and character of the electric power and energy to be supplied hereunder, it is understood and agreed that, unless the Cooperative is prevented from so doing by any authority or agency having jurisdiction in the premises, it shall compute the member's capital credits by determining the actual costs and expenses assignable and allocable to the member for its service hereunder and shall assign capital credits to the member accordingly.

EFFECTIVE DATE

For all bills rendered on or after November 1, 2010.

MID-CAROLINA ELECTRIC COOPERATIVE, INC. LEXINGTON, SC

Schedule N - Net Metering - Time of Use Retail Sales

Rate Schedule NM-TOU AVAILABILITY Available in all areas served by the Cooperative, subject to availability from the Cooperative’s wholesale power supplier, Central Electric Power Cooperative, Inc. and to the Cooperative’s Service Rules and Regulations. APPLICABILITY This schedule is applicable for all demand and energy furnished by the Cooperative to members who operate an Eligible Generation Source as defined herein. Service provided hereunder is on a first-come, first-served basis as a pilot program conducted jointly by the Cooperative and its power supplier, Central Electric Power Cooperative, Inc, (“Central”), subject to the General Conditions set forth herein, and further subject modification or discontinuation at the Cooperative’s discretion. Services purchased hereunder shall be metered and billed separately by single-member load. Members participating in this pilot program (“Members”) are limited to private residences, single family dwelling units, and farms that are concurrently receiving electric service from the Cooperative and where photovoltaic, wind-powered, micro-hydro, biomass-fueled, or other Cooperative-approved renewable generation source of energy (“Eligible Generation Source”) is installed on the member’s side of the delivery point, for the member’s own use, interconnected with and operated in parallel with the Cooperative’s distribution system. This schedule is only applicable for installed systems that comply with the Cooperative’s current “Standard for Interconnecting Small Generation 100 kW or less with Electric Power Systems” (“Interconnection Standard”), which may be modified by the Cooperative from time to time. The Nameplate Rating of the member’s installed generation system and equipment must not exceed 50 kW. TYPE OF SERVICE Single phase or, where available, three phase service, 60 hertz, through one meter at standard secondary voltage, or other voltage as may be mutually agreed upon. RATE (Per Month) Basic Facilities Charge $50.00 Plus: A facilities charge factor equal to the incremental investment in facilities required to be made by the Cooperative, if any, to provide service to member, hereunder, times an investment charge factor of 1.5% per month. Plus: The cost charged to the Cooperative by its wholesale power supplier, Central Electric Power Cooperative, Inc.

SCHEDULE N PAGE 2 MINIMUM MONTHLY CHARGE The minimum monthly charge under this schedule for single phase service shall be $50.00 (plus any facilities charge as provided under “Rate”), or such other minimum monthly charge as specified in a written agreement between the member and the Cooperative. WHOLESALE POWER COST ADJUSTMENT FACTOR The Cooperative’s Wholesale Power Cost Adjustment Factor will not apply to service supplied under this schedule. ADJUSTMENT FOR ACTUAL COSTS The foregoing charges are based on projected costs and may be adjusted at least annually to reflect changes in such projected costs. Adjustments shall include an appropriate recognition for any under or over recovery of actual costs from prior periods as billed by Central to the Cooperative under Central’s Schedule NMP-TOU - SALES FOR RESALE. DETERMINATION OF ON-PEAK BILLING DEMAND Demand shall be measured at or as of the secondary voltage side of the transformer located at the Cooperative’s delivery point of service to the member, but may be metered elsewhere and appropriately adjusted to compensate for losses between the Cooperative’s point of delivery to the member and the point of metering. The monthly On-Peak Billing Demand shall be the maximum 30-minute integrated kilowatt demand delivered to the member during the On-Peak Hours in the month for which the bill is rendered. DETERMINATION OF BILLING ENERGY All billing energy will be as metered, with appropriate adjustment for losses between the Cooperative’s point of delivery to the member. DETERMINATION OF ON-PEAK AND OFF-PEAK HOURS On-Peak Hours during the Summer Months of May, June, July, August, September, and October shall be the hours from 12:00 noon until 10:00 p.m., all days of the week. On-Peak Hours during the Winter Months of November, December, January, February, March, and April shall be the hours from 5:00 a.m. until 9:00 a.m., all days of the week. Off-Peak Hours shall be all hours not specified above as On-Peak Hours.

SCHEDULE N PAGE 3 TERM OF SERVICE Acceptance of service under this schedule binds the member to all terms and conditions of this schedule. Such obligations shall begin on the date of such acceptance of service and shall continue for an initial term of one (1) year and thereafter for additional terms of one (1) year each, unless and until terminated at the end of such initial term or any additional term by no less than sixty (60) days advance written notice of termination from the member to the Cooperative. The Cooperative reserves the right to terminate service under this schedule at any time upon written notice to the member in the event that the member violates any of the terms or conditions of the schedule, or if the member operates the generation system and equipment in a manner which is detrimental to the Cooperative or any of Cooperative’s other members. GENERAL CONDITIONS The following general conditions shall apply to the service furnished hereunder: 1. METERING:

Central will furnish, install, own and maintain metering to measure the kilowatt demand and kilowatt-hours delivered by the Cooperative to the member. Central shall have the right to install special metering and load research devices on the member’s equipment and the right to use the Member’s telephone line for communication with Central’s and the Member’s equipment.

2. INSURANCE:

The member must comply with the liability insurance requirements of the Cooperative’s Interconnection Standard and submit an application to interconnect which must be accepted by the Cooperative.

3. APPLICATION FEES:

The member agrees to pay an application fee in accordance with the Cooperative’s Interconnection Standard.

4. SYSTEM UPGRADES:

The member shall pay any costs associated with upgrades to the Cooperative’s distribution system required for the Cooperative to maintain a safe and reliable distribution system.

5. OWNERSHIP OF PREMISES:

If the member is not the owner of the premises receiving electric service from the Cooperative, the Cooperative shall have the right to require that the owner of the premises give satisfactory written approval of the member’s request for service under this schedule.

SCHEDULE N PAGE 4 6. RENEWABLE ENERGY CREDITS:

By accepting service under this Schedule, the member conveys to Central ownership of any Renewable Energy Credits or other environmental attributes to the energy produced by the member’s Eligible Generation Source and sold to Central. Further, by accepting service under this schedule the member shall at Central’s request execute such further instruments or assurances as Central may reasonably deem necessary to evidence or confirm the ownership of any such Renewable Energy Credits or other environmental attributes.

7. CHANGES TO SCHEDULE:

Due to the experimental nature of this schedule, the Cooperative may deem it necessary to re-evaluate this schedule and, as with all schedules, reserves the right to review, eliminate, or close this schedule to new members; provided, however, that this schedule shall not be closed prior to Central’s Schedule NMP-TOU - SALES FOR RESALE billed to the Cooperative being closed.

TERMS OF PAYMENT All bills are net and payable when rendered. SALES TAX South Carolina Sales Tax will be added to the above rates where applicable. EFFECTIVE DATE For all bills rendered on or after February 1, 2010.

CONDITIONS OF SERVICE

Service shall be rendered by the Cooperative only under the following conditions:

(1) Electric service facilities will be extended to new three phase irrigation loads served hereunder only upon payment in advance of construction of a Contribution-in-aid of Construction for the entire cost of the primary extension and transformer(s) required to provide service, plus the cost of any distribution feeder or substation upgrades as may be necessary to provide the requested service.

(2) The Cooperative shall install and operate metering equipment to measure member’s loads and usage patterns and to obtain other data necessary to determine member’s load characteristics.

DETERMINATION OF HORSEPOWER

The horsepower for billing purposes shall be the motor manufacturer’s nameplate rating of horsepower output, except that if the Cooperative so elects, it shall be determined by actual measurements of power input during a period of maximum normal use. Fractional horsepower auxiliary motors used to propel circular or other type irrigation systems will not be included in the billing horsepower amount. DETERMINATION OF DEMAND

The billing demand shall be the maximum kilowatt demand during the On-Peak Period established by the member for any period of 30 consecutive minutes for the month the bill is rendered, as indicated or recorded by a demand meter and adjusted for power factor correction if necessary. DETERMINATION OF ON-PEAK AND OFF-PEAK HOURS

On-Peak Hours:

Customer agrees not to re-sell the electric power purchased. 2. Electric service to the Service Location shall begin on «On_Date» and continue until May 31«Year» and

automatically renew for a one year period every May 31 thereafter until one party gives the other party 60 days, notice of termination in advance of the May 31 renewal date.

3. Customer agrees to become a Member of the Cooperative, pay the membership fee, and to abide by the Bylaws

and Service Rules and Regulations of the Cooperative, as amended from time to time. 4. Customer grants an easement and license for all necessary equipment and facilities of the Cooperative to provide

electric service or other services over the same facilities to other customers of the Cooperative. Customer acknowledges that Cooperative may allow other utilities to attach to Cooperative’s facilities and such attachments do not violate the terms of this easement and license. Cooperative shall have rights of ingress and egress to maintain, repair, and operate its facilities on Customer’s property which Cooperative will exercise with consideration for Customer’s business.

5. Customer will pay for electric service based upon the applicable rate in the Cooperative Rate Schedule as adopted

and amended from time to time by the Board of Trustees. Customer acknowledges receipt of Cooperative’s Rate Schedule. Payment is due ten days after receipt of invoice and past due after 25 days. Cooperative may cut off service and Customer must pay all late charges, all reconnect and collection costs, including reasonable attorneys’ fees, if Cooperative must take action to collect past due charges.

6. Cooperative and Consumer shall be responsible for their own facilities and agree to indemnify and hold harmless

one another from any claims, loss, damages, actions or expenses arising out of their respective facilities or operations.

7. Cooperative has no liability for (a) minor interruptions in electric service or (b) major outages or delay in electric

service caused by events outside of Cooperative’s control. 8. All notices shall be rendered to the addresses given above for Cooperative and Customer.

MONTHLY ADJUSTMENT FACTOR APPLICABILITY This schedule is applicable to and becomes a part of each electric service rate schedule of the Cooperative in which reference is made to Schedule "MAF." ADJUSTMENT OF BILLS Current monthly bills will be increased or decreased, per kilowatt-hour sold, by an amount determined in the formula below to the nearest one thousandth of a cent (.00001). Where: T = The Cooperative's TIER based on the most recent twelve-months' total margins

D = Accumulated Deferred Credit balance TARGET TIER LEVEL A "target" TIER level will be established from time to time by the Board of Trustees. Such TIER level will not be lower than the minimum level specified in the then current RUS Supplemental Mortgage Agreement or any successor mortgage covenant agreement with any lender. DEFERRED CREDIT BALANCE ADJUSTMENT (DCB) At any time, if the amount in the Deferred Account becomes excessively large, either positive or negative, the Board of Trustees may authorize a further adjustment to retail rates, to amortize the amount in the Deferred Account to rates. MARGIN STABILIZATION PLAN/ INDEXING The MONTHLY ADJUSTMENT FACTOR is an integral part of the Cooperative's Margin Stabilization Plan adopted by the Board of Trustees on December 20, 1989 and is intended to assure attainment of a prescribed TIER level in each fiscal calendar year. In the event of a major increase or decrease in costs, the Cooperative may make a corresponding adjustment to factor "C" above for the purpose of indexing to the new level of costs.

The Board approved new rate schedules on July 28, 2010 effective with all bills rendered on or after November 1, 2010.

RIDER LOAD CONTROL RATE

AVAILABILITY The availability of this Rider is limited to Rate Schedules D, G, and R, and by the number of switches allotted by the Cooperative’s wholesale power supplier. This rate is not available to seasonal loads, aluminum sided mobile homes, and water heaters not wired to the National Electrical Code. APPLICABILITY To those members who have a Cooperative load control switch attached to their water heater(s) of at least 40 gallons (240 volts) and/or central air conditioner system(s), and whose electrical consumption is 500 kilowatt-hours per month or greater. TYPE OF SERVICE The Cooperative shall have the right to interrupt service to the member's central air conditioning (cooling) system(s) and/or electric water heater(s). This interruption of service may be at any time for the purpose of curtailing system demand. The Cooperative also reserves the right to "control test" the functioning of these control devices, at any time, and to physically inspect the switch(es) at any reasonable time. CREDITS FOR LOAD CONTROL A $2.00 monthly payment, in the form of a billing credit, will be made to the member for each water heater control switch that is installed during each entire billing period. A $4.00 monthly payment, in the form of a billing credit, will be made to the member for each central air conditioner control switch that is installed during each entire billing period of June, July and August. EFFECTIVE DATE This rate becomes effective for those accounts that qualify and are billed on, or after, November 1, 2010, and is subject to being modified or discontinued by the Cooperative, at its sole discretion, based upon the benefits of load control.

NET METERING RIDER FOR RESIDENTIAL AND SMALL COMMERCIAL RATES

Availability

This rider is available in conjunction with the Cooperative’s Residential Rates (D, G & R) and the Cooperative’s Small Commercial Rate (C). All retail members who own and operate a solar photovoltaic, wind-powered, biomass-fueled, or micro-hydro generating system, located and used at the member’s primary legal residence or business where a part or all of the electrical requirements of the member can be supplied from the member’s generating system can receive service under this rider. The rated capacity of the member’s generating system shall not exceed the lesser of (a) the member’s estimated maximum kilowatt demand or (b) 20 kilowatts for a residential system or 100 kilowatts for a nonresidential system. The member’s generating system as referenced above must be manufactured, installed and operated in accordance with governmental and industry standards, and must fully conform with the Cooperative’s Interconnection Standard. This rider is available on a first come, first serve basis, except that the total capacity of all retail member generating systems under this rider shall not exceed 0.2% of the Cooperative’s hourly integrated peak load, as measured at its distribution substations, for the prior calendar year. If the member’s proposed installation results in exceeding this limit, the member will be notified that service under this rider is not allowed.

Rate per Month

The applicable rate per month shall be from the appropriate rate schedule as referenced in the Availability section above. The monthly bill shall be determined as follows: For electric service under a standard, non time-of-use rate schedule (Rates D, C, G, & R): 1. The facilities charge shall be determined and billed as set forth in the applicable rate schedule as

described in the Availability section above. 2. Energy charges (or credits) shall be based on the rates in the applicable rate schedules as described in

the Availability section above. For purposes of calculating monthly energy in kilowatt-hours, member’s usage shall be reduced by the total of (a) any excess energy delivered to the Cooperative in the current month plus (b) any accumulated excess energy balance remaining from prior months. Total energy in kilowatt-hours billed to members shall never be less than zero. For any billing month during which excess energy exceeds the member’s usage in total, producing a net credit, the respective energy charges for the month shall be zero. Credits shall not offset the facilities charge for the applicable rate schedule.

3. Excess energy not used in the current billing month to reduce billed kilowatt-hour usage shall be accumulated and used to reduce usage in future months; however, any accumulated excess energy not used to reduce billed kilowatt-hour usage shall be reset to zero each June 1. Excess energy delivered prior to June 1 will only be used to reduce usage provided by the Cooperative prior to June 1.

4. There will be no compensation paid to the retail member for excess energy granted to the Cooperative.

 5. For each nameplate kW of installed solar photovoltaic generating capacity, there is a $5.00 per month

distribution service charge. However, for the term of the rider, this charge to consumer will be waived by the Cooperative and paid by the wholesale power supplier.

6. For each nameplate kW of installed, wind-powered, biomass-fueled, or micro-hydro generation, the monthly distribution service charge will be determined on a case by case basis. However, for the term of the rider, this charge to consumer will be waived by the Cooperative and paid by the wholesale power supplier.

Definitions Section

Minimum Charge

The monthly minimum charge shall be the basic facilities charge plus the demand charge, if any, as stated in the applicable rate.

General Provisions

1. To qualify for this rider, the retail member must first qualify for and be served on one of the rate schedules as described above in the Availability section. The member must also meet all other qualifications as outlined in the Availability section.

2. All provisions of the applicable residential or commercial rate schedules described above will apply to service supplied under this rider.

3. The retail member must execute an Interconnection Agreement prior to receiving service under this rider. The agreement shall include a description of the conditions related to interconnection of the member generation with the Cooperative’s electrical system.

4. Renewable energy generators will retain ownership of Renewable Energy Credits (RECs) until a market for RECs is fully developed as reasonably determined by the Cooperative. After a market for RECs is fully developed, then, annually, any RECs associated with net excess generation shall be granted to the Cooperative when the net excess generation balance is set to zero.

Special Provisions

The Cooperative will furnish service in accordance with its standard specifications. Non-standard service will be furnished only when the member pays the difference in costs between non-standard service and standard service or pays to the Cooperative its normal monthly facility charge based on such difference in costs.

Term of Contract

Contracts shall be written for a period of not less than one (1) year renewable June 1st of each year subject to availability. After the initial period, either party may terminate service under this rider by giving a sixty (60) day notice in writing. A separate contract shall be written for each meter at each location.
