Thank you for your interest in the 1st Annual 2011 Heroes Music

Festival. Please read the following information carefully and complete

Heroes Music Festival Vendor Agreement 1. These rules represent a binding agreement between Heroes Music Festival, LLC. (HMF) and Exhibitors/Vendors (You) who lease a site for Heroes Music Festival (the festival). By submitting your application, you acknowledge that you have read, understand, agree to abide by these rules, and to be bound by the terms of this agreement. 2. This festival is not-juried. Exclusivity is not guaranteed for any particular item or class of item. The sale of food and beverage items is permitted and approved only by HMF and Atlanta Motor Speedway of Speedway Motorsports, Inc. Vendors are not permitted to sell drug-related paraphernalia, weapons, and illegal items. No vendor will be allowed to print any product Atlanta Motor Speedway (AMS), Heroes Music Festival, LLC (HMF), or any performing artists/bands information on them without prior written consent from HMF. Exhibitors may not promote third-party sponsors through literature or giveaways. HMF reserves the right to accept or reject any vendor application. 3. The vendor fee is non-refundable after a site has been assigned. The fee must be paid at the time you apply for a site. If you need more than one site, you must pay for multiple sites. If your application is not accepted or if all available sites have been leased, your payment will be returned. It is the sole discretion of HMF as to which site(s) is/are assigned to a vendor. 4. Each vendor site shall measure approximately 10 feet by 10 feet. You shall not place any items outside the boundaries of your site, including overhangs. You shall not block or use any walkways adjacent to your site. You may not sublet any site or any portion of your site to any other vendor without permission from HMF. Sites are non-transferable. 5. HMF will provide electricity within specified areas; however, tables, seating, tent coverage, or other amenities will not be provided for vendors. HMF will provide you with the lot number or space number of your site in a site confirmation email. If you need electricity outside of areas without electricity hookups, it is your responsibility to provide your own generator. Extension cords must be raised off the ground or secured firmly to the ground so as not to obstruct pedestrian traffic. You may NOT use gasoline-powered generators or other devices deemed to be a safety hazard or a public nuisance. Excessive noise is prohibited. 6. HMF will provide trash removal services to its vendors, but you must provide trash/garbage containers and liners of sufficient size and quantity to accommodate ALL refuse generated by your exhibit. During the festival, you must place trash/garbage in tightly secured bags and place them in the dumpster as necessary to prevent overflow and limit attraction of insects. You are required to assist festival volunteers as necessary to ensure your site is properly cleaned and all trash removed before vacating the site. 7. All vendors will be required to check in daily. A location will be provided closer to the date of the festival with check in location. Each vendor will need to provide a list of person(s) that will be working your booth for the festival. The number of passes allowed will be based on the size and location of your booth. No vendor will be allowed to close their booth until ALL concerts have ended. 8. Vendor access to the Festival area will be from the Main Vehicular Tunnel (see map) only. You will be permitted to drive a vehicle into the exhibit area long enough to unload only. All vehicles must be removed from the exhibit area no later than 30 minutes before gate opening. Restocking will be allowed each day before gate opening. Restocking during event hours will need to be coordinated with the Event Coordinator. At the conclusion of the festival on SUNDAY September 11, 2011 11:30 pm, vehicles will be permitted in the exhibit area for the convenience of the vendor. Your site must be completely vacated by 12:00 am midnight Monday. You agree to operate your exhibit according to the schedule below. INFIELD GARAGE AREAS: Wednesday, September 7 – Vendor Check-In/Set Up: 12:00pm to 6:00pm Thursday, September 8 – Required to be Open: 2:00pm to 12:00am Friday Friday, September 9 – Required to be Open: 1:00pm to 12:00am Saturday Saturday, September 10 – Required to be Open: 1:00pm to 12:00am Sunday Sunday, September 8 – Required to be Open: 11:00am to 11:00pm

STAGE VENDOR AREA: Wednesday, September 7 – Vendor Check-In/Set Up: 12:00pm to 6:00pm Thursday, September 8 – Required to be Open: 2:00pm to 12:00am Friday Friday, September 9 – Required to be Open: 1:00pm to 12:00am Saturday Saturday, September 10 – Required to be Open: 1:00pm to 12:00am Sunday Sunday, September 8 – Required to be Open: 11:00am to 11:00pm HEROES FUN ZONE AREAS: Wednesday, September 7 – Vendor Check-In/Set Up: 12:00pm to 6:00pm Thursday, September 8 – Required to be Open: 2:00pm to 12:00am Friday Friday, September 9 – Required to be Open: 11:00am to 12:00am Saturday Saturday, September 10 – Required to be Open: 11:00am to 12:00am Sunday Sunday, September 8 – Required to be Open: 11:00am to 11:00pm *There will absolutely be NO vendors allowed to closer their vendor spaces early. In the case it does, a $500 fine will be assessed. 9. All golf cart and ATV’s are prohibited, except those used by HMF and AMS staff or volunteers. 10. FREE camping is to vendor. Vendor may choose to pay for nearby accommodations. 11. All pricing must be visible at all times. HMF will determine which items are approved for sale by each vendor in an effort to provide the best balance, variety of products, and quality of service to the public. All items you wish to sell must be listed on the application to include prices. HMF reserves the right to require vendors to sell official products of its sponsors and suppliers, including but not limited to beer, soda, and water. Said products must be purchased through HMF and HMF will set all prices for all sponsor-related products. 12. The festival is an open-air event and is held regardless of weather. In the event of dangerous conditions, the festival may be suspended, or if necessary, cancelled. You are obliged to observe the instructions of HMF, Fire Police, Hampton Police Department, and/or the Henry County Sherriff’s Department in the event of emergency. 13. Prior to the festival, HMF will provide advertising through several media. HMF will provide entertainment during the festival. HMF will provide appropriate sanitary facilities for festival vendors and visitors. With the assistance of local police, fire police, and emergency personnel, HMF will provide traffic control, law enforcement, fire response, and medical assistance as required. 14. HMF, Atlanta Motor Speedway of Speedway Motorsports, Inc., emergency services personnel, and other exhibitors are not responsible for injury or loss suffered by you, your employees, or agents, or to your property, from any cause whatsoever, that takes place during the festival. You agree to indemnify and hold harmless all individuals mentioned prior from any claim or cause of action related to your participation in the festival. No insurance of any kind is provided or implied by HMF or the Atlanta Motor Speedway of Speedway Motorsports, Inc. 15. You are responsible for compliance with all state sales tax laws and, if you are serving food, with all state and local health department rules and other applicable statutes. You must provide a sales tax identification number to HMF. Failure to do so will prohibit you from exhibiting at the festival. 16. All communication between you and HMF regarding this agreement must be in writing. In the event of a dispute, you agree to seek resolution under terms and conditions dictated by HMF. Failure to comply with these rules shall be considered a breach of this agreement. Should that occur, you may be subject to immediate removal from the festival and/or exclusion from future festivals. Failure to observe the instruction of police and fire police, or to observe the laws of the Atlanta Motor Speedway and the Commonwealth of Georgia, may lead to citation or arrest. Vending Categories / Fees

“Artist / Crafter” To be considered in this category, artists must make the product with their own hands. Products must be of higher quality.

Infield Garages “Premium” - $2,500 The fee for Artist/Crafter vendor in the Infield Garage “Premium” vendor spaces is $2,500 to include a fully covered garage, electricity, and bathrooms inside the garage areas. The fee includes one (1) 10’ x 10’ space for the entire length of the festival, up to 4 Vendor Event Access Passes (additional passes must be purchased), and 1 free Camping/RV space at the Atlanta Motor Speedway. Additional space may be granted and price will be discussed after the application is received.

“Stage Area” Vendor - $1,500 The fee for Artist/Crafter vendor in the “Stage Area” vendor spaces is $1,500. There are only ten (10) spaces available for this type of vendor. The fee includes one (1) 10’ x 10’ space for the entire length of the festival, up to 3 Vendor Event Access Passes (additional passes must be purchased), and 1 free Camping/RV space at the Atlanta Motor Speedway. The vendor is responsible for their own tent and generator for electrical needs.

“Heroes Fun Zone” Vendor Area - $1,000 The fee for Artist/Crafter vendor in the “Stage Area” vendor spaces is $1,000. Space for this type o vendor is limited. The fee includes one (1) 10’ x 10’ space for the entire length of the festival, up to 2 Vendor Event Access Passes (additional passes must be purchased), and 1 free Camping/RV space at the Atlanta Motor Speedway. The vendor is responsible for their own tent and generator for electrical needs.

“Vendor” To be considered in this category, vendors sell merchandise they do not make by hand. Products must be of higher quality.

* NOTE: The closing of vendor spaces early is prohibited. In the event that it happens, a $500 fine will be assessed. *

Vendor Camping

All vendors will be granted one (1) free Camping/RV space in Legend RV camping or Legends Tent Camping. You will receive all of your passes when you check in on Wednesday, September 7. Additional Camping/RV spaces must be purchased at the current rate. If your staff has special needs, please note that in the application form.

Vendor Paperwork

All vendors will be required to provide a certificate of liability with Heroes Music Festival, LLC., and Atlanta Motor Speedway named on the certificate. A completed I-9 Tax Form with an applicable Tax ID Number will also be required.

Applications must be received by August 1, 2011 to be included in the review and acceptance process. If filing for a vendor space late, please call 1 (855)-7HEROES to be considered. There are no guarantees. All proposals will be reviewed and an email confirmation will be sent to you indicating whether or not you have been accepted.
