Section 1. Name:

Section 2. Vacan ies i

A vacancy in membership shall e ist in the event of a member's ineligibili , death, resignation, removal or inability to se 1 ve. Any vacancy in the officers of this District Central Co mittee shall be filled in accordance with these Bylaws. Apy vacancy in any precinct committeeper on or of any officer of the County Republic n Central Committee shall be filled in the manner provid d by the bylaws of the County Republic n Central Com ittee. Any vacancy in any elected or app inted Elected Office shall be filled in the man er provided by he bylaws of the district central commi ee of the district corresponding t such Elective Office.

ARTICLE III. OF ICERS, POWERS OF THE COMMITTEE I . . .

Section 1. Officens Term and ualifications:

A. Officers. The fficers of the Dlstrict Central Committee shall be a Chair an, Vice-Chairman, and Secretary.

B. Officer Qualifi ations. The offiFers shall each be registered Republican lectors who reside within the territory included i11 the limits ofi the District. Persons elected to such a·fficer positions nlay but do not need to otherwi e qualify as members of the District Central Committee.

C. Officer.Voti11g e1nbership. T~e officers of the District Central Commit ee shall be voting members of the District Cen al Committee during their term of office.

D. Term of Offic . Tl1e officers oflthe District Central Committee shall assu e their duties at the conclusion of th biennial Organizational Meeting, or at the conclusion of meeting that may be called to fill a vacancy, an shall hold office until their successors are elected or ap ointed and qualified to serve.

Section 2. Duties of 0 ficers·

B. Vice-Chairma : The Vice-Chairman shall assist the Chairman in the exec tion of his or her duties. In . addition, the Vic - Chairman shalf.:

I C. Voting Procedur : The officers of the District Central Committee shall bee ected by a majority vote of those members of he District Central Committee present and voting. The el ction of District Central Committee officers shall be conducted by secret ballot or by raise of hands u less there is only one nominee for the of · ce, in wl1ich case the election may be by voice vote.

Section 4. Vacancie and Removal of District Central Committee Officers

A. Vacancy Conditi ns: A vacancy id office shall exist in the event of an office~'s ineligibility to hold office, death, resig ti on, removal, permanent absence 01" permanent disabiliW. Tl1e District Ce11tral Committee Vacanc Committee shall decide by majority vote of the member of the District Central Committee Vacanc Committee whether sufficient evid~nce exists of the inel gibility, permanent absence, or perma lent disability of any officer. Removal: The Di trict Central Committee may remove any officer for good cause and declare a vacancy by the affir ative vote· of 2Y3 of the members of the District Central f ommittee present and voting at a regular r special meeting of the District Cent.ral Committee. ARTICLE IV. DIS RICT VACANCY COMMITTEES

Section 1. Vacan Committees C eate and Em owered· •

Vacancy Commi es shall be and are hereby organized and empowered tolfill vacancies in District Central Committ e officers, in the designation and nomination of Republic~n candidates for the General Assembly for the istrict, and the Republican Elected Official of the District!, in accordance with relevant provisions of Col rado law.

Section 2. Distric Central Committee Officer Vacanc - District Central Co mittee Vacanc Committee·

Any vacancy in e offi.ce of Chairman, Vice-Chairman or Secretary of this istrict Central Committee shall be filled by District Central Committee Vacancy Committee consistiJg of the remaining officers of the District Cent 1 Committee; tqe chairman, vice-chairman, and secretart of the County Republican Central Comn1itt e who reside within the territory included in the limits o the District; and the Republican mem ers of the Gene al Assembly then residing i11 the District

Section 3. Vacan in Desi nation o o inat· 11- District ssembl Vaca 1c Committee:

A. A vacancy cau ed by:

1. the fail re to designate a candidate at the District Assembly; or . . 2. the de lination, death, ~isqualification, resignation, or withdraw 1 of the person previously designat d by the Districf Assembly; or · .

3. the de linatio11, death,· disqualificatio11, resignation, or withdraw l of the person nominated at the Repu lican primary e~ection; or

4. the de lination, death, 'disqualification, or withdrawal of a candi?ate for elective office after a primary ~lection at which a nomination could have been made for e office had the vacancy then exis ed;

Section 4. Vacan in the Re ublican Elected Official - lective Office Vaca c C mmittee:

A. When a vacan y occurs in the office of a Republican Elective Official oft is District caused by: .

1. the de th or resignation of a person who has been sworn into office; or •

2. cause by the death or1resignation of a person.who has been elected to a seat but who has not yet been worn into offic ; or

that is ca sed by the declination, death, disqualification, or withdr wal of any person nominated at the pr mary election; or

4. the de lination, death, disqualification, or withdrawal of any ele tive officer after a primary election t which a nomination could have been made for the offic had the vacancy then existed that can ot be filled befo e the general election; or

5. a perso . not taking the l ath of office within ·the time period requ · ed by law;

the vacancy shall e filled by the Elective Office Vacancy Committee, consis ing of all eligible voting members of the D~strict Central c 6mmittee at the time the vacancy occurs. he vacancy shall be filled until the next reglltlarly scheduled general election. The Elective Office Vaca cy Committee shall certify the selection of a erson who meets the qualifications for Elec.tive Office to the Colorado Secretary of State within thir · days from the date the vacancy occurs; except that, in th case of a vacancy filled pursuan~ to Secti n 1-4-1002 (2.5), C.R.S., the Elective Office Vacancy Com ittee shall certify the selection within t irty days after the date of the general election affected b the vacancy; or except as 9therwise requir d by law.

. Section 5. Notice of Vacancy Committee Meeting:

Notice of any me5ting of any Vacancy Committee shall be distributed to each member of the Vacancy Committee by fir t-class mail at least ten (10) days prior to such meeting, o in accordance with the notice provisions equired under f olorado law, whichever is shorter. Such notice shall clearly state the date, time, place nd purpose oft e meeting.

Section 6. Vacanc Committees orum: ..

The quorum for a y Vac~ncy Comb ittee meeting shall be one half (1/2) of he members prese11t in person. No member of any Vacancy Committee may vote or otherwise participate in any meeting or any selection or desig ation by proxy. If a quorum is not present at any Vacanct Committee meeting, the Vacancy Com1nitt e shall adjourn tl1e meeting to a future date, time and pl ke certain, within the period required under la to fill the vaca11cy, without republishing notice of then w meeting.

Section 7. Metho ofVotin :

All elections of th Vaca·ncy Committee shall be conducted by a secret ballo unless there is only one nominee to fill a vacancy. The person to fill the vacancy shall be elected by J majority vote of those members presen and voting. Balloting shall be repeated until a majority vote is cast for one nominee, and no nominees all be removed from any subsequent ballot unless such 01ninee voluntarily withdraws.

ARTICLE V. MEE INGS OF THE l lSTRICT CENTRAL COMMITTEE

Section 1. Organi ational Meeting:

A. The biennial Organizational .~ee~ing of the District Central Committee shall be held on the same day and in the same I9cation, or in a location proximate to, the organizational meeting of the County Republican Central Committee of yvhich this District is comprised in whore 1 r in part, which Organization Mee ing.shall be held between February 1 and February 15 o each odd-numbered year, or within such time eriod as may ot erwise be required by law. The purpose of the Organization Meeting is to: ·

1. To Elec a Chairman, Vice- Chairman and Secretary of the Distric Central Committee;

2. To sele tor ratify the selection of District Vacancy Committees in accordance with these Bylaws; -

Section 3. Notice of all Meetine:s:

Unless otherwis l specified he~eih, th~ members of any Regular or Special Meeting of the District Central Committee, Vac ncy Committee, or other committee of the District Centra) Committee shall be notified by written notic delivered by United States mail, first class postage prep~id, or electronically delivered by facsimile or e-mail. ARTICLE VI. v1TING AT MEETrNGS OF THE COMMITTEE

Section 2. Proxies:

A. Designation: A voting membe .who wishes to vote by proxy at those m etings where proxies are allowed shall desi nate her or his ~roxy in writing or on a written form whi h shall be dated, witnessed and submitted to e Chairman pr~or to the start of the meeting, except that no member may participate by proxy at any V cancy Committee me·et~.ng. ARTICLE VII. DIS RICT ASSEMB Y

. Section 1. District k\ssembly •

A. Date and Locati n: The District ssembly shall be held on the s~me date · s tl1e County Assembly in which the District is comprised, in whole or in part, in those years in which · candidate for the Elective Office of the Distri tis designated or election.

B. Vacancies: Any acancy in a delegate place shall be filled only from amon , the alternates in attendance at the istrict Asse1nbl~ from the precinct fof. which there is av cancy. Alternates shall be seated as delegate in the order designated by their pre~inct caucuses. Alte nates must yield to delegates when tl1 y are present. ·

If two or more candidaies receiving designation have received an equ 1 number of votes, the order of certification of designatio shall be determined by lot by the candidates. I

Requirement for Nominees: No person shall be eligible for designatio by the District Assembly to the Republican rimary election ballot unless such person possesses the onstitutional and statutory qualifications fo such Elective Office and shall have been continuously af iliated as a Republican for at least thirty (30) days preceding the District Assembly, as shown by the vo er registration rolls maintained by t e County Clerk knd Recorder or the Colorado· Secretary o State. ·

Section 5. Distri t Assembl Vac Inc Co ittee · I

T~e District Ass mbly Vacancy Committee shall fill any vacancy that occu~s in the Republica11 designation or n mination of a c~ndidate for Elective Office, in accordanc with Article IV, Section 3 of these Bylaws, th bylaws and rules of the Colorado Republican State Cent al Committee, and the applicable laws fthe State of Colorado.

ARTICLE VIII. A ENDMENT oJ THESE BYLAWS . . I

These Bylaws m y be amended ~t any Regular or Special Meeti11g of the D strict Central Committee by the affirmative v te of two-thirds (2/3) of those members present a11d vo ing, provided that the proposed amenc:\'ment was submitted, in writing, to the officers for review mailed or sent by e-mail no fewer than thir~ (30) days priorjto the meeting to the nlembers of the Dis~rict Central Committee, and a copy of the prop se~ amendmenf(s) were included in the written notice o the meeting .

. ARTICLE IX. PA LIAMENTARY h.UTHORITY

The current editi n of Roberts RJ( es of Order, New!J! Revise~ shall govern t~e meetings of the District Central Committ e, the District Assembly, and all regular or special meeti!ligs of the District Central Committee or an of its committees, including any Vacancy Committee, w~enever they are applicable and not inconsist nt with these B~laws, the bylaws anq rules of the Coun Party Central Committee, the bylaws and rules of the Colorado Republican State Central Committee, and applicable law. ·
