Tender documents along with detailed terms & conditions are available on company’s website www.gsfclimited.com. GSFC, intend to move/transport these products or goods (viz. Fertilizers, Agro Products, Tissue Culture, Industrial Chemical Products, Plastics, Fibers and any other bagged/bulk/loose/packed products) from the Plants, from GATL, Dashrath, Chaani and any Godown/ Warehouses in and around our Vadodara Unit to various destinations (as will be indicated by the Company from time to time) in the State of Gujarat & outside Gujarat State during the year 2018-19. The state wise/ group wise/ district wise/ block (taluka)/ KM wise/ Slab wise indicative / tentative quantity to be moved is depicted in proforma (Annexure 1 to 18) for quoting rates of respective groups. The rates shall have to be quoted in the enclosed proforma (Annexures 1 to 18) only separately for each group duly signed and stamped on each & every page. Bidders need to bid minimum 3 groups for qualifying as a participant in this contract. Quantities mentioned are indicative and tentative. These quantities are subject to variation based on production/ availability and as per requirement of any State/ destination. The Company however may change the actual quantity to be transported to each State/ Group/ District/ Block/ Destination depending upon the requirements. The contractor shall not question about it. enclosed Annexure-A and Annexure -B (General Safety guidelines). We request you to send your competitive rates for the above mentioned transportation work for a period of 12 months from February 01, 2018 (up to January 31, 2019). Your rate for transportation would be exclusive of loading and unloading at the plant and destination respectively but inclusive of “varahi/tekai”, any other taxes and fees at the destination. Interested Transport Carrier willing to participate in the tender process may download Tender Documents from our website and submitted in double sealed cover of 24X32 cm. addressed to CMC (Contract Management Cell) so as to reach the same at his Office latest by 3:00 PM on 05.01.2018. Sealed cover should be superscripted “Quotations for Road Transportation Work-2018-19”,duly sealed and signed as per Annexure C. Contractor may quote rates for one/ more groups; however, Company reserves the right: 1) To award contract to one Transport Carrier for one Group/ Destination or more than one Group/ Destination. 2) To award contract to more than one Transport Carrier in one group/ Destination. Your tender should be accompanied with separate envelope consisting a crossed Demand Draft drawn from any nationalize bank for Rs.2.00 Lakhs as “Earnest Money Deposit” in favour of Gujarat State Fertilizers & Chemicals Ltd., payable at Vadodara. EMD of unsuccessful bidders shall be refunded within 15 working days after finalization of contract. In case of successful bidders, the EMD shall be refunded after 15 days on execution of contract. The Earnest Money Deposit shall not bear any interest. Bidders are not permitted to withdraw their offers once they submit their offers to the Company till 90 days from the opening of the tender documents. In case of withdrawal or bidder fails to accept the contract when awarded, Earnest Money Deposit shall be liable for forfeiture and the contractor shall be black listed. The tender not supported by the “Earnest Money Deposit” as above, will be rejected. As per directive from Govt. of Gujarat and Central Govt. no overloading of trucks is permitted and therefore, we will load the trucks strictly as per RTO approved carrying capacity of each truck. In case of any deviation if allowed, the approved rates will be reviewed on pro-rata basis. The bidder should take utmost care while filling the details and the rates, in the respective Performa (Annexure), as any wrong information or unworkable rates, if given, shall be liable to be disqualified from the participation in the tender. GSFC reserve the right to accept or reject any or all quotations without assigning any reason or to award contract for all or any of the aforesaid operations, to one or more parties. Enclosure - 3) Annexure -A (Terms & Conditions - Pages 01 to 14)

Gujarat State Fertilizers & Chemicals Limited, Vadodara TERMS AND CONDITIONS FOR ROAD TRANSPORT CONTRACT: FY-2018-19

In these terms and conditions: i) “Company” means the Gujarat State Fertilizers & Chemicals Limited, Vadodara. ii) “Contract” means the contract arising out of the acceptance of a tender by the

company for the aforesaid work. iii) “Transport Carrier” means the successful bidder whose tender the Company accepts

for the aforesaid work. iv) “Products or Goods” fertilizers, chemicals, plastics, fibers, agro products, tissue culture,

industrial chemical products and any other bagged/ bulk/ loose/ packed products. 1.0.1 Notwithstanding anything to the contrary contained in the tender of the Transport

Carriers, the contract shall be governed entirely by the terms and conditions herein stipulated.

1.0.2 The contract shall be for a period of 12 months and will be effective as per Work Order or such other date as may be decided by the Company and shall be valid for one year. However, the Company may at its discretion either (i) extends the terms of the contract for further period of 3 months, as it may deem necessary on the same terms and conditions (ii) or terminate the contract before the stipulated period.

SCOPE OF WORK:

The scope of obligations and various operations required to be carried out by the Transport Carrier in terms of this contract shall inter-alia be as specified hereunder. This is indicative and not exhaustive:

PLACEMENT OF TRUCK:

2.0.1 The Transport Carrier shall undertake the transport of goods for GSFC as per the terms of

this agreement.

2.0.2 The Transport Carrier shall transport, fertilizers, chemicals, plastics, fibers, agro products,

tissue culture, industrial chemicals products and any other bagged/ bulk/ loose/ packed

products or goods in full truck load or part truck load basis with best possible way in

handling and transportation of goods in the shortest possible time from the Company’s bagging plants, silo and/ or other places within and/or outside the Company’s factory limits at Fertilizernagar to the Company’s various depots, warehouses, farmer/ customer

address and such other place/ places located in the districts of Gujarat and other States

that may be determined by the Company from time to time with respect to multi

products, multi delivery or single delivery.

2.0.3 The Transport Carrier shall provide and put into operation such number of trucks for the transportation and movement of Company’s products or goods as required by the

Company. Each such truck shall be manned with a driver holding appropriate and valid license, and a cleaner. Both shall have sufficient experience in transportation work involving large quantities.

2.0.4 That the Transport Carrier assures GSFC that their fleet of truck / transport vehicles are completely road-worthy, mechanically fit and the Transport Carrier have necessary permits and permissions, and all types of applicable and required insurance policy/policies to ply. The Transport Carrier shall be fully responsible and accountable for any liability arising in connection with the transportation of goods under this agreement. GSFC shall have no responsibility or liability whatsoever.

2.0.5 Comprehensive insurance of trucks valid for the entire contractual period should be taken by the transporter. Transport Carrier will use only those trucks having even surfaces without nails or any other sharp edges. The truck light etc. are to be in good condition and transporter should observe all traffic rules and regulations inside factory premises and on roads as well.

2.0.6 For the purpose of loading products or goods to be transported into the trucks of

Transport Carrier, the Transport Carrier shall place the truck in appropriate position such that it abides by the safety and security norms of the company, so as to facilitate smooth loading and unloading operations., before and after loading at such points and places within and/or outside factory limits of the Company or as may be required by the Company from time to time.

2.0.7 The Transport Carrier shall do, execute, keep, carry out and perform all its obligations

and operations efficiently and promptly and under the supervision, direction and control of the Logistics Unit of GSFC or such other authorities appointed or nominated by the Company for the purpose at any time.

2.0.8 The Transport Carrier shall ensure that its designated agencies, employees etc. - are

efficient, prompt and properly trained in the various transport operations for the sake of smooth efficient, proper and prompt movement of products or goods of the company without any disturbance or interruptions towards smooth and prompt transport.

2.0.9 The company reserves the right to change the actual quantity of products or goods to

be transported to each State/ District/ Group/ Destination at its discretion depending upon the requirements from time to time. The Transport Carrier shall not question about it. However for calculation purpose tentative Group-wise/ District wise/ Block wise proposed quantity for dispatch in full/ part truck load basis for the year 2018-19 which includes all, products or goods as may be specified by the company as per the requirement arising during the contract period.

PLANNING, PLACEMENT AND LOADING: 3.0.1 It is obligatory on the part of the Transport Carrier to ensure the dispatch/ lifting on FIFO

basis in pro rata to DI/STO (Dispatch Instruction / Stock Transfer Order) quantity issued time to time. However depending upon the requirement of the company all the Transporters have to give the priority to the Indent of GATL Depot or any other priority as per the instruction of Logistics Dept. If the GATL Depot requirement is not fulfilled as per the DI/STO, then it will be viewed very seriously.

3.0.2 The Transporter should declare the names of their employees/ supervisors/ nominees or relatives engaged in our company for any type of work such as loading, bagging etc in the factory premises. The Transport Carrier shall continuously keep posted a responsible supervisor with authority at the Company's factory or at such other place or places from which loading and unloading operations are required to be undertaken, who shall be available at all times for various transport operations and receive and fully comply with all reasonable instructions in this regard from the Company for the purpose at from time to time.

3.0.3 It is the responsibility of the Transport Carrier to ensure correct and proper quantity of loading in their respective each truck. The Transport Carriers’ representative/ supervisor/ truck driver shall remain present continuously supervising the loading of each truck. Any variation in loading (excess) identified at the time of loading or at the Factory’s Out Gate or at any other place within the Factory Premises for checking or any other reason, the penalty shall be imposed on the Transport Carrier @ Invoice Value Plus Rs500/- per Bag and this amount shall be debited from the bill/ invoice. Recurrence of such incidence shall be viewed seriously and shall attract further penal amount or which may even amount to the termination of the Contract.

3.0.4 The Transport Carriers’ representative shall ensure loading of trucks as per its seniority of

entry timing. Breaking of the seniority rank and/or loading early by tipping the loading mukadam or the loading gang shall be viewed very seriously. Under no circumstances such type of practice shall be encouraged or entertained. The Transport Carrier shall suitably advise their driver and cleaner not to encourage such wrong practices.

3.0.5 The Transport Carrier has to appoint authorized supervisors at our site for day-to-day function and the person appointed will not be allowed to do the function of other transporters. He has to report at the Logistics Dept.or any other authority as may be specified by the Company every day at 8.30 a.m. with full details about pending DIs, lifting of previous day against the priority given, and target of lifting for the day, so that necessary arrangement can be made. However, Logistics Dept. will give the program/ priority of dispatch looking to the situation.

3.0.6 If required, the Transport Carrier shall carry in the trucks as a part load, when products

or goods are being transported to the Company’s depots/warehouses and such other places, packets of company's publicity material and boxes of insecticides, bio-fertilizers, seeds and/ or other agro products, required to be transported to the Company's depots, warehouses and such other places. The Transport Carrier shall be doing this as a part of its obligation up to the load of 500 Kgs. If it is more than that Transport Carrier may raise the bill as per the rate approved for products or goods.

3.0.7 Similarly, if the gross weight of material loaded in the truck increases above 500 Kgs than

invoice quantity due to additional weight of packing material of the product, the Transport Carrier may raise the bill for total additional weight loaded in the truck as per the weighment report of GSFC weighbridge at approved contract rates. Approved Gross Weight list for all products will be provided by GSFC after awarding a contract.

3.0.8 Freight Payment will be made as per provided gross weight of approved product list only.

3.0.9 That the freight charges shall be based on the quoted rate to the destination mentioned, and as accepted by GSFC. The Transport Carrier shall provide the trucks for

transportation with load capacity or any other capacity as per the requirement of GSFC. The agreed freight charges shall be inclusive; including and not limited to payment of octroi, or any levy/ taxes/ charges payable as per law and rules and regulations governing transportation of goods. It shall be the liability of the Transport Carrier to pay all taxes/ levies/ charges. GSFC shall not have any responsibility/ liability in this regard.

4.0.1 That it is agreed that the single products/ multi products consigned may be for more than one consignee in different destination in route and transporter carrier will deliver the same as per time to time instructions and requirement of GSFC.

4.0.2 The Transporter has to execute shipment consigned for one or more than one consignee

for single destination or multipoint destinations enroute, the carrier will be paid actual freight for destination or freight on guaranteed full truck load basis under this contract for the last destination or delivered destination, whichever is higher.

4.0.3 The trucks of the Transport Carrier will be loaded with bags or other forms of packing with good condition only for transportation to the company’s depots, warehouses, agency, farmer address and such other places, defects if any, in such bags shall be brought to the notice of the Logistics Department of the company at the time of loading itself. Subsequently complaints or objections regarding condition of bags or other form of packing will not be entertained.

4.0.4 On the trucks having been loaded with products or goods, the Transport Carrier/ transporter representative/ driver shall execute and sign a delivery note in company’s favour in token of the Transport Carrier having received the products or goods in good condition for transportation to the company’s depots, warehouses agency and such other places in good condition and the Transport Carrier shall obtain a receipt from the person authorized in that behalf. Such receipts shall be presented to the Company along with the bills.

4.0.5 It will be obligatory on the part of your truck driver, cleaner and the site supervisor to check the loading of truck for the correctness in terms of both quantity and quality of products or goods.

4.0.6 In order to ensure correctness in loading of number of filled bags, all trucks shall be subjected to weighment procedure, i.e. for empty laden weight of the truck followed by loaded truck’s weight and appropriately computed to number of bags. Whenever the weighment slip is issued it is to be submitted to logistic department at the time of preparation of invoice.

4.0.7 That the Transport Carrier agrees and acknowledges that the products or goods being transported by GSFC are of a very superior quality and are highly valued as against the normal quality of products or goods generally available in the market and in case of payment towards compensation for loss payable by the Transport Carrier in respect of damages, the loss would be calculated at such higher value of products or goods decided by the GSFC Authority.

4.0.8 That the Transport Carrier shall always comply and abide by all the provisions of The Motor Transport Workers act,1961 and all other applicable laws, rules and regulations as applicable from time to time in the matter of transportation of products or goods under

this agreement. The Transport Carrier shall obtain and keep the insurance policies for the trucks in force and valid at all relevant times during the validity period of this agreement / period of extension, if any.

PENALTY CLAUSE: 5.0.1 The Transport Carrier shall make available the trucks at the disposal of GSFC for loading

of goods within mentioned time limit (refer table 1) of demand by GSFC (excluding DI/STO or Daily Program given date). In case of delay in placing the vehicles beyond the time limit, GSFC reserves the right to recover appropriate penalty as per 5.0.2 depending upon the extent of delay. Further in the event the Transport Carrier is not in a position to supply the vehicle within the said time, GSFC shall have the right to lift the material by alternate transporter/third party for transportation of the said consignment and in that event the difference of freight between the Transport Carrier’s freight charges and that of the transporter hired from alternate/outside shall be debited to the account of the Transport Carrier.

5.0.2 If transport carrier unable to supply the vehicle against DI/STO (short supply or un-lifted quantity) within provided time limit (refer Table 1) then Rs.50/ MT/ Day for GATL Depot/s and Rs.25/ MT/ Day charged as a PENALTY for the other destination/s (apart from GATL Depot/s) within Gujarat. For Out of Gujarat Rs.50/ MT/ Day penalty applicable for all the DI/STO (short supply or un-lifted quantity).

5.0.3 For the purpose to calculate short supply or un-lifted quantity, DI/STO quantity or Daily program quantity, whichever is lesser will be taken into account for Penalty. Penalty shall be calculated separately for each pending DI/STO quantity.

5.0.4 LFTL (Less than Full Truck Load), pending orders with less than 10 MT of DI/STO will not be considered for penalty. LFTL consideration will be derived from below criteria:

1) Un-touch order

Example1: DI/STO provided with less than 10 MT of Products or Goods with clubbing of other Products or Goods and not lifted by transport carrier during the provided time line, such order considered as un-touch order. All Un-touch order considered for penalty.

2) Un-executable order Example 1: DI/STO received with 60 MT of Products or Goods, 51 MT lifted by transport carrier and balance 9 MT pending, such pending order considered as un-executable order. (This 9 MT will not considered as a penalty orders) All Un-executable order not considered for penalty. (<10MT orders) Example 2: DI/STO received with 60 MT of Products or Goods and 45 MT lifted by transport carrier than balance 15 MT pending during the provided time line than this 15 MT will considered as a penalty. In such cases no relaxation for <10 MT considered while calculating penalty.

5.0.5 Clause no. 5.0.4 only applicable for Fertilizers movement, non-lifting of all other products

within provided time limit, penalty will be applicable as per 5.0.1, 5.0.2 and 5.0.3 only. Company decision will be final for calculation and deduction of penalty.

TRANSIT PERIOD: 6.0.1 After lifting of the material, the Transport Carrier shall deliver the goods to the company’s

depots/warehouses within 05 days including Saturday, Sunday and other holidays in the state of Gujarat & within 8 days including Saturday, Sunday and other holidays outside Gujarat from the date of loading of the goods from the company, failing which penalty of Rs. 50/- per ton per day will be charged as a late delivery penalty. In case of any breakdown of the vehicle or any other genuine reason during transit, the necessary intimation should immediately be given to logistic department to avoid imposition of penalty. Payment of penalty / dues shall be recovered from the bills of the contract or any other contract with GSFC of the same Transport Carrier. It is the sole and final right of GSFC to decide the genuineness of the reason/s given by the transporter.

6.0.2 In case of non-availability of space in the godown at destination, the truck shall be

diverted to other points by the Warehouse/ Deport personnel and such diversion up to 20 KMs. shall be done free of cost. For diversion beyond 20 KMs, the approved rate Rs./ MT/ KM of original dispatch destination shall be applicable for additional distance traveled beyond 20 KM distance.

6.0.3 That the material, if any, is to be delivered or diverted to any other destination within /or beyond 20 KM distance or any other destination other than that has been mentioned in the invoice/ challan, the Transporter/ Working Agent/ Owner/ Driver/ Cleaner and all Agencies shall suitably take endorsement in writing at the overleaf of the invoice for such diversion/ delivery from the respective authorized personnel of GSFC prior to carrying out the operation and it shall be duly receipted by the personnel of the Agency at the diversion point/ final destination.

6.0.4 That the Transport Carrier while re-assuring GSFC of its responsibility to keep the agreed schedule of transit time in all cases, does undertake to abide by at least 95% of the agreed delivery performance level for each month. The Transport Carrier shall maintain due records of the each consignment and forward the same to GSFC with due analysis of its commitment and also explaining the reasons for delayed delivery of a particular consignment. That No Person, the Owner/ Working Agent including Driver of the vehicle as also the Cleaner of the Transporter/ Transporter’s Company are involved / indulged in any activity of delivering the material to destination other than the destination as given in

the respective invoice/ challan.

TRANSHIPMENT OF CONSIGNMENT: 7.0.1 The transport Carrier shall transport all consignments by direct trucks only to all the

destinations, except with our written permission for transhipped for each consignment separately. In case a consignment is transhipped on the way without our permission, a penalty will be levied as per the GSFC arbitration OR on product damage.

IN TRANSIT PRECAUTIONS: 8.0.1 That the Transport Carrier will take all necessary personal and legal precautions and make

arrangements for safety and safe-guarding the goods/ consignments at all times, commencing from the loading of goods at the site till the delivery thereof at the destination, including against weather conditions like rain, sun, water and dust etc. by protecting the goods by tarpaulin or any/ other required safety measure/ s. The Transport Carrier shall take care of the goods as a custodian and not as a mere Transport Carrier.

DAMAGES TO LOADING POINT PROPERTY: 9.0.1 The Transport Carrier shall be held responsible for any damages caused to the goods by

their representative/ drivers and/ or any damages done to the property of Plants/ Depots/ Warehouse/ Godowns by their vehicles in or outside the company premises. Such losses will be paid by the Transport Carrier at the above loading/ unloading locations failing which will be recovered from Transport Carrier’s payable bills.

SHORATGE IN TRANSIT: 10.0.1 The Transport Carriers shall be held responsible for short delivery. The loss on this

account will be recovered from the freight bill of the Transport Carrier or by other means as are available to under the law as per the discretion of GSFC.

CONSIGNMENT LOST IN TRANSIT:

11.0.1 That where a consignment is lost in transit and/or not delivered at the destination within a reasonable period of time, the responsibility for loss of such consignment would entirely lie on the Transport Carrier. The value of such loss to GSFC shall be entirely recoverable from the Transport Carrier.

DAMAGE IN TRANSIT:

12.0.1 That the Transport Carrier agrees and declares that it shall be responsible and liable for payment of such loss/ damage as occurs/ is likely to occur to GSFC on account of a breach/ non- compliance of any of the terms and conditions of this agreement on the part of the Transport Carrier, including loss/ damage on account of deterioration in the quality of goods, damage to packaging, pilferage, theft, shortage of goods etc., during the course of transportation.

12.0.2 The Transport Carrier shall comply with all the requirements that are requested by the consignee such as shortage/damage certificates and also comply with other formalities necessary for filing claims for transit loss on insurance company under transit insurance policy, such as acknowledgement of claim notice, providing FIR, Photographs, police report etc.

12.0.3 If any loss or damage is caused to the Company during transit or otherwise because of

pilferage, or because of the Transport Carrier’s mis-handling of products or goods, or because of the Transport Carrier’s carrying out any of the operations or obligations which the Transport Carrier is required to carry out in terms hereof, in an improper way, or otherwise or because of the Transport Carrier’s committing any breach of any of the provisions hereof, or because of the Transport Carrier’s failure or omission to carry out, execute, do, perform or fulfill any of the Transport Carrier’s obligations or operations hereunder, or because of any other reasons whatsoever the Transport Carrier shall be liable to make good such loss or damage to the company. The amount of such loss or damage shall be determined by the Company and shall not be open to any question by the Transport Carrier. Company may recover such amount of loss or damage from the Transport Carrier’s dues, if any. If the amount of such loss or damage is not so recovered or paid up by the Transport Carrier forthwith on demand, the Transport Carrier shall be liable to pay it with interest at 20% per annum thereon from the date of demand to the date of actual payment.

12.0.4 During monsoon, for any material received rain affected/ damaged at the destination, 5% of the value of affected material shall be deducted from the Contractor’s bill without waiting for standardization report from field. If the subsequent assessment report from the field works out to higher than 5%, it would be recovered later which may comprise of loss of material, cost of transport to Factory if to be reprocessed, reprocessing cost & again the transportation cost in the field.

STATUS OF LIFTED COSIGNMENTS:

13.0.1 That the Transport Carrier shall keep a proper track records of the movement of its fleet of trucks and shall notify to GSFC any circumstances relating to movement of goods that may require the attention of GSFC, relating to its consignments, by telephone or email followed by written communication to GSFC Logistics officer.

13.0.2 Transport Carrier is required to submit the detailed statement giving complete particulars of the consignments lifted from various loading Points, date of delivery, particulars of freight bills submitted etc. on a monthly basis. Such statement should be submitted to Logistics Dept, GSFC with copies to the respective loading plants on monthly basis.

ROAD PERMITS/e-WAY BILL PERMITS:

14.0.1 Whenever any road permit or transit pass or e-Way Bill permits or any similar permits/permissions required as per State, Central or Local Authority or all other applicable laws are to be carried while transporting our goods in any State, the Transport Carrier is responsible to collect the same from GSFC and carry such documents throughout the transit. Any loss to GSFC arising on account of their failure to do so will be recovered from the Transport Carrier.

14.0.2 The Transport Carrier shall make payment of any other duties whenever necessary and required under the statutory Rules and Regulations and get it reimbursed from the Company on submission of original receipts given by collecting authorities. However, no payment of any other duty shall be reimbursed to the transport carrier if in the opinion of the company such payment was not necessary. The Transport Carrier shall further ensure fully that no interruption or avoidable delay in the transportation and movement of products or goods would be caused on account of non-payment of any other charges like municipal, local or other authorities.

NO DETENTION CHARGES:

15.0.1 GSFC shall not be responsible for payment of any detention charges to the transport carrier on account of the detention of the trucks of the transport carrier at loading, unloading point or any other place for any reason whatsoever.

BANK GUARANTEE/ SECURITY DEPOSIT:

16.0.1 All approved transport carriers, to whom the transport contract is awarded, are required to furnish a Bank Guarantee/ Security Deposit of Rs. 8,00,000/- (Rupees Eight Lacs only) or 5% of contract value of total allocated business, whichever is higher from any nationalised bank in favour of “Gujarat State Fertilizers & Chemicals Ltd.”, payable at Vadodara. The Bank Guarantee (BG) will be on the approved format of the GSFC, and to be on acceptance of the contract for the due performance of the terms and conditions of the contract during the pendency of contract. If the transporter fails to either furnish the Bank Guarantee or fails to renew the Bank Guarantee prior to one month of the expiry of the existing Bank Guarantee, notwithstanding any of the provision in this contract, the GSFC will be at liberty to revoke the Bank Guarantee and/ or terminate the contract without assigning any other reason.

16.0.2 During the tenure of this contract, due to any reason, if any transport carrier fails to

perform transportation services as agreed upon and discontinue working as per the terms & conditions of contract, this Bank Guarantee/ Security Deposit shall be forfeited, suspended their pending freight bill till end of contract and full amount shall be recovered as penalty amount as per clause No. 17.0.5 by GSFC Ltd, Vadodara.

SUBMISSION OF FREIGHT BILLS AND PAYMENT: 17.0.1 In consideration of the Transport Carrier doing, fulfilling, keeping, carrying out,

performing and discharging its obligations and liabilities hereunder in terms hereof and in time and manner satisfactory to the Company, the Company releases payment to the Transport Carrier towards Transportation charges at the rates accepted by the Company 15 days of submission of respective bills to the Logistics Dept. and such bills shall require to be submitted on fortnightly basis.

17.0.2 The bills received after 90 days from the date of dispatch of material will not be accepted by GSFC and it will be subject to merit of the case for consideration if any.

17.0.3 The distances of transportation of products or goods from within the Company’s factory limits to the Company’s depots/ware houses and such other places for the purpose of payment shall be determined by the Company. In determining such distances the

company may take into consideration the shortest route distance between two destinations as per Google Map. In no case alternate route longer distance would be considered for any of the destination. The distance so determined by the company shall be binding on the Transport Carrier and shall not be opened to any question by the Transport Carriers.

17.0.4 The weight of products or goods transported to the Company’s depots, warehouses and

such other places for the purpose of payment shall be on the basis of actual weight as certified by Logistics Dept. of GSFC. Such weight shall be binding on the Transport Carriers and shall not be opened to any question by the Transport Carriers.

17.0.5 During the tenure of this contract, any transport carrier denies to lift our products or goods at our approved rates, GSFC would immediately arrange vehicle from the open market and the difference would be recovered from the transporter’s pending freight bills. We also keep our right reserve to withhold carrier’s freight bills till end of the contract.

17.0.6 All present taxes like Govt. levies/Statutory charges are to be mentioned separately in the

rate to be quoted by you. Any addition or omission during the tenure of contract will be at Transport Carrier’s risk and company will not consider any request. However, any new applicable tax only shall be paid by GSFC against documentary proof.

UNLOADING CHARGES: 18.0.1 For Depot/ Party/ Agency/ Distributor delivery, unloading will be mange by GSFC (except

kadai, hamali, etc). No complaints, request will be entertained regarding problem related to labourer, road etc, at unloading point.

SAFETY: 19.0.1 Smoking inside the bagging plants, silos, depots or the storage places is very dangerous

and prohibited. The Transport Carrier shall enforce strict discipline and ensure that the Transport Carrier or its agents, employees or labours do not violate any of the safety, security and Rules of discipline of the Company in any of the aforesaid places.

19.0.2 The Transport Carrier shall be responsible for any loss or damage which may result due to any fire arising out of smoking by the Transport Carrier or by any of the Transport Carrier’s agents, employees or labours or by violation of any of the Rules of discipline by any of them. In such events, the contract shall be liable for termination and black listing of the Transport Carrier.

19.0.3 The Transport Carrier shall be fully responsible for the safety of their employees,

nominees, representatives or agents. Any claim for compensation by them for accidents or otherwise shall be payable exclusively by the Transport Carrier and the company shall not in any way be responsible or answerable to any such claims or compensation against the Transport Carrier by its employees, labours, representatives, nominees, agents or outsiders. General Safety instructions are given in Annexure-B which should be strictly followed by supervisors, drivers and conductors.

DIESEL HIKE:

20.0.1 Company will not consider any escalation in the approved rate during the tenure of contract, except in case of escalation/ reduction in the price of diesel from the date of opening of original quotations or from the date of negotiations whichever is later and during the contract only in the rate by considering one liter diesel equivalent to 4 KMs running of vehicle loaded with 17 MT.

20.0.2 Such escalation/reduction will be considered only when there is Increase/Decrease in the

Diesel price beyond Rs. 3.00 per liter as compared to Diesel price at the time of last revision. The effect of the proposed Rs. 3.00 per liter increase/decrease will be considered on cumulative basis only. Means up to Rs. 3.00 per liter, transporter will absorb the rate but as soon as change of Rs. 3.00 per liter on cumulative, the effect of increase/ decrease in price will be given on cumulative basis as per following formula; Increase or Decrease in freight rate = Difference in Diesel Rate (Actual Increase/ decrease) Average Consumption X Average Load

KM per liter 17 MT per truck

20.0.3 However considering recent announcement from government authority about daily diesel price correction w.e.f. 16.06.2017 it may become impractical to effectuate diesel price variation over transportation rate on day to day basis. Therefore company consider transportation rate revision once in a month on 16th of every month as per existing formula when there is increase / decrease in the diesel price beyond Rs. 3.00 per liter. For deriving net increase / decrease in diesel price, average of diesel prices effective on 20th, last date of the month & 10th of next month will be considered as base diesel price.

20.0.4 Example: The transportation rate fixed on 16th of July at the base diesel price Rs. 60.55 per liter & effective diesel prices on 20th, last date of month & 10 of next month are Rs. 62.05, 63.25 & 63.85 per liter respectively than average base rate on 16th August will be Rs. 63.05per liter the change will be of Rs. 2.50 per liter which is below Rs. 3.00 per liter hence no impact of diesel price variation would be applicable on transportation rate on 16th August. If the average change would be beyond Rs. 3.00 per liter than the transportation rate would be revised as per existing formula on 16th August and will remain effective till the next Diesel hike revision.

FREIGHT RATES FOR NEW LOCATION/S: 21.0.1 In any new consignee destination/s is/are opened during currency of this contract, the

GSFC reserves the right to decide about the freight rates on distance basis and the existing approved freight rates for other destination in that State/ Union Territory. This decision would be binging on the Transport Contractor.

DURATION OF CONTRACT: 22.0.1 This contract shall remain in force for a period of 12 months from February 01, 2018 (up

to January 31, 2019). The GSFC shall have an option to extend this contract after its expiry for a further period of three months from the last date of the validity of this contract (up to April 2019) on the same terms and conditions as contained herein. The performance of the transport carrier will be evaluated continuously. If the services of the

transport carrier are found unsatisfactory, the GSFC reserves the right to suspend, terminate the contract without reference to the carrier.

TERM AND TERMINATION: 23.0.1 The Transport Carrier shall do, execute, keep, carry out and perform all ancillary and

incidental services and operations as may be necessary for the purpose of this contract or as may be directed by the Company from time to time.

23.0.2 The Transport Carrier shall observe the ground rules as may be formulated from time to time by the Company in order to maintain smooth operations and harmonious relationship among the various personnel of the Company, that of the Transport Carrier and that of customers, nominees, Govt. authorities representatives of agents of the company.

23.0.3 That this agreement for transportation of goods is not exclusive and it shall always be

open and within the sole right and discretion of GSFC to enter into transportation agreement with any other Transport Carrier. That the Transport Carrier shall not object for the use of any other transporter/s truck at any point of time.

23.0.4 That the Transport Carrier shall not sublet or transfer the whole or part of the scope of the work under this contract or assign any of the benefit of this contract to any third party without the express written consent of GSFC. The Transport Carrier shall not assign or give sub-contract of the work awarded to them, nor shall the rates provided be subject to any escalation for any reason whatsoever.

23.0.5 If the Transport Carrier fails to carry out, execute or fulfill all or any of its obligations, the

Company reserves the right in its absolute discretion to terminate this contract without any reference to the Transport Carrier. However, such termination shall not affect any of the company’s rights herein provided. Company reserves the right: 1) to award contract to one Transport Carrier for one Group/ Destination or more than one Group/ Destination, 2) to award contract to more than one Transport Carrier in one group/ Destination.

23.0.6 Without prejudice to any of the rights or remedies under this contract if the contractor,

owner of transport carrier dies, if no person is ready to take the responsibility of the contract, GSFC shall have the option of terminating the contract without compensation to the transport carrier.

23.0.7 The Transport Carrier shall at its own expenses comply with all labour and industrial laws

and such other acts and status and its rules & regulations as may be applicable to it from time to time in respect of its trucks/ vehicles, employees, labors, casual labors employed/ engaged by it in connection with the work of the company.

23.0.8 The Transport Carrier shall indemnify the company and every staff member, officer,

nominee, representative, agent or any other employees of the company against all the actions, claims, demands, cost, charges and expenses whatsoever arising out of or in connection with the matter referred to in the preceding clauses. The Transport Carrier shall be liable to reimburse the company and keep fully indemnified the company in respect of all actions, claims, procedure, demand, cost, charges, expenses which the company may have to incur or suffer on account of act, omission, or default by the Transport Carrier under any of the preceding clauses.

23.0.9 The Company will be entitled to deduct directly from the bills to be paid to the Transport Carrier any sum or sums payable by the company and which sum or sums the company is required to pay as a Principal employer on account of the Transport Carrier’s default in respect of all liabilities and obligations referred to in preceding clauses.

24.0.1 The company shall be at liberty and shall have full and uncontrolled right and authority either to assign this or other operation either in part or in full to any other Transport Carrier or to divide the work or part or whole of this or other operations irrespective of any stipulation as to rate territorial or other jurisdiction of any other terms & conditions, covenants or stipulations of whatsoever nature without assigning any reason whatsoever to the Transport Carrier or his nominee. The Transport Carrier shall not in any way be concerned nor shall he be entitled to raise any dispute or demur of whatsoever nature on any such contract or arrangement so made by the Company at any time.

24.0.2 Immediately, on awarding of the contract to the selected bidder / transporter for the respective Groups / Districts, a declaration in Rs.100/- non-judicial stamp paper shall have to be submitted by the respective transporters specifying in the declaration of the particulars of your Company’s name Transport Carrier’s Name, Address, PAN, GST Number with the photograph of the Proprietor/ Owner/ Senior Partner/ Director duly notarized and stamped.

24.0.3 Along with every bill which would be submitted on fortnightly basis, the Transport Carrier shall give declaration in their Company’s printed Letter-head with the rubber stamp of the Transporter and the Company for the delivery of the material to the respective destinations only as per the bills/ challans attached. Without this declaration with every fortnightly invoice or any individual invoice, if any, such transportation bills/ invoices shall not be accepted and processed.

24.0.4 Over and above, the transporters shall provide a Certificate indicating the actual freight

received by them month-wise and product wise as per the Proforma provided by the Company.

24.0.5 This Agreement may be terminated by the Company at any time by giving fifteen (15) Days advance notice in writing to transporter, without assigning any reason whatsoever.

24.0.6 On termination of this Agreement, all outstanding obligations of the transporter under the terms of this Agreement shall continue to subsist until the same are fulfilled / realized in totality.

DISPUTE RESOLUTION: 25.0.1 Any suit or proceedings to enforce the right of either of the parties hereto under this

contract will be instituted in and tried only by the Courts in the city of Vadodara and by no other courts, and both the parties hereto hereby expressly agree to submit to the jurisdiction of such courts.

JURISDICTION: 26.0.1 This agreement shall be subject to the exclusive jurisdiction of Vadodara Only.

ANNEXURE – B GENERAL SAFETY GUIDELINES TO BE FOLLOWED BY THE TRANSPORTERS AND THEIR REPRESENTATIVE, DRIVERS AND CONDUCTORS

Vehicles should move at the speed of 10 KM or below, inside complex. Smoking and carrying matchbox or cigarette lighter or any other sources, which may produce

naked flame, is strictly prohibited in the battery limit of GSFC Ltd. Or their designated godowns/warehouses.

Use an electric torch instead of naked light in places where inflammable liquids, vapours, gases of dusts are liable to be present. Entry into such premises with footwear having iron nails or studs is prohibited.

Cell phones usage (except by authorized personnel) at designated places in strictly prohibited. Entry in intoxicated condition is not allowed. Drinking of alcohol on the site is strictly prohibited.

Employ only competent persons to carry out the work assigned to him. He shall be aware of the hazards associated with job; he is going to carry out. This person will be trained /informed about the situation, which may arise in the complex.

In case of emergency assemble at the assembly points of the factory and await for further instructions. Do not indulge in horn play or make any loud and unusual noises as it may distract the attention of others. Do not use compressed air for cleaning your clothes or body.

Tempering with moving machinery, guards, safety devices, interlocks, valves, electric switches or any other apparatuses installed in the factory area is not allowed.

Your vehicle should have all statutory permissions and shall be in safe working condition. Sitting or walking on rail, trucks, crossing between wagons, taking rest under stabled wagons

or trucks, crossing the rail through the openings underneath the stationary wagons are strictly prohibited.

Any unsafe condition observed should be immediately reported to the in-charge of the plant/ Logistics Unit. All near misses, accidents or dangerous occurrences immediately reported to concerned person of GSFC Ltd.

Be aware about location and telephone number of First Aid Center. This will reduce the time delays, in case of emergencies.

If anybody gets an injury, inform supervisor and/or GSFC personnel and get the first aid immediately, however minor the injuries be.

All registered contractors needs to attend Safety committee meeting held at regular intervals to discuss safety matters.
