Short Titles used in the Tender Document
1. Bidder Bidder means the party or consortium of parties who makes a
formal offer in pursuance of the Tender floated
2. Successful
Bidder
Successful Bidder means the Bidder or consortium of bidders who
becomes successful through the Tender process.
3. Day A day means a calendar day
4. Service Centre Service Centre means the centre or place, wherein the Bidder, inter-
alia undertakes and performs the service activities relating to the
solar powered street lighting systems indicated in the Tender and
shall include a Direct service centre or Authorised service centre.
5. Authorised
Service Centre
Authorised Service Centre means a Service Centre run by the
Bidder through another party by entering into a valid commercial
agreement.
6. Testing Agency Testing Agency notified by TEDA for the purpose of sample testing.
8. Cost Cost means the total cost to be incurred towards the supply,
installation, commissioning, testing and 5 year comprehensive
maintenance of SPV systems and the street lights.

9. Purchaser Purchaser means the Government of Tamil Nadu for whom the
procurement is made through this Tender.
10. TEDA Procurement agency on behalf of Government of Tamil Nadu
11. Commissioning Commissioning means the street lights would have to be energised
through SPV systems and the functioning has to be tested.
12. End user End user means the presidents of Panchayats in which the solar
street lighting systems are installed
13. District Geographical division within the State. Each district has roughly
500-1000 villages. At present there are 32 Districts in Tamil Nadu.
Applicability of Tamil Nadu Transparency in Tenders Act 1998
This Tender process will be governed by The Tamil Nadu Transparency in
Tenders Act 1998 and The Tamil Nadu Transparency in Tenders Rules, 2000

3.8 Supporting documents to meet the Eligibility Criteria
a) All the supporting documents to meet the Eligibility Criteria as laid down in the Tender under Eligibility Criteria shall be signed by the authority and stamped
b) Bidder’s Certificate of Incorporation or in case of Consortium, Certificate of Incorporation of all the Consortium partners
c) Copy of consortium agreement (or) A letter of intent to execute a consortium agreement in the event of a successful bid shall be signed by
all the partners and submitted with the Bid together with the copy of the proposed Agreement. All partners of the consortium shall be liable jointly and severely for the execution of the contract in accordance to the contract terms and a statement to this effect shall be included in the letter of intent.
d) Relevant Excise duty returns or Sales Tax Returns for the components manufactured shall be submitted
e) Annual Report including Balance Sheet and Profit & Loss accounts for the past one year should be submitted. In case of Consortium, Annual
Report including Balance Sheet and Profit & Loss accounts of all the Consortium partners for the past one year should be submitted.
f) For component (s) manufacturing capacity, copy of the Manufacturing License or any valid proof for manufacturing should be submitted.
g) For component (s) sales, copy of the invoices for the sales made or proof of statutory documents like Excise duty returns or Sales Tax Returns or any other legally valid document should be submitted.
h) Clientele list for the SPV power plants & Stand alone SPV street lights installed

1. INTRODUCTION
Installation of 800 Nos standalone LED based solar street lighting system related to 2012-13)
The scope of work includes the supply, installation and commissioning of 800
Nos standalone LED based SPV Street lighting systems spread across 9 Districts of
Tamilnadu
The Successful bidder(s) would be required to set up Office cum service &
repair centres in every district covered in the allotted region.
The Successful Bidder(s) should work closely with the Government of Tamil
Nadu departments involved in implementing the above work and ensure success of
the programme within the stipulated time.
The project pertains to a clean/ RE project (Solar Energy) intended to reduce
carbon emissions. The project is not viable without consideration of the CDM revenue.
The CDM benefit will be availed by TEDA.

3. TENDER COST AND EMD
3.1 Cost of Bidding
The Bidders should bear all costs associated with the preparation and
submission of Bids. TEDA will in no way be responsible or liable for these
charges/costs incurred regardless of the conduct or outcome of the bidding
process.
3.2 Tender Document Fee
a) The Tender documents may also be purchased from the office of TEDA
on payment of fees in Indian Rupees as mentioned in the Tender Data
sheet. The Tender document is not transferable to any other Bidder.
b) The Tender document cost may be paid by way of Demand Draft /
Banker’s Cheque in favour of “Tamil Nadu Energy Development Agency”,
payable at Chennai.
c) Alternatively, the Tender document can be downloaded free of cost from
the website mentioned in the Tender data sheet. The Tender document
fee is waived for those documents downloaded.
3.3 Earnest Money Deposit (EMD)
a) An EMD amount as specified in the Tender should be paid in Indian
Rupees by way of Demand Draft or Banker’s cheque only, from any of
the Nationalized/ Scheduled /Foreign banks, drawn in favour of “Tamil
Nadu Energy Development Agency” payable at Chennai.EMD submitted

in any other forms will be SUMMARILY REJECTED.
b) The EMD shall be kept in the Techno Commercial Bid Cover.
c) The EMD amount of the bidders not qualified in the Techno commercial
bid will be refunded within 14 days of rejection of their bids. The EMD
amount of the bidders qualified in the techno commercial bid will be
refunded within 7 days after finalisation and signing of agreement with
the successful bidder. The EMD amount held by TEDA till it is refunded
to the unsuccessful Bidders will not earn any interest thereof.
d) The EMD amount paid by the Successful Bidder(s) will be adjusted
towards Security Deposit payable by them. If the successful Bidder
submits Security Deposit for the stipulated value in full in the form of
DD/ by way of Bank Guarantee, the EMD will be refunded.
e) The EMD amount will be forfeited by TEDA, if the Bidder withdraws the
bid during the period of its validity specified in the tender or if the
successful Bidder fails to sign the contract or the successful Bidder fails
to remit Security Deposit within the respective due dates.
f) The bids received without the specified EMD amount will be
SUMMARILY REJECTED.
g) The following categories of industries are exempted from payment of
Earnest Money Deposit. See Annexure -2
h) Industries exempted from payment of EMD shall enclose duly attested
Photostat copy of their Registration Certificate showing the subject
materials specifying capacity which they are permitted to manufacture
and the period of validity of the certificate as proof of eligibility for
exemption from payment of EMD.
i) Those Bidders who are exempted from payment of E.M.D, shall furnish
in lieu of EMD an under taking in a non-judicial stamp paper of value
not less than Rs. 80.00 (Rupees Eighty only) in the prescribed format, as
per Appendix- 5 to the effect to pay penalty an amount equivalent to
EMD in the event of non-fulfilment or non-observance of any of the
conditions stipulated in the contract consequent to such breach of
contract.
j) Undertaking and proof of exemption of EMD shall be kept in the EMD
cover as specified below. TENDERS RECEIVED WITHOUT PROOF FOR
EXEMPTION OF EMD AND UNDERTAKING WILL NOT BE READOUT

4. TENDER ELIGIBILITY CRITERIA
The Bidder(s) should meet the following Eligibility Criteria to participate in
the Tender and should enclose documentary proof for fulfilling the Eligibility in the
Techno commercial Bid.

a) Bidder shall be a Registered Company / Firm and the Bidder shall be existing for atleast past One audited year
Certificate of Incorporation/ Registration of the bidder shall be submitted.
b) Bidder shall be a Special Purpose Vehicle (SPV). SPV/Consortium shall not exceed 3 partners. Each partner of the SPV/Consortium shall be a Registered Company / Firm and each partner shall be existing for atleast past One audited year.
i. Certificate of Incorporation /
Registration of all the partners shall be submitted
ii. Copy of the Articles of Association of
SPV / Consortium shall be submitted.A letter of intent to form an SPV/consortium in the event of a successful bid shall be signed by all the partners and submitted with the bid together with the copy of the proposed Articles of Association. The SPV/consortium should be registered before execution of contract agreement with TEDA

Consortium of Bidder
Eligible Criteria against Sl.no (1 to 10) applicable for Special purpose vehicle (SPV)
holds good for consortium also, subject to following conditions.
I. In case of consortium, it would be sufficient if the prime bidder alone makes
the remittance of the cost of the bid document.
II. Among the consortium partners, manufacturer of atleast one of the three
components shall be nominated as a “prime bidder” and this authorisation
shall be evidenced by submitting of power of Attorney signed by the legally
authorised signatories of all the partners.
III. In case of a successful bid, the agreement shall be signed by the prime bidder
so as to be legally binding on all the partners.
IV. The prime bidder shall be authorised by the consortium partners to act on their
behalf to incur liabilities and receive instructions for and on behalf of him and
all partners of the consortium and entire execution of the contract including
payment shall be done exclusively to the prime bidder.
V. All partners of the consortium shall be jointly and severally for the execution of
the contract in accordance to the contract terms and a statement to this effect
shall be included in the authorisation mentioned above as well as in the bid
and in the agreement(in case of successful bid).
The consortium agreement should indicate precisely the role of the members of
the consortium in respect of the contract.
VI. Copy of the consortium agreement shall be submitted with the bid. Consortium
should be registered in India.
VII. Alternatively a letter of intent to execute a consortium agreement in the event
of a successful bid shall be signed by all the partners and submitted with the
bid together with the copy of the proposed consortium agreement./ The
consortium agreement should be registered before execution of contract
agreement with TEDA so as to be legally valid and binding on all partners.
VIII. Only one bid will be allowed from a consortium. The partners of a consortium
are not allowed to bid individually or to be tyhe partner of another consortium.

5. INSTRUCTION TO THE BIDDER
5.1 General Instructions
a) It will be imperative for each Bidder(s) to familiarise himself/ themselves
with the prevailing legal situations for the execution of contract. TEDA
shall not entertain any request for clarification from the Bidder
regarding such legal aspects of submission of the Bids.
b) It will be the responsibility of the Bidder that all factors have been
investigated and considered while submitting the Bids and no claim
whatsoever including those of financial adjustments to the contract
awarded under this tender will be entertained by TEDA. Neither any
time schedule nor financial adjustments arising thereof shall be
permitted on account of failure by the Bidder to appraise themselves.
c) The Bidder shall be deemed to have satisfied him/herself fully before
Bidding as to the correctness and sufficiency of its Bids for the contract
and price quoted in the Bid to cover all obligations under this Tender.
d) It must be clearly understood that the Terms and Conditions and
specifications are intended to be strictly enforced. No escalation of cost
in the Tender by the Bidder will be permitted throughout the period of
Agreement or throughout the period of completion of contract whichever
is later on account of any reasons whatsoever.
e) The Bidder shall make all arrangements as part of the contract for
Supply, Installation, Commissioning, Testing and 5 year Comprehensive
Maintenance of Standalone LED based SPV Street Lighting Systems
and train the beneficiaries at various locations at their own cost.
f) The Bidder shall quote for the Installation of 800 Nos standalone LED
based SPV street lighting systems
g) The Bidder should be fully and completely responsible to TEDA and
State Government for all the deliveries and deliverables. The bidder shall
be responsible for the proper functioning of the finally erected systems.
5.2 Language of the Bids
The bid prepared by the Bidder as well as all correspondence and documents
relating to the bid shall be in English only. The supporting documents and
printed literature furnished by the Bidder may be in any another language
provided they are accompanied by an accurate translation in English duly
notarised, in which case, for all purposes of the Bid, the translation shall
govern. Bids received without such translation copy will be rejected.

5.3 Bid Currency
Price should be quoted in Indian Rupees (INR) only and Payment shall be made
in Indian Rupees only. Price quoted in any currency other than INR will be
rejected.
5.4 Clarifications and Amendments
a) A prospective Bidder requiring any clarification in the Tender may
address TEDA by Registered post or by personal delivery under
acknowledgement. No clarifications will be offered by TEDA within 48
hrs prior to the time of opening of the Tender.
b) Pre-bid meeting will be held for addressing the clarifications on the date
and time mentioned in the Tender Data sheet or any other date to be
decided by TEDA. The Bidders are requested to participate in the Pre-
bid meeting for clarifications.
c) Before the closing date of the Tender, clarifications and amendments, if
any, will be notified in the government website mentioned in the Tender
Data sheet. The Bidders should periodically check for the amendments
or corrigendum or information in the website till the closing date of this
Tender. TEDA will make individual communication by email to only
those bidders who have purchased the tender document from the office
of TEDA. TEDA will not make any individual communication to others
and will in no way be responsible for any ignorance pleaded by Bidders.
d) TEDA is not responsible for any misinterpretation of the provisions of
this tender document on account of the Bidders failure to update the
Bid documents based on changes announced through individual
communication/ website as the case may be.
5.5 Contacting Tender Inviting Authority
a) Bidders shall not make attempts to establish unsolicited and
unauthorised contact with the Tender Inviting Authority or Tender
Scrutiny Committee or Tender Accepting Authority after the opening of
the Tender and prior to the notification of the Award and any attempt by
any Bidder to bring to bear extraneous pressures on the Tender
Inviting/Scrutiny/Accepting Authority may lead to disqualification of
the Bidder.
b) Notwithstanding anything mentioned above, the Tender
Inviting/Scrutiny/Accepting Authority may seek bona-fide clarifications
from Bidders relating to the tenders submitted by them during the
evaluation of tenders.

5.6 Force Majeure
Neither TEDA nor the Successful Bidder shall be liable to the other for any
delay or failure in the performance of their respective obligations due to causes
or contingencies beyond their reasonable control such as:
• Natural phenomena including but not limited to earthquakes, floods and
epidemics.
• Acts of any Government authority, domestic or foreign including but not
limited to war declared or undeclared, priorities and quarantine
restrictions.
• Accidents or disruptions including, but not limited to fire, explosions,
breakdown of essential machinery or equipment, power and water
shortages.
5.7 Arbitration
In case of any dispute, the matter will be referred to a sole Arbitrator to
be appointed by the Chairman & Managing Director of TEDA under the
“Arbitration and Conciliation Act 1996”. The arbitration shall be held in
Chennai (INDIA) and the language shall be English only. Subject to the above,
the Courts at Chennai alone only shall have jurisdiction in the matter.
5.8 Bar Jurisdiction
Save as otherwise provided in Tamil Nadu Transparency in Tender Act
1998 no order passed or proceeding taken by any officer or authority under this
act shall be called in question in any Court and no injunction shall be granted
by any court in respect of any action taken or to be taken by such officer or
authority in pursuance of any power conferred by or under the above Act.

6. BID PREPARATION
Bidders should examine all Instructions, Terms and Conditions and Technical
specifications as given in the Tender documents. Failure to furnish information
required by the Bid or submission of Bids not substantially responsive or viable in
every respect will be at the Bidder’s risk and may result in rejection of Bids. Bidders
should strictly submit the Bid as specified in the Tender, failing which the bids will be
held as non-responsive and will be rejected.
6.1 Letter of Authorisation
A letter of Authorisation from the Board of Directors or Managing Director of
Bidder organisation authorising the Tender submitting authority or a Power of
Attorney should be submitted in the Techno commercial Bid. The Bids received
without the Letter of Authorisation or Power of Attorney will be summarily rejected.
6.2 Test Certificates / Reports and Samples
1. The bidder shall submit the test certificates along with test reports for the
components/ systems from the notified testing agencies as per “clause 15”.
2. Bidders have to make their own arrangements for the testing of their product
as per the Standards given in the Tender through the notified Testing Agency.
3. Cost towards testing the product offered should be borne by the Bidders.
4. The Bidders should take utmost care to submit the sample which should meet
the technical specifications given in the Tender documents. The supplies will be
allowed as per approved sample only.
5. If the bidder would use more than one make of the same component, samples
of each make (as per the criteria (4) under “Clause 3-Tender Eligibility Criteria”)
need to be tested and test report need to be furnished with the bid. Other
makes for which the test reports are not submitted will not be allowed to use in
the project.
6. The Bidder is eligible to submit the Bids, only if the sample product/system is
passed in the tests. All those Bidders whose sample failed in any of the test
would be treated as “non-responsive” with the Tender specifications.
7. The Test Certificates/reports issued by the Testing Agency will be scrutinised
and Bidders whose samples passed the tests alone will be selected for further
processing.
8. Bidders are requested to submit the sample of their product to Testing Agency
well in advance. Any Bids received without the test certificates/ reports will be
summarily rejected for non-responsive to the tender condition.

7. BID SUBMISSION
The Bids should be submitted separately in two parts namely viz. (1) Techno
commercial Bid and (2) Price Bid. The Techno commercial Bid and Price Bid shall be
submitted in two separate covers. Separate bid cover shall be submitted, The Bids
shall be addressed to “The Chairman & Managing Director, TEDA, V Floor, EVK
Sampath Maaligai, No.68,College Road, Chennai 600 006, Tamil Nadu, India.
7.1 Techno commercial Bid (Envelope-A)
a) The Techno commercial Bid enables TEDA to evaluate whether the
Bidder is techno commercially competent and capable of executing the
order. Only those Bids which qualify in the Techno commercial stage
will be eligible for the Price bid opening. The Price Bids of Bidders who
failed in the Techno commercial stage will not be opened.
b) The Techno commercial Bid format as given in the Tender shall be filled,
signed and stamped in all pages. TEDA will not be responsible for the
errors committed in the Bids by the Bidders.
c) The Techno commercial Bid should strictly not contain any Price
indications or otherwise the Bids will be summarily rejected.
7.1.1 Details to be furnished in the Techno Commercial Bid
a) The EMD amount should be submitted in the prescribed form.
b) Authorisation letter from the Board of Directors/ Chairman & Managing
Director or Power of Attorney to sign the Tender documents should be
submitted. The Tenders received without Authorisation letter or Power
of Attorney will not be considered for further processing.
c) The blank Tender document in full should be printed, signed by the
authorised person and stamped in all pages and should be submitted as
a token of accepting the conditions.
d) The Techno Commercial Bid should be duly filled, signed by the
authorised person and stamped in all the pages and should be
submitted.
e) The supporting documents to prove Bidder’s eligibility should be duly
attested and should be submitted.
f) Test certificates along with test reports shall be submitted for
components/ systems from notified testing agencies as per “clause 15”.
g) The published Annual Report should be signed by the authorised person

i) The bidders shall undertake to Supply & Install a minimum quantity of
Standalone LED based SPV street lighting system- 250 Nos,Any quote
for less than that mentioned above will not be considered and the Bid
will be rejected.
j) All the required documents insisted in the Tender should be enclosed in
the Techno Commercial Bid. No document would be allowed to be
supplemented / exchanged after opening of the bids.
k) The documentary evidence shall establish Bidder’s qualifications to the
satisfaction of TEDA.
7.1.2 Signing the Techno Commercial Bid
a) The Bids shall be typed and shall be signed by the Authorised Official(s)
of Bidder. All pages of the bid shall be signed and stamped by the
authorised person.
b) Any alterations, deletions or overwriting will be treated as valid only if
they are attested by the full signature by the authorised person.
7.1.3 Sealing the Techno Commercial Bid
The Techno Commercial bid shall be placed in a separate cover
(Envelope-A) and sealed appropriately. The Techno Commercial bid cover shall be
superscripted with “Techno Commercial Bid (Envelope A) –Competitive Bidding
for Supply, Installation, Commissioning, Testing and 5 year Comprehensive
Maintenance of Standalone LED based SPV street lighting systems.

7.2 Price Bid (Envelope-B)
7.2.1 Details to be furnished
a) All the Price items as asked in the Tender should be filled in the Price
Bid format as given in the Tender. The prices quoted shall be in INDIAN
RUPEES (INR) only. The Tender is liable for rejection if Price Bid
contains conditional offers or partial offers and if quoted in any currency
other than INR.
b) The cost quoted by the Bidder shall include the breakup cost of the
stand alone street lighting system/ components of SPV Power plant viz.,
panel, battery, power conditioning unit, luminaries, electronics, pole etc.

c) The cost quoted by the Bidder shall be kept firm for a period specified in
the Tender from the date of opening of the Tender. The Bidder should
keep the Price firm during the period of Contract including the period of
extension of time if any. The Bidders should particularly take note of
this factor before submitting the Bids.
7.2.2 Signing the Price Bids
a) The Bids shall be typed and shall be signed by the Bidder or a person or
persons duly authorised to bind the Bidder to the Contract. All pages of
the bid document including the supporting documents shall be signed
and stamped by the authorised person.
b) Any alterations, deletions or overwriting shall be treated valid only if

7.2.3 Sealing the Bid

7.4 Mode of Submission of Bids
a) The Bids should be dropped in the Tender box kept at TEDA, 5th Floor,
EVK Sampath Maaligai, No.68 College Road, Chennai- 600 006, Tamil
Nadu, India, on or before the due date and time. The Bids will not be
received personally.
b) Alternatively, if the Bidder prefers to submit the Bid by post, the Bidders
should ensure that the Bids reach TEDA on or before the due date and

7.5 Modification and withdrawal of Bids
The Bids once submitted cannot be modified or amended or withdrawn.
8. BID OPENING
8.1 Techno Commercial Bid Opening
The Tender outer cover and Techno commercial Bid cover, only on
satisfying EMD conditions, will be opened at TEDA on the date and time as
specified in the Tender Data sheet or any other date published in the website
specified. The Tender will be opened in the presence of the Bidders who choose
to be present. The representative(s) of the Bidder who chooses to attend Tender
opening shall bring an authorisation letter from the Bidder. A maximum of two
representatives for each Bidder would be allowed to attend the Tender opening.
8.2 Tender Validity
a) Bids submitted shall remain valid for a period of 180 days from the date
of Tender opening. If the bid validity is lesser than 180 days, the Bid will
be rejected as non-responsive.
b) In exceptional circumstances, TEDA may solicit the Bidders to extend
the validity. The Bidder should extend price validity and Bid security
validity.
8.3 Initial Scrutiny
Initial Bid scrutiny will be held and Tenders as given below will be treated as non-responsive.

� Tender with incomplete information, subjective, conditional offers and
partial offers
� Tender submitted without supporting documents to prove Eligibility
criteria and Evaluation
� Tender not complying with any of the clauses stipulated in the Tender
� Tender with lesser validity period
� Tender submitted without sample test report from the Testing Agency
All responsive Bids will be considered for further evaluation. The decision of
TEDA will be final in this regard.
8.4 Clarifications by TEDA
When deemed necessary, TEDA may seek bona-fide clarifications on any
aspect from the Bidder. However, that would not entitle the Bidder to change or
cause any change in the substance of the Bid or price quoted. During the
course of Techno commercial Bid evaluation, TEDA may seek additional
information or historical documents for verification to facilitate decision
making. In case the Bidder failed to comply with the requirements of TEDA as
stated above, such Bids at the discretion of TEDA shall be rejected as
technically non-responsive.
8.5 Price Bid opening
Bidders who are qualified in Techno commercial Bid (Envelope-A) only
will be called for Price Bid opening. The Price Bids will be opened in the
presence of the Bidders at TEDA. The Bidders or their authorised
representatives (maximum two) will be allowed to take part in the Price Bid
opening
9. BID EVALUATION
9.1. Suppression of facts and misleading information
a) During the Bid evaluation, if any suppression or misrepresentation of
information is brought to the notice of TEDA, TEDA shall have the right
to reject the Bid and if after selection, TEDA would terminate the

contract as the case may be, will be without any compensation to the
Bidder and the EMD/ Security Deposit as the case may be, shall be
forfeited.
b) Bidders should note that any figures in the proof documents submitted
by the Bidders for proving their eligibility is found suppressed or erased,
TEDA shall have the right to seek the correct facts and figures or reject
such Bids.
c) It is up to the Bidders to submit the full copies of the proof documents
to meet out the criteria. Otherwise, TEDA at its discretion may or may
not consider such documents.
d) The Tender calls for full copies of documents to prove the Bidder’s
experience, capacity and other requirements to undertake the project.
9.2 Techno Commercial Bid Evaluation
a) The Bidders who have duly complied with the Eligibility Criteria and
passed in sample product testing by Testing Agency will be eligible for
further processing.
b) The Tenders, which do not conform to the Technical Specifications or
Tender conditions or Bids without Test certificate on the product /
system offered or Tenders from Bidders without adequate capabilities for
supply & installation, will be rejected. The Eligible Bidders alone will be
considered for further evaluation.
9.3 Price Bid Evaluation
1) Bidders who are qualified in Techno commercial Bid (Envelope-A) only
will be called for Price Bid opening. The Price Bids will be opened in the
presence of the Bidders at TEDA. The Bidders or their authorised
representatives (maximum two) will be allowed to take part in the Price
Bid opening.
2) The Price Bid evaluation will be conducted as stipulated in the Tamil
Nadu Transparency in Tenders Act 1998 and Tamil Nadu Transparency
in Tenders Rules 2000. The Price evaluation will include all Duties and
Taxes as given below.
(i) In cases of discrepancy between the cost quoted in Words and in
Figures, the lower of the two will be considered.
(ii) In case of discrepancy between the actual total of price break up
and the total mentioned in the bid, the lower of the
two will be considered.

(iii) In evaluation of the price of an imported item, the price will be
determined inclusive of the customs duty;
(iv) In evaluation of the price of articles which are subject to excise
duty, the price will be determined inclusive of such
excise duty.
(v) In a tender where all the tenderers are from within the State of
Tamil Nadu, or where all the tenderers are from outside the State
of Tamil Nadu, the sales tax/TNVAT shall be included for the
evaluation of the price; and
(vi) In a tender where the tenderers are both from the State of Tamil
Nadu as well as from outside the State of Tamil Nadu, TNVAT
shall be excluded for the evaluation of the price”.
3) The lowest cost per system as per the above evaluation will be adjudged
as L1. TEDA will not be responsible for any erroneous calculation of tax
rates or any subsequent changes in rates or structure of applicable
taxes. All differences arising out as above shall be fully borne by the
Successful Bidder.
4) TEDA may negotiate with the Lowest Cost offered Bidder (L1) for further
reduction of the price. TEDA reserves the right to ask other Bidders to
match L1 price.
Banning of Business Deal
The bidder will be banned from business with TEDA if any of the
particulars produced by the bidder such as Auditor Certificate, Annual account, VAT
Clearance Certificate, Test certificate, etc. are found to be incorrect, or if there is
breach of any of the conditions in the contract which leads to delay or leads to
incurring any additional cost by the Government/TEDA to complete the awarded
contract.
9.4Award of Contract
1) TEDA reserves the right to apportion the total quantity among the L1 Bidder
and other Bidders who have agreed to match L1 rate.
2) No dispute can be raised by any Bidder whose Bid has been rejected and no
claims will be entertained or paid on this account.
9.5 TEDA reserves the right to
1) Negotiate with the Bidder whose offer is the lowest evaluated price for further reduction of prices.
2) Modify, reduce or increase the quantity requirements to an extent of
25% of the Tendered quantity as per the provisions of Tamil Nadu Transparency in Tenders Act 1998 and Tamil Nadu Transparency in Tenders Rules, 2000.
3) Change the list of areas of installation locations from time to time based
on the requirement.

4) Ask other qualified Bidders to match L1 price
5) If performance of the Bidder is not as per the completion Schedule, then TEDA reserves its right to reallocate the quantity to other Bidder.
6) TEDA reserves its right to inspect the bidders factory / office premises
and those of major component manufacturers from whom bidder proposes to purchase, before or after placement of orders and based on the inspection, TEDA reserves a right to modify the quantity ordered.
7) TEDA reserves its right to withhold any amount for the deficiencies in
the service aspect of SPV systems installed at the identified locations.
8) Notwithstanding anything contained in any of the contract documents,
TEDA shall have the right to relax or waive any of the conditions of the
contract wherever deemed necessary in the interest of the project

10. Award of Work
10.1 Acceptance of the Tender
The final acceptance of the Tender is entirely vested with
TEDA/Govt who reserves the right to accept or reject any or all of the Tenders
in full or in part. The Tender accepting authority may also reject any Tender for
reasons such as changes in the new technologies, court orders, accidents or
calamities and other unforeseen circumstances. After acceptance of the Tender
by TEDA, the Bidder shall have no right to withdraw their Tender or claim
higher price.
10.2 Letter of Acceptance (LOA)
After acceptance of the Tender by TEDA, a Letter of Acceptance (LOA)
will be issued only to the Successful Bidder(s). TEDA has the right to issue LOA
to more than one bidder.
10.3 Payment of Security Deposit (SD)
a) The Successful Bidders will be required to remit the Security Deposit
equivalent to 5% (Five percent) of the value of the Work Order excluding
AMC charges. The SD should be paid by way of Demand Draft drawn in
favour of “Tamil Nadu Energy Development Agency” payable at Chennai
or in the form of unconditional and irrevocable Bank Guarantee, valid
till the completion of 5 year comprehensive maintenance. The SD should
be paid within 10 days from the date of issue of Letter of Acceptance by
TEDA.
b) The Security Deposit will be refunded to the Successful Bidder only on
completion of 5 year comprehensive maintenance period from the date of
completion of entire work involving Supply, Installation, Commissioning
of Standalone SPV street lights to the satisfaction of TEDA. The
Security Deposit held by TEDA till it is refunded to the Successful
Bidder will not earn any interest thereof.
c) The Security Deposit/EMD will be forfeited if the Successful Bidder(s)
withdraw(s) the Bid during the period of Bid validity specified in the
Tender for Supply, Installation, Commissioning and 5 year Comprehensive Maintenance of 800 Nos
Standalone LED based SPV Street Lighting Systems in Tamil Nadu under the scheme on “Energising
Street lights with Solar Power”

Tender (or) if the Bidder fails to sign the contract (or) if the contract is
not fulfilled as per the agreement.
10.4 Execution of Agreement
a) The Successful Bidder shall execute a Contract in the INR 100 non-judicial
stamp paper bought in Tamil Nadu only in the name of the Bidder, within 10
days from the date of Letter of Acceptance issued by TEDA.
b) The Successful Bidder shall not assign or make over the contract, the benefit or
burden thereof to any other person or persons or body corporate for the
execution of the contract or any part thereof without the prior written consent
of TEDA. TEDA reserves its right to cancel the work order either in part or full,
if this condition is violated.
c) In case of the successful bidder fails to execute necessary agreements as
prescribed, within the stipulated period, then his EMD shall be forfeited and
his tender held as non responsive.
10.5 Release of Firm Work Order
After execution of the Contract and payment of Security Deposit, “Firm Work
Order” for Supply, Installation, Commissioning, Testing and 5 year Comprehensive
Maintenance of Standalone LED based SPV Street Lighting Systems will be issued
to the Successful Bidder by TEDA.
10.6 Installation & Completion Schedule
a) The entire work involving Supply, Installation & Commissioning of
Standalone SPV street lights should be completed within 120 days from
the date of issue of LOA.
b) Stand alone LED based SPV Street lighting systems should be installed
and commissioned at the identified locations in the villages of allotted
districts in the State of Tamil Nadu.
10.7 Release of SD
The Security Deposit will be refunded to the Successful Bidder on completion of
5 year comprehensive maintenance period from the date of completion of entire work
involving Supply, Installation, and Commissioning of street lights to the satisfaction of
TEDA.

10.8 Termination of Contract
10.8.1 Termination for default
a) TEDA may without prejudice to any other remedy for breach of contract,
by written notice of default with a notice period of 7 days, sent to the
Successful Bidder, terminate the contract in whole or part, (i) if the
Successful Bidder fails to install and commission the solar street
lighting systems within the time period(s) specified in the Contract, or
fails to fulfil the requirements as per the Delivery Schedule or within any
extension thereof granted by TEDA; or (ii) if the Successful Bidder fails
to perform any of the obligation(s) under the contract; or (iii) if the
Successful Bidder, in the judgment of TEDA, has engaged in fraudulent
and corrupt practices in competing for or in executing the Contract.
b) In the event TEDA terminates the Contract in whole or in part, TEDA
may opt upon terms and in such manner as it deems appropriate, the
services of the other bidders and the Successful Bidder shall be liable to
TEDA for any additional costs due to this. However, the Successful
Bidder shall continue the performance of the contract to the extent not
terminated.
10.8.2 Termination for Insolvency
TEDA may at any time terminate the Contract by giving written notice
with a notice period of 7 days to the Successful Bidder, if the Successful
Bidder becomes bankrupt or otherwise insolvent. In this event,
termination will be without compensation to the Successful Bidder,
provided that such termination will not prejudice or affect any right of
action or remedy that has accrued or will accrue thereafter to TEDA.
10.8.3 Termination for Convenience
TEDA may, by written notice, with a notice period of seven days sent to
the Successful Bidder, may terminate the Contract, in whole or in part, at any
time for its convenience. The notice of termination shall specify that
termination is for TEDA‟s convenience, the extent to which performance of
work under the Contract is terminated, and the date upon which such
termination becomes effective. On termination, the successful Bidder is not
entitled to any compensation whatsoever

11. EXECUTION OF WORK
11. 1 Pre- Despatch Inspection
11.1.1. Components manufactured in India
A) Successful Bidder should conduct 100% pre-despatch inspection on all the
components (including those purchased from others) to be supplied in the
installation & commissioning of Standalone LED based SPV street lighting
systems as per the tender specification, at the manufacturing plants. The
infrastructure for Quality Assurance as called for in the specifications must
be available at the manufacturing plants. In-house testing facility for
Quality Assurance should be present.
b) TEDA will nominate third party agencies who will conduct independent
inspection and specification conformity of the product(s) manufactured by
the successful bidder and of the major components purchased from other
manufacturers on random sample basis, at the manufacturer’s plant. The
successful bidder shall make necessary arrangements for inspection of
components purchased from others by third party agencies at the respective
manufacturing plants.
c) TEDA would bear the cost of third party inspection at only one
manufacturing plant for each component. If a component is produced in
more than one location, then the cost of positioning the third party
inspection by TEDA in the second and subsequent plants would be borne
by the Successful Bidder at their cost.
d) The minimum lot size for various components shall be as below:

check by TEDA Engineers, it will be permitted to be supplied. Lot will be
rejected, if any sample has more than 3% deviation in the parameters . The
successful bidder shall bear the cost of Third Party Inspection of the lot
replacing the rejected lot. If the bidder desires to have smaller lots, he has to
bear the cost of inspection.
e) Components to be supplied must give same performance results or
better results with respect to technical evaluation results.
f) TEDA may nominate its own officers to be in the manufacturing plant to
supervise the quality of manufacturing process. This would be in
addition to the third party inspection.
11.1.2 Components Manufactured Abroad
The conditions in 11.1 (a) to (f) above are applicable for the components
manufactured in abroad also. TEDA nominated third party agencies will
conduct inspection at the manufacturing plant or at a single specified location
within the State of Tamil Nadu. If the inspection is arranged at the
manufacturing plant abroad, the successful bidder shall bear the entire cost
towards travel, accommodation & food for Third party inspection. Cost of two
TEDA officers for super check shall also be borne by the successful bidder
11. 2 Bar coding
All passed components will be Bar coded with Hologram Security Label
supplied by TEDA which will be affixed on each of the component before
Despatch to the site.
11. 3. Scope of Work
Installation of Standalone LED based SPV street lighting systems
a) Design, Supply, Installation & commissioning of standalone LED based SPV
street lighting system with 20W LED as per the technical specification.
b) Performance testing of the system.
c) Comprehensive maintenance of the systems for 5 years. General:
a) The SPV systems shall be installed & commissioned and street lights
shall be energised in full as per the technical specification. Any
deviation will not be accepted under any circumstance.
b) Insuring the goods in transit is the responsibility of the bidders.

c) The list of locations and respective quantities to be installed &
commissioned/ energised will be provided to the successful Bidder by
TEDA/ RD Department.
d) The successful Bidder shall send status report on installation in the
format to be prescribed in such intervals as may be required by TEDA
from time to time till the execution of the entire order.
e) The entire work should be completed as per the Installation &
Completion schedule specified.
f) The successful bidder shall undertake to supply spares free of cost for
the maintenance of the offered items during the warranty period. The
successful bidder should keep all the spares available for sale atleast for
a period of 5 years after completion of the 5 year warranty period.
g) A leaflet containing the details of the service centres responsible to
attend the installation, warranty services at each geographical area,
name and designation of the contact persons and centre in-charge,
higher level in-charge who is responsible to oversee the service centres,
person to whom complaints can be made in case the service provided by
any centre is not satisfactory, phone, fax, mobile numbers & email
address must be provided to each Panchayat at the time of handing over
of Solar Street lighting systems. This would enable the Panchayats to
directly approach the service centres in the event of repairs. These
details also should be provided to TEDA.
h) If the operation or use of the system proves to be unsatisfactory during
the warranty period, the Successful Bidder shall replace the faulty ones
or carry out necessary repairs as per the warranty terms and conditions
agreed upon with TEDA.
i) In case the Successful Bidder fails to carry out the warranty regulations,
TEDA would engage any other agency and carry out the
service/replacement and deduct the amounts from the warranty amount
retained by TEDA as per the Payment terms or from their pending bills
or any money due or payable to them (or) recover from the successful
bidder.

j) Depending upon the ground situations and instructions from the
District officials, TEDA reserves the right to divert the quantity from the
allotted Successful Bidder to other Successful Bidders.
11.4 Insurance
Transportation of components to the installation site and insuring the goods
in transit is the responsibility of the Bidder. The goods installed under the contract
should be covered for comprehensive Insurance by the Successful Bidder against
loss (or) damage incidental to transportation, storage at site and delivery to site
during the erection period.
11.5 Handing Over
a) The system shall be handed over to the Panchayat President / Secretary on
the same day of Installation & Commissioning, through prescribed handing
over and taking over format.
b) Hands on Training on maintenance of solar system should be arranged by
the contractor to the people selected for that purpose in all the Panchayats.
11.6 Inspection by Third Party Agency
100% of SPV Street Lighting systems installed will be inspected by the third party
agency in 10 days of receipt of Installation & Commissioning Certificate from the
supplier through WOP. Also the installed systems will be super checked in
random by the District Engineers of TEDA on receipt of Inspection Reports from
Third Party Inspection Agency. The payment will be released only for the systems
installed in compliance to the technical specification of TEDA. During Third Party
Inspection, if the system installed is found faulty (or) not in compliance to the
technical specification, the cost for re-inspection by Third Party after
rectification/replacement till the satisfaction of TEDA shall be borne by the
supplier.
11.7 Billing
The invoice will be automatically generated by the WOP software in lots of 100
on clearance by the Third Party Agency and random super checks by TEDA
District Engineers.

11.8 Monitoring Software
WOP software has been developed for smooth implementation of the
scheme. The bidder shall perform following tasks through WOP:
‟ Submission of lot readiness for pre despatch inspection
‟ Submission of Installation & Commissioning reports
‟ Automatic generation of invoice for the accepted systems in lots after
third party inspection and random super checks by TEDA District
Engineers.
11.9 Service Centres
a) The Successful Bidder shall set up local office cum service centre facility in all the
District head quarters within 30 days from the date of issue of Work Order by TEDA, else
the SD shall be forfeited & Work Order cancelled. These service centres should operate
throughout the warranty period of 60 months plus a grace period of three months. .
b) Depending on the ground conditions and necessity, TEDA reserves the right to
divert the quantity of SPV systems for energising street lights from one allotted Installer to
others. In the above circumstances, the successful Bidder should open office cum service
centres in the respective districts within 15 days.
11.9 Comprehensive Maintenance for 5 year
a) Comprehensive Maintenance charge for 5 years is fixed at 15% of the
total system cost @ 3% per year.
b) The Successful Bidder should provide 5 year comprehensive
maintenance of the SPV street lighting systems, which shall include corrective
maintenance, repair (or) replacement, free of cost on site
c) The service personnel of the Successful Bidder will make routine
quarterly maintenance visits. The maintenance shall include thorough testing
& replacement of any damaged parts. Apart from this any complaint registered/
service calls received / faults notified should be attended to and the system
should be repaired/ restored/ replaced within 2 days
d) If the successful bidder, having been notified by the end user fails to
rectify the defect(s) and restore the street lights to good working condition
within the period specified above, then a penalty of Rs.15/- for per non
working system per day of the breakdown period beyond 2 days will be levied.
This will be deducted from the bills due.
e) A separate Service & Maintenance register shall be maintained at each
site as per the format provided by TEDA.
f) The deputed personnel shall be in a position to check and test all the
components regularly, so that preventive actions, if any, could be taken well in

advance to save any component from damage. Any abnormal behaviour of any
equipment shall be brought to the notice of TEDA for appropriate action.
g) Normal and preventive maintenance of the SPV street lighting systems
such as cleaning of module surface, topping up of batteries, tightening of all
electrical connections, cleaning & greasing of battery terminals, testing by
passing of solar system etc. are also the duties of the deputed personnel during
quarterly maintenance visits. Service team should necessarily stay beyond
dusk to test effective functioning.
h) During the comprehensive maintenance period of the SPV street lighting
systems, if there is any loss or damage to any component due to miss
management/miss handling or due to any other reasons pertaining to the
deputed personnel, what-so-ever, the supplier shall be responsible for
immediate replacement/rectification. The damaged component may be repaired
or replaced by new component.
i) TEDA reserves the right to claim damages and Costs for non-fulfilment
of warranty, apart from forfeiting un-paid amount if any, in the event of
unsatisfactory maintenance.
11.10 Product Take Back & Recycling
Proper decommissioning and recycling of SPV panels , Batteries & electronics
etc., are necessary to ensure that harmful materials are not released in to the
environment. Hence an under taking from the successful bidder for product take back
after expiry of their life shall be submitted. It is mandatory for the successful bidder to
comply with batteries (Management and handling) Rules 2001 of MOEF, as amended
from time to time.
11.11 Warranty
1. (a) The SPV panel shall carry a warranty of minimum 25 years.
(b) The SPV panel must be warranted for their output peak watt capacity which
should not be less than 90% at the end of 12 years and 80% at the end of 25
years
(c) The LED luminaries /battery charger/charge controller shall carry a
warranty of minimum 5 years.
(d) The battery shall carry a warranty of minimum 5 years.
2. The chargers/charge controllers/ maximum power point tracker units/ storage
batteries, LED lighting units and overall workmanship of the SPV / standalone
street lighting systems including mechanical structures and electrical works

must be warranted against any manufacturing/ design/
installation/performance defects for a minimum period of 5 years from the date
of commissioning.
3. The warranty will be against breakages, malfunctions, non fulfilment of
guaranteed performance like degradation of LED below the guaranteed light
output etc., and breakdowns due to manufacturing defects or defects that may
arise due to improper operation of electrical / electronic components of the
system but do not include physical damages by the end users.
4. The above warranty shall take effect from the date on which the system is taken
over by the Panchayats after commissioning.
5. The successful tenderer shall be liable to make good the loss by replacing the
defective product during the warranty period for the entire system free of cost,
failing which TEDA would deduct the amount from the amount retained by
TEDA as per Payment terms (or) issue recovery and also the bidder will be
blacklisted.
6. The warranty will cover all the materials and goods involved in the installation
and commissioning of solar street lighting systemsby the successful Bidder
under this contract irrespective of the fact whether these have been
manufactured by the Successful Bidder or not. The decision in this regard by
TEDA is final and binding on the successful bidder.
11.12 Traceability of the product to be supplied
In order to prevent the misuse of the product such as unauthorised sale or
diversion to the open market, the following incorporation shall be made in the product.
a) Engraving TEDA Logo at a suitable place on the main components viz., SPV Panel,
Battery, LED Lighting Units to be used in the installation of the solar street lighting
systems.
b) RFID shall be provided in the SPV panels
Note: Design approval for the logo shall be obtained from TEDA before using
in the production.
The above feature is meant for the specific supply to TEDA and the successful
Bidders are not permitted to use them for their normal sale.
11.13.Workmen’s compensation Insurance
This insurance shall protect the Successful Bidder against all claims applicable
under the Workmen's Compensation Act, 1948(Government of India). This policy shall also
cover the Contactor against claims for injury, disability disease or death of its or its Sub-
Contractor’s employees, which for any reason are not covered under the Workmen’s
Compensation Act, 1948. The liabilities shall not be less than Workmen’s Compensation

Compensation: The contractor shall arrange to exercise effective supervision over the
works so as to ensure safety to the men and materials. In the case of accidents to the
workmen arising out of and in the course of employment, the contractor shall pay
necessary compensation to them according to the workman's compensation act, besides
arranging immediate medical aid. He shall indemnify TEDA against any liability
whatsoever in this regard and execute a bond accordingly. In case, the contractor fails to
pay the compensation within the reasonable time, the TEDA may settle the claim and
arrange to recover the same from the contractor.
12. Liquidated Damages
1) If the Successful Bidder fails to commission the standalone LED based SPV street lights as per the Installation & Completion schedule specified, the following liquidated damages (LD) will be applied. In the event of non-fulfilment of completion schedule, Liquidated Damages at the rate of 0.5% per completed week on the value of the unfinished / not energised quantity of the work order will be levied subject to a maximum of 10%. The Liquidated Damages amount will be automatically deducted from the Bills submitted by the Successful Bidder. If the installation is not completed, TEDA will make alternate arrangements and the cost incurred by TEDA for doing the same will be recovered from the Successful Bidder.
2) The successful bidder’s performance will be reviewed periodically. The shortfall in Installation & Completion schedule would be reduced from the overall orders given to the successful bidder. An equivalent quantity may be allocated to the
performing Successful Bidder then and there as additional work order.
3) If it is found that the Successful Bidder misuses the GOTN/TEDA Logo engraving for any purpose other than for the installation & commissioning of of Solar Street lighting systems under this scheme, TEDA and /or the State Government would have the right to proceed against the Successful Bidder. The successful bidder is liable to pay agreed sum of Rs.10.00 Lakhs (Rupees Ten Lakhs only) as Liquidated Damages if such violation is noticed. The Liquidated Damages would be in addition to the other liability under the Emblems Act or any other legal provisions. TEDA would also have the right to blacklist such Successful Bidder.
13. Payment Terms
1) All payments will be made in INR only.
2) No advance will be paid or no letter of credit will be issued.
3) Consolidated invoice will be automatically generated by the WOP software for lots of 100 on clearance by the Third Party
4) Inspection Agency and random super checks by TEDA District Engineers. 90% payment will be released for each bill within 15 days from the date of
generation of invoice.
5) Balance 10% payment will be released on completion of 5 year comprehensive maintenance period, to the satisfaction of TEDA (or) on submission of BG for

10% of the contract value/ bill value excluding CMC charges, valid for the 5 year comprehensive maintenance period.
6) Annual Maintenance charges will be paid annually on successful completion of
maintenance work each year. AMC charges will be released only quarterly for installations completing more than a year.
7) The payment will be subject to fulfilment of Warranty/ Comprehensive
Maintenance obligations.
8) If the Duties and/or Taxes have been reduced retrospectively, the successful bidder is liable to return the same.
9) The Successful Bidder will have full and exclusive liability for payment of all Duties, Taxes and other statutory payments payable under any or all of the Statutes/Laws/Acts etc now or hereafter imposed.

Detailed Specification:
I. DUTY CYCLE
The LED solar street lighting system should be designed to operate for dusk to dawn.
II. PV MODULE
Crystalline high power cells shall be used in the Solar Photovoltaic module. The peak
power rating of the module shall not be less than 50 Wp. The power output of the PV
module must be reported under standard test conditions (STC) at 16.4 V loading
voltage. I_V curve of the sample module should be submitted.
1. Only indigenous modules shall be used in the project. Crystalline high power
cells shall be used in the Solar Photovoltaic module. The power output of the
module shall not be less than 50 Wp under standard test conditions (STC). I_V
curve of the sample module should be submitted. 2. The open circuit voltage of the PV modules under STC should be at least
21.0 Volts. 3. PV module must be warranted for output wattage, which should not be less than
90% at the end of 10 years and 80% at the end of 25 years. 4. The terminal box on the module shall be designed for long life out door operation
in harsh environment should have a provision for opening for replacing the
cable, if required. 5. The offered module shall be in accordance with the requirements of MNRE.
Latest edition of IEC 61215 / IS 14286 for Crystalline and shall be certified by
MNRE authorized test centre. The bidder shall submit appropriate certificates. 6. PV modules must quality to IEC 61730 Part 1- requirements for construction &
Part 2 – requirements for testing, for safety qualification.
7. PV modules must qualify Salt Mist Corrosion Testing as per IEC 61701.
Other general requirements of PV module
1. A metallic frame structure with corrosion resistance paint to be fixed on the
pole to hold the SPV module.
2. Protective devices against surges at the PV module are provided, if required.
Low voltage drop bypass and / or blocking diode(s) may also be provided, if
required.

3. PV module must use a RF identification tag. The following information must
be mentioned in the RFID used on each module (This can be inside
or outside the laminate, but must be able to withstand harsh
environmental conditions.)

iii. Month and year of the manufacture (separately for solar cells and module)
iv. Country of origin (separately for solar cells and module)
v. I-V curve for the module

viii. Date and year of obtaining IEC PV module qualification certificate
ix. Name of the test lab issuing IEC certificate
x. Other relevant information on traceability of solar cells and module as per
ISO 9000 series.
III. LIGHT SOURCE
1. The light source will be of white LED type. The colour temperature of white
LEDs used in the system should be in the range of 5500o K – 6500o K. Use of
LEDs which emits ultraviolet light will not be permitted. 2. The illumination should be uniform without dark bands or abrupt variations,
and soothing to the eye. Higher light output will be preferred. The light output
from the white LED light source should be almost constant.
The lamps should be housed in an assembly suitable for outdoor use and shall
comply to IP65. The LED housing should be made of pressure die cast
aluminium having sufficient area for heat dissipation and heat resistant
toughened clear glass/ high quality poly carbonate fitted with pressurised die
cast aluminium frame with SS screws. The temperature of heat sink should
not increase more than 30oC above ambient temperature even after 48 hrs of
continuous operation. This condition should be complied for the dusk to dawn
operation of the lamps while battery operating at any voltage between the load
disconnect and charge regulation set point.
4. LED lamps of CREE/NICHIA/OSRAM/SEOUL/PHILIPS LUMILEDS/LEDNIUM
or equivalent shall only be used. 5. High power LEDs having capacity to withstand a max driving current of

than 20 W (including LED Driver power loss, not exceeding 2 W). 9. Minimum lux level required at various points on ground, from the LED
luminaire at a height of 5 meter shall be as below:

operation of 4 hrs(6.00-10.00 pm) & for1 hr(5.00-6.00 am) and then with one
third brightness ( 6 W) for the rest of the hours (10.00pm – 5.00am). Light on

white LEDs used in the lighting system must be furnished.
IV. BATTERY
1. The battery shall Low maintenance Tubular Lead Acid (or) Valve Regulated Lead
Acid (VRLA AGM / GEL) specifically tested for solar applications. 2. The batteries should conform to IEC 61427 / IS 1651 / IS 13369 in case of
tubular lead acid and IS 15549 in case of VRLA. A copy of the relevant test
certificate for the battery should be furnished. 3. Capacity of the battery shall not be less than12V, 40 Ah at C10 rate. 4. DOD shall be 75% i.e., at least 75 % of the rated capacity of the battery should
be between fully charged & load cut off conditions. 5. Battery terminal shall be provided with covers. 6. Suitable carrying handle shall be provided. 7. Bidder shall mention the design cycle life of batteries at 80%, 50% and 20%
depth of discharge at ambient temperature up to 450C. 8. The batteries shall be designed for operating in ambient temperature of site. 9. The self discharge of batteries shall be less than 3 % per month at 200 C
and less than 6% per month at 30 deg. C.
V. ELECTRONICS
1. PWM charger incorporating Maximum power point tracker (MPPT) to maximize
energy drawn from the Solar PV array and shall be suitably designed to meet
array capacity. The MPPT shall be microcontroller based. The details of working
mechanism of MPPT shall be mentioned. The efficiency of total PV charging
shall be >=90%. MPPT must conform to IEC 62093, IEC 60068 as per
specifications.
2. The charge controller shall be PWM type employing IGBT/MOSFET as
switching elements.

4. The charge controller shall have

5. Electronics should operate at 12 V and the efficiency of DC-DC converter
should be at least 90 %.
VI. ELECTRONIC PROTECTIONS
1. The system should have protection against battery overcharge and deep discharge
conditions. The numerical values of the cut off limits must be specified, while
submitting the samples for the testing purposes.
2. Fuses should be provided to protect against short circuit conditions.
3. A blocking diode should be provided as part of the electronics, to prevent reverse flow
of current through the PV module, in case such a diode is not provided with the PV
module.
4. Full protection against open circuit, accidental short circuit and reverse polarity
should be provided.
VII. MECHANICAL COMPONENTS
1. The pole should be galvanized GI pipe of 4 mm thickness with bottom dia min
75 mm & top dia min 50mm. The height of the pole shall be 6 metres above the
ground level, after grouting and final installation. The pole should be fixed and
grouted in a PCC column of size 45x45x60 cms. Pole has to be fitted with
300mmx300mm MS plate of 5 mm thickness with 4 Nos stiffeners of 5 mm thick
using 4 Nos bed bolts of 25mm thick and 50mm length. The pole should have the
provision to hold the weather proof lamp housing. It should be painted with a
corrosion resistant paint.
2. It should be possible to mount the light source on a metallic arm attached to the
pole. The metallic arm for holding the light assembly should be extended at least
1.5 metres from the pole and set at a suitable angle to maximize uniform
illumination of desired level over the specified area.
3. A vented metallic box of 2 mm thickness made of CRCA sheet with powder coating
for housing the storage battery outdoors should be provided with proper lock and
key.

VIII. OTHER FEATURES
1. The system should be provided with 2 LED indicators: a green light to
indicate charging in progress and a red LED to indicate deep discharge
condition of the battery. The green LED should glow only when the
battery is actually being charged.

An Operation, Instruction and Maintenance Manual, in English and the local
language, should be provided with the solar street lighting system.
The following minimum details must be provided in the Manual:

lighting system.
(j) Name and address of the person or service centre to be contacted in case of
failure or complaint.
(ii) Warranty Card & Service entry register shall be provided with the
SPV street lighting systems. Approval of TEDA needs to be obtained
on the content of Manual, Warranty card& Service entry card.
15. TECHNICAL REQUIREMENTS/STANDARDS

Here in after referred to as the “Successful Bidder” (Which term shall mean and
include its successors and permitted assigns)
Whereas TEDA on behalf of the Government of Tamil Nadu invited a tender vide
Tender Ref. No. TEDA/ ________________________for Supply, Installation,
Commissioning and 5 year Comprehensive Maintenance of Standalone SPV Street
Lighting Systems throughout the State of Tamil Nadu and the Successful Bidder was
selected as per the following terms and conditions:-
This document on having been signed by both the parties shall
constitute a binding contract between the parties and shall remain in force for
a period of five years. But in the event of any breach of the Contract at any
time on the part of the Successful Bidder, the contract shall be terminated by
TEDA without compensation to the Successful Bidder. The contract may also
be put to an end at any time by the Implementing Agency upon giving seven
days notice to the Successful Bidder.

The Successful Bidder agrees for Supply, Installation, Commissioning
and 5 year Comprehensive Maintenance of ____ nos Standalone LED based SPV
street lighting systems with 60 months warranty as per clause “ 11.8 ” after
carrying out successfully all tests prescribed by TEDA at the price of Rs. ___/-
(Rs.……….only) per standalone LED based SPV street lighting system as per
the Terms Conditions given below.
1. Installation & Completion Schedule
The entire work involving Supply, Installation, Commissioning of street lights should be completed within 120 days from the date of issue of LOA
2. Service Centres:
The Successful Bidder should set up local Office cum service centre in every
district within 30 days from the date of issue of W.O by TEDA or otherwise the
Security Deposit remitted by the Successful Bidder will be forfeited & Work Order
cancelled. These service centres should operate throughout the warranty period of 60
months plus a grace period of three months.
Depending on the ground conditions and necessity, TEDA reserves the right to
divert the quantity of SPV Street lighting systems from one allotted installer to others.
In the above circumstances, the successful bidder should open office cum service
centres in the respective districts within 15 days. 3. Installation and Commissioning
a) Installation and commissioning of Standalone LED based SPV Street
Lighting Systems shall be as per the Installation & Completion
Schedule.
b) The Installation and commissioning of SPV Street lighting systems will
have to be done at the locations identified by TEDA / RD Dept.
4. Insurance
Transportation of components to the installation site and insuring the goods in
transit is the responsibility of the Bidder. The goods installed under the
contract should be covered for comprehensive Insurance by the Successful
Bidder against loss (or) damage incidental to transportation, storage at site and
delivery to site during the erection period. 5. Handing Over
a) The system shall be handed over to the Panchayat President / Secretary
on the same day of Installation & Commissioning, through prescribed

handing over and taken over format.
Hands on Training on maintenance of solar street lighting systems
should be arranged for the people selected for that purpose in all the
Panchayats.
6. Comprehensive Maintenance
a) Comprehensive Maintenance charge for 5 years is fixed at 15% of the
total system cost @ 3% per year.
b) The Successful Bidder should provide 5 year comprehensive
maintenance of the SPV street lighting systems, which shall include
corrective maintenance at the identified locations.
c) The service personnel of the Successful Bidder will make routine
quarterly maintenance visits. The maintenance shall include thorough
testing & replacement of any damaged parts. Apart from this any
complaint registered/ service calls received / faults notified should be
attended to and the system should be repaired/ restored/ replaced
within 2 days.
d) If the successful bidder, having been notified by the end user fails to
rectify the defect(s) and restore the street lights to good working
condition within the period specified above, then a penalty Rs.15/- per
non working system per day of the breakdown period beyond 2 days will
be levied. This will be deducted from the bills due.
e) A separate Service & Maintenance register shall be maintained at each
site as per the format provided by TEDA.
f) The deputed personnel shall be in a position to check and test all the
components regularly, so that preventive actions, if any, could be taken
well in advance to save any equipment from damage. Any abnormal
behaviour of any component shall be brought to the notice of TEDA for
appropriate action.
g) Normal and preventive maintenance of the SPV street lighting systems
such as cleaning of module surface, topping up of batteries, tightening
of all electrical connections, changing of tilt angle of module mounting
structure, cleaning & greasing of battery terminals, testing the operation
are also the duties of the deputed personnel during quarterly
maintenance visits. Service team should necessarily stay beyond dusk to
test effective functioning.
h) During operation and maintenance period of the SPV street lighting

systems, if there is any loss or damage of any component due to miss
management/miss handling or due to any other reasons pertaining to
the deputed personnel, what-so-ever, the supplier shall be responsible
for immediate replacement/rectification. The damaged component may
be repaired or replaced by new component.
i) TEDA reserves the right to claim damages and Costs for non-fulfilment
of warranty, apart from forfeiting un-paid amount if any, in the event of
unsatisfactory maintenance
7. Liquidated Damages
a. If the Successful Bidder fails to comply with the requirements as per the
installation schedule specified, the following liquidated damages (LD) will
be imposed. In the event of non-fulfilment of completion schedule,
Liquidated Damages at the rate of 0.5% per completed week on the value
of the unfinished quantity of the work order will be levied subject to a
maximum of 10%. The Liquidated Damages amount will be
automatically deducted from the Bills submitted by the Successful
Bidder. If installation / energisation is not completed, TEDA will make
alternate arrangements and the cost incurred by TEDA for doing the
same will be recovered from the Successful Bidder
b. The performance of the Successful Bidder will be reviewed periodically.
The shortfall in Installation & Completion schedule would be reduced
from the overall orders given to the Successful Bidder. An equivalent
quantity may be allocated to the other performing successful Bidder
then and there as additional work order.
c. If it is found that the Successful Bidder misuses the GOTN/TEDA Logo
engraving for any purpose other than for the installation &
commissioning of Solar Street lighting systems under this scheme,
TEDA and / or the State Government would have the right to proceed
against the Successful Bidder. The Successful Bidder is liable to pay
agreed sum of Rs.10.00 Lakhs (Rupees Ten Lakhs only) as Liquidated
Damages if such violation is noticed. The Liquidated Damages would be
in addition to the other liability under the Emblems Act and other laws.
TEDA would also have the right to blacklist such Successful Bidder.

8. Warranty
1) The SPV panel shall carry a warranty of minimum 25 years. The SPV panel
must be warranted for their output peak watt capacity
a) which should not be less than 90% at the end of 12 years and 80%
at the end of 25 year
b) The luminaire/battery charger/charge controller shall carry a
warranty of minimum 5 years.
c) The battery shall carry a warranty of minimum 5 years.
2. The chargers/charge controllers/ maximum power point tracker units/ storage
batteries, LED lighting units and overall workmanship of the SPV / Standalone
Street lighting systems including mechanical structures and electrical works
must be warranted against any manufacturing/ design/
installation/performance defects for a minimum period of 5 years from the date
of commissioning.
3. The warranty will be against breakages, malfunctions, non fulfilment of
guaranteed performance like degradation of LED below the guaranteed light
out put etc., and breakdowns due to manufacturing defects or defects that may
arise due to improper operation of electrical / electronic components of the
system but do not include physical damages by the end users.
4. The above warranty shall take effect from the date on which the system is taken
over by the panchayats after commissioning.
5. The successful bidder shall be liable to make good the loss by replacing the
defective product during the warranty period for the entire system free of cost,
failing which TEDA would deduct the amount from the amount retained by
TEDA as per Payment terms (or) issue recovery and also the bidder will be
blacklisted.
6. The warranty will cover all the materials and goods involved in the installation
and commissioning of solar street lighting systems/ energisation of street lights
through SPV power by the successful Bidder under this contract irrespective of
the fact whether these have been manufactured by the Successful Bidder or not.
The decision in this regard by TEDA is final and binding on the successful
bidder.

09. PAYMENT TERMS: 1) All payments will be made in INR only. 2) No advance will be paid or no letter of credit will be issued. 3) Consolidated invoice will be automatically generated by the WOP software for
lots of 100 on clearance by the Third Party Inspection Agency & random super
checks by TEDA District Engineers
4) 90% payment will be released for each bill within 15 days from the date of
generation of invoice.
5) Balance 10% payment will be released on completion of 5 year comprehensive
maintenance period, to the satisfaction of TEDA (or) on submission of BG for
10% of the contract value/ Bill value excluding CMC charges, valid for the 5
year comprehensive maintenance period.
6) Annual Maintenance charges will be paid annually on successful completion of
maintenance work each year. AMC charges will be released only quarterly for
the installations completing more than a year. 7) The payment will be subject to fulfilment of Warranty/ Comprehensive
Maintenance obligations. 8) If the Duties and/or Taxes have been reduced retrospectively, the successful
bidder is liable to return the same. 9) The Successful Bidder will have full and exclusive liability for payment of all
Duties, Taxes and other statutory payments payable under any or all of the
Statutes/Laws/Acts etc now or hereafter imposed.
10. Product take back & Re-Cycling:
Proper decommissioning and recycling of SPV panels, Batteries & electronics
etc., are necessary to ensure that harmful materials are not released in to the
environment. Hence an undertaking from the successful bidder for product
take back after expiry of their life shall be submitted. It is mandatory for the
successful bidder to comply with batteries (Management and Handling) Rules
2001 of MOEF, as amended from time to time.
11. Force Majeure
Neither the Beneficiary/TEDA nor the Successful Bidder shall be liable
to the Other for any delay or failure in the performance of their respective
obligations due to causes or contingencies beyond their reasonable control

such as:
• Natural phenomena including but not limited to earthquakes, floods and
epidemics. • Acts of any Government authority, domestic or foreign including but not
limited to war declared or undeclared, priorities and quarantine
restrictions. • Accidents or disruptions including, but not limited to fire, explosions,
breakdown of essential machinery or equipment, power and water
storages. 12. The following documents shall be deemed to form and be read and constructed
as part of this Contract.
a) Technical Specifications
b) Tender Terms and Conditions
c) Amendments issued by TEDA for the Tender document
d) Corrigendum/Clarifications issued by TEDA for the Tender document
e) Detailed final offer of the Successful Bidder
f) Work Order(s) issued by TEDA from time to time
g) Correspondence made by TEDA to the successful Bidder from time to
time during the period of the contract.
Wherever the offer conditions furnished by the Successful Bidder are at
variance with conditions of this contract or conditions stipulated in the work
order, the latter shall prevail over the offer conditions furnished by the
Successful Bidder.
13. Waiver of any terms and conditions by TEDA / Beneficiary in writing shall not
have the effect of waiving or abandoning other terms and conditions of the
contract. 14. (a) Unless otherwise provided in the Contract, any notice, request, consent or
other communication given or required to be given hereunder shall be given by
mailing the same by registered mail, postage prepaid to TEDA at its registered
office
(b) Any notice to the Successful Bidder shall be deemed to be sufficiently
served, if given or left in writing at their usual or last known place of abode or
business.

15. Termination of Contract 15.1 Termination for default
a) TEDA may without prejudice to any other remedy for breach of contract,
by written notice of default with a notice period of seven days, sent to
the Successful Bidder, terminate the contract in whole or
part, (i) if the Successful Bidder fails to install and commission the street
lighting systems within the time period(s) specified in the Contract, or fails to
commission / energise as per the Installation Schedule or within any extension
thereof granted by TEDA; or (ii) if the Successful Bidder fails to perform any of
the obligation(s) under the contract; or (iii) if the Successful Bidder, in the
judgement of TEDA, has engaged in fraudulent and corrupt practices in
competing for or in executing the Contract.
b) In the event TEDA terminates the Contract in whole or in part, TEDA may
procure, upon terms and in such manner as it deems appropriate, the goods
and services similar to those tendered and the Successful Bidder shall be liable
to TEDA for any additional costs for these. However, the Successful Bidder
shall continue the performance of the contract to the extent not terminated
15.2 Termination for Insolvency
TEDA may at any time terminate the Contract by giving written notice with a
notice period of 7 days to the Successful Bidder, if the Successful Bidder
becomes bankrupt or otherwise insolvent. In this event, termination will be
without compensation to the Successful Bidder, provided that such
termination will not prejudice or affect any right of action or remedy that has
accrued or will accrue thereafter to TEDA.
15.3 Termination for Convenience
TEDA may, by written notice, with a notice period of seven days sent to the
Successful Bidder, may terminate the Contract, in whole or in part, at any time
for its convenience. The notice of termination shall specify that termination is
for TEDA‟s convenience, the extent to which performance of work under the
Contract is terminated, and the date upon which such termination becomes
effective. On termination, the successful Bidder is not entitled to any
compensation whatsoever. If the installation & commissioning is not effected as
specified in the work order, TEDA shall have the full authority to cancel the
order and to take any such action that will be deemed fit in the circumstances.
16. In case of failure by the Successful Bidder to commission the solar street
lighting systems within the period specified as per the schedule or in case of

installations made by them, not being of the stipulated quality and
specifications. TEDA shall have the power to reject any such installations.
17. In case of any dispute, the matter will be referred to a sole Arbitrator to be
appointed by the Chairman & Managing Director/Tamil Nadu Energy
Development Agency in accordance with the Arbitration and Conciliation Act
1996. The arbitration shall be held in Chennai, India and the language English
only.
18. Subject to the above, the Courts at Chennai alone only shall have jurisdiction
in the matter

AND WHEREAS in consideration of the acceptance by TEDA of the above
proposal, The tenderer has agreed to pay to TEDA the said amount of
