1. Call to Order Chairman Betsy Head called the meeting to order at 12:00 PM with a quorum present for the transaction of business.

Betsy Head discussed her recent attendance at the Inman Connect real estate conference in New York in January; she discussed NARs desire to see more members respond to Calls to Action; and that many members should display a “true” picture of themselves and have promotional pictures updated regularly.

B. Treasurer’s Report1) Audit – Jenny Tarkowski, partner with Wegner CPAs, presented a report on the GMAR’s

2014 audit.

2) Finances – Mike Kollmansberger reviewed the GMAR’s February 2015 finances.

Statement of Financial Position – As of February 28, 2015, GMAR had $1,682,089 in Cash & Investment Balances, up $37,872 compared to last year. Accounts receivable were up $12,870 and prepaid expenses were down $283 compared to 2014. Total Assets were up $36,482 compared to 2014 mainly due to having more cash.

On the Liability side, accounts payable were up $12,012 compared to last year due to Youth Foundation collections; accrued vacation expenses were up $3,992; the long-term mortgage liability was down $31,643 which is the amount of principal to be paid on the mortgage in 2015. Overall, Total Liabilities were down $15,430 compared to 2014.

For the month ending February 28, 2015, GMAR had Net Income of $932,933, up $79,577 from last year. Overall, Total Net Assets were $2,783,367; $51,912 higher than the same point in 2014.

Statement of Activities – Membership: Through February 2015, $722,219 was collected in dues, which is an 87% renewal. We budgeted for a 90% renewal. Last year at the end of February, we had collected $645,023 in dues so we are $77,196 ahead of last year at the same time. Although GMAR was down in R/DR renewals, the dollar amount was made up in reinstatement fees and late fees paid by members. New member budget for 2015: 464 REALTORS®, 50 DRs and 20 Affiliates. Through February, actual new members: 104 REALTORS®, 14 DRs and 7 Affiliates.

Promotions: Through February 28, Home and Garden Show income is $665,004 and expenses are $274,715. The budgeted net income for the Home and Garden Show is $268,192.

Expenses related to Public Policy and Professional Standards were basically all personnel costs, incurring expenditures primarily in Labor and Overhead.

Products (Wisconsin Real Estate Supply): Product sales through February 2015 were around $1,600 higher than the sales through February 2014. Total product sales through February 2015 were $8,559. Total budgeted product sales for 2015 is $87,375.

The Leadership section includes expenditures for meetings, committees, officer expenses, strategic planning, NAR Home Buyer and Seller survey and NAR meetings. The main expenses recorded through February were registration fees and travel expenses for the Chairman and President to attend the Inman conference and the NAR Home Buyers and Sellers survey.

The Administrative section includes investment and rental income and expenses for professional fees, salaries, fringe benefits, building, insurance, occupancy, property taxes, general office expenses and depreciation.

The bottom line shows Excess Receipts Over Expenditures of $932,933, which will be used up in the coming months. Last year our net revenue was $853,356 for the same time period. The budgeted net income is $740.

M/S/C to approve the 2014 GMAR audit as presented and the unaudited Statement of Financial Position (Balance Sheet) and Statement of Activities as of February 28, 2015, and recommend placing on file for audit.

C. President’s ReportMike Ruzicka reported the following in addition to his written memorandum to the Board of Directors:

1) REALTOR® Party/RPR Letter to NAR – Mike Ruzicka stated that he had spoken with a couple of brokers who thought NAR should get out of the technology business (i.e. RPR) and put the funds into activities NAR is good at, such as government affairs and legal action.

Mr. Ruzicka drafted a letter containing the following points:

The GMAR believes that dedicating more funds to NAR’s political advocacy and legal departments is a necessary and just use of the organizations funds, which will greatly benefit members’ business interests and the public’s ability to own real estate.

One of several efforts within this branch of NAR that has performed extremely well is the REALTOR® Party initiative. The $40 dues increase in 2011, and the millions it has raised since, has been put to good use here in Greater Milwaukee, Wisconsin, and throughout the country.

Likewise, the legal battles NAR wages, such as the fight against NeighborCity.com, are extremely important to keep member broker and agent websites free from parasitic interests who would degrade public trust and MLS data.

In order to build a more powerful and robust advocacy and legal operation, the GMAR strongly suggests that NAR abandon some of its Second Century initiatives, such as the REALTOR® Property Resource, and apply those funds to political advocacy and legal activities.

We believe that the funds NAR has dedicated to RPR, and has plans to dedicate in the future, has created a situation in which the opportunity costs have outweighed the entity’s usefulness. In other words, the funds allocated to RPR today, and in the future, would be better spent in the advocacy and legal arenas.

The directors supported the intent of the letter and asked Mr. Ruzicka to send it to NAR.

2) Milwaukee Bucks Arena – Mr. Ruzicka stated that the Bucks’ arena will be discussed on Friday, March 20th at a forum the MMAC is sponsoring, and he asked if the Directors would like to go on record in support of the new arena.

M/S/C for the GMAR to publicly support the construction of a new arena.

3) Public Awareness Campaign – The GMAR/MLS effort to educate the public about the poor accuracy of recreational real estate websites is being well received by members. Both the GMAR and MLS have received positive comments from members about the radio commercials and web advertising directing the public to www.WI Homes.com.

Core Standards – The GMAR is in the process of complying with NAR’s recently enacted Core Standards program, which is designed to ensure that all associations in the country are operating at a very basic level of competency. WRA has offered to evaluate participating associations’ Core Standards applications, analyzing a section a week.

Apartment/Rental Summit – The Association is exploring hosting an event this fall for REALTORS® who are landlords, own rental property and/or help rental property investors. Milwaukee’s Dept. of City Development has offered to make several presentations. The staff will solicit sponsors and speaker topics in the next few months.

D. Departments1) Government Affairs

Marne Stuck reported:

Realtor and Government Day 2015 was a successful day in Madison. GMAR had just over 80 Realtors registered; 55 of whom rode the bus. The discussion during the legislative visits with Greater Milwaukee legislators went well and Senators Lazich and Farrow and Representatives Allen, Brosthoff, Goyke, Kooyenga, Riemer, Sanfelippo and Skowronski all joined the Realtor group in the North Hearing Room. Rep. Allen opened his office to Realtors following the Legislative meeting.

Time of Sale Requirements (TOS)Ms. Stuck reported on the polling GMAR and WRA asked NAR’s firm to do in January in which they gauged public interest on the TOS issue. Results showed that passing a statewide ban on TOS requirements would be difficult being that voters are largely unaware that the laws even exist and mostly favor them after an initial explanation. WRA will be introducing legislation very soon that would prohibit local units of government from

requiring inspections at the time of property sale. This is one of WRA’s top priorities and they will be lobbying on this over the upcoming weeks.

CRPAC Fundraising and KMRA RPAC Auction – Ms. Stuck reported that fundraising has begun and a push for Direct Giver contributions and an overall RPAC awareness is ongoing. The KMRA RPAC Auction is the next event to focus on and will be held on the evening of May 21 at Padways on Big Cedar Lake. Ms. Stuck will start to promote this event.

2) PromotionsMr. Ruzicka provided the following report:

2015 Home & Garden Show – As of 03/17, the GMAR had 97% of booths sold (633 of 650), but booth revenue was down $20K ($670K vs. $690K). The GMAR had $683,000 of booth revenue in 2014.

The Show will have other sources of revenue, specifically, VIP & Gate Tickets, which totaled $137,000 in 2014.

4) CommunicationsCaitlin McCrory provided a summary of the communications efforts of the GMAR over the last 2+ months. Break down of social media metrics and demographic readings of followers on both Twitter and Facebook. All in all – engagement and new followers continues to trend up.

E. MLSChris Carrillo could not attend the Directors meeting, however, several members discussed the pending “delayed” listing category, which is planned to be implemented on March 24th.

MARCH 2015 FINANCIAL STATEMENTS

Statement of Financial PositionAs of March 31, 2015, GMAR had $1,684,565 in Cash & Investment Balances, up $82,309 compared to last year. Accounts receivable were down $2,559 and prepaid expenses were down $7,104 compared to 2014. Total Assets were up $60,083 compared to 2014 mainly due to having more cash.

On the Liability side, accounts payable were up $5,450 compared to last year due to Youth Foundation collections; accrued vacation expenses were up $3,992; the long-term mortgage liability was down $31,643 which is the amount of principal to be paid on the mortgage in 2015. Overall, Total Liabilities were down $21,887 compared to 2014.

For the month ending March 31, 2015, GMAR had Net Income of $896,456, up $109,512 from last year. Overall, Total Net Assets were $2,748,807; $81,970 higher than the same point in 2014.

Statement of ActivitiesMembership: Through March 2015, $748,335 was collected in dues. We budgeted for a 90% renewal. Actual renewal was 87%. Last year at the end of March, we had collected $665,141 in dues so we are $83,194 ahead of last year at the same time. Although GMAR was down in R/DR renewals, the dollar amount was made up in reinstatement fees and late fees paid by members. New member budget for 2015: 464 REALTORS®, 50 DRs and 20 Affiliates. Through March, actual new members: 164 REALTORS®, 25 DRs and 10 Affiliates.

RE: MAY PRESIDENT’S REPORT

GMAR Focus Groups P 14Last month we held two focus groups with three types of members, those in the business since before 2000, between 2000 and 2011, and since 2012. The results are posted in the report. Please review the results and bring questions, comments, opinions and insight you have to the Directors meeting.

Public Awareness Campaign P 18Both the GMAR and MLS continue to receive positive comments from members about the radio commercials and web advertising directing the public to www.WI Homes.com . I will have more on the campaign at the Directors meeting.

Letter to NAR P 19At the last Directors meeting, the Board voted to send a letter to NAR asking them to put more funding into the REALTOR® Party and get rid of the REALTOR® Property Resource (RPR) I have attached the letter we sent, as well as the response letter from NAR (basically defending their current expenditures).

Core StandardsThe GMAR is in the process of complying with NAR’s recently enacted Core Standards program, which is designed to ensure that all associations in the country are operating at a very basic level of competency. We will have a more timely update next Tuesday or Wednesday, in anticipation of the Directors meeting.

2015 Leadership Reference ManualAs in years past, I have created a repository of important Association documents to satisfy your fiduciary duty as a GMAR Director. The manual is a collection of every document I can think of that might be of importance to you. You may not have to delve into the document now, but it is good to have in your hands in case of a catastrophic event.

GMAR Community/Ordinance WikiIn an effort to keep GMAR members apprised of requirements in some municipalities relative to their sign ordinances and time-of-sale code compliance we have created an ordinance “wiki.” Our hope is that this can serve as a tool for members to search municipalities and check on various requirements.

Throughout the manual, there are sections which require special attention because they denote optional provisions for Professional Standards administration. He will be on-hand at the Directors’ meeting to review the changes.

Scott met with the Professional Standards Committee chairman Jeff Joseph and Vice Chair, Scott Heyerdahl to go through the manual and review these options.

Member Video ServiceThe GMAR will be making its video studio, complete with green screen, to members beginning in a few weeks (May 18th). We will charge $50 per 30 minute session. Members can come in and shoot a short introductory video about themselves and we will give them the raw video, with minimal editing, afterward.

Value PropositionIn 2013 we created value proposition posters that were sent to “border” offices to forestall any member attrition or recruitment by other associations as well as to explain the GMAR’s relevance to our members’ business interests. We are planning to update the posters and send them out widely this summer.

Market Challenges

1. Transaction: Contracts, lending, tight credit, title companies, etc. Sloppy, poorly written contracts from agents Using outdated contracts and Addendum A Blanks left open on contracts, raising liability issues A lot of butting heads with appraisers – using GMAR statistical analysis to prove value

1. Interactions with other REALTORS® New people coming into the business are unknowledgeable (inexperienced?) and can

2. Lock-box codes? HUGE issue! EVERYONE is giving out codes! Very frustrating, potentially dangerous in era of “castle doctrine.” Waiting for

Email by far preferred method of communication from GMAR Facebook is a pain, because you have to keep “liking” everything Keeping Current Matters, WRA Legal Update, Inman Pro Standards case studies and examples are good ways to communicate policies GMAR monthly statistical press release is valuable tool for keeping abreast of the

industry as a whole, as well as to use for PR purposes with clients and others in the industry.

2. Sign ordinances? Nothings on the radar screen for sign ordinance enforcement, yet.

Other HGS VIP Tickets – great, cheap marketing. Very good deal to contact clients and make new

contacts MLS (FG#1) – Very upset with “delayed listing” status, don’t like heavy handedness of MLS

enforcement. “We’re held accountable to MLS, but who are they accountable to?” MLS (FG#2) – Delayed status not a problem. Certain situations, MLS should be more

flexible with its rules. Likes the way things are being cleaned up. Like that Zillow/Trulia are not getting “our” info. Would like to see a field in MLS for delivery info.
