Did you hear about the Maryland community bankaccused recently of discriminating against whitemales?Thebankwasgivenafairlendingviolationforcreating a loan program designed to helpminoritiesandwomenobtainmoreaffordablecredit.

I’m not kidding. The absurdity of the bank’s "Alicein Wonderland" predicament might tempt a fewchuckles—exceptitillustratesadeadlyseriousproblemassociatedwithexcessiveregulatoryburden.

ICBA has always championed common-senseregulation for community banks. Regulations mustbe fair, balanced and relevant to a bank’s scale andreal-worldrisksandactivities—buttheymustalsobepossibletoachieve.Citingcomplianceachievabilityasa standardmight soundflippant,but I’mserious. It’svitallyimportant,andbecomingincreasinglyso.

The direction of today’s fair lending enforcement inpursuitofa“disparateimpact”legaltheoryrepresentsthemosttroublingcaseinpoint.

Several years ago the Department of Housing andUrbanDevelopmentbeganusingdisparate impact, alegal premise not yet affirmed by the court system.By examining statistical patterns in lenders’ loanportfolios, disparate impact attempts to determinewhether lenders might be discriminating againstborrowers. Under this controversial approach, HUDhas given itself extra leeway to initiate damagingfair-lending investigations, even against lenders withcreditpracticesthatarespecificallydevelopednottodiscriminateagainstanyone.

In short, HUD is looking for problems to fix thatdon’t exist, and that’s dangerous. The potential formischiefandharm is toogreat. ICBAhasspokenoutagainstdisparateimpactandhasmetwithtopJusticeDepartmentofficialsandotherpolicymakersaboutourconcerns.

ICBAandeverycommunitybankerstronglysupporttheprinciplesof fair lending.No communitybankwantsto turnawayanyworthyandviable loan, toanyone.Butcommunitybanksmustoperateintherealworld.When regulatory rules, directives or actions createconfusion or conflicts, and when mandates becomeimpractical or impossible to implement, regulatoryburden becomes paralyzing. And that’s extremelydestructive.

So when the Consumer Financial Protection Bureauissued new “qualified mortgage” lending standardsearlier this year and then recently endorsed theuseof disparate impact, this regulatory paradox becameapressingmatter.Currently,a lender thatdecides toissueonlyqualifiedmortgagestoavoidnewlegalandlitigationriskscreatedbytheCFPBrulescouldtriggerafairlendingviolation.Conversely,workingtoavoidafairlending violation by issuing non-qualified mortgagescould expose a bank to unacceptable reputationaldamageandlenderliability.

Without formalclarificationandassurances fromtheCFPBandHUD,communitybanksandothermortgagelenders face a serious, no-win regulatory doublebind. So last month ICBA joined several other tradegroupstoaskHUDandtheCFPBtoprovideguidanceto resolve the conflict and uncertainty. Otherwisemortgage lending could fast become an unworkablemess throughout the country, for both lenders andborrowers.

As the industry’s champion of proportionally tieredregulation for community banks, ICBA believesregulations should be clear and balanced, but alsopossibletoachieve.Yes,thisisobviouslycommonsense(asrareashen’steethinWashingtonthesedays).Buteradicating thisnewandevenmoredangerous formofregulatoryburdenisnotonlynecessaryforalreadyoverburdened community banks; it’s imperative tomaintainthefullandproperfunctioningofMainStreetAmerica’seconomy.Nothinglessisacceptable.

Thisspring,DanOliver,President&CEO,ViningsBank,Smyrna,and2012-2013ChairmanoftheBoardoftheCommunityBankersAssociationofGeorgia(CBA),announcedtheretirementof Carolyn Brown,President&CEO,after25yearswiththeAssociation.Robert M. Braswell,CEM,formerCommissioneroftheGeorgia

DepartmentofBanking&Finance,hasbeennamedPresident&CEO,joiningtheAssociationonJune10,2013.

According to Mr. Oliver, Ms. Brown led the CBA to expand educational offerings,networkingopportunities,endorsenewproductsandservicesformemberbanksandworkeddiligentlytoensureGeorgia'scommunitybanksandassociatemembersreceivedaccurateinformationinatimelyfashion.

“We are grateful for the strong leadership Carolyn has provided and thank her forherwillingness to facilitatea smooth transition. She leaveswithutmost respectandsincereappreciationfrombothbankersandfinancialservicesprovidersfromacrossthecountry,”Mr.Olivercommented.

"After25yearsattheCBA,Ibelievethisisagoodtimetocreateanopportunityfornewleadership for theAssociation,"Ms.Brownsaid."Whilesomanychangeshavetaken

placeinthecommunitybankingindustryoverthepast25years,theonethingthathasn’tchangedisGeorgiacommunitybanks’commitmenttotheircustomersandtheircommunity.IthastrulybeenanhonortoworkwithsuchafinegroupofindividualsandI’mleavingtheAssociationingoodhandswithastrongBoardofDirectorsandaleaderlikeRob."

Ms.BrownwasnamedPresidentandCEOoftheCBAinJune2009.Ms.BrownjoinedCBAinMay1988andhasservedinvariouscapacities.Ms.BrownservedasExecutiveVicePresidentandChiefOperatingOfficer,whereshemanagedday-to-dayoperationsoftheAssociationandallstaffoperations.BeforejoiningCBA,Ms.BrownheldacareerinbankingandworkedatthestateCapitolinAtlantaforfiveyears.SheholdsabusinessdegreefromForrestBusinessCollegeinAnderson,SouthCarolina.Ms.BrowngraduatedCumLaudefromGeorgiaStateUniversity inAtlanta,whereshe receivedabachelor’sdegree inBusinessAdministration. Shewill retireonAugust31,2013.

Mr.Oliver shared theCBAExecutiveCommitteeconductedanaggressive search forseveralmonthstoreplaceMs.Brown.Mr.BraswellretiredfromtheGeorgiaDepartmentofBanking&FinanceasofJune1,2013.

Rob served as Commissioner of the Georgia Department of Banking and FinancesinceDecember2005.PriortoservingasCommissioner,Mr.BraswellwastheDeputyCommissionerforMortgageforapproximatelytwoyears.Hespenthisentireprofessionalcareerwith theDepartment.Mr. Braswell previously served as district director andsupervisory examiner for the District 1-Northwest region and held several financialexaminerpositions.Hereceivedhisbachelor’sdegreeinbusinessadministration,withaconcentrationinfinance,fromGeorgiaSouthernUniversity.

What is the CBA Leadership Division?The Leadership Division was created in 1980 to educate and inform future bank leaders on the current issues in the banking industry and to prepare them for further leader-ship roles in their institutions. One of the main principles of the division is to promote economic education by teaching students about banking, saving, spending, interest, credit and other related issues. Each year, the division also con-ducts fundraisers that benefit Children’s Healthcare and the CBA PAC/PR Funds.

CBA Leadership Division Raises $30,000 For Children's Healthcare

Georgia’s community bankers continue to dowhat they do best – give back to their communities. JaneLawson, COO/Vice President, First Peoples Bank, Pine Mountain, and 2012-2013 Children’s Healthcare

Fundraising Chair, announces CBA’s Leadership Divisionreached the annual Children’s Healthcare Fundraisinggoalbycollectinganetof$30,000.ThefundswillbenefittheChildren’sStrong4Lifeprogram,aprogramtoimprovechild wellness and reduce childhood obesity. The CBALeadership Division began raising funds for Children’sHealthcare in 1989 and community bankers in Georgiahaveraisedatotalofnearly$375,000.

“We are thrilled with the amount of money collectedthis year as well as the enthusiasm of our bankersfor this cause,” said Rob Braswell, President & ChiefExecutive Officer, Community Bankers Association ofGeorgia.“Children’sHealthcareprovidessomuchforthecommunitiesinGeorgia,andweareproudtohavegivenfinancialassistance.ThisneedreallyresonateswithourLeadership Division, many who have small children oftheirownandappreciate theeasyaccess to thisworld-classchildren’shealthcarefacility.”

In order to achieve parity with national banks,Commissioner Kevin Hagler of the GeorgiaDepartmentofBanking&FinanceissuedaDeclaratoryOrder determining overdraft fees imposed by state-charteredbanks inconnectionwithdepositaccountsarenotsubjecttostatelawusurylimitations.

In the order, Commissioner Hagler modifies thedeposit-taking authority of state-chartered banks toprovide overdraft fees on deposit accounts are non-interestfeesandchargesdirectlyrelatedtothereceiptandwithdrawalofdeposits,inordertoachieveparitywithnationalbanks.TheDepartmentwillrequirestate-chartered institutions to comply with the provisionsin12C.F.R.§7.4002(b)iftheyhavenotalreadydones o as well as expect state-chartered

bankstocontinuetoimplementthe joint guidance and theFDICguidanceonoverdrafts.

The Commissioner hasconcluded this orderwill reduce the safetyand soundness risks of

state-chartered banks and

CommissionerHaglerIssuesDeclaratoryOrderimprove their safety and soundness ratings as theseinstitutionswill no longerbe subject tousury claimsrelated to overdraft fees. The order will also easethe administrative burden onmanagement at state-charteredbanksbyeliminatingtheneedtoengageinausuryanalysispriortoimposinganoverdraftfee.

“Our state-chartered members greatly appreciateCommissionerHaglerandtheDepartmentofBanking& Finance issuing this Declaratory Order,” said RobBraswell,President&CEOoftheCommunityBankersAssociation of Georgia (CBA). “It clarifies the long-held interpretation and practice that overdraft feesimposedbystate-charteredbanksondepositaccountsarenotsubjecttostateusurylimitations. ThisOrderensures the playing field remains level for state andnationalbanksthroughoutGeorgiaand isawelcomepronouncement.”

benefits.UnderaBOLIplan,bank’smakeapremiuminvestmentonaselectgroupofemployeesthatgrowsonataxadvantagedbasisandhashistoricallybeenahighyield,lowrisksourceofnon-loanincome.BankspurchasingandmaintainingBOLImustcomplywith guidelines jointly establishedby all four federalregulatory agencies—OCC, FRB, FDIC, and OTS— onDecember7,2004.TheinteragencyguidanceprovidesaBOLIconcentrationofcapitalguidelineof25%,withsomevariationinthecalculationbasedonthespecificregulatoryagency.

Throughthefinancialcrisisof thepastseveralyears,communitybankBOLIproductshaveperformedwelland provided steady cash value returns to financialinstitutions. Ascapital levelshavediminishedduringthis same period, many Georgia banks have foundthemselveswith BOLI holdings that exceed the 25%guideline. For example, in 2005, 9banks inGeorgiahadBOLI holdings in excessof 25%of Tier I Capital.Asoftheendofthefirstquarter2013,29bankshaveholdingsinexcessofthe25%guideline.

An institution holding BOLI in an amount thatapproaches or exceeds the concentration guidelinecan expect examiners to more closely scrutinize itsrisk management processes and documentation.Thereforeit is importanttobeproactiveanddiligentwhen it comes to monitoring potential BOLI riskfactors such as credit risk, interest rate risk andliquidity risk. Listedbeloware a fewbest practices:

• Workwithaconsultant/vendorthathasspecificexperienceandexpertise in thismarketplace.

• Beabletodemonstratethatseniormanagementand the board have effective oversight and athorough understanding of the product andtherisksinvolved.

• Make sure that you have comprehensivepoliciesandproceduresinplacethatoutlineanongoingsystemofriskassessmentandinternalcontrolprocesses.

• Havedocumentationonhandtodemonstratethat the BOLI holdings are not excessive inrelationtotheemployeebenefitexpensetoberecovered,suchashealthinsuranceexpenses,401(k)matchingexpensesandotheremployeebenefitexpenses.

• Perform a thorough plan review and riskassessment at least once per year, withsupplemental reporting on a quarterly basis.

• Frequently monitor and review your BOLIcarrier’s ratings and financial results.

The rewards of a BOLI program are attractive andhard to overlook, especially in today’s interest rateenvironment.Butifyourbankfindsitselfwithacapitalconcentration of BOLI that exceeds the regulatoryguideline, adhering to the guidelines listed abovewill ensure that management and board are wellversed on the program, and provide documentationtohelpdeterminewhetherornotyourBOLIholdingsrepresentanimprudentcapitalconcentration.
