HOME RULE RESOLUTION NO. H.R. 2010 - S

A HOME RULE RESOLUTION PROIDBITING CERTAIN ANIMALS

FROM RUNNING AT LARGE

WHEREAS, certain animals running at large on private property or public roadways jeopardize the public safety, health, and welfare of the public within Shawnee County; and

WHEREAS, K.S.A. 29-101 requires all domestic animals, other than cats and dogs, to be enclosed within particular fencing; and

WHEREAS, it is in the public interest to prohibit certain animals from running at large;

NOW, THEREFORE, the Board of C~wity Commissioners of the County of Shawnee, Kansas, meeting in its regular session this ~clay of ~r:,' I . , 2010, and intending to exercise its powers of home rule pursuant to K.S.A. 19-lOboes h'ereby resolve as follows:

1. The following described animals are prohibited from running at large in unincorporated areas of Shawnee County; all domestic animals, other than cats and dogs.

2. At large means the act of an animal which constitutes being off the property of the owner; and not being effectively physically restrained on a chain or leash or not being kept in a suitable fence or by another means of physical restraint from which the animal can escape.

3. Pursuant to K.S.A. 29-101 et seq., all domestic animals, other than cats and dogs, shall be enclosed with a fence sufficiently close, composed of posts and rails, posts and palings, posts and planks or palisades, posts and wire, rails alone, laid up in the manner commonly called a worm fence, or turf, with ditches on each side, of stone, or a hedge in existence on July 1, 1986, composed either of thorn or Osage orange.

4. Any person who knowingly fails to take appropriate measures pursuant to K.S.A. 29-101 et seq. and/or any person who knowingly allows a domestic animal, other than cats and dogs, to be at large, shall be subject to the following penalties:

• First violation - written warning. A warning may be appealed within thirty (30) days of its issuance by delivering a written notice of appeal to the Board of County Commissioners.

• Second violation within a twelve (12) month period - fine in the amount of Five Hundred and No/100 Dollars ($500.00) upon conviction or plea of guilty

• Third or subsequent violation within a twelve (12) month period- fine in the amount of One Thousand and No/100 Dollars ($1000.00) upon conviction or plea of guilty

A "violation" occurs pursuant to this Resolution on the date of the incident described in the written warning or citation issued by an officer authorized by law to enforce this Resolution.

5. This Resolution shall take effect upon publication in the official County newspaper.

I am requesting approval to hire the Real Estate Specialist position in my office at Grade 12, Step 5. This applicant has exceptional qualifications and experience, and will be an excellent asset to my office and to the citizens of Shawnee County. The annual salary at this step would be $37,918, plus $11,755 for benefits, reflecting total salary and benefits at $49,673.

There are funds available in the County Clerk's 2016 budget to cover this cost.

SHAWNEE COUNTY AMBULANCE ADVISORY BOARD MEETING MINUTES

AMR Operations Manager Jon Antrim provided the annual year-end report and update.

Mr. Antrim reported that AMR had a plaque that they want to present to former Board Member Nels Anderson in the future when he is available to attend a meeting.

Mr. Antrim reported that there were significant management changes during the course of fiscal year 2015.

Mr. Antrim reported that there was a little over 46,000 unit hours worked in the local operations for 2015. Mr. Antrim indicated that this equates to the number of hours there were ambulances in the field.

Mr. Antrim reported that during 2015 they had an average of 47 transports daily.

During 2015, Mr. Antrim reported that AMR provided an ambulance at events on 304 occasions. Of those 304 events there was 120 occasions where the time was donated and the requesting party was not billed.

Mr. Antrim reported that from 2015 to 2016, the system again grew and there was over 1000 more responses and 1000 transports in comparison.

Mr. Antrim outlined the Mobile Integrated Health program that AMR provides. There were 560 calls handled by the program which assisted in keeping units available on the street for emergency calls.

Mr. Antrim introduced Mr. Orozco who was selected to take over the CES duties for the Shawnee County Operation.

Mr. Antrim outlined the Operation Red File and Home for the Holiday programs.

Mr. Antrim reports that AMR submitted an application containing over 1000 pages in order to seek accreditation. The next step is the on-site evaluations and then making any additional information available.

Mr. Antrim reported that their partnership with Washburn Tech is very strong. AMR has donated cots, ambulances and other materials to the school for the EMS program. As Washburn Tech is teaching regular EMT programs, AMR will no longer be hosting them; however EMT students can continue to receive internships from AMR.

Going forward Mr. Antrim is looking towards holding a CPR class each month for 2016.

In answer to a question from a Board Member, Mr. Antrim and Mr. Lenn reported that with the Affordable Care Act in place, more people have access to medical care and this in turn can lead to more runs and transports for the Emergency Medical Systems.

The Compliance Officer asked the Board to set the meetings for May 25 and July 27 2016.

Compliance Officer Casteel provided a copy of the AAB RFP Committee recommendation to all Board Members and member of the public present.

Discussions were undertaken and questions were received from the public and Board Members regarding both items

Chairperson McNorton expressed his thanks to Board Members Gamber, Leavens, Martin, RFP Member Bottenberg, Cpl Errin Mahan and Compliance Officer Casteel for their work, cooperation and collaboration on the RFP Evaluation Committee

Compliance Officer Casteel reported that the scoring involved 7 different items, each on a scale of 1-5. All items weighted the same.

Compliance Officer Casteel reported that the Ambulance Advisory Board will be asked to approve and sign the recommendation of the RFP Committee and forward such to the BOCC on Wednesday evening March 30 at Mission Township Fire Department. There must be four yea votes for it to proceed. Following that meeting, the Compliance Officer will forward the recommendation to the County Counselor, Director of Administrative Services and the BOCC no later than EOB April 1. The recommendation will then be placed on the BOCC Agenda on Thursday April 14.

Chairperson McNorton reported that the RFP Evaluation Committee was pleased that they had received very complete and informative packets from both vendors.

In answer to a question from a member of the public, Compliance Officer Casteel recited Sections 5.6 & 5.6.1 of the RFP Document which outlined what materials could be released:

5.6 Open Records Act: All proposals become the property of Shawnee County. Kansas law requires all information contained in proposals to become open for public review once a contract is signed or all proposals are rejected.

5.6.1 Copies of individual proposals may be obtained under the Kansas Open Records Act by calling 785-251-4042 to request an estimate of the cost to reproduce the documents and remitting that amount with a written request to the above address, or a consultant may make an appointment by calling the above number to view the proposal

file. Upon receipt of the funds, the documents will be mailed. Information in proposal files shall not be released until a contract has been executed or all proposals have been rejected.

In answer to a question from a member of the public, Compliance Officer Casteel reported that the BOCC can see the proposals and make examinations when making their decision and they can also decided when/if to release information.

In answer to a question from a member of the public, Compliance Officer Casteel outlined that the recommendation will then be placed on the BOCC Agenda on Thursday April 14. Because of the language in the RFP, the BOCC owns the documents and they would need to be the ones that order any release of it.

The bylaws for the Board indicate that the same agenda layout must be used for all meetings. There is however a provision in the bylaw that allows for a change to the agenda format "by a majority vote of its members." Board Members were asked to change/shorten the agenda format for the March 30 special meeting.

Compliance Officer Report

Compliance Officer Casteel asked if there were any questions related to the Compliance Officer's report to address or any other concerns Board Members may have for the Compliance Office.

Compliance Officer Casteel reported that he would be contacting the Rural Fire Chiefs and the City of Topeka Fire Department in reference to filling the terms of Board Members McKenzie and Martin when their terms expire on June 11, 2016.

Compliance Officer Casteel reported that during January there was an increase of "severe weather" exemptions due to the Black Ice event that took place on January 19th.

Communications by AMR Management

Mr. Antrim reported that he came in at the end of November and has been seeing good communications between the agencies they deal with.

Mr. Antrim reported that they are starting a hiring process in April 2016 which will include hiring more part-timers to fill the gaps that happen.

Mr. Antrim reported that they are serving on committees with the local health care systems in order to see what they are doing both right and wrong.

Mr. Antrim reported that he has met with each of the local fire chiefs in order to address and/or solve any problems.

Mr. Antrim reported that the local AMR operation is going to be developing a strategic plan based upon what is best for the whole system.

Mr. Antrim reported that Compliance Officer Casteel is in continuous contact with him regarding any issues or problems that have arose.

In answer to question from a fellow Board Member, Board Member Martin reported that the City of Topeka and the Fire Department were working towards a plan regarding how they handle EMS in the city.

Chairperson McNorton reported that during the process of the RFP, there were updates made to the City of Topeka and they were kept abreast of what was being put into place by the RFP Committee.

Action Requested: Approval of out-of-state travel for one Shawnee County Health Department (SCHD) immunization staff member to attend the National Immunization Conference September ~3-15 in Atlanta, Georgia.

The Kansas Department of Health and Environment (KDHE), Immunization Program, will pay up to $1,300.00 for conference travel, hotel, and meals. (See attached letter.)

The Shawnee County Health Department received the Operation Honey Bee award for highest adolescent immunization rates among urban health departments for 2015. The award included all expense coverage for one staff person to attend the 2016 National Immunization Conference (NIC) in Atlanta, Georgia.

The conference will bring together partners from local, state, federal, and private sector areas. There will be opportunities to hear national experts discuss immunization and vaccine-preventable disease. Some of the topics covered will include adult immunization, epidemiology and surveillance, childhood and adolescent immunization.

In 2015, the SCHD Immunization Program gave 16,580 vaccinations to 6,000 clients.

Thank you and your Immunization team for the work that the Shawnee County Health Agency has done to continue improving the rates for vaccine coverage in your community. In appreciation of your efforts to lead

your similar size local health departments in Operation Honey Bee in 2015, we are pleased to be providing all

expense coverage for one staff person to attend the 2017 National Immunization Conference (NIC) in Atlanta, GA September 13-15, 2016.

NIC brings together a wide variety of local, state, federal, and private-sector immunization partners to explore science, policy, education, and planning issues related to immunization in general and vaccine-preventable disease. This three-day conference with 3 plenary sessions, 12 breakout sessions, workshops, 2 immunization Q&A sessions, posters, exhibits, and the Hilleman Lecture will highlight the following major topics:

• Adult Immunization • Immunization Information Systems • Programmatic Issues • Health and Risk Communications • Epidemiology and Surveillance • Childhood and Adolescent Immunization

The KDHE Kansas Immunization Program will cover all travel and attendance expenses. We will book airfare round trip from Kansas City. You are asked to book and pay for the hotel, ground transportation and meals which will be reimbursed after the travel. Hotel will be reimbursed based on eth allowable rate of $138.00 plus

tax daily and will require a copy of the hotel receipt. Meals will be reimbursed at a flat per diem rate of $69.00

per day. Mileage to and from the airport in KC will be reimbursed at 54 cents per mile. Other expenses such as luggage fees for the flights, ground transportation and tolls will be reimbursed actual cost based on receipts. Total reimbursement is not to exceed $1,300.00.

Please send me the name of the traveler as it appears on their ID and date of birth for booking their flight. Please have them register for the conference ASAP by going to the online registration site. There is no cost for the registration, but space is limited so registration should be made as soon as possible. Please have the traveler

SUBJECT: Request for approval to negotiate proposals for custodial services at all Shawnee County facility locations (with the exception of the Law Enforcement Center) due to absence of bids being obtained during recent "RFP" process that concluded August 15

On July 18, 2016 the Board of County Commissioners authorized the Facilities Maintenance Department to solicit bids for custodial services. An RFP was released by Purchasing on Monday, July 20, with bids due by 2:00 pm on Monday, August 1st_ Bid specifications were mailed to a total of 19 firms of which we received no responses. Consequently, I am seeking the Board's authorization to contact custodial service providers to inquire about their interest and ability to provide the required services, as well as their pricing for such services. I am also requesting the authority to enter into contract negotiations with the lowest cost/best vendor for the services required. Once negotiations are completed, I will return before the Board for approval of the negotiated contract.

The purpose of this memorandum is to request authority to institute judicial tax foreclosure proceedings against various tracts of land. A resolution authorizing the filing of this proceeding in district court is also attached for your review.

WHEREAS, numerous parcels of real estate have been sold and bid by the County at delinquent tax sales and have remained unredeemed on the first day of September of the second or third year after such sale; and

WHEREAS, the aggregate assessed valuation of all such real estate subject to sale in the boundaries of Shawnee County, Kansas, is more than Ten Thousand Dollars ($10,000); and

WHEREAS, the legislature has passed laws providing for the foreclosure of tax liens and the sale of real property in order to assist in the collection of delinquent taxes;

NOW, THEREFORE, BE IT RESOLVED by The Board of County Commissioners of the County of Shawnee, Kansas, sitting in regular session on this __ day of

That a judicial foreclosure and sale of all real estate tax liens be held and the County Counselor of Shawnee County, Kansas is hereby ordered to prepare the necessary petition in order to have a tax sale of all real property which has been sold to the County for taxes and which has remained unredeemed as provided for in K.S.A. 79-2801.

Board of Commissioners approval is requested on the . attached Independent Contractor Agreement for Services (ICAS) with Shannon Reilly, Rachel Taylor, Patricia Gleue, Laura McLemore, Dennis Rogers and Dana Rodenbaugh. These individuals will be providing varying entertainment services at the 3]1h Annual Apple Festival held October 2, 2016, in Old Prairie Town at the Ward-Meade Historic site. These vendors are scheduled through the Recreation Division and our Master Plan calls for contracting with individuals who desire to share their service, skills and talent as independent contractors. One of the five (5) areas of focus to manage partners is that of Vendor Partners.

Vendor Partners: Service providers and/or contractors that can gain brand association and notoriety as a preferred vendor or supporter of Shawnee County Parks + Recreation in exchange for reduced rates, services, or some other agreed upon benefit.

The ICAS will continue to be a valuable asset for instructor agreements. The P+R Department will welcome an estimated 5,000 visitors between 10am-5pm during the Apple Festival which has an economic impact of nearly $30,000. Funds for services covered by these agreeme_nts are provided by the Shawnee County Parks and Recreation Foundation, a great Shawnee County partner.

SHAWNEE COUNTY CONTRACT NO. C .23 tp -2016

INDEPENDENT CONTRACTOR AGREEMENT FOR SERVICES (SHAWNEE COUNTY PARKS AND RECREATION FOUNDATION FUNDING)

THIS AGREEMENT is between THE BOARD OF COUNTY COMMISSIONERS OF THE COUNTY OF SHAWNEE, KANSAS (County), THE SHAWNEE COUNTY PARKS AND RECREATION FOUNDATION (Foundation) and Dana Rodenbaugh (Contractor).

1. SERVICES TO BE PERFORMED

Contractor agrees to perform the following services for County and/or the Foundation:

Roving music tlu·oughout Old Prairie Town from 1 lam-3:30pm at Apple Festival on October 2, 2016.

This Agreement shall commence on October 2, 2016, and shall end on October 2, 2016, unless this Agreement is terminated sooner or extended in accordance with its terms.

2. PAYMENT

In consideration of the services to be performed by Contractor, the Foundation agrees to pay Contractor as follows:

Entertainment Roving music throughout Old Prairie Town $475 from l 1am-3:30pm at Apple Festival on

Smashing Bumpkins October 2, 2016. Voucher submitted at the conclusion of the event.

Contractor shall be responsible for all expenses incurred while performing services under this Agreement. This includes equipment; supplies; telephone expenses; automobile and other travel expenses; meals and ente1tainment; insurance premiums; and all salary, expenses and other compensation paid to Contractor's employees or contract personnel Contractor hires to complete the work under this Agreement.

3. INDEI1ENDENT CONTRACTOR STATUS AND CERTIFICATION

Contractor is an independent Contractor, not a County or Foundation employee. Contractor's employees or contract personnel are not County or Foundation employees. Contractor, Foundation and County agree to the following rights consistent with an independent Contractor relationship:

a. Contractor has the right to perform services for others during the term of this Agreement.

b. Contractor has the sole right to control and direct the means, manner and method by which the services required by this Agreement will be performed.

c. Contractor shall not be assigned a work location on County or Foundation premises, and Contractor has the right to perform the services required by tbis Agreement at any place, location or time.

d. Contractor will furnish all equipment and materials used to provide the services required by this Agreement.

e. Contractor has the right to hire assistants as subcontractors, or to use Contractor's employees to provide the services required by this Agreement.

f. Contractor or Contractor's employees or contract personnel shall perform the services required by this Agreement and Contractor agrees to the faithful performance and delivery of described services in accordance with the time frames contained herein; County and/or Foundation shall not hire, supervise or pay any assistants to help Contractor.

g. Neither Contractor nor Contractor's employees or contract personnel shall receive any training from County or Foundation in the skills necessary to perform the services required by this Agreement.

h. County or Foundation shall not require Contractor or Contractor's employees or contact personnel to devote full time to performing the services required by this Agreement.

Fmther, Contractor hereby certifies:

i. That Contractor is not an employee of County or Foundation and thereby Contractor waives any and all claims to benefits otherwise provided to employees of the County or Foundation, including, but not limited to: medical, dental, or other personal insurance, retirement benefits, unemployment benefits, and liability or worker's compensation insurance.

j. Contractor must provide Federal Tax or Social Security Number on required Form W-9.

k. That Contractor understands that he/she is solely responsible, individually for all taxes and social security payments applicable to money received for services herein provided. Contractor understands that an IRS Form 1099 will be filed by the County or Foundation for all payments received.

4. INDEMNIFICATION AND HOLD HARMLESS

Contractor shall save, hold harmless, and indemnify the County and Foundation, their officers, agents and employees, from and against all claims, causes of action, liabilities, expenses and costs, including reasonable attorneys' fees, for injury of any person or damage to property arising out of, or connected with, work performed under this Agreement which is the result of any acts or omissions, whether negligent or otherwise, of Contractor, its officers, agents, subcontractors or employees.

Neither the County nor the Foundation shall be required to purchase, any insurance against loss or damage to any personal property to which this contract relates, nor shall this contract require the County or Foundation to establish a "self-insurance" fund to protect against any such loss or damage. Subject to the provisions of the Kansas Tort Claims Act (K.S.A. 75-6101 et seq.), the Contractor shall bear the risk of any loss or damage to any personal property to which Contractor holds title.

6. OWNERSIDP OF PRODUCTS/DOCUMENTS

Contractor hereby assigns to County and Foundation all rights to all products, reports, documents, photographs, videos, data, and drawings produced by Contractor as a result of its services to County and Foundation during the term of this Agreement.

7. · TERMINATION DUE TO LACK OF FUNDING APPROPRIATION.

Shawnee County is subject to the Kansas Cash Basis Law, ICS.A. 10-1101 et seq. If, in the judgment of the Shawnee County Financial Administrator, sufficient funds are not appropriated to continue the function performed in this agreement or to fund any obligation of the County for the payment of the charges hereunder, County may terminate this agreement at the end of its current fiscal year. In such event, County agrees to give written notice of termination to Contractor at least thirty (30) days prior to the end of its current fiscal year. The termination of the contract pursuant to this paragraph shall not cause any . penalty to be charged to the County or the Contractor.

8. ANTI-DISCRIMINATION CLAUSE.

The Contractor agrees: (a) to comply with the Kansas Act Against Discrimination (K.S.A. 44-1001 ct seq.) and the Kansas Age Discrimination in Employment Act, (K.S.A. 44-1111 et seq.) and the applicable provisions of the Americans With Disabilities Act (42 U.S.C. 12101 et seq.) [ADA] and to not discriminate against any person because of race, religion, color, sex, disability, national origin or ancestry, or age in the admission of access to or treatment or employment in, its programs or activities; (b) to include in all solicitations or advertisements for employees, the phrase "equal opportunity employer"; (c) to comply with the reporting.requirements set out in K.S.A. 44 1031 and K.S.A. 44-1116; (d) to include those provisions in every subcontract or purchase order so that they are binding upon such subcontractor or vendor; (e) that a failure to comply with the reporting requirements of (c) above or if the Contractor is found guilty of any violation of such acts by the Kansas Human Rights Commission, such violation shall constitute a breach of contract; (f) if the contracting agency determines that the Contractor has violated applicable provisions of ADA, that violation shall constitute a breach of contract; (g) if ( e) or (f) occurs, the contract may be cancelled, terminated or suspended in whole or in part by the County or Foundation. Parties to this contract understand that subsections (b) through (e) of this paragraph number 5 are not applicable to a Contractor who employs fewer than four employees or whose contract with the County or Foundation totals $5,000 or less during this fiscal year.

9. ACCEPTANCE OF CONTRACT.

This contract shall not be considered accepted, approved or otherwise effective until the required approvals and certifications have been given and this is signed by the Board of County Commissioners of the County of Shawnee, Kansas and the Shawnee County Parks and Recreation Foundation.

10. ARBITRATION, DAMAGES, WARRANTIES.

Notwithstanding any language to the contrary, no interpretation shall be allowed to find the County or Foundation have agreed to binding arbitration, or the payment of damages or penalties upon the occunence of a contingency. Further, neither the County not Foundation shall agree to pay attorney fees and late payment charges; and no provisions will be given effect which attempts to exclude, modify, disclaim or otherwise attempt to limit implied warranties of merchantability and fitness for a paiiicular purpose.

11. REPRESENTATIVE'S AUTHORITY TO CONTRACT.

By signing this document, the representative of the Contractor thereby represents that such person is duly authorized by the Contractor to execute this document on behalf of the Contractor and that the Contractor agrees to be bound by the provisions thereof.

12. TERMINATION OF AGREEMENT

This Agreement may be terminated by any party by giving the other parties written notice of the intent to terminate. The notice must specify a date upon which the termination will be effective, which date may not be less than 7 calendar days from the date of mailing the notice. Only services satisfactorily performed up to the date of receipt of notice shall be compensated and such compensation shall be pursuant to the terms of this Agreement. Notice shall be deemed received 3 days after mailing in the United States mail, using first class mail, postage prepaid.

13. MISCELLANEOUS PROVISIONS

a. This Agreement shall be entered into in Shawnee County, Kansas, and shall be construed and interpreted according to the law of the State of Kansas.

b. All notices and other communications in connection with this Agreement shall be in writing and shall be considered given 3 days after mailing in the United States mail, using first class mail, postage prepaid, to the recipient's address as stated in this Agreement.

c. Contractor shall comply with all federal, state and local laws requiring business permits, certificates and licenses required to carry out the services to be performed under this Agreement.

d. Contractor may not assign any rights or obligations under this Agreement without County's prior written approval.

Tms AGREEMIJNT is between THE BOARD OF CoUNtY COMMISSIONms OF THE COlNIY OF SHAWNEF, KANSAS (County),, THE SBAWNllE COUNTY PARKS AND RECREATION FOUNDATION (Foundation) and La.u,q Mr=Le,-nof'e., (Contractor).

1. SERVICES TO BE PERFORMED

Contractor agrees to perform the following services for Cowity and/or the Foundation:

Four hours of re-enacting and craft demonstrations as Laura Ingalls Wilder and one Main Stage program ,

This Agreemmt shall connnence on October 2, 2016, and shall end on October 2. 2016, unless this Agreement is tenninated sooner or extended in accordance with its terms.

2. PAYMENT

In consideration of the services to be performed by Contractor, the Foundation agrees to pay Contractor as follows:

submitted at the concJusion of the event.

Contractor shall be responsible for all expenses incurred while performing services under this Agreerrent. This includes equiprrent; supplies; telephone expenses; automobile and other travel expenses; rrnaJs and entertaimrent; instmlnce premiums; and all salary, expenses and other compensation paid to Contractor's employees or contract personnel Contractor hires to complete the work under this Agreement.

3. INDEPENDENT CONTRACTOR STATUS AND CERTIFICATION

Contractor is an independent Contractor, not a County or Foundation employee. Contractor's employees or contract personnel are not County or Foundation employees. Contractor; Foundation and County agree to the following rights consistent with an independent Contractor relationsrup:

a. Contractor bas the right to perform services for others during the term of this Agreerrent.

b. Contractor has the sole right to control and direct the means, manner and method by which the services required by this Agreement will be performed.

c. Contractor shall not be assigned a work location on County or Foundation premises, and Contractor has the right to perfonn the services required by this Agreement at any place, location or time.

d. Contractor will furnish all equipment and materials used to provide the services required by this Agreement.

e. Contractor has the right to hire assistants as subcontractors, or to use Contractor's employees to provide the services required by this Agreement.

f. Contractor or Contractor's employees or contract personnel shall perfo1m the services required by this Agreement and Contractor agrees to the faithful perfonnance and delivery of described services in accordance with the time frames contained herein; County and/or Foundation shall not hire, supervise or pay any assistants to help Contractor.

g. Neither Contractor nor Contractor's employees or contract personnel shall receive any training from County or Foundation in the skills necessru.y to perfurm the services required by this Agreement.

h. County or Fot.mdation shall not require Contractor or Contractor's employees or contact personnel to devote full time to performing the services required by this Agreement.

Further, Contractor hereby certifies:

i That Contractor is not an employee of County or Foundation and thereby Contractor waives any and all clai.im to benefits otherwise provided to employees of the County or Foundation, :including, but not limited to: rnedical, dental, or other personal :insurance, retirement benefits, unemployirent benefits, and liability or worker's compensation mstn·ance. ·

j. Contractor must provide Federal Tax or Social Security Number on required Form W-9.

k. That Contractor understands that he/she is solely responsible, individually for all taxes and social security payments applicable to money received for services herein provided. Contractor understands that an IRS Form 1099 will be filed by the County or F0tmdation for all payments received.

4. INDEMNIFICATION AND HOLD HARMLESS

Contractor shall save, hold harmless, and indemnify the County and Foundation, their officers, agents and employees, from and against all claims, causes of action. liabilities, expenses and costs, :including reasonable attorneys' fues, for injury of any person or dru.nage to property arising out oi or connected with, work perfurmed under this Agreement which is the result of any acts or omissions, whether negligent or otherwise, of Contractor, its officers, agents, subcontractors or employees.

Neither the County nor the Foundation shall be required to purchase, any :insurance against loss or damage to any personal property to which this contract relates, nor shall this contract require the Cotmty or Fotmdation to establish a "self-insurance" fund to protect against any such loss or damage. Subject to the provisions of the Kansas Tort Claims Act (K.S.A. 75-6101 et seq.), the Contractor shall bear the 1isk of any loss or damage to any personal property to which Contractor holds title. -

6. OWNERSHIP OF PRODUCTS/DOCUMENTS

Contractor hereby assigns to County and Foundation all rights to all products, reports, docrnrents, photographs, videos, data, and drawings produced by Contractor as a result of its services to Comrty and Foundation during the term of this Agreement.

7. TERMINATION DUE TO LACK OF FUNDING APPROPRIATION.

Shawnee County is subject to the Kansas Cash Basis Law, K.S.A. 10-1101 et seq. If, in the judgment of the Shawnee County Financial Administrator, · sufficient funds are not appropriated to continue the :function pe1fonred in this agreement or to fund any obligation of the County for the payirent of the charges hereunder, County may terminate this agreement at the end of its current fiscal year. In such event, County agrees to give written notice of termination to Contractor at least thirty (30) days prior to the end of its current fiscal year. The termination of the contract pursuant to this paragraph shall not cause any penalty to be charged to the County or the Contractor.

8. ANTI~DISCRIMINATION CLAUSE.

The Contractor agrees: (a) to comply with the Kansas Act Against Discrimination (K.S.A 44-1001 et seq.) and the Kansas Age Discrimination in Employirent Act, (K.S.A 44-1111 et seq.) and the applicable provisions of the Alrericans With Disabilities Act (42 U.S.C. 12101 et seq.) [ADA] and to not discriminate against any person because ofrace, religion, color, sex, disability, national origin or ancestry, or age in the admission of access to or treat:roont or employirent in, its programs or activities; (b) to include in all solicitations or advertisements fur employees, the phrase "equal opportunity etflployer"; (c) to comply with the reporting requirements set out in K.S.A. 44 1031 and K.S.A. 44-1116; (d) to include those provisions in every subcontract or purchase order so that they are binding upon such subcontractor or vendor; (e) that a failure to comply with the reporting requireirents of (c) above or if the Contractor is found guilty of any violation of such acts by the Kansas Human Rights Commission, such violation shall constitute a breach of contract; (t) if the contracting agency determines that the Contractor has violated applicable provisions of ADA, that violation shall constitute a breach of contract; (g) if (e) or (t) occurs, the contract may be cancelled, terminated or suspended in whole or in part by the County or Foundation. Parties to this contract t.mderstand that subsections (b) through ( e) of this paragraph number 5 are not applicable to a Contractor who employs rewer than fuur employees or whose contract with the County or Foundation totals $5,000 or less during this fiscal year.

This contract shall not be considered accepted, approved or otherwise effective until the required approvals and certifications have been given · and this is signed by the Board of County Commissioners of the County of Shawnee, Kansas and the Shawnee County Parks and Recreation Foundation.

10. ARBI1RATION. DAMAGES, WARRANTIES.

Notwithstanding any language to the contrary, no interpretation shall be allowed to find the County or Foundation have agreed to binding arbitration, or the payment of damages or penalties upon the occurrence of a contingency. Further, neither the County not Foundation shall agree to pay attorney fees and late payment charges; and no provisions will be given effect which attempts to exclude, modify, disclaim or otherwise attempt to limit implied warranties of merchantability and fitness for a particular purpose.

11. REPRESENTATIVE'S AUTHORITY TO CONTRACT.

By signing this document, the representative of the Contractor thereby represents that such person is duly authoriz.ed by the Contractor to execute this document on behalf of the Contractor and that the Contractor agrees to be bound by the provisions thereof

12. TERMINATION OF AGREEMENT

This Agree~nt may be tenninated by any party by giving the other parties written notice of the intent to tenninate. The notice must specify a date upon which the termination will be effective, which date may not be Jess than 7 calendar days from the date of mailing the notice. Only services satisfactorily perfonned up to the date of receipt of notice shall be compensated and such compensation shall be pursuant to the terms of this Agreement Notice shall be dee~d received 3 days after mailing in the United States mail, using first class mail, postage prepaid.

13. MIS(,"'ELLANEOUS PROVISIONS

a. This Agree~nt shall be entered into in Shawnee County, Kansas, and shall be construed and interpreted according to the law of the State of Kansas.

b. All notices and other col11lill.llllCations in connection with this Agreement shall be in writing and shall be considered given 3 days after mailing in the United States mail, using first class mail, postage prepaid, to the recipient's address as stated in this Agreement.

c. Contractor shall comply with all federai state and local laws requiring business permits, certifJCates and licenses required to carry out the services to be pe1fonred under this Agreement.

d. Contractor may not assign any rights or obligations under this Agreement without County's prior written approval

INDEPENDENT CONTRACTOR AGREEMENT FOR SERVICES

(SHAWNEE COUNTY PARKS AND RECREATION FOUNDATION FUNDING)

THIS AGREEMENT is between THE BOARD OF COUNTY COMMISSIONERS OF THE COUNTY OF SHAWNEE, KANSAS (County), THE SHAWNEE COUNTY PARKS AND RECREATION FOUNDATION (Foundation) and Rachel Louise Taylor (Contractor).

1. SERVICES TO BE PERFORMED

Contractor agrees to perform the following services for County and/or the Foundation:

Provide 1-45 minute set on the main stage during Old Prairie Town's 3ih Annual Apple Festival on October 2, 2016.

This Agreement shall commence on October 2, 2016, and shall end on October 2, 2016, unless this Agreement is te1minated sooner or extended in accordance with its tenns.

2. PAYMENT

In consideration of the services to be perfonned by Contractor, the Foundation agrees to pay Contractor as follows:

Contractor shall be responsible for all expenses incmred while perfonning services under this Agreement. This includes equipment; supplies; telephone expenses; automobile and other travel expenses; meals and entertainment; insurance premiums; and all salary, expenses and other compensation paid to Contractor's employees or contract personnel Contractor hires to complete the work under this Agreement.

3. INDEPENDENT CONTRACTOR STATUS AND CERTIFICATION

Contractor is an independent Contractor, not a County or Foundation employee. Contractor's employees or contract personnel are not County or Foundation employees. Contractor, Foundation and County agree to the following rights consistent with an independent Contractor relationship:

b. Contractor has the sole right to control and direct the means, manner and method by which the services required by this Agreement will be perfo1med.

c. Contractor shall not be assigned a work location on County or Foundation premises, and Contractor has the right to perform the services required by this Agreement at any place, location or time.

d. Contractor will furnish all equipment and materials used to provide the services required by this Agreement.

e. Contractor has the right to hire assistants as subcontractors, or to use Contractor's employees to provide the services required by this Agreement.

f. Contractor or Contractor's employees or contract personnel shall perform the services required by this Agreement and Contractor agrees to the faithful performance and delivery of described services in accordance with the time frames contained herein; County and/or Foundation shall not hire, supervise or pay any assistants to help Contractor.

g. Neither Contractor nor Contractor's employees or contract personnel shall receive any training from County or Foundation in the skills necessary to perform the services required by this Agreement.

h. County or Foundation shaII not require Contractor or Contractor's employees or contact personnel to devote full time to performing the services required by this Agreement.

Fmther, Contractor hereby certifies:

1. That Contractor is not an employee of County or Foundation and thereby Contractor waives any and all claims to benefits otherwise provided to employees of the County or Foundation, including, but not limited to: medical, dental, or other personal insurance, retirement benefits, unemployment benefits, and liability or worker's compensation insurance.

J. Contractor must provide Federal Tax or Social Security Number on required Fo1m W-9.

k. That Contractor understands that he/she is solely responsible, individually for all taxes and social security payments applicable to money received for services herein provided. Contractor understands that an IRS Form 1099 will be filed by the County or Fotmdation for all payments received.

4. INDEMNIFICATION AND HOLD HARMLESS

Contractor shall save, hold hannless, and indemnify the County and Foundation, their officers, agents and employees, from and against all claims, causes of action, liabilities, expenses and costs, including reasonable attorneys' fees, for injury of any person or damage to property arising out of, or connected with, work performed under this Agreement which is the result of any acts or omissions, whether negligent or otherwise, of Contractor, its officers, agents, subcontractors or employees.

Neither the County nor the Foundation shall be required to purchase, any insurance against loss or daii1age to any personal prope1iy to which this contract relates, nor shall this contract require the County or Foundation to establish a "self-insurance" fund to protect against any such loss or damage. Subject to the provisions of the Kansas Tort Claims Act (K.S.A. 75-6101 et seq.), the Contractor shall bear the risk of any loss or damage to any personal property to which Contractor holds title.

6. OWNERSIIlP OF PRODUCTS/DOCUMENTS

Contractor hereby assigns to County and Foundation all rights to all products, repmis, documents, photographs, videos, data, and drawings produced by Contractor as a result of its services to County and Foundation during the tenn of this Agreement.

7. TERMINATION DUE TO LACK OF FUNDING APPROPRIATION.

Shawnee County is subject to the Kansas Cash Basis Law, K.8'.A. 10-1101 et seq. If, in the judgment of the Shawnee County Financial Administrator, sufficient funds are not appropriated to continue the function perfonned in this agreement or to fund any obligation of the County for the payment of the charges hereunder, County may tenninate this agreement at the end of its cmTent fiscal year. In such event, County agrees to give written notice of termination to Contractor at least thi1iy (30) days prior to the end of its ctment fiscal year. The tennination of the contract pursuant to this paragraph shall not cause any penalty to be charged to the County or the Contractor.

8. ANTI-DISCRIMINATION CLAUSE.

The Contractor agrees: (a) to comply with the Kansas Act Against Discrimination (K.S.A. 44-1001 et seq.) and the Kansas Age Discrimination in Employment Act, (K.S.A. 44-1111 et seq.) and the applicable provisions of the Americans With Disabilities Act (42 U.S.C. 12101 et seq.) [ADA] and to not discriminate against any person because of race, religion, color, sex, disability, national origin or ancestry, or age in the admission of access to or treatment or employment in, its programs or activities; (b) to include in all solicitations or adve1iisements for employees, the phrase "equal opportunity employer"; ( c) to comply with the repmiing requirements set out in K.S.A. 44 1031 and K.S.A. 44-1116; (d) to include those provisions in every subcontract or purchase order so that they are binding upon such subcontractor or vendor; (e) that a failure to comply with the reporting requirements of (c) above or if the Contractor is found guilty of any violation of such acts by the Kansas Human Rights Commission, such violation shall constitute a breach of contract; (f) if the contracting agency determines that the Contractor has violated applicable provisions of ADA, that violation shall constitute a breach of contract; (g) if (e) or (f) occurs, the contract may be cancelled, terminated or suspended in whole or in pmi by the County or Foundation. Parties to this contract understand that subsections (b) through (e) of this paragraph number 5 me not applicable to a Contractor who employs fewer than fom· employees or whose contract with the County or Foundatjon totals $5,000 or less during this fiscal year.

9. ACCEPTANCE OF CONTRACT.

This contract shall not be considered accepted, approved or otherwise effective until the required approvals and certifications have been given and this is signed by the Board of County Commissioners of the County of Shawnee, Kansas and the Shawnee County Parks and Recreation Foundation.

10. ARBITRATION, DAMAGES, WARRANTIES.

Notwithstanding any language to the contrary, no interpretation shall be allowed to find the County or Foundation have agreed to binding arbitration, or the payment of damages or penalties upon the occurrence of a contingency. Fmiher, neither the County not Foundation shall agree to pay attorney fees and late payment charges; and no provisions will be given effect which attempts to exclude, modify, disclaim or otherwise attempt to limit implied warranties of merchantability and fitness for a particular purpose.

11. REPRESENTATIVE'S AUTHORITY TO CONTRACT.

By signing this document, the representative of the Contractor thereby represents that such person is duly authorized by the Contractor to execute this document on behalf of the Contractor and that the Contractor agrees to be bound by the provisions thereof.

12. TERMINATION OF AGREEMENT

This Agreement may be terminated by any party by giving the other parties written notice of the intent to terminate. The notice must specify a date upon which the termination will be effective, which date may not be less than 7 calendar days from the date of mailing the notice. Only services satisfactorily performed up to the date of receipt of notice shall be compensated and such compensation shall be pursuant to the terms of this Agreement. Notice shall be deemed received 3 days after mailing in the United States mail, using first class mail, postage prepaid.

13. MISCELLANEOUS PROVISIONS

a. This Agreement shall be entered into in Shawnee County, Kansas, and shall be construed and interpreted according to the law of the State of Kansas.

b. All notices and other communications in connection with this Agreement shall be in writing and shall be considered given 3 days after mailing in the United States mail, using first class mail, postage prepaid, to the recipient's address as stated in this Agreement.

c. Contractor shall comply with all federal, state and local laws requiring business permits, ce1iificates and licenses required to carry out the services to be perfmmed under this Agreement. ·

d. Contractor may not assign any rights or obligations under this Agreement without County's prior written approval.

RE: Shawnee County Allied Tribes Agreement -All Nations Inter-Tribal Pow Wow Outdoor Adventure - Special Events

Board of Commissioners approval is requested on the attached agreement with the Shawnee County Allied Tribes which organizes the Pow Wow scheduled for September 2-4. The regional event raises community awareness of the Native American heritage and culture for youth and adults alike.

The Master Plan Community Vision for Programming tells us "to reach out to people of all ages to encourage them to experience parks and recreation facilities through well designed programs that create a lifetime of memories." This is one example of the five ( 5) areas of focus to manage future partners which is that of Operational Partners.

Operational Partners: Other entities and organizations that can support the efforts of Shawnee County Parks + Recreation to maintain facilities and assets, promote amenities and park usage, support site needs, provide programs and events, and/or maintain the integrity of natural/cultural resources through in-kind labor, equipment, or materials.

A valuable asset the Parks + Recreation staff continues to improve is that of partnership agreements. By providing this opportunity and do so with minimal park impact helps create educational and memorable experiences that benefit local tribes. Estimated financial impacts of this event are:

ALL NATIONS INTER-TRIBAL POW WOW AGREEMENT FOR USAGE OF LAKE SHAWNEE FACILITIES AND PARKLAND

THIS AGREEMENT is entered into this ____ day of _____ , 2016, by and

between The Board of County Commissioners of the County of Shawnee, a duly organized

municipal corporation, hereinafter referred to as "County," and Shawnee County Allied Tribes, Inc.,

hereinafter referred to as "Organizer."

WHEREAS, the County is the owner of Lake Shawnee and operates the public park and

facilities located therein for the recreational use by the public and patrons of the park; and

WHEREAS, it would be of mutual benefit to the parties that certain rights, privileges and

covenants be granted by the County to the Organizer in exchange for the consideration to be paid for

services rendered by the Organizer for said rights, privileges and covenants, as they are hereinafter set

forth; and

WHEREAS, the Organizer wishes to conduct the 2016 All Nations Inter-Tribal Pow Wow,

Friday through Sunday, September 2-4, 2016, hereinafter referred to as "Event" at Lake Shawnee,

hereinafter referred to as "Premises"; and

WHEREAS, Shawnee County Parks + Recreation hereinafter referred to as the "Department"

shall be the department responsible for carrying out the responsibilities of the County; and

WHEREAS, the County and Organizer wish to set out terms and conditions regarding the

Event; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties

agree as follows:

I. TERM. This Agreement shall be effective from the date above until September 4, 2016.

Either party may terminate this Agreement before September 1, 2016 without cause providing ten (10)

days written notice to the other party provided.

Any violation of the tenns of this Agreement shall be grounds for immediate termination of this

Agreement. In the event this Agreement is terminated for any reason, the Organizer shall forfoit any

financial commitment prior to the termination.

2. LOCATION. The County does hereby assign to the Organizer the use of Lake Shawnee

as outlined in Attachment A for the Event detailed herein for the dates of September 2-4, 2016. The

mutually agreed upon site includes but is not limited to Reynolds Lodge, immediate open space west of

the lodge and open space east of the lodge known as Tinman Circle.

3. USE OF PREMISES. The County and Organizer agree that Lake Shawnee parkland is a

public entity first and foremost for the public enjoyment and use.

a) The Event areas shall be available during the schedule listed below:

• September 1 Site preparations

• September 2-4 Event activities

• September 5 Conclusion

b) Event and vendor setup may begin Thursday, September 1, 8:00 a.m.

c) Conclusion of Event and vendor activities shall cease by 1 :00 p.m., with removal

of related structures, materials and vendors by 5:00 p.m. on Monday, September 5.

d) Any vendor operations shall occur during Event schedule only.

e) Reynolds Lodge equipment shall remain inside the facility throughout the Event.

4. RESPONSIBILITIES OF THE COUNTY:

a) In accordance with County Code, Chapter 21, Art II. Sec 21-55. Special Uses of

the Parks, concerning Parkland usage the County does hereby grant the Organizer permission to

host the Event at Lake Shawnee, to allow temporary structures, activities and parking in relation

to the Use of Premises and site plan detailed in Attachment A.

b) In accordance with County Code, Chapter 21, Art II. Sec 21-65. Fires, the County

does hereby grant the Organizer permission to establish fire pits in mutually agreed upon areas

so long as said fire pits are returned to their original conditions after the Event by the Organizer.

c) In accordance with County Code, Chapter 26, Art II. Sec 21-66, Camping in the

Parks, the County does hereby grant the Organizer permission to allow tent camping only within

the Premises. Furthermore, for security of the site, minimal vehicular camping shall be allowed

on hard surfaces only within the Event site. Organizer shall determine any permission for

volunteer or vendor camping.

d) Provide one (1) Department liaison for monitoring the Event.

i. Park Police patrol parklands between 8:00 a.m. and 11 :00 p.m. Any

additional site or vendor security between 11 :00 p.m. and 8:00 a.m. shall

be coordinated with Mike Cope, Park Police Chief, 785-251-263 l.

11. Department staff will coordinate traffic control with Organizer assistance.

e) The County will perform maintenance necessary and provide Premises in a safe

and useable condition. The County shall bear all costs and expenses related to such maintenance

outlined in the Master Plan Maintenance and Facility Standards prior to the Event.

f) Provide existing utilities and refuse service throughout the Event.

g) Supply and service ten (10) additional trash receptacles and three (3) trash

dumpsters, twenty five (25) picnic tables for youth educational sessions held in Tinman Circle

for the Event. Said tables shall be placed in a large circle on Thursday, September l, by 9:00

a.m. and removed on Friday, September 2, by 12:00 p.m.

h) Provide and service one (I) mobile restroom and bandshell for the Event.

i) Allow for Event performers and paiticipants, approved by the Organizer, to freely

access Lake Shawnee Campground shower facilities September 1-4, 2016.

5. RESPONSIBILITIES OF ORGANIZER. The Event is defined as the "2016 All

Nations Inter-Tribal Pow Wow" point of admission, designated parking areas which supp01t Organizer

activities, and include preparation through conclusion operations for the times and dates set faith in this

a~reement.

a) Produce a family oriented Event designed to capture community interest and

media attention for the public awareness and appreciation of Native American Heritage and

Culture.

b) Organizer is responsible for any and all equipment and duties concerning Event

preparations through conclusion not provided by the County such as but not limited to a public

address system, banners, signage, electricity, litter control, temporary tents or canopies, vending

and entertainment operations.

c) Marketing and Adve1tising:

1. . Organizer shall provide all media campaigns, announcements and signage.

ii. Organizer shall identify Lake Shawnee, Topeka, Kansas, and utilize the

Department name and logo without alteration in all media advertising and include

the Department as an Event co-sponsor.

iii. Any use of the logo must follow Department guidelines by maintaining

colors and minimum sizes. The logo may be secured by contacting the

Communications and Public Information Supervisor.

1v. Provide Department staff free access to photograph for promotional

purposes and monitor activities associated with the Event.

v. Organizer shall obtain prior Department approval of all sponsors displays

or advertising at the Event site which shall follow Department guidelines.

cl) Agrees to not use or occupy the Premises in any manner deemed hazardous or for

any unlawful pmpose. Organizer and Vendors shall comply with all Federal and State of Kansas

laws and regulations, Shawnee County resolutions and any applicable Department standards,

policies or facility guidelines. Organizer shall provide an Emergency Action Plan (EAP) should

such need arise due to weather, safoty, or any other matter deemed necessary and pertinent to the

Event.

e) To accommodate the estimated crowd for the Event, no less than three (3)

portable restrooms with at least two (2) being ADA accessible shall be ordered, placed and

maintained by the Organizer. Organizer shall utilize the Department vendor with delivery on

September 1 and removal on or before Tuesday, September 6.

f) Provide volunteers for Event management including but not limited to parking,

traffic and litter control, enforcing parkland and maintenance standards and safety. Organizer

shall contact the Depmiment liaison at least two (2) weeks prior to the Event concerning

volunteer coordination.

1. Organizer agrees to cooperate by following the Departmenfs Volunteer

Policy abiding by the standards set forth for volunteer accountability and

recording of such details.

g) Organizer may contract with one (1) or more vendors or entities to provide

concession operations, promotional or commemorative items, and entertainment services in

connection with the Event as set fo1th in Use of Premises above. The contracts, sale of any such

services and products shall be in accordance with applicable Federal, State and Local Laws or

Regulations.

1. Organizer shall provide utility connections as needed only after securing

authorized clearance not to disrupt any public utilities or parkland.

11. Organizer shall provide all signage, safety equipment and Event materials

for volunteers assisting with tratlic control and operations.

h) Organizer shall reimburse the County for any additional damages to property or

facilities related to the Event. Invoice(s) ofrepairs and services will be provided by the County.

1. Organizer agrees that should any litter, equipment, structures or alterations

used to produce the Event not be removed, cleaned or returned to

acceptable conditions by September 6, a fee of $350.00 per day shall

apply.

6. ALTERATIONS AND IMPROVEMENTS. Organizer may not make such alterations,

improvements, repairs and maintenance on or at the Event site without prior written County approval.

The parklands and facilities will be returned to original condition and remain County property after the

end of the agreement, subject to the terms of the paragraph(s) following:

a) County assumes no liability for the acts of the Organizer performed during the

term of this Agreement.

b) The parties acknowledge and agree in writing upon what assets and property

placed or located at the Event shall be removed. All personal property brought onto or placed at

the Event by the Organizer or volunteers shall be at their own risk, and the County will not be

liable for damages, thet1, or by any other acts.

7. INSURANCE. The Organizer shall provide and maintain for the duration of this

agreement, at its expense, general liability insurance with a good and solvent insurance company or

companies licensed to do business in the State of Kansas in the amount of at least One Million Dollars

and No/100 ($1,000,000.00) with respect to injury or death to any one person and Two Hundred Fifty

Thousand Dollars and No/100 ($250,000.00) with respect to damages to property. The certificate shall

contain a provision that coverage afforded under the policy will not be cancelled unless at least thirty

(30) days prior written notice has been given to County. The certificate of insurance shall name County

as the certificate holder and as additional insured shall be provided to County one week prior to the

Event.

8. FINANCIALS. The Shawnee County Parks+ Recreation Master Plan provided details

of utilizing cost recovery associated with events, maintaining standards and park usage not directly

related to facility rentals. In meeting those requirements, the funds generated through event(s) operations

will be deposited into the Shawnee County Parks and Recreation Foundation per Contract C300-2008

(programs and facilities) for future upgrades and improvements throughout our park system. The

Organizer agrees such reimbursement amount will be no less than Three Thousand Five Hundred

Dollars and No/100 ($3500.00)payable by October 3, 2016.

a. All Event proceeds shall become property of the Shawnee County Allied Tribes, Inc.

b. Any fees or permits necessary to provide the Event shall be the responsibility of the

Organizer.

9. INDEMNIFICATION. The Organizer covenants and agrees to indemnify, protect,

defend, and save County harmless from and against any and all claims, demands, liabilities, and costs,

including reasonable attorney's fees, arising from damage or injury, actual or claimed, of whatsoever

kind or character, to property or persons occmring or allegedly occurring in, on, or about the Premises,

or arising as a result of any use thereof or program operated therefrom by the Organizer and from all

costs and expenses related thereto. Upon notice from County, Organizer shall defend County in any

action or proceeding brought thereon.

10. NON-DISCRIMINATION. Organizer agrees to not unlawfully discriminate against any

person because of race, religion, creed, color, age, sex, disability, national origin, or ancestry in the

admission or access to, or treatment in, any programs, activities, or events.

11. SURRENDER; WASTE. Nothing contained herein shall be construed to hold or to

make County a partner, joint venturer, or associate of Organizer, and neither party shall be deemed the

agent of the other, it being expressly understood and agreed that the relationship between the parties

hereto is and shall at all time remain contractual as provided by the terms and conditions of this

Agreement.

12. LIENS. Organizer shall keep the Premises free from any and all liens arising out of any

work performed, materials furnished, or obligations incurred by Organizer during the term of this

Agreement or any extension thereof. Organizer may not obtain ownership of or exclusionary rights in

the Premises, improvements or facilities of the Premises regardless of any financial investment it may

make in their development.

13. WAIVER. Failure of either party to complain of any act or omission on the part of the

other party, no matter how long the same may continue, shall not be deemed to be a waiver by said party

of any of said party's rights hereunder. No waiver by any party at any time, expressed or implied, of any

breach of any provision of this Agreement shall be deemed a waiver of breach of any other provision of

this Agreement or a consent to any subsequent breach of the same or any other provision. If any action

by either party shall require the consent and approval of the other party, the other pmty's consent to or

approval of such action on any one occasion shall not be deemed to be a consent to or approval of said

action on any subsequent occasion. Any and all rights and remedies which either pmty may have under

this agreement, upon any breach, shall be distinct, separate and cumulative and shall not be deemed

inconsistent with each other; and no one of them, whether exercised by said party or not, shall be

deemed to be an exclusion of any other.

14. NOTICE. Any notice by either patty to the other shall be in writing and shall be deemed

to be given only if delivered personally or mailed by registered/ce1iified mail as follows:

15. SEVERABILITY. The provisions of this agreement are severable. In the event any

paragraph or portion of the agreement is declared illegal or unenforceable, the remainder of the

agreement shall remain in effect and binding upon parties.

16. ENTIRE AGREEMENT. The Contract Provisions Attachment (CPA), attached to this

agreement, is incorporated by reference and made a part of this Agreement. Together, this Agreement,

Attachment A and CPA represents the entire agreement and understanding between Organizer and the

County. No terms, conditions, course of performance, usage of trade, unQerstandings, or agreements

purporting to modify, supplement, or explain any provision of this Agreement shall be effective unless

in writing, signed by representatives of both parties authorized to amend the Agreement.

Board of Commissioners approval is requested to allow the department to fill a vacant position within the department. The position, Recreation Leader, became vacant as a result of the incumbent resigning with Shawnee County. The Recreation Leader position will be responsible for managing an assigned Community Center within the Recreation Division of the Parks + Recreation Department.

Under general supervision, this position supervises the use of recreation equipment and facilities, intermittent and contracted employees. Assist in developing and managing a variety of programs, special events, camps and other duties as assigned.
