Notice for inviting Quotations [Annexure 5 - Refer Para 4.4.2 and 5.5.1 of the Manual for Procurement of Goods 2017 of
Department of Expenditure, Ministry of Finance. Government of Indial
Sealed quotations are invited from the interested Service Providers for supply of the following
manpower, for performance of Outsourced Services, as enumerated below, in the office of the
Commissioner of Income Tax (Appeals), Guwahati - 1, Guwahati :

1. The interested Service Providers may submit their quotations (in sealed cover) for su pply of
the aforesaid manpower, for performance of outsourced services, as per the terms and
conditions of this Notice for Inviting Quotations.
2. The quotations must be furnished on or before 11:00 a.m. on 29/11/io17 in the office of the
Competent Officer of the Procuring Entity [i.e. the Office of the Commissioner of Income Tax
(Appeals), Guwahati - 1, Guwahati] at the address given above.
3. The quotation submitted shall be as per the terms and conditions prescribed in this Notice
for I~viting Quotations and shall include the technical bid and the financial bid.

4. The bidding process shall be as follows:
a. Earnest money deposit of Rs. 20,000 (Rs. Twenty Thousand Only) in form of Demand Draft drawn in favour of the "Commissioner of Income Tax (Appeals}, Guwahati -1, Guwahati" shall be furnished by the participating Service Provider along-with the quotation documents. The same would be forfeited if the participating Service Provider withdraws before finalization of the bid. The earnest money shall be refunded to the unsuccessful participating Service Provider within a week of conclusion of bidding/tender process.
b. The interested parties shall submit the tender consisting of the Technical Bid and Financial Bid.
A. Particulars of the Technical Bid:
The Technical Bid shall contain the following particulars/documents:
i. The technical bid shall be furnished in "Form for furnishing the Technical Bid" (given below), duly filled in along-with all the documents prescribed in the said form .
ii. Details of at least 5 candidates (out of those proposed to be supplied and deployed with the Procuring Entity) for interview in the form prescribed in this Notice for Inviting Quotations.
iii. The technical bid shall be placed in a separate sealed envelope marked as under and shall thereafter be placed inside the main sealed envelope containing the quotation documents. The envelope containing the technical bid shall be marked as follows:

B. Particulars ofthe Financial Bid:
The Financial Bid shall contain the following particulars/documents:
i. The financial bid shall be furnished in "Form for furnishing the Financial Bid" (given below), duly filled in along-with all the documents prescribed in the said form .
ii. Rate in each category separately at which unit manpower will be supplied by the Service Provider to the Procuring Entity. The meaning of rate shall be as per the definition given in this Notice for Inviting Quotations. However, the different elements of rate like wage/salary, PF, ESIC, GST etc. and the charges for the service given by the Service Provider should be shown separately in the "Form for furnishing the Financial Bid".
iii. The financial bid shall be placed in a separate sealed envelope marked as under and shall thereafter be placed inside the main sealed envelope containing the quotation documents. The envelope containing the financial bid shall be marked as follows:

5. All quotations submitted would be opened together at 1 p.m. sharp on 29/11/2017 in the
office of the Competent Officer of the Procuring Entity (Procuring Entity is the Office of the
Commissioner of Income Tax (Appeals), Guwahati - 1, Guwahati) in the presence of
representatives of the Service Providers, if they make themselves available at that time.
Further, the technical bids will be opened at 1.00 p.m. on 29/11/2017. The financial bids of
the technically qualified Service Providers will be opened on the same day at 03.00 PM. The
Service providers who do not qualify on their technical bids shall be excluded from further
participation in the bidding process and their financial bids will not be considered. In case
the bidding Service Providers are not present, the Competent Officer of the Procuring Entity,
Office of the Commissioner of Income Tax (Appeals), Guwahati - 1, Guwahati shall be
competent to open the quotations in their absence.
6. The place of supply of the manpower for performing the outsourced services shall be the
Office of the Commissioner of Income Tax (Appeals), Guwahati - 1, Guwahati, 3rd Floor,
Aayakar Bhawan, G.5. Road, Guwahati - 781005 or any other place as directed by the
Competent Officer of the Procuring Entity.
7. The terms & conditions for supply of the aforesaid manpower for performing the outsourced
services shall be as per this Notice for inviting Quotations and Schedule to this Notice for
inviting Quotations (which shall form a part and parcel of this Notice for Inviting Quotations).
8. The Commissioner of Income Tax (Appeals), Guwahati - 1, Guwahati however, reserves the
right to reject any or all bids at any stage of bid process without assigning any reason .

Notice for Inviting Quotations
Schedule to the Notice for inviting Quotations for Supply of Manpower
for Performance of Outsourced Services
1. In the "Notice for inviting Quotations" or the Schedule to the "Notice for inviting
Quotations" or the "Preliminary Purchase Order" for Supply of Manpower for Performance
of Outsourced Services or the "Final Purchase Order" for Supply of Manpower for
Performance of Outsourced Services or the "Contract for Supply of Manpower for
Performance of Outsourced Services", unless the context otherwise requires-
a. "Quotation" means and includes any quotation document or advertised tender
document or limited tender document or two-stage bidding document or single tender
document or document for electronic auctions which is submitted by the Service
Provider to the Procuring Entity in response to this "Notice for inviting Quotations" with
a view to obtain and execute the contract for supply of the manpower for performance
of outsourced services and shall consist of the technical bid, financial bid and all other
documents which are required to be furnished as per terms and conditions of the Notice
for Inviting Quotations.
b. "Notice for Inviting Quotations" shall mean Notice for Inviting Quotations for the
supply of Manpower or Notice for Inviting Tenders for the supply of Manpower or
Notice for Inviting Bids for the supply of Manpower and shall mean to include all
schedules and annexures to the Notice for Inviting Quotations and all forms and formats
included in the Notice for Inviting Quotations.
C. "Service Provider" means and includes any Vendor or Supplier or Service Provider or
Bidder or Person or Proprietor or Firm or Company or Organisation who participates in
the process of bidding for the purpose of supplying and deploying person(s) for
providing the outsourced services including the Vendor or Supplier or Service Provider
or Bidder or Person or Firm or Company or Organisation who is finally selected and
awarded the contract for supplying the manpower for performing the outsourced
services.
d. "Outsourced services" mean and include all the services or duties or functions which are
assigned by the Procuring Entity to be done or performed by the manpower/person(s)
supplied by the Service Provider for performing the outsourced services as given in the
"Nature of Work" (to be performed by different categories of manpower) in the Notice
for Inviting Quotations or the contract.
e. "Procuring Entity" means the Office of the Commissioner of Income-tax (Appeals),
Guwahati - 1, Guwahati.
"Competent Officer of the Procuring Entity" means the Administrative Officer cum Drawing and Disbursing Officer in the office of the Commissioner of Income Tax (Appeals), Guwahati - 1, Guwahati who is authorized to undertake and complete the

process of procurement of outsourced services through proper procedure as per rules and enter into contract(s) and execute the same, on behalf of this office, with the selected Service Provider for this purpose. In addition to the Competent Officer of the Procuring Entity, the Head of Department i.e. the Commissioner of Income Tax (Appeals), Guwahati - 1, Guwahati shall also be competent to execute the contract(s) with the Service Provider, on behalf of the Procuring Entity, for supply of manpower for performance of outsourced services.
g. "Contract" or "Contract for Supply of Manpower for Performance of Outsourced Services" means and includes any or all agreement(s) or contract(s) or schedule(s) and
annexure(s) to such agreement(s) or contract(s) entered into by the Procuring Entity
with the selected Service Provider for supply of manpower to the procuring entity for
performance of outsourced services including all schedule(s) and annexure(s) to the
agreement(s) or the contract(s) whether the agreement(s) or the contract(s) is/are the
original agreement or contract or new agreement(s) or contract(s) for incorporating
additional terms and conditions or new agreement(s) or contract(s) for extension of the
period of validity of the original or subsequent agreement(s) or contract(s) .
h. "Total value of Contract" shall be deemed to mean the total sum of money to be paid
to the selected Service Provider by the Procuring Entity in respect of all manpower
supplied/to be supplied by the selected Service Provider for the total period of the
contract. To clarify, if the Service Provider contracts to supply "A" number of persons at
a monthly rate of "Rs. X/_" for a period of 2 years, then in that case the total value of the
contract would be "A" multiplied by "Rs. xl-" multiplied'by 24.
I. "Rate" shall mean and include all monthly rates or prices or charges, by whatever name
called, including all taxes, duties, cess and costs (as per applicable rules) which shall be
paid by the Procuring Entity to the Service Provider for supply of a unit of manpower for
performance of outsourced services according to the classification based on "skilled
worker" or "semi-skilled worker" or "unskilled worker".
J. "Supply of Manpower" shall mean supply and deployment of manpower to the
Procuring Entity for the purpose of performance of outsourced services and till the final
signing of the contract between the Procuring Entity and the selected Service Provider
shall also include the expression "manpower to be supplied and deployed".
k. "Manpower" shall mean and include the person(s) to be suppl ied and deployed by the
Service Provider in the office of the Procuring Entity for the purposes of performance of
the outsourced services.
I. "Purchase Order" shall mean and include the final work order or purchase order, by

ffi. "Preliminary Purchase Order" shall mean and include the preliminary work order or
purchase order, by whatever name called, given/issued by the Procuring Entity to the
Service Provider for supply of manpower (for performance of Outsourced Services) only
for the purpose of personal interview/verification before final selection.
n. "Remuneration" shall deem to include any or all wage(s) and/or salary(ies) and/or
statutory due(s) and/or bonus(es) and/or contribution(s) and/or any other statutory or
non-statutory amount(s) and/or any other statutory or non-statutory benefit(s) which
the Service Provider is bound to pay to the persons [manpower] supplied to the
Procuring Entity for performance of outsourced services in accordance with all laws and
rules (including notifications, circulars etc. under those laws and rules) including Labour
Laws of the Central or State Government.
o. "Bidding" shall mean and include the entire process of tendering or bidding or inviting
bids or inviting quotations for supply of manpower by the Service Provider including the
signing of the contract with the selected Service Provider. Thus, bidding shall include all
stages of the bidding process beginning with the issuance of the notice for inviting
quotations to the execution of the contract (for supply of manpower) between the
Procuring Entity and the selected Service Provider and also as defined in this document
under the title "Bidding Process" .
2. The quotation documents including technical and financial bids must be in the format/form
prescribed in the Notice for Inviting Quotations and should be free from errors. Correction(s)
made, if any, in any quotation document, must be duly attested by the Service Provider. In
the absence of attested corrections, the whole quotation would be summarily rejected in
entirety without any opportunity of any further hearing to the concerned Service Provider.
3. Quotation documents containing incorrect/incomplete information or incorrect/incomplete
supporting prescribed documents would be summarily rejected without any opportunity of
any further hearing to the concerned Service Provider.
4. The quotations will not be accepted after the due date and time as given in this notice for
inviting quotations.
5. The quotations which are not sealed will be summarily rejected without any opportunity of
further hearing to the concerned Service Provider.
6. Each Service Provider would be permitted to submit only one quotation. In case it is
discovered that any Service Provider has submitted more than one quotation, all the
quotations of that Service Provider would be summarily rejected without any opportunity of
further hearing to the concerned Service Provider.

8. Complete documents, if any, must accompany the quotation document.
9. In case any Service Provider intends to make any counter offer(s) for supply of manpower for
performing the outsourced services, the same may be annexed separately in the quotation
document along-with all the relevant material in support thereof.
10. The eligibility and preference criterion of/regarding the Service Provider shall be as
hereunder:
a. Eligibility:
i. The Service Provider should have been in the business of manpower supply for at-least 3 yea rs.
ii. The Service Provider should have a minimum turnover/gross receipt of Rs . 50,00,000/- per year.
iii. The Service Provider should have a valid PAN, TAN and GST number and should be registered with the Service Tax, Provident Fund and EST authorities.
iv. The Service Provider should be regularly assessed to Income-tax for last 3 years.
v. The Service Provider should not have been blacklisted by any Government Organization.
vi. The Service Provider should not have any criminal record or criminal antecedents or any criminal proceedings pending against it.
vii. The Service Provider shall agree with all the terms and conditions as enumerated in the Notice for Inviting Quotations or the Contract (if selected).
b. Preference:
Preference shall be given to the Service Providers who have past experience of
supplying manpower in any office of the Income Tax Department or who have past
experience of supplying manpower in any other office of the Central or State
Government subject to meeting of all other prescribed criteria in comparison to the
other participating Service Providers and also subject to consideration of the rate
quoted by them in comparison to the other participating Service Providers. For this
purpose, the decision of the Competent Officer of the Procuring Entity shall be final.
11. The nature of work, eligibility, preference and antecedents of/regarding skilled persons
(DEOs) [skilled manpower] shall be as given hereinunder:
a. Nature of Work:
Assisting the office in generation of reports, data entry, scanning of documents, general office work including typing on computers and maintenance of files and records.

b. Eligibility:
i. The person(s) should have experience working with soft-wares like Windows, MS office, MS Excel Work-Sheet, MS Power Point Presentation etc.
ii. The person(s) should be well-versed in the languages of Hindi and English. iii. The age of the person(s) should be between 21 to 60 years. iv. The person(s) to should be at-least 12th Standard pass (Higher Secondary). v. The person(s) should be citizens of India and should not have any past
criminal record.
c. Preference:
First preference shall be given to the person(s) who have past experience of working in any office of Commissioner of Income Tax (Appeals) in the North-Eastern Region . Second preference will be given to the person(s) who have past experience of working in any office of Income Tax Department in the North-Eastern Region . The third preference will be given to person(s) who have past experience of working in any other office of the Central Government or the State Government. Thereafter, others will be considered. Notwithstanding the aforesaid preferences, if any candidate has abilities and experience in consonance with the work in this office, he may be considered and the decision of the Procuring Entity shall be final in this matter.
d. Antecedents:
The antecedents of each person to be supplied by the Service Provider shall be duly
verified by the Service Provider by due diligence and, if need be, by verification from
the local police authorities. The Service Provider shall be responsible for verification
of experience, qualifications, eligibility and antecedents of the persons supplied for
performance of outsourced services.
12. The nature of work, eligibility, preference and antecedents of/regarding semi-skilled persons
[semi-skilled manpower/office attendants] shall be as laid down hereinunder:
e. Nature of Work:
Miscellaneous office work, scanning of documents, maintenance and movement of records and other work as assigned by the Competent Officer of the Procuring Entity.
f. Eligibility:
i. The person(s) should be fairly versed in the languages of Hindi and English. ii. The age of the person(s) should be between 21 to 60 years. iii. The person(s) should be at-least 8th Standard pass. iv. The person(s) shall be citizens of India and should not have any past criminal
record.

g. Preference:
First preference shall be given to the persons who have past experience of working in any office of Income Tax in the North-Eastern Region . The second preference will be given to person(s) who have past experience of working in any other office of the Central Government or the State Government. Thereafter, others will be considered. Notwithstanding the aforesaid preferences, if any candidate has abilities and experience in consonance with the work in this office, he may be considered and the decision of the Procuring Entity shall be final in this matter.
h. Antecedents:
The antecedents of each person to be supplied by the Service Provider shall be duly
verified by the Service Provider by due diligence and, if need be, by verification from
the local police authorities. The Service Provider shall be responsible for verification
of experience, qualifications, eligibility and antecedents of the persons supplied for
performance of outsourced services.
13. The personal, visual (recent fully frontal & clear passport-size photograph), educational &
professional details of person(s) [manpower], supplied by the selected Service Provider, for
performing the outsourced services shall be furnished by the selected Service Provider to
this office in the format given in this document.
14. All person(s) [manpower] proposed to be supplied for performing the outsourced services by
the selected Service Provider shall be subject to a personal interview and/or verification, in
respect of their character, antecedents, educational qualification and/or work-experience,
before acceptance. In case they are found to be unfit or unsuitable for deployment for
performing the outsourced services, on such personal interview and/or verification, the
selected Service Provider shall make available more such person(s)[manpower] for personal
interview and/or verification till such time suitable person(s) are found and accepted by this
office for deployment from amongst the person(s) made available by the selected Service
Provider for personal interview and/or verification .
15. The availability of the manpower (proposed to be supplied) for personal interview and
verification (before acceptance) shall be made by the selected Service Provider within 3 days
of the placing of the preliminary Purchase Order with the selected Service Provider. The
Service Provider shall ensure that the entire process of personal interview and/or verification
is completed within 3 days of the issue of the preliminary Purchase Order. The satisfaction
regarding the suitability of person(s) for deployment in this office for performing the
outsourced services shall be exclusively that of the Competent Officer of the Procuring
Entity.
;(~16. ~ Period for deployment of the aforesaid person(s) shall be within 7 days of the placing of the

17. In case the quotation submitted by the Service Provider is accepted and the final purchase
order is placed with the selected Service Provider after the personal interview and/or verification & selection of suitable person(s), the supply of selected person(s) for performing
the outsourced services against the final purchase order must be made within the period
stipulated in the final purchase order or this notice for inviting quotations. This office
reserves the right to recover any loss sustained due to delayed supply of selected person(s)
by way of penalty. Failure to supply the selected person(s) for performing the outsourced
services against the final purchase order within the stipulated period shall entitle Procuring Entity for the imposition of penalty @ 1/2% (half percent) per day to be calculated on the
total value of the contract for all the person(s) covered in the contract for the total period of
the contract subject to a maximum of 5% (five percent) of such total value of the contract
unless an extension is obtained in writing from this office on valid grounds before the expiry
of period for supply of manpower as provided in the purchase order or this document.
Further, if the supply of the selected person(s) is not made within the time stipulated in this notice for inviting quotations and/or final purchase order and due to that reason, the
Procuring Entity is forced to get such person(s) supplied from elsewhere, the Service
Provider shall be civilly and/or monetarily liable for the loss and/or damage(s) sustained by
the Procuring Entity and shall be bound to make good such loss and/or damage(s) sustained
by the Procuring Entity.
18. The manpower supplied must conform to the prescribed educational . qualification and/or
work experience and must make themselves available for personal interview & verification before final acceptance. The selected Service Provider shall verify the educational
qualification & previous work experience of each person before their deployment with this
office by due diligence and obtaining documentary proofs of their marks-sheets, degrees,
diplomas & certificates from previous employers. The Service Provider shall remain
responsible for the prescribed educational qualification and/or work experience of the
manpower supplied and shall ensure that the manpower is of merit and quality. In case of
any deficiency is noticed in the educational qualification or work experience or merit or
character or antecedents or behaviour or trait or ability of the proposed person(s) [proposed
manpower] at the time of personal interview & verification or the selected person(s)
[manpower] after acceptance by this office, and it is felt that such deficiency is detrimental
to the effective functioning or reputation or discipline of this office or the Income Tax
department or the Government of India, the Service Provider shall be bound to replace the
person(s) so found deficient at the cost of the Service Provider within a period of 7 days from
the date of the due notice, to the Service Provider, in this regard. The replacement of
manpower shall be subject to the same terms and conditions of selection on the basis of
personal interview & verification and acceptance on fulfilment of eligibility criteria as the
person(s) being replaced.
19. The person(s) [skilled labour/data entry operator(s)] supplied by the selected Service
Provider for performing the outsourced services should not have any adverse police reports
or criminal record against him/her/them. The selected Service Provider shall verify the
character and antecedents of each person before their deployment with this office by due

diligence, obtaining documentary proofs of the identity & residence [like Passport, Ration
Card, Election Commission Identity Card, Driving License, Bank Account Details, Aadhaar
Number etc.] and proper verification by the Police. The selected Service Provider shall be
completely responsible for proper verification of police report(s) or criminal record of the
person(s) [skilled labour/data entry operator(s)) supplied by him and no responsibility for
verification of police report(s) or criminal record of the person(s) [skilled labour/data entry
operator(s)) supplied by the selected Service Provider shall lie with this office or the Income
Tax Department or Government of India.
20. The Service Provider & the person(s) selected for performing/providing the outsourced
functions/services shall be, jointly and severally, civilly and/or criminally and/or monetarily
liable for any/all damage(s) of any kind caused to this office or the Income Tax department
or the Government of India due to their undesirable or unethical or illegal or impermissible
acts or behaviour, whether in the course of their duty & work related to the performance of
the outsourced functions/services or whether in relation to any other matter, whether inside
the premises where they deployed for duty & work related to the performance of the
outsourced functions/services or whether outside such premises. Such damage(s) would be
deemed to include any/all civil damage(s) and/or any/all criminal damage(s) and/or any/all
monetary damage(s) and/or any/all damage(s) to the reputation of this office or the Income
Tax department or the Government of India. The Service Provider shall be solely and
completely responsible for ensuring that no undesirable or unethical or illegal or
impermissible acts or behaviour are done or exhibited by the supplied and deployed
person(s). whether in the course of their duty & work related to the performance of the
outsourced functions/serttices or whether in relation to any other matter, whether inside the
premises where they deployed for duty & work related to the performance of the
outsourced functions/services or whether outside such premises. The Service Provider shall
be solely and completely responsible for complete discipline of the supplied and deployed
person(s), including strict punctuality and observance of work hours/timings.
21. The persons supplied and deployed by the Service Provider with the Procuring Entity for
performance of outsourced services shall be bound not to divulge or disclose to any person
any personal or official details of the personnel working in the office of the Procuring Entity
or the Office of the Commissioner of Income Tax (Appeals), Guwahati - 1, Guwahati or the
Income Tax Department or the details of the records or the technical know-how or security
arrangements or administrative/organizational/operational/statutory matters or any
information or record pertaining to the Procuring Entity or the Office of the Commissioner of
Income Tax (Appeals). Guwahati - 1, Guwahati or the Income Tax Department or the State
Government or the Union Government. In case of any misconduct or misdemeanor on this
account, the Service Provider shall be solely responsible for any civil or criminal liability
which may arise and the Procuring Entity or the Office of the Commissioner of Income Tax

22. It shall be ensured by the Service Provider that the persons supplied and deployed by the
Service Provider with the Procuring Entity for performance of outsourced services should be
polite, cordial, positive and efficient while handling the assigned work and their actions
should promote goodwill amongst the officers/officials of the Income Tax Department or
taxpayers or general public and their conduct should in no way demean the image of
Procuring Entity or the Office of the Commissioner of Income Tax (Appeals), Guwahati - 1,
Guwahati or the Income Tax Department or the State Government or the Union
Government.
23. It shall be ensured by the Service Provider that the persons supplied and deployed by the
Service Provider with the Procuring Entity for performance of outsourced services shall in no
way interfere with the duties and work of the officers and officials of the Procuring Entity or
the Office of the Commissioner of Income Tax (Appeals), Guwahati - 1, Guwahati or the
Income Tax Department or the State Government or the Union Government.
24. The service provider shall be responsible for any act of indiscipline on the part of persons
deployed by him. The service provider shall ensure proper conduct of his persons in office
premises and enforce prohibition of consumption of alcoholic drinks or drugs, loitering etc.
in the manpower supplied.
25 . The competent officer of the Procuring Entity may require the Service Provider to dismiss or
remove from the site of work any manpower supplied by the service provider for reasons of
incompetency or misconduct or indiscipline or security risk or conflict of interest or breach of
confidentiality or deterioration of health or incapacity due to any mishap or any reason and
in that case the service provider shall forthwith comply with such requirements. The service
provider shall withdraw such employees who are not found suitable by the Procuring Entity
for any reasons immediately on receipt of such a request from the Procuring Entity. Further,
in the event of such a happening, the service provider shall replace immediately any of its
personnel if they are unacceptable to this office for above reasons.
26. It shall be ensured by the Service Provider that the persons supplied and deployed by the
Service Provider with the Procuring Entity for performance of outsourced services shall in no
way directly or indirectly indulge in sexual harassment of any woman or girl. In case of any
misconduct or misdemeanor on this account, the Service Provider and the accused person
shall be solely responsible for any civil or criminal liability which may arise and the Procuring
Entity or the Office of the Commissioner of Income Tax (Appeals), Guwahati - 1, Guwahati or
the Income Tax Department or the State Government or the Union Government shall in no
way responsible for the same.
27. No wage remuneration will be paid for any manpower for the days of absence from duty
unless a substitute has been provided.

28. This office will maintain an attendance register in respect of the person(s) deployed by the
Service Provider on the basis of which wages/remuneration will be decided in respect of
such person(s) at the approved rates.
29. Rate(s) quoted must be as per the definition of "Rate" in this document. Different rates must
be furnished in cases of different categories of manpower.
30. The total value of the contract must be stated clearly for the entire period of the contract for
supply of manpower for performing the outsourced services.
31. The quoted rate(s) for supply of manpower for performing the outsourced services must be
stated clearly, both in words and figures, in the quotation documents.
32. The rate(s) shall not be varied after the submission of the quotation to the aforesaid
procuring entity. No escalation in the rate(s) for supply of manpower for performing the
outsourced services would be permitted after the submission of the quotation or signing of
the formal contract for supply of the aforesaid manpower for performing the outsourced
services. The escalation or variation in the rate(s) would be permissible only on the expiry of
the contract period for supply of the manpower for performing the outsourced services or
earlier on revision of the minimum wages by the State/Central Government.
33. Payment of GST /Sales-tax is primarily the responsibility of the Service Provider and will not
be paid unless the percentage and value thereof is clearly specified in the quotation
document. In the absence of quoting the GST/CST/ST percentage and value in the quotation
document, the same will be presumed to have been included in the quoted rate(s).
34. The procuring entity shall make 100% (hundred percent) monthly payment within 90 (sixty)
days on receipt of the monthly bill from the selected Service Provider subject to good and
satisfactory performance of outsourced services by the person(s) supplied and also subject
to fulfilment of all terms and conditions of this notice for inviting quotations or the
preliminary purchase order or the final purchase order or the contract for supply of person(s)
[manpower] for performing outsourced services. However, the procuring entity reserves the
right to delay the payment of the monthly bill(s) on account of scarcity of budget/monies
available with this office for payment of such bill(s) or on account of delayed or deficient
allotment of budget/monies to this office for payment of such bill(s). Even in the event of
non-payment of bills within the stipulated period, the selected Service Provider shall be
bound to continue the deployment of the person(s) [manpower] in this office or any other
place as instructed by the Competent Officer of the Procuring Entity for performance of
outsourced services. Even if delayed, the procuring entity shall make 100% (hundred
percent) of all due payments to the selected Service Provider, as soon as possible, on

order or the final purchase order or the contract for supply of manpower for performing
outsourced services.
35. The service provider will submit the bill, in triplicate, in respect of a particular month by the
first week of the following month. The payment will be released within 15 days of
submission of bill, after deduction of taxes at source under the laws in force.
36. Payments to the service provider would be strictly on certification by the officer with whom
the outsourced personnel is attached that his/her service was satisfactory and as per his/her
attendance shown in the bill preferred by the service provider.
37. The payment of all or any kind of remuneration to the person(s) [manpower] supplied for
performing the outsourced services shall be made by the selected Service Provider and this
office shall not be responsible for provision of any kind of remuneration to the manpower
supplied.
38. The remuneration paid by the Service Provider to the persons supplied to this office shall,
under any circumstance, not be less than the minimum wage amounts notified by the
Central or State Government under the Minimum Wages Act 1948 from time to time. If it is
found that the Service Provider has paid remuneration, to any person supplied to this office,
lower than the minimum wages notified by the Central or State Government, the contract of
supply of manpower shall be immediately terminated and a complaint will be filed by this
office with the concerned Labour Commissioner or any other concerned authority for
suitable action against the Service Provider. The Procuring Entity shall not incur any liability
for any expenditure whatsoever in respect of the manpower provided by the service
provider on account of any civil or criminal obligation in this regard.
39. The service provider shall provide particulars of remuneration (wages etc.) and PF & ESIC
contributions along-with proof of payment of the same in respect of each of the manpower
supplied to the Procuring Entity along with the bill submitted to this office for each month.
40. The manpower supplied by the service provider shall be the employees of the service
provider and it shall be the duty of the service provider to pay their remuneration every
month on time and provide them with suitable remuneration or salary slips by whatever
name called bearing proper details of the remuneration, provident fund and ESIC dues
contributed by the employer and the employee.
41. There shall be no Master and Servant or Employer and Employee relationship between the
employees of the service provider (i.e. the persons supplied by the Service Provider to the
Procuring Entity) and the Procuring Entity/Income Tax Department/Union Government and
further the said persons supplied and deployed by the Service Provider with the Procuring
Entity shall not claim any employment or engagement or absorption in the office of the
Procuring Entity or the Income Tax Department or the Union Government in future on the
basis of services provided by them under the contract, entered into between the Service

Provider and the Procuring Entity, for supply of manpower. The execution of the contract
between Service Provider and the Procuring Entity, for supply of manpower, shall deem to be an undertaking from the Service Provider and the persons supplied and deployed with the
Procuring Entity for performance of outsourced services that the persons supplied by the
Service Provider shall not claim any employment or engagement or absorption in the office
of the Procuring Entity or the Income Tax Department or the Union Government in future on
the basis of services provided by them under the contract, entered into between the Service
Provider and the Procuring Entity, for supply of manpower.
42. The persons supplied by the Service Provider shall not be entitled to any
claim/benefit/compensation/absorption/regularization of service in the Procuring Entity/Income Tax Department/Union Government under the provision of Industrial Disputes
Act, 1947 or Contract Labor (Regulation & Abolition) Act, 1970 or any other law on the basis
of services provided by them under the contract, entered into between the Service Provider and the Procuring Entity, for supply of manpower. The execution of the contract between
Service Provider and the Procuring Entity, for supply of manpower, shall deem to be an
undertaking from the Service Provider and the persons supplied and deployed with the Procuring Entity for performance of outsourced services that the persons supplied by the
Service Provider shall not be entitled to any
claim/benefit/compensation/absorption/regularization of service in the Procuring
Entity/Income Tax Department/Union Government under the provision of Industrial Disputes
Act, 1947 or Contract Labor (Regulation & Abolition) Act, 1970 or any other law on the basis of services provided by them under the contract , entered into between the Service Provider
and the Procuring Entity, for supply of manpower.
43. The selected Service Provider shall ensure that the person(s) deployed are medically fit. The
selected Service Provider shall verify the medical fitness of each person before their
deployment with this office by due diligence and proper medical examination from a
qualified & registered medical practitioner/doctor. The selected Service Provider shall ensure
periodical medical examination of each person supplied by him to this office and shall be
responsible for physical and mental fitness of each such person(s). The selected Service
Provider shall keep a record of the medical fitness of each person deployed by him in this
office. In the event of any mishap related to mental or physical health of such person(s)
supplied to this office by the selected Service Provider, whether during work/office hours or
other-wise or whether inside or outside the office premises, no responsibility/liability (whether pecuniary, civil or criminal) shall lie with this office or the Income Tax Department
or Government of India and the selected Service Provider shall be solely responsible for any
responsibility/liability (whether pecuniary, civil or criminal) which may arise in connection
with any such mishap related to mental or physical health of such person(s) supplied to this
office by the selected Service Provider, whether during work/office hours or other-wise or whether inside or outside the office premises . .-

whether inside or outside the office premises, no responsibility/liability (whether pecuniary,
civil or criminal) shall lie with this office or the Income Tax Department or Government of
India and the selected Service Provider shall be solely responsible for any
responsibility/liability (whether pecuniary, civil or criminal) which may arise in connection
with any such mishap or accident related to such person(s) supplied to this office by the
selected Service Provider, whether during work/office hours or other-wise or whether inside
or outside the office premises.
45. The service provider shall be contactable at all times and message sent by phone/ e
mail/fax/special messenger from this office to the service provider shall be acknowledged
immediately on receipt of the same on the same. day. The service provider shall strictly
observe the instructions issued by this office in fulfillment of all terms and conditions of
contract from t ime to time.
46. This office shall not be liable for any loss, damage, theft, burglary or robbery of any personal
belongings, equipment or vehicles of the person(s) supplied by the service provider.
47. That the Service Provider on its part and through its own resources shall ensure that the
goods, materials and equipments etc. supplied to the person(s) for discharge of duties
assigned to them are not damaged in the process of carrying out the services undertaken by
it and shall be responsible for all acts of commission and omission on the part of those
person(s).
48. This office reserves the right to modify the number of required person(s) specified in this
enquiry for any/all category(ies) of required person(s) at any time before the placing of the
final work/purchase order with the selected Service Provider. The Procuring Entity may
increase or decrease the number of persons supplied fo r performance of outsourced services
at any time depending upon the work in the office of the Procuring Entity and the service
provider shall be bound to increase or decrease the number of persons supplied for
performance of outsourced services on receipt of such a request from the Procuring Entity.
49. The successful bidder shall furnish a security deposit equivalent to Rs. 75,000/- (Rupees
Seventy Five Thousand only) in the form of an account payee demand draft drawn in favor of
the Commissioner of Income Tax (Appeals), Guwahati - 1, Guwahati payable at Guwahati
within 3 days of award of contract. The security deposit shall remain valid for a period of 60
days beyond the date of completion of all contractual obligations of the service provider. The
security deposit will be forfeited in case the supply of manpower is delayed beyond the
period stipulated by this Notice for Inviting Quotations or on non-compliance of the terms
and conditions of the contract by the service provider.
50. The successful bidder will enter into a contract with the Procuring Entity for supply of

manner unless terminated or modified in writing. The contract is renewable subject to
satisfactory performance of the Service Provider, with such amendments/modifications of
terms and conditions as decided by the Procuring Entity including rise in wages/service
charges etc. The contract may be revised at any time in compliance of any Act or Rule or
administrative or other directions enacted/issued by the Principle Chief Commissioner of
Income Tax (NER) or the Central Board of Direct Taxes or Department of Revenue (GOI) or
any Department of the Central Government or the State Government of Assam applicable to
hiring/purchase of manpower for performance of outsourced services or for any other
reason. In the event of revision of the original contract, the new or revised contract
containing additional terms and conditions may contain only clause/clauses regarding
additional terms and conditions and all the other terms and conditions of the new contract
may remain same as those in the original contract. In that case the original contract may be
appended as a schedule to the new contract executed for incorporating additional terms and
conditions.
51. The contract may be extended by a period of one year on each occasion, subject to a
maximum of three years and further subject to satisfactory compliance of all terms and
conditions of the original contract and satisfactory services provided by the manpower
supplied by the selected Service Provider. In this regard the decision of the Procuring Entity
shall be final but the selected Service Provider shall not be entitled to demand any
extensions of the contract even if there is satisfactory compliance of all terms and conditions
of the original contract by the selected Service Provider and even if the services provided by
the manpower supplied by the selected Service Provider are satisfactory. It shall be the
exclusive prerogative of the Procuring Entity to extend the period of the contract beyond a
period of one year from the date of the execution of the contract. This shall be subject to
other provisions of the contract executed between the Procuring Entity and the Service
Provider. In the event of extension of the period of validity of the original contract additional
terms and conditions may be prescribed by the Procuring Entity and the Service Provider
shall be bound to adhere to those additional terms and conditions in the new contract. In the
event of extension of the period of validity of the original contract, the new contract may
contain only clause/clauses regarding the extension of period of validity of the original
contract and all the other terms and conditions of the new contract may remain same as
those in the original contract. In that case the original contract may be appended as a
schedule to the new contract executed for extension of the period of validity of the original
contract.
52. The contract will be valid for a period of one year commencing from date of signing such
agreement and shall continue to be in force in the same manner unless terminated or
modified in writing. Notwithstanding this, the contract between the Procuring Entity and the
selected Service Provider shall stand revised in case of revision of the minimum wages by the
Central or State Government. This deemed revision of the contract will come into effect from
the date of the notification (regarding revision of minimum wages) by the Central or State
Government. In case of revision of minimum wages by the Central or State Government, the
rates agreed upon in the original contract between the Procuring Entity and the selected

Service Provider will automatically stand amended in the deemed revised contract in
consonance with the minimum rates prescribed by the Central or State Government with
effect from the date of issue of any such fresh notification regard ing minimum wages. There
shall be no requirement to alter the original contract or enter into a fresh contract for
payment of minimum wages to the persons supplied by the Service Provider. In case of such
a deemed revision of the contract the service charges paid to the Service Provider will not
alter and will remain the same as in the original contract . Further, in case of such a deemed
revision of the contract, all the other terms and conditions of the deemed revised contract
shall be same as in the original contract . However, such a deemed revised contract will not
continue beyond the period of one year (prescribed for the original contract with effect from
the date of execution of the original contract) or any extensions of periods of validity.
53. The original contract or any new contract for incorporating additional terms and conditions
or any new contracts for extension of the period of validity of the original contract can be
terminated by either party by giving three month's notice in advance. If the Service Provider
fails to give three month's notice in writing for termination of the original contract or any
new contract for incorporating additional terms and conditions or any new contracts for
extension of the period of validity of the original contract then he shall be bound to pay an
amount equivalent of 3 months' value of the original contract or any new contracts for
extension of the period of validity of the original contract calculated on pro-rata basis.
54. The service provider shall not assign, transfer, pledge or sub-contract the services of the
person(s) without the prior consent of the Procuring Entity.
55. The Service provider shall not be allowed to demand any amount from the person(s)
supplied in the name of processing fees/charges, security fees/charges, verification
fees/charges or any other fees/charges by whatever name called.
56. That on the expiry of the contract, as mentioned above, the Service provider will withdraw
all its personnel and clear their accounts by paying them all their lawful dues. In case of any
dispute on any account between the personnel of the Service Provider and Service Provider
it shall be the responsibility of the service provider to pay and settle the same and the
Procuring Entity or the Income Tax Department or the Central Government shall not be liable
for the same in any manner.
57. It shall be ensured by the Service Provider that the persons supplied and deployed by the
Service Provider with the Procuring Entity for performance of outsourced services shall not
be minors or below the age of 21 years and shall be citizens of India.
58. In case a single quotation is rece ived in response to the notice for inviting quotations, the
contract may be awarded to that single participant provided all terms and conditions
';\\ m~ntioned in this quotation document are fulfilled by the participating Service Provider. This

right to reject any or all quotation(s) without assigning any reason there-for to the Service
Providers and does not bind itself to accept the lowest (L-1) quotation in any/all
category(ies). However, such a decision or such decisions would be based on cogent reasons
and would not be arbitrary in nature.
59. In the event of any dispute arising in respect of the clauses of the agreement, the matter will
be referred to the Principal Chief Commissioner of Income Tax (NER), Guwahati whose
decision shall be final and binding on both the parties.
60. Any dispute(s) related to this notice for inviting quotations or the preliminary work/purchase
order or the final work/purchase order or supply/deployment of the selected persons or
rejection of unfit/unsuitable person(s) or replacement of person(s) after their deployment or
character and antecedents of the deployed person(s) or educational qualification or work
experience of the deployed person(s) or performance of outsourced functions/services by
deployed person(s) or price(s)/charge(s)/rate(s) for supply & deployment of person(s) or the
total value of the agreement/contract for supply and deployment of person(s) for
performing/providing outsourced functions/services or salary or wages or remuneration or
bonus or contribution or any other statutory or non-statutory amount or any other statutory
or non-statutory benefit to the person(s) supplied & deployed for performing/providing the
outsourced functions/services or any matter mentioned in this notice for inviting quotations
or the preliminary work/purchase order or the final work/purchase order or the contract for
supply and deployment of person(s) for performing/providing outsourced functions/services
or any matter incidental or connected with any of the above shall only be subject to the
jurisdiction of the Court(s) at Guwahati (Assam).
